DECLARATION OF DAVID G. CAPERTON
I, David Guhse Caperton, declare as follows:
1. I am Special Counsel for Oversight Reviews in the Legal Division of the Board of
Governors of the Federal Reserve System ("Board"). I have been employed as an
attorney at the Board since June 30, 2009. As Special Counsel for Oversight Reviews, I
am, among other things, responsible for working with external entities that are authorized
by law to audit or review the operations and activities of the Board. In that capacity, I
have worked on the Board's responses to requests for information about the financial
crisis in the fall of 2008 to: the Government Accountability Office ("GAO"); the Special
Inspector for T ARP; the Congressional Oversight Panel; the Financial Crisis Inquiry
Commission ("FCIC" or "Commission"); and have occasionally assisted with
Congressional requests. In July 2011, I became the most senior attorney in the Board's

Legal Division responsible for reviewing FOIA requests and became the Board's point of
contact for all GAO-initiated inquiries.
2. I was the main point of contact at the Board for information requests from the FCIC
regarding the Board's decision to provide assistance to American International Group
("AIG") and the Board's response to the severe liquidity crisis and ultimate bankruptcy
of Lehman Brothers Holdings, Inc. ("Lehman Brothers"). I have reviewed requests under
the Freedom of Information Act, 5 U.S.C. § 552 ("FOIA") made by Vern McKinley
("plaintiff') to the Board bye-mails dated March 21, 2010 and March 28, 2010
(collectively, the "FOIA Requests") at issue in this case. I have also reviewed the
Declaration ofMichael Bekesha, executed August 31,2011 ("Bekesha Decl."), filed in
this action. Accordingly, the statements in this declaration are based on my personal
knowledge and best recollections, on information made know to me in my official
capacity as Special Counsel for Oversight Reviews, and upon conclusions and
determinations reached and made in accordance therewith.
BackgroundRegarding the FCIC
3. The FCIC was established "in the legislative branch" of government "to examine the
causes, domestic and global, of the current financial and economic crisis in the United
States." See Fraud Enforcement and Recovery Act, Pub. L. No. 111-21, § 5(a), 123 Stat.
1617, 1625 (2009). Among other tasks, the lO-member Commission was charged with
"examin[ing] the causes of the collapse of each major financial institution that failed
(including institutions that were acquired to prevent their failure) or was likely to have
failed if not for the receipt of exceptional Government assistance from the Secretary of

the Treasury during the period beginning in August 2007 through April 2009." 123 Stat.
1627 § 5(c)(2).
4. To carry out its duties, the FCIC's enabling statute pennitted it to "require, by subpoena
or otherwise, the attendance and testimony ofwitnesses and the production of books,
records, correspondence, memoranda, papers and documents." 123 Stat. 1628
§ 5(d)(1)(B). Section 5, subpart (d) of that statute contemplated that confidential
infonnation obtained by the FCIC directly from an agency would be maintained in a
secure manner. The statute provided that the FCIC may secure infonnation directly
"from any department [or] agency .... of the United States .. . including infonnation of a
confidential nature (which the Commission shall maintain in a secure manner)." 123
Stat. at 1628-29 § 5(d)(4)(A). The statute required U.S. government agencies to "furnish
such infonnation directly to the Commission upon request." 123 Stat. 1629 § 5(d)(4)(A).
I was the main point of contact for nearly all infonnation requests to the Board from the
FCIC, including requests for infonnation concerning AIG and Lehman Brothers.
5. The FCIC's website sets out its Ethics Guidelines for Commissioners, which includes a
section regarding non-disclosure of confidential infonnation obtained during the course
of its investigations. Those guidelines provide "[a]U confidential infonnation obtained by
the Commission during the course of its investigations, and confidential non-public work
product of the Commission, shall be maintained as 'Commission Confidential
Infonnation,' and shall be held in confidence and not disclosed outside of the

2011). The guidelines further provide that "[i]nfonnation the Commission receives from
other persons under confidentiality agreements must also be treated as Commission

Confidential Information in accordance with the terms of such agreements." Id. There
are exceptions to this confidentiality policy "[i]fthe Chairman or the Commission
authorizes the release of the information," or if "the information is otherwise publicly
available." Id.
The Board's Confidentiality Agreement with the FCIC
6. During the course of the FCIC's investigation, the Board provided extensive information
to the FCIC in accordance with its information requests. In addition to providing
documents, many current or former Board governors and staff members, including
former Chairman Alan Greenspan and Chairman Ben Bernanke, were interviewed by
Commission staff.
7. A substantial amount of the information the Board provided to the FCIC was non-public
and confidential and subject to civil discovery privileges or FOIA exemptions. To
preserve the confidentiality of this Board information, while giving the FCIC unfettered
access to the information it needed to fulfill its statutory mandate, the Board entered into
a letter agreement with the FCIC, dated January 6, 2010, regarding confidentiality ofnon
public information provided by the Board ("Confidentiality Agreement"). I prepared the
initial draft of the Confidentiality Agreement, and am familiar with its contents. A true
and correct copy of the Confidentiality Agreement is attached hereto as Exhibit A.8. The Confidentiality Agreement defines "non-public information" as "information that the
Board has not made, and is not required by law to make, public and which the Board
treats as non-public ...." Exhibit A at 2. The Agreement states "[i]t is the intent of the
Parties that when the Board provides information to the Commission (hereafter
designated 'Providing Party' and 'Receiving Party' respectively), the Receiving Party

will treat information as non-public if it is informed by the Providing Party that the
information is non-public." Jd. To designate documents as confidential under the
Agreement, it was the Board's practice to stamp them "Confidential," before providing
them to the FCIC and to make reference in the accompanying transmittal message that
the information being provided is confidential and should be treated as non-public or
confidential in accordance with the Confidentiality Agreement.
9. Paragraphs 1 through 10 of the Confidentiality Agreement describe the Board's and
FDIC's agreement regarding confidentiality. Paragraph 3 states "[e]xcept as
contemplated in this letter, non-public information may not be shared by the Receiving
Party with any third party without the prior written permission of the Providing Party."
Jd. at 3. Paragraph 4 states "[t]he Receiving Party will take all steps reasonably
necessary to preserve, protect and maintain all privileges and claims of confidentiality
related to the non-public information ...." Jd. Paragraph 7 permitted the Commission to
publicly release non-public information ifit determined that it "is in the public interest."
Jd. at 4. Before making any such disclosures, however, the Commission was required to
determine to do so "by a majority vote or by the decision of the Chairman and Vice
Chairman acting together ... ," and was required to "give prior written notice to the
Board, and allow a reasonable period of time for the Board to consult with the
Commission .. ." Id.
10. Paragraph 9 set out the parties' intent that the Board's provision of information to the
FCIC does not waive the Board's privileges or FOIA exemptions. Paragraph 9 states that
the Board's sharing of information with the FCIC pursuant to the Confidentiality

Agreement "will not constitute public disclosure" and does not "constitute a waiver of
confidentiality or any privilege ...." including evidentiary privileges. Jd.
The FCIC's Disclosure ofNon-Public Board Information
11. The FCIC delivered its final report to the President and Congress on the causes of the
financial crisis on January 27,2011. See Press Release, Financial Crisis Inquiry
Commission Releases Report on the Causes of the Financial Crisis, January 27, 2011,

releases-report. pdf. On February 12,2011, the FCIC ceased operations. In the days and
weeks before it closed, the FCIC released a great deal of information on its website,
including nearly 2000 documents and 300 witness interviews. See Press Release,

news/Press Release 2.l0.ll.pdf. As described below, these documents included some
non-pubic, confidential documents the Board provided to the FCIC under the
Confidentiality Agreement for which the Board had not approved release.
12. Attached to the Bekesha Decl. are three AIG-related documents, bates numbered BOG
FOIA 10-2Sl-xxxx, and fourteen Lehman Brothers-related documents, bates numbered
BOG-FOIA 1O-267-xxxx. I am informed by Board staff responsible for responding to
the FOIA Requests that the Board provided these documents to the plaintiff in response
to his FOIA Requests. Exempt materials are redacted from these documents as is
apparent from the documents.
13. Attached to the documents described in 12 above are non-redacted versions of those
documents that the declarant states that he located on the FCIC's public website.

Bekesha Decl., 5-26 and Exhs thereto. Sixteen ofthe seventeen non-redacted
documents are bates numbered "SB-AIG-xxxxx" and "FRB to LEH Examiner
xxxxxxlFCIC xxxxxx." I am familiar with these documents because I was personally
involved in reviewing them and arranging for their production to the FCIC. The Board
applied the bates numbers "SB-AIG-xxxxx" and "FRB to LEH Examiner xxxxxx/FCIC
xxxxxx" to the documents. The documents bear different bates numbers because they
had been gathered and numbered prior to being requested by the FCIC. Each of these
documents contains information that the Board considers privileged or confidential and
exempt from disclosure under FOIA. As a result, when providing these documents to the
FCIC, the Board notified the FCIC orally and by email that the documents are
confidential and non-public and should be treated as such in accordance with the
Confidentiality Agreement. The Board's designation of these documents as confidential
and non-public under the Confidentiality Agreement is apparent from the
"CONFIDENTIAL" or "HlGHLY CONFIDENTIAL" stamp which the documents bear. The
Board asked the FCIC to treat these documents as non-public and confidential because
they contained pre-decisional deliberative material, confidential commercial or financial
information, and/or confidential supervisory (bank examination) information.
14. For most of the documents described in '113 above, the FCIC contacted me either by
email or letter to request the Board's permission under Paragraph 7 of the Confidentiality
Agreement to publicly disclose the document. In the case of each such document, after
consultation with my supervisor[s] in the Legal Division and appropriate Board staff, we
determined that the confidential information contained in the documents should remain
confidential. As a result, the Board did not consent to the FCIC's release of any of the

documents attached to the Bekesha declaration described in 13 above, and I did not
represent to the FCIC that the Board consented to the public release of any of those
documents. In addition, I have reviewed records I have from the FCIC notifying the
Board of the potential release ofmost of the documents contained in the Bekesha
declaration. Some of the pages released by the FCIC and included in the Bekesha
declaration do not appear to have been included in the release requests I received from
the FCIC, indicating that the FCIC did not consult with the Board as required under the
Confidentiality Agreement before releasing some of the documents. Despite lack of
consent from the Board, the FCIC released these documents in unredacted form on its
website.
15. Exhibit l-C to the Bekesha declaration is an AIG-related email that I am informed was
provided by the Board to the plaintiff in response to one ofthe FOIA Requests, bates
stamped BOG-FOIA 10-251-0000262-63, and a document bates stamped FCIC
AIG00021566-67 which the declarant states that he downloaded from the FCIC's public
website. Bekeska DecL, 9. To the best ofmy recollection, the Board did not use the
