Introduction

The Major Projects Skills Guarantee

The Victorian Government is committed to creating job opportunities and promoting a strong and sustained vocational training culture through the employment of apprentices, trainees and engineering cadets within the Victorian building and construction industry.

To implement this commitment, the Victorian Government, through its Major Projects Skills Guarantee (Skills Guarantee), will use the awarding of Victorian Government building, construction, infrastructure, civil engineering and other capital projects to stimulate and enhance vocational training in these sectors.

Under the Skills Guarantee, all principal contactors awarded contracts for Victorian Government funded building, construction, infrastructure, civil engineering and other capital projects, which have a pre-tender estimated value at or over $20 million (inclusive of GST) must utilise Victorian registered apprentices, Victorian registered trainees or engineering cadets for at least 10 per cent of the project's total estimated labour hours. The Skills Guarantee will also apply to public-private partnership (PPP) project contracts valued over the applicability threshold.

The Skills Guarantee operates separately to the Victorian Industry Participation Policy (VIPP).

Using this Document

Drafting notes

These clauses have been drafted for a Request For Tender (RFT) and a contract for building, construction, infrastructure, civil engineering or other capital projects where the State contracting party is a Department. Appropriate amendments will be required where the State contracting party is an entity other than a Department or described as the Principal.

After the State contracting party has determined the value of the contract to be awarded and whether the Major Projects Skills Guarantee is mandatory, or to be encouraged, these clauses should be adopted accordingly.

The model clauses are a guide and should be amended as appropriate to align with the State contracting party's tender document and draft contract where required.

Definitions are inserted into the RFT and draft contract clauses. Where the tendering document or draft contract contains like definitions, the definitions in this document may be omitted and the clauses aligned with the definitions in the tendering document or draft contract may be used.

Numbering of the model clauses should be adjusted to align with the tendering document and draft contract, and drafting notes must be removed.

Clause numbering should be amended subject to the position where the clauses will be inserted within the RFT document and draft contract document.

Tendering

RFT Model Clauses

1. Major Projects Skills Guarantee

1.1 Overview

(a) The Victorian Government is committed to creating job opportunities and promoting a strong and sustained vocational training culture through the employment of apprentices, trainees and engineering cadets within the Victorian building and construction industry.

(b) To implement this commitment, the Victorian Government, through its Major Projects Skills Guarantee (Skills Guarantee), will use the awarding of Victorian Government building, construction, infrastructure, civil engineering and other capital projects to stimulate job opportunities and enhance vocational training in these sectors.

(c) Under the Skills Guarantee, all principal contactors awarded contracts for Victorian Government funded building, construction, infrastructure, civil engineering and other capital projects which have a pre-tender estimated value at or over $20 million must utilise Victorian registered apprentices, Victorian registered trainees or engineering cadets for at least 10 per cent of the project's total estimated labour hours. The Skills Guarantee will also apply to public-private partnership (PPP) project contracts valued over the applicability threshold.

(d) Where project contracts have pre-tender estimated value below $20 million, principal contractors are encouraged to comply with the Skills Guarantee, in which case a Tender submitted which incorporates voluntary compliance will be favourably regarded in tender evaluation.

1.2 Definitions

The following definitions apply in this clause:

Act means the Education and Training Reform Act 2006.

Applicable Deemed Hours Formula is the formula as set out in clause 1.5 below.

Apprentice means a person whom an employer has undertaken to train under a Training Contract.

Engineering Cadets means those persons who are combining formal university training in an engineering or related discipline with practical work experience.

Group Training Organisation means an organisation that employs apprentices and trainees and hosts them out to other businesses to undertake relevant on the job experience.

Major Projects Skills Guarantee means the policy of the Victorian Government applicable from 1 January 2016 which is located at

Major Projects Skills Guarantee Compliance Plan means the plan set out in Part D 'Tender Response' which must be submitted with a Tender.

Project means the work and the Contract as described in this Request for Tender.

Project Total Estimated Labour Hours means the total estimated labour hours for the Applicable Project as determined in accordance with the Applicable Deemed Hours Formula.

Registered Education and Training Organisation (RTO) means a person or body registered under Part 4.3 of the Act to deliver an accredited course or award or issue a registered qualification.

Trainee means a person (other than an Apprentice) employed under a Training Contract.

Training Contract has the meaning given in the Act.

Victorian Registration and Qualifications Authority (VRQA) is the statutory body established under Chapter 4 of the Act whose functions include the registration and regulation of apprenticeships and traineeships, and administering legislation including but not limited to the Act and the Education and Training Reform Regulations 2007.

1.3 Major Projects Skills Guarantee Compliance Plan

Drafting notes

Delete the version of clause 1.3 that does not apply and the reference to 'Option 1', 'Option 2 or Option 3' as appropriate.

Option 1: All tenderers must prepare a Major Projects Skills Guarantee Compliance Plan.

Option 2: All shortlisted tenderers, when advised by the Department that they have been shortlisted, must prepare a Major Projects Skills Guarantee Compliance Plan.

Option 3: Tenderers may submit a Major Projects Skills Guarantee Compliance Plan.

1.4 Use of the Major Projects Skills Guarantee Compliance Plan

(a) The commitments made in a tenderer’s Major Projects Skills Guarantee Compliance Plan (Compliance Plan)will be considered a key selection criterion as part of the Tender evaluation process.

(a) The commitments made in a tenderer's Major Projects Skills Guarantee Compliance Plan (Compliance Plan) submitted with a Tender will be taken into account as part of the Tender evaluation process.

(b) The contents of a successful tenderer’s final Compliance Plan will be included in the Contract to be entered into between that tenderer and the Department.

(c) The tenderer must acknowledge that it has read and understood the Major Projects Skills Guarantee as required by 'Part D Tender Response'. The contract will require that the contractor must comply with the requirements of the Compliance Plan .

(d) The Compliance Plan must contain sufficient information to demonstrate to the reasonable satisfaction of the Department that a minimum of 10% of the Project Total Estimated Labour Hours, will be undertaken by Apprentices, Trainees, or Engineering Cadets (either separately or in any combination).

(e) For the purposes of clause 1.4(d) the requisite 10% of the Project Total Estimated Labour Hours is determined by the Applicable Deemed Hours Formula.

(f) Where the Project Contract includes significant maintenance or ongoing service components as part of the work under the Contract, the value of the maintenance or ongoing service components will be included as part of the overall Contract value for the purposes of calculating the Project Total Estimated Labour Hours to determine whether the tenderer's Compliance Plan satisfies the minimum 10% requirement.

(g) Tenderers must attend any briefing provided by the Department on the Major Projects Skills Guarantee.

Deemed hours formula for ‘other’ capital projects

The deemed hours formula for other capital project works contracts will be determined on a case by case basis and reflect the nature of work specified within these contracts. These projects may utilise either of the formulas as outline above, or combination of formulas if warranted by the specified works. Alternatively, where necessary the formula may be subject of negotiation between procuring departments and agencies and tenderers/contactors.

Specialist equipment – refers to significant items or systems of equipment of significant cost that is procured as part of the construction contract which could be deemed not to form part of a typical building works. Items may include but not limited to electo-medical equipment, rail signalling, ICT systems and so on.

The tender response forms and tables must include a draft Major Projects Skills Guarantee Compliance Plan in an appropriate position. The following acknowledgement must also set out in the tender response forms to be submitted by tenderers.

The tenderer acknowledges having read and understood the Major Project Skills Guarantee, and agrees to comply with the Major Project Skills Guarantee Compliance Plan submitted with this Tender for inclusion in any contract entered into between the Department and the tenderer.

1.1 Definitions1

1.2 Major Projects Skills Guarantee Compliance Plan

(a) The Contractor must, in performing its obligations under this Contract, comply with the Major Projects Skills Guarantee Compliance Plan (Compliance Plan).

(b) The Contractor acknowledges and agrees that its obligations as set out in the Compliance Plan apply during the term of the Contract, any extensions to the term and until all of its reporting obligations as set out in clause 1.3 are fulfilled.

(c) The Contractor agrees that the minimum labour hours requirements set out in the Compliance Plan will:

(i) be applied to the Contract as a whole (or to all of the works specified in the Contract);

(ii) not be applied on the basis of individual Contract packages or components; and

(iii) apply to all work conducted off site provided that the work has been specified as part of the Contract.

(d) Subject to clauses 1.2(e),(f) and (g) the parties agree that labour hours performed by:

(i) Apprentices, Trainees or Engineering Cadets, either separately or in any combination; or

(ii) pre-existing or new Apprentices, Trainees or Engineering Cadets, either separately or in any combination,

may be included in determining whether the requirements of the Major Projects Skills Guarantee Compliance Plan have been achieved.

(e) Work hours performed by Apprentices may include Apprentices directly employed by the Contractor or Apprentices engaged through Group Training Organisations. Contributions from Apprentices must be from Apprentices registered with the Victorian Registration and Qualification Authority.

(f) Work hours performed by Trainees must be from Trainees registered with the Victorian Registration and Qualification Authority.

(g) Time spent by Apprentices, Trainees or Engineering Cadets attending course related education in accordance with a Training Contract at a Registered Education and Training Organisation, or other educational institution may be included in determining whether the requirements of the Compliance Plan have been achieved.

(h) The Contractor's failure to comply with clauses 1.2 to 1.4 will constitute a material breach of this Contract.

(i) The Department agrees that where the Contract includes significant maintenance or ongoing service components as part of the work under the Contract, the value of the maintenance or ongoing service components will be included as part of the overall Contract value for the purposes of calculating the deemed estimated overall project labour hours in order to determine whether the Contractor has complied with the minimum 10 percent requirement.

(j) The Contractor must ensure that any subcontracts entered into by the contractor in relation to work under the Contract contain clauses requiring subcontractors:

(i) to comply with the Skills Guarantee and the Compliance Plan to the extent that it applies to work performed under the subcontract,

(ii) to provide necessary information that allows the Contractor to comply with its reporting obligations under clause 1.3 of this Contract, and

(iii) to permit the Department to exercise its inspection and verification rights under clause 1.4 of this Contract.

1.3 Reports

(a) The Contractor must submit written reports (Performance Reports) to the Department outlining its performance against the Compliance Plan.

(b) The Performance Reports must include details specifying the Contractor's performance in complying with the Compliance Plan. Any deviations from the Compliance Plan must be included in the Performance Reports.

(c) Performance Reports must be submitted by the Contractor to the Department as specified in Schedule Table 6, Attachment 1, Schedule 1 or otherwise at a frequency of not less one Performance Report at each 12 month anniversary of the commencement date of the contract until completion of the Contract.

(d) In addition to the Performance Reports the Contractor must also submit:

(i) an interim Performance Report mid-way through the delivery phases for the Contract as set out in Schedule Table 6, Attachment 1, Schedule 1;

(ii) a final report (Final Report) within 2 months of the date of practical completion or the date the Contract is completed whichever is earlier; and

(iii) a statutory declaration made by the Contractor declaring that the contents of the Final Report are true and correct, which must be submitted together with the Final Report.

(e) Where maintenance or ongoing service components form part of the work under the Contract, the Final Report must be submitted at the time at which the primary substance of the work under the Contract has been practically completed (excluding any ongoing maintenance or service work).

1.4 Verification of Contractor's compliance with Major Projects Skills Guarantee: Compliance Plan

(a) The Contractor agrees that the Department will have the right to inspect the Contractor's records in order to verify compliance with the and the Compliance Plan.

(b) The Contractor must:

(i) permit the Department or its duly authorised representative, from time to time during ordinary business hours and upon notice, to inspect, verify and make copies at the Department's expense of all records maintained by the Contractor for the purposes of this Contract at the Contractor's premises, or provide copies of those records to the Department at its request;

(ii) permit the Department, or its duly authorised representative from time to time to undertake a review of the Contractor's performance in accordance with the Compliance Plan; and

(iii) ensure that its employees, agents and subcontractors give all reasonable assistance to any person authorised by the Department to undertake such audit or inspection.

(c) The Contractor acknowledges and agrees that the Department, and the Department's duly authorised representative are authorised to obtain information from any relevant persons, firms or corporations, including third parties, regarding the Contractor's compliance with the Compliance Plan.

(d) The obligations set out in this clause 1.4 are in addition to and do not derogate from any other obligation under this Contract.

1.5 Use of Information

The Contractor acknowledges and agrees that the statistical information contained in the Compliance Plan and the measures of the Contractor's compliance with the Compliance Plan as reported will be

(a) reported by the Department to the Department of Economic Development, Jobs, Transport and Resources;

(b) considered in the assessment or review of the Contractor's eligibility to tender for future Victorian Government Contracts.
