the presiding judge at the Local Court of Charlottenburg, Dr. Bruckner, made the following decision on 01 November 2017:
1. The insolvency proceedings regarding the assets of the debtor are hereby opened as of 9:30 a.m. on 01 November 2017 due to insolvency and over-indebtedness and recognized as main insolvency proceedings under Article 3 Paragraph 1 of Regulation (EU) 2015/848 of the European Parliament and of the Council of 20 May 2015 on insolvency proceedings (European Insolvency Regulation).
2. Debtor-in-possession management is ordered. The debtor may manage and dispose of insolvency assets under supervision of an insolvency monitor (Section 270 Paragraph 1 Sentence 1 of the German Insolvency Statute [InsO]).

4. The creditors’ committee, which is constituted as a provisional creditors’ committee as per the decision from 16 August 2017, shall remain unless decided otherwise by the creditors’ assembly.
5. Insolvency creditors are requested to file insolvency claims in writing (Section 38 InsO) with the insolvency monitor at the following address

Upon its filing the reason and the amount of the claim shall be indicated.

This information shall be provided in digital form. The filing documents in paper form shall be retained by the insolvency monitor and may be requested by the insolvency court for review when necessary.
6. The reporting date as well as the date for passing a resolution by the creditors’ assembly regarding a possible request to repeal debtor-in-possession management (Section 272), the possible selection of a different insolvency monitor/insolvency administrator (Sections 270 Paragraph 1 Sentence 2, 57), the establishment or retention of a creditors’ committee (Sections 270 Paragraph 1 Sentence 2, 68 Paragraph 1) as well as the matters indicated in Section 270 Paragraph 1 Sentence 2 in conjunction with Section 66 (Intermediate accounting), Section 149 (Investment of valuables), Section 157 (Closure or continuation of company), Section 276 (Legal transactions of particular importance) and Section 277 (Order of consent requirement by insolvency monitor) InsO

Regarding authorization to participate on the above date, note that Section 79 of the German Code of Civil Procedure (ZPO) in conjunction with Section 4 InsO must be observed. Section 79 ZPO stipulates that only the persons mentioned in Section 79 ZPO may act as an authorized representative, in particular an attorney, an employee of the company or a member of the family.
7. The filed claims shall be reviewed in accordance with Section 5 Paragraph 2 InsO by written procedure. Due to the high number of expected claims, the cut-off date, which is identical with the review date, shall be 01 August 2018.
The parties shall be given the opportunity to object to the filed claims in writing at the insolvency court. Any written objection used by a party to dispute a claim must be submitted to the court by the review date at the latest. An objection must indicate whether the reason, the amount or the rank of a claim is in dispute. When the objection period ends, the claims shall be reviewed and any claims for which no objection has been raised shall be deemed established.
Note: Creditors whose claims are established shall not be notified.

8. The insolvency monitor must immediately be informed of any security interests in movable property or rights (Section 28 Paragraph 2 InsO).Details are to be provided of the object of the claimed security interest, the nature and causal origin of the security interest, as well as the secured claim. Any person who by fault omits to provide this information, or provides it late, shall be liable for the consequent damage (Section 28 Paragraph 2 InsO).
9. Pursuant to Section 8 Paragraph 3 InsO, the insolvency monitor shall be instructed to serve all notices required in the proceedings, beginning with notice of order to open insolvency proceedings as per Section 30 InsO.

Serving notice of order to open insolvency proceedings to the debtor is exempted as this shall be done by the insolvency court.
The issuing of public notices shall remain the responsibility of the insolvency court.
10. Note:
Data from the insolvency proceedings, including the opening proceedings, that is published in an electronic information and communication system shall be deleted within 6 months of the termination or the legal order to discontinue the insolvency proceedings in accordance with Section 3 Paragraph 1 Sentence 1 of the German Regulation regarding Public Announcements in Insolvency Proceedings on the Internet (InsOBekV).
All other publications required by the German Insolvency Statute shall be deleted one month after the first publication date.
Statement of grounds of decision:
The request was received by the Insolvency Court of Charlottenburg on 15 August 2017.
The international jurisdiction of German courts is derived from Article 3 Paragraph 1 of the European Insolvency Regulation, as the centre of the debtor’s main interests is situated in the district of the Local Court of Charlottenburg in Berlin, which has local jurisdiction as per Section 3 Paragraph 1 InsO.
According to the findings of the court, insolvency and over-indebtedness are hereby established.
The prerequisites for the order of debtor-in-possession management pursuant to Section 270 Paragraph 2 InsO are present.
The order of debtor-in-possession management has been requested by the debtor.
The request for order of debtor-in-possession management is supported by the unanimous decision of the provisional creditors’ committee from 24 October 2017. Consequently, the order of debtor-in-possession management shall be deemed not to place the creditors at a disadvantage as per Section 270 Paragraph 3 Sentence 2 InsO.
According to the findings of court-appointed expert in his opinion from 27 October 2017, it is also the understanding of the expert that debtor-in-possession management is not or will not be associated with any disadvantages for the creditors (see page 119 of the opinion).

An appeal subject to a time limit (hereinafter: appeal) may be filed against the decision.
Appeals must be filed within a statutory period of two weeks at

The period begins once the decision is announced. If the decision is not announced, it begins with service of the decision or when effective publication of the decision is issued on the internet as per Section 9 InsO (www.insolvenzbekanntmachungen.de). Publication shall suffice as evidence of service on all parties to the proceedings even if the InsO additionally orders individual service (Section 9 Paragraph 3 InsO). It shall be deemed to have been effected when two additional days following the day of publication have expired (Section 9 Paragraph 1 Sentence 3 InsO). When the period begins depends on which event - announcement, service or effective publication - occurs first.
Appeals must be filed in writing or by declaration on the record at the court registry of the named court. Appeals may also be declared on the record at the court registry of any other local court, but note that the period shall only be met when the aforementioned court receives the record in due time. Attorney involvement is not mandatory.
Appeals must be signed by the appellant or their authorized representative.
The notice of appeal must specify the contested decision and include a declaration that an appeal against this decision has been filed.

hat das Amtsgericht Charlottenburg durch die Richterin am Amtsgericht Dr. Bruckner am
01.11.2017 beschlossen:
1. Das Insolvenzverfahren uber das Vermdgen der Schuldnerin wird wegen Zahlungsunfd-
higkeit und Uberschuldung am 01.11.2017 um 09.30 Uhr als Hauptinsolvenzverfahren im
Sinne des Art. 3 Abs. 1 der Verordnung (ELI) 2015/848 des Europdischen Parlaments und
des Rates vom 20. Mai 2015 uber Insolvenzverfahren (EulnsVO) erdffnet.
2. Es wird Eigenverwaltung angeordnet. Die Schuldnerin ist berechtigt. unter Aufsicht des
Sachwalters die Insolvenzmasse zu verwalten und uber sie zu verfOgen (§ 270 Abs. 1
Satz 1 InsO).
3 Zum Sachwalter wird bestellt:

01.04.2018 durch die Beteiligten auf der Geschdftsstelle des Amtsgerichts Charlottenburg
- Insolvenzgencht Amtsgerichtsplatz 1, 14057 Berlin. Raum 211, eingesehen werden.
Die Niededegung erfolgt in digitaler Form. Die Anmeideunterlagen in Papierform werden
beim Sachwalter aufbewahrt und konnen bei Bedarf durch das Insolvenzgencht zur Ein-
sichtnahme angefordert werden.
6. Berichtstermin sowie Termin zur Beschlussfassung der Gidubigerversammlung uber
einen etwaigen Antrag auf Aufhebung der Eicenverwaltung (§ 272), die eventuelle Wahl ei-

Bei Bevollmachtigungen zur Teilnahme am Term in ist § 79 ZPO i. V i t . § 4 InsO zu be

7. Die Prufung der angemeldeten Forderungen erfoigt gem&li § 5 Abs. 2 InsO im schriftlichen
Verfahren. Stichtag. der dem Prufungstemnin entspricht, ist wegen der hohen Anzahl der
zu erwartenden Forderungen der 01.08.2018.
Die Betei'igten erhalten Gelegenheit den Forderungsanmeldungen schriftlich beim Insol-
venzgercht zu widersprechen. Em schriftlicher Widerspruch. mit dem ein Beteiligter eine
Forderung bestreitet, muss spatestens am Prufungsstichtag bei Gencht eingehen. Im Wi
derspruch ist anzugeben, ob die Forderung ihrem, Gmnd, ihrem Betrag oderihrem Rang
nach bestritten wird. Nach Ablaut der Widerspruchsfrist werden die Forderungen gepruft,
Forderungen. gegen die bis dahin kein Widerspruch erhoben wurde, gelten als festgestellt
Hinweis: Giaubiger, deren Forderungen festgestellt werden, erhalten keine Be-
nachrichtigung.

8, Sicherungsrechte an beweglichen Gegenstanden Oder an Rechten sind dem Sachwalter

Der Gegenstand an dem das Sicherungsrecht beansprucht wird. die Art und der Entste-
hungsgrund des Sicherungsrechts sowie die gesicherte Forderung sind zu bezeichnen.
Wer die Mitteilung schuldhaft unteriasst Oder verzbgert, haftet fur den daraus entstehenden
Schaden (§ 28 Abs 2 InsO).
S. Der Sachwalter wird gem. § 8 Abs. 3 InsO beauftragt, die in dem Verfahren vorzunehmen-
den Zustellungen, beginnend mit der Zustellung des Erbffnungsbeschlusses nach §30 In
sO, durchzufuhren.

folgt durch das Insolvenzgericht.

10 Hlnweis:
Die in einem elektronischen Informations- und Kommunikationssystem erfolgte Verdffentli-
chung von Daten aus einem Insolvenzverfahren einschlieRlich des Erdffnungsverfahrens
wird spStestens 6 Monate nach der Aufhebung oder der Rechtskraft der Einstellung des In-
solvenzverfahrens geloscht, § 3 Abs. 1 Sat2 1 InsOBekV.
Sonstige Verbffentlichungen nach der Insolvenzordnung werden einen Monat nach dem er-

Grunde:Der Antrag ist am 15.08.2017 beim Insolvenzgericht Charlottenburg eingegangen.
Die internationale ZustSndigkeit der deutschen Gerichte ergibt sich aus Art. 3 Abs 1 EulnsVO,
denn der Mittelpunkt der hauptsachlichen Interessen der Schuldnehn befindet sich im Bezirk des
Amtsgerichts Charlottenburg in Berlin, welches gemSR. § 3 Abs. 1 Satz 1 InsO drtlich zustandig
ist,
Nach den Feststellungen des Gerichts sind Zahlungsunfahigkeit und Uberschuldung gegeben.
Die Voraussetzunger fur die Anordnung der Eigenverwaltung nach § 270 Abs. 2 InsO liegen vcr.
Die Anordnung der Eigenverwaltung wurde vcn der Schuidnerin beantragt.
Der Antrag auf Anordnung der Eigenverwaltung wird von einem einstimmigen Beschluss des vor-
laufigen GlSubigerausschusses vom 24.10.2017 unterstQtzt; die Anordnung der Eigenverwaitung
gilt damit nicht als nachteilig fur die GlSubiger, § 270 Abs. 3 Satz 2 InsO
Nach den Feststellungen des Sachverstandigen in seinem Gutachten vom 27.10.2017 hat auch
er keme Erkenntnisse dazu erlangt, dass eine Eigenverwaltung mit Nachteilen fur die GISubiger
verbunden ist bzw. verbunden sein wird (Seite 119 des Gutachtens).

Gegen die Entsc-heidung kann die sofbrtige Beschwerde (im Folgenden: Beschwerde) eingelegt werden.
Die Beschwerde ist binnen einer Notfrist von zwei Wochen bei dem
Amtsgericht Charlottenburg Amtsgerichtsplatz 1 14-057 Berlin
einzulegen.
Die Frist beginnt mit der Verkundung der Entscheidung Oder, wenn diese richt verkOndet wird, mit deren Zu- stellung bzw mit derwirksamen offentlichen Bekanntmachung gem^B § 9 InsO im Internet (www.insoluenz- bekanntmachLingen.de) Die flffentliche Bekanntmachung genljgt zum Nachweis der Zustellung an a!!e Betei- iigten, auch wenn die InsO neben ihr eine besondere Zustellung vorschreibt, § 9 Abs. 3 InsO, Sie gilt als be- wirkt, sobald nach dem Tag der Verfiffentlichung zwei weitere Tage veretrichen sind. § 9 Abs. 1 Satz 3 InsO. Fur den Fristbeginn ist das zuerst eingetretene Ereignis (VerkUndung. Zustellung oder wirksame ftffentllche Bekanntmachung) maftgeblich.
Die Beschwerde ist schriftlich einzulegen oder durch Erklamng zu ProtokoP der GeschSUsstelle des genann- ten Gerichts.
