Consultant AgreementThis Consultant Agreement is made between
the Consultant whosesignature, name and address appear on this
Agreement (Consultant)and the authorized independent Tupperware
Director with whom theConsultant has established a service
relationship (Director). Consultantand Director hereby acknowledge
and agree that Tupperware U.S.,Inc. (Company or Tupperware), with
its principal place of businesslocated at 14901 South Orange
Blossom Trail, Orlando, Florida 32837,is a third party beneficiary
of this consultant Agreement and shall havethe authority to enforce
these Terms and Conditions as specificallyprovided herein.
Purchase and Sale of TupperwareProducts
I agree to purchase Tupperwareproducts at the established
Consultantwholesale price solely for resale to my customers and as
samples.Company agrees to sell me these products, along with
appropriatesales aids and business materials.
I will be responsible for processing all product orders using
the onlineordering system, which may be accessed via the Internet,
or viatelephone. I will be assessed a minimum Consultant Delivery
Chargeand Consultant cost for non-retail orders such as supplies
and salesaids when using the online ordering system, regardless of
the methodused for submitting the order.
To qualify as a Consultant and to purchase Tupperware products
atthe Consultant wholesale price, I agree to: (i) register with
Tupperware;(ii) purchase a Business Ki t; (iii) sign this
Agreement; and (iv) performsales activities necessary to generate
personal retail sales of $250within four (4) months of my
registration date. I acknowledge andagree that, if after four (4)
consecutive months I do not have personalretail sales of $250, I
will be treated as inactive and all Consultantprivileges will be
forfeited by me. From time to time Tupperware mayelect to offer
payment terms for the purchase of the Business Kit. Ifyou
registered as a new Consultant and were offered payment termsfor
the purchase of your Business Kit, you acknowledge and agree
that payment for your Business Kit shall be made by credit card
andthat all instalment payments shall be charged to the same credit
card.Under the terms of the instalment payment plan, when and
whereapplicable, you authorize Tupperware to charge your credit
card forthe Business Kit at the times and in the amounts set forth
in theinstallment plan applicable at the time your Business Kit is
ordered.Each installment payment will be subject to all applicable
taxes.
I agree to present and sell Tupperware products through theparty
plan system and/or other integrated direct access
channelsauthorized and endorsed by Tupperware in the United States
ofAmerica and its territories. I agree not to sell
Tupperwareproductsin retail establishments, flea markets or swap
meets, unless suchactivities have been authorized and endorsed by
Tupperware. I alsoagree not to advertise, offer for sale or sell
Tupperwareproducts onthe Internet or any auction site such as eBay,
unless such activitiesare conducted on an Internet or auction site
expressly authorized orsanctioned by Tupperware.
I understand that all product orders submitted are subject to
acceptanceby the Company at its offices in Orlando, Florida and are
further subjectto these Terms and Conditions. All sales are final.
I am authorized byCompany and agree to make only those product
claims that arespecifically set out for each Tupperwareproduct in
printed and/or
audio visual materials supplied to me by Tupperware.
I agree to protect my independent Tupperware business and
theCompany from false, deceptive, or misleading advertising. I
agree notto use the Companys trademarks or trade names in any type
ofadvertising or literature, without the Companys prior written
permission.I recognize the Companys trademarks, trade names, and
copyrights,in whatever form, are the exclusive property of the
Company.
I agree not to purchase Tupperwareproducts solely for the
purposeof qualifying for awards, bonuses, incentives or other
compensation.If I give notice of my intention to terminate my
status as a Consultant,Company will buy back from me current,
unused Tupperwareproductsand sales aids which I purchased within
the preceding 12 months thatare in the original packaging at a
price which is not less than 90% ofthe price I paid for such
products and sales aids. The amount of anybonuses paid to me in
connection with the original purchase andany indebtedness owed by
me to the Company will be deductedfrom the buy back amount. The
Company may also deduct from thebuy back amount any published
restocking fee on such inventoryrepurchases. This buy back option
may be initiated by either me orthe Company.
Payment TermsI understand that at the time an order for
Tupperware products orsale aids is placed, full payment is due. I
understand payment fromcustomers for product purchases can be made
by cash, check, orcredit card. Payments by check will be paid
directly to me, and I willpay the Company for the products ordered
at the Consultantwholesale price then in effect. I understand that
I assume the risk ofnon-collection of the checks in the event that
they are dishonored bycustomers bank.
Any payments made by customers by credit card will be made
directlyto the Company, which will collect the money on my behalf
and applysuch money collected as payment for the products purchased
by mefor resale to my customers. I understand that I will be
responsible forany and all credit card chargebacks resulting from
credit card salesto my customers. If a customer transaction is
reversed or otherwisesubject to a chargeback, I authorize
Tupperware to charge my credit/debit card, or to withhold monies
otherwise due and payable tome including, but not limited to,
bonuses, commissions and othercompensation, in an amount sufficient
to cover such reversal orchargeback. I commit to provide Tupperware
with current and updatedinformation on any changes to my
credit/debit card filed with the
Company at the time of my Consultant registration.
If payments submitted by me to the Company for product
purchasesare less than the payment amount due from me, I understand
that mycredit/debit card will be charged for any remaining balance
due. If thepayments submitted to the Company for product purchases
by meare greater than the payment amount due from me for such
productpurchases, such excess amount shall be refunded to me.
Expectations and ResponsibilitiesI agree to promote and sell
Tupperwareproducts and to presentthe Tupperware Opportunity by
maintaining the highest standards ofintegrity, honesty and
responsibility. I accept responsibility for maintainingthe
reputation and brand image of the Company. I further agree thatI
shall not submit any false or fraudulent information to Companyto
receive any prize, award, bonus or commission payment basedupon
Commission Volume, recruiting or personal sales or make anymaterial
misrepresentation of fact to Company in connection withmy
Tupperware business.
I understand that the Company sponsors the Tupperware
LimitedLifetime Warranty and the Quality and 30-day Guaranties for
eachTupperware product sold to retail customers. I understand
and
agree that it is my responsibility to assure customer
satisfaction withrespect to Tupperware products and services. I
agree to providewarranty services to retail customers in a manner
consistent withestablished Tupperware guidelines. I understand that
the Companyprovides customers with a Right to Cancel their orders
as required bythe Federal Trade Commission and agree that it is my
responsibilityto administer such right of cancellation in a manner
consistentwith established Tupperware guidelines by providing
refunds tocustomers and accepting the return of products. I agree
to adhereto and comply with established Tupperware program
guidelines and
procedures including, but not limited to the online ordering
shost programs, compensation programs, promotional and inprograms.
I understand and agree that failure to adhere to Tuware program
guidelines and procedures may result in susion or termination of
all myConsultant privileges and impose the obligation to make
restfor losses incurred by the Company as a result of my failure to
c
I acknowledge and agree that the Companys compensatiopromotional
programs are designed to compensate and recthe personal efforts and
results of each Consultants sales, recand promoting activities.
Accordingly, I agree that I will not sales or recruits to third
parties (including members of my unit
to qualify or receive greater compensation, awards or
inceunderstand and agree that Company will have the right to
auConsultant activities to assure compliance with these
TermConditions. I further understand and agree that the
Compancontact me periodically to obtain information regarding my
Conactivities as part of the Companys audit and compliance prog
Character of the RelationshipIt is agreed between the parties
that I am an independent conand not an employee, agent or
representative of the Director Company and will not be treated as
an employee with respsuch services for federal and state income tax
purposes. I acknowand agree that all income taxes are my personal
responsibilithat I am not eligible for unemployment or workers
compenbenefits. I accept the responsibility for complying with any
alocal business licensing, zoning or other requirements imposthe
ownership and/or operation of a Tupperware business.
I acknowledge and agree that the privileges associated with
Constatus are personal to me and that my rights and
obligationsthese Terms and Conditions cannot be assigned or
transfeacknowledge and agree that I cannot transfer or move to
anrecruiter, Manager, Director or Legacy Executive Director, u
have been inactive for twelve (12) months from the date of
mretail order. I further understand that if my Manager is
repositiowill be repositioned to the next upline Manager along with
the the Manager Team. If there is no upline Manager, I will be
reposunder the Director or Legacy Executive Director.
This Agreement may be terminated without cause by either pany
time. In the event of such termination, Company will remitany
compensation due through the effective date of terminprovided that
such remittance will be subject to offset for amdue to the Company
hereunder.
MiscellaneousThis Agreement and Tupperwares policies and
procedures mamended from time to time by the Company provided I am
givless than thirty (30) days prior written notice identifying and
sforth the affected provisions, together with the effective date
amendment. Such notification can be provided by publication
Companys website. I further understand and agree that I deemed to
have accepted such amended Agreement, policprocedures, if I
continue to place orders for Tupperwareprofollowing the effective
date of the amendment.
This Agreement is subject to acceptance by the Company
offices in Orlando, Florida. The parties agree that this
Agreemebe governed by the laws of the State of Florida and that the
venue of any claim or dispute concerning any matter related
Agreement and any action commenced by either party will
beapplicable courts in Orlando, Orange County, Florida.
