Dear Students,
In union there is a strength and with strength we stand resilient in presiding the globe with our competence and efficiency. Friends, our flag is not just a reflection of one of the many political points of view, rather our flag is a symbol of our national unity. Since ancient times prominent thought leaders emphasised on the power of unity and asserted time and again that the unity of self and of mankind is a key behind the success of any nation at holistic level.
Swami Vivekananda in his treatise quoted that ‘the whole universe is a tremendous case of unity in variety. There is only one mass of mind. Different states of that mind have different names. They are different little whirlpools in this ocean of mind. We are universal and individual at the same time. Thus the play is going on. In reality this unity is never broken. Matter, mind, and spirit are all one. Following the spirit of Unity in the development of mankind, Pandit Nehru, the First Prime Minister of India coined the phrase ‘Unity in Diversity’ for India. Friends the term ‘Unity in Diversity’ for India explains how in spite of different languages, religion and cultures, there is unity in India. The interdependence of communities on each other, forges a link of bond and unity, which need to be preserved for centuries to upkeep ‘Sashakt Bharat, Samridh Bharat’ (Empowered India, Prosperous India).
Besides all these thought leaders, Sardar Vallabhbhai Patel, the Iron Man of India has really unified the country. Considering the significance of unity in the inclusive growth of the nation and respecting the role of Sardar Vallabhbhai Patel in keeping India united, we all witness the Rashtriya Ekta Diwas (National Unity Day) on 31st October.
Friends, with the Government making all necessary reforms, the Nation has been escalated to the level where no one can undermine National Unity and our glowing progression as a upcoming leader of the world.
Moving aligned with the concept of Unity, we as a professional body are also taking necessary steps in rising our profession with unity and integrity. The completion of our 50 years journey with the laurels of success and accomplishment is none other than the result of our unity and harmony towards serving the nation with the premium practice of good governance.
With this, I am sure that legacy of the Institute would be honoured manifold with the pre-eminent set of harmony and unity among all stakeholders.
Let’s pledge to unite for ourselves and for the nation.

Fugitive Economic Offenders Act, 2018 : A Snap-Shot*
Introduction
The Union Finance Minister Mr. Arun Jaitley, in his Budget speech for 2017, had announced that Central Government was considering the introduction of legislative changes to confiscate the assets of ‘big time offenders’, including economic offenders, who flee the country to escape the Indian legal system.1
After the recent financial frauds came to fore in India, it became apparent that the existing civil and criminal provisions are not entirely adequate to deal with the severity of the problem. The absence of offenders during investigations poses problems for the probing agencies apart from undermining the law of the country.
Consequent upon the PNB Scam in the early month of 2018, the process has been expedited to stop economic offenders who leave the country to avoid due process. Therefore, in order to provide for measures to deter fugitive economic offenders from evading the process of law in India by staying outside the jurisdiction of Indian courts, to preserve the sanctity of the rule of law in India and for matters connected therewith or incidental thereto, Lok Sabha has cleared Fugitive Economic Offenders Ordinance, 2018 during the monsoon session of Parliament. The bill, which was approved by the union cabinet in April this year, empowers authorities to attach and confiscate properties and assets of economic offenders like loan defaulters who flee the country.2
The Fugitive Economic Offenders Act 2018 assented by the President. The Provisions become effective from 21st day of April, 2018
The Fugitive Economic Offenders Bill, 2018 was passed by the Rajya Sabha on July 25, 2018. The Lok Sabha had cleared the measure on July 19, 2018.
The Fugitive Economic Offenders Act 2018 (No. 17 of 2018) of Parliament has received the assent of the President on the July 31, 2018, and has been notified in the official gazette.
It is an Act to provide for measures to deter fugitive economic offenders from evading the process of law in India by staying outside the jurisdiction of Indian courts, to preserve the sanctity of the rule of law in India and for matters connected therewith or incidental thereto.
Fugitive Economic Offenders Act, 2018 – Purpose and Objective
The Fugitive Economic Offenders Act 2018 empowers authorities to attach and confiscate properties as well as assets of economic offenders like loan defaulters who flee the country.

It re-establishes the rule of law where the accused will be forced to return to India and face trial for his offences.
This would help the financial institutions to recover a higher amount from such fugitive economic offenders.
The Benefit of the Act
The Act is expected to re-establish the rule of law as the accused will be forced to return to India and face trial for his offences. This would also help the banks and other financial institutions to achieve higher recovery from financial defaults committed by such fugitive economic offenders, improving the financial health of such institutions.
The Impact of the Act
It is expected that the creation of a special forum for a speedy confiscation of the proceeds of crime, in India or abroad, would force the fugitive to return to India to submit to the jurisdiction of courts in India to face the law in respect of scheduled offences.
Strategy for Implementation and Targets
The Act makes provisions for a 'Special Court' under the Prevention of Money-Laundering Act, 2002 to declare a defaulter as 'Fugitive Economic Offender' who can be identified as a person against whom an arrest warrant has been issued in respect of a scheduled offence and who has left India or if abroad, refuses to return to avoid criminal prosecution.
Further, in order to ensure that courts are not over-burdened with such cases, only those cases are included in the purview of this ordinance where the total value involved in such offences is 100 crore rupees or more.
Other Provisions of the Act
The Act allows for a person to be declared as a Fugitive Economic Offender (FEO) if: i. An arrest warrant has been issued against him for any specified offences where the value
involved is over Rs 100 crore, and ii. He has left the country and refuses to return to face prosecution.
The fugitive economic offender means any individual against whom a warrant for arrest in relation to a Scheduled Offence has been issued by any Court in India where such individual has left India so as to avoid criminal prosecution; or being abroad, refuses to return to India to face criminal prosecution. However if the total value involved in such offence or offences is less than one hundred crore rupees the Act shall not apply.
To declare a person an FEO, an application will be filed in a Special Court (designated under the Prevention of Money-Laundering Act, 2002) containing details of the properties to be confiscated, and any information about the person’s whereabouts. The Special Court will require the person to appear at a specified place at least six weeks from issue of notice. Proceedings will be terminated if the person appears.
The Director appointed under the Prevention of Money-laundering Act, 2002 (PMLA) or any other officer not below the rank of Deputy Director authorized by the Director has reason to believe (the reasons for such belief to be recorded in writing), on the basis of material in his possession, that any individual is a fugitive economic offender, he may file an application in the Court of Session designated as Special Court under PMLA that such individual may be declared as a fugitive economic offender.

The Director/any other officer have been vested with the same powers as are vested in a civil court under the Code of Civil Procedure, 1908 while trying a suit under the Act. The Act also provide for Power of survey, Search and seizure, Search of persons etc.
However, the burden of proof for establishing that an individual is a fugitive economic offender or that a property is the proceeds of crime shall be on the Director/authorized person
With the permission of the said Special Court, the property of such fugitive economic offender may be attached. Also, on declaring an individual a fugitive economic offender the Special Court may order that properties out of the proceeds of crime in India or abroad, whether or not such property is owned by the fugitive economic offender and any other property or benami property in India or abroad, owned by the fugitive economic offender, shall stand confiscated to the Central Government.
The Act allows authorities to provisionally attach properties of an accused, while the application is pending before the Special Court.
Under the Act, any court or tribunal may bar an FEO or an associated company from filing or defending civil claims before it.
Under the Act, an FEO’s property may be confiscated and vested in the central government. The Act allows the Special Court to exempt properties where certain persons may have an interest in such property (e.g., secured creditors).
The Act does not require the authorities to obtain a search warrant or ensure the presence of witnesses before a search.
The Act provides for confiscation of property upon a person being declared an FEO.
This Act will be an effective, expeditious and constitutional way to stop these offenders from running away and to deter them in committing the offences shattering the economy of the country.

STANDARD CHARTERED BANK & ORS v. DIRECTORATE OF ENFORCEMENT & ORS [SC]

Foreign Exchange Regulation Act, 1973 - section 50 & 51 - mandatory punishment of imprisonment and fine- whether a company could be prosecuted- Held, yes.
Brief facts: The interesting question of law, settled in this case, was whether a company or a corporate body could be prosecuted for offences for which the sentence of imprisonment and fine is a mandatory punishment.
Prosecution was initiated against the appellant under Section 50 read with Section 51 of the Foreign Exchange Regulation Act, 1973 (for short, the FERA Act). The appellant, relying on Assistant Commissioner, Assessment-II Bangalore & Ors v. Velliappa Textiles Ltd & Anr. (2003) 11 SCC 405, contended that it was not liable to be prosecuted for the offence under Section 56 of the FERA Actas the minimum punishment prescribed is imprisonment for a term which shall not be less than six months and with fine. The bench doubted the correctness of the above decision and by reference, the matter has thus been placed before the constitution bench by the learned Chief Justice of India for decision.
Decision : Appeal dismissed by 3:2 majority.
Reason : In Velliappa Textiles' case (supra), by a majority decision it was held that the company cannot be prosecuted for offences which require imposition of a mandatory term of imprisonment coupled with fine. It was further held that where punishment provided is imprisonment and fine, the court cannot impose only a fine.
There is no dispute that a company is liable to be prosecuted and punished for criminal offences. Although there are earlier authorities to the effect that corporations cannot commit a crime, the generally accepted modern rule is that except for such crimes as a corporation is held incapable of committing by reason of the fact that they involve personal malicious intent, a corporation may be subject to indictment or other criminal process, although the criminal act is committed through its agents.
As in the case of torts, the general rule prevails that the corporation may be criminally liable for the acts of an officer or agent, assumed to be done by him when exercising authorized powers, and without proof that his act was expressly authorized or approved by the corporation. In the statutes defining crimes, the prohibition is frequently directed against any "person" who commits the prohibited act, and in many statutes the term "person" is defined. Even if the person is not specifically

defined, it necessarily includes a corporation. It is usually construed to include a corporation so as to bring it within the prohibition of the statute and subject it to punishment. In most of the statutes, the word "person" is defined to include a corporation.
Therefore, as regards corporate criminal liability, there is no doubt that a corporation or company could be prosecuted for any offence punishable under law, whether it is coming under the strict liability or under absolute liability.
Inasmuch as all criminal and quasi-criminal offences are creatures of statute, the amenability of the corporation to prosecution necessarily depends upon the terminology employed in the statute. In the case of strict liability, the terminology employed by the legislature is such as to reveal an intent that guilt shall not be predicated upon the automatic breach of the statute but on the establishment of the ‘actus reus’, subject to the defence of due diligence. The law is primarily based on the terms of the statutes. In the case of absolute liability where the legislature by the clearest intendment establishes an offence where liability arises instantly upon the breach of the statutory prohibition, no particular state of mind is a prerequisite to guilt. Corporations and individual persons stand on the same footing in the face of such a statutory offence. It is a case of automatic primary responsibility. It is only in a case requiring mens rea, a question arises whether a corporation could be attributed with requisite mens rea to prove the guilt. But as we are not concerned with this question in these proceedings, we do not express any opinion on that issue.
Going by the provisions in Section 56 of the FERA Act, if the view expressed in Velliappa Textiles is accepted as correct law, the company could be prosecuted for an offence involving rupees one lakh or less and be punished as the option is given to the court to impose a sentence of imprisonment or fine, whereas in the case of an offence involving an amount or value exceeding rupees one lakh, the court is not given a discretion to impose imprisonment or fine and therefore, the company cannot be prosecuted as the custodial sentence cannot be imposed on it.
The question whether a company could be prosecuted for an offence for which mandatory sentence of imprisonment is provided continued to agitate the minds of the courts and jurists and the law continued to be the old law despite the recommendations of the Law Commission and the difficulties were expressed by the superior courts in many decisions.
As the company cannot be sentenced to imprisonment, the court cannot impose that punishment, but when imprisonment and fine is the prescribed punishment the court can impose the punishment of fine which could be enforced against the company. Such a discretion is to be read into the Section so far as the juristic person is concerned. Of course, the court cannot exercise the same discretion as regards a natural person. Then the court would not be passing the sentence in accordance with law. As regards company, the court can always impose a sentence of fine and the sentence of imprisonment can be ignored as it is impossible to be carried out in respect of a company. This appears to be the intention of the legislature and we find no difficulty in construing the statute in such a way. We do not think that there is a blanket immunity for any company from any prosecution for serious offences merely because the prosecution would ultimately entail a sentence of mandatory imprisonment. The corporate bodies, such as a firm or company undertake series of activities that affect the life, liberty and property of the citizens. Large scale financial irregularities are done by various corporations. The corporate vehicle now occupies such a large portion of the industrial, commercial and sociological sectors that amenability of the corporation to a criminal law is essential to have a peaceful society with stable economy.
We hold that there is no immunity to the companies from prosecution merely because the prosecution is in respect of offences for which the punishment prescribed is mandatory

imprisonment. We overrule the views expressed by the majority in Velliappa Textiles on this point and answer the reference accordingly.
K. KISHAN v. VIJAY NIRMAN COMPANY PVT. LTD [SC]

Insolvency and Bankruptcy Code, 2016 read with the Arbitration and Conciliation Act, 1996 – operational debt- arbitration award in favour of operational creditor – corporate debtor challenged the award- insolvency petition filed against corporate debtor based on the award as admitted debt- NCLT and NCLAT entertained the application - whether tenable- Held, No.
Brief facts : The present appeals raise an important question as to whether the Insolvency and Bankruptcy Code, 2016 (“the Code”) can be invoked in respect of an operational debt where an Arbitral Award has been passed against the operational debtor, which has not yet been finally adjudicated upon.
Vijay Nirman Company Pvt. Ltd. (the Respondent) entered into a sub-Contract Agreement with one M/s Ksheerabad Constructions Pvt. Ltd. (‘KCPL’) to undertake road construction work. During the course of the project, disputes and differences arose between the parties and the same were referred to an Arbitral Tribunal, which delivered its Award in favour of the respondent. KCPL challenged the award, in appeal, under section 34 of the Arbitration and Conciliation Act, 1996. Meanwhile, Respondent sent a demand notice under the I&B Code and also initiated insolvency proceedings against KCPL. In reply to the notice KCPL claimed that there is a dispute and the award has been challenged, adjudication of which is pending. NCLT as well as NCLAT admitted the insolvency petition stating that challenge of award could not be considered to be ‘existence of dispute’ under the I& B Code. This is under challenge in the present appeals.
Decision : Appeals allowed.
Reason : A reading of Section 9(5) (ii) (d) would show that an application under Section 8 must be rejected if notice of a dispute has been received by the operational creditor. In the present case, it is clear on facts that the entire basis for the notice under Section 8 of the Code is the fact that an Arbitral Award was passed on 21.07.2017 against the Appellant. As has been pointed out by us, this clearly appears from the gist of the case that was filed along with the insolvency petition. The fact that the reply of 16.02.2017 to the notice given under Section 8 was within 10 days, and raised the existence of a dispute, also cannot be doubted.
Our recent judgment in Mobilox Innovations (supra) throws considerable light on the issue at hand. Following this judgment, it becomes clear that operational creditors cannot use the Insolvency Code either prematurely or for extraneous considerations or as a substitute for debt enforcement procedures. The alarming result of an operational debt contained in an arbitral award for a small amount of say, two lakhs of rupees, cannot possibly jeopardize an otherwise solvent company worth several crores of rupees. Such a company would be well within its rights to state that it is challenging the Arbitral Award passed against it, and the mere factum of challenge would be sufficient to state that it disputes the Award. Such a case would clearly come within para 38 of Mobilox Innovations (supra), being a case of a pre-existing ongoing dispute between the parties. The Code cannot be used in terrorem to extract this sum of money of Rs. two lakhs even though it may not be finally payable as

adjudication proceedings in respect thereto are still pending. We repeat that the object of the Code, at least insofar as operational creditors are concerned, is to put the insolvency process against a corporate debtor only in clear cases where a real dispute between the parties as to the debt owed does not exist.
We repeat with emphasis that under our Code, insofar as an operational debt is concerned, all that has to be seen is whether the said debt can be said to be disputed, and we have no doubt in stating that the filing of a Section 34 petition against an Arbitral Award shows that a pre-existing dispute which culminates at the first stage of the proceedings in an Award, continues even after the Award, at least till the final adjudicatory process under Sections 34 & 37 has taken place.
We may hasten to add that there may be cases where a Section 34 petition challenging an Arbitral Award may clearly and unequivocally be barred by limitation, in that it can be demonstrated to the Court that the period of 90 days plus the discretionary period of 30 days has clearly expired, after which either no petition under Section 34 has been filed or a belated petition under Section 34 has been filed. It is only in such clear cases that the insolvency process may then be put into operation.
We may hasten to add that there may also be other cases where a Section 34 petition may have been instituted in the wrong court, as a result of which the petitioner may claim the application of Section 14 of the Limitation Act to get over the bar of limitation laid down in Section 34(3) of the Arbitration Act. In such cases also, it is obvious that the insolvency process cannot be put into operation without an adjudication on the applicability of Section 14 of the Limitation Act. For all these reasons, we are of the view that the judgment of the Appellate Tribunal needs to be set aside and is therefore reversed.

Companies Act, 2013- sections 441 & 451 - compounding of offences - powers of Tribunal- Legal principles elucidated.
Brief facts: In these appeals as common question of law is involved, they were heard together and disposed of by this common judgment. The Appellants, Companies along with its Officers, filed applications under Section 441 of the Companies Act, 2013 for compounding of the offence(s) committed by them, on the ground that corrective measures have already been taken, which have been dismissed/disposed of by the National Company Law Tribunal (hereinafter referred to as “Tribunal”) by common order.
The questions require for determination in these appeals are:
i. Whether the Companies Act, 2013 bars filing of a joint application for compounding of offence by a defaulting company along with its officers in default?
ii. Whether the Companies Act, 2013 bars filing of a joint application for compounding of the same offence committed in different years?
iii. Whether an offence punishable under the relevant provisions of the Companies Act, 2013 with ‘imprisonment or fine’, if repeated within a period of three years results into a mandatory imprisonment for the defaulters and whether the same can be compounded or not?
iv. Whether an offence punishable under the relevant provisions of the Companies Act, 2013 with ‘only fine’, if repeated within a period of three years results into a mandatory imprisonment for the defaulters and whether the same cannot be compounded?

v. Whether the Tribunal has jurisdiction to compound offences where the fine prescribed for such offence does not exceed Rs. 5,00,000/-
Decision : Appeals allowed.
Reason : On perusal of sub-section (1) to (4) of Section 441, it is clear that any offence punishable under the Companies Act, whether committed by a company or any officer thereof with fine only, may, either before or after the institution of any prosecution can be compounded by the Tribunal, and where the maximum amount of fine does not exceed five lakh rupees, can be compounded by the ‘Tribunal’ as also by ‘the Regional Director’ or ‘any officer authorised by the Central Government’.
The aforesaid provision makes it clear that Section 441 only puts a restriction on the power of the ‘Regional Director’ and ‘the authorised officers of the Central Government’ permitting them to compound the offences wherein the maximum amount of fine does not exceed five lakh rupees and is punishable with ‘fine only’. No such fetter has been put on powers of the Tribunal, which is the main forum for such compounding of offences, the other forum of ‘Regional Director’ and ‘Officer of the Central Government’ being alternative but restricted by extent of quantum of punishment. The Tribunal has the powers to compound all the offences irrespective of any pecuniary limit as evident from a bare perusal of Section 441.
The Tribunal erroneously read Section 441 to hold that where the penalty is less than five lakh rupees, it has no jurisdiction because of limitation on its pecuniary jurisdiction, which is non-existent. In absence of any pecuniary jurisdiction limitation under Section 441 (except for the ‘Regional Director’ and ‘the officer authorised by the
Central Government’), the Tribunal has no power to lay pecuniary jurisdiction limitation in respect of Tribunal itself.
In terms of the scheme envisaged under Section 441 of the Companies Act, 2013, there is no bar on preferring a single application for compounding the same offence committed during different financial years by the Company and its Officers, nor there do any bar on a joint application being preferred by a Company along with its Officers in default. It is trite that procedures are deemed to be permitted unless expressly prohibited. In this connection, we may refer the decision of the Hon’ble Supreme Court in Rajendra Prasad Gupta v. Prakash Chandra Mishra and Ors, AIR 2011 SC 1137.
Further, in absence of any specific bar of ‘joinder of parties’ or joinder of separate cause of actions in preferring a compounding application, we hold that joinder of parties for same offence is permitted. Since facts leading to any non-compliance under the Act on the part of a company and its officers in default will be same, any suggestion to the contrary will only lead to multiplication of proceedings and different findings, which is not desirable.
The provision for compounding offences vested with the Tribunal, the Regional Director and the Officer authorised by the Central Government was earlier vested under earlier Section 621A of the Companies Act, 1956. Explaining its position, the Central Government from its Ministry of Corporate Affairs by letter dated 28th April, 1993 informed that there is no bar under the Companies Act, 1956 for filing joint compounding applications under Section 621A. After enactment of Section 441 of the Companies Act, 2013, the Central Government from its Ministry of Corporate Affairs reiterated its position by letter dated 31st January, 2018 that there is no bar under the Companies Act, 2013 in filing joint compounding applications.

Section 451 of the Companies Act, 2013 relates to ‘punishment in case of repeated default’, is attracted both to ‘a company’ or ‘an officer’ of a Company who commits an offence punishable either with fine or with imprisonment. From bare perusal of Section 451, it is clear that where the same offence is committed for the second or subsequent occasions within a period of three years, then, (a) that company and (b) every officer thereof who is in default shall be punishable with twice the amount of fine for such offence in addition to any imprisonment provided for that offence.
It is a settled that the Company cannot be imprisoned but if such Company also commits an offence punishable with fine, in such case, if such offence is committed for the second or subsequent occasions within a period of three years, then, the company and every officer thereof who is in default shall be liable to pay twice the amount of fine. The sentence ‘in addition to any imprisonment’ will not be applicable to the Company even if provided for that offence.
On the other hand, if an officer of a company commits an offence punishable either with fine or with imprisonment and the same offence is committed for the second or subsequent occasions within a period of three years, then, that company and such officer thereof who is in default shall be punishable with twice the amount of fine for such offence. It is not necessary that additional imprisonment will be automatically attracted, in absence of any such additional punishment of imprisonment is prescribed under the substantive penal provision of the Act.
It cannot be stated that Section 451 is not attracted in case of violation of sub-section (1) of Section 88. If Section 451 is made applicable to sub-section (5) of Section 88, it is clear that the Company and every officer of the Company who is in default in case of repeated default for the second or subsequent occasions within a period of three years is punishable with twice the amount of fine for such offence as prescribed under sub-section (5) of Section 88. In absence of any provision of imprisonment prescribed under sub-section (5) of Section 88, it cannot be held that in terms of Section 451, the company and every officer thereof who is in default shall be punishable with twice the amount of fine for such offence in addition to imprisonment even if not prescribed under the provision and the Company cannot be imprisoned.
At this stage, it is also to be determined as to what should be the meaning of “same offence is committed for the second or subsequent occasions within a period of three years” or to say as to how the period of three years to be counted to determine that the same offence is committed for the second or subsequent occasions.
In order to interpret Section 451 and the words used in it “where the same offence is committed for the second or subsequent occasions within a period of three years” aid can be taken from Explanation of sub-section (2) of Section 441 where with regard to that Section, it is provided that “any second or subsequent offence committed after the expiry of a period of three years from the date on which the offence was previously “compounded”, shall be deemed to be a first offence”. (Emphasis supplied) It is apparent that unless previously the offence has been “compounded”, the rigour of higher punishment as contemplated under Section 451 would not get attracted.
From the aforesaid provision, it is clear that if a company contravenes any of the provision of Chapter VI, the company shall be punishable with fine which shall not be less than one lakh rupees and may extend to ten lakh rupees. With respect to every officer of the company who is in default shall be punishable with imprisonment for a term which may extend to six months or with fine which shall not be less than twenty-five thousand rupees but which may extend to one lakh rupees, or with both.
We have held that the Company cannot be imprisoned. The officer of the company who is in default shall be punishable with imprisonment or fine or with both as prescribed under Section 86. Whether such officer is to be imposed punishment of fine or imprisonment or both will dependent on the basis

of gravity of offence which can be decided only by the Court of Competent Jurisdiction (Special Court). Such power having been delegated to the Court of Competent Jurisdiction, it cannot be held that in view of Section 451 for committing the same offence for the second or subsequent occasions within a period of three years, the officer is liable to be imprisoned. If such interpretation is given, then it will amount to taking away the power of the Competent Court (Special Court) to decide whether in the fact and circumstances of the case and on the basis of gravity of offence, the officer will be liable for punished of imprisonment or fine or both.
Therefore, we hold that the Tribunal is wrong in holding that if Section 451 is read along with Section 441(6) for offence punishable with ‘fine or imprisonment’ or ‘only with fine’ or ‘fine and imprisonment’ on repeated defaults committed within three years, the Tribunal does not have jurisdiction to compound the offence.
A bare perusal of the provision makes it evident that Section 451 only provides that ‘fine’ in case of any repeated defaults shall be ‘twice the amount of fine’, in addition or in alternative to any imprisonment for such default if prescribed under the relevant provisions of Act, 2013. It does not make the imprisonment mandatory.
Secondly, use of word ‘any’ in Section 451 in the phrase ‘in addition to any imprisonment for that offence’ leaves discretion with the prosecuting authority/court to punish the defaulter with imprisonment. Had the intention of the legislature been to make the imprisonment mandatory, it would not have used the word ‘any’. If the interpretation adopted by the Tribunal is accepted then it will amount to substituting words in a penal provision, which is impermissible in the law.
For the reasons aforesaid, we hold that the Tribunal failed to appreciate Section 451 of the Companies Act, 2013. We further hold that Section 451 only provides with ‘fine’ in case of any repeated defaults shall be ‘twice the amount of fine’, in addition to any imprisonment for such default under the relevant provisions of the Act, if prescribed and it does not make the ‘imprisonment mandatory’.
In view of the aforesaid findings, we set aside the impugned order and remit the respective Company Petitions to the Tribunal for decision on its merit taking into consideration the offence committed by the Company and its Officers and the Report of the Registrar of Companies.

Food and Safety Standards Act, 2006 read with Indian Penal Code, 1860 - offences under food Act- whether prosecution under IPC could be initiated- Held, Yes.
Brief facts : First Information Reports (FIRs) were registered for transportation and sale of Gutka/Pan Masala for offences punishable under Sections 26 and 30 of the Food and Safety Standards Act, 2006 (hereinafter referred to as the ‘FSS Act’) and Sections 188, 272, 273 and 328 of the Indian Penal Code, 1860 (hereinafter referred to as the ‘IPC’). The Respondents in the above appeals filed Criminal Writ Petitions and Criminal Applications in the High Court of Bombay for quashing the FIRs. The High Court quashed the criminal proceedings, initiated under the IPC, against the Respondents

and declared that the Food Safety Officers can proceed against the Respondents under the provisions of Chapter X of the FSS Act. Aggrieved thereby, the State of Maharashtra is before us.
Decision : Appeals allowed.
Reason : There is no bar to a trial or conviction of an offender under two different enactments, but the bar is only to the punishment of the offender twice for the offence. Where an act or an omission constitutes an offence under two enactments, the offender may be prosecuted and punished under either or both enactments but shall not be liable to be punished twice for the same offence [T.S. Baliah v. T. S. Rengachari – (1969) 3 SCR 65]. The same set of facts, in conceivable cases, can constitute offences under two different laws. An act or an omission can amount to and constitute an offence under the IPC and at the same time, an offence under any other law [State of Bihar v. Murad Ali Khan – (1988) 4 SCC 655.
In State of Rajasthan v. Hat Singh (2003) 2 SCC 152] this Court discussed the doctrine of double jeopardy and Section 26 of the General Clauses Act to observe that prosecution under two different Acts is permissible if the ingredients of the provisions are satisfied on the same facts. While considering a dispute about the prosecution of the Respondent therein for offences under the Mines and Minerals (Development and Regulation) Act 1957 and Indian Penal Code, this Court in State (NCT of Delhi) v. Sanjay (2014) 9 SCC 772 held that there is no bar in prosecuting persons under the Penal Code where the offences committed by persons are penal and cognizable offences. A perusal of the provisions of the FSS Act would make it clear that there is no bar for prosecution under the IPC merely because the provisions in the FSS Act prescribe penalties. We, therefore, set aside the finding of the High Court on the first point.
Regarding the second point as to whether offences under Section 188, 272, 273 and 328 have been made out against the Respondents, we have considered the submissions made by the learned Additional Solicitor General for the State of Maharashtra and the learned Senior Counsel appearing for the Respondents. Without going into details of the submissions made, we find that points that were not argued before the High Court were raised by both sides. We suggested to the parties that the matters have to be considered afresh by the High Court by permitting both sides to raise all contentions which were canvassed before us. There was no serious objection by both sides to the remand of the matters back to the High Court. The only request made by the learned Senior Counsel for the Respondents is that no coercive action should be taken against the Respondents during the pendency of Criminal Writ Petitions and the Criminal Applications before the High Court. We remand the matters to the High Court to consider the Criminal Writ Petitions and Criminal Applications afresh in respect of the second point framed.

C. PROCEDURAL COMPLIANCE
1. Cancellation of Provisional Admission
Provisional admission of the students, who fail to submit/upload the requisite proof of having passed the graduation examinations within the stipulated time period of six months shall stand cancelled and no refund of fee will be made.

Students are advised to update their addresses instantly through online services option at www.icsi.edu. Their Registration Number shall be their user Id itself. Students can also reset their password anytime (The new password will be displayed on the screen).

3. Updation of E-Mail Address/ Mobile Number
Students are advised to update their E-Mail Id and Mobile Numbers timely so that important communications are not missed as the same are sent through bulk mail/SMS nowadays. 4. Student Identity Card
Identity Card can be downloaded after logging into the Student Portal at www.icsi.edu. After
downloading the Identity card, students are compulsorily required to get it attested by any of the following authorities with his/her seal carrying name, professional membership No., designation and complete official address:

D. EXEMPTIONS AND SWITCHOVER
1. Clarification Regarding Paper wise Exemption
(a) Paperwise exemption is granted only on the basis of specific request received online through website www.icsi.edu from a registered student and complying all the requirements. There is one time payment of Rs. 1000/- (per subject).
(b) The paperwise exemption once granted holds good during the validity period of registration or passing/completing the examination, whichever is earlier.
(c) Paper-wise exemptions based on scoring 60% marks in the examinations are being granted to the students automatically and in case the students are not interested in availing the exemption they may seek cancellation of the same by sending a formal request through the Online facility available. For the purpose, please submit the Online Request by logging into your account at https://smash.icsi.in 15 days before commencement of examination.
If any student appears in the examinations disregarding the exemption granted on the basis of 60% marks and shown in the Admit Card, the appearance will be treated as valid and the exemption will be cancelled.
(d) It may be noted that candidates who apply for grant of paper wise exemption or seek cancellation of paper wise exemption already granted, must see and ensure that the exemption has been granted/cancelled accordingly. Candidates who would presume automatic grant or cancellation of paper wise exemption without obtaining written confirmation on time and absent themselves in any paper(s) of examination and/or appear in the exempted paper(s) would do so at their own risk and responsibility and the matter will be dealt with as per the above guidelines.
(e) Exemption once cancelled on request in writing shall not be granted again under any circumstances.
(f) Candidates who have passed either module of the Executive/Professional examination under the old syllabus shall be granted the paper wise exemption in the corresponding subject(s) on switchover to the new/latest syllabus.

(g) No exemption fee is payable for availing paper wise exemption on the basis of switchover or on the basis of securing 60% or more marks in previous sessions of examinations.

There is no provision for submitting the exemption at the time of submitting the examination form.
If you have already been granted the exemption, it is reflected in your online account Examination, Enrollment Status and Admit Card issued for examination through online mode.
It may be noted that in some cases, the exemptions granted in accordance with the various provisions contained under the regulations are inter-related with other exemptions granted and cancellation (or appearance) in any one of the papers may result in cancellation of exemptions in all the inter- related papers. For example, if a candidate has been granted paper-wise exemptions in three papers on the basis of scoring 60, 62, 58 & 10 Marks respectively in the four papers contained under Module-I of Executive Programme in previous session and in case he/she appears or cancels the exemption in any one out of the three exempted papers, all the three exemptions shall be cancelled since the exemption criteria in this case is applicable only if all the three papers are taken together. Candidates are, therefore, advised to be extremely careful while seeking cancellation or while appearing in the exempted papers, as the final result will be computed considering the actual marks scored on reappearance and/ or the deemed absence in the papers as the case may be. In other words, candidates appearing in the exempted papers despite an endorsement to the effect in the Admit Card shall be doing so at their own risk and responsibility and the Institute may not be held responsible for any eventuality which may arise at a later date. In case of any doubt regarding the applicability of rules regarding the exemptions, it would be better if the candidates seek prior clarifications from the Institute by writing at [email protected] before appearing in the examination of exempted subjects or seeking cancellation of exemptions granted.

IMPORTANT INSTRUCTIONS FOR STUDENTS FOR CLAIMING PAPER-WISE EXEMPTION:
1. Students are required to apply for paper wise exemption in desired subject through ‘Online Smash Portal on website https://smash.icsi.in and for procedure please follow the link https://smash.icsi.in/Documents/Qualification_Based_Subject_ExemptionandCancellation_Student.pdf
2. Fee for paper wise exemption is Rs.1000/- (per subject) and is to be paid through ‘Online Smash Portal https://smash.icsi.in’ using Credit/Debit card or Net banking.
3. Students who have been granted exemption in Executive Programme Stage on the basis of having passed Final Course of The Institute of Cost Accountants of India are required to submit their request for exemptions afresh for papers covered under the Professional Programme Stage & the same are not granted automatically.
4. Students need to upload scanned attested copies of mark sheets of all parts/semesters of LLB degree or scanned attested copies of final pass certificate of the Institute of Cost Accountants of India.
5. Last date of applying for exemption is 9th April for June Session of Examinations and 10th October for December session of Examinations.”

Switchover to New Syllabus :
Revision of syllabus is a constant exercise by the Institute to ensure up-gradation of knowledge amongst the student community. If the student wish to appear under new syllabus 2017, the student have the option to switchover to professional new syllabus 2017 as per ICSI Notification No. 01 of 2018.
The students are requested to kindly follow the process mentioned in the link for switch over to new syllabus . Further to state that revert switchover is not permissible.

1. That, all switchover students are eligible to appear Online Pre-Examination Test which is compulsory under the new syllabus 2017 before enrolling for any examinations. 2. The First Examination to appear in Professional New Syllabus 2017 will be held in June 2019

1. Opportunity for Higher Education with Scholarships from Government of India
The ICSI Student Education Fund Trust is providing financial assistance / scholarships on the basis of the marks scored by them in the qualifying examinations (10+2, Bachelor’ Degree, etc.). The scholarships are continued and ensure ‘zero cost’ education to meritorious students provided they are able to pass the different stages of examinations at the first attempt and first available opportunity. Besides the above, Government of India and most of the State Governments in India are providing substantial amount of Post-Matric Scholarships to the eligible students belonging to minority communities, having disabilityand variousother categories. For details of Scholarships available, students may please refer to the National Scholarship Portal at http://scholarships.gov.in/ Government of India has created the National Scholarship Portal as a Mission Mode Project under National e-Governance Plan (NeGP) to provide single-window services to the eligible students for availing scholarships against all the schemes of the Central and State Governments. The students of CS Course are eligible to apply for scholarships provided by Central / State Governments under different schemes. The Institute would like to emphasise that it is a golden opportunity to the students desirous of pursuing Company Secretaryship Course while availing scholarships from the Government. Eligible students shall be able to pursue the CS Course at subsidised/zero cost. The existing students of the Institute are advised to make use of such Scholarship Schemes apart from disseminating the details amongst their friends and relatives.

4. Updation of Data
The Institute in its continuous endeavour to update technology is revamping all online services. We are moving through a transition phase while implementing the flagship online platform SMASH (Student Member Application Software Hosting).
With this, the data of all students registered under old system has been migrated to new system and after this transition all students are compulsorily required to log in at the new SMASH(Student Member Application Software Hosting) system.
Further after the migration process, it has been observed that the address of some of the students are incorrect. It is therefore advised to update your address immediately.

6. Discontinuation of Public Private Partnership Scheme for Class Room Teaching
The Public Private Partnership Scheme for conducting Class Room Teaching has been discontinued and presently no Centres are authorized to conduct the classes under the Scheme. Students registering at these centres will be doing so at their own risk and responsibility. Students are advised to approach the nearest Regional and Chapter Offices of the Institute for availing the Class Room Teaching facility.

In order to ensure uniformity in the procedure for effecting change of name on the basis ofspecific requests from students, it has been decided that henceforth request for change of name of students in theInstitute'srecords wouldbe acceptedonlyonreceipt/submissionof eitherofthefollowing documents : - (i) Gazette Notification (ii) Publication in Newspaperfor change of name alongwith anAffidavit (iii) Copy of Marriage Certificate (in case of Female candidates after marriage) (iv) Copy of PAN Card / Aadhaar Card / DIN supporting change of name. Students may send any such request at [email protected] alongwith the requisite supporting documents as mentioned above while quoting their Registration Numbers. It may be further noted that no request would be accepted without registration number.
8. ATTENTION STUDENTS !
Issue of Study Materials Compulsorily to All the Students Registering for the CS Course
It is informed that henceforth the study materials will be issued compulsorily to all students registering for different stages of CS Course.
It has been decided to discontinue the system of granting concession to the students of Executive/ Professional Programme Stages not opting for the study materials at the time of registration.

2. Third (3rd) International Company Secretaries Olympiad for Academic
Session (2018-19)
CS Olympiad has been established with the objective of enabling the student community to discover their potential in areas pertaining to Company Secretaryship and governance and identifying their interest to choose their stream of education.
As you are aware, the Second (2nd) International CS Olympiad was conducted on 23rd and 30th Janunary,2018 in which more than 1300 schools and about 34,000 students from different parts of the country and aboard have participated .
Students of class 11th& 12th from various locations have scored International Rank as well as Zonal Ranks in the same.
This year also various chapters of the Institute have already organized the Zonal Winners award ceremonies at Schools level.
We are happy to inform you that after the Grand Success of First (Ist) and Second (2nd) International CS Olympiad, the 3rd International Company Secretaries Olympiad for Academic Year 2018-2019 will be held on 20th December, 2018 and 30th January, 2019 2018-2019 will be held on 20th December, 2018 and 30th January, 2019.
The details of CS Olympiad is also being publicised through dedicated portal www.csolympiad.info .
3.‘Shaheed Ki Beti’ Initiative
The Institute has launched a novel initiative to help the daughters of Martyrs who laid down their lives for protecting the sovereignty of the country. Under the ‘Shaheed Ki Beti’ initiative, the Institute has discontinued the practice of giving mementoes, etc. to the dignitaries/ speakers invited for various programmes of the Institute and the said amount will be transferred to the dedicated corpus and will be utilised for the education/ welfare of the daughters of martyrs. The first certificate under this initiative was presented to Shri Narendra Modi, Hon’ble Prime Minister of India who was the Chief Guest on the launch of ICSI Golden Jubilee Year on 4th October, 2017. Any national of India can also donate under this scheme. Kindly disseminate this information amongst your family and friends to support the Institute for this novel initiative.

4. Extension of Fees Waiver Scheme for Students of State of Jammu & Kashmir and North-Eastern States up to 31st December 2018
As you are aware that the Institute had launched a Fee Waiver Scheme for students of Jammu & Kashmir and North Eastern States of India to provide an opportunity to the youth of these States to come to the mainstream. The fee waiver scheme includes waiving the Fee for all students registering for the Foundation and Executive Programme Stages from North Eastern States (Arunachal Pradesh, Assam, Manipur, Meghalaya, Mizoram, Nagaland and Tripura, Sikkim) and State of Jammu and Kashmir. All students belonging to North Eastern States and State of Jammu and Kashmir who have passed the 10+2 or equivalent or Bachelor’s Degree or equivalent irrespective of the percentage of marks are eligible for Fee Waiver while registering for Foundation Programme and Executive Programme Stage respectively.
It is overwhelming to note that students are joining the course in large numbers after launch of this Scheme and keeping in view the same, the Institute has further extended the Scheme till 31st December 2018.

FAQs ON PRE-EXAMINATION TEST Q.1 Students of which stage of CS Course are required to complete the Pre-Examination
Test? A.1 The Pre-Examination Test is applicable for students of New Syllabus (2017) of
Executive Programme and Professional Programme Stage. Initially, the Pre-Exam Test will be introduced for Executive Programme (2017) New Syllabus Students which will be a pre-requisite for students seeking enrolment to December, 2018 Session of Examinations.
Q.2 Please let me know the pattern and other related details of Pre-Examination Test? A.2 The pattern of Pre-Examination Test will be as follows :
a) Online Computer Based b) The student can take the test from his home, cyber café or any other location. c) Multiple Choice Question (MCQ) type with negative marking of 25% of the allotted
marks; d) Result of the test would be available immediately on completion of the test; e) Result of the test would be linked with the enrolment process for examination; f) The questions will be categorized as per three difficulty levels i.e. Easy, Medium
and Tough and shall have a ratio of 30:40:30 in the overall marking scheme. Q.3 What will be the qualifying marks for each subject? A.3 The subject-wise qualifying marks will be minimum 40% marks. Q.4 I am planning to appear in Module-1 of Executive Programme during December,
2018 Session? Am I required to complete the Pre-Exam Test of Module-2 also before enrolment to December, 2018 Session?
A.4 No. You are required to complete the Pre-Exam Test of subjects covered under Module-1 only. Students are required to successfully complete the Pre-Exam Test of all subjects forming part of specific Modules in which they are planning to appear in the main Examinations. They may complete the Pre-Exam Test of remaining modules separately before seeking enrolment to examinations of such Module(s).
Q.5 Can I complete the Pre-Examination Test after enrolling and appearing in the main examinations?
A.5 No. Students are required to complete the Pre-Examination Test before enrolling for the main examinations.
Q.6 If I successfully complete the Pre-Examination Test before seeking enrolment to December, 2018 Examinations, will it be valid for future sessions if I fail in the main examinations?
A.6 The Pre-Examination Test will be valid for future sessions of examinations for the respective subjects and students will NOT have to clear the Pre-Examination Test each time they are seeking enrolment to main examinations.
Q.7 Am I required to remit any fee for appearing in the Pre-Examination Test? A.7 Yes. Students seeking enrolment to Pre-Examination Test are required to remit a
fee of Rs.1000/-. However, students who have already remitted the Pre-Examination Test Fee while seeking registration to CS Executive / Professional Programme Stages are not required to remit the fee again.
Q.8 What will be the syllabus for Pre-Examination Test? A.8 The questions will be according to the 2017 New Syllabus of CS Course.

Q.9 I was an Old Syllabus Student and I have switched over to New Syllabus (2017) of Executive Programme. Shall I be required to pass the Pre-Examination Test before appearing in the main Examinations?
A.9 Yes. Students who have switched over from Old Syllabus to New Syllabus (2017) of Executive and Professional Programme Stages shall be required to pass the Pre-Examination Test before seeking enrolment to Examinations.
Q.10 I have been granted exemption in some of the subjects on the basis of higher qualification/ switchover/ 60% marks criteria, etc. Am I required to pass the Pre-Examination Test of these subjects before appearing in main examinations?
A.10 No. Students are not required to pass the Pre-Examination Test of subjects in which they have already been granted exemption under different criteria for grant of exemption.
Q.11 What will be the duration of Pre-Examination Test, Total Number of Questions and the Total Marks?
A.11 Duration of Pre-Examination Test : 60 Minutes; Total Number of Questions : 50; Total Marks : 100.
Q.12 In case, I fail in the Pre-Examination Test, shall I be given another opportunity to appear in the Pre-Examination Test?
A.12 Students may appear in Pre-Examination Test any number of times, but they shall be able to appear in the Pre-Examination Test only ONCE in a day.
Q.13 What will be the process of making payment of fee for Pre-Examination Test? A.13 PROCESS FOR REMITTING THE FEE FOR PRE-EXAMINATION TEST

Chapter Office of the Institute in my city. Shall I be exempted from appearing in Pre-Examination Test if I pass the Tests conducted by the said Regional/ Chapter Office after completion of the Class Room Teaching Session?
A.15 Yes. Students who have cleared the Offline Test in specific subjects after undergoing Class Room Teaching session in the Regional and Chapter Offices shall be exempted from the specific subjects of Online Pre-Examination Test.
Q.16 Please let me know if the marks scored in the Pre-Examination Test will be considered for computing the result of main CS Examinations?
A.16 No. The Pre-Examination Test will be a qualifying test to assess the level of preparation of the students before appearing in the main examinations. The marks scored in the Pre-Examination Test will NOT be used for computing the results of the main CS examinations.

1. DISPATCH OF MARKS-SHEETS JUNE, 2018 EXAMINATION
The Result-cum-Marks Statements to all the Professional Programme students of CS Examination held in June, 2018 have been dispatched via Speed Post after declaration of result on 25th August, 2018. Students who have not received the same may contact the Dte. of Examination through e-mail at : [email protected] stating their Name, Roll No., Registration No., complete postal address and mobile number latest by 25th November, 2018. Students may note that fee for duplicate Result-cum-Marks Statement shall be charged on applications received after 25th November, 2018.
2. OUTCOME OF APPLICATIONS FOR VERIFICATION OF MARKS/ INSPECTION OR SUPPLY OF CERTIFIED COPY(IES) OF ANSWER BOOK(S)
The response time to candidates’ requests for verification of marks/ inspection or supply of certified copy(ies) of answer book(s) is normally 6-8 weeks from the date of receipt of their applications in the Directorate of Examinations of the Institute. On receipt of the applications in the Directorate of Examinations, the status/outcome of verification of marks/ inspection or supply of certified copy(ies) of answer book(s) will be shown on the Institute’s website: www.icsi.edu and the candidate concerned can enquire about the status/outcome of his/her application by entering his/her Roll No. or Student Registration Number. In case of no change in his/her marks or result position, the candidate can also download a copy of the reply letter instantly from the link given to this effect and no other communication will be sent in this regard. However, in case of any change/revision in marks in any subject(s) and/or result of a particular Module/Stage of Examination, separate communication to that effect will be sent to the candidate concerned through Speed Post.

ATTENTION STUDENTS APPEARED IN CS EXAMINATIONS

The Institute awards “Merit Scholarships” and “Merit-cum-Means Assistance” to students for pursuing Executive Programme and Professional Programme on the basis of their meritorious performance in the examinations and on merit-cum-need basis on their passing Foundation Programme and Executive Programme examinations respectively, as per the criteria stipulated under the “Merit Scholarship (Company Secretaryship Course) Scheme, 1983” and “Merit-cum-Means Assistance (Company Secretaryship Course Scheme), 1983”. MERIT SCHOLARSHIP
In pursuance of para 7 of the “Merit Scholarships (Company Secretaryship Course) Scheme, 1983, 25 numbers of scholarships are awarded each for Executive Programme and Professional Programme Course per session only to registered students, purely in order of merit, from amongst the candidates who appeared and passed in all the subjects of their respective examination, at first attempt, in one sitting, without claiming exemption in any subject, on all-India basis and subject to fulfilling other terms and conditions as stipulated in the said scheme.
Accordingly, students who pass the Foundation Programme/Executive Programme Examination in June, 2018 and fulfill the conditions prescribed under the guidelines are eligible for award of Scholarship.
MERIT-CUM-MEANS ASSISTANCE
In pursuance of para 8 of the “Merit-cum-Means Assistance (Company Secretaryship Course) Scheme, 1983”, 25 numbers of financial assistance are awarded each for Executive Programme and Professional Programme Course per session only to registered students. According to the scheme, a candidate has to apply in the prescribed form which can be downloaded from Institute’s website: www.icsi.edu OR obtained from the Institute free of cost by sending a self-addressed stamped envelope, and submit his/her application within the specified date as notified from time to time. Any candidate applying for financial assistance should have passed the Foundation Programme/Both the Modules of Executive Programme Examination, at first attempt, in one sitting, without claiming exemption in any subject. If the candidate is employed or having an independent source of income, in that case his/her income should not be more than Rs.2,40,000 per annum and if he/she is dependent on his/her parents/guardian/spouse, then the combined income from all sources should not be more than Rs. 3,60,000 per annum and also subject to fulfilling other terms and conditions as stipulated in the said scheme.

5. GRANT OF FACILITY OF WRITER’S HELP/EXTRA TIME TO PHYSICALLY DISABLED CANDIDATES IN CS EXAMINATIONS - DECEMBER, 2018
Any physically disabled/challenged candidate having a minimum of 40% physical disability or deformity of permanent nature and who wishes to seek writer’s help and/or extra time for the purpose of appearing in Company Secretaries Examination is requested to submit a separate application in the prescribed format as specified below in addition to submitting his/her online enrolment application for appearing in the examination together with the attested photocopies of following documents and with full size photograph showing the disability:
(i) Disability Certificate issued by the Medical Board/doctor of not below the rank of Civil Surgeon/Medical Superintendent of a Central or State Govt. Hospital/Medical College, certifying the nature (permanent or temporary) and percentage of disability and its duration affecting his/her ability and/or the normal physical functions; and
(ii) Letter of Permission issued to him / her by Sr. Secondary Board / University and/or any other professional/educational examining body, such as — UPSC, SSC, State Public Service Commission, The Institute of Chartered Accountants of India, The Institute of Cost Accountants of India, etc., granting him/her such assistance for appearing or writing the examinations.
Physically disabled candidates who had been granted facility of writer’s help/extra time in the previous CS examination(s) and wish to avail of such concession or assistance for writing the ensuing examination are required to apply again for each session of examination giving reference of communication allowing such facility granted in the past. In such cases, candidates are not required to submit the attested copies of above stated documents and full size photographs.
It is clarified that in case of disablement of temporary nature and injuries like, fracture in the arm, forearm or dislocation of a shoulder, elbow, wrist or any other illness, etc., the candidates are not eligible to seek any concession or assistance of writer and/or extra time.
The duly filled in application on the prescribed form along with the supporting documents, if any, should be sent to the Institute at the address given below at least 45 days in advance from the date of commencement of examination:

While considering matters concerning conduct of Institute’s June, 2018 Examinations, the Examination Committee of the Council of the Institute found the following examinee guilty of adopting of unfair means :

Accordingly, the Committee – (a) cancelled the results of the candidate in respect of the appearance in June, 2018 examination; and (b) debarred the candidate from appearing in the next two sessions of examination. i.e. December, 2018 and June, 2019.
The Committee further observed that such an unbecoming behaviour was not befitting the aspirants intending to join the profession of ‘Company Secretaryship’ and, therefore, any such attempt to indulge in unfair practice by the examinees shall be viewed seriously.

CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE FOR STUDENTS
The Institute launched the ‘Corporate Compliance Executive Certificate’ in terms of Chapter IVA (Regulation 28A & 28B) of the Company Secretaries Regulations, 1982 on 4th October, 2013.
ELIGIBILITY FOR AWARD OF CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE
A person who –
— is currently registered as a student of the Company Secretaryship course of the Institute;
— has completed at least one group of the Intermediate/Executive Programme Examination of the Company Secretaryship Course, and
— has completed a training of Six months under Regulation 28A of the Company Secretaries Regulations, 1982, which may include skill oriented practical/class room training for two weeks.
PROCEDURE
An eligible student may apply for award of Corporate Compliance Executive Certificate by submitting an application in specified format (available on the website of the Institute www.icsi.edu), after making payment of a fee of Rs. 2000 (two thousand only), either in cash (at counters of the Institute across the county) or by way of Demand Draft in favour of ‘The Institute of Company Secretaries of India’ payable at New Delhi.
STATUS OF HOLDER OF CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE
— The student who is awarded Corporate Compliance Executive Certificate of the Institute shall be entitled to use the descriptive letters “Corporate Compliance Executive”.
— The grant of Certificate of Corporate Compliance Executive Certificate shall not confer on the Corporate Compliance Executive the rights of a member, nor entitle him to claim membership of the Institute.
VALIDITY OF CERTIFICATE
— The Corporate Compliance Executive certificate is valid for a period of three years (financial years) and is renewable on completion of four Programme Credit Hours (PCH) and payment of requisite fee as the Council may determine from time to time.
OTHER DETAILS
— The student shall have to complete the course of Corporate Compliance Executive Certificate including the training requirements within the registration period.
— The student having awarded the Corporate Compliance Executive Certificate may continue to pursue the regular Company Secretaryship course if he so desires.
— Except to the extent provided in this Chapter IVA (Regulations 28A & 28B) of the Company Secretaries Regulations, 1982 or as decided by the Council from time to time, regulations in Chapter IV and VI relating to ‘Registered Students’ and ‘Examinations’ shall mutatis-mutandis apply to the ‘Corporate Compliance Executive Certificate Course’.
— A student after having awarded the Corporate Compliance Executive Certificate shall secure four Programme Credit Hours (PCH) for renewal of Corporate Compliance Executive Certificate.
— There shall be no exemption from training.

LICENTIATE - ICSI
Regulation 29 & 30 under Chapter-V of the Company Secretaries Regulations, 1982 provides for Licentiate ICSI.
ELIGIBILITY FOR AWARD OF LICENTIATE ICSI
A person who –
- has completed the Final examination or Professional Programme examination conducted by the Institute may, within six months from the date of declaration of results in which he has passed the Final examination or Professional Programme examination can apply for enrollment as a licentiate
- the Council, however, may condone the delay in applying for licentiateship by any person for reasons to be recoded in writing.
PROCEDURE
An eligible student may apply for enrollment as Licentiate ICSI by submitting an application in prescribed form ST-8 alongwith annual subscription of Rs. 1000/- in cash (at counters of the Institute across the country) or by way of Demand Draft in favour of ‘The Institute of Company Secretaries of India’ payable at New Delhi along with copies of date of birth, professional programme pass certificate and graduation certificate/foundation pass certificate duly attested by any member of the Council/Regional Council/Satellite Chapter of the Institute or any Officer of the Institute.
STATUS OF LICENTIATES
- The person enrolled as a Licentiate of the Institute shall be entitled to use the descriptive letters “Licentiate ICSI” to indicate that he has qualified in the Final examination or Professional Programme examination of the Institute.
- The grant of licentiateship shall not confer on such licentiate any rights of a member nor entitle him to claim any form of membership of the Institute or its Regional Council or Chapter, as the case may be.
- The licentiate may be permitted to borrow books from the library of the Institute, Regional Council or Chapter or participate in the activities of the Institute, its Regional Council or Chapter as the case may be, subject to such conditions as may be imposed by the Council, Regional Council or Chapter, as the case may be.
VALIDITY OF CERTIFICATE
- A licentiate shall not ordinarily be eligible to renew his enrolment for more than five years after passing the Final Examination or Professional Programme examination.
OTHER DETAILS
- The Licentiate will be provided Chartered Secretary Journal of the Institute free of cost.
- The student enrolled as a Licentiate ICSI may apply for ACS Membership on attaining the eligibility for ACS by surrendering his Licentiateship.
- A Licentiate may apply in the prescribed form for exemption from training requirements (except MSOP) along with the requisite documents of work experience. eMSOP can be undergone through online mode by the eligible candidates for acquiring ACS Membership.
- The annual licentiate subscription becomes due and payable on the first date of April every year and non-payment of annual subscription on or before the thirtieth of June of a year shall disentitle the person to use the descriptive letters “Licentiate ICSI” from 1st July of that year, until his annual subscription for the year is received by the Institute.
- The name of the person so disentitled shall be published in the Journal.
