SECTION 1

INVITATION FOR TENDER

Canteen of 4, Camac Street, Kolkata-700016 1.1 On behalf of Commerce & Industries Department, Managing Director,

West Bengal Industrial Development Corporation Ltd. in terms of Clause 1.5, invites bids in two sealed envelopes, comprising the Technical Experience details and the financial offer from bidders for running the Canteen at the 4, Camac Street Building.

1.2 The Bidder should have successfully performed in running canteen

services OR Catering services OR Restaurant / Hotel for at least One Year.

1.3 The Canteen of the aforesaid building shall be taken up on a rental basis.

The contract is being offered for an initial period of 2 years subject to satisfactory performance.

1.4 Bidders must furnish full data and information as required in this bid

document. Based on the evaluation of the proposal submitted by the bidder, one of the bidders will be selected.

1.5 Award of the bid is at the sole discretion of WBIDC. Proposal of the

successful bidder would form the basis for future negotiations and lead to signing of a Contract Agreement for setting up the Canteen of the building on a rental basis.

1.6 The interested bidders will have to collect the bid document from the office of WBIDC:

Introduction

The 4 Camac Street building has total 9 floors comprising of B + G+ 8. The building will be housing the entire Commerce and Industries Department of Government of West Bengal, the Directorate of Industries and a few other offices. Commerce and Industries Department of Government of West Bengal and West Bengal Industrial Development Corporation Ltd has decided to let out Canteen space measuring approximately 1200 Sq. Ft. in the ground floor on purely rental basis for setting up a restaurant / canteen inside the 4, Camac Street building premises. The canteen is fully equipped with all the necessary furniture and electrical fixtures. The detailed state of the space is fully described below;

The operator will not be allowed to use any extra electrical equipment without prior approval from WBIDC/C& I Department in writing.

CCIIVVIILL//PPLLUUMMBBIINNGG:: The internal wall has been painted with distemper paint; there are 3 washbasins in running conditions. The kitchen area also has a running sink. The whole area is furnished with chairs/tables for a capacity of 80 people along with a cash counter. The operator is liable to take care of each of the above assets and bear the maintenance cost for the same as and when required.

SECTION 3

GENERAL TERMS AND CONDITIONS

a) WBIDC shall let out the Canteen Space (with kitchen) measuring 1200 Sq.

Ft. in the Ground floor on purely rental basis for setting up a Restaurant / Canteen in side 4, Camac Street building premises.

b) The tenancy of the Restaurant / Canteen at 4, Camac Street Building shall

be for a fixed for a period of 2 (two) years c) The Restaurant / Canteen Operator shall pay to WBIDC a lump sum rent

per month within the seventh day of every month for which such rent is due without any delay as may be determined by the C & I Department / WBIDC from time to time. In default of payment of the rent, interest @ 5% per month will be charged till realization.

d) The Restaurant / Canteen Operator shall deposit an amount of

Rs.200000/- (rupees Two lakh only) as interest free refundable Security Deposit to the WBIDC which will be refunded on expiry of the contract agreement simultaneously with delivery of vacant and peaceful possession of the canteen space by the canteen operator to the WBIDC and or to be adjusted against an damage cost to the canteen space.

e) If the canteen operator fails to deliver vacant and peaceful possession on

expiry of the agreement or earlier determination, the canteen operator will be liable to pay Rs. 2000/- per day by way of Liquidated Damages to WBIDC till the canteen space is vacated.

f) The Restaurant / Canteen operator is allowed to serve foods to the outside visitors as per the current market price in the Restaurant / canteen at 4, Camac Street building. Since government/WBIDC employees would have to be given priority during the lunch hours, namely 1 p.m to 2 p.m, outsiders should not be allowed inside during this duration. However, if general customers are already in the facility, they would not be disturbed. Regular Tea with Biscuits has to be served to the offices, 4 times a day at a rate fixed by WBIDC.

g) The Restaurant / canteen operator shall bear and pay the cost of repairs

and maintenance of the canteen space together with any improvement as would be deemed necessary and be made by the canteen operator with the approval of C & I Department / WBIDC.

h) The Restaurant / canteen operator shall keep the canteen space in good and usable conditions. If any damage caused by the canteen operators shall be repaired at their own cost.

i) The Restaurant / canteen operator shall not do any act of nuisance or

annoyance or inconvenience to the other occupiers in the building, or neighbours.

j) The Restaurant / Canteen operator shall not store or allow to be stored

any inflammable or obnoxious article in the canteen space excepting those as may be required for the use of the canteen operator which is covered by any lawful license.

k) Officer(s) of the C & I Department / WBIDC with / without workmen or

others will have the right to enter upon the canteen space and inspect any area during the day and night time.

l) The Restaurant / Canteen operator at the end of their term of contract of

two (2) years, peacefully surrender and yield up to the C & I Department / WBIDC the space and goods in good initial/usable state and condition in all respect.

m) If there is any complaint on the hygiene aspect or quality of food, which

will appear justified by the C & I Department / WBIDC, the contract is liable to be terminated after a hearing.

n) The Restaurant / Canteen operator shall have the option to revise the

rates of subsidised items once a year with approval of the C & I Department / WBIDC.

o) If the monthly rent remains unpaid for a period of two (2) consecutive

months, then in that case, the C & I Department / WBIDC shall be entitled to terminate the contract by giving 15 days notice to the Restaurant / canteen operator.

p) The Restaurant / Canteen operator shall bear the service charges in

respect of the canteen space as fixed by the C & I Department / WBIDC from time to time for water supply, peripheral security, conservancy services, generator and fire fighting system, lighting charges for the common areas, insurance and any other services provided by the C & I Department / WBIDC.

q) The Restaurant / canteen operator shall be allowed to use for water, urinal

/ privy and toilet on common usage basis.

r) The Restaurant / Canteen operator shall obtain all the necessary licenses and approvals including all insurance covers for running its business in the canteen at 4, Camac Street building.

s) Canteen space shall not be used for catering services.

t) Any member of the public may be allowed to utilise the Restaurant /

canteen between 9 a.m to 11 p.m. However, general users shall not be allowed entry during 1 p.m to 2 p.m. No liquor would be served in the Restaurant / canteen.

u) The canteen furniture will be provided by the C & I Department / WBIDC for the canteen space which would have eighty (80) sitting arrangements in the building. Canteen operator will not be allowed to construct any permanent fixtures inside the canteen space.

v) Number of canteen staff to be decided in consultation with the caretaker of the Building and in between 11 pm to 6 am not more than 4 (four) staff would be allowed to stay in canteen. All staff engaged by the agency shall have photo identity cards with construe signature of the caretaker.

SSEECCTTIIOONN 44

IINNSSTTRRUUCCTTIIOONN TTOO BBIIDDDDEERRSS 4.1 Site Visit

It is essential that the bidder visits the site and examines the Projects and all its facilities and infrastructure and take full responsibility for directly obtaining all necessary information for preparing the bid and entering into contract. The cost of any such visit shall be borne entirely by the bidder and no claim in this regard shall be entertained by C & I DEPARTMENT / WBIDC.

A bidder shall be deemed to have full knowledge of the facilities and infrastructure in the building/surroundings that the successful bidder is required to operate from.

The bidder and any of their personnel or agents shall not need any permission from C & I DEPARTMENT / WBIDC for entering the project premises. However, prior to the site-visit, the bidder shall fix up an appointment WBIDC site representative who will available at the following phone no. 033-22553886 from 10-00 a.m. to 1-00 p.m. & 2-00p.m. to 5-00p.m. from Monday to Friday.

If the bidder or any of their personnel or agents face any problem regarding entering the site, the bidder may contact WBIDC who may subsequently arrange the visit as per their own time schedule.

The bidder or their authorised representative will indemnify C & I DEPARTMENT / WBIDC and their officers from and against all liability in respect thereof.

4.2 Pre-bid Conference

Interested bidders can attend the 21.08.2012 at 15:00 Hrs the office of WBIDC, "Protiti", 23, Abanindranath Tagore Sarani, 2nd Floor, Kolkata – 700017. The purpose of the conference will be to clarify issues and to answer questions on any matter relating to this document that may be raised at that stage.

The bidders are requested to submit all queries in writing or by e-mail (subsequently by writing) to reach WBIDC not later than 21.08.2012. However, the bidders can also raise questions during the pre-bid conference.

Proceedings of the pre-bid conference including copies of the queries raised and responses given will be furnished expeditiously to all bidders. Any amendment of the bid document that may become necessary as a result of the pre-bid conference shall be made by C & I DEPARTMENT / WBIDC and distributed to all bidders as per Clause 4.8.

4.3 Time of Submission

Sealed bids have to be submitted to the office of WBIDC by 17:00 hours.

WBIDC may, at its own, sole discretion, extend the deadline for submission of bids by issuing an amendment in accordance with Clause 4.8 in which case all rights and obligations of C & I DEPARTMENT / WBIDC and the bidders, previously subject to the original deadline shall thereafter be subject to the new deadline as extended.

4.4 Late Bids

Any bid received by WBIDC after the deadline for submission of bids described in accordance to Clause 4.3 will not be accepted for opening and will be returned unopened.

4.5 Fees Payable

The following fees are payable at various stages of the bidding process:

1. Tender purchase fee: Rs. 2000/- (Rupees Two thousand only) payable by all the bidders pre-qualified for submitting bids in Demand Draft only. Every bidder needs to purchase only 1 copy of the bid document by paying this amount. The amount is non-refundable. The tender purchase fee is to be paid vide Demand Draft / Banker Cheque drawn on any scheduled bank in Kolkata in the name of WBIDC. The details of the bid security are given in Clause 5.4 of this document

2. Bid Security of Rs. 25000/- (Rupees Twenty five Thousand Only.)

The bidders shall bear all the costs (inclusive of cost of data collection, preliminary survey, advisory fees etc.) incurred by them in bid preparation and submission. C & I DEPARTMENT / WBIDC will not, under any circumstances, compensate the bidder for any expense incurred in preparation of the bid and in connection with the preparation of the bid. All activities in connection with the preparation of the bid will be sole responsibility of the bidder.

4.7 Inquiries

Any inquiry concerning the Bid Document should be submitted only to BPMC, WBIDC at the following address in writing by letter / e-mail (subsequently in writing) / fax (subsequently in writing) to:

Reply to the query of any particular bidder would be sent to all the parties.

4.8 Amendment of Bid Document

At any time prior to 3 days from the deadline for submission of the bid, C & I DEPARTMENT / WBIDC reserves the right to add / modify / delete any portion of the bid document by the issue of an addendum, which will be sent to all bidders. In case of amendment of bid document, C & I DEPARTMENT / WBIDC may, at their own discretion, extend the bidding period only under exceptional circumstances. C & I DEPARTMENT / WBIDC will not entertain any request from any bidder to extend the bidding period.

4.9 Settlement of disputes

For any dispute arising during the bidding process, the decision of C & I DEPARTMENT / WBIDC shall be final and be binding on all parties.

4.10 Clarifications

C & I DEPARTMENT / WBIDC may call for clarifications regarding certain aspects of the bids received. Such clarifications are required to be provided in writing within the specified time frame and would be considered as part of the bid. However, bidders will not be permitted to

change any aspect of their financial bid or any term that might materially affect the financial bid after the last date for submission of bids.

4.11 Law applicable

Indian laws shall be the Applicable for the bidding process. No cases shall be entertained beyond the jurisdiction of Kolkata.

4.12 Right to accept / reject

C & I DEPARTMENT / WBIDC reserves the right to accept or reject any bid or annul the bidding process or reject all bids without assigning any reason thereof, and without thereby incurring any liability to the affected bidders. Any non-responsive bid shall be rejected and the bid security shall be forfeited.

C & I DEPARTMENT / WBIDC shall reject the bid where a prospective bidder or anyone on behalf of such bidder directly or indirectly offers any illegal means or ways to C & I DEPARTMENT / WBIDC with a view to securing the bid or makes any false or misleading statement to influence C & I DEPARTMENT / WBIDC in any way in the process of examination, clarification, evaluation and comparison of the bids.

The bids shall be considered invalid and non-responsive for one or more of the following reasons:

a. The bidder has not purchased the bid document from WBIDC b. Non-submission of any payment/ document stipulated in clause

5.9.1. Bids received after due date and time specified for submission (Late Bids) shall be returned unopened (Clause 4.4).

4.13 Indemnification

The Bidder will be required to indemnify C & I DEPARTMENT / WBIDC against all liabilities, direct or indirect arising out of the bidding process.

4.14 Period of Contract

The period of the Canteen Contract is for 2 (two) years. The Contract may be renewed after 2 years after further negotiations based on the Canteen operator’s performance in the first 2 Years. Alternatively, fresh bid may be invited.

4.15 Payments

Canteen Operator shall pay to the WBIDC the monthly rental for the Canteen space.

4.16 Financial Bid

The price quoted shall be a fixed lump sum price on a monthly rental basis for the canteen space. Bidders are also required to note the subsidized food rates as per the given format in the chapter “Bid Format.”

However C & I DEPARTMENT / WBIDC may ask for any analysis of the quoted lump sum monthly rental for the purpose of bid evaluation.

The price quoted by the Canteen Operator shall include all applicable taxes duties, levies, etc as per Acts, Rules, Regulations and Statutes of the State or Central Government as on the date of submission of the Bid.

Monthly rental will be fixed for the period of 2 years (contract period)

Contract Price shall not be subject to any escalation.

Tax deductions shall be made at source as per the law at the time of payments and certificates for such deductions shall be issued.

4.17 Selection of restaurant /Canteen Operator

Both technical and financial offer shall be considered for evaluating the bid. WBIDC has no obligation to select the highest financial bidder or any other bidder.

4.18 Termination of Contract:

The contract, to be executed between WBIDC and the selected restaurant / canteen Operator, may be terminated if the applicable monthly rent remains unpaid for the two consecutive months any of the other terms and conditions are not fulfilled.

4.19 Employees’ statutory norms:

The restaurant/canteen operating agency shall adhere to all statutory norms of payments to employees’ provident fund, ESI gratuity, minimum wage to be given them.

4.20 Performance Security:

After receiving the Letter of Acceptance (Clause 7.3) and before entering into the Contract Agreement, the successful bidder has to furnish an amount of Rs.200000/- (Rupees Two lakh only) as interest free refundable Security Deposit to the WBIDC which will be refunded on expiry of the contract agreement.

SECTION 5

BID FORMAT & CONTENTS

5.1 Sealing, Marking and Submission of Bids

Each bid shall contain the bid security, technical proposal and the financial proposal. The original bid shall be enclosed in two separate covers and sealed. Each sealed cover shall be marked”Strictly Confidential – Bid for Restaurant / Canteen at 4 Camac Street, Kolkata-700016, and should be addressed to:

Individual envelopes will be marked envelope I, envelope II or (explained in Clause 5.9) depending on the contents.

If the envelopes are not sealed and marked as instructed, WBIDC will assume no responsibility for the misplacement or premature opening of the bid. A bid opened prematurely due to this sub-clause may be rejected by WBIDC and returned to the bidder.

5.2 Modification of Bids

If the bid is submitted prior to the formal submission date, the bidder can modify or make corrections to it. The modification / correction has to be submitted in sealed envelopes and has to be received in writing by WBIDC prior to the time specified for submission of bids in Clause 4.3. The original bid thus modified or corrected would then be considered as the official bid.

5.3 Initialling of Bids

The bid shall be typed and each page shall be initialled by the bidder (Authorised Signatory). Any correction in the bid must be initialled by Authorised signatory. The original copy of the bid document shall be returned duly initialled on all pages and to be included in envelope 2.

5.4 Bid Security

The bidder shall furnish in envelope 1 of the bid, a Bid Security of Rs. 25000/- (Rupees twenty five thousand only)

The bid security shall be in the form of a Demand Draft in favour of “West Bengal Industrial Development Corporation” payable at Kolkata and shall be valid for a period of 180 days.

Envelope 1 of the bid, containing the Bid Security and all other documents as stipulated in clause 5.9.1, shall be opened first. Only after the satisfactory acceptance of the Bid Security and the other documents, envelope 2 shall be opened (as specified in Section 6). The Bid Security of unsuccessful bidders shall be returned as promptly as possible, upon appointment of successful bidder.

The Bid Security shall be forfeited: 1. If the bidder withdraws their bid during the period of bid validity

specified in the Bid 2. In case of a successful bidder, if they fail or refuse within the period

of bid validity to a. Sign the contract agreement. However, the bid security will

not be forfeited if it is suitably established that contract agreement could not be signed due to C & I DEPARTMENT / WBIDC.

b. Furnish the required Performance Security. 5.5 Bidder’s Declaration

All bidders have to provide a declaration in accordance to the format given in Annexure 3. Also the bidders have to provide an Affidavit in accordance to the format given in Annexure 4. If, at any stage, the information is found to be materially (in the assessment of C & I DEPARTMENT / WBIDC) incomplete, incorrect and false, C & I DEPARTMENT / WBIDC shall reject the bid and invoke the Bid Security.

5.6 Time Schedule

The indicative time schedule of the submission process, described in different parts of the document, is provided in the Articles of Agreement.

5.7 Language of the bid All correspondence and contracts shall be in English.

5.8 Currency of bid

All amounts in the bid shall be expressed in Indian Rupees.

5.9 Bid Contents

The submissions shall be made in 2 Envelopes, namely, envelope 1, envelope 2. The desired content(s) of each envelope is described below.

5.9.1 Envelope 1 It should contain:

I. Bid Security as has been mentioned in Clause 5.4 II. Authorisation of the person signing the Bid III. Technical Proposal

The submissions should be done in the sequence as shown below.

I. Information about the Organisation: i. Name of the bidder ii. Contact address and name of person duly authorised to clarify,

negotiate and finalise the bid (with telephone, e-mail and fax number)

II. Technical Experience & Qualifying Criteria Documentation:

Experience in managing Canteen OR Catering Services or

any Restaurant / Hotel Trade licence, Catering Licence, Pollution Certificate ,

VAT/ST Payment , Income Tax clearance.

VI. Bidder’s request for amendment to bid document:

If desired the bidder may indicate the amendment(s) in the bid document.

The original bid document shall be returned duly initialled on all pages as a mark of acceptance and complete understanding of the bid document.

IX. Additional Information

The bidder may add any further information that he/ she considers relevant for the evaluation of their bid. The bidder may attach other documents giving a clear list.

I. MONTHLY RENTAL: The bidder shall quote the monthly lump-sum monthly rental for Budget Canteen of 4, Camac Street, Kolkata-700016 in the format given below. A copy of this format is to be used for Envelope 2. However, the price should not be quoted in Envelope 1. :

N.B.: Rent determination process: Rent= Actual Rent of the area + (cost of electricity on actual basis) + (charge of consumed water on actual basis) – subsidy given for meal and snacks to about 400. Government & WBIDC employees.

SECTION 6

BID EVALUATION 6.1 Uncovering procedure:

First of all Envelope No. 1 of the bid will be opened in the presence of the representatives of the bidders who may choose to be present. If the Bid Security and other documents do not meet the requirements, Envelope 2 will not be considered for further action.

If the Bid Security and other documents are considered to be acceptable by C & I DEPARTMENT / WBIDC only then Envelope 2 will be opened.

Information regarding the examination, clarification, evaluation and comparison of bids, and recommendations for the award of a contract shall not be disclosed to the bidders or any other personnel officially concerned with such process until the award to the successful bidder has been announced. Any effort by a bidder to influence C & I DEPARTMENT / WBIDC regarding the processing of bids or award decisions shall result in the rejection of the bid of such a bidder.

6.2 Validity of bids:

The bid shall remain valid and open for acceptance for a period of 180 days after the due date of submission of bids.

In exceptional circumstances, prior to the expiry of the original bid validity period, Managing Director, C & I DEPARTMENT / WBIDC may request the bidder for specified extension in the period of validity. The request and the responses thereto shall be made in writing or by fax, followed by written confirmation.

A bidder may refuse the request without forfeiting their bid security. A bidder agreeing to request will neither be required nor permitted to modify their bid, but will be required to extend validity of their bid and bid security correspondingly.

No bidder shall be allowed to withdraw the bid during the interval between the deadline for submission of bid and the expiry of the period of validity of bids specified in bid documents or as extended by the bidder. Withdrawal of bid, in any form, whatsoever during this interval shall entail forfeiture of the Bid Security without any further notice or opportunity to the bidder.

6.3. Presentation

The bidders may be invited to make a presentation and offer necessary clarifications on their bid as may be required by the WBIDC on a pre- appointed date.

6.4. Evaluation:

In the evaluation process, all the information sought from the bidder (Clause 5.9) will be given due weightage, to the extent considered necessary by C & I DEPARTMENT / WBIDC.

6.5 Final Selection:

Scorings based on the technical and financial evaluation shall be combined to arrive at the overall weighted average score. The bidder with the highest weighted average score shall be selected.

SECTION 7

STEPS TO BE FOLLOWED AFTER SELECTION. 7.1 Notification of Award:

Prior to the expiry of the period of bid validity or subsequent extension WBIDC will issue a Letter of Intent (LoI) to the successful bidder in writing.

7.2 Refund of Bid Security.

7.2.1 Invalid & Non-responsive Bidder The Bid Security shall be forfeited.

7.2.2 Successful Bidder The bid security will be returned on signing of the Contract Agreement. The bidder is required to start operations at the canteen within 7 days from the date of Letter of Intent.

7.2.3 Unsuccessful bidders The Bid Security of unsuccessful bidders shall be returned as promptly as possible, upon appointment of successful bidder.

7.3 Contract Agreement:

Within 7 days of the receipt of LoI, the selected bidder shall enter into a Contract Agreement with WBIDC duly signed and executed on Stamp paper of appropriate value adjudicated by relevant competent authority. At the time of the execution of the Agreement, the successful bidder has to submit a refundable Security Deposit as stipulated in this document.

with conditions of contract, at the respective rates quoted. 2. We have satisfied ourselves of the site conditions, examined the canteen

space, and all aspects of the Tender Document. Subject to the above, we do hereby agree, should this Tender be accepted, in whole or in part, to:

a) Abide by, perform and fulfill the terms and conditions set out in the

Tender Document and the Contract Agreement to be entered upon. b) Commence the canteen services within 15 days of the order in

4. We agree that the acceptance of any tender shall be at the sole and absolute

discretion of West Bengal Industrial Development Corporation Limited (hereinafter referred to as WBIDC) / Commerce and Industries Department (hereinafter referred to as C & I Department, and they do not bind themselves to accept the lowest tender or any tender and may reject any or all tenders

received. If above mentioned conditions are not fulfilled or are incomplete in any respect, or are submitted without Bid Security, the Tender is liable to be rejected. 5. We agree to abide by the Tender for a period of 6 (six) Calendar months from
