PART I· "PIU'UMINARY AND INfnl'RIlTATtON

In particular. means fish. frull. vegetables.potatOCll. plantlll. bread. meat. game. butter. eggs. milk.cheese. birds. poultry. small animals and any other \biniwhich the Managing Director may by notiee In tho Oazettodeclare to be perishable good".

"rates" Includes all sums which may. under the pr0visions of this Act. be levied for. or in respect of. any shiporport or the handling or warehousing of goods by thoAuthority or for. or in respect of. any otherservice performedor facility provided by the Authority.
"ship" includes any vessel. tug. lighter. or boat of anykind whatsoever whether propelled by steam or otherwise ortowed:
''''ariff Book" means the tariff book published by theAuthority under acction 30;
"vehicle" means any vehicle other than a ship.''warehouso'' includes any building. place. wagon. shipor
vehicle when used by tho Authority for the purpose of warehousing or depositing goods:
''waterworka'' includes boreholes. weUl. reservoirs. dams.weirs. tanks. cisterns. conduits. aqueducts. pipes. hydrants.taps. pumps. engines and aU other structures. plantand appliances used or constructed for obtaining. storing. purifying.conveying. distributing. mellsurlng or regulating water;

(2) In this Act and In atl documents Issued under tblsAct. unless the context olherwl~ requires-«
(n) "premises occupied by the Authority" mean' premisesvested In or placed at the disposal of the Authorityfor the purposes of the Authority;
(b) "property of the Authority" means property vestedin the Authority for the purposes of the Authority:
(e) "the pNse!lSlon of the Authority" means the pollCloslon by any employee In the course of his duty;
(t/) "accepted by the Authority" means accepted by anemployee or agent of the Authority for handling orwarehouslng by the Authority In accordance withthe provisions of this Act:
Provided that acceptance shall not be deemedto have been affected until a document of receipt Inrespect of the goods accepted. signed by an authorized employee or agent of the Authority. has beenIssued:
(t) "operated by the Authority" means operated by theAuthority In accordan~ with the provisions of thisAct:
(f) "vehicle of the Authority" Includes vehicles operatedon behalf (If the Authority.
(3) This Act shall not apply to Inland waterways portsrun by the Kenya Railways Corporation.
PART ll-EsTABLlSItMBNT OF ntII AUmORITY
3. (l) There shall be established an Authority to beknown as the Kenya Ports Authority. In this Act referred toas the Authority.
(2) The Authority shall be a body corporate with perpetual succession and a common seal and shall have powerto sueand be sued In its corporate name and to acquire. holdand dispose of movable and Immovable property for thefI\lrf'OICS of the Authority.
(3) The headquarters of the Authority shan be atMombasa.

4. Thero shall be a board of directors of the Authority.In this Act referred 10 as Ihe Bonrd. whlchshall consist or-
Ca) a Chairman of the Board who shan be appointed bythe Mlnlsler~
lb) the Managing Director;Cd the Permanent Secretary of the Ministry for the time
being responsible for ports;(d) the Permanent Secretary to the Treasury:(t') the Managing Director of the Kenya Railways
Corporation; and(f)not more than two persons. not being public officers
or employees of the Authority, to be appointed bythe Minister by virtue of theirknowledgc of shippingand port operation or of commerce. Industry,llnunce or administration generally.
50 (1) There shall be a Managing Director who shall beappointed by the Mlnisler after consultation with the Boardand whose terms and conditions of service shall be deter·mlnedby the Minister In the instrument of appointment orotherwise in writing from time to time.
(2) Subject to this Act. the control and executivemanaaement of the Authority Mall be vested in theManaging Director.
6. The Authority shan pay to the directors suchremuneration. fees or allowances for expenses as may bedetermined by the Minister:
Provided that no remuneration. fees or allowances shallbe paid to any director who Is a public oftlcer In receipt of asalary.
,. The Firat Schedule shall have effect with respect tothe constitution or organization of the Board and otherwisein relation thereto.
PART IV-PuNcrlONs AND PoWSRI 0' TN8 AUTHOIUTY. BTC.
I. (J) It shall be the duty of the Board to provide bymeans of the undertaking of the Authority a eo-ordinatedsystem of flOrts and faelllUel! relntln,l thereto.

(2) Tho performance of the duty referred to in subsection (J) shall include a general duty to secure-
(0) the fuUeat develt'pment. conllilltcnt with economy. ofthe undertaking of the Authority:
(II) that the undertaking of the Autbority is operatedefficiently. economically and with due regard tosafety:
(c) that the linanclal administration of the Authority isconducted in aeeordaece with Part V:
(d) that the Authority provides all reasonable fncilltlesfor handling and warehoulling of cargo and othergoods: and
(t) that no particular person or body is given any unduepreference or is subjected toanyundue dlsadvanta,e.
9. Subject to the directions of the Board. the Managin,Director may-
(a) establlsb and operate port servlct'& and facUltiesrelating thereto:
(b) approve recurrent expenditure within Iimltll determined by the Board:
(c) approve any individual capital work of which theestimated cost does not exceed four hundred thousand shillings or such other sum as the Ministermay. by order. determine:
(d) approve any alteration In salaries. wages or (\t~er
terms and conditions of service of employees notinvolving expenditure In Cltcess of the limits determined by the Board within its powers under para.,raph (b) of section 10:
(tI)approve any alteration in the establishment of theAuthority other than an alteration Involvln, a majorreorganization or a substantial reduction in thenumber of employees: and
(f) allocate functions to flmployees.
10. In the exercise of Its duty under section 8. andsubject to any directions of a senoral nature which may begiven to it by the Minister. the Board may-
(a) approve any minor alteration In the tariffs. rates.fam and other charges:

(b) approvo any minor alterauon In _Iarlel, wages orother terms and conditions of Bervlce of employccsof the Authority:
(e) approve any Individual capital work Cor the purposeof the Authority, not included within a programmeof works approved by the Minister. of which theestimated cost does not exceed five mUlion shillingsor such other sum III the Minister may, from time10 time, by order determine:
(d) eslablish, from among It!l members, commlttCCl forthe purpose." of the Authority anddelegate functionsthereto;
(,,) con!llder legilllatlve proposal!! and recommend theirenactment to the Minister:
(f) approve any altel'3lion in the organization or establishment of the Authority other thftn an alterationreferred 10 In !Iection 9 (t): and
(6) give directlon!l to the Managing Director.
ll. The Minister may-(a) give direction!! of a general nature to the Board relat·
Ing to the operation of the undertaking of theAuthority;
'h, in consultation with the Minister responsible forIlnanee, approve any major alterations In the tariffs,rates, farell and other charges made for the servicesprovided by theAuthority;
Ie) approve any major alteratlons in salarlcs. wages orother terms and conditions of service of employccs:
(ell in consultation with the Minister responsible forfinance, approve any individual capital work, for thepurposes of the Authority. of which the estimatedcost exceed!I five million shillings:
(t) give particular directions to the Board concerning anymatter involving agreement with, or the intcrest of.any other country; and
(f) detcrminc the limit!l of minor alterations for the pur·poses of paragraphs (a) and (b) of section 10.
12. (J) The Authority shall have power-(a) to maintain. operate. improve and ·egulate the portl
set out in the Second Schedule:

or not such good!\ have been or nrc to be handledas cargo or carried by the Authority:
(I) to the extent determined by the Minister. to act 8Scarders of goods or pas!lenge~ by land or sea:
(g) to consign goods on behalf of other persons to anyplaces whether within Kenya or elsewhere;
(h) to provide such amenities or facilities for personsmaking useof the services performed or the facilitiesprovided by the Authority as may appear to theBoard necellllary or desirable.
(2) Subject to (hill Act. rhe powers conferred by subsectlon (I) shall include nil such powers as are necessary oradvantageous and proper for the purposes of tbe Authorityand In particular. without prejudice to the gener.tlity of theforegoing. shall include power-
(0) to construct _nny wharf. pier. landing stnge. road.bridge. building or Dny other necessary or desirableworks required for the purposes of the Authority;
(b) to clean. deepen, improve or niter any port or theapproaches thereto:
(c) to provide and use. within ports and elsewhere.ships-(i) for the towage, protection. or salvage of liCe or
property;(ii) (or the carriage of goods and passengers;
(tI) to appoint. license and manage pilots:(t) to control the erection and use of whltrve~ in any port
or the approaehell thereto:(f) to operate trains and road transport;(g) to carry on any business necessary or desirabln to be
carried on for the purposes of tho Authority and toact ns agent for the Government in the provision ofany aBr~ functions:

13. [l) Where land is required by the Authority for tbepurposes ot the Authority. it may ellher-
(a) if such land III not public land. acquire such landthrough negotiation nnd agreement with the registered owner thereof:
Provided that. notwithstanding the provisionsof section 6 of the Land Control Act. tlte ensuingtransaction 5ha11 not require the consent of a landcontrol board if the land to be acquired Is agricultural land: or
(h) if such land is public land. or if the Authority isunllble to aequlre it by agreement Inaccordance withparagraph (0) of this 5ubsecdon. notify the Ministerresponsible {or public lands that the land specifiedin the notice is jequlred (or the purposes of theAuthority.

(3) Where any compensation ill payable 10 any person inrespect of any land. lIJ'1ccified in the notice given under subsection (\) (b), aequiezd by the President or the Ministerresponsible for lands, and such land after beingso acquired isplaced at the disposal of the Authority in accordance withsubsection (2) (n). the amount of compensation payable tothat person. in accordance with the provisions of the lawunder which the land was acquired. shall be paid by theAuthority.
(4) The Authority may at any time convey, transfer orsurrender any Innd lIUrf'lu5 to both Its elti5tlng and futurerequirements by II conveyance or a deed of surrender eh:lllrfor, or without. eonslderatlon:
Provided that land which was public land or trust landshall be surrendered to the Government and shall not he conveyed or transferred to any other person unless the Ministerresponsible for Innd5 shall consent and 50 direct.
(S) The J'lrovision~ of subsection (4) !lhall apply to landvested In the Authority by any written law. including thisAct. a5 well as land conveyed to it or otherwise rlace<t at itsdl5posal.
(6) In this secnon->"public land" means all public land in Kenya. excluding
trust land. which is vested in the Government for publicpurposes or for the purposes of the Authority or its predeCCllI50r5 in title and for the purposes of the proviso tosubseetton (4) includes Innd l,reviou5ly so vested:

(I) Subject to the provisions of thlll section theAuthority. or any nuthorizcd employee. may. for the purposesof the t\1'!horlty. enter upon nny land and alter the positionof any pipe for the !Iupply of gM. oil. water or compressedair or the position of any electric. telephone or telegraphicwire or the posltlon of any drain.

(3) Where any damage is caused by reason of the exercise of the powers conferred by this section. the personsuffering such damage shall be entitled to compensationtherefor In accordance with this Act.
