Notice of Default in Complying with the Corporations Tax Act

The Director has been notified by the Minister of Finance that the following corporations are in default in complying with the Corporations Tax Act.

NOTICE IS HEREBY GIVEN under subsection 241(1) of the Business Corporations Act, that unless the corporations listed hereunder comply with the requirements of the Corporations Tax Act within 90 days of this notice, orders will be made dissolving the defaulting corporations. 1. complete a Notice of Objection Form,

2. serve the applicant with the objection,

3. file a copy of the objection and provide proof of service of the objection on the applicant with the Board,

4. pay the appropriate fee.

Serving and filing an objection may be effected by hand delivery, mail, courier or facsimile. Serving means the date received by a party and filing means the date received by the Board.

1. Paragraph 7 of subsection 2 (1) of Ontario Regulation 34/03 is revoked.

2. The definition of “French language college” in subsection 3 (3) of the Regulation is amended by striking out “the college known as Collège d’arts appliqués et de technologie La Cité collégiale, the college known as Collège d’arts appliqués et de technologie des Grands Lacs or” and substituting “the college known as Collège d’arts appliqués et de technologie La Cité collégiale or”.

3. Subsection 5 (1) of the Regulation is revoked and the following substituted:

Procedure for boards of governors

(1) The quorum required for a meeting of a board of governors shall be equal to the majority of the number of board members that is required under section 4 and under the board’s by-laws, plus one.

4. Section 17 of the Regulation is revoked and the following substituted:

TRANSITIONAL ISSUES RESULTING FROM THE DISSOLUTION OF THE COLLEGE KNOWN AS COLLÈGE D’ARTS APPLIQUÉS ET DE TECHNOLOGIE DES GRANDS LACS

Dissolution of college

17. (1) The college known as Collège d’arts appliqués et de technologie des Grands Lacs is dissolved on August 31, 2010.

(2) In this section,

“former college” means the college known as Collège d’arts appliqués et de technologie des Grands Lacs dissolved under subsection (1).

(3) In any action or other proceeding against the former college, its board of governors, an individual member of the board, including the president, or a former employee of the board, whether commenced before the dissolution of the former college or afterwards, the Crown may, after the dissolution of the former college,

(a) represent the former college, its board of governors or individual named in the action or proceeding; and

(b) assert any right or defence and submit any evidence that the former college, board of governors or individual named in the action or proceeding could have asserted or submitted as defendant in the action, whether before the dissolution of the former college or afterwards.

(4) No action or other proceeding for damages or otherwise shall be instituted against an individual member of the board of governors of the former college for any act done in good faith in the execution or intended execution of any duty or authority under Ontario Regulation 117/03 (Winding-up of the Collège d’arts appliqués et de technologie des Grands Lacs) made under the Act, as that regulation read immediately before its revocation on July 28, 2010, or for any alleged neglect or default in execution in good faith of any such duty or authority.

5. (1) Subject to subsection (2), this Regulation comes into force on the later of August 31, 2010 and the day it is filed.

(2) Section 3 comes into force on October 1, 2010.

(3) Si une action ou une autre instance est introduite contre l’ancien collège, son conseil d’administration ou un membre particulier du conseil, y compris le président, ou un ancien employé du conseil, avant la dissolution de l’ancien collège ou par la suite, la Couronne peut, après la dissolution de l’ancien collège, prendre les mesures suivantes :

a) représenter l’ancien collège, son conseil d’administration ou le particulier nommé dans l’action ou l’instance;

b) faire valoir un droit ou un moyen de défense et présenter toute preuve que l’ancien collège, le conseil d’administration ou le particulier nommé dans l’action ou l’instance aurait pu faire valoir ou présenter à titre de défendeur dans l’action, avant la dissolution de l’ancien collège ou par la suite.

(4) Sont irrecevables les actions ou autres instances en dommages-intérêts ou autres introduites contre un membre particulier du conseil d’administration de l’ancien collège pour un acte accompli de bonne foi dans l’exercice effectif ou censé tel des fonctions ou des pouvoirs que lui attribue le Règlement de l’Ontario 117/03 (Liquidation du Collège d’arts appliqués et de technologie des Grands Lacs) pris en vertu de la Loi, tel qu’il existait immédiatement avant son abrogation le 28 juillet 2010, ou pour une négligence ou un manquement qu’il aurait commis dans l’exercice de bonne foi de ces fonctions ou pouvoirs.

5. (1) Sous réserve du paragraphe (2), le présent règlement entre en vigueur le dernier en date du 31 août 2010 et du jour de son dépôt.

(2) L’article 3 entre en vigueur le 1er octobre 2010.

Pour les semaines incluant le lundi de Pâques, le 11 novembre et les congés statutaires, accordez une journée de surplus. 2) Pour chaque insertion supplémentaire commandée en même temps que l’insertion initiale, le tarif est 40,00$

3) Les clients peuvent confirmer la publication d’une annonce en visitant le site web de La Gazette de l’Ontario www.ontariogazette.gov.on.ca ou en visionnant une copie imprimée à une bibliothèque locale.

Le tarif d’abonnement annuel est de 126,50$ + T.P.S. pour 52 ou 53 numéros hebdomadaires débutant le premier samedi du mois de janvier (payable à l’avance) L’inscription d’un nouvel abonnement au courant de l’année sera calculée de façon proportionnelle pour la première année. Un nouvel abonné peut commander des copies d’éditions précédentes de la Gazette au coût d’une copie individuelle si l’inventaire le permet.

Le remboursement pour l’annulation d’abonnement sera calculé de façon proportionnelle à partir de 50% ou moins selon la date. Pour obtenir de l’information sur l’abonnement ou les commandes s.v.p. téléphonez le (416) 326-5306 durant les heures de bureau.

The Ontario Gazette is published every Saturday. Advertisements/notices must be received no later than 3 pm on Thursday, 9 days before publication of the issue in which they should appear. For weeks including Easter Monday, November 11th or a statutory holiday allow an extra day. For the Christmas/New Year holiday schedule please contact the Gazette at (416) 326-5310 or by email at [email protected]

Advertising rates and submission formats:

1) Please submit all notices in a Word.doc format to: [email protected]

2) For a first insertion electronically submitted the basic rate is $75 up to ¼ page.

3) For subsequent insertions of the same notice ordered at the same time the rate is $40 each.

4) Clients may confirm publication of a notice by visiting The Ontario Gazette web site at: www.ontariogazette.gov.on.ca or by viewing a printed copy at a local library.

Subscriptions:

The annual subscription rate is $126.50 + H.S.T. for 52 or 53 weekly issues beginning the first Saturday in January, payable in advance. In-year new subscriptions will be pro-rated for the first year. A new subscriber may order back issues of the Gazette at the single-copy rate as inventory permits.

Refunds for cancelled subscriptions will be pro-rated from 50% or less depending upon date. For subscription information/orders please call (416) 326-5306 during normal business hours.

Single Copies:

Individual Gazette copies may be ordered on-line through the website at www.serviceontario.ca/publications or by phone at 1-800-668-9938.
