06We were already working on our first large-scale project when others were only

dreaming about what the future of photovoltaics and solar energy would hold.

Our mounting systems are based on 25 years of experience. And this experience

is impressive, whether implemented on Lake Tahoe in the u.S., in umbria in Italy,

or in the Black Forest in Germany.

Creotecc GmbH is a product developer and manufacturer of photovoltaic mount-

ing systems. We are based in Freiburg im Breisgau, where we develop high-qual-

ity systems for roof, façade, and ground mounted systems. We can deliver what

you require, no matter if it’s a standardized package for a small or large-scale

project, or even a tailored solution for a specific system.

THE FuTuRE WAS THERE FROM THE BEGINNING

The roof-parallel installation on a pitched roof is the conventional form of mount-

ing solar modules. We off er on-roof solutions for pantile or slate roofs and roofs

with shingles or plain tiles, to name a few. It does not matter what type of roof

cladding you have. We will fi nd the right type of attachments for your project.

Furthermore it goes without saying that all systems will not adversely aff ect the

water-tightness of the roof and take into account factors such as wind and snow

loads.

MOuNTING SYSTEMS

CONVENTIONAL SYSTEMS FOR PITCHED ROOF SuRFACES

The majority of fl at roofs have large, unused surfaces that are ideal for photo-

voltaic systems. A corresponding substructure for our mounting system can be

easily manufactured for module installation. We manufacture aluminium profi le

frames specifi cally made for the corresponding pitch of your roof. They can also

be installed on fl at or hall roofs with the proper attachment technology. We also

off er systems with insertion or clamping systems, depending on your needs.

SYSTEMS FOR SQuARE BuILDINGS AND LOW ROOF PITCHES

Modules for ground mounted photovoltaic systems need to be installed using

special frames in order to ideally utilize the space. Creotecc uses aluminium-only

frame holders and high-quality galvanized steel piles for the ground mounted

systems. In this manner we can guarantee that your system is long-lasting and

corrosion resistant.

Upon request we will also take charge of the site assessment (soil analysis, test

pile drives, and rock drilling), calculate your project statics, and help you obtain

a construction permit.

Buildings with large available surfaces are particularly advantageous for integ-

rating photovoltaic systems into the façade. All kinds of modules can be suspen-

ded from the façade and mounted without any unsightly gaps or uneven lines.

The continuous design defi nes the optical parameters and the entire surface is

covered with glass. The harmonious look is rounded off by color-coordinated

frames and rails. Our façade structures are perfect for framed and unframed

modules, producing secure and attractive elements.

SYSTEMS FOR BuILDING ExTERIORS

CREOTOOL

We strongly believe in providing good service. For just this reason we at Creotecc work on de-

veloping tools that provide you with support throughout the entire project. These tools include

ones that help in planning and sizing substructures for photovoltaic systems. For example, our

CREOTOOL software enables you to plan systems for a variety of roofs in just a few simple

clicks. We’re talking end-to-end assistance as CREOTOOL covers the entire planning process,

ranging from the graphic design of the roof to planning and calculating roof-parallel systems,

and including the creation of a bill of materials for a ready-to-install system. All results and

bills of materials are documented in a clear and concise manner. In addition there is a web-

based update feature that ensures your software is always up-to-date.

Once you have entered the location, project data, and customer data, you need

to reproduce the roof surface. Exclusion zones such as dormers, chimneys, and

roof windows can be arranged on your virtual roof using the drag-and-drop fea-

ture. You can either select a preset module type from our database or you can

establish your own type of module layout. Then you calculate the static load-

ing. When all entries are complete, you will automatically receive a detailed bill

of materials for the system, a project report with all technical drawings, and a

ready-to-ship order list that can be sent to us electronically.

Technical maturity, quality, and reliability of the materials are decisive in ensur-

aluminium to manufacture our profiles, which offers you a genuine competitive

advantage. Aluminium profiles weigh less, making them much more affordable.

Yet that isn’t all. Creotecc also strongly believes in continually reviewing and

improving our products.

For this reason we have developed the ALuTEC insertion system made of alu-

minium, which has proven itself time and again. This system has gained a solid

Photovoltaic systems also need to withstand adverse weather conditions. The

quality of the attachment system is essential in this respect. Our CREOFIX roof

hooks are the result of in-depth research and development. The material we

use, our workmanship, and the shape are intended to withstand maximum load

capacities and provide for optimum handling. All roof hooks are subjected to a

multi-stage quality check and have been awarded official approval. Our range

of products includes the corresponding shape for each mounting system and

it is rounded off by a range of bolts, solar fasteners, seam clamps, and module

clamps. We develop and test new types of hooks on a regular basis.

We value certain qualities, just as you do, when developing our roof hooks: stabil-

ity, versatility, and high load-bearing capacities. You can reduce any deforming to

a minimum when using CREOFIx roof hooks thanks to their high rigidity. The high

load-bearing capacity of the roof hooks is documented in the building regulations

approval. The number of required roof hooks can be reliably and comprehensibly

calculated in accordance with current standards. You can compensate for un-

even roof surfaces using the slotted hole version. In addition CREOFIx roof hooks

are extremely lightweight in comparison to stainless steel hooks, weighing only

MODuLE INSERTION SYSTEM uSING BACK RAILS

An insertion system is also available using back rails, which are brackets glued

on the back of the modules. Back rails are the best mounting solution for large-

scale glass-glass laminates. We develop proprietary solutions for implementa-

tion in module production in this area, too. We adapt concepts supplied by vari-

ous module manufacturers and deliver systems that can be directly implemented

for modules already on the market. Our product range includes everything from

entirely invisible mounting systems to profi les that protect every corner and en-

sure optimal anti-slip protection. The bigger the module, the more important it is

to use proven mounting systems. We guarantee that each and every format will

be held in place stably and safely.

MODuLE CLAMPING SYSTEM

Our clamping systems provide you with a safe and durable mounting alternative

for framed modules. They make installation especially convenient: the module

clamps are pre-mounted. The threaded plates are fastened with an integrated

screw locking material. All you need to do is insert the threaded plate on the

module clamp into the profi le groove, place the clamp onto the module frame,

rotate the threaded plate 90°, and screw it onto the solar module. It’s as easy as

that! The clamping system is available for all framed photovoltaic modules and

suitable for all frame heights. All components are made of corrosion-resistant

aluminium or stainless steel.

GENERAL TERMS AND CONDITIONS OF SALEAND DELIVERY OF CREOTECC GMBH

I. GENERAL POINTS

1. Exclusively our terms and conditions as set out below shall apply for all our

quotations, sales, supplies and work, including installation, repairs, servic-

ing, advice and other contractual performances.

2. The customer’s terms and conditions of purchase shall be binding on us

provided we explicitly acknowledge them in writing.

3. Differing agreements, incidental agreements, assurances and other un-

dertakings by our representatives and employees shall only be effective

provided we confirm these in writing.

II. SCOPE OF THE DELIVERY COMMITMENT

1. Our quotations shall be without obligation. Orders shall be deemed to have

been accepted only provided we have confirmed them in writing. Our writ-

ten order confirmation shall be authoritative with respect to the content of

the contract.

2. The documents that form part of the quotation, such as illustrations, draw-

ings, dimensions and weight details, shall only be authoritative on an ap-

proximate basis.

3. The quality requirements laid down in the quotation specification shall

comprehensively and conclusively specify the characteristics of the de-

livery item. In particular, public statements made by the manufacturer, its

agents or third parties (e.g. public presentations of product characteristics)

shall contain no descriptions of the delivery item that supplement or alter

this specification.

III. PAYMENT TERMS

1. List prices and quotation prices shall be without obligation. The prices on

the date of delivery shall apply. unless agreed otherwise, our prices shall

be exclusive of packaging and transport costs.

2. Our invoices shall be payable immediately, within 10 days of the invoice

date, unless agreed otherwise in writing. Payments may not be made by

bill of exchange.

3. In the event of default, interest in the amount of the customary interest

rates of major banks for unsecured current account credit facilities will be

charged. The same will apply in the event of postponement of payment.

4. If the purchaser defaults with the payment or if circumstances become

known that call the purchaser’s creditworthiness into question (e.g. appli-

cation for a deferred payment, failure to honour a cheque, application to

institute insolvency proceedings, suspension of payments), all receivables

shall immediately fall due for payment. In that case, we shall be entitled

to defer performance under the contract, inasmuch as it has not yet been

executed in full, until payment in full, and/or only to execute it against pay-

ment in advance or initial collateral. We shall further be entitled to take

back delivered goods at the purchaser’s expense, without automatically

availing ourselves of the right to withdraw from the contract. This shall not

affect any further statutory claims.

5. Claims may only be offset against counterclaims that we have acknowl-

edged or that have been finally and absolutely approved. No rights of re-

tention may be exercised on the basis of counterclaims that we have not

acknowledged.

IV. RESERVATION OF TITLE

1. The goods delivered shall remain our property until settlement of all outstand-

ing receivables arising out of the business relationship, including until cheques

have been honoured.

2. Distributors shall be permitted to sell our reserved goods in their own name

during the normal course of their business. The purchaser hereby assigns to

us the receivables arising out of the resale transaction. We hereby accept

such assignment. In the event of sale of the reserved goods after process-

ing or combination with other goods not belonging to us, the receivables

shall be assigned in the amount of the invoice for our reserved goods. The

purchaser shall only be authorised to collect the assigned receivables for

as long as it duly meets its payment obligations towards us. The purchaser

must reserve ownership with respect to its own customers until they have

paid the purchase price in full.

3. The purchaser shall not be permitted to pledge or transfer ownership of our

reserved goods by way of security. It shall be obliged to immediately inform

us of any access by third parties to the reserved goods. The purchaser

shall not be permitted to agree on prohibitions of assignment. The forego-

ing shall not limit the terms under II. 3. .

V. DELIVERY TERMS, RISK

1. If we are prevented from fulfilling our delivery commitment, through force

majeure, strike or lock-out or unforeseen events, which could not be avoid-

ed despite the expected precautionary measures, irrespective of whether

these arise at our own premises or at the premises of a supplier, for exam-

ple operational problems, transport delays and incorrect and late delivery

by upstream suppliers, then the delivery term shall be extended accord-

ingly, even in the event of pre-existing delivery default. If such events mean

that subsequent delivery becomes impossible or if we cannot reasonably

be expected to deliver, we shall be entitled to fully or partially withdraw

from the contract.

2. Shipment shall be at the purchaser’s risk, even if carriage paid delivery has

been agreed. We accept no liability for damage during shipment. We shall

only contract breakage insurance at the purchaser’s request and subject

to a charge of the insurance premium. We shall only provide a credit note

for any damage provided the insurance company has allowed the claim.

We accept no further obligations. unless explicitly agreed otherwise, our

deliveries shall be shipped uninsured.

3. In the event of delivery default, the Purchaser must allow a reasonable

additional time. In the event of delivery default or of subsequent impossibil-

ity of performance for which we are not responsible, no damages may be

claimed, unless there was intent, or our management or senior executives

committed gross negligence, or if an exclusion of liability is inadmissible

on other grounds.

4. If shipment of the deliveries is delayed at the purchaser’s request by more

than two weeks beyond the agreed delivery date, or, if no precise delivery

date was agreed, after notification of readiness for shipment by the seller,

then the seller may charge a flat rate for storage of 0.5% of the price of

the delivery item, for each month (if applicable on a pro rata temporis ba-

sis), albeit up to a maximum of 5 %. The purchaser may offer proof that the

seller either did not incur loss or else incurred a significantly lower loss.

The seller may offer proof that it incurred a higher loss.

VI. WARRANTY

In the event of defects, including in the event of the absence of guaranteed

characteristics, we shall provide warranty as follows:

1. A complaint on the ground of obvious external defects at the time of delivery

can only be allowed provided it is made in writing immediately, and at the

latest within 6 days following receipt of the goods.

2. In the event of justified complaints, we may elect either to remedy the de-

fect or to deliver faultless replacement goods. The purchaser shall have

a right of withdrawal if, despite having been set a reasonable additional

period to remedy a defect acknowledged by ourselves, we allow this to

expire without effect, through our own fault. In the event of acknowledged

shortfalls, we may either make up the shortfall by delivery or else raise a

credit note accordingly.

3. The warranty shall not cover normal wear and tear, damage due to inap-

propriate or negligent treatment, excessive load, unsuitable operating fa-

cilities and failure to observe operating instructions. The same shall apply

in the event of damage that occurs during alterations or repair work by the

purchaser or by third parties whom we have not called in.

4. We or our legal representatives and vicarious agents accept no liability

for damage that arises under the warranty, owing to breaches of inciden-

tal contractual obligations, incorrect advice, unauthorised act, culpable

breach of the remedy or replacement delivery obligation, or on other legal

grounds, in particular inasmuch as the damage does not occur to the deliv-

ery item itself, unless there was intent, or our management or senior execu-

tives committed gross negligence, or if exclusion of liability is inadmissible

on other grounds. In addition, no damages may be claimed in the event of

the absence of guaranteed performances if the assurance was not specifi-

cally intended to avoid consequential losses due to defects.

VII. GENERAL LIABILITY

1. In the event of intent or gross negligence on the part of the seller or of its

representative or vicarious agent, the seller shall be liable in accordance

with the statutory provisions.

For the rest, the seller shall only be liable under the Produkthaftungsgesetz

[German Product Liability Act] for loss of life, limb or health, or for the culpable

breach of material contractual obligations.

However the damages claim for breach of material contractual obligations

shall be restricted to the foreseeable contractually typical damage.

However, liability for damage caused by the delivery item to the purchaser’s

objects of legal protection, such as damage to other property, shall be en-

tirely excluded, with the exception of liability for intent or gross negligence

or owing to loss of life, limb or health.

2. The rule laid down in the previous paragraph shall also cover damages in

addition to performance and damages in lieu of performance, irrespective

of their legal basis, in particular owing to defects, the breach of obligations

arising out of the contractual relationship or due to an unauthorised act. It

shall also apply to the claim for reimbursement of wasted expenditure.

3. In the event of delay in performance in instances of intent or gross negli-

gence on the part of the seller or of its representative or vicarious agent,

the seller shall be liable in accordance with the statutory provisions. In

other circumstances in which performance is delayed, the seller’s liability

for damages in addition to performance and for damages in lieu of per-

formance shall be limited to 3 % per week, up to a maximum of 15 % of the

value of the delivery. The purchaser may make no further claims, even after

expiry of any time limit for performance given to the seller. The above limit

shall not apply to liability for loss of life, limb or health.

4. Inasmuch as delivery is impossible, the purchaser shall be entitled to claim

damages in accordance with statutory provisions. However, the purchas-

er’s claim for damages in addition to performance or damages in lieu of

performance, and for the reimbursement of wasted expenditure, shall be

limited to 10 % of the value of that proportion of the delivery that cannot

be used as a result of the inability to deliver. The purchaser may make no

further claims owing to inability to deliver. This restriction shall not apply if

there is liability in instances of intent, gross negligence or owing to loss of

life, limb or health.

5. The purchaser may only make recourse claims against the seller pursu-

ant to § 478 BGB [German Civil Code] inasmuch as the purchaser has not

concluded any agreements with its own customer beyond those relating to

statutory defect claims.

6. a.The period of limitation for damages claims owing to defects, irrespective

of their legal basis, shall be one year.

b. The period of limitation shall also apply to other damages claims against

the seller, irrespective of their legal basis. They shall also apply inasmuch

as the claims are not associated with a defect.

c. The above period of limitation shall apply subject to the following proviso:

The period of limitation shall not apply in the event of intent; For the rest,

the period of limitation shall not apply if the seller has fraudulently failed

to disclose a defect.

Furthermore, the period of limitation shall not apply in cases of loss of

life, limb, health or freedom, in the event of product liability claims, grossly

negligent breach of obligation, or in the event of culpable breach of

fundamental contractual obligations.

d. The period of limitation in relation to all damages claims shall commence

upon delivery.

e. Where reference to damages claims is made in this provision, this shall include

claims for reimbursement of wasted expenditure.

VIII. PRICES

1. unless stated otherwise, all prices shall be net of value added tax at the

statutory rate, packaging and transport from the factory/warehouse.

2. We reserve the right to apply price changes without prior notification of the

purchaser. The seller reserves the right to apply price adjustments due to

errors and on invoices, and also on price lists, delivery notes, order confir-

mations and quotations.

Ix. PLACE OF PERFORMANCE

1. The place of performance for all obligations arising out of the contractual re-

lationship shall be Freiburg.

2. The place of jurisdiction for all disputes arising out of the contractual re-

lationship, including complaints relating to bills of exchange and cheques,

shall be Freiburg. We may also elect to sue the purchaser at the court hav-

ing jurisdiction for its registered office.

3. Business relationship is the law of Federal Republic of Germany excluding

the uN sales law.
