Contents Editorial

In 2012, Egis clearly demonstrated the importance it attaches to international sustainable development by renewing its membership in the Global Compact. We were also, for the second year running, a partner of the international forum for corporate social responsibility pioneers in Africa. We have laid out our contribution to a more sustainable economy by publishing a Sustainable Development Charter, and we attended the Rio+20 conference to communicate the ways in which engi-neering can assist in meeting the many challenges we face. In an economy in crisis, sustainable development remains a top priority for Egis. Companies are faced with growing energy, environmental and societal constraints and we are certain we have what it takes to respond. Our mission is to provide appropriate responses to society’s needs for the projects entrusted to us. Our business is part of people’s lives, which is why we need to see as far ahead as possible, to innovate, and to offer new solutions to meet the challenges of the future. We must also evaluate our own eco-responsible behaviour.

In terms of dialogue with our stakeholders, the work of our “Sustainable development Steering Committee” has been reinforced. Made up of senior executives from the group, as well as external independent and accredited experts, this committee is a real boost to our internal practices and our business activities. It allows us to express our professional vision to sustainable develop-ment specialists and to better dissect our governance in view of the opinions of these stakeholders. In 2012, in order to enrich our discussions on more international issues, we were delighted to play host to the French Development Agency. In this 2012 sustainable develop-ment report, you will see that our CSR policy is the result of a profound commitment made by the group, as well as the culmination of the careful and socially responsible choices of all teams involved. The progress we have made is important in many fields, with room for improve-ment in some, and still inadequate in others, but these advances reflect our desire to be a group committed to sustainable development, on French soil as well as abroad.

This year you decided to publisha CSR report, what was the reasoning behind this decision? In recent years, we have opted to include our sustainable development activities in the group’s annual report. Like many large groups, we didn’t want to separate sustainable development from operational aspects and wanted to show, on the contrary, that all Egis sustainable development commitments have concrete applications in our businesses. This year, in light of our commitments to the Global Compact, our sustainable development charter, new regulations (Grenelle 2) and the expectations of our stakeholders (shareholders, society, customers, etc.), we wanted to be much more precise, and provide detailed information on the actions taken.

This publication is a first for the group. What are your goals? Yes, it’s true... In the form of a CSR report, this is a first. But this new report is part of a continuous improvement plan. In 2008, we published a first sustainable development report where we described our goals and our sustainable development strategy. Over the following years, we included our sustainable development achievements in our annual reports. In 2011, we published the first extra financial report. This year we decided to take things further: for each CSR topic, we wanted to report on our progress and detail the significant actions implemented in 2012. For each topic, we explain our policies, goals, actions and associated indicators. To complete

this exercise, we needed to work closely with

all departments and subsidiaries.

Given the group’s broad geographical scope, its

range of organisations and various workload schedules, this has not always been easy. And over the next few years,

Threequestionsfor MartineJauroyon Director of Sustainable Development and Advisor to the CEO.

The interview

our priority is to professionalise this reporting initiative both in terms of geographical scope and the reliability of data. I encourage you to read Chapter 5 of this report which includes further information on the subject.

The report is now published. What have you taken away from this exercise? The Egis CSR roadmap, jointly established with the group’s executive committee and the committee of external stakeholders, brings together our strategies and goals for sustainable development, both in terms of business challenges and internal strategies. To assess its performance, it has become necessary to take stock of our actions in order to trigger adjustments or improvements. This report enables us to focus on projects to be initiated in the short, medium and long term. Gradually, with objective data as support, we can provide more consistent and tailored sustainable development action plans to priority

issues. To end on a personal note, I would say that the experience

of reviewing our progress in this way has been very beneficial to our teams. Previously, CSR was a somewhat vague notion for our employees. To ensure that everyone

understands the point of the exercise, we had

to increase teaching and training, and communicate

more to give their contribution worth. Today, although there is some way to go, the Group’s CSR strategy is much better understood. This report is not only the fruit of numerous collaborations; it is, above all, the result of everything these teams have implemented. It is a great tool for promoting internal excellence.

Committed to our responsibilitiesBecause our work has a long-term effect on people’s lives, we must respond to their practical needs as efficiently as possible. By focusing on the long term, we innovate and offer solutions to meet the Challenges of the future.

Egis Long-term, world-wide responsibility.

It is at the very heart of its operational projects that Egis is able to have such significant leverage on regional planning. As a designer, advisor and operator, Egis influences the completion of tens of billions of euros of work, and the operation of borrowed equipment by millions of users worldwide. That is why we have committed to a strong set of social responsibilities.

Responsibilities appropriate to each of our business activities

As an engineer, consultant, and landscape architect, our professional added value in terms of sustainable development is mainly down to our ability to:

create favourable conditions for the consideration of sustainable development-related challenges in a project,

put forward solutions to optimise the direct and indirect costs/benefit ratio (more benefits for the same resources and externalities, fewer resources for the same benefits and externalities, mobilising partners for better collective outcomes),

report on our achievements and get these acknowledged by third parties, particularly users and potential users.

As an operator, our professional added value in terms of sustainable development relies primarily on our ability to:

develop a CSR policy in connection with the concession company’s specifications, optimise the direct and indirect costs/activity ratio (e.g. GHG emissions/€)

report to stakeholders,

and, in the medium term, offer services for managing externalities in operating contracts.

For project development, the key is to identify the constraints and opportunities offered by sustainable development at the very early stages of a proposal or bid, and to offer the consortium ad hoc measures to control these risks and to differentiate themselves (need to conduct specific studies, insurance, proposals for staffing requirements, suggestions for additional equipment, etc.). Knowing how to present these measures to lenders is a key factor for their funding based on sustainable criteria.

These responsibilities are the basis for commitments which themselves translate into the Group’s sustainable development objectives, which are to:

constantly improve its services, tools and methods to increasingly incorporate the challenges of sustainable development

gradually improve its own operating procedures and internal practices to better control the social, community and environmental impacts of its activities.

Committed to our responsibilities

1.1 Committed to worldwide action

In 2012, Egis chose to make a public commitment by publishing a Sustainability Charter and by renewing its commitment to the ten principles of the Global Compact.

These two initiatives are part of the group’s development strategy and can be seen in the everyday work of its employees.

The formalisation of a sustainable development charter

Jointly established with a representative panel of internal and external stakeholders, it fulfils the Group’s three fundamental values: to be a responsible, human and creative company. It is structured around 12 principles, split into three areas for action: Anticipate, Assist, Assemble, and is based on key international texts: the Universal Declaration of Human Rights, the basic agreements of the International Labour Organisation (ILO), OECD guidelines, the ten principles of the UN Global Compact and voluntary commitments signed by Syntec Ingénierie with the Ministry of Ecology and Sustainable Development.

A three-year CSR roadmap (2011/2013).

Following on from 2011, in 2012 Egis continued its CSR roadmap. Structured around the Group’s business challenges and internal strategies (social aspects, environmental footprint of our operations, etc.), this roadmap is broken down, for the 12 principles of the charter, into key strategies, priority actions and associated indicators. In September 2012, a progress report was presented to the Executive Committee and to all members of the sustainable development and performance network of the group.

The gradual introduction of non-financial reporting

In 2012, Egis continued its efforts in implementing non-financial reporting, and in particular on environmental aspects. The 2012 non-financial data are published in this report.

T he purpose of Egis’s performance management system is to achieve our performance objectives, whether financial or extra-financial.

It is structured around the company’s values(1) and takes into account its strategic guidelines. The system describes the management rules that apply to all employees and specifies the reciprocal duties and contributions of all individuals. For each process (HR, finance, contracts, etc.), performance indicators reflect the economic value creation (turnover, profitability, cash flow, etc.) as well as non-financial aspects (customer satisfaction, internal commitment, sustainable development) to identify areas for improvement. An online Egis intranet platform gives everyone access to the documentation on the management system. In recent years, to secure the Group’s international development, Egis has strengthened its policy of risk management and prevention of corruption, which are two key topics in constant progression.

1.2 A performance management system for the long term

1.2.1 Ethics: actions speak louder than words.

For over 15 years, Egis has implemented an Ethics Charter, which defines the Group’s values in terms of ethics. It specifies the rules to be followed on competition, loyalty, integrity and conflicts of interest. All employees are required to comply with it and have a duty to raise the alarm in the event of any failures observed.

Over the past two years, the Ethics initiative has had a major boost: The department responsible for conducting the Ethics and Compliance mission was created in the 2nd half of 2011. EIn 2012, the priorities of this new department were:

To establish an Ethics structure

The creation of a network of Ethics Correspondents in the main Egis subsidiaries: 12 subsidiaries are represented; definition of the role of correspondent for relaying the initiative in the companies;

The introduction of a steering committee for the Ethics process: role of guidance and supervision of the initiative;

The creation of an Ethics Committee whose role is to ensure compliance with the Ethics policy at Egis.

To strengthen two existing Ethics procedures (since 2009).

Procedure for Commercial Agents: centralisation of due diligence and validation of records; introduction of standard contracts that include Ethics precautions; initial questionnaire reinforced in connection with public officials.

KYC (know your customer) Procedure: updated tools for risk assessment; Ethics questionnaire and commitments to be filled in by all partners; sharing of information in a KYC database; inclusion of an Ethics clause in our contracts.

A campaign to promote these two procedures and checks on their effective implementation have been implemented.

An Ethics training programme

A new Ethics training programme focusing on the prevention of corruption abroad has been developed. Its implementation actually started in October 2012 with an initial session for the network of Ethics Correspondents. It will be rolled out in 2013 and 2014 for CEOs, commercial agents and project managers.

Internal communications on Ethics.

Regular reminders of Egis’s commitment to Ethics have been given by senior management.

Creation of an internal communication plan - Publication of information on the intranet.

Regular presentations on the Ethics initiative in subsidiaries and across Group-wide internal networks.

1.2.2 Taking action on a daily basis, by controlling risks.

E gis established a Risk process in 2008. It describes the way in which Egis identifies the risks to which the Group is exposed, selects the priority risks, develops action plans for these risks and ensures

their implementation. All types of risks are involved, whether social, environmental, economic, technical, and so on. Regular audits are conducted to further develop the rules and practices.

Two subcategories of risk specifically concern the health and safety of employees working on projects. The analysis of project risks and the GO/NO GO procedure both include sustainable development criteria.

In terms of coordination, this process is orchestrated by a director of audit and risk control in conjunction with all Group departments. Networks of risk correspondents relay this approach in subsidiaries.

In 2012, Egis perfected its tool for managing operational risk in order to maximise feedback on incidents and facilitate the launch of preventive actions.

An audit of the money laundering risk has helped to establish an action plan for 2013.

Sharing expertise, worldwideBy broadening the scope of its technical, social and environmental expertise, and sharing it with public and private stakeholders, Egis has found a way to significantly enrich projects and global economies. Several initiatives have enabled us to engage in regular and constructive dialogue with society.

Internally, the Sustainable Development and performance department organises and manages the group’s CSR and performance policies, relayed by the networks.

2.1 An active committee of stakeholders.

With the creation of a Sustainable Development Steering Committee in 2010 made up of internal

and external stakeholders, Egis has made sure it has the conditions in place to improve the responses it provides to its clients, and in public debate. Twice a year, the committee meets to discuss trends in sustainable land planning and to provide constructive advice on sustainable development solutions put forward by Egis.

In 2012, various topics were discussed in our committee, such as the societal aspects of the waste treatment activity, the impact of climate change on planning, R&D priorities in engineering and Egis’s sustainable development commitments. So far this committee has been of real benefit to both Egis and the external members. We have successfully fulfilled our respective commitments.

Multiple contributions.

En 2012, Egis increased its participation in national and international debates and think-tanks, with a view to collectively defining “sustainability”, establishing common priorities, taking action together, and strengthening the regional appropriation of projects in which the Group is involved.

Participation in the Rio+20 Summit.

As a member of the Rio+20 Club France delegation, consisting of over 60 committed networks and companies, Egis participated in RIO in international discussions on major social and environmental issues in all sectors, testifying to the potential contribution of engineering in the field. To give these contributions more substance, Egis has published a stakeholder leaflet, formalising examples of solutions developed to meet the challenges of the summit.

Egis was very involved in the Rio+20 Earth Summit, in what way?

Egis, like its key shareholder, the Caisse des Dépôts, is firmly committed to the design and support of more sustainable land planning methods. For nearly a year now, we have actively contributed to the preparatory work for the conference organised by various

think-tanks and associations (particularly Comité 21 and C3D, an association of sustainable development managers) to support proposals by the French government and the European Union.

You attended the summit. What was your view of the event?

In my opinion, the international agreement is not sufficiently ambitious given the urgency of the issues involved. The current geopolitical situation does not encourage countries to actually get involved on a practical level. However, there have been some significant advances made, such as the

principle of establishing sustainable development goals and the recognition of a concept of a green and fair

economy. One thing I especially took away from the summit was the strong commitment

of all areas of civil society (companies, local authorities, associations,

etc.), which has already had a visible impact on the ground. Solutions do exist, initiatives are flourishing across regions, and multilateral systems are developing.

And after Rio+20?

We need to continue our efforts more than ever, to actively

put forward ideas, reinforce best practices, experiment with new forms

of multi-stakeholder cooperation, and show that it is possible to act with and for

local people.

Contribution to ideas at the Environmental Conference

For the environmental conference held on 14 and 15 September 2012, Egis worked alongside Syntec Ingénierie (Professional Engineering Union) on the topics of energy, biodiversity and CSR. Together, these engineering firms were able to provide the technical and scientific information required to optimise and fuel debate and to inform decision-making in order to establish a shared roadmap on ecological transition. Egis regularly participates in working groups organised by Syntec on the various topics included in the environmental conference (CSR Club, energy transition group, etc.).

Co-management of the “Ensuring energy efficiency” project

As part of the plan to reduce energy consumption in buildings in France, Egis co-managed a project on “Ensuring Energy Efficiency” for the Plan Bâtiment Grenelle committee. The report was submitted in April 2012. It features two kinds of contractual guarantees: a guarantee of intrinsic energy efficiency developed at the design stage, and a guarantee of energy efficiency in terms of actual usage. It also expresses more general proposals in order to stimulate ideas and discussions on the subject.

Egis, partner of R20, Region of Climate Action

Initiated by Arnold Schwarzenegger, the R20 (Region of Climate Action) aims to help states, provinces, regions and other government powers in the world to develop and implement economic development projects with low-carbon emissions. Convinced that solutions to climate change can be applied at regional level, and with professional expertise to offer, Egis became partner of the R20 in 2012. Egis is, among other things, required to study the technical feasibility of the different “Waste to Energy” projects, including in North Africa and Asia.

For the second year running, Egis is supporting the forum for CSR pioneers in Africa.

Given its international aspirations and its alliance with Africa, notably through its subsidiary Egis Cameroon, and in line with its CSR commitments, Egis has decided to support this major event for the second year running. Its main objectives are to promote CSR initiatives in Africa and to help develop recommendations

for action by governments and businesses. This event was held in Tunis in November 2012.

On this occasion, Egis won 1st prize for CSR Pioneers in Africa.

Egis on www.criticalfriendsinternational.com to share best practices in terms of stakeholder dialogue

Co-developed by Revere, UniEthos and Utopias, Critical Friends International is an online platform of resources dedicated to encouraging dialogue with stakeholders. From the most traditional to the most innovative, all forms of dialogue are presented, analysed and illustrated with case studies. Egis, convinced of the benefits of good dialogue, wanted to share three examples of good practices. In each case, the results and benefits are identified.

...and other contributions

Egis is engaged in many other initiatives, by actively participating in associations, working groups and by coordinating networks. For example:

Egis’s membership in the professional association of carbon consultants.

Its participation in the “Réglementation Bâtiment Responsable (Responsible Building Regulation) 2020” working group, an initiative of the Plan Bâtiment Grenelle. (France)

Egis’s partnership with “Campus Responsables” to conduct a study on the campuses of tomorrow. This study aims to gather the views of international experts and major players in higher education regarding possible changes in higher education campuses over the next 20 to 30 years, particularly with regard to sustainable development issues.

Egis’s leadership of the RT2012 community on the www.construction21.fr website, and the organisation of conferences to explain the principles of this new regulation (for our customers and partners).

Egis’s contribution to Article 225 of France GBC’s

CSR reporting guide. France GBC is an association whose purpose is to coordinate, at national level, an initiative for the Public and Private sectors, to develop construction and sustainable development, but also to uphold France’s position internationally and to contribute to the strengthening of services offered by French companies.

2.2.1 A department for sustainable development

The sustainable development and performance department (DDP), established in 2009, reports directly to Senior Management. Its role is to enhance the Group’s strategy and speed up the incorporation of sustainable development issues within projects.

To deploy the group’s sustainable development policy, the DDP brings together all internal stakeholders. Each governing body and each network is called upon to help speed up the integration of sustainable development into projects and daily practices.

With this in mind, the DDP is a member of the Risk and Commitments Committee.

As such, it is consulted on each project proposal, to ensure that the key sustainable development issues are taken into account.

2.2.2 A network of sustainable development correspondents in each subsidiary

2.2.4 A series of corporate goals

The deployment of the sustainable development initiative is incorporated into the objectives of subsidiary directors. Every year, the DDP meets with each Director, their manager and their sustainable development coordinator to discuss the results achieved in the previous year and validate the strategic directions for the following year in line with the Group’s sustainable development roadmap.

2.2.5 Information and Monitoring system

In terms of information and monitoring, Egis provides staff with many communication tools on the sustainable development projects underway, the methodologies developed, the research and development actions undertaken, and so on. The most significant tools are:

The regularly updated intranet site (area dedicated to sustainable development, providing news, tools, methods, etc.).

The sustainable development network newsletter (contains information dealt with at network meetings).

The sustainable development Focus magazine: 5 issues in 2012. Each issue details a project or initiative that was particularly successful in terms of sustainable development.

Best Practices (BP) implemented in 2012:

One subsidiary tried out “custom sustainable development coaching” to educate sustainable development correspondents on remote sites. Whether writing the sustainable development component for a bid, designing a sales brief or accompanying a client, the coordinator (the sustainable development coach) is on hand to answer the correspondents’ questions, work closely with them, and take ownership of the issue.

In another subsidiary, sustainable development feedback showed the need to structure the internal organisation to better capitalise on and disseminate information throughout the business activities. To meet these needs, a community has been established to strengthen sustainable development practices within projects, to keep watch on innovation, and to capitalise on and disseminate information.

2.2.3 Group-wide networks

Given its multiple geographic locations (in France and abroad), and the variety of its business activities, Egis has established a system to share best practices and capitalise on feedback for group-wide topics, such as the environment, economy, transport, water, smart transport, adaptation to climate change, energy efficiency, etc.

Thirty or so networks are in place and address sustainable development issues related to their topic. Reviews and summary sheets on the work carried out are distributed within the Group and made available on the intranet.

BP: In 2012, the community for the Environment business activity invited all Group companies to a conference on the topic of biodiversity. As a source of services essential to all forms of life, biodiversity is a topic addressed in many development projects. Given Egis’s expertise on the subject, and the progress made in R&D, it was important to share experience and feedback, as well as tools and methods, and to discuss any problems encountered. Whether it be services provided by nature, positive biodiversity buildings or nature in cities, this day helped to share the views of our engineers and experts, compare innovations on the ground , and identify new challenges to be addressed by the community in 2013.

The documentation centre publishes a newsletter every fortnight, which gives all the French and international sustainable development news, as well as articles on sustainable development at Egis: publications, sustainable development best practices, etc. Specific newsletters on topics such as energy efficiency and adaptation to climate change are also published regularly.

In 2012, an Egis corporate CSR database was made available to commercial agents, regularly requested by their clients (in tenders or via questionnaires). It provides them with access to all actions undertaken or initiated for the topics under the ISO 26000 standard.

Creating a sustainable20 tomorrow

Our approach: helping to build a sustainable future.

The challenges of sustainable development create new environmental, societal and economic challenges. They reinforce the need for a range of approaches to be included in the design and implementation of projects. Egis’s multidisciplinary engineering offers systemic approaches, capable of grasping complex situations by reasoning on several scales (from the building to the neighbourhood, from the city to the region) and by mobilising a wide range of skills to create projects that are both shared and open.

Our mission: to facilitate collective choices while creating value.

Our duty in the role that we have taken on (consultant, designer, advisor) is to inform clients’ decisions in terms of economic, environmental and social impacts and to put forward innovative solutions in light of these new challenges. As such, we encourage our employees to consider each project as “unique” by encouraging them to develop their creativity. Sustainable development has therefore become a source of value creation and a powerful tool for innovation.

Sustainable Development: a new way to innovate.

Cultivating innovation, fostering ideas is the “way we do things” at Egis, to develop solutions that give value to all project components and translate our aspirations into operational solutions. For several years, two thirds of Egis’s investments in its R&D programme have been related to sustainable development.

Page 13: Corporate Social Responsibility Report 2012 - rse-egis.fr · In September 2012, a progress report was presented to the Executive Committee and to all members of the sustainable development

Creating a sustainable tomorrow

2524

In 2012, out of all the research projects two topics in particular caught our attention: tonnes of CDE (carbon dioxide equivalent).

1. The quantification of Egis’s added value in terms of sustainable development

2. The consideration of social and societal aspects for planning projects in developing countries.

Two complex topics on which we have made progress:

1 - Spotlight on the added value of sustainable development: quantifying the added value of sustainable development gained through Egis solutions and methodsRecent years have seen more and more sustainable development issues included in projects. In engineering, this translates into innovation which enables us to design developments with less impact.

At Egis, in each of our business activities, we are gradually identifying the potential problems of a project. For each key challenge, we determine the section of the project or structure that generates negative externalities, on which there is some scope for improvement, and we estimate the potential earnings.

Taking action to achieve the best leverage

In the sector of road infrastructure: let’s take an “average” construction site based road projects carried out in 2012: a year of traffic generates as much GHG (greenhouse gas emissions) as the construction of the road itself. We are now able to optimise the users operations construction’s share by 10 to 20%. This depends mainly on the choice of materials and their transport. In France, by using the SEVE eco-calculator (the USIRF*’s assessment system for environmental variants), the company will be able to further

improve this ratio. Although the overall effect remains limited, savings have already reached thousands of tonnes of CDE (carbon dioxide equivalent)..

To go even further, we take into account the impact on operations, from the design stage onwards VARIWAYS®(2) simulates the impact of road geometry and speeds on future traffic emissions. The best variant studied gives a decrease in traffic carbon emissions of about 5%, for identical conditions. In twenty years of operation, the avoided emissions represent the total emissions generated during construction. In the building sector: for an efficient building, efforts are shared equally between design and operation. We can therefore apply these principles to all our business activities.

This example only describes the GHG indicator. We are well aware that some benefits can be difficult to conciliate, such as energy efficiency and air quality. This is why we strive to help our clients achieve the most ambitious compromises, based on joint multi-criteria assessments.

2- Focus on assessing the social impact of projects: a guarantee of optimisation for all stakeholders

Today, the regulatory obligations for assessing a project’s social impact are not very demanding. Often they do not enable a real vision of the potential impact on local people. And yet the stakes are high.

In the absence of an appropriate framework, in 2012 Egis developed a methodology allowing its clients to more accu-rately assess the societal value of

their projects and the risks generated by societal imbalances. Using monitoring and alert indicators, adjusted to the local social situation and objectively verifiable, this methodology is designed as a tool for decision-making support in order to anticipate, at a very early stage of a project, the major risks of the project not being accepted by the local people, sometimes even leading to conflict. Based on the results, solutions may be put forward.

Structured around various key points (quality of life, eco-nomic prosperity, social cohesion and cultural identity), this method enables all stakeholders to be involved from the very start, which is a key condition for success.

Flexible in its nature and its context, depending on the size of the project, this methodology even puts time constraints on commitments.

Other research topics were explored in 2012, most notably as part of French and European research partnership sche-mes with major project owners, building companies and research laboratories on energy efficiency, sustainable cities and climate change.

Creating a sustainable tomorrow

3.1 Rising to the major challenges that are: sustainable cities, mobility, climate change, resource protection and biodiversity, governance and energy.

For each of these issues, Egis has been working on R&D for several years to develop solutions that give value to all project components: a

social, economic, environmental and societal value. Here are the main topics dealt with for 2012, along with associated publications and any distinctions obtained (non-exhaustive list).

3.1.1 Smart cities, giving priority to “living better together”

Research efforts in 2012

Urban logistics: organisational recommendations to improve access to cities.

Tomorrow’s train stations and the surrounding neighbourhoods: new places to live and work.

Alternatives to the “all network” system in the case of specific urban environments (difficult access, excessive population density, a lack of knowledge of existing networks, excessive costs).

Structural covers for transport infrastructure: methods and tools to optimise the planning, design, construction and operation of structural covers over transportation infrastructures in urban areas (ANR CANOPEE project).

Urban comfort: development of a smartphone app for the recovery of geolocalised and temporal data on urban comfort, available on online maps (FeelEgis)

Beingresponsible and supportive, on a daily basisIn an engineering group whose main missions are based on 32 intellectual services, human capital has great value. The skills and motivation of employees are the key to the Group’s performance.

On this premise, Egis has made its human resources a priority

Whether to guarantee the rights of its employees, facilitate their career progress while offering them support, or to adopt responsible behaviour, when it comes to providing purpose and consistency between professions and professional conduct, all initiatives are encouraged.

With this sense of responsibility in mind, in 2012 Egis renewed its commitment to the ten principles of the Global Compact to further integrate these principles into its strategy, culture and procedures.

Being responsible and supportive, on a daily basis

4.1 Focusing on relationships and respecting employee rights

4.2 Ensuring the health and safety of our employees

In addition to the national and international guidelines such as the Universal Declaration of Human Rights, the basic agreements of the ILO, the OECD principles, etc. Egis

has developed several initiatives to ensure the rights of workers and their working conditions. They are either formalised in the performance management system, or included in the Code of Ethics or in the Egis sustainable development Charter published in 2012.

Egis is very attentive to the health and safety of its employees. Beyond the implementation of applicable laws and regulations, employee

social security, and repatriation procedures for health reasons or because of instability in the countries where the Group operates, in 2011 Egis established a specific health and safety policy that applies to all Group employees required to travel internationally. Given the large number of risky countries where Egis works, this specific structure helps make employees’ assignments as safe as possible.

Today, all employees have a 24/7 support hotline. A procedure for crisis management has also been established to quickly mobilise all human and technical resources in the event of security problems to ensure employees and their families receive quick and effective crisis management.

Safety rules are included in the management system, and are broken down by level of risk, updated every month. Health and Safety risks abroad are included in the group’s risk mapping and are subject to a biannual review.

A project manager dedicated to coordinating the health and safety system ensures its implementation.

With regard to social dialogue, monthly meetings are held with union coordinators and two to three meetings are held with the Group Committee. This number and frequency of meetings goes well beyond the legal requirements.

Since 2011, a major project of aligning the Group’s labour agreements was launched. In 2012, six collective agreements were signed:

Agreement for people with disabilities of 29.11.12.

Classifications Framework Agreement Amendment No.1 of 29.11.12.

Incentive Agreement of 14.06.12.

Agreement on employee profit-sharing of 14.06.12.

Group Agreement on the “management of the reorganisation and reduction of working time” of 10.02.12.

Group gender equality agreement signed on 19.07.12.

Regarding respect for human rights, Egis remained vigilant to ensure that no employee becomes involved in unlawful or unfair behaviour.

In 2012 :

A psychological and social support scheme for employees in difficulty was implemented (Synergence scheme).

Specific travel restrictions have been sought in countries considered at risk.

The range of Country guides giving information on local health and safety regulations has been developed (to date, more than thirty guides are available to employees).

Three new companies are preparing for OHSAS 18001 certification (health and safety at work).

4.3 Respecting and promoting equality, diversity and social diversity

A socially responsible company, Egis is committed to the fight against discrimination, to reversing preconceptions and developing

community life with respect for others. Since 1996, the commitment to “non-discrimination” has translated into the Code of Ethics

4.3.1 Disability.

In 2010, Egis created a special Disability unit made up of a project manager and disability officers in every Group company. An initial agreement was signed with union representatives and various support measures were organised to raise staff awareness: the organisation of awareness campaigns (participatory theatre piece), and training actions. Partnerships with the protected work sector have been established

.

In 2012, several significant actions were implemented:

Publication of a disability handbook to explain the concept of disability to all.

Publication of a brochure giving a list of service providers in the protected work sector, which employees can call upon for services such as catering and hospitality or photocopying.

Sponsorship of the second edition of the book “Audition et vie professionnelle” (Hearing and professional life), during the 2012 disability week.

Launch of a campaign for the recognition of disability, for employees who wish to be supported in this recognition process.

An agreement was signed with unions in November 2012 for the employment of people with disabilities, for three years (2013-2015).

4.3.3 Seniors*

In 2010, Egis committed to recruiting 10% of employees over 50 years old over the next three years and to employ at least 10% of employees aged 55 and over. These commitments were fulfilled in 2012.

Staff reviews are periodically carried out; mid-career and “end of career” interviews for over-55s are a chance to detect any anomalies at this level and remedy any lack of training or stagnant wages.

1.63%In 2012, the employment rate of people with disabilities was

(France)

13.80%

In 2012, the employment rate for over 55s reached

(France)

M/F ratio of gross base salary:

in 2012, the ratio is 0.80 executives

and 0.96 non-executives (France)

4.3.2 Gender Equality

The Egis Group prohibits any discrimination between men and women in recruitment and career development. To reinforce this commitment, an agreement was signed in 2009, in anticipation of the legal obligation.

In July 2012, a new agreement was signed for three years, covering recruitment, remuneration, career development, training, parental leave, work-life balance, and fair representation in decision-making bodies.

Assessments performed each year, and if any discrepancies are observed, particularly in terms of equal pay, negotiations should be carried out to determine the objectives for curbing the problem. For over a year, Egis has pursued a proactive strategy to enable women to access its company boards of directors. In 2012, over 40% of the Board of the group’s head company (Egis SA) are women (4 directors out of 9 members).

4.4 Cultivating one of our greatest treasures: our employees

4.4.1 Training and awareness

Developing employees’ skills is key to achieving a high level of performance and maintaining it.In 2012, several significant actions were implemented:

Training courses provided by the Egis Formation organisation to meet the shared needs of the different Group subsidiaries. These short courses help to develop cross-business skills (team management, sales, project management, the basics of technical professions, etc.). The Egis Formation organisation publishes an annual training catalogue (available on the Egis intranet).

Egis University modules Campus: high-level training in strategic areas of the business (customer excellence, complex project management, corporate management, expertise). Created to support the group’s growth and to meet the challenges of tomorrow, these modules are aimed at experienced employees for whom the Group establishes career development plans. The courses are tailored to specific needs and take place over 10 to 12 days. Two modules have already taken place in 2012: Complex project management and commercial excellence.

in 2012 65% of employees attended at least one

training course

Sustainable employment in 2012:

nearly 95 % of employees are on permanent contracts. The staff turnover in France for permanent

contracts is 8,02 %. (France)

In 2012, for all Egis locations abroad, the local employment rate has reached 99 %.

(societal indicator - establishing local roots) the proportion of executives

originating from the region they operate in is 70 %.

The diversity of courses on offer allows subsidiaries to create a custom training course for their employees.

With regard to specific sustainable development training, various modules have been designed.

Examples of key projects:

- A 4 hour sustainable development awareness module was integrated into the “business methods for engineers” training given by Egis Formation.

- A 2 day training course on the method for coordinating sustainable development in projects (Tendem Empreinte® initiative) was organised by Egis Formation.

- A specific sustainable development module was integrated into the “complex project management” training given by the Egis Campus corporate university (design of a sustainable development toolkit).

In subsidiaries, sessions tailored to business activities have also been organised:

- Training in the Variways eco-calculator developed by Egis.

- Training in RT2012 for teams in the construction industry.

- Training on “sustainable development approaches in road infrastructure projects”, with a specific focus on international contracts.

- A one-day training course on “sustainable development approaches to specific public transport lanes and rail infrastructure projects”.

4.4.2 Development of employability and employee retention

Egis, as a responsible employer, encourages the professional development of its employees: career interviews enable employees to discuss their career (significant professional experiences, training courses attended, participation in networks, etc.), as well as their professional goals (short/medium/long term).

Opportunities for geographical transfers are also discussed at these meetings.

In 2012, an amendment to the GPEC (Strategic Workforce Planning) agreement, concluded in 2011, was signed with trade union organisations to facilitate the progression of certain types of jobs and to complete the chart of business activities. This chart, which maps skills by business activity, enables employees to better understand the links between different business activities and to optimise their career plan.

In terms of internal mobility, geographic or otherwise (change of activity, change of job, change of pro-fession), various tools are available to employees, including priority access to vacancies and a mobility officer (one in each subsidiary).

4.4.3 Solidarity and corporate sponsorship

Convinced that companies and their employees can get involved and take action on social issues, beyond what directly affects their business, Egis has introduced various solidarity initiatives.

The Egis foundation

Founded in 2006, the Egis foundation aims to promote innovation and creativity in engineering, particularly in the field of sustainable development, as well as supporting training courses, research, and social and education campaigns for French or international students.

In 2012, the foundation led 4 significant initiatives:

The launch of the BISE contest (Bouquet d’Initiatives pour la Sobriété Energétique) for students with a Baccalaureate +2 years qualification, or equivalent.

Support for the 30th International Workshop for urban project management in Cergy Pontoise, which took place from 25 August to 28 September 2012, on the topic “Unveiling and staging urban landscapes - The proactive landscape of Grand Paris”. During five weeks, this event brought together 30 international participants, from all disciplines.

Being responsible and supportive, on a daily basis

The foundation awarded the Innovation Award to the “Beats” team, which devised an analytical tool to clarify the rhythmics of landscapes, using repeat sequences and spatial variations.

Support for the book “30 ans d’Ateliers” (30 Years of Workshops) which tells the story of workshops, production ... and includes contributions from the different members of workshops, contributors and experts.

The award of two scholarships to deserving students at the

Cité Internationale Universitaire de Paris (CIUP). The award of a scholarship for a Masters at Paristech

The Coal Prize Art & Environment

In 2012, Egis established a partnership with the Coal Prize, a prize under the patronage of the French Ministry of Culture and Communication and the Centre National des Arts Plastiques. The Coal Prize Art & Environment recognises the commitment of contemporary artists to current environmental issues. This third annual Coal Prize, awarded on 13 March 2012, focused on the theme of rural life (more than 250 artists from over thirty countries took part). First prize was awarded to Olivier Darné for his project “La Banque de Reines”.

A solidarity initiative in Cameroon

In 2012, as part of the road rehabilitation project for the Mbéré-Ngaoundere road in Cameroon, Egis staff worked with local communities to try and reduce the environmental impact of the project, and launch an educational scheme at the same time. This translated into a tree planting initiative and the creation of environmental clubs in the schools of villages affected by the road project. Thanks to the personal commitment of employees at Egis Cameroon, this simple environmental initiative, became a real social campaign that benefitted local people. This collective project helped revive local schools, which had been previously deserted.

Interview: a question for Charlie Foyet Sonkeng, Manager of the Sustainable Development and CSR Department at Egis Cameroon.

As part of the Mbéré-Ngaoundéré road project, Egis Cameroon initiated a local development and environmental project with neighbouring schools. What lessons have you drawn from this experience?

The main thing I learnt was that enthusiasm and energy are the driving forces for an initiative like this. Initially, you can have moments of doubt about the feasibility or the value of such a project. But you quickly get stuck in, once you realise that all the people involved are behind you, and the resulting ripple effect provides the boost needed for everyone to continue, enrich, and expand the project.

It is the “snowball” effect, here in Cameroon. This principle works everywhere, it has no borders. From a fairly modest initiative, supported by just a few people, we have successfully achieved a project shared with school principals, village chiefs, teachers and most importantly, children.

This is the greatest outcome of this initiative, which has completely revived the local schools!

Egis, a founding member of the Palladio Foundation

Egis continues to support the Palladio Foundation, which focuses on the issue of building tomorrow’s cities and their key living spaces. Its mission is to gather and enter into debate with all the parties involved in the construction of cities today (politicians, real estate industry professionals, professionals from other sectors involved in urban issues, researchers, members of federations or associations, media). It supports and assists those who will be building tomorrow’s towns and cities, whether students, researchers or young professionals.

In 2012, with the support of Egis, the Palladio Foundation developed:

The Palladio Observatory, a web tool created to attract talent to the real estate and urban construction industry and to break down barriers between business activities.

The Palladio Institute of advanced studies on real estate and the city, whose initial Acts were published in November 2012, in the form of a single document database that provides support for decision-making by public and private stakeholders. Note that Egis is an active member of the Palladio Institute steering committee.

The Palladio Research Centre, which organised the 1st International Symposium for Research on real estate and urban construction, whose results were used to begin an initial overview of this research in France and abroad, to unite existing Research teams and structures and to get companies interested in Research issues.

The Palladio Foundation also awarded 8 scholarships to doctoral students. It has sponsored the SIMI Junior Property Prize, the AREIM Prize and a Forum for real estate professions.

Contribution to the work of the CDC Développement solidaire.

Beyond these key actions, each employee can also put their expertise to good use, as part of the “Développement Solidaire” scheme (association of the Caisse des Dépôts et Consignations - the CDC is our majority shareholder), and provide financial support to the association. In addition, each employee may, if they wish, invest their income in the solidarity investment fund (FCPE) offered by Egis.

4.4.4 Contact with schools

Because Egis wishes to put teaching into perspective, clarify the relationships between courses and businesses, help students with their career plans and attract new talent, several partnerships have been established with schools.

Some key contributions in 2012:

Egis has renewed its partnership with the “International Project Management” course at the Ecole Centrale de Paris. In this context, Egis has participated:

- in roundtables with students to present careers and professions,

- in the “Sustainable Business Conference 2012” on the theme “Smart Cities, Smart Sustainability”.

As part of its partnership with the ESTP (Special School for Public Works, Building and Industry) and sponsorship of students on the “Territorial and Urban Planning” course, Egis participated in its integration seminar in September in Cachan (Val-de- Marne). On this day, Egis helped twenty students build a structure using cardboard, and met with nearly 600 students at a forum organised on the Docks de Paris.

Egis has signed a partnership with the Faculty of Engineering, at the University of Salerno in Italy, under the “Lifelong Learning Programme” funded by the European Commission. The Egis Industries Technical and Scientific Department oversees one or two students from the University every year as part of six-month internships in the field of civil engineering and seismic calculations.

Egis hosted a seminar at the Ecole Ponts Formation on limiting the inconvenience caused by construction sites.

Egis presented jobs in the engineering industry at the Village des Métiers job fair organised by the “Entreprise réussite scolaire” foundation.

Being responsible and supportive, on a daily basis

4.4.5 Focus on eco-responsibility

Green living

In 2012, Egis continued its eco-responsible actions by rolling out the green living awareness campaign initiated by one of its subsidiaries. Four posters were made available across the Group. For each topic (energy, waste, water, transportation), examples of green living were proposed.

These posters added to other media (powerpoint, films, etc.) available on the intranet.

In line with the opportunities, certain “pilot” schemes are also being tested. In 2012, at its Toulouse site, the subsidiary Egis France tried its hand at car sharing, by becoming a shareholder of Mobilib (a carsharing cooperative of the France Autopartage network).

For the French National Sustainable Development Week (1 to 7 April) staff got involved at the main locations of Guyancourt, Toulouse and Lyon.

Conferences covered topics such as:

The creation of a vegetable garden on the roof of an Egis building in Montreuil, a vegetable patch designed by employees.

The installation of beehives on rooftops: involvement of Caisse des Dépôts employees who tried out the initiative in Paris.

Responsible purchasing with the involvement of SYNETHIC, a supportive services integrator, developer of new sectors.

Public transport with the involvement of the SNCF and TISSEO.

A library based on an employee book exchange scheme (“Give new life to your books”).

Humorous films from the “Planète Bureau” team were posted on the intranet. Another approach to sustainable development in business.

For the European Week of sustainable mobility, employees based in Toulouse and Lyon took part in the “green routes” campaign (challenge to use bicycles for commuting). The

operation was a great success. A special mention for employees in Lyon who won the challenge with the traveller bike.

5150

Measuring our achievements, to boost our progress

Because progress can’t be achieved without it being measured, Egis has gradually set up a system of non-financial reporting.

Structured according to its own challenges and strategic directions, given the economic, societal, social and environmental challenges involved, this reporting system is a real strategic tool for Egis:

To meet the requirements of its customers and stakeholders and empower them to make the right decisions.

To comply with regulations.

To achieve performance in the long term, because the financial health of the company is no longer enough, it also needs to improve (at least not to damage) the well-being of the communities around its place of business, the environment and its employees.

To manage and report on its progress in sustainable development.

This reporting is forwarded to our main shareholder (Caisse des Dépôts et Consignations). It combines the main functional departments of the Egis Group (HRD, general resources, etc.), and its subsidiaries.

Egis also contributed to the Caisse des Dépôts non-financial reporting by providing qualitative and quantitative information in the form of data sheets (2012 societal, 46 environmental and governance data)

5.1.1 An international framework

Egis reporting is based on the indicators recommended by the Global Reporting Initiative (GRI), the most recognised and most used framework in the world. With regard to the content of our reporting, we consider ourselves to have achieved level B (self-assessment) of the GRI.

5.1.2 An annual basis

The report is published annually.

5.1.3 Data in development

The process of data collection is gradually being established. Currently, in light of the variety and diversity of its locations and the Group’s international development, some data is still incomplete and not sufficiently reliable.

Eventually, Egis hopes to gradually roll out the geographic scope of its reporting while making the collection process more reliable. A formalisation of the process in the management system is also planned.

Highlight: In early 2013, a sincerity audit was conducted by PricewaterhouseCoopers (Auditor of our majority shareholder, the Caisse des Dépôts) on our 2012 non-financial data. The auditor was impressed by the robustness of the system in place to consolidate data. He also stressed the originality of joint Sustainable Development and Performance management, which will facilitate the gradual inclusion of extra-financial issues in the management system.

Although most of our impacts are indirect, Egis is keen to improve its internal operations.

In 2011, then in 2012, environmental data was collected across 14 locations, and covered 71% of French employees. It included twenty items of impact data and helped establish an inventory of buildings’ characteristics in terms of heritage.

This work helped create the identity sheets by indicator and to initialise practical reminders for use by the site managers and departments concerned.

Three of our companies have established a report on greenhouse gas emissions

Pursuant to Article 75 of Law No. 2010-788n of 12 July 2010 on national commitment to the environment (ENE), in 2012 Egis published a greenhouse gas emissions report (GHG) for three of its companies. These were carried out for 2011, which will be the reference year.

As per the regulations, the operating scope of these reports includes all sources of direct and indirect emissions resulting from the activities of companies as defined in scope 1 and 2 (direct greenhouse gas emissions and indirect greenhouse gas emissions related to energy).

This regulatory operational scope also includes certain sources of emissions as defined in scope 3 (other indirect emissions).

The three reports were published on the Egis website: www.egis.fr. They will enhance the non-financial data of the group and boost improvement initiatives in the short and medium term.

5.1 A gradual reporting approach 5.2 Anticipation of the Grenelle 2 requirements

5.3 Reducing our direct environmental impact

In anticipation of Article 225 of the Grenelle 2, Egis has also published its 2012 non-financial data (see Chapter 7). For the first time, environmental indicators (for France) have been consolidated.

5352

Measuring our achievements, to boost our progress

A site with HQE operating certification: Terra Nova in Montreuil

In 2009, the owner of our Montreuil site (Terra Nova building) initiated the HEQ operating certification process and received the certification “NF Bâtiments Tertiaires en exploitation – Démarche HQE®” from Certivéa. Valid for five years, the certificate was issued following an audit to verify the environmental quality of the building’s operations (equipment maintenance, maintenance of work areas, monitoring of consumption and comfort parameters, etc.), and the quality of our practices (those of Egis employees, of the operator, of service providers).

Since 2011, Egis has been the sole occupant of the building. The certification was extended to include the entire perimeter.

In 2012, because the sustainability of the building can only be improved through the collaboration of all stakeholders, Egis wished to support the process by designing a “Carnet de Vie” (Life Book). Intended for all occupants, it explains all the key environmental features of the building and its general operation for optimal use of the services. Educational information is available for each theme (lighting, thermal environment, waste management, noise, etc.).

Table of compliance with the Global CompactEgis’s first COP (Communication on progress) was published in November 2012 for 2011 data. For each principle, it explains the policy implemented, the objectives and the associated indicators.

The table of compliance below invites the reader to read the COP 2011 to find the parts of the policy associated with each principle and shows the new measures implemented in 2012 and described in this report.

Indicators

How to read the table of indicators

Each goal is followed by 1-10 qualitative or quantitative indicators. Unless otherwise specified, the indicator refers to the entire group. It may be restricted by geographic or business criteria. For example, the environmental indicators relate to French sites.

The reference column indicates whether there is a match with a possible indicator in the Global Reporting Initiative (GRI).

On the right of the table, the reader will find a selection of achievements from the past year and the objectives for the following year.

How were the quantified indicators established?

Environmental indicators are measured across a section of the scope, then a calculation is used to generalise them. Other indicators are comprehensive in their scope. All indicators are auditable, and documented in our management system.

What do our stakeholders say?

Egis participates in several networks on CSR (Caisse des Dépôts, Syntec-Ingénierie, France Bâtiment, etc.), and consults its sustainable development steering committee. Feedback on our proactive approach is positive and encourages us to overcome the difficulties inherent in our context: a scope which changes each year, a variety of business activities and specific issues on the added value of our services in terms of sustainable development for our clients’ projects.
