I. LAS PARTES

II. PROPÓSITO

La Universidad de Cuenca fue creada por Decreto Legislativo, expedido por el Senado y la Cámara dediputados del Ecuador, reunidos en Congreso el 15 de octubre de 1867 y iancionado poi el presidente dela República, el diezy ocho del mismo mes y año.

Es una persona jurídica de derecho público, de carácter laico, sin fines de lucro, financiada por elEstado, que forma parte del Sistema Nacional de Educación Superior Ecuatorian o y gozadá autonomíaen los. términos establecidos en la Constitución y la Ley.

La Universidad de Cuenca se rige por Ia Constitución Política de la República, la Ley de EducaciónSuperior, el presente Estatuto y los Reglamentos y normas expedidos po, ,u, á.gunos y autoridadescompetentés.

University of Maryland, College Park, como paxte de su misión como institución educativa del Estado,organiza para sus estudiantes programas de aprendizaje a través del servicio durante el receso de verano("Viajes Altemativos de Receso de Verano,,),

El propósito de este acuerdo es coordinar un Viaje Aiternativo de Receso de Verano que posibilitaráoportunidades de aprendizaje y promoverá voluntariado internacional dando a los estudiantes ydocentes/personal administrativo de UMD Ia oportunidad de participar como un grupo (el ,,Gápo,,)

enel programa de Ecuador en mayo 2013 (el .,programa1,).

AHORA, POR LO TANTO, para el beneficio mutuo y con consideración mutua, las partes acuerdan losiguiente:

TII. RESPONSABILIDADES

El programa está fijado para el I 8 de mayo de 2013 (la "Fecha de inicio") hasta el 29 de mayo de2013 (la"Fecha de Finalización") en Ecuador.

LA TINIVERSIDAD DE CUENCA será responsable de organizar y operar todos los aspectos delPrograma, incluyendo, sin iimitación, ei proveer:

r Al Grupo de estudiantes de un lugar para la realización de un trabajo de servicio, el que serádeterminado por LA TINIVERSIDAD DE CUENCA, sujeto a la disponibilidad y coninformación limitada de parte de UMD-LCSL, sobre la base de las necesidades de lacomr¡ridad y de acuerdo a las destrezas e intereses del Grupo;

. Tomar las rnedidas apropiadas para brindar un alojamiento seguro ai grupo, en un ambientecómodo en Cuenca y en Quito;

r Alimentación apropiada (tres veces al día);r Acceso a agua segura;r Actividades culturales y de aprendizaje dentro del país, de acuerdo a lo coordinado con

UMD-LCSI,, sujetas a la disponibilidad y a la discreción de la persona encargada de lacoordinación en la Universidad de Cuenca;

o Tomar medidas apropiadas para ptoveer transporte seguro dentro del país después de lallegada al§cuador, incluyendo desde y hacia: el aeropuerto, lugares de voluntariado yactividades culturales y de aprendizaje;

. Transporte diario al lugar donde el grupo realizará su voluntariado (desde la Universidad deCuenca a Ayaloma por seis días), actividades culturales y de aprendizaje;

r Habilidad para brindar apoyo en salud, seguridad, asistencia médica y de emergencia a travésde una asesoría directa tanto a los líderes del grupo como a los estudiantes quienes seránorientados hacia los centros donde se les pueda brindar atención;

. El Coordinador del Programa en el Ecuador servirá como un coordinador, guía y como unenlace con el equipo dentro del país;

r Personal profesional, incluyendo un Coordinador, que dé orientación, supervisión y guía através del programa; y

o Orientación en el lugar que cubra consideraciones especíñcas relacionadas con la salud y laseguridad, como también información cultural específica relacionada con el Ecuador,

B. pAZHUMA'TOURS

El programa está fijado para el 1 8 de mayo de 20 i 3 (la "Fecha de Inicio") hasta el 29 de mayo de 201 3(la "Fecha de Finalización") en Ecuador.Cazhuma Tours será responsable de la organización y operación de los siguientes aspectos del viaje:

. Hospedaje seguro para el grupo (con acceso a un teléfono para recibir llamadas) en un hotelen Quito, Ecuador;

r TransPorte dentro del país (en Quito, Ecuador: tour de la ciudad de Quito, tou¡ de la Mitaddel Mundo) incluyendo traslado desde y hacia el aeropuerto,

r Viaje redondo en bus entre Quito-Cuenca-euito;. Apoyo en los aspectos de salud, seguridad, aspectos médicos y de emergencia (ayudar alestudiante para que tenga ayuda médica inmediata en caso de emergencia, los gastos seráncubiertos por el estudiante) durante los tours y las actividades bajo su responsabilidad;

r Agua caliente y fría cuando se pueda disponer de ella; (en los hoteles y restaurantes)¡ Agua segura (se les dará a los alumnos Ia oportunidad de comprar agua emboteliada en el

hotel y en tiendas durante los tours);

Y" Un representaute profesional de CAZHUMA TOURS que dé orientación, supervisión y guía

durante la estadía en Quito y el viaje hacia y desde Cuenca, cuando el servicio lo especifique.. Guía en el lugar que cubra consideraciones específicas relacionadas a la salud y la seguridad,

como también información cultural específica relacionada al Ecuador.. CAZHUMA TOURS es responsable solamente de los servicios descritos bajo este

encabezado; no es responsable de los otros puntos de este acuerdo,

. La Universidad admitirá sus propios estudiantes directamente en el Programa, de acuerdo conlos estándares de admisión de la lJniversidad, prerrequisitos, fechas y posibles limitaciones de

matrícula así como también de acuerdo a lo establecido a ias fechas, solicitudes y procesos deselección.

o Reclutar y capacitar a dos estudiantes calificados como iíderes dei viaje;r Financiar la participación de un consejero ya sea profesor o empleado del departamento para el

viaje;r Enviar información actualizada a la LINIVERSIDAD DE CUENCA y a CAZHUMA TOURS;

' Administrar y coordinar la logística del viaje: boletos aéreos hacia y desde Ecuador;coordinando con socios dentro de la comunidad; desembolso de dinero para el consejero (lo quecubre los costos de alimentación y educación en el lugar);

o Promociona¡ el viaje y reclutar a participantes;e Recoger los contratos de los participantes, exenciones de responsabilidad, pasaportes y copias

de visas;r Coordinar todos los pagos y asuntos financieros para los participantes dei viaje;. Asegurarse de que los participantes tengan seguro de viaje intemacional y asegurarse de que

todos los documentos (pasaporte, visa, etc.) estén actualizados;

' Asegurarse de que todos los participantes visiten ia clínica de viajes de la universidad para queobtengan todas las vacunas necesarias así como la medicación para el viaje;

. Registrar a los estudiantes y al consejero del viaje con el departamento de estado;r Mantenerse al tanto de las advertencias y consideraciones de seguridad relacionadas con viajes

internacionales;. Educar a los líderes del viaje, al consejero y a los parlicipantes acerca de consideraciones de

seguridad adicionales en un medio internacional;r Promover, mostrar y hacer cumplir de manera estricta la po}ítiea relacionada con la prohibición

de consumo de alcohol y drogas durante toda la experiencia AB;o Supervisa¡ Ia educación previa al viaje y después del viaje y aconsejar a los estudiantes

participantes hacia la defensa de una reorientación del campus y de eventos educativos;

IV. PARTICIPACIÓN DEL PROGMMA Y TASáS

1. UMD-LC§L será responsable del envío de los pagos del programa (incluyendo depósitos que sepidan como lo dispuesto en este documento) a LA LTNIVERSIDAD DE CUENCA y a ICAZHIJMATOURS.

2. Los coordinadores del programa UMD-LCSL enviarán una lista final del número de participantespara el I de abril, 2013.

El pago a CAZHIIMA Tours será realizado para el 4 de marzo, 2013. La cantidad máxima para unnúmero máximo de 16 estudiantes será $ 3.792,00. (Esta cantidadvaia¡á dependiendo del númerode estudiantes, $ 237,00 por persona) que serán pagados con tarjeta de crédito más una tasa de 6,5o/o.

El pago a la Universidad de Cuenca se realizará eI2 de mayo de 2013. La cantidad para un númeromáximo de 16 estudiantes será $ 3,568,00 (Esta cantidad variará dependiendo del número de

estudiantes, $ 223,00 por persona).

Este pago se lo hará mediante tarjeta de crédito a CAZHUMA TOURS y mediante una transferenciabancaria a la Universidad de Cuenca (las facturas serán generadas después de ser solicitadas).

v. --G.F,NERAL

1. Una de las partes en este acuerdo indemnizará y mantendrá a la otra parte y a stis representantes yempleados libres de todas las responsabilidades, reclamos, demandas o causas de acción que surjan afavor de cualquier persona o entidad incluyendo reclamos derivados del contrato, agravio, estatuto o

que resulten directa o indirectamente de la negligencia (sea individual, conjunta, concurrente o de

otra manera) o actos intencionales de omisiones de tal Parte en cuestión, de sus funcionarios,agentes, representantes o empleados, o de cualquier persona o entidad no sujeta a la supervisión de

una de las Partes o al control en la ejecución del Acuerdo.

La indemnización de la Universidad estará supeditada a una apropiación por parte de la AsambleaGeneral de Maryland a la Universidad específicamente para este fin en el momento en que ocurra unevento que pueda dar lugar a la obligación de Ia Universidad de indemnizar o mantenerse libre de

responsabilidades y en la rnedida en que se involucre una reclamación extracontractuai, las

obligaciones de la Universidad no deben ser mayores que la responsabilidad que se pudieradeterminar con arreglo alaLey de Reclamación por Agravios Maryland, Sección 12-101 et. SEC.dei artículo Gobierno del Estado, Código Anotado de Maryland (ia "Ley"), si la reclamación se haafirmado directamente contra la Universidad de conformidad con la ley,

Se les indicará a los participantes para que adquieran un seguro de viaje y seguro rnédico por supropia cuenta.

Si una o más de las disposiciones de este Acuerdo se considera inválida, ilegal o inaplicable, esto noafectatálavalidez y aplicabilidad de cualquier otra disposición de este documento.

Este acuerdo no está dirigido a, ni será para el beneficio u obligación de ninguna persona o entidadque no sea parte de éste,

Este acuerdo contiene todo ei acuerdo de las partes. Ninguna'modificación o enmienda de esteacuerdo será efectivo a menos que se lo haga por eserito debidamente firmado por las partes.

Este Acuerdo se regirá e interpretará de acuerdo con las leyes dei Estado de Maryland. Lajurisdicción será en los tribunales del Estado de Maryland, o en ios tribunales federaies del distritode Maryland si de lo contrario tendrían jurisdicción.

8. El presente Acuerdo entrará en vigor en la fecha de su firma y tendrá un impacto sobre LALINIVERSIDAD DE CUENCA Y SOBRE CAZHUMA TOURS, mientras dure la ejecución delprograma de acuerdo a las fechas arriba especificadas.

u. PURPOSE

La Universidad de Cuenca was created by legislative decree enacted by the Ecuadorian Senate and by itsChamber of Deputies, qathgled in congress Jn October 15 , 1867 , and sanctioned by tfre presi jeniáf ,ir*Republic on October 18, of the same year.

Universidad de Cuenca is a juridical entity subjected to public rights, lay and nonprofit; state financed,and is part of the Ecuadorian Higher Educational SysteÁ. It holds autonomy according to what isestablished in.the constitution and law.

La Universidad de Cuenca is subjected to the Political Constitution of the Republic, to the HigherEducation Law, to the Statutes, and the regulations and standards issued uy irr* *o*petent authoritiesand bodies.

As parl of its mission as a State educational insfitution, UMD-LCSL organizes service-learningprograms for its students during the University's Surnmer Break ("Suminer Alternative Breakirips,,).

Cazhuma Tours is a tour operator taking care of all in-country travel logistics and a partner of LaUniversidad de Cuenca.

The purpose of this agreement is to coordinate an Summer Alternative Break Trip that wi¡ affordlearning opportunities and promote international úolunteerism by providing ax opportunity for UMDludelts and faculty/staff to participate as a group (the "Group"j in the Ecriador program in May 201 3(the "Program").

NOw, THERETORE, for the mutual benefits and consideration each to the other, the parties agree asfollows:

ilI. RESPON§IBILITIES

1. The program is scheduled for May 18, 2013 (the "start Date") through May 29,2013(the "End

Date") in Ecuador

2. LA LTNIVERSIDAD DE CUENCA shall be responsible for organizing and operating all aspects of

the Program, including, without limitation, providing:

¡ A Group service learning and work placement to be determined by LA LTNIVERSIDAD DE

CUENCA, subject to aváilability and with limited input from UMD-LCSL, based upon the

needs of the community and the skills and interests of the Group;

o Take appropriate measures to provide safe and secure lodging for the Group in a comfortable

environment while in Cuenca and Quito;o,, Access to communication methods through telephone and/or internet;

o Organized meals (tluee Per daY);

r Access to safe water;o In-country Cultural & Learning Activities, as coordinated with UMD-LCSL, subject to

availability and at the discretion of the on-site Coordinator for LA LTNIVERSIDAD DE

CUENCA;. Take appropriate measures to provide safe and secure in-country transportation upon arrival to

Ecuadói incluaing to and from: the airport, daily volunteer work placements, and Cultural &

Leaming activities;o Daily transportation to the volunteer work place (from Universidad de Cuenca to Ayaloma for

six days), iultural & Learning activities;o Ability to provide health, safety, medical, and emergency support through directing program

leaders and students to appropriate facilities;. Ecuador-based Program Coordinator to serve as a coordinator, guide, and liaison with in-

coun§ team;r professional, iocally-based program staff, including an on-site Coordinator,

orientation, supervision and guidance throughout the program; and

trip logistics: Booking travel to and from Ecuador; coordinating with on-

site community partnerr; dirb,irr.ment of moÁey to Staff Advisors (which pays for on-site costs

such as food and education);

o Advertise for trip and recruit participants;

o Collect participánt contract§, liability waivers, passport and visa copies;

r Coordinate all payments and fi.nancial matters for trip participants;

o Ensure particifa*s are covered by international travel insurance and ensure all documents

(passport, visas, etc') are up-to-date;

o Ensure all participants visii the university travel clinic to obtain all necessary vaccinations and

medications for the triP;I Register students and staff advisor with the state department;

. Keep abreast of international travel warnings and safety considerations;

. Educate trip leaders, staff advisor and participants about additional safety considerations in an

international setting ;

o promote, model and strictly enforce the AB alcohol and drug free policy during ti:e entire AB

experience;. oversee pre-departure and post-trip education and advise student participants on re-orientation

' campus advocacy and education events;

The uMD-LCSL shall be responsible for forwarding the program fees (Tc]y{1g required deposits,

as provided herein) for its Group participants to LA LIITIIVERSIDAD DE CUENCA/CAZHUMA

TOURS shall be responsible foi all costs and expenses of operating the Program'

The UMD-LCSL program coordinators will provide a final list and number of participants by April

1, 2013.

The payment to GAZHUMA Tours will be made by March 4,2013. The amount for a maximum

students at $237.00 per person) to pay by credit card. A credit card fee of 65% should be added to

the speciñed amorurt.

The payment to Universidad de Cuenca will be made by May 6,2013. The amount for a maximum

numte, of 16 students will be $3,568.00. (This amount will vary depending on the number ofstudents al §223 .0A per person)

This payment shail be made in the form of a credit card payment or wire transfer to CAZHUMATOURS and Universidad de Cuenca respectively (invoices will be generated upon request).

V. GENERAL

1. A Party hereto shall indemnify and hold the other party and its officers and employees harmless from

ail liabilities, claims, demands or causes of action arising in favor of any person or entity including

claims arising from contract, tort, statute, or resulting directly or indirectly from negligence (whether

sole, joint, concurring or otherwise) or intentional acts of omissions of such Party, its officers, agents,

repreientatives, or employees, or any person or ent§ not subject to a Party's supervision or control in

the performance of the Agreement.

The University's indemnification shall be contingent upon an appropriation by the Maryland Ceneral

Assembly to the University specifically for this purpose at the time an event which may give rise to the

University's obligation to indemnify or save harmloss occurs, and to the extent that a torlious claim is

involved, the University's obligations shall not be greater than the liability that might be determined

under the Maryland Tort Claims Act, Section 12-101 et. seq. of the State Govemment Article, Maryland

Annotated Code (theooAct"), if the claim has been asserted against the University directly pursuant to

the Act.

2.Participarfis will be directed to acquire travel insixance and health insurance coverage at their own

expense.

3. If any one or more of the provisions in this Agreement is held to be invalid, illegal or unenforceable,

that shall not affect the validity and enforceability of any other provision herein.

4. This agreement is not intended for, nor shall it be for, the benefit of or enforceable by, any person or

entity not a party to it.

5. This agreement contains the entire agreement of the parties. No modification or amendment of thisagreement shall be efftctive unless the same shall be in writing duly executed by the parties hereto.

6. This Agreement shall be governed by and construed in accordance with the laws of the State ofMaryland. Jurisdiction shall be in the courts of the State of Maryland, or in the federal district courts ofMaryland if they would otherwise have jurisdicfion.

7. This Memorandum of Agreement will become effective on the date of signing and will have an

impact only on the LA LTNIVERSIDAD DE CUENCAICAZHUMA TOURS Program running during

the time period speciñed above.
