TO THE DEFINITIVE AGREEMENTDATED SEPTEMBER 29, 2011,

BY AND BETWEENTHE CITY OF LOS ANGELES AND

XEROX STATE & LOCAL SOLUTIONS, INC.

This CHANGE NOTICE is issued and effective as of a z I ("EffectiveDate"), by the City of Los Angeles, a municipal corporation ("CI Y"), pursuant to theAgreement ("Agreement") between CITY and Xerox State & Local Solutions, Inc.("XEROX"), formerly known as "ACS State and Local Solutions, Inc.", entered into onSeptember 19, 2011 for purpose of providing an intelligent parking management system.

WHEREAS, Section 13(i) of the Agreement specifies that a Change Notice isappropriate for any change that does not significantly affect the scope of work; and

WHEREAS, XEROX and CITY have completed various discussions concerningthe clarification and expansion of the scope of work of the Agreement;

NOW, THEREFORE, the City and XEROX agree to the following changes andtheir implementation as of the Effective Date:

Neighborhood Dynamic Message Signs (NDMS)Effective May 20, 2014, the total installation price for the additional work forNeighborhood Dynamic Message Signs is not to exceed amount of $140,000. This isin addition to the installation price in the original contract. The increased price is forthe additional work required by LADOT over and above what was estimated for byXerox. Xerox will invoice for the actual additional work done at various NDMSlocations up to $140,000.

Westwood ExpansionThe scope of work for Westwood Expansion as included in Change Notice 3 (executedon 3/27, 2014) Attachment A is being modified as per the attachment A attached with thischange notice.

As of the effective date of this change notice, compensation will follow the revised priceschedule as in attachment B.

Convention Center Off Street OccupancyThe scope of work for Convention Center off street occupancy system is being modifiedas under:

Xerox shall provide an Amano off street occupancy system consisting of computer(s) andsoftware licenses to manage two garages — West Hall and South Hall. Xerox shall1

establish the communication between the computers and Amano backend server forupdates of occupancy data. The convention center will provide the DSL connection.Occupancy levels will be updated manually by Convention Center personnel.

The price for Convention Center off-street occupancy system is revised from$147,332.86 to $16,188.00. This price includes the hardware, software and installation.

1. SensorsXerox will supply approximately 500 sensors. The sensors will be IPS manufactured sensors whichwill communicate directly to their associated meters. The sensors will be installed by the City. Xeroxwill take operational responsibility of the sensors for the duration mentioned in the proposedschedule. Ownership of the sensors and any associated communications equipment, along withresponsibility for manufacturer warranty fees, will remain with LADOT. LADOT will be responsiblefor repair costs not covered under warranty.

2. Off Street LotXerox will install an occupancy count system at Broxton Garage and integrate it with Merge' usingthe methodology similar to the one used with Amano for the previous four off-street lots that havebeen integrated with Merge'"'. The occupancy system will be the Amano system, which will use theinduction loops to count the ingress and egress of vehicles to provide an overall occupancy of theparking garage.

The total occupancy for the garage will be sent from the occupancy system at the garage toMergeTM, which will display the occupancy/availability numbers, similar to what is being displayedfor the other parking garages like Pershing Square, Aiso etc.

An electronic display at the entrance (replacing the sign on the wall) of the garage will provideavailability numbers for the garage. A level based occupancy display is not needed as the parkinggarage has all the parking spaces along the ramp. There are no parking spaces at each level whichare hidden from driver's view while driving to the upper levels. With such a parking garage layout, alevel based availability counter is superfluous.

3. Block Level DMSXerox will design, install and test the Block Level Dynamic Message Signs (BDMS) at the followingthree (3) locations identified by the City.

• Gayley Ave and Kinross Ave• Weyburn Ave and Glendon Ave• S. Westwood Blvd and Kinross Ave

City will contact the Westwood Business Improvement Districts (BID) and other community groups,businesses and departments to get an approval for the intended location.

The pricing for the BDMS signs is based on the above mentioned locations. If an alternate location issuggested by the City, Xerox will assess the impact on costs, and will submit a revised priceproposal if need be.

After receiving notice to proceed for all the three (3) locations, Xerox will develop the site plans andstructural plans for the signs and poles per the agreed and approved requirements. The site planswill be developed to show the signs, and their associated hardware, conduit and cabling required tointegrate with ATSAC. City is responsible for providing communication from ATSAC to the nearesttraffic controller/cabinet box. It is assumed that the traffic controller cabinet closest to theproposed sign location will have communication TWP cables connected to ATSAC and will havespare cables for BDMS communications. The controller cabinet is assumed to have adequate spaceto accommodate the networking/communication hardware needed. In case of alternate BDMSlocations suggested by the City, depending on cabinet space available, there could be a need for aseparate controller cabinet for the signs. Xerox will provide a revised price estimate for that, if needbe.

The BDMS site drawings shall be developed to show the components associated with the BDMSincluding signs, poles, pull boxes, conduits and cables. Xerox will obtain the current as-built drawingsfrom the City and field-verify the existing conditions to begin the design. Any subsequent changes tothe as-built drawings and/or field conditions, depending on the impact on the design, may needanother revision to the design. If necessary, Xerox will submit a revised design estimate for thatlocation.

4. Meter Collection SystemXerox will install and test approximately 525 smart cans, and supply 2 collection canisters with cartsand 18 collection canisters without carts.

5. Bicycle Parking and Public OutreachXerox will provide marketing support for the promotion of bike racks and develop a public outreachplan customized to the Westwood area. The specific tasks and scope will be discussed and agreedupon with the City. The plan and estimate for each task will be submitted to the City for approvalbefore implementing any of the proposed tasks. The focus of the public outreach effort will betowards branding and promotional material for LA Express Park expansion into Westwood area andcommunity outreach.

6. Merge UpdateMerger"' system will be updated to be able to accept sensor data from IPS. The Streetline sensordata API will be modified, if needed to establish the interface between IPS and Merge'.

xeroxDepending on the BDMS solution, the Parking Guidance sub-system in MergeTM will need to bemodified to display the message (availability / current rate/ address) on the smaller signs Cityintends to install in Westwood. Currently Merge can handle signs with the following pixelconfigurations:

- 18X110- 28X70

The BDMS signs being requested by the City are different from either of the previous signs. Merge T"will be changed to allow it to integrate information from Merge TM to the new BDMS signs.

7. Additional StaffFollowing staff will be needed for implementation of the project:

• 1 Project Manager (50% time)• 1 Analyst (100% time)

8. Monthly Operations and MaintenanceXerox will provide operations support per the attached schedule for the items :

a. Sensors: Monitoring the performance of sensors for data availability and latencies.b. Meter collection system: Providing communications from collection canisters to IPS backend

systemc. MergeTM system: Providing storage, regular updates, interfaces and network performance

monitoring for the Westwood project area.

9. Install single space meter postsXerox will install single space meter posts at 143 locations demarcated by the City. The posts will beinstalled per the specs provided by the City for the three options — installation in dirt, concrete sidewalkor bridge deck. For the purpose of this proposal we have assumed the following:

1. 2 installations in dirt/asphalt2. 141 installations on concrete bridge and/or on decorative sidewalks where digging a hole for the

post is not permitted.

The posts and the mounting flange will be galvanized. The scope of work for a typical installation will beas follows:

Provide and install 2" PVC conduit between the nearest existing trafficsignal conduit, not to exceed 100 ft. 14' tall City of Los Angeles steelmonopole. These poles will be installed on a Type F-1 foundation, based onthe City of Los Angeles Red Book standards. Each controller cabinet willhave a city furnished fuse or circuit breaker panel to connect power cables.It is assumed that signs will be placed such that the distance between eachsign and the traffic signal cabinet is less than 300 feet. Bothcommunications and power will be obtained from the traffic signal cabinet.It is also assumed that existing traffic signal or street lighting conduit streetcrossings can be used to install the communications and power conductorsfor the signs. Does not include conduit street crossing. Pricing does notinclude any City permits. Those will be billed, if any, as direct costs. Out ofthe 9 LED Daktronics displays (3 in each sign), 6 are being provided new. 3will be provided by the City.
