NEGOTIATED PROCUREMENT DUE TO TWO FAILED BIDDINGS

PHILIPPINE HEALTH INSURANCE CORPORATION, a government-owned and controlled corporation created and existing by virtue of R.A. 7875, as amended by R.A. 10606, otherwise known as the "National Health Insurance Act of 2013", with office address at 17th Floor, Citystate Cemer Building, 709 Shaw Blvd corner Oranbo Drive, Pasig City, represented herein by its EXECUTIVE VICE PRESIDENT AND CHIEF OPE RATING O FFICER, RAMON F. ARISTOZA, JR., (hereinafter called "PHILHEAL TH");

CHRISTOPHER S. DEE, (hereinafter called "DVK").
WITNESSETH: T h at -
WHEREAS, PHILHEAL TH invited Bids for the Procurement of Lot 2 - Five Thousand (5,000) pieces Wall Clock for the project Two (2) Lots Timepiece for PhilHealdt ' s 20th Anniversary Celebration through N egotia ted Procwement due to T wo Failed Biddings (RFQ N o. NTLTP 2015-001-GS) and has accepted the Proposal by DVK for the supply of those goods and services at Total Contract Price of N ine Hundred Fifty Eight Thousand Eight Hundred Pesos (PhP958,800.00) ONLY, (hereinafter called " the Contract Price").
NOW, THEREFORE, for and in consideration of the foregoing premises, th~ parties hereto have agreed as they hereby agree and bind themselves as follows:
1. [n this Contract, words and expressions shall have the same meaning as are respectively assigned to them in the Conditions of Contract hereunder .referred to.
2. The following documents shall be deemed to form and be read and construed as part of this Contract, viz.:
(a) the Financial Proposal submitted by DVK (Annex "A"); (b) the Request for Quotation (RFQ No. NILTP 2015-001-GS) (Annex "B"); (c) the Bid Bulletin No. 01 (Annex "C"); (d) the BAC-GS Resolutio n No. 137, s. 2015 (Annex " 0"); (e) the Notice of Award (Annex "E"); (f) the Performance Security (Annex " F"); and (g) the Memorandum from Corporate Marketing Department (CorMar) (Annex "G").

3. In consideration of the payments to be made by PHILHEALTH to DVK as hereinafter mentioned, DVK hereby covenants with PHILHEAL TH to provide the goods and serv-ices and to remedy defects therein in confonnity in all respects with the provisions of this Contract.
4. PHILHEALTH hereby covenants to pay DVK in consideration of the provision of the goods and services and the remedying of defects therein, the Contract Price or such other sum as may become payable at the time and in the manner prescribed by this Contract.
5. 'Ibe contract price covers all taxes, including the 12% Value-Added-Tax. customs duties, license fees, freight, insurance and other charges which may be imposed on the Product by foreign and local authorities.
6. DVK hereby covenants to deliver in favor of PHILHEALTH the 5,000 pieces Wall Clock and the services related thereto, in accordance with the technical specifications as stated in attached Annexes of this Contract.
7. Upon submission of DVK of the STATEMENT OF BILLING ACCOUNT and other documentary requirements, PHILHEAL TH shall pay the sum of Eight Hundred Sixty Two Thousand Nine Hundred Twenty Pesos (PhP862,920.00) only, which is ninety percent (90%) of the total contract price, within thirty (30) calendar days after complete delivery to and acceptance by PHILHEAL TH.
PHILHEAL TH shall hold the ten percent (10%) of the total contract price as retention money or as obligation for ''W'arran.ty" in an amount equivalent to Ninety Five Thousand Eight Hundred Eighty Pesos (PhP95,880.00). Said amount shall only be released after the lapse of the tlttee (3) month warranty period for expendable supplies as required under Section 62 (Warranty) of the Revised IRR of RA 9184. Provided, however, that the goods supplied are free from patent and latent defects and all the conditions imposed under the contract have been fully met. Provided further, that DVK may opt to post a special bank guarantee equivalent to at least ten percent (10%) of the total contract price. The said special bank guarantee must have a validity period of three (3) months covering the whole duration of the warranty period.
8. DVK shall be amenable to deliver additional goods/ services subject to the conditions of REPEAT ORDER under Section 51 of the Revised IRR ofR.A. 9184.
9. ·rbe contracting parties undertake to comply with Office Order No. 0018-2015 entitled "Reiteration of PhilHealth No Gift Policy (Revision 1)" which is deemed incorporated into this Contract. No PhilHealth personnel shall solicit, demand, or accept, directly or indirectly, any gift from any person, group, association, or juridical entity, whether from the public or private sector, at anytime, on or off the work premises where such gift is given in the course of official duties or in connection with any transaction which may affect the functions of their office or influence the actions of directors or employees, or create the appearance of a conflict of interest.
10. All other terms, conditions and stipulations accompanying this Contract together with all proposals and all mandatory provisions of the Revised Implementing Rules and Regulations of R.A. No. 9184, shall form an integral part of the contract between the PARTIES hereto.
The parties hereby certify that they have read or caused to be read to them each and every provision of the foregoing Contract and that they had full.y understood the same.

Bidders shall submit their Financial Proposal using the Bid Form (see Annex "C") and shall indicate therein the cost per item and the total cost. The Bid price must be in words and figures as appearing in the form. Abbreviations shaU not be accepted. The BAC reserves the right to re-compute the derailed costs pn:scntetl by the bidder in order to reflcHt the true and actual amount of rhc bid. tn case of conflict between the price expressed in words and the price in figures, the one expressed in words shall pre\·ail. Any erasure or alteration on the Bid Form must be signed by the bidder's authorized representative.
Each biddc[ shall submit and drop one (1) mother envelope which cont~ins the two (2) scaled envelopes in the bid box. The flrst envelope shall be marked as "ORIGINAL BID", which shall contain the Original Price Quotation Sheet. The second envelope shall be marked as "DUPLICATE", which shall contain Copy 1 of the Price Quotation Sheet. The rwo (2} scaled envelopes shall also comain the foiJowing information: (a) the address of, the BAC-GS; (b) the name of the project; (c) the RI;Q Number; (d) name of the bidder; and (c) a note stating not tn open the scaled envelope before the date and time of the opening of proposals.

The mmhcr envelope shall he labeled as "FINANCIAL COMPONENT", which shall also contain the following infonnation: (a) the address of the Bt\C-GS; (b) thq name of the projccr; (c) the Rf'Q Number; (d) name of the bidder and (c) a note stating no t to open the scalcJ envelope before the date anJ time of the opening of proposals. ·'

1bis is to summariu the discussion points regarding specifications of the wall clock during the meeting with ILD, SB:'\C and CORCOMM last September 18. 2015.
As discussed, the Corporate Marketing Department accepted the request of l\ll. Dennis Dee of DVK Philippines Enterprises to consider the slighr ,-arianct' in size of some part!' of the wall clock. Please see differences below:
