    Main Tasks and Specific Duties:

    Based in the Company's corporate head office in Benghazi andreporting directly to the Managing Director:

    1. Advise Company's Management and provide leadership and supporton all contractual matters for both ANE corporate Contracts and inrespect of Client Contracts administered by ANE on behalf of its Clients.

    2. Review Requests for Proposal received by the Company and adviseand recommend a contractual approach for bidding and subsequentimplementation of the Contract.

    3. Prepare all the contractual input to proposals submitted by theCompany and review the costing and technical input provided by otherDepartments.

    4. Prepare and administer corporate Contracts and sub-Contracts forConsulting Engineering Services, including the preparation andagreement of Sub-contracts, Change Orders, Work Orders, Memorandaof Understanding, Settlement Agreements and similar documentation.

    5. Supervise, as Discipline Manager, Contracts personnel assigned toProjects in the Company's Tripoli and field offices.

    6. Report to the Company's Management on the status of currentContracts with Clients.

    7. Review and update as necessary the Company's CorporateProcedures relevant to the Contracts discipline.

    8. For Client Contracts administered by ANE from Benghazi:

    a. Prepare Request for Proposal (RFP) Documents, evaluate Bids and

    prepare Contract Documents for various disciplines.

    b. Monitor Contractors' adherence to Contract requirements andconditions and advise Company Management and Clients on anychanges or amendments required and the results of any riskassessments.

    c. Review and approval as necessary of Contractors' monthly paymentrequests against Contract requirements.

    d. Preparation of Change Orders and Amendments and negotiation ofsuch with the Contractor.

    e. Evaluation of and approval Contractors' Sub-contractors.

    f. Interpretation of and providing advice on Contract conditions forCompany Management and the Client.

    g. Review and assessment of validity of Contractors' claims,recommendations to Company Management and negotiation of suchclaims as required.

    h. Review and assessment of changes to Contract rates and prices.

    i. Implementation of Close-out Procedures for Contracts.

    j. Attendance at regular progress review meetings with the Contractorand Client.k. Input into monthly reports on Contract progress.l. Provide advice to and, where necessary, direct support staff.

    m. Review of correspondence from Contractors, review of ANE'sresponse to correspondence on technical matters for compliance withContract, and preparation of correspondence for all commercial andcontractual matters.
