Terms of ParticipationAll prices indicated below are excluding all taxes such as value-added tax.

1. ApplicationThe Agreement is exclusively subject to the Organizer’s terms of participation; the Organizer rejectsany terms and conditions of the Applicant to the contrary or deviating from the Organizer’s terms ofparticipation unless it has expressly consented to their validity in writing. All participants wishing totake part in the event must express their wish to do so by fully completing and signing – with a legallybinding signature - the application form and submitting it to the Organizer at the earliest opportunity orat the latest by the priority deadline.Start of stand allocation is October 2018.With the application, the Applicant expresses to the Organizer its serious interest in taking part in theevent as an exhibitor. All exhibits must be described precisely on the application form. Co-exhibitorsmust be named on the application form for co-exhibitors. The same particulars must be specified asfor the Exhibitor. Incomplete applications cannot be considered.

2. DefinitionsUnless otherwise determined by the context, the following words will bear the meanings set forthagainst them:“Agreement” – shall mean the Application form, these terms of participation, the letter of acceptanceissued by the Organizer and the Technical Guidelines;“Applicant” – shall mean the potential exhibitor wishing to take part in the exhibition, whose detailsshall be recorded in the application form to which these terms of participation are attached;“Exhibition” – shall mean the analytica Lab Africa 2019, International Trade Fair for LaboratoryTechnology, Analysis, Biotechnology and Diagnostics, held at Gallagher Convention Centre,Johannesburg, South Africa from Tuesday, 09 to Thursday, 11 July 2019;“Exhibitor” – shall mean the Applicant once accepted to the Exhibition, upon the receipt of the writtenconfirmation from the Organizer;“Organizer” – shall mean Messe München South Africa (Pty) Ltd, a private company registered interms of the Companies Act 71 of 2008 (as amended) of the Republic of South Africa, registrationnumber: 2012/070095/07 with its registered address at 1st Floor, Kiepersol House, Stonemill OfficePark, 300 Acacia Road, Darrenwood, Randburg 2194;“MMG” – shall mean Messe München GmbH, a company registered in terms of the Company Laws ofthe Federal Republic of Germany, who is the authorized agent of the Organizer in respect ofApplicants and/or Exhibitors having their principal place of business within Europe, Asia, Australia,Americas or Africa (except South Africa). MMG is entitled and authorized by the Organizer to act andinvoice on behalf of the Organizer.

3. Permitted exhibits and exhibitorsCo-exhibitors shall not be admitted, nor additional organizations represented, unless expresslyspecified in the notice of admission.General importers and authorized specialist dealers may only exhibit machines and plants whosemanufacturers are not represented at the Exhibition. All exhibits must correspond to the relevantrange of exhibits for this Exhibition and be designated by name and category on the Application form.Articles other than those permitted and registered, as well as used hired or leased machinery, maynot be exhibited. The Organizer has the final decision and has the right to remove any other exhibitsat the Exhibitor’s risk and expense.An exception is made in the case of objects which are not part of the Exhibitor’s range of goods, butwhich are required for their display (e.g. for demonstration purposes). The Organizer may excludespecific exhibition objects from the admission and link the admission with conditions. The Terms ofParticipation as well as the Technical Guidelines are accepted as legally binding with submission ofapplication documents.

4. Co-exhibitors and additionally represented companies (see also Clauses 1, 2)Permission for co-exhibitors must be requested in writing. The registration fee is ZAR 2000,00 foreach co-exhibitor admitted. A co-exhibitor is one who presents his own goods or services, using hisown staff, at the stand of another exhibitor (the main exhibitor). This definition includes groupcompanies and subsidiaries. Agents and representatives are not admitted as co-exhibitors.The definition of an additionally represented company is as follows: In the case of an exhibitor who isalso a manufacturer, an additionally represented company is any other company whose goods orservices are offered by the Exhibitor. If an exhibitor who is a distributor wants to display not only theproducts of one manufacturer but also goods and services of other companies, then these count asadditionally represented companies.Additional representation of companies is not allowed on the stand.Admission of the Exhibitor does not mean that a contract exists between the Organizer and the co-exhibitors or other companies he represents. Co-exhibitors are admitted against payment. TheExhibitor must make this payment. The amount can also be invoiced subsequently by the Organizer.The Exhibitor is responsible for ensuring that his co-exhibitors and other companies he representscomply with the Terms of Participation, the Technical Guidelines as well as the instructions of theExhibition Management. The Exhibitor is liable for the debts and negligence of his co-exhibitors as ifthey were his own. If co-exhibitors make direct use of the Organizer’s services, the Organizer isentitled to invoice the Exhibitor for these services. He is jointly and severally liable. The Exhibitor maynot move, exchange or share his stand, nor surrender it either in part or in whole to third parties,without the Organizer‘s prior written consent.

5. Participation fees, lienAll prices indicated below are excluding all taxes such as value-added tax.

The participation fee covers both the rental cost of the stand space as well as the Organizer's servicesfor stand planning advice, stand design advice with particular regard to local technical specifics andrequirements requiring compliance, stand set-up and dismantling advice, planning PR work, visitormarketing and visitor promotion for the given Exhibition, preparation and execution of fair-specificopening events, press conferences insofar as the Organizer organizes same, preparation andexecution of forums and special shows insofar as they are organized by the Organizer or third partiesby order of the Organizer, the mandatory entry in the catalogue and web-based index of exhibitors,supply of exhibitor badge entitlement as set out under clause 18 “Contractors and exhibitors’ passes”,supply of advertising materials, lighting and heating and cooling of the exhibition premises, provisionof basic security services for Venue, regular cleaning of areas frequented by participants and visitorsand traffic guidance assistance within the grounds of the Venue.The applicant shall be invoiced for 40% of the projected participation fee shortly after his application.This first payment will be refunded if the applicant is not admitted to the Exhibition, but will be forfeitedif the applicant withdraws unilaterally and completely from the undertaking. The Exhibitor shall receivean invoice for the remainder of the participation fee after stand allocation.If the Exhibitor has ordered the Organizer services, the Organizer is entitled to withhold such services,including the supply of electricity, water, compressed air, etc., until the exhibitor has fulfilled hisfinancial obligations to the Organizer. This applies in particular to obligations arising from previousevents.

The Organizer reserves the right to enforce the lessor’s lien, as permitted by law, in order to secure itsclaims arising from the rental. The Exhibitor must inform the Organizer at any time about the ownershipof movables, which are exhibited or to be exhibited. If the Exhibitor does not meet his financialobligations, the Organizer can retain the exhibits and stand fittings and, at the Exhibitor’s expense,excluding third parties property, sell them at public auction or privately. The Organizer does not acceptliability for damage to exhibits and stand fittings retained under this clause, unless the Organizer isguilty of intentional damage or gross negligence.

Upon special application by the Exhibitor, the participation fee and/or the payment for the admittance ofco-exhibitors can be invoiced to a third party. As prerequisites, the third party must declare acceptanceof the obligation or commit to pay the amount owed to the Organizer, and the Organizer must declareits agreement with such.

Should the Exhibitor wish to have an invoice rewritten because the name, legal form or address of therecipient of the invoice has changed, the Exhibitor is obliged to pay the Organizer a sum amounting toR 100.00 for each change of invoice unless the details in respect of name, legal form or address of therecipient of the invoice were incorrect on the original invoice and the Organizer was responsible for theincorrect details. The Exhibitor shall be ultimately responsible for failure of third parties to pay.

6. Terms of payment

Payment of the invoices is due immediately unless other payment deadlines are stated in the invoices.Payment of the participation fee as well as payment for admitting co-exhibitors is a prerequisite foroccupation of the exhibition area at least one month prior to the exhibition.

Prior payment in full of the amount invoiced is a condition for access to the exhibition area, an entry inthe catalogue, and provision of workers’ and exhibitors’ passes. The Applicant or Exhibitor will receiveinvoices for all additional charges (e.g. technical services, advertising material) with the confirmation ofthe order; they are to be paid immediately on receipt. All invoiced amounts in all MMG invoices, whichare connected with the event, are to be paid in EUR, without deductions and free of all charges (e.g.bank charges occurring when transferring via bank account have to be paid by the applicant), by credittransfer to the account specified in the invoices, mentioning the Exhibitor’s company name and invoicenumber. All invoiced amounts by the Organizer, which are connected with the Exhibition, are to be paidin ZAR, without deductions and free of all charges (e.g. bank charges occurring when transferring viabank account have to be paid by the applicant), by credit transfer to the account specified in theinvoices, mentioning the Exhibitor’s company name and invoice number.

7. Sub-lease

The application represents the contractual offer. The admission or rejection will be confirmed to theApplicant in writing in due time. The confirmation will include a confirmation of the size of the standawarded and the amount payable. Upon receipt of the payment herein the sub-lease comes into force.

The Organizer is authorized to assign a stand area to the Exhibitor, which might deviate from theinformation in the application. A deviation is considered acceptable if the Organizer does not receivethe Exhibitor’s rejection of the allocation of the stand area, in writing, within 5 working days.

The allocation of the other stands, in particular of neighboring stands, is subject to change up to thetime that the Exhibition opens. The Organizer is also entitled to relocate or close entrances to and exitsfrom the Exhibition grounds and halls, and to make other structural alterations.

The Exhibitor cannot make claims against the Organizer because of such changes nor do suchchanges amount to a breach of this Agreement.

8. a) Cancellation of contract

Should the Exhibitor:

- make any arrangements with the general body of its creditors or enters into a compromise with suchcreditors generally or if a provisional or final order for sequestration, liquidation or judicial managementis made against it or it enters into business rescue proceedings;

- ceases or threatens to cease operating its business as a going concern or commits any act ofinsolvency in terms of the Insolvency Act 1936 (as amended or substituted from time to time);

- fail to pay any rent on the due date thereof and persist in such failure for a period of 7 (seven) daysagainst the date of dispatch of notice per prepaid registered post calling for such payment; or

- fail to pay any other amount due by the Exhibitor in terms of this lease on due date thereof and persistin such failure for a period of 7 (seven) days against the date of dispatch of notice per prepaidregistered post calling for such payment; or

- breach this lease in any other way and fail to remedy such breach within 30 (thirty) days afterdispatch of written notice per prepaid registered post calling for such remedy; the Organizer shall havethe right, but shall not be obliged, forthwith to cancel this Agreement and to resume possession of theallocated area, but without prejudice to its claims for arrears payments and/or damages which it mayhave suffered by reason of the Exhibitor’s breach of contract or of the premature cancellation.

In the event of the Organizer cancelling this Agreement and the Exhibitor disputing such cancellationand remaining in occupation of the allocated area, the Exhibitor shall, pending settlement of the disputeeither by negotiation or arbitration, continue to pay an amount equivalent to the participation fees aswell as any other amounts owing by the Exhibitor to the Organizer in terms of this Agreement on thedue dates thereof and the Organizer shall be entitled to accept and recover such payments withoutprejudice to and without in any way affecting the Organizer's claim for cancellation. Should the disputebe resolved in favour of the Organizer, the payments made and received in terms of this clause shallbe deemed to be amounts payable by the Exhibitor on account of damages suffered by the Organizerby reason of the cancellation and the unlawful holding over by the Exhibitor.

b) If the location, type, dimensions or size of the exhibition area rented by the applicant aresubsequently changed so much that the applicant can no longer be reasonably expected to accept theexhibition area, the applicant is entitled to terminate the contract within 5 working days of receivingwritten notification by the organizer and monies paid by the applicant shall be refunded to him. In anyother case, the applicant has no right to terminate the contract. If the applicant states that he iswithdrawing from the contract, –then he shall have deemed to have renounced once and for all, hisintention to take part in the trade fair. In such event, the organizer is entitled to re-let the stand area oruse it itself without being obliged to do so.

Payment of the participation fee will be forfeited if the applicant withdraws unilaterally and completelyfrom the undertaking. Notice of such cancellation must be given to the organizer by the exhibitor inwriting. If the applicant states that he is withdrawing from the contract and thus renounces once and forall his intention to take part in the trade fair, the organizer is entitled to re-let the stand area or use ititself without being obliged to do so. In the case that the organizer can re-let the stand area, theorganizer must allow as a credit the value of the expenses saved and the advantages it has gained byre-letting or otherwise using the exhibition area; the exhibitor shall not have any further rights due tothe fact that the exhibition space is rented to others or used in another way. In addition, the exhibitormust pay 40% of the agreed participation fee as flat-rate compensation for expenses incurred by theorganizer due to the fact that the exhibitor has withdrawn from the contract and cancelled hisparticipation in the trade fair without being entitled to do so. The organizer’s right to claim furtherdamages remains unaffected.

9. Force majeure, cancellation of the event

If the Organizer is compelled, as a result of force majeure or other circumstances beyond its control(e.g. failure of the power supply), to vacate one or more exhibition areas, temporarily or for longerperiods, or to postpone or curtail the Exhibition, the Exhibitor does not thereby acquire the right towithdraw or cancel, nor do they have any other claims against the Organizer, in particular claims fordamages.

If the Organizer cancels the Exhibition because it cannot hold the event as a result of force majeure orother circumstances beyond its control, or because it has become unreasonable for the Organizer tohold the Exhibition, the Organizer is not liable for damages, actions, claims, losses and/or expensessuffered by the Exhibitor whatsoever.

10. Dates of setting up and dismantling / Assembly, staffing and dismantling of standThe exact dates for set up and dismantling will be published at a later stage.The dates for assembly and dismantling must be observed. Stands not occupied by the last day ofassembly may be disposed of as the Organizer sees fit.Exhibitors admitted to the Exhibition undertake to participate in the event. The stand must be properlyequipped and staffed by qualified personnel throughout the Exhibition during the prescribed openinghours. Particular attention should be paid to ensuring that the stand is already fully staffed when theExhibition opens. Exhibitors are not permitted to remove Exhibition goods and dismantle their standsbefore the Exhibition closes. If they break this rule, the Organizer is entitled to demand a penalty of R10 000.

11. Stand design and equipmenta) In the hallsThe maximum stand construction depends on the allocation of the stand within the hall. Aspecification will be made available at a later stage to the Exhibitor. Further technical details areavailable in the technical guidelines.b) Outdoor AreaThe maximum stand construction height is 6,00 m. Construction of partially higher parts is subject toapproval of the Exhibition management operation department and the project team for the Exhibitionand depends on stand position and design and will only be granted in exceptional cases.A more detailed specification will be made available at a later stage to the Exhibitor. Further technicaldetails are available in the technical guidelines at a later stage.All structures to be set-up in the outdoor area require the prior consent of the Organizers andpermission from a governmental approved top level certified structural engineer.Two-storey stand construction is permitted in the outdoor area with the approval of a structuralengineer and a structural engineer’s certificate must be submitted to the Exhibition management.* Please Note: Submission of an indemnity form is compulsory for all exhibitors and can be found inthe exhibitor manual.

12. Safety MeasuresIt is necessary to wear safety helmets and safety belts and to carry out other safety measures againstinjuries that might be caused by falling objects in overhead work. All exhibitors are legally responsibleto conform to all applicable aspects of the Occupational Health and Safety Act 85/1993 (OHS Act) andother relevant Acts and Regulations.

13. Technical installations and other regulationsApplications for electrical installation, water, and drainage can be considered only if submitted in duetime on the order forms available the Organizer. The precise terms of delivery and the connection feesare stated on these forms. All building structures on the Exhibition grounds shall be executed inaccordance with the legal requirements for construction materials. Revolving tower cranes, etc. mustbe secured according to regulations. Suspending advertising media or other loads from cranes isprohibited for safety reasons.

14. Restoration of the exhibition areasAll exhibition areas must be handed over to the Exhibition management operation department in theiroriginal condition by the stipulated date for completion of dismantling. At the end of the Exhibition, theExhibitor must remove from the site all the materials used from their stands by the respective timingsstated in the “Operations Schedule”. The Organizer is entitled to charge the Exhibitor concerned forthe removal of excessive waste (stand construction debris, crates/pallets, cartons, packing materialsor literature) by a contracting firm at the Exhibitor’s cost.

15. Transport of track-laying vehiclesOnly track-laying vehicles with smooth track plates, which are also approved for public roadways, maybe driven on the roads of the Exhibition grounds. The transport of track-laying vehicles into theexhibition halls are permitted only with the approval of the Exhibition management and as per SouthAfrican laws. The Exhibitor is fully responsible for any damage to road surfaces and hall floors.

16. Sales regulationsDirect sales and other services or deliveries made from the stand are not permitted. Exhibited goodsmust not be delivered to purchasers until after the Exhibition closes. Sales are permitted only towholesalers, retail or trade customers.

17. Catalogue, Internet, Visitor InformationAn official Exhibition catalogue, an internet database and visitor information will be compiled for theExhibition. The Exhibitor (including co-exhibitors and companies at joint stands) is included, with thename indicated in the application, in the alphabetical list of exhibitors in these media. The minimumentry contains the Exhibitor’s company name, hall and stand number and webpage in the alphabeticallist of exhibitors. The Exhibitor (including co-exhibitors and companies at joint stands) will be offeredother entries, e.g. in the Product Index, and other forms of presentation in these media on a separateorder form. The forms will be sent to applicants in good time. The Organizer assumes no responsibilityfor the correctness and completeness of the catalogue, internet database and visitor information.The Exhibitor is solely responsible for the permissibility under law – and particularly the law oncompetition – of any advertisement placed in the Exhibition catalogue, the internet database or thevisitor information of the Organizer at the instigation of the advertiser. Should third parties assertclaims against the Organizer on account of the impermissibility of the advertisement under law ingeneral or the law on competition, the advertiser shall hold the Organizer fully safeguarded against allclaims asserted including all costs of any defense in court on the part of the Organizer.The sameapplies to exhibitor entries actuated by exhibitors in the Exhibition catalogue, the Internet database orthe visitor information of the Organizer.

18. Exhibitors’ and Contractors passesThe Exhibitor’s passes are issued only after payment of the participation fee, and the remuneration forthe admission of any co-exhibitors one moth prior before the exhibition starts. For the time in whichthe Exhibition is held, each exhibitor receives the following number of exhibitors’ passes free ofcharge:HallRegistered m² Passes9 to 17 518 to 26 1027 to 54 2055 to 100 30

The number of Exhibitor’s passes is not increased for co-exhibitors. Additional the Exhibitor’s passesare obtainable from the Exhibition management and will be charged for. The Exhibitor’s passes areintended solely for stand personnel, and must not be passed on to unauthorized third parties, e.g. topersons or companies who wish to offer goods for sale or to render services at the Exhibition Centrewithout corresponding authorization from the Organizer. All exhibitors’ passes are numbered.Stand Contractor passes for show days are available in the numbers required and will be charged for.They can be purchased on site at the registration area during build up. Contractor passes must not bepassed on to unauthorized third parties, i.e. to any third party not in a relationship of permanent ortemporary employment with the Exhibitor.

19. Confirmation lettersOnce the stands have been allocated, the Exhibitor will be informed in writing together with furtherdetails concerning preparation and organization of the Exhibition.

20. AlterationsThe Organizer reserves the right to make alterations and additions in matters affecting technicalarrangements and safety.

21. ComplaintsComplaints about any defects in the stand or exhibition area are to be made in writing to theOrganizer immediately on occupying the exhibition area, and at the latest on the last day of standassembly, so that the Organizer can remedy such defects. Later complaints cannot be considered andcannot give rise to claims against the Organizer.

22. Limitation of LiabilityNeither the Organizer nor MMG shall under any circumstances be liable for any loss or damage whichis suffered by the Exhibitor, its employees, agents, servants, contractors, clients or visitors, includingbut not limited to damage as a result of fire, injury, accident, floods, crowds, riot, the actions oromissions of other exhibitors, defect in the structure of the stand or in the Venue, or from insufficientlighting or ventilation or resulting from leakage from or breaking of any water pipe or communication,fitting or appliance.

The Exhibitor is liable for and holds both the Organizer and MMG harmless against all risk in and toproperty brought onto the Venue by the Exhibitor, its employees, agents, servants, contractors, clientsor visitors including property not owned by the Exhibitor.The Organizer and MMG shall not be responsible for any loss or damage that it may suffer in theevent of the Exhibition having to be closed during the whole period of the Exhibition or any partsthereof and in such event the Organizer and MMG shall not be liable to refund the Exhibitor anymonies or portion thereof.

The limitation of the Organizer and MMG‘s liability as aforesaid shall apply irrespective of whethersuch damage is sustained before, during or after the Exhibition and irrespective of whether the act oromission complained of occurs inside or outside of the Venue.

23. Exhibitor’s LiabilityThe Exhibitor shall not bring or suffer to be brought onto the premises any goods, article or materialswhich may render the insurance of the premises against risk or loss or damage by fire, either void orvoidable or which may increase the rate of premium in respect of such insurance beyond ordinaryrisk. The Exhibitor shall not do, cause or suffer to be done, anything which in the opinion of theOrganizer, constitutes a nuisance or causes an infringement of any regulation or law, or which maylead to possible forfeiture of or endorsement of any license held by the Organizer or the Venue.The Exhibitor shall not store or bring on to the premises inflammable substances or use any suchinflammable substance or naked flame on the premises at any time.

24. Insurance and IndemnityThe Exhibitor and person or entity it contracts with to perform services for it shall carry insurancecovering liability for third party, injury, personal injury, property damage and workers compensationand shall protect, indemnify and hold harmless the Organizer and MMG and Venue Owners, theirofficers, agents and employees against all claims, losses, suits, damages, costs, expenses of everykind, resulting from or arising in connection with the Exhibitor’s use or occupancy of the exhibit space(including construction and dismantling of stands or exhibits ) its agents or employees irrespective ofwhether or not such claim arises during or after the holding of the exhibition.

25. Occupational Health and SafetyAll the requirements of the Occupational Health and Safety Act 85 of 1993 (as amended) shall beadhered to by the Exhibitor.

26. Photography, filming, video recording, and sketchingOnly persons authorized by the Organizer and in possession of a valid pass may film, photograph, ormake sketches or video recordings in the exhibition halls and the outdoor exhibition area. Under nocircumstances may photographic or other images or recordings be made of other exhibitors’ stands. Ifthis rule is infringed, the Organizer can demand that the recorded material be surrendered and takelegal steps to achieve this end. Photographs of stands which are to be taken outside normal openinghours and need special lighting require the Organizer’s prior consent. Such photographs require themain ring circuit to be switched on by the hall electrician. The Exhibitor will be charged the costsincurred, insofar as they are not borne by the photographer.The Organizer and MMG are entitled to have photographs, drawings, films and video recordingsmade of events at the Exhibition, of stands and exhibits, and to use them for advertising or generalpress publications.

27. Intellectual property rightsWhen participating in Exhibitions organized by the Organizer, the Exhibitor warrants that its exhibits,packages and all related publicity materials found in the Exhibition do not in any way whatsoeverviolate or infringe any third party’s rights including trademarks, copyrights, designs, names andpatents whether registered or otherwise.

28. Whole agreementThis Agreement constitutes the entire agreement between the parties and representations by either ofthe parties or their agent, whether made prior to or subsequent to the signing of this agreement, shallnot be binding on either of the parties unless done in writing and signed by the Organizer.No variation, alteration or consensual cancellation of this Agreement, or any of the terms thereof, shallbe of any force or effect, unless done in writing and signed by the Organizer.No waiver or abandonment by the Organizer of any of its rights in terms of this Agreement shall bebinding on that the Organizer, unless such waiver or abandonment is in writing and signed by theOrganizer.No indulgence, extension of time, relaxation or latitude which any party may show, grant or allow toanother shall constitute a waiver by the Organizer of any its rights and it shall not hereby beprejudiced or stopped from exercising any of its rights against any party which may have arisen in thepast or which might arise in the future. Unless the context indicates otherwise, the rights andobligations of any party arising from this Agreement shall devolve upon and bind its successors-in-title.

29. Regulations for useThe Exhibitor must comply strictly with the building and use rules for the event grounds. The Exhibitoris not permitted to spend the night in the halls or on the outdoor area. The Exhibitor must take theother participants in the event into consideration, must not act contrary to public policy and must notmisuse their participation in the event for any purpose not related to the event, such as but not limitedto ideological or political purposes.

30. Period of prescriptionAll the Exhibitor’s claims against the Organizer arising from this Agreement, shall be lodged in writingto the Organizer within 6 (six) months of the closing date of the Exhibition, failing which they shallprescribe.

31. Place of performance, applicable lawJohannesburg shall be the place of performance, also for all financial obligations. Only the law of theRepublic of South Africa shall apply. This applies even in case of termination or withdrawal of anycontractual relationship.

36. Data protectionIn compliance with data protection laws in South Africa, the personal data of the Exhibitor isprocessed and used for fulfilling the business purposes of the Company and is shared with thirdparties in order to fulfill the purposes of the Contract. Illustration: Personal data of the Exhibitor shallbe used by third parties for marketing purposes of related trade fairs by the associate companies ofthe Company

.32. Jurisdiction, arbitration agreementThe parties irrevocably submit to the jurisdiction of the courts of the Republic of South Africa.All disputes arising out of or relating to this Agreement including disputes as to the meaning orinterpretation of any provision of this Agreement or as to the carrying into effect of any such provisionor as to the quantification or determination of any amount or thing required to be determined orquantified in terms of or pursuant to this Agreement, will be referred to arbitration.Either party to the dispute will be entitled to require, by written notice addressed to the other party inwhich notice particulars of the dispute are set out, that the dispute be submitted to arbitration in termsof this clause.Subject to the provisions of this clause, the arbitration will be held under the provisions of thearbitration laws for the time being in force in the Republic of South Africa (as it is constituted from timeto time).The arbitrator will be an independent person agreed upon by the parties to the dispute and, failingsuch agreement within 5 (five) days after the date on which arbitration is requested by either party tothe Agreement, will be appointed by the President and, failing him, the Vice-President for the timebeing of the Law Society of the Northern Provinces who may be requested by either party to thedispute to make the appointment at any time after the expiry of that five-day period.Immediately after the arbitrator has been agreed upon or appointed, either of the parties to the disputewill be entitled to call upon the arbitrator to fix a date and place when and where the arbitrationproceedings will be held and to settle the procedure and manner in which the arbitration proceedingswill be held.

1. Opening Hours

1.1. During Build-up and BreakdownWork at Gallagher Convention Centre is permitted in the halls during build-up from 12:00 till 22:00 on the 6th of July, on the 7th of July 2019 from 7:00 to 22:00 and on the 8th of July 2019 from 7:00 to 18:00. The hours for breakdown are from 7:00 to 17:00 on the 12th to the 13th of July 2019.These hours are subject to change. For reasons of general security in the Trade Fair grounds, the halls and the Trade Fair grounds remain closed completely outside of these hours.

1.2. During eventsDuring an event, the halls are opened two hours before the Trade Fair starts in the morning and closed an hour after closing time in the evening. Messe München South Africa reserves the right to apply special regulations for Exhibitors, who need to be active at their stand in subst antiated individual cases beyond these hours.

2. Traffic on the Trade Fair Grounds, Exits, Safety Installations

2.1. Traffic regulationsDriving vehicles of any type on the Trade Fair grounds is at your own risk and is only allowed with corresponding permission. The Trade Fair Freight Forwarders will also co-ordinate the movement and parking of all vehicles needing to offload and reload and requiring access to the Hall loading ramp. Messe München South Africa will request a notification of requirements to a llow the scheduling of a load in/ load out programme. Larouxnelle Logistics has been appointed by the Gallagher Convention Centre as the Venue Logistics Management Service Provider. Larouxnelle, thus manages the flow of vehicles into and out of the load bays. Vehicles are directed to a holding area on arrival at the venue. Once space is available in the load bays, vehicles are called to enter the load bay. Where possible, engines should be switched off during the load/reload process. Once the vehicle has been offloaded it should be removed off site. No long-term parking of vehicles large or small is allowed on the site. Mobile homes and caravans may not be driven onto the site for the purpose of overnight stays. The speed limit is 5kph in the outside area. Optimum courtesy should be shown to all pedestrians. Driving is not permitted on blocked paths, planted areas and fellow Exhibitor’s stands. Driving in the Hall is only permitted for load and unload purposes, and only undertaken by the Freight Forwarders.Attention must be paid to the set load carrying capacity of the Hall floors, as well as to the heights and widths of the loading bay door and the gates servicing the outdoor area.Messe München South Africa reserves the right to tow away or remove any vehic les, trailers, containers or empties which are illegally parked, and at the cost and own risk of the responsible person. Everyone on the site is obligated to comply with any other far-reaching traffic regulations, which may be implemented to ensure a smoot h flow of traffic. Messe München South Africareserves the right to regulate access of Exhibitors, Stand Builders or Suppliers to the individual stands. No casual parking or parking of vehicles after offloading will be allowed in aisles or on stands during build-up and breakdown. All vehicles must leave the site and park in the designated parking area.No vehicles will be allowed access to the Hall after 15:00 on the 8th of July 2019, the last day of build-up. No claims may be made against Messe München South Africa if the site is overcrowded or delays occur for Exhibitors, Stand Builders and other Suppliers accessing their stands, due to Messe München South Africa directives concerning regulation of traffic.

2.2. Exits

2.2.1. Fire department zone, fire hydrants, emergency exitsThe designated fire department zones, escape ways and safety zones may not be obstructed by parked vehicles or storage of Exhibition material, construction or packaging material, etc., even during the setup and breakdown times. Those areas need to be clear all the time. If Exhibitors use those areas to pile up their building material or Exhibits and do not cooperate after receiving a warning from Messe München South Africa, Messe München South Africahas the right to a penalty charge from the Exhibitors’ security deposit.Vehicles and objects, which are in fire department zones, emergency exits and safety zones, will be towed away or removed and a charge shall be levied for this. If any damages occur during the process, no claim of reim bursement for the damage will be accepted by Messe München South Africa.Fire hydrants and fire extinguishers in the halls and the open -air Exhibition grounds may not beobstructed by construction, made difficult to locate or inaccessible. A passage of at least 1.2 metres wide between any temporary structure and the fire hydrant, fire extinguisher, equipment room door and fire-alarm bell contact must be guaranteed.Any behaviour which could hamper the normal operation of the fire protection system and central supervising system, including the fire -alarm bell contact, the fire hose reel, fire extinguisher and emergency exit is forbidden.

2.2.2. Emergency exits, exit doors, hall aislesAll designated exits and aisles in the hall layouts shall be kept completely free of obstructions. They serve as escape ways in emergencies andconsequently may not be made narrower by objects put down or protruding from stands. It must be possible to open the doors to theircomplete extent from the inside. The exit doors and their identification may not be covered by structures, blocked or otherwise be rendered unrecognizable. Information stands, tables and other furniture mayonly be set up at sufficient safe distances from access and exit doors orstairwell accesses.If hall e xits are located within a stand, those areas designated as hall exits may not be made narrower.

2.3. Safety installationsSprinkler systems, fire alarms, fire hose reels, fire extinguisher installations, smoke detectors,closing devices of the hall doors and other safety installations, their indication signs as well as the green emergency exit signs must be accessible and visible always; they may not be blocked or obstructed at any time.

2.4. Stand NumberingAll shell scheme and package stands will have sta nd numbers on the fascia, to both assist the visitor as well as service providers and medical/safety/security staff trying to locate the stand.

2.5. GuardingMesse München South Africaor the Security Company contracted by it and approved for the Trade Fair grounds shall provide guards at the entrances and in the halls. Messe München South Africadoes not guarantee complete guarding and surveillance of the Trade Fair grounds but is authorized to take whatever measures it deems fit, in the execution of thisduty.Guarding stands, Exhibition goods and other objects at a stand is not the responsibility of Messe München South Africa. If required, Exhibitors may arrange for their own stand guard, but may only enter into a contract with the Official Security Company appointed by Messe München South Africa.Exhibitors are expressly warned that there are increased risks for Exhibition goods and other objects brought in by Exhibitors during setup and breakdown times. Valuable and easy -to-move objects should be guarded continually or kept under lock and key at night. No obligation or liability shall be borne by Messe München South Africa if there is any loss or damage ofExhibition goods

or other objects at a stand or in other areas, whether guarded or not by Messe München South Africa.

3. Technical Data

3.1. Hall dataFloor area per hall (gross): Hall 2 6 125 m² Concrete floor – service ducts.Admissible floor load - Hall 2: 750 kg/m²

If there is any vertically vibrating part in the exhib it operation,

the above -mentioned floor load bearing capacity should be reduced at least by 50%.

3.2. Floor loading capacity Exhibitors are obliged to check the floor loading capacity and it is also the Exhibitors’ duty to inform the loading capacity to all relevant personnel, such as its construction Contractors, Freight Forwarder etc.The loading capacity should be considered during the exhibit installation and equipment operation. All the damages to the floor or other facilities due to the neglect of the loading capacity will be borne by the Exhibitor itself.If Exhibitors want to showcase heavy weight Exhibits, it is mandatory to dis cuss details, such as move-in plan, display locations, etc., with Messe München South Africa and the Official Freight Forwarder for the show.Any Exhibits that exceed the loading capacity of the floor may need to have special treatment, such as laying thick steel plate etc. to prevent potential damage to the floor. Details should be submitted to Messe München South Africa, who will apply for approval from the Venue Structural Engineer.

4. Stand Construction Regulations

The promotional materials in the stand should correspond to the brand image of the company, or the Co-Exhibitors, who completed the application in the first place. If not, Messe München South Africa has the right to ask the Exhibitor to change the promotion material and reserves the right to charge the Exhibitor a penalty for violating this regulation.

During the build -up / breakdown period, blocking the public aisles using construction materials, promotional materials, Exhibits and impeding human traffic are strictly forbidden. Messe München South Africa has the right to deduct a penalty charge from the security deposit of the Exhibitor at fault if no improvement is made after receiving verbal / written warnings from Messe München South Africa.

4.1. Stand safetyExhibition stands including fur nishing and Exhibits as well as advertising material should be constructed / set up in a stable manner, so that public safety and order arenot endangered.Exhibitors are responsible for the static security of the stands and must provide proof of such if necessary.Securing stand constructions via connections to the hall ceiling is notpermitted (See item 4.7.5. for information about attaching objects to fasteningpoints).All temporary structures on the Trade Fair grounds shall be built in accordance with the legal requirements of the local authority. Exhibitors shall complete all the related procedures for which they are responsible in compliance with the relevant laws, rules and regulations.

4.2. Approval of Stand Construction

If the Technical Guidelines are observed in designing a temporary structure, drawings need to be submitted for approval for stand construction, insofar as they are built by the Exhibitor and / or its Stand Builder. The costs for approval of drawings are to be paid in advance to Emerg ency Management Services, and proof of payment is to accompany the plans, with a copy of each to Lodge Events and Messe München South Africa – See Form1.2.The City of Johannesburg Emergency Management Services defines a temporarystructure as any structure meeting one or more of the following criteria: 1. Any structure, not built from standard interlocking shell scheme material. 2. Any stage or technical platform above 500mm in height. 3. Any structure or stand built from wood or timber – this will include walls and floors. 4. Any double – storey structure or stand. 5. Any structure or stand with a trim height above 2.5 metres, which is not built from standard, built interlocking shell scheme material.Any structure or stand built out of a flammable material. All temporary structures require compliance documentation.

4.2.1. Checking and Approving Constructions Requiring Official Approval

Each Exhibitor, Renter, Service Partner, Stand Build er or other Service Provider is obligated to check whether the built-in parts, Exhibits or construction require approval.

Dimensioned stand plans for single-storey stand construction must be submitted in two copies of each (plan, elevation, sections, perspective and with electrical layout to a scale of at least (1:100) at the latest by the deadline stated in the Exhibitor Manual. No specific approval is required for a shell scheme stand 2,5m high . Any stand not built from standard interlocking shell scheme material will require approval.

Two – storey stand construction must b e applied for at the latest, by the deadline stated in the Exhibitor Manual. One copy of the drawings should be sent to LodgeEvents and the other copy to Messe München South Africa.

The costs of the above submission for approval shall be borne by the Exhibitor / Stand Builder.

4.2.2. Vehicles and ContainersVehicles and containers as display Exhibits in the halls require approval and will only be allowed to exhibit if all the rules are observed. The vehicle may not be filled with more than 15 litres of fuel; the battery must be disconnected whenever the stand is not manned; a drip tray must be provided and placed under the vehicle for any leaks; a fire extinguisher must be in place next to the vehicle. The vehicle may not be started or moved while the event is open unless special permission has been granted in writing from Messe München South Africa.

4.2.3. Removal of non-approved stand constructions

Stand constructions, which have not been approve, or / and do not comply with the Technical

Guidelines or laws, must be changed or removed. If this is not done within a set time limit, Messe

All materials used must be removed without leaving any residue. Substances such as oil, grease, paint and similar things must be removed from the floor immediately.

4.7.5. Objects hung from the hall ceiling The objects to be suspended (lighting fixtures, spotlights, banners, etc.) at the ordered fastening points may only be attached by the Official Rigging Contractor under observance of the regulations applicable at the event site and in accordance with the current state of technology. During the operation, jacks, scissor-lifts, telescopic lifts, etc. should not be overloaded. Exhibitors need to fill in the form for Hanging points and banners and follow all the regulations indicated in the form closely. 4.7.6. Separating Walls Separating Shell Scheme walls may be ordered from the Exhibitor’s Manual. Exhibitors may neither change nor work on separating walls and supports. Exhibitors will be held liable in the case of a violation of these provisions for all consequent damages to persons and property.

4.7.7. Advertising Materials / Presentations The following regulations need to be observed and followed if the Exhibitors require onsite demonstration / presentation of their products and services: a) The loudness level may not exceed 60 dBA at stand borders. The presentation / demonstration shall not in any way affect the neighboring stands. If Exhibitors receive warnings of noise pollution twice or more, Messe München South Africa has the right to cut off the electricity power supply within the stand. If there are any direct or indirect damages resulting from the power cut off, Exhibitors will not receive any compensation and will bear all the damage themselves. b) Messe München South Africa is authorized to restrict or prohibit presentations (despite previously granted permission), which cause noise, visual annoyance, dirt, dust, vibrations or any other emissions that result in a negative effect on the event or event participants or for any other reasons. c) All machines for onsite demonstration must be equipped with safety devices and power on/power off signs, which may be removed only when the machines are disconnected from power without any latent danger. d) Working machines must be placed at a relatively safe distance from visitors, and safety screens or barriers must be in place. e) Any machine or apparatus can only be demonstrated within the stand and operated and supervised by qualified persons. No motors, engines or power-driven machines are allowed to be used without adequate fire-protection measures taken by the Exhibitors. f) Blinking, rotating or fast-moving advertising materials as well as moving letters at stand borders are not permitted. The hanging of advertising material or other loads from cranes, platforms and Exhibits is prohibited for safety reasons. g) The distribution of printed materials, samples, gifts etc.; is only permitted within your own stand area. Messe München South Africa reserves the right to determine whether it’s safe to distribute the materials or not. h) Messe München South Africa reserves the right to make further restrictions for special cases. Messe München South Africa is authorized to enter stands to check compliance with the above regulations. i) Messe München South Africa is authorized to remove, cover or otherwise prevent advertising, which violates the regulations cited above. 4.8. Double-Storey Construction 4.8.1. Construction Request Stands at 25m² and above are allowed to build double-storey structures. Both storeys can only present the products and services from the same Exhibitor and its Co-Exhibitors. Double-storey constructions can only be built with the approval of Messe München South Africa, and such approval is dependent on the projected location in the Hall and the area belonging to it. The Fire Safety Department also sets limits on the amount of stand area used for double-storey structures. Hall facilities, direction signs and visual effect to the neighboring stands need to be considered during the stand designing stage. The number of double-storey stands may be regulated, and Messe München South Africa has the right to forbid the Exhibitor to build a double-storey stand. Another decisive factor for approval is how the double-storey structure affects the design and clear structure of the Hall as well as the neighboring stands. The upper storey of the double-storey stand may not be built across an aisle. Recently serviced fire extinguishers must be in place for both storeys. Fire extinguishers and smoke detectors are required in the lower level, and within any closed rooms within the stand. A stand guard must be in place as soon as the upper level has been constructed, during the hours when the stand is unmanned, and especially at night. A structural Engineer’s Certificate of Compliance is required for this type of structure and Building Approval from the Fire Department is required. 4.8.2. Conditions concerning stand area roofing, safety distances and height of stand interior rooms. The maximum structure height is set separately for each event and stated in the Participation conditions. The height clearance of interior rooms in double-storey structures must be at least 2,5m on the ground floor as in the upper floor (first floor). 4.8.3. Live loads / Assumed loads The following should be estimated for the ceiling of a double-storey stand:

a. When the upper storey is used for general visitor traffic, meetings, presentations, and / or as storage space, the ground floor ceiling must be designed for a live load of 5.0kN/m².

b. When the upper floor is used as a showroom, sales area, conference room or with a great number of chairs, the ground floor ceiling must be designed for a live load of 5.0kN/m².

c. When the upper storey is used as a rest area for employees, offices, or corridors, and no permanent staff are positioned there, and the stairs leading to the upper storey has a clear sign of no public access, then the ground floor ceiling could be lowered to a live load of 3.0kN/m².

The use should be clearly indicated on the plans submitted for approval. Stairs must always be designed for a live load of 5.0kN/m². Balustrades and railings should be designed for 1kN/m² at railing height. Proof must be submitted that the bearing load of the supports does not exceed the permissible bearing load of the Hall floor. A certified registered Structural Engineer must issue a certificate after inspection of the built stand, at the cost of the Exhibitor/Stand builder. 4.8.4. Exits and Stairs Two-storey stands up to 100m² of built-over area require only one stairway (min. width 0.90 m), which must end outside of the built-over structure. If there is only one staircase, a temporary sign needs to be place on the staircase indicating ‘’Maximum 25 People’’. The maximum escape way length from the upper storey to reaching of the hall aisle on the ground floor may not exceed 25m. Spiral staircases as required staircases are not permitted. If the upper storey area exceeds

100m², at least two stairways arranged opposite each other are required. At least one of the stairways must end in an area which is not built over. Nothing may be stored, and no shelves may be built in the area from and below flights of stairs without stair risers. Handrails must be easy to grab hold of and run, without any impediment. 4.8.5. Construction Materials In double-storey stands, the load-carrying components, ceiling of the ground floor and the floor of the upper floor must be composed of fireproof materials. Construction materials normally used in temporary structures are permitted for flooring and wall covering in the ground and upper floors. Anchoring in the Hall floor is not permitted. Double-storey stands should be designed in such a way that they can be set up and breakdown within the time period allowed. See paragraph 1. General construction Rules and Regulations must be observed. Messe München South Africa reserves the right to apply any additional Technical Safety or Fire Safety requirements, as it seems fit. 4.8.6. Upper Storey All common rooms of the stand must have visual contact with the Hall. On the upper storey, toe guards to prevent items rolling off the upper storey, to a height of at least 50mm, must be installed on the floor between the railings. Railings should be installed according to guidelines contained in Paragraphs 4.6 and 4.9.3. The roofing must be fireproof and approved for horizontal installation below sprinkler levels. The stand must have smoke detectors, fire extinguisher(s), and be at least 0.5m away from hall’s sprinkler system. Up until final approval of the completed stand, additional measures of safety or fire prevention may also be imposed if deemed necessary. The open area above should be at least 80% of the floor area, including the light fixtures. 4.9. Breakdown Stands Exhibitors/Stand builders must remove all stand construction material, all Exhibition pieces and objects, and all other Exhibition material without exception, and restore the original state of the stand and its nearby aisle by the end of the breakdown period/ breakdown. (See the Terms of Participation). Messe München South Africa is authorized but not obligated to transport away and store any Exhibition goods which are still at the stands after the end of the breakdown/breakdown period, at the expense and own risk of the Exhibitor, as well as charge an appropriate handling fee. Messe München South Africa is authorized to dispose of Exhibition materials and all other objects, which an Exhibitor has left behind after the breakdown/breakdown time frame has expired.

5. Technical Safety Regulations, Technical Regulations, Supply of Technical Features 5.1. General regulations Setup and breakdown work may only be carried out within the framework of the respectively valid labour, and commercial laws. 5.1.1 Damage compensation Exhibitors need to protect the Exhibition hall, ground, floors, walls and related facilities. In case of any damages, Exhibitors will be charged according to a quotation from Gallagher Convention Centre. Any damage caused by an Exhibitor or a party contracted by an Exhibitor on the Trade Fair grounds, buildings or facilities will be repaired by Messe München South Africa at the expense of the Exhibitor in question after the end of the event. Messe München South Africa has the right to deduct the above-mentioned expense from the Exhibitor’s security deposit. If the security deposit is not enough to cover the damages, Messe München South Africa and Gallagher Convention Centre reserve the right to pursue the rest of the damage compensation from Exhibitors. For Shell Scheme Exhibitors, fees related to repairs and replacements for the damaged items, such as flooring, lighting, rental equipment, no matter whether the damage is done by the Exhibitor itself, its representatives, its partners, service providers hired by Exhibitors, or partners or by individuals, will be borne by the Exhibitor. 5.1.2 Safety operations During the set-up and breakdown period in the outdoor Exhibition area wearing of a safety helmet is advised, and adequate supervision must be provided. It is compulsory to wear safety helmets and safety belts and to carry out other safety measures against injuries that might be caused by falling objects when working at height (height above 2m). Only qualified overhead operation tools may be used. When passing tools or objects, throwing is forbidden. Overhead work after drinking alcohol is also strictly forbidden.

5.2. Use of tools The use of cartridge-powered tools is prohibited. The use of woodworking machines without dust extractors is not permitted. Any cranes, forklifts, scissor- lifts, telescopic booms, and platforms used by Contractors/Exhibitors on site must comply with the Occupational Health and Safety Act 85 of 1993 (as amended) and all drivers/operators must have current certification.

5.3. Electrical Installations

5.3.1. Connections Only Messe München South Africa or its suppliers may carry out electrical installations from the Hall supply to the stands. The electrical installations, which are only to be carried out by Messe München South Africa or its suppliers, include the main connection with electric power lines, main power fuse and-if applicable-main switch/electric supply meter. All electrical installations are to be undertaken by a registered wireman only and must comply with South African National Standards as well as the Occupational Health and Safety Act 85 of 1993. Exhibitors are expressly forbidden to obtain electricity from neighboring stands. In the case of stands which require an extended use of power supply, Exhibitors shall apply for permission in advance through Messe München South Africa. Individual regulations may have to be made. The use of generators at the stands is not permitted without the prior written consent of Messe München South Africa. A layout drawing should be sent with an order, which make the desired placement of the connections clear. Exhibitors must ensure that the electric installation is designed in such a way that all current consumers at a stand can be operated simultaneously. If Messe München South Africa determines that the electric installation ordered by the Exhibitor does not permit simultaneous operation of all current consumers at a stand, Messe München South Africa is authorized to upgrade the electric installation at the expense of the Exhibitor even without an order from the Exhibitor. Electric installations are laid in the floor ducts insofar as is possible, but possibly above ground if the location of the connection point requires this. Messe München South Africa is authorized to run electric power lines and connections, which serve neighboring stands, through the stand of an Exhibitor, unless Messe München South Africa can make the electric connection to the neighboring stand, at the same or lower cost, without running cables and connections through the stand of the Exhibitor.

Exhibitors shall not have any objection towards all the required facility layouts, such as electrical cables, Internet cables, water pipelines etc., at the fairground. If the Exhibitor wants to re-allocate the cables that lay across / around the stand or wants to lay cables that cross traffic paths or other stands, the Exhibitor must pay for the cost of changes after having written consent from Messe München South Africa. The use of ripcord – twin flex is prohibited. All electrical fittings, installations, cables and equipment - transformers, distribution boards, plugs, multi-plugs etc., must comply with the wiring code of the SABS 0142/1. Exhibitors will cover the cost of the facilities they ordered and the necessary damage prevention treatment for those facilities. Power Consumption costs have been factored into the Hire cost of Equipment provided. The power supply will be switched off in accordance with the terms or rules for the closing of the Trade Fair on the last Trade Fair day for safety reasons. 5.3.2. Stand installation Within purpose built or shell scheme stands all electrical connections are to be undertaken by a Registered Wireman only and all equipment must comply with South African Bureau of Standards (SABS) and Occupational Health & Safety Act 85 of 1993. A Certificate of Compliance is to be furnished to the Safety Officer or the Operations Manager before the first day of opening of the Show. Neither Gallagher Convention Centre nor Messe München South Africa will be liable for any loss or damage incurred by Exhibitors in the event of an interruption or failure of the Electrical Power supply.

5.3.3. Assembly and operating regulations The complete electric installation must be carried out according to the latest applicable safety regulations valid at the event site. Conductive construction components are to be included in the measures of protection against indirect contact - stand earthed to a distribution board. All wiring systems must be insulated flexible cables with copper conductors that have a minimum cross section area of 1,5mm. Open wiring – insulated single core cables (colour –coded, differentiating between Live/Neutral/Earth), will only be accepted at a minimum height of 2,5m and not subject to potential mechanical damage. Multiple wiring will not be permitted to terminate at a single plug of 15amp (SA 3 pins round plug). Should any termination points be necessary on a wire-way, they need to be insulated and of a mechanical nature - Strip connector or screw-it connector - no twisting of wires.

5.3.4. Safety measures All heat-generating and heat build-up electric equipment (hotplates, spotlights, transformers, etc.) must be installed on non-combustible, heat-resistant, asbestos-free supports and monitored adequately during operation. Sufficient distance must be maintained to flammable materials in line with the heat generation. Heat-generating and heat build-up electrical equipment are not allowed to be focused on nor be stationed near the fire sprinkler system. Lighting fixtures may not be attached to flammable decorations, among other things. The safe distance between a light fitting and flammable Exhibits must be at least 60cm. High-temperature lighting and neon lights may not be installed without permission and written authorisation from the Safety Officer. The installation height of neon lights should not be less than 2.5m.

5.3.5. Safety lighting Stands, in which the generally existing safety lighting is not effective, due to the special feature of their construction, require their own additional safety lighting, to be designed in such a way that it ensures ease of finding the Emergency Exits.

5.4. Water and drainage installations

5.4.1. Connections

In cases where there is an unfavourable location, it might not be possible to install an ordered connection, or extra costs can be expected.

Where it is not possible to pipe away waste water, a bucket system may have to be employed. Only Messe München South Africa or its suppliers may carry out water and drainage installations from the venue to the stands. The water and drainage installations include the main water connection (water supply and drainage) with feed and outlet pipes. The Exhibitor is not allowed to obtain water for his stand from such persons as have not been authorized to supply water by Messe München South Africa. Exhibitors are expressly forbidden to obtain water from neighboring stands, or from any Fire Hose Reel station. In the case of stands which require an extended supply of water and drainage, Exhibitors shall apply for permission in advance through Messe München South Africa. Individual regulations may have to be made. Orders should be sent with connection plans (form in the Exhibitors' Manual), which make the desired placement of these connections clear. Exhibitors must ensure that the water and drainage installations are designed in such a way that all water consumers at a stand can be operated simultaneously. If Messe München South Africa determines that the water and drainage installation ordered by the Exhibitor does not permit simultaneous operation of all water consumers at a stand, Messe München South Africa is authorized to upgrade the water and drainage installations at the expense of the Exhibitor even without an order from the Exhibitor. Water and drainage installations are laid in the ducts in the halls insofar as is possible, but possibly above ground if the location of the connection point requires this. Where it is not possible to pipe-away waste water, a bucket system will have to be employed. In exceptional cases when there is an unfavourable location, it might not be possible to install an ordered connection or extra costs can be expected. Messe München South Africa is authorized to run water and drainage pipes and connections, which serve neighboring stands, through the stand of an Exhibitor, unless Messe München South Africa can make the water and drainage connection to the neighboring stand at the same or lower costs without running pipes and connections through the stand of the Exhibitor. If the Exhibitor wants to lay pipes that cross traffic paths or other stands, prior consent of Messe München South Africa is required. The pipes must be laid road-worthy. The Exhibitor pays the costs for this. If water consumption cannot be charged at a flat rate, it is charged at the prices stated in the Exhibitors' Manual. Chemically polluted sewage may not be fed into the drainage system. The water supply and drainage will be switched off in accordance with the terms or rules for the closing of the Trade Fair on the last Trade Fair day for safety reasons.

5.4.2. Stand installation

Connections to the Trade Fair water and drainage infrastructure may only be undertaken by the Messe München South Africa officially appointed suppliers. They will connect to the Water mains, and pipe supply to the stands. Within stands, plumbing installations (water and drainage installations) may be carried out by the Exhibitor's own skilled workers or the officially appointed suppliers. If the plumbing installation work within a stand, which includes the connections of consumers (equipment with water or drainage connection such as sinks), is not carried out by Messe München South Africa’s suppliers, the Exhibitor must inform Messe München South Africa in due time before

the beginning of the work, at the latest 4 weeks before work begins, which special companies or skilled workers will carry out the plumbing installation work. If Messe München South Africa does not receive this information in due time, Messe München South Africa will connect the consumers at the expense of the Exhibitor at the prices valid at the event time. Connections, machines and equipment, which do not comply with the regulations or which have higher consumption than registered, are not permitted. They can be removed from the stand by Messe München South Africa at the expense and own risk of the Exhibitor and be stored for safekeeping. 5.5. Compressed air installations

5.5.1. Connections

Bulk supply infrastructure is not available at the venue, and any compressed air requirement will need to be met by the hiring of portable, electrically driven units.

5.5.2. Stand installation

Any Exhibitor requiring this service from the organizer is advised to consult the Water Supply and Compressed Air service form in the Exhibitor Services Manual. Within stands, compressed air installations should only be carried out by authorized company technicians, under observance of the regulations applicable at the event site and according to the Occupational Health and Safety Act 85 of 1993 - as amended.

5.6. Exhaust Gas and Exhaust Systems

5.6.1. Exhaust gases and fumes Combustible, unhealthy fumes and gases or those that annoy event participants may not be introduced into the halls. They must be drawn off to the outside using appropriate ducting.

5.6.2. Exhaust systems Combustible, unhealthy fumes and gases or those that annoy event participants must be drawn off via exhaust pipes. The installation of the outlets is the responsibility of the Exhibitor. A layout drawing should be sent to Messe München South Africa, which makes the desired placement of the outlets clear. 5.7. Hazardous materials and facilities The use of hazardous goods and facilities- Compressed gases, liquid gases, combustible liquids, radioactive materials, X-ray systems and stray radiation devices, laser systems etc., require the prior written consent of Messe München South Africa. A written application for this must be submitted to Messe München South Africa at least 6 weeks before the beginning of the event.

5.8. High-frequency equipment, radio installations, electromagnetic fields Operation of high-frequency equipment, radio installations and electromagnetic fields require approval and must be agreed upon with Messe München South Africa. Furthermore, operation of high-frequency and radio installations is only permitted if they have a demonstrably sufficiently large frequency distance from the frequencies/applications already in use on the Trade Fair grounds. Proof of this must be provided to Messe München South Africa. Information about the frequencies / applications used on the Trade Fair grounds can be obtained from Messe München South Africa.

5.9. Cranes, forklifts, Exhibition materials, packaging materials, trade samples The forwarding agents, contracted by Messe München South Africa, hereafter referred to as "Trade Fair Forwarders", have sole forwarding rights on the Trade Fair grounds, e.g. taking Exhibits, stand constructions, etc. into stands including providing any required auxiliary equipment (forklifts) as well as customs clearance for temporary or definitive import. Only Trade Fair forwarders may be contracted for forwarding services within the Trade Fair grounds. Liability of Messe München South Africa for all risks arising from the activity of Trade Fair Forwarders is excluded. Storage of empties of any kind at the stands is prohibited. Exhibitors are not authorized to designate Messe München South Africa as recipient of goods shipments (Exhibition materials, stand construction materials, information material and the like) or other shipments, which are not intended for Messe München South Africa but instead for the Exhibitor or a third party. Messe München South Africa is authorized, but not obligated, to accept and store these shipments at the expense and own risk of the Exhibitor or to contract the appropriate Trade Fair forwarder with the storage of such shipments, especially with the storage of Exhibition and packaging materials. No claims against Messe München South Africa can be derived from this if such shipments are accepted without checking their appropriateness or completeness, freight and forwarding invoices are not checked, or goods are not stored or put away appropriately or safely or be responsible for any damages to the goods.

5.10. Annoyances from Exhibition materials Exhibition materials, which cause substantial disturbance of event operations due to their appearance, smell, noises, vibrations or similar properties, especially those that result in substantial danger to or interference with event participants or objects of third parties, must be removed immediately upon request by Messe München South Africa. This obligation of an Exhibitor also exists if he pointed out such properties in the registration and received permission for them despite this. If an Exhibitor does not comply without undue delay with his obligation to remove Exhibition material, Messe München South Africa is authorized to remove the Exhibition goods at the expense and own risk of the Exhibitor or to close his Trade Fair stand without the Exhibitor having any right to assert claims from this against Messe München South Africa or the respective organizer. Messe München South Africa shall then set the breakdown time for the closed stand. Without written confirmation from Gallagher Convention Centre, the following items are not allowed to enter the Trade Fair grounds: weapons, guns, swords, bullets, explosives, combustible substances, radioactive materials, any types of dangerous materials, objects which are forbidden to import, objects which have IPR issues, objects which might disrupt the normal operation of Gallagher Convention Centre and objects that are banned by relevant government departments.

5.11. Information and communication services Wireless Internet or Wi-Fi, is available in the Hall via a voucher system. Local Exhibitors can apply for Internet, phone and fax temporary services through the Telkom form in the manual. International Exhibitors may contract the same services through Gallagher Convention Centre.

6. Waste Management Exhibitors are responsible for appropriate and environmentally compatible disposal of waste, which occurs during setup, service period and breakdown of their stands. In case Exhibitors do not comply with this regulation, Messe München South Africa has the right to deduct the services fees of waste management from the security deposit directly, if applicable.

TECHNICAL GUIDELINES

Official Freight Forwarder appointed by Messe München South Africa to arrange the storage of such materials. All costs related to this service should be borne by the Exhibitors. Messe München South Africa, reserve the right to remove and process the materials and objects onsite. All fees incurred during these processes will be borne by the Exhibitor. Starting from the build-up period, Exhibitors and their stand builders must clear up the waste material on the stand and on the surrounding public pathway to avoid blockage. If such occurrence happens with no immediate cooperation from the relevant Exhibitor, Messe München South Africa has the right to deduct a penalty charge from the Exhibitors’ security deposit. Before the official opening of the show, Messe München South Africa will deal with all the materials left at the non-stand area, aisles and other public areas and any service fees incurred with this procedure will be borne by the relevant Exhibitors. Exhibitors or their Contractors must remove all the construction materials and wastes, such as scraps of construction materials, wooden boxes, pallets, cardboard boxes, wrapping materials, promotional materials etc. before the end of the breakdown time. After the end of the breakdown time, any remaining material will be removed by Messe München South Africa. No prior notification of the removal will be issued to the Exhibitor. Costs incurred for this removal will be borne by the Exhibitor along with a penalty charge for leaving waste onsite.

6.2. Waste requiring special monitoring Exhibitors are obligated to report special waste and other waste, which is especially hazardous to health or the environment, explosive or combustible in its type, properties or quantity, to Messe München South Africa and to have such disposed of properly by the supplier of Messe München South Africa responsible for this. These are just some of the waste materials: Oil, detergents, spray cans with contents, impregnating agents, chemicals, salts, mercury (e.g. contained in switches and thermometers), emulsions, acids, alkaline solutions, varnish, glue, wax, solvents (e.g. gasoline, ethyl alcohol, tri-acetone, paint thinner and glycerine), batteries, accumulators, electric switches, fluorescent tubes, PVC residues (e.g. floor and wall tiles), television and radio equipment, motors/engines and refrigerators The Exhibitor pays the costs for disposing of this waste. These charges are not included in the participation price. The same applies to disposing of construction waste, bulky refuse and carpets.

6.3. Waste brought to the site

Materials and waste, which are not created in connection with the event duration, setup or breakdown, may not be brought onto the Trade Fair grounds.

7. Water, sewage, soil conservation

7.1. Oil and grease traps Nothing which exceeds the general hazardous material quantities for households may be introduced into the water network. If sewage containing oil or fat is to be introduced into the water network, which exceeds these quantities, grease/fat traps must be used.

Whoever processes or Exhibits oily or fatty goods at his stand, or whoever uses a dishwasher at his stand, must dispose of the sewage created via a grease trap.

7.2. Cleaning/detergents Messe München South Africa is responsible for cleaning the grounds and aisles in the halls. Exhibitors are responsible for cleaning stands and Exhibits, or they should order a stand cleaning service through Messe München South Africa. Cleaning must be completed daily before the Trade Fair opens. If an Exhibitor does not have cleaning done by its own staff, only the Official Stand Cleaning Company approved by Messe München South Africa may be contracted for this. During the show the cleaners will only vacuum carpets, and wipe the tops of tables or desks, they will not clean Exhibits.

Cleaning must only be done using biologically degradable products in principle. Liquids, substances or other materials, which are necessary for cleaning a stand or for cleaning, operating or maintaining Exhibits, must be used professionally and appropriately, so that the environment is not polluted. Residues including any auxiliary materials used (e.g. soaked cotton wool) must be disposed of properly as special waste. Detergents, which contain solvents hazardous to health, may only be used in exceptional cases in line with the regulations.

7.3. Damage to the environment Damage to the environment/soiling (e.g. due to gas, oil, solvents or paint) must be reported to Messe München South Africa immediately.

7.4. Sewage disposal The sewage should be disposed of at a designated place. Indoor and outdoor ducts, washing basins and water closets in the toilets in the Trade Fair grounds shall not be used for disposal of sewage, food or waste, otherwise, the Exhibitor will be held liable. The Exhibitor shall only use the ducts for utility services in the halls while setting up and breakdown the stand and ensure that the sewage will be discharged into the designated areas fitted with proper plumbing instead of into the ducts.

8. Painting work Large-scale painting is not permitted in the Trade Fair grounds. However, small scale "touch-up" painting of the Exhibits and stand construction is allowed during the set-up period with all necessary safety precautions in place as follows: a. Painting in an area properly ventilated b. Use of nontoxic paints c. Covering the floor involved within the trade grounds with drop sheeting, dry paper or plastic film. d. No painting near the vertical structures (i.e. walls) of the Trade Fair grounds e. Washing of paint material is only permitted in the designated area in the Hall Loading bay. Washing of paint brushes and rollers in the hand basins in the toilet blocks is not allowed, and the Exhibitor is responsible for any damage resulting from painting and is liable for the cost of restoring the damaged and polluted parts.

9. Sand, stone, soil and similar materials If sand, stone, soil, garden-use turf, moss, and other similar materials are required for the stand construction and stand dressing, an anti-leak protective layer should be put on the floor. The Exhibitor should take all necessary precautions to prevent any part of the Trade Fair grounds from being damaged by the above-mentioned material and ensure no water leakage. The Exhibitor is responsible for any damage. After the show, Exhibitors must remove all the above-mentioned materials from the stand and return the stand to Gallagher Convention Centre in its original state, or a penalty charge will be invoiced to the relevant Exhibitors. Please refer to 5.1.1 for more info. 10. Exhibitor Indemnity Forms Under the Occupational Health and Safety Act 85 of 1993 - as amended, Section 37 – Acts and omissions by employees or mandataries: Subsection B (2) states that the employer shall be liable for any acts or omissions by any of his / their / its employees and / or mandataries, except if the parties have agreed in writing to the arrangements and procedures between them to ensure compliance by the mandatary with the provisions of this Act. It is compulsory that each Exhibitor signs and returns the Exhibitor’s Indemnity form in the Manual before the deadline date.

Extract from the Terms of Participation

4. Co-exhibitors

Permission for co-exhibitors must be requested in writing. The registration fee

is ZAR 2,000 for each co-exhibitor admitted. A co-exhibitor is one who

presents his own goods or services, using his own staff, at the stand of another

exhibitor (the main exhibitor). This definition includes group companies and

subsidiaries. Agents and representatives are not admitted as co-exhibitors.

The definition of an additionally represented company is as follows: In the case

of an exhibitor who is also a manufacturer, an additionally represented company

is any other company whose goods or services are offered by the Exhibitor. If

an exhibitor who is a distributor wants to display not only the products of one

manufacturer but also goods and services of other companies, then these

count as additionally represented companies.

Additional representation of companies is not allowed on the stand.

Admission of the Exhibitor does not mean that a contract exists between the

Organiser and the co-exhibitors or other companies he represents. Co-exhibitors

are admitted against payment.

The Exhibitor must make this payment. The amount can also be invoiced

subsequently by the Organiser.

The Exhibitor is responsible for ensuring that his co-exhibitors and other

companies he represents comply with the Terms of Participation, the Technical

Guidelines as well as the instructions of the Exhibition Management. The

Exhibitor is liable for the debts and negligence of his co-exhibitors as if they

were his own. If co-exhibitors make direct use of the Organiser’s services, the

Organiser is entitled to invoice the Exhibitor for these services. He is jointly and

severally liable. The Exhibitor may not move, exchange or share his stand, nor

surrender it either in part or in whole to third parties, without the Organiser’s

prior written consent.

18 Catalogue, Internet, Visitor Information

The Exhibitor is solely responsible for the permissibility under law—and

particularly the law on competition—of any advertisement placed in the Exhibition

catalogue, the internet database or the visitor information of the Organiser at

the instigation of the advertiser. Should third parties assert claims against the

Organiser on account of the impermissibility of the advertisement under law in

general or the law on competition, the advertiser shall hold the Organiser fully

safeguarded against all claims asserted including all costs of any necessary

defense in court on the part of the Organiser. The same applies to exhibitor

entries actuated by exhibitors in the Exhibition catalogue, the Internet database

or the visitor information of the Organiser.

An official Exhibition catalogue, an internet database and visitor information

will be compiled for the Exhibition. The Exhibitor (including co-exhibitors and

companies at joint stands) is included, with the name indicated in the

application, in the alphabetical list of exhibitors in these media. The minimum

entry contains the Exhibitor’s company name, hall and stand number and

webpage in the alphabetical list of exhibitors. The Exhibitor (including co-exhibitors

and companies at joint stands) will be offered other entries, e.g. in

the Product Index, and other forms of presentation in these media on a

separate order form. The forms will be sent to applicants in good time. The

Organiser assumes no responsibility for the correctness and completeness of

the catalogue, internet database and visitor information.

19 Exhibitor’s passes

The Exhibitor’s passes are issued only after payment of the participation fee,

and the remuneration for the admission of any co-exhibitors. For the time in

which the Exhibition is held, each exhibitor receives the following number of

exhibitors’ passes free of charge:

The number of Exhibitor’s passes is not increased for co-exhibitors. Additional

Exhibitor’s passes are obtainable from the Exhibition management and will be

charged for. The Exhibitor’s passes are intended solely for stand personnel,

and must not be passed on to unauthorised third parties, e. g. to persons or

companies who wish to offer goods for sale or to render services at the

Exhibition Centre without corresponding authorisation from the Organiser.
