REPRESENTATIVE HW&CO. CONSUMER SERVICES TRANSACTIONS

HW&Co. continued to build on its leading position in the Consumer Services sector in 2014,having completed five transactions throughout the course of the year and in early 2015. TheConsumer Services vertical remains a key focus area for HW&Co., which has successfullycompleted recent transactions in the franchise, outsourced services, fitness & recreation, andautomotive services sectors. Deal flow and pitch activity in the sector remains strong andHW&Co. is engaged on a number opportunities that will be brought to market in 2015.

In 2014, HW&Co. advised on a range of Consumer Services transactions that drew broadbuyer interest and were highly competitive. Investors placed premium valuations onopportunities where the company’s (i) brand was important; (ii) product / service offering washighly differentiated; (iii) consumer base was loyal; (iv) offering was complemented by anabundance of geographic and product / service expansion opportunities; and (v)demonstrated an impressive cash flow profile.

HW&Co. expects a similar deal environment in 2015, as supportive economic fundamentalsremain intact and investors will continue to place premium valuations on market leaders withoutsized growth potential. In addition, broader market factors that have driven buyer interestand strong valuations remain strong, including significant amounts of private equity drypowder and aggressive financing markets.
