Part 1Pre - Construction

1. Submit colored storefront perspective on 15”x20” illustration board,scale 1:50 to Leasing Manager at Shopping Center Management Corp. -SM Corporate Offices, Building A, J.W. Diokno Boulevard, Mall of AsiaComplex, Pasay City. Once approved, tenant may proceed with detaileddrawings to be submitted to the Mall Administration Office. Submit eight(8) sets of the following:

� Architectural� Electrical� Mechanical (aircon, sprinkler, exhaust)� Details of signage� Structural load computation (if any)� Plumbing/sanitary (if any )

PLEASE REFER TO ARCHITECTURAL STANDARDS FOR DETAILS.ALL PLANS SHOULD BE SIGNED AND SEALED BY LICENSEDPROFESSIONAL ARCHITECTS AND ENGINEERS.

2. Once plans are approved, LESSEE must obtain the following andsubmit to the MALL ADMINISTRATION OFFICE: A. Building Permit from Building Official, City Hall submitting:� Five (5) sets of SM - EDD approved plans� Five (5) sets of duly completed application form� Five (5) sets of specifications writing and detailed bill of materials.� Electrical Wiring Permit� Sanitary / Plumbing Permit (for water connection)� Water sub-meter with MWSS certificate of calibration.� Meter can be purchased from MWSS or hardware store.

B. Contractors All-Risk Insurance See Section III-E.� List of construction workers with ID pictures (Colored 1 ”x

1”) duly endorsed by the LESSEE.C. Payment of Security Deposit and Construction Bond.

D. Necessary tapping permits for utilities primarily water, electrical, exhaust, aircon and sewer and kitchen line must also be secured.

*1. Mayor’s Permit

2. FOR PERCENTAGE RENT LESSEE ONLY. Installation ofelectronic cash register / Point of Sales connected to LESSOR’s network. The last mile connection will be for the account of LESSEE.

Note: ECR / POS should be duly registered with BUREAU OFINTERNAL REVENUE and must possess the BIR permit ( sticker ) which authorizes the printing / issuance of sales invoice.

*3. Certificate of Occupancy

*4. Mechanical, sanitary / plumbing permit.

5. Fire and Lighting Insurance with other perils coverage. ComprehensiveGeneral Liability Insurance (CGLI) Coverage for bodily injury andproperty damage to third parties with a minimum coverage ofP500,000.00. Submit copy of policy and official receipt.

6. List of employees assigned to the branch, ID pictures (colored 1” x1”) duly endorsed by the LESSEE.

C. POST CONSTRUCTION / PRE - OPERATION

1. Building Permit. A copy to be posted on a conspicuous place.

2. Fire Extinguishers. Number required will depend on volume ofhazard at construction site. Minimum of TWO units, 10 lbs. dry chemical (ABC).

3. Certificate of Final Electrical Inspection (CEI) LESSOR willprovide temporary electric power to LESSEE. A meter and billdeposit will be required from LESSEE.

4. Construction plan approved by SM-EDD. A copy should beavailable at job site.

B. DURING CONSTRUCTION

PERMIT TO CONSTRUCT shall only be issued by SCMCADMINISTRATION upon submission of ALL requirements.

1. Floor - concrete floor designed to carry a maximum load of 60 lbs./sq ft. with rough cement finish.

2. Wall Partition and Ceiling - must be fitted with double wall boardpartition made of non-combustible materials. (Examples are GypsumBoard, Viroc Board and FiCem). For restaurants, LESSEE shall berequired to put CHB from floor to slab soffits and fire bricks For allsurrounding walls of cooking area.

FOOD TENANTS must maintain a ratio of 70% DINING and 30%KITCHEN in their store layout.

4. Storefront - none

5. Enclosure - drywall enclosure should be aligned with leaselineextend up to bottom of a/c grille fascia. Tenant should provide stickergraphics on at least 70% of the drywall enclosure.

5.1 Constructing Tenants - LESSEE will provide Enclosure.

5.2 Non-Constructing Tenants - LESSOR will provide enclosureand will be charged to LESSEE. LESSEE to get enclosure at theend of construction.

D. PHYSICAL CONDITION OF LEASED PREMISES

7. LESSEE shall request in writing to SCMC ADMINISTRATION forFINAL INSPECTION of the construction which should be scheduled atleast three (3) days before the intended store opening.

8. LESSOR has the right to restrain store opening depending upon thedegree of deficiencies stipulated in the final inspection report.

9. After compliance with the pre-operating requirements, SCMC willissue clearance for LESSEE to start operation.

*Governmental Permits, whenever applicable.

LESSEES are required to visit actual site and take actual measurementsPRIOR to preparation of plans.

B. WORKING DRAWINGS (Scale 1:50 m at 20 “ x 30 “)

1. LESSEE shall submit to Mall Administration eight (8) sets of Designand Working Drawings for review and approval.

2. LESSOR shall return to LESSEE two (2) sets of APPROVED plans.One copy to be kept at job site.

A. DESIGN DRAWINGS

LESSOR’s approval of Design and Working Drawing is required beforeLESSEE can start construction. It is understood that all comments,corrections and notations made by LESSOR on Working Drawings are deemed acceptable, approved, and have to be implemented by the LESSEE.

1. All works shall be in accordance with the latest governmentregulations, Building Code, Fire Code, Electrical and Mechanical Codes,and other codes being implemented by other approving bodies.

2. All corrections and additional notations on the plans shall befollowed. Any deviation from the approved plan shall have specialapproval by the Administration office/SM EDD.

3. During construction and before the store can open, Administrationoffice shall inspect the construction works of the lessee. Alldeviations from the approved shall be asked to redo.

4. Damages done but not limited to existing utilities, viroc wallpartitions, neutral piers, aircon fascia, and common area, by thelessee, whether accidental of intentional, shall be repaired byAdministration office and corresponding expenses shall be chargedto lessee.

5. Hangers and supports of lessee’s ceiling and utilities (pipes, ducts,etc.) shall not be attached or anchored to the mall’s existing utilitiesand concrete beams or columns. Lessee shall attach their hangersonly to concrete slab soffits.

6. Do not cover or block the return air passages and grills of airconsystem.

7. Do not cover or block stubouts (cleanouts, water source, exhaust,sewer, drainage, etc.) when not needed. Instead, said stubouts shallbe free of obstructions and easily accessible.

8. All approved plans shall be present at the work site at all times.

EVERY TENANT IS REQUIRED TO OBSERVE AND COMPLY WITHTHE CONSTRUCTION GUIDELINES.

GENERAL PROVISIONS

LESSEE shall improve the leased premises following the latest trends in shopping center development , using the most modern facilities that will give the feeling of elegance and spaciousness tothe consumers. This will serve as an integration of various sections into a unified concept while at the same time, each space maintainingits own character and Identity.

Facilities Connection

� Cooling air from centralized air-conditioning system to be providedby Lessor from main duct taps. Modifications to branch ductworkand/or ceiling diffusers to be at Lessee’s expense and must be clearlyindicated on submitted plans for Lessor’s written approval inadvance.

� Cooling water to be provided be Lessor from taps to chilled watermains (supply and return). All chilled water branch line piping andequipment (e.g.; fan coils, control valves, etc.) to be at Lessee’sexpense and must be clearly and fully specified/indicated onsubmitted plans for Lessor’s written approval in advance.

� When a Lessee plans to operate (and need air-conditioning ) duringhours in which the central chiller plant is not normally available, itshall be the Lessor’s option to request that the Lessee provideelectric driven direct expansion cooling equipment for use duringthese periods. The cost of this equipment and any modifications tothe electrical service to the Lessee shall be at the Lessee’s expense.All electric power used by this equipment shall pass through theLessee’s sub-meter and be charged to the Lessee. Heat generatingequipment such as condensers shall be installed outside the building,location of which shall be designated by the Lessor.

Air Conditioning Design Criteria

� Tap only to the side of the nearest branch provision, bottom tappingis not allowed. Do not tap to duct elbows and duct reducers.

� Tapping to the main ducts shall be at 45° takeoff and properly sealed.

� No splitter damper will be allowed on taps to the main ducts.

� Provide manual adjustable “opposed volume damper” (OVD) perdiffuser.

� All duct works must be provided with complete insulation and G.I.corner beads.

� Maximum allowed length of flexible ducts shall be 5 meters.

� Install duct hanger for every duct bend, drop collar, and for everytwo(2) meters run of duct. Install trapeze type of duct hangermade of 10mm dia, round bar and 25mm x 25mm x 5mm angularbar catch support.

� Provide mechanical clips or plastic straps for every meter run ofducts.

� Attach hangers only to existing slab soffit.

� All air-conditioning branch ductwork shall be a designed andconstructed to conform fully to local codes and the requirements ofthe most current SMACNA Guidelines “HVAC DUCTCONSTRUCTION STANDARDS – METAL AND FLEXIBLE” for1INWG Pressure Class or greater.

� All flexible duct shall be installed in strict compliance with SMACNAguidelines and suspended to prevent kinks and air blockage.

� The maximum allowed length for flexible ducts shall be 5 meters.

� Where flexible duct is used to connect to supply air diffusers , theconnection shall be made to a hard sheet-metal colar to preventkinking.

� All branch ducts (and taps to existing main ducts) shall be properlysealed to prevent air leakage in excess of that required by SMACNALeakage Class C with CL=24 CFM/100FT2 at 1.0 INWG.

� All branch ducts shall be adequately insulated to preventcondensation and water damage to the spaces through which theypass. All insulation used shall conform to local code requirements forflame spread and smoke density but shall not exceed a Flame SpreadIndex of 25 or a smoke density of 50 when tested as a composite installation including insulation, facing materials, tapes and adhesivesas applied.

FOR TENANTS WITHAIRCON DUCTPROVISION,continued

� Taps for chilled water (supply and return) branch lines shall beprovided with isolation valves located at the connection point.

� FCU installed above ceiling or concealed type shall be provided withair return plenum ducts with ceiling type grills.

� FCU should not be installed near exhaust system or directly abovethe kitchen cooking area.

� Install temperature and pressure gauges on the chilled pipesbefore and after the Fan Coil Unit (FCU).

� Provide condense drain pipe to all FCU with minimum size of25mm, with p-traps and shall be terminated in condense drain stubout through an indirect connection (air gap) and with insulation.

� Install a wye-strainer and gate valve before the FCU.

� All chilled water (supply and return) branch lines shall be adequatelyinsulated to prevent condensation and water damage to the spacesthrough which they pass (same flame spread index and smoke densitylimitations as item #10 above).

� All Fan Coil Units (FCU) shall be installed with 2-way control valvesproperly sized for the CV corresponding to the flow they serve and awide open pressure drop of 10FTWG.

� Chilled water strainers and maximum flow limiting valves are notrequired and not encouraged

� Vibration isolator shall be provided for all rotating equipment.

FOR TENANTS WITHCHILLED WATERPROVISION

� Condensers and other heat emitting equipment shall be installedoutside the building on an approved location by SM.

� Piping layout should be tightly sealed with rubber insulation andwrapped with blue polyethylene tape. Boring of holes for the pipinglayout shall be approved by SM.

� Waterproofed concrete slab affected by the piping layout shouldbe totally restored by the tenant.

FOR TENANTS WITHSPLIT TYPE AIR CONSYSTEM

� The Lessee will provide an exhaust air system for all comfort rooms.Exhaust air quantities shall be in accordance with local codes butshall not be less than 50 CFM per water closet or urinal.

� All Food, Medical Clinic, Petshops, Internet Cafes, Spa and WellnessCenters, and Hair Salon Tenants shall supply and install its own fanCoil Unit (FCU). The Lessor shall provide the chilled water linestub-out .

Testing & Commissioning

EVERY TENANT IS REQUIRED TO OBSERVE AND COMPLY WITHTHE CONSTRUCTION GUIDELINES.

� Chilled water pressure entering and leaving each fan coil unit

� Chilled water temperature entering and leaving each fan coil unit

� Temperature of supply air leaving each fan coil unit

� Electric current draw of each fan coil unit

� For ducted systems- measured air flow at each supply air diffuser andstatic and total air pressure at the discharge of the fan coil unit

� For free blow systems – measured air flow at each fan coil unit

� Submit Manufacturer’s Certificate and Literature complete withspecifications of FCU

SMOKE TESTING

Upon completion of the work, and before acceptance by SM, Lessee’sMechanical contractor will submit a “Certificate of Commissioning”for all air conditioning systems. Lessor shall have the right to witness anyor all of the final measurements shown in the certificate ofcommissioning. The certificate of commissioning shall include at least thefollowing items (‘Final” readings after all balancing adjustments have beenmade)

� Floor Framing Plan to include detail of connection to existingstructures.

� Structural load computation for mezzanine, if any.

DO NOT PROCEED WITH DETAILED DRAWINGS UNTIL PERSPECTIVEIS APPROVED.

STRUCTURAL PLAN

� Key plan showing perspective of storefront, location of premiseswithin the Shopping Center.

� Floor Plan

� Longitudinal and Cross Sections

� Four (4) Elevations ( if applicable)

� Refelcted Ceiling Plan and additional details of special provisions.

Note: Food Tenants with dining area and with a leased area ofat least 80 sq. m. should provide rest room for their customers’use.

Architectural Design Criteria

A. GENERAL

� Text of main signage shall be limited to store’s trade name.� Signs and graphics should be well proportioned.� One sign only is permitted per store frontage. Tenants located on

the corner can have 2 signs, one per each elevation.

B. MAIN SIGNAGE

� Tenants are given a freehand on their signage design and location� All signage must be illuminated� Signage and lighting must not exceed the lease line

� Prohibited signages are:

� Flat signs� Plain painted signs� Simple lightbox signas� Non illuminated lights� Neon signages

� Provide self-timer switch with separate circuit breaker.

� Fasteners and fixings are to be concealed unless otherwise is it partof the signage design

� Use only non-combustible material for signage box / band.

A. ARCADE STOREFRONTS For tenants located within the perimeter of the Mall.

� Tenants that have fixed show windows along the mall arcade areencouraged to maximize the use of glass to maintain a show windowconcept.

� Show window must be clear glazed

� No storefront elements are permitted to exceed the storefront leaseline.

B. MALL INTERIOR STOREFRONTS

� Tenants using glass for storefronts shall consider the right thicknessand safety feature of glass panels.

� Doors shall not swing beyond the face of the storefront facade andlease line

� Tenants has the option to determine their shop front entrancelocation

� Tenants using glass doors shall have a minimum height of 2.40 metersand must use 12 mm thk. tempered glass doors.

� Storefront maximum opening is 70% and 30% glazing

� Roll-up door tracks, mechanisms and the like are to be fully concealed. No recessed floor tracks are permitted.

� All exposed floor and ceiling tracks or latches must flush with flooror recessed in ceiling.

� No single drop bulkhead for the purpose of concealing a rollershutter drum over the shops entry is permitted.

� The tenants that are located on areas that have ductings or utilitypipes obstructing the full usage of the ceiling for concealment of theroll-up drums is encouraged to use glass doors.

� The store’s flooring shall be of the same level as that of the mall’sflooring.

� Lessee’s sanitary system, vent and domestic water piping shouldconform to all local requirements and code standards.

� Use G.I. Schedule 40 pipe or Zero leak fusion type pipe for coldwater line. Indicate on the plan location of water meter.

� For non-food tenants, like lavatory for hand washing , medical clinicsand hair salons, developing films and other forms of sanitary fit-outwhich involve grease, oils and chemicals. A minimum of 5-gpm greasetrap shall be installed with the dimension of (350mm) 13.78” L X(250mm) 9.34” W X (300mm) 11.81” H;

� For food carts/kiosks with sink which tapped to the kitchen waste line,a minimum of 5-gpm grease trap shall be installed with the dimensionof (350mm) 13.78” L X (250mm) 9.34” W X (300mm) 11.81” H;

� To check the accuracy of the grease trap size, the following formulashall be used: dimension of the sink in term of inches (L X W X H)X 0.003; and

� Conduct 24-hours flood testing of water proofing prior to floor topping.

� Conduct hydrostatic leak test of piping works prior to tapping to themain stub-out

General Criteria

� All steam, vapors, heat, odors and moisture producing areas andhigh-heat producing equipment must be exhausted by special mechanicalexhaust systems.

� TYPE 1 - designed to collect and remove all types of cooking effluent fromthe exhausted air.

� TYPE 2 - designed to collect and remove only steam, vapors, heat andodors.

� Special exhaust systems shall be designed to prevent vapors, heat, odorsand moisture from migrating the mall and into the building’s airconditioning systems.

Ventilation Design Criteria

� Connection to main exhaust duct shall be angled by 45° towards thedirection of air flow.

� A minimum of 70% of the kitchen hood exhaust air flow must be madeup with unconditioned makeup fresh air introduced directly into the hood.

� All exhaust hoods shall extend a minimum horizontal distance of 150mm(6”) beyond the edge of the cooking surface on all open sides. Distancemeasured from hood inside lip.

� All fans used in exhaust duct systems and fresh-air duct system must be adjustable type that permits adjustments to capacity during final testingand balancing. Rigid ceiling manhole and catwalk along the exhaust ductblower should be provided.

� All ductwork used on exhaust systems must be at least 16 gage carbonsteel or 18 gage stainless steel with all joints and seams made withcontinuous liquid-tight welded on the external surface of the ductwork.

� Any portion of the ducting that is inaccessible from the duct entry ordischarge shall be provided with clean out openings.

� The vertical distance between the lower lip of the hood and the cookingequipment surface shall not exceed 4-feet.

� Air velocity in sections of exhaust duct shall be maintained between aminimum of 500 FPM and a maximum of 2,500 FPM.

� No dampers may be installed in grease ducts.

� Exhaust fan motor shall be located outside the exhaust airstream andprovided with vibration isolators.

Commercial Kitchen Hood Design Criteria

Where vented fuel-burning appliances are located in the same room orspace as the hood provisions shall be made to prevent the hood systemfrom interfering with normal operation of the appliance vent.

FUEL BURNINGAPPLIANCES

� Approval of hoods. Listed and labeled factory-built commercialexhaust hoods tested in accordance with UL 710 shall be installed inaccordance with the manufacturer’s installation instructions. Theexhaust hood shall be designed for the type of cooking applianceserved, and shall be designed to confine cooking vapors and residueswithin the hood.

� Other type hoods. Factory-built commercial exhaust hoods thatare not tested in accordance with UL 710 shall conform to all of therequirements.

� Type I and Type II hoods. Type I hood shall be installed at orabove all commercial food heat-processing equipment that producesgrease vapors or smoke. A Type I or Type II hood shall be installedat or above all commercial food heat-processing equipment thatproduces fumes, steam, odor or heat.

� Domestic cooking appliances used for commercial purposes.Domestic cooking appliances utilized for commercial purposes shallbe provided with Type I or II hoods as required for the type ofequipment and processes.

� Solid fuel. Type I hood for use over solid fuel-burning cookingequipment shall discharge to an exhaust system is dependent ofother exhaust systems.

FACTORY-BUILTCOMMERCIALKITCHEN HOODS.FACTORY-BUILTCOMMERCIAL HOODSSHALL COMPLY

Hoods shall installed at or above all commercial food heat-processingequipment. Included are deep fat fryers; broilers; frygrills;steam-jacketed kettles; hot-top ranges; ovens; barbecues;rotisseries; dishwashing machines and similar equipment. For thepurpose of this section, a food-processing establishment shall includeany building or a portion thereof used for the processing of food.

Exception: Food heat-processing equipment installed within adwelling unit.

� Type I hood shall be installed with a clearance to combustibles of notless than 18 inches (457 mm), or not less than 3 inches (76 mm)where the combustible material is protected with noncombustiblematerials having a minimum 1-hour fire-resistance rating on the hoodside.

Non canopy-type hoods shall be located a maximum of 3 feet (914 mm)above the cooking surface. The edge of the hood shall be set back amaximum of 1 foot (305 mm) from the edge of the cooking surface.

It is understood that the following House Rules shall form an integral part of the Contract of Lease.

General Responsibilities

� LESSEES shall furnish the LESSOR names of their employees assignedat the MALL with their respective position and 1” x 1” color photoin white background at least five (5) days before their store openingfor the necessary issuance of SCMC ID.

IDENTIFICATIONCARDS

� To enhance the appearance of each shop and develop better imagefor the MALL, shop owners are strongly urged to have theirpersonnel wear properly coordinated uniforms that blend with thetotal concept of the shop, complete with identification tags.

UNIFORM OF SHOPPERSONNEL

� All LESSEES are advised to pay their individual air-condition charges,if applicable and their share of common area maintenance servicecharges on or before the due date indicated in the billing. Afterwhich period, a service of disconnection order shall be issued if nopayment is received. Any delay in the issuance of such disconnectionorder may not be construed as a waiver of the LESSOR.

UTILITIES ANDSERVICE CHARGES

� Shops must be opened for business from during regular mall hoursdaily. However, on All Saints Day and Election Day, store hours shallbe from 12:00 noon - 9:00 p.m.

� The LESSEE shall secure the written approval of the LESSOR at leastthree (3) days in advance if it intends to close the Premises. Use thissame procedure for any time deviation.

OFFICIAL BUSINESSHOURS

� All LESSEES are advised to strictly adhere to the conditions andprivileges of their respective Lease Contract regarding the use of thepremises and the specified items and merchandise to be carried.

� LESSEES are requested to report immediately any breakdown ofcompany facilities and installations within their premises and theirneighboring areas.

� LESSEES must also report the breakdown of their own installations ifthe same poses inconvenience/hazard to the MALL or its customers.

BREAKDOWN OFFACILITIES ANDINSTALLATIONS

� LESSEES are requested to report immediately the outbreak of fire intheir area and to apply necessary measures within their disposal toextinguish the blaze.

� For this purpose, LESSEES and their staff are required to familiarizethemselves with fire-fighting procedures by attending fire-fightingorientation and participating in fire drills which SCMCADMINISTRATION may periodically call from time to time.

REPORTING ANDCOMBATING FIRE

� It shall be the responsibility of the LESSEE to see that their stocks arereplenished to assure shoppers of variety of choice. This will ensurethe continuous patronage of shops at the MALL.

� LESSEES are prohibited from selling untaxed imported goods whichare deemed to be a violation of law.

� LESSEE shall, in order to maintain the prestige and standard of theMALL, adopt pricing mechanisms which assure that goods for saleare reasonably and competitively priced.

SHOP DISPLAY ANDSTOCKING

� Likewise, in cases where your employees resign, are transferred orterminated, the IDs shall be surrendered to SCMCADMINISTRATION.

� The policy of “NO ID, NO ENTRY” shall be strictly followed by theMALL SECURITY. Employees shall use only designated employeesentrance before regular operating hours.

� All store employees are required to wear their SCMC ID duringstore hours.

� Shoplifting and other security incidents must be reported toCUSTOMER RELATIONS SERVICE OFFICE immediately.

� Shop owners are enjoined to pursue the complaints or file legalaction necessary to punish the responsible parties to deter therepeated occurrence of the same.

REPORTING OFSHOPLIFTING ANDOTHER INCIDENTS

� Shops must be provided with night lights when not open for businessand after store hours for security reasons and to provide continuousviewing of the merchandise on display.

Maintenance of Leased Premises

� LESSEE shall warehouse, store and/or stock in the premises onlysuch goods, wares and merchandise as LESSEE intends to offer forsale in the premises. This shall not preclude bonafide transfers ofmerchandise between LESSEE’s other stores in the metropolitanarea.

� LESSEE agrees to use only brand new or completely reconditioned fixtures, furnitures, and equipment within the leasedpremises. LESSOR reserves the right to pass upon, and even refusethe entry and use in the leased premises of such materials andequipment which are evidently suffering from poor workmanship,quality and old age.

� LESSEE must at all times keep the premises clean and in sanitarycondition. SCMC ADMINISTRATION or its representativereserves the right to enter any of the leased premises, particularlythe kitchen and comfort rooms of food establishments to look intothe sanitary condition of the same.

� LESSEE must attend immediately to any repair the shop needs,which shall be undertaken at his own expense. LESSEE shall firstsecure approval from SCMC ADMINISTRATION at least three (3)days before any repair/renovation is to be done.

Where the nature of the repair contemplated is such that it may,in any manner, affect the mall’s own installations, said repair shallbe undertaken only after prior notice and approval from SCMCADMINISTRATION. In any event, SCMC ADMINISTRATION mustbe informed so that the movement of workers and the progress ofthe job may be controlled and properly supervised on proper safetyand security.

� LESSEE shall provide receptacles and sufficient containers for trashand agrees that the disposal of same shall be done at such time,place and manner as may be fixed by LESSOR.

Prohibitions

� Except for food establishments, cooking of any kind and by anymeans is strictly prohibited within the leased premises. Eating withinthe leased premises, however, will be permitted provided strictsanitation is observed and should not be in full view of thecustomers.

� LESSEE shall not use or permit the use of any portion of thepremises as sleeping or living quarters or use the same for illegalpurposes.

� Shops with piped-in music are advised to play the same atregulated and moderate volume. The SCMC ADMINISTRATIONreserves the right to regulate the volume which interferes with itsown activities in the MALL.

� LESSEE shall not use or employ any audio-visual services, such as butnot limited to loud speakers, mechanical or moving display devices,unusually bright and flashing lights and similar devices, the effect ofwhich may be seen or heard outside the leased premises.

� Entries, passages, mall, hallway and corridors of the building shall notbe used by LESSEE or his store personnel for any other purposeother than ingress or egress.

� LESSEE shall not place or allow anybody to place any merchandise or install, attach, or incorporate any structure annex,or work of any kind, protruding from the Premises. Violation of thisprovision shall give the LESSOR the right to remove merchandise,structure, etc., without need of notice, and all expenses incurredshall be for the account of the LESSEE.

� LESSEE shall not paint, drive nails, screws or abutments on the walls or frames, nor post any indecent, immoral or objectionableinscription, nor make alterations, improvements or changes in anypart of the leased premises, including electrical installation, plumbingand other fixtures without prior written approval from the LESSOR.

� LESSEE shall not use or store in the leased premises inflammableor explosive materials or gas-fueled appliances in any form orquantity. In addition thereto, RESTAURANTS shall provide andinstall within the leased premises adequate safety devices such as fireextinguishers, LPG safety device and smoke and fire alarms tominimize and avoid fire hazards. The LESSEE shall permit regularinspection by the LESSOR or its agents of its appliances, and shallimmediately furnish such reasonable safety devices when required bythe LESSOR or its agents. In all cases, LESSEE shall not perform anyact or thing which may expose the leased premises to fire orincrease the volume of fire hazard or change to insurance rate of thebuilding, it being understood that should LESSEE do so, he shall beresponsible for all the damages which such violation may cause theLESSOR and/or its other LESSEES aside from LESSEE’S otherliabilities under the lease contract.

� Gambling in any form and/or games where sums of money areat stake shall not be conducted within the leased premises.

� Storage of machinery, equipment, and other properties of LESSEE inthe common areas is strictly prohibited.

Movements of Merchandise, Machinery, Furniture, & Equipment

� Use only designated entrances for all deliveries.

� Delivery carts must have rubber rollers. Items should not be allowedto be dragged damaging the flooring.

� Deliveries that would stain and mess the mall and hallways are notallowed. Wet deliveries should be placed in tightly sealed plasticsanitary bags or styro containers.

� Ingress of breakable, sharp-edged, bulky, heavy materials, tankcontainer, construction lumber and material supplies, must secureproper clearance from SCMC ADMINISTRATION before entry.

� Overloading of delivery carts is not allowed.

� Tenants can use the lower ground service elevator for deliveriesnot exceeding 1,000 lbs. at any given time. Lower ground servicesarea can only be used for loading and unloading of merchandise ofnot more than 15 minutes.

� Deliveries shall be subject to proper safety and security policy of theMALL.

� Shop owners should obtain permission from SCMC ADMINISTRATION before sm corporate offices, bldg. a, furniture,and equipment are brought in or out of the premises beyondspecified time.

Moreover, kindly provide the SCMC ADMINISTRATION names ofyour authorized signatories and their corresponding specimensignatures for better control and security.

Updating of authorized signatories should be done periodically.

Forms are available at SCMC ADMINISTRATION and may bereproduced for your requirements.

GUIDELINES

Delivery of merchandise, supplies and other materials shall be from 6:00A.M. to 3:00 P.M. for food tenants, and from 6:00 A.M. to 12:00 noonfor nonfood tenants daily without need of a gate pass, subject to thefollowing guidelines.

Advertising

� Only tenants are allowed to distribute flyers to promote theirstores/outlets at the MALL.

� Tenants should secure approval from SCMC ADMINISTRATION onthe following:- Contents of the flyer- Dates of distribution

� Time of distribution shall be from 11:00 a.m. - 2:00 p.m. for foodtenants and from 3:00 - 5:00 p.m. for nonfood tenants.

� Persons assigned to distribute flyers should be mobile, not stationaryand in proper uniform or in mascot costume.

GUIDELINES ON THEDISTRIBUTION OFLEAFLETS/FLYERS

� Except for the duly authorized store sign, no other signs and postersshall be installed on the facade of each shop without any priorapproval or clearance from SCMC ADMINISTRATION. TheAdministration reserves the right to review the nature andpreparation of the sales campaign materials and other proposed signsand posters.

SALE SIGNS ANDPOSTERS

� LESSEE maintaining branches in other areas shall afford equalexposure to their operation in SM MALL in all their promotions andadvertisements.

� LESSEE shall be required to advertise in at least one leadingnewspaper to announce the opening of his store at the MALL.

� All LESSEES are required to use the symbolic SM logo of whichstandard design is readily available at the SCMC ADMINISTRATION,for use in all communications, promotions, advertising materialforms. Said logo must be used in all materials adjacent to,immediately above or below your store’s name in newspaperadvertisements, circulars, mailers, or any other print mediaadvertising of your products or services.

� The utilization of this logo is necessary to provide a uniform look inthe promotion of SM MALL as a single entity.

Payment Guidelines

� Per our Contract of Lease, payment of rental and other chargesshall be made within the first fifteen (15) calendar days after the endof every calendar month to which the rental statement of accountcorresponds.

� If payment is made on the sixteenth (16th) day of the month oron a later day, the LESSEE shall be charged an interest of threepercent (3%) per month on all unpaid charges reckoning from thebeginning of the month up to the date of payment over thirty (30)days.

All arrearages/unpaid charges shall be charged an interest of threepercent (3%) per month.

� If full payment is not made at the end of the month, a cashier will beposted in your area on the first day of the following month. Thecashier shall monitor all sales transactions and collect forty (40%)percent of the total daily cash and credit sales. The daily rate of thecashier in your premises shall be reflected in your account. Thecashier posting shall cease only upon full payment of your rentalarrears.

� If full payment is still not made after twenty five (25) days of cashierposting, the lease contract shall be subject to termination.

� If a particular item in the rental statement of account is beingcontested, it is suggested that the LESSEE pay the account in full andpreferably on time. The LESSEE shall send a letter to the SCMCADMINISTRATION stating the reason why the item should beremoved from the account. If the reason is found to be valid, thecorresponding credit will be made. Unless written exception is madeby the LESSEE on the correctness of the rental statement of accountwithin two (2) weeks from receipt thereof, the correctness of therental statement of account shall be considered conclusive againstthe LESSEE.

� The LESSEE is encouraged to reconcile their accounts with theSCMC ADMINISTRATION on a regular basis.

� The LESSEE undertakes to remit to the Bureau of Internal Revenue(BIR) all taxes withheld from his payments on or before the tenth(10th) of the month. The LESSEE shall likewise submit to the SCMCADMINISTRATION three (3) copies of the Certificate of CreditableIncome Tax Withheld at Source (BIR Form 2307) for the quarterwithin fifteen (15) days after the end of each quarter.

Sales Reporting (For Non-Fixed Tenants)

� LESSEE should submit a daily sales report thru the Lotus Notes SalesReporting System on or before 10:00 a.m. of the following day.LESSEE should submit a certified monthly sales report within the firstthree (3) days after the end of each calendar month.

� The sales report should state the total gross sales made during eachpreceding month. All sales transactions and sales relatedtransactions, which include but not limited to approved/unapproveddiscounts, inventory losses charged to employees, employees meals,and sales from inventory pull-out, must be reported/ shown in thecertified monthly sales report. Credit/charge sales should be treatedas a sale for the full price at the same time of the transaction,regardless of the time of payment or when title passes.Credit/charge sales are to be punched in to your POS machine(s) /Cash Register Machine(s).

Submission of Fire Insurance & Comprehensive General LiabilityInsurance Coverage

General Services

Please inform our office of the needed services and fill up a SERVICEREQUEST form.

� Secure and fill up a form in 4 copies available at SCMCADMINISTRATION.

� Confirmation by your AUTHORIZED SIGNATORY of the serviceneeded and cost acceptance.

� Only emergency and minor repairs not to exceed one hour’s workshall be attended to by our maintenance group. A minimum servicefee per call will be charged. Materials to be supplied by LESSEE.

� Unless it is an emergency, work shall be scheduled in order not tohamper store operations.

� Major repairs shall be referred to outside contractors.

GUIDELINES

One of our prime objectives is to provide assistance to our tenants,specifically in relation to work that would require EMERGENCY repairsof existing plumbing, electrical, and air-conditioning facilities.

Trash Collections & Disposal Guidelines

All concerned are required to observe the following guidelines:

� Place all trash in properly sealed sanitary bags, separating wet fromdry. Garbage should be brought out only when the collector arrivesat your outlet.

� LARGE/BULKY GARBAGE is not included. Please bring directly todesignated dump site.

� Burning of trash within the leased premises is not allowed.

Garbage from FOOD ESTABLISHMENTS shall be collected by theauthorized garbage contractor at specified pick-up schedules.

GUIDELINES

In line with our continuing maintenance program, garbage collection forNON-FOOD ESTABLISHMENTS will be done by collectors assigned atthe Mall.

Pest Control Program (Spraying / Misting / Fogging / Rat & MiceControl)

To ensure control program implementation, sanitation and safety,everyone is hereby enjoined to cooperate in the following:

� To avoid chemical contamination, food items and utensils of all foodestablishments should be properly kept and stored, during theapplication of pest control program.

� To immediately inform SCMC ADMINISTRATION of any untoward incident, as a result of the program implementation.

� Immediately report the presence of dead rats and foul odor.

� Identify and report other possible infestation of any kind.

Moreover, LESSEE shall participate in the LESSOR’S mall-wide pestcontrol maintenance and service of the leased premises, which shallbe charged to the LESSEE’s account.

Fire Extinguishers

Likewise, the following guidelines in acquiring FIRE EXTINGUISHERSwould be to your advantage, viz:

� Product should have PASSED the “P.S.A.” approval of theDepartment of Trade and Industry.

� Chemical content must be suitable to A, B, C classes of fires (MONOAMONIUM PHOSPHATE) with at least one year warranty.

� Deal only with a reputable supplier to ensure after-sales service.

� Building Administration will assist you and shall be conducting safety inspection, particularly of various volume of fire hazardpresent in your area. Fire extinguishers shall be installed inunobstructed location, easily accessible and visible in case ofemergency.

� Institute periodic inspection of all units to ensure that contents havenot expired.

GUIDELINES

Please be reminded of the need to install FIRE EXTINGUISHERS in yourrespective store, not only in compliance with our lease contract and theFire Code but more particularly, for the safety of lives and property.

Sprinkler System

For our mutual benefit, everyone is enjoined to observe and strictlyfollow the safety guidelines, to wit:

� Sprinkler heads and pipes should always be free from anyobstruction. Improper utilization of the pipes, hanging ofmerchandise is strictly prohibited.

� The system has a HYDROSTATIC PRESSURE, and therefore shouldbe handled with extra care.

� Immediately report any leak found and/or misalignment that you maynotice.

Practices other than the above guidelines may prove detrimental toyour operation, as it may result in malfunctioning in cases of fire andpremature water spray, causing water damage.

Exhaust Duct Cleaning & Safety Measures (For FoodEstablishments)

Likewise, SM-ENGINEERING’S STANDARD SAFETY PROCEDURES,particularly on this matter must be given utmost importance as follows:

� Regulate heavy cooking practices.

� Weekly cleaning of all exhaust hoods, filters, and ducts to be free from oil residues and other flammable elements.

� Weekly check-up and proper installation of all required exhaustblower capacity, subject to SM-Engineering’s approval.

� Availability of at least four (4) units of 10-15 lbs. capacity ofABC-DRY CHEMICAL TYPE or CARBON DIOXIDE or BCF -HALON TYPE of fire extinguishers with P.S.A. or U.L. approval onquality.

Moreover, LESSEE shall participate in the LESSOR’S mall-wideexhaust duct and hood cleaning service of the leased premises, whichshall be charged to the LESSEE’s account.

To safeguard our lives and valuable property, fire prevention measuresas embodied in our Lease Contract should be strictly observed.

Guidelines on Emergency Power Operations

� Use of convenience outlets is limited to Cash Register Machines.Other motor driven machines are not allowed.

� Always maintain the lever of the double throw switch upward(normal power).

� During power interruption (brown-out), manually operate the lever pointing to emergency position. When normal powerresumes, move the lever to normal position.

� No new or additional load shall be connected to the emergencylines without prior clearance from the SCMC ADMINISTRATION.

� Report any untoward incident to the SCMC ADMINISTRATIONimmediately.

Failure to comply with any of the above conditions would meanforfeiture of the LESSEE’s privilege of using emergency power.

LPG Safety

� LPG storage compartment should be CHB-enclosed, properly aired/ventilated, fully lit and free from combustible obstruction,dirt and trash. (If applicable)

� LPG cylinders and piping system should be free and away fromany spark producing objects, convenience outlet or switches. (Ifapplicable)

� Only authorized technicians duly certified by the Chief of localFire Department, in coordination with Philippine LPG Associationare allowed to install and service LPG equipment, tanks, cylinders,piping, hoses, regulators and burner.

� LPG appliances should be provided with safety devices thatautomatically stop the flow of gas, should a leak develop in thesystem, between the regulator and burner.

Delivery Parking

The delivery parking area is open for tenants delivery services, using thefreight elevators under the following guidelines:

� Delivery vehicles with gross weight of more than 5000 kg.must secure entry pass from SCMC ADMINISTRATION.

� Delivery area shall only be used for loading and unloading of suppliesand materials, not to exceed 15 minutes.

� Tenants/customers shall be held liable for any damage they may cause to the parking/delivery area or to its accessories or topersons or any other property/vehicles inside the parking/deliveryarea.

� Tenants/customers agree to follow rules and regulations and observe traffic signs in the carpark. Delivery vans and trucks will belimited to only those that may be accommodated at any given time.

Emergency Telephone Numbers

� It is our objective to provide immediate support assistance to all ourtenants, especially in cases of emergency.

� All tenants are required to provide SCMC ADMINISTRATION withthe name of person(s) to contact, together with address andtelephone number. The authorized representative should be able todecide on matters that may come up in cases of emergency.The above information will be kept in strict confidence under theresponsibility of our Mall Manager.

Customer Relations Service

� The Security Force of the MALL, in addition to its primary function of securing the physical building facilities, is charged with theresponsibility of reporting violations of the MALL’S HOUSE RULES.They shall see to it that the following rules are strictly enforced andimplemented to the letter.

Additionally, it shall be the duty of the Security Force to report inwriting to SCMC ADMINISTRATION each and every action incompliance with the above responsibilities.

� In the event that LESSEE decides to hire, solicit and engage theservices of a private security guard or watchman’s agency for his ownpurposes, he shall only hire and engage the services of reputablesecurity agencies acceptable to and subject to the prior writtenapproval of LESSOR; provided, that LESSOR shall not, in any mannerbe responsible for any losses and/or damages sustained by LESSEErelative to the choice and approval of any particular security agency;and provided further that LESSOR reserves the right to formulatesuch supplementary rules and regulations for the proper observanceof the parties for the coordination of the private security system inthe entire center.

The LESSEE should follow the following procedures:

� The security guard should report to SCMC ADMINISTRATION fororientation.

� The security guard should submit his individual Mayor’s Permit,copy of license, bio-data and 1 x 1 ID picture.

� The security agency should submit copy of Business Permit toOperate.

Parking

� The parking areas are open to the general public. As such theSCMC ADMINISTRATION thru its security services, cannot be heldaccountable for damages or losses incurred even when drivers orowners have specifically informed the roving guard on duty of itspresence. The guard’s responsibility lies primarily in the enforcementof the regulations of SCMC ADMINISTRATION regarding traffic,parking, and molestations from unauthorized people.

� Loading and unloading zones shall be properly identified for thispurpose.

� Customer Relations Service Office shall see to it that the security guards on duty direct the delivery of construction materials and thelike through the designated entrances.

� Security guards must see to it that traffic flows smoothly withinthe MALL and must politely request car owners/drivers to parkproperly in designated parking areas.

Sanitation

The janitorial service engaged by the Mall is charged with the sameresponsibility in the enforcement of the House Rules involving sanitation,particularly enumerated as follows:

� Improper garbage disposal

� Littering in common areas.

� Reporting and helping combat fire that may occur.

� Calling the attention of the Customer Relations Service Office and the SCMC ADMINISTRATION to any violation of the HouseRules that come to its attention.

EVERY TENANT IS ENJOINED TO OBSERVE AND HELP ENFORCETHESE HOUSE RULES, FOR THE MUTUAL BENEFIT OFMANAGEMENT AND THE LESSEES, AND THE BEST INTEREST OFTHE MALL.
