PREAMBLE.

To promote the cultivation of the science and artof Dentistry, sustain and elevate the professionalcharacter of dentists, and encourage mutual im-

provement, social intercourse, and good feeling,the undersigned hereby agree to unite themselvesin an organization, subject to the following Consti-tution and By-Laws.

CONSTITUTION.

ARTICLE I.NAME.

This institution shall be called the Ameri-can Academy of Dental Science.

ARTICLE 11.

OFFICERS.

Section i. The officers of the Academyshall consist of a President, Vice-President,Recording Secretary, Corresponding Secre-tary, Treasurer, Librarian, Editor, and anExecutive Committee of three, who shall beelected annually, and hold office until theirsuccessors are chosen.

ARTICLE 111.MEMBERSHIP.

Section i. The Academy shall consistof Active, Associate, and Honorary members,who shall be styled Fellows.

Sect. 2. The Active Fellows shall beresidents of New England, who shall havereceived a recognized medical or dental de-gree from a college in good standing.

Sect. 3. Associate Fellows shall be non-residents of New England, but shall have,in other respects, the same qualifications formembership as Active Fellows.

Sect. 4. The Honorary Fellows shall besuch persons as are distinguished for theirscientific and professional attainments as den-tists, physicians, or scientists.

ARTICLE IV.SEAL AND CERTIFICATE.

Each Fellow shall receive a properlyauthenticated Certificate of Fellowship, withsuch seal, device, and inscription as may beadopted by the Academy.

Section i. All elections shall be by bal-lot.

Sect. 2. A seven-eigbtbs vote of thosepresent at any regular meeting shall be nec-

essary to elect either Active, Associate, orHonorary Fellows.

Sect. 3. In election of officers, the twonames I'eceiving the greatest number of votesshall be nominees in case of failure to electat the first ballot, and a majority of all votescast shall be necessary to a choice.

ARTICLE VIAMENDMENTS.

All proposed changes in, or amendmentsto, this Constitution shall be in writing, pre-sented at a regular meeting, signed by threeActive or Associate Fellows ; and such alter-ations or amendments shall be printed in thenotices of the next regular meeting, and notbe acted upon until that time, and thenadopted only by a three-fourths vote of themembers present.

BY-LAWS.

ARTICLE I.DUTIES OF OFFICERS.

Section i. President. The Presidentshall preside at all meetings of the Academyand Council. He shall give a deciding votein all cases of a tie, except in election ofofficers ; call special meetings at his discre-tion, or upon the written request of threeActive members; sign all certificates anddiplomas issued; and perform such otherduties as shall from time to time be assignedhim.

Sect. 2. Vice-President. The Vice-President shall sign all certificates and diplo-mas issued by the Academy. In the absenceof the President he shall preside at the meet-ings of the Academy, and in the absence ofboth these officers a President pro tern, shallbe appointed.

Sect. 3. Recording Secretary. TheRecording .Secretary shall keep a record ofthe proceedings of all meetings of the Acad-emy; issue to the Active, Associate, andHonorary Fellows a notice of all meetings ofthe Academy; have custody of the seal, andcause to be engrossed, sign, seal, and forwardall certificates and diplomas issued by theAcademy; and perform such other duties as

Sect. 4. Corresponding Secretary.

The Corresponding Secretary shall havecharge of all letters and communicationsaddressed to the Academy, and shall con-duct the correspondence as may be directedby the Academy. He shall notify all mem-bers and officers of their election, committeesof their appointment, and the subjects re-ferred to them ; keep the manuscript Consti-tution, By-Laws, and Code of Ethics of theAcademy ; keep a record of the membership,including resignations and other changes;superintend the printing for the Academy,and report in reference to the same at theannual meeting ; and perform such other dutiesas shall from time to time be assigned him.

Sect. 5. Treasurer. The Treasurershall collect all dues, keep an exact accountof all receipts and expenditures, and thevouchers therefor; notify all members of ar-rearages, and report to the Executive Com-mittee at the annual meeting the names ofall members in arrears for two years, andread a written report of the condition of hisofficial affairs, at the annual meeting or uponorder of the Academy; and shall pay outmoney only on order of the President, coun-tersigned by the Recording Secretary.

Sect. 6. Librarian. The Librarianshall have charge of all books and specimens,instruments, and appliances belonging to theAcademy, keep a correct register of the same,and report in reference to the same at theannual meeting.

Sect. 7- Editor. —lt shall be the dutyof the Editor to prepare or cause to be pre-pared for publication, the transactions ofevery regular meeting, and to superintendthe publication of the same; to provide astenographic reporter for all regular meet-ings, and for such other meetings as shall

be deemed proper by the Executive Committee.

Sect. 8. Executive Coinmittee. —TheExecutive Committee shall provide properplaces for all meetings of the Academy, andarrange for papers and other scientific andprofessional matter for annual and all regularmeetings ; examine into the moral and pro-fessional standing of candidates for member-ship, and, if no objection to the candidate isfound, report the same at the next regularmeeting to that at which the candidate wasproposed. They shall audit the accounts ofthe Treasurer, and have full power to remitthe whole or any part of the dues of delin-quents reported to them by the Treasurer atthe annual meeting, or to make a statementof any special case or cases to the Academyat any regular meeting.

Sect. 9. Council. The Council shallconstitute a court, for the trial of membersfor the violation of the Eaws or Ethics of theAcademy. Charges against a member shallbe made in writing, addressed to the Presi-dent. He, on receiving them, shall call a

meeting of the Council to investigate thesame, and the evidence thereof. If a ma-jority of the Council, after such investiga-tion, shall be of the opinion that the chargesare prima facie well founded, they shallserve a copy of them on the accused, andappoint a day for hearing his defence, ofwhich day he and the party making thecharges shall have at least ten days’ notice ;

and if the accused, in person or by counsel?who shall be a Fellow of the Academy, hav-ing had a fair opportunity to hear the evidenceagainst him, and to make his defence, shallbe found guilty by a two-thirds vote of theCouncil, they shall so report to the Academyat its next regular meeting, when the Acad-emy shall determine the penalty, be it repri-mand, suspension, or expulsion, which shallbe decided by a two-thirds vote of the mem-bers present. If, after due notification, theaccused party or counsel shall fail to appearat the time and place of trial, without satis-factory excuse rendered at the time, he shallbe considered as admitting the truth of thechai'ges against him, and shall be liable tosentence accordingly.

ARTICLE 11.DUTIES AND PRIVILEGES OF MEMBERS.

Section i. Active Fellows shall, on elec-tion, sign the Constitution, By-Laws, andCode of Ethics, pay an admission-fee of fivedollars, and at each annual meeting there-after a due of seven dollars, and they onlyshall have the right to vote and hold office.

Sect. 2. Associate Fellows shall, on elec-tion, sign the Constitution, By-Laws, andCode of Ethics, pay an admission-fee of fivedollars, and shall be entitled to all the privi-leges of the floor at regular meetings.

Sect. 3. Honorary Fellows shall be en-titled to the privileges of the floor at regularmeetings.

Sect. 4. If any member shall be twoyears in arrears of dues, and the same be notremitted b}' the Executive Committee, heshall be deemed to have lost his membership,provided he has been notified of this By-Lawby the Treasurer, and fails to respond in twomonths after such notice is mailed to him.

And he cannot again become a member un-less all former dues are paid, and his nameproposed in accordance with Article 111., Sec-tion i, of the By-Laws.

Sect. 5. Any elected member who mayfind it inconvenient to sign the Constitutionand By-Laws in person, may authorize theCorresponding Secretary to affix his signaturefor him.

Sect. 6. Any member in good standingmay introduce a friend to the meetings of theAcademy, and he shall send his friend’s namewith his own to the Recording Secretary forannouncement.

ARTICLE 111.

ADMISSION OF MEMBERS.

Section i. Application for membershipshall be indorsed by two Active or AssociateFellows in good standing. The Committeehaving reported (Art. 1., Sect, y), the nameof the candidate, together with the names ofthe Fellows endorsing the application, shallbe printed in the notices of the next regular

meeting, and he shall be balloted for at thatmeeting.

Sect. 2. One negative vote in eight shallexclude, and no candidate shall be deemedadmitted to membership who shall not havereceived eight votes.

ARTICLE IV.The moneys of the Academy shall not be

appropriated without a two-thirds vote of themembers present.

ARTICLE V.Section i. Meetings. The regular

monthly meetings of the Academy shall beheld on the first Wednesday evening of eachmonth, excepting Jul}r , August, and Septem-ber, at half-past seven o’clock, unless other-wise ordered by the President, with theconcurrence of the Executive Committee.

Sect, 2. Annual Meetings. —The an-nual meetings of the Academy shall be holdenin Boston, on the Wednesday in November

following the second Monday, at three o’clockP.M., for the election of officers, and for thetransaction of such business as may promotethe welfare of the Academy.

ARTICLE VI.QUORUM.

Eight Active Fellows shall constitute aquorum at any meeting of the Academy.

ARTICLE VII.

ORDER OF BUSINESS.

i. Reading the records of the previousmeeting, and approval of the same.

3. Report of the Executive Committee andother officers.

3. Election of Fellows.4. Reports of Committees.5. Papers or addresses.6. Subject for the evening.7. Discussion of the same.8. Incidents of practice, and the presenta-

ARTICLE VIII.RULES OF ORDER.

Section i. Any member who may speakon any subject or question before the Academyshall rise, and address his remarks to theChair.

Sect. 2. Any member called to orderwhile speaking shall take his seat, and thedebate be suspended until the point of orderis settled.

Sect. 3. All questions of order shall bedecided by the Chair, subject to an appeal,which shall be determined by vote, withoutdebate.

Sect. 4. All resolutions and amendmentsshall be offered in writing.

Sect. 5. Any member may call for a di-vision of a question when the sense will admitof it.

Sect. 6. All questions not provided forby these rules shall be determined by parlia-mentary usage, as set forth in “ Cushing’sManual.”

CODE OF ETHICS.

ARTICLE I.THE DUTIES OF THE PROFESSION TO THEIR

PATIENTS.

Section i. The dentist should fully recog-nize the obligations involved in the dischargeof his duties towards his patients. As theyare, in most cases, unable to correctly estimatethe character of his operations, his own sense

of right must guarantee faithfulness in theirperformance.

Sect. 2. The dentist should lend his influ-ence to encourage a sound dental and medicaleducation, and to uphold in the communitycorrect views of the powers and the limitationsof dental science and art. It is not to be ex-

pected that the patient will possess a very ex-tended or accurate knowledge of professional

matters. The dentist should make due allow-ance for this, patiently explaining many thingswhich may seem quite clear to himself. Heshould encoui'age no false hopes by promisingsuccess, when, in the nature of the case, thereis uncertainty.

ARTICLE II

MAINTAINING PROFESSIONAL CHARACTER.

Section i. In his relation with anotherdental practitioner and his patients, the den-tist should be governed by strict rules ofhonor and courtesy. His conduct should besuch as, if universally imitated, would insurethe mutual confidence of all dental practi-tioners.

Sect. 2. The professional success of apractitioner depends upon qualities connectedwith his moral character, his scientific attain-ments, and also his industry and businesstalents. But the relation of pi'actitioners ofdentistry to patients is not like that of trades-men to their customers. The kind of com-petition which might be considered honorablein business cannot exist between dentists

without diminishing their usefulness, andlowering the standing of the dentalprofession.

Sect. 3. If a dentist treats a patient dur-ing the temporary absence or illness of theusual dentist, or in case of accident or otheremergency, he should direct that the patientgo to the former as soon as he is able to takecharge of the case, and should then relin-quish it to him.

Sect. 4. It is unprofessional to resort topublic advertisements, cards, hand-bills, post-ers, or signs, calling attention to peculiarstyles of work, lowness of prices, or specialmodes of operating, or to claim superiorityover neighboring practitioners, to publish re-

ports of cases or certificates in public prints,to go from house to house to solicit or per-form operations, to circulate or recommendnostrums, or to perform any similar acts.

Sect. 5. Consultation should be encour-

aged in cases of unusual responsibility ordoubt.

A consultation is called for the benefit ofthe patient, and to give him the advantage of

collective skill. Should there be a differenceof opinion, discussion should be temperate,and always confidential.

A consulting dentist should be careful tosay or do nothing to impair the confidence ofthe patient or his family in the attendingdentist.
