Executive Summary The timing of the reporting of voting results remains at a satisfactory level. Although the median number of days to report results has extended by one working day (3 working days to post voting results in 2006 versus 2 working days in 2005), this increase is not seen as significant. In addition, 91% of companies have posted their results within 10 business days of the annual meeting, which is an improvement from 2005 when 84% of companies posted their results within the 10 day time period. Finally, fewer companies have been identified as “delinquent”, which is not posting their voting results. In 2005, 11 out of 206 companies surveyed (5%) had not posted their results as of the date of the study whereas in 2006, 7 out of 204 companies (3%) were identified as not posting their voting results. This result is encouraging given that the study was completed one-month ahead of the time the 2005 study was conducted. However, as with previous years, much work needs to be done to improve the transparency of the report on voting results, particularly when reporting the outcome of the director and auditor elections. A troubling trend is for more companies to report results based on a “show of hands” versus the number of votes cast. In 2005, 40% of companies who reported results (78 out of 195) indicated that the election was completed via a show of hands. In 2006, the number of companies indicating that voting took place via a show of hands increased to 52% of companies reporting results (103 out of 197). From the Coalition’s perspective, this trend is troublesome as the reports are becoming less transparent when ideally the opposite should be happening. When reporting the results of resolutions, companies are doing a good job disclosing the results. In order to improve the quality and transparency of the disclosures of voting results for the upcoming proxy year, the Coalition recommends that companies follow the format for disclosure currently being used by companies like Manulife Financial.

Compliance with Section 11.3 of National Instrument 51-102 Background The Canadian Coalition for Good Governance has recently completed its 2006 study of compliance with Section 11.3 of National Instrument 51-102 Continuous Disclosure Obligations (NI 51-102) which requires issuers, except venture issuers, to: …report promptly following a meeting of securityholders at which a matter was submitted to a vote, file a report that discloses, for each matter voted upon

(a) a brief description of the matter voted upon and the outcome of the vote; and (b) if the vote was conducted by ballot, including a vote on a matter in which votes are cast both in person and by proxy, the number or percentage of votes cast for, against or withheld from the vote.

The scope of the study includes the reporting of the voting results of the most recent annual meeting of all companies listed on the S&P/TSX Composite as of October 1, 2006. See Appendix 1 for a list of composite companies included in the study. For companies who have yet to hold their 2006 annual meetings, the posting of voting results relating to the 2005 annual meeting was considered for the study, unless that meeting was included in the 2005 study. There is one case in which this has occurred (Cognos Inc.) and that issuer was removed from the 2006 study. Compliance with the NI 51-102 occurs when the voting results enter the public domain – that is when they are posted on SEDAR. The lag between the date of the annual meeting and the date results were posted is reported in business days. Sample size of the 2006 Study As of October 1, 2006, there are 208 companies in the S&P/TSX Composite Index (excluding Income Trusts). Of those, two companies, Tim Horton’s and Novelis Inc. have yet to hold their inaugural annual meeting and are not included in the results. In addition, AGF Management Inc. is excluded from the study as there is no evidence in the public documents that it holds an annual meeting for its non-voting shareholders. There is no voting information available for Cognos as its 2006 financial statements and subsequent annual meeting were been delayed due to accounting issues. The Cognos annual meeting will be held in the middle of October 2006. The 2006 study considered the remaining 204 companies of the S&P/TSX composite. Comparisons to Previous Years Comparisons to 2004 and 2005 voting results are presented on a percentage basis.

Compliance with NI 51-102: The vast majority of companies are reporting their voting results in a timely manner. Of the companies in the 2006 study, 97%, or 197 out of 204, of companies have complied with NI 51-102. This is a slight increase from 2005 when 95% of issuers were in compliance and an 8% increase from 2004 where 89% of companies were in compliance.

However, companies are complying at a slightly slower rate than in 2005. In 2006, the median response rate was 3 business days, up from a median of 2 business days in 2005. The following histograms of days it took companies to comply with NI 51-102 shows the distribution of the lag between the annual report and the posting of the voting results on SEDAR for the years 2004 through to 2006.

There has been a significant improvement in reducing the number of days between the annual meeting and posting the voting results on SEDAR since 2004. In 2006, 35% of companies complying with NI 51-102 posted their results on SEDAR within 1 day of the annual meeting, which is down from 38% of companies reporting within 1 business day in 2005. However, in 2006, 91% of companies reported their results within 10 business days of the annual meeting, which is up from 2005 when 84% of companies posted results within 10 business days. These results are a significant improvement from 2004 when only 20% of companies reported within 1 business day and 68% within 10 business days.

In 2006, over half of companies reported their voting results within 3 days of the annual meeting with 12% reporting the same day as the annual meeting. These values are down from 2005 but remain acceptable.

Companies identified as delinquent in 2006 Of the seven companies not reporting 2006 results, three (CCL Industries, Corus Entertainment and Miramar Mining) did not report results in 2005. In addition, Miramar has never reported its voting results, although required to since its 2005 annual meeting.

*CCL Industries and Corus Entertainment have yet to file their 2005 voting results. Thus, the 2005 reporting lag will continue to increase until these results are posted in accordance with Section 11.3 of NI 51-102.

The Quality of Compliance with NI 51-102: The information being disclosed needs to be more effective. The Coalition believes that while it is important to report the voting results, the disclosure of the results must be done in an effective manner. In our view, effective disclosure has four characteristics:

1. it is easy to find 2. it is easy to understand 3. it is accurate 4. it is given in context so it has meaning

It is the opinion of the Coalition that the disclosure of voting provided by Manulife Financial is a best practice. Manulife provides detailed voting results for each director and the auditor. A copy of Manulife’s voting results report is found in Appendix 2. Reporting results A majority of companies in the survey continue to report voting results using a “show of hands”. In 2006, only 48 out of the 197 companies surveyed reported their results in a manner similar to the format used by Manulife Financial (Appendix 2). Improvement opportunities Of the companies reporting voting results for directors, only 24% identified that the vote took place by way of a ballot (48 out of 197 companies). The remaining 76% of companies either reported that the directors were elected by a show of hands (103 companies) or the voting method fell into the category of “Other” – the method was not disclosed or the directors were reported as being acclaimed or appointed by way of a resolution.

Report of Voting Results for Director Elections These results are in sharp contrast to how reporting was done in 2005. Between the two years, there has been a 13% decline in the number of companies reporting the results of the ballot. It is evident that a lot more work needs to be done in this area.
