assigning any reason thereof, and is not liable to accept the lowest tender or anyof the tenders.

14. RIGHTS 0F NHSRCL TO DEAL WITH TENDERS:- The authority for theacceptance of the Tender will rest with the NHSRCL. It shall not be obligatory onthe said authority to accept the lowest tender or any other tender and no tenderersshall demand neither any explanations for the caLlse of rejection of his/ theirtender nor the NHSRCL to assign reasons for declining to consider or reject any

particular tender or tenders.15. If the Tenderer(s) deliberately gives/ give wrong information in his/their Tender or

creates/create circumstances for the acceptance of his/their Tender, theNHSRCL reserves the right to reject such Tender at any stage.

16. Tenderer(s) may please also note that if any change/ addition/ deletion with mala-fide intention is made by the bidder and the same is detected a.t any stage evenafter award of the tender, all necessary action including banning of business maybe taken against the bidder.

17. The validity of the tender offer should be 90 days from the date of the opening.18. Prior to the expiration of the period of Bid validity, the Employer shall notify the

successful Bidder, in writing, that its Bid has been accepted. The notification letter

(hereinafter called the "Letter of Acceptance") shall specify the sum that theEmployer shall pay to the Contractor in consideration of the execution andcompletion of the Works (hereinafter called ``the Accepted Contract Amount").

19. Until a formal contract is prepared and executed, the Letter of Acceptance alongwith all the tender conditions and corrigendum shall constitute a binding Contract.

20. The Bidder shall bear all costs associated with the preparati,on and submission ofits Bid, and the Employer shall not be responsible or liable for those costs,regardless of the conduct or outcome of the bidding process.

21. Eligibility criteria:21.1. The bidder(s) must have executed the Plantation (Horticulture/ Forest or

any other related) works in the past. (attach supporting documents).21.2. The Bidder(s) should not have been blacklisted by any Central/ State

Ministry/ Department/ PSUs or Banks etc. The bidding firm has to give aself-certificate to the effect that it has not been blacklisted by any Central/State Ministry/ Departmenv PSUs or Banks, etc. The certificate has to besubmitted along with the tender documents.

1. The Tenderer (s) shall inspect the proposed site of work and acquaint/ themselveswith the site conditions, site location, availability of water during the plantation aswell as maintenance period, working hours, layout of trees, approach road,.

pathways available, etc. and all relevant items connected with the execution ofwork. No claim shall be entertained for the contractor(s) making his/their ownarrangements for approaches/ approach road from outside work area andcontractor(s) will bear entire expenses such as road taxes, payment for right of wayetc. to outsiders and for construction of approaches/approach roads, internal

pathways etc.2. Tenders containing erasures and/ or alternations of the tender documents are liable

to be rejected. Any correction made by the Tenderer(s) in his/their entries must beattested by him /them.

3. Tender Fee:3.1. The tender documents to be downloaded from the official website of National

High-Speed Rail Corporation Limited www. nhsrcl. in &https://eprocure.gov. in/epublish/app for submitting the tender.

3.2. 4.9. The Earnest Money deposited by the successful Tenderer will be returnedafter submission of Performance Security and Signing of ContractAgreement.

4.10. The technical bid must also contain the details of bank account of thebidder. This account will be used to credit the amount of EMD back into thebidders' account for the unsuccessful bidders, without any interest or anysuch levy.

4.11. The NHSRCL shall not be responsible forany loss ordepreciatio.n that mayhappen to the security for the due performance of the stipulation to keep theoffer open for the period specified in the tender documents or to the EarnestMoney while in their possession nor be liable to pay interes7t thereon.

4.12. Forfeiture of EMD: The EMD / Bid Security shall be forfeited as per the

provisions given in Tender documents:4.12.1.IfabidderwithdrawsitsbidduringtheperiodofBidvalidifyspecified

by the bidder on the letter of bids.4.12.2, lf a bidder misrepresents or causes to misrepresent or omits the

facts which are mentioned and reasonably should have beenfurnished in order to influence the procurement process.

4.12.3. If the successful bidder fails to:

(a) Sign the contract agreement as pertender conditions;(b) Accept the corrections of its bid price due to calculations

errors;

5. The procedure for submission/ Uploading of bids:5.1. The completely filled up bid document shall be uploaded on NHSRCL's

website by the bidders latest by tender closing date and time mentioned inNIT. The bidders shall seek an i!ploading link from NHSRCL through email.

5.2. A link along with user lD and password, to access the link, shall be providedto the prospective bidders, who so desire, using which the bid documentshall be uploaded to the designated site/server.

5.3. Both, technical (duly filled technical bid documents) as well as financial

proposal (duly filled price bid) .will be uploaded as two separate passwordprotected PDF documents. The documents will be password protectedindividually. Both these documents will be zipped together in one folder. The

passwords will not be shared by the bidders at the time of uploading.5.4. The link given for uploading the bid documents shall expire at a given time

and date and will no longer be available for uploading of documents. Thiswill ensure the bid document submission deadlines are honoured. In case

5.5. The bidders must ensure that their bid submissions to NHSRCL are freefrom virus/malware/ransomware or such similar unwanted software code.

6. Procedure of Submission of password, Opening and Evaluation of Bid6.1, Submission of Password and Opening of Technical Bids

6,1.1. For opening of the technical bids on a notified date, a virtual on-linemeeting (zoom/webex or other similar meeting platform) will be heldinviting the bidders who have submitted the bids. The invitations foronline meeting will be sent by email along with the information of thesoftware/platform to be used for meeting.

6.1.2. The `Bid Administrator', who will be conducting the meeting will benotified to the bidders over email.

6,1,3. A window of 30 minutes, from the time of commencement of onlinetender opening meeting, would be given to all the bidders who havesubmitted the bids to provide their password for opening of thesubmitted technical bid, to the `Bid Administrator' of the meeting

privately through chat or as an SMS/WhatsApp message on thenumber provided in advance through email.

6.1.4. All technical bids would be opened by the `Bid Administrator' forthemeeting, using the password so provided during the meeting, one byone.

6.1.5. In case it is not possible to open the file, which contains thetechnical bid, due to any reason whatsoever, the bid shall bedisqualified.

6.1.6. The entire online meeting of opening of Technical bid shall berecorded and kept for records and confirmation.

6.1.7. Foropening of the Technical Bid, the bidder must make every efforttobe present for the online technical bid opening meeting. However, forany reason whatsoever, the bidder is not able to join, but is able tosend his password, the bidder's offer would be considered as Valid.

6.1.8. The outcome of the Technical Bid evaluation will be informed toall the bidders through email.

6.2. Password submission and opening of Financial Bids6.2.1. For opening of the financial bids, procedure as outline in para 6.1.1 to

6.1,4 as illustrated above will be followed for the opening of financialbid.

6.2.2. The opened financial bids would be shown on the screen online to the

participating bidders.6.2.3. In case it is not possible to open the file, which contains the

financial bid, due to any reason whatsoever, the bid shall bedisqualified.

6.2.4. The opened bids will be recorded on a summary sheet indicatingbidder's name and their financial quote. This summary sheet will bedisplayed on screen, in the meeting by the `Bid Administrator'.

6.2.5. The entire online meeting of opening offinancial bid shall be recordedand kept for records and confirmation.

6.2.6. For opening of the Financial Bid. the bidder must make every effort tobe present for the online financial bid opening meeting. However, it forany reason, the bidder is not able to join, but is able to send his

password, the bidder's offer would be considered as Valid.6.3. Other Instructions/Guidelines

6.3.1. The bidders must ensure that their bids are complete in all respectsand that their bids are password protected.

6.3.2. The bids so submitted must be capable of opening with 'AdobeAcrobat Reader' and/or Adobe Acrobat. Use of any proprietarysoftware for encrypti\ng PDF or passwords leading to non-opening orreadability of the submitted bid, will render the bid invalid.

6.3.3. The bidders must check the integrity of bids to be submitted beforeuploading the same.

6.3.4. The bidders mustensurethatthe bids are clearly marked as Technicaland Financial indicating the name of the bidding agency.

6.3.5. The bidders and/or their authorised representative(s) must makeevery effort to be present in the virtual online meeting (Zoom/V\febexor other similar meeting platform) while opening of the bids.

6.3.6. If a bidder has shared the password with the `Bid Administrator' forthe opening of financial bid dooument but is unable to be present inthe online financial bid opening process, the bid will be considered asvalid.

7. It shall be Contractor's exclusive responsibility to get approvals, permits orlicense required for the Contract from various government departments.However, the Employer may (where he is in a position to do so) providereasonable assistance to Contractor at the request and cost of the Contractor in

getting Permits, License or Approvals required during the Contract. Therendering of such assistance by the Employer shall not be interpreted as a pretextby the Contractor as condoning of any delay or non-performance of any of theContractors obligations. The following-up of all such applications shall be theresponsibility of the Contractor.

8. The Employer shall be fully entitled without the consent of the Contractor, toassign the benefit of the part thereof and any Interest therein or thereunder toany third party.

9. Correction of Arithmetical Errors9.1. Provided that the bid is substantially responsive, the Employer shall

correct arithmetical errors on the following basis:9.1.1. if there is a discrepancy between the unit price and the total price

that is obtained by multiplying the unit price and quantify, the unit

price shall prevail and the total price shall be corrected, unless inthe opinion of the Employer there is an obvious misplacement ofthe decimal point in the unit price, in which case the total priceas quoted shall govern and the unit price shall be corrected;

9.1.2. if there is an error in a total corresponding ho the addition orsubtraction of subtotals, the subtotals shall prevail and the totalshall be.corrected ; and

9.1.3. if there is a discrepancy between words and figures, the amountin words shall prevail, unless the amount expressed in words isrelated to an arithmetic error, in which case the amount in figuresshall prevail subject to (9.1.1 ) and (9.1.2) above.

9.2. Bidders shall be requested to accept correction of arithmetical errors.Failure to accept the correction in accordance with 9.1, shall result in therejection of the Bid.

10. The Contractor shall not transfer his contract to third party.11. Briefscope ofthework: I

11.1. Location of the works: The work shall be carried out in the villages viz.Bhumel, Uttarsanda, Piplag, Dumral, Tundel, Davda, Dantali, Zarol,Dehgam, Gothaj, Bavara, Eyava, katakpura, Chapra, Virol, Vadadla,Malataj, Kanji, Mahij, Davada, Chaklasi of Kheda district. Land for the

plantation/ compensatory forestation will be provided in different pocketsin various villages as per the availability. Plantation may also be requiredto carry out along the Canals/ National Highways/ State Highways/ Roads/NHSRCL alignment as per the direction of the NHSRCL in Kheda district.

11.2. The contractor shall employ qualified and experienced and skilled, semi-skilled and unskilled workers depending upon the nature of job and takecare of pesticide application of fertilizer application as necessary and onthe sudden outbreak of any epidemic.

11.3. The scope of work includes Cleaning of area including removal ofunwanted material, debris, weeds, bushes, stones and masonry pieces,infertile soil etc. including disposal of the same outside the NHSRCL's

premises as per the prevailing rules and regulation of local authority(ies).The Contractor shall indemnify NHSRCL from any clairris/ penalties by thelocal authority(ies)/ individuals, which may arise due tot improper disposalof the aforementioned waste materials.

11.4. Digging of pits of required size in soil for the plantation of trees as perlayout drawing prepared by the Contractor and finalized in consultationwith the NHSRCL/ local authority(ies).

11.5. Filling of good quality fertile soil including mixing good quality well rotten

Farm Yard Manure (FYM) at the rate of 30% by volume. F.Y.M. shall bemixed well in the soil of the pit while planting the saplings.

11.6. The soil manure filling shall be well watered in order to settle soil and toremove air pockets. Level of the pits shall be obtaihed by adding soil plusmanure mixture, wherever required.

11.7. Treating each pit for white ant treatment and other preventive pest/ insecttreatments as necessary.

11.8. Planting of well grown sapling / seedling /graft of desired species. Treesaplings of the recommended species / types should be approx.. 3 feetheight (settled in 5 x 7 Inch) and free of insect / pests diseases shall be

planted by the agency at his own cost.11.9. The planted trees shall be maintained for two years including its protection

from any causes whatso ever reason. The maintenance period shall bestarted only after the successful ccmpletion of the plantation at eachpocket of land. In case of plantation along the Canals/ National Highways/State Highways/ Roads/ NHSRCL alignment the maintenance period willstart after plantation of the tree. The maintenance shall include regularwatering, weeding, mulching, soil working, supporting and pruning,application of insecticides/ pesticides/ fertilizers/ fungicides etc. The treeshall be manured minimum twice in a year with F.Y.M. as per theinstructions of the in-charge officers.

11.10. Regular checking against insect / pest / f,ungus attack shall be done by thecontractor and the control measures shall be done by the Contractor at hisown cost during the entire maintenance period.

11.11. The Contractor shall be required to arrange planting materials / fertilizers/ soils for plantation work lf any plant dies during the maintenance periodsame shall be replaced by the Contractor at his own cost. Agency will haveto arrange all types of fertilizers insecticides / pesticides for treemaintenance at his own cost`

11.12. Contractor shall arrange the water facilities at their own cost. The wateringof the trees, shall be provided on regular basis as per the requirement

13. Contract price and payment:13.1. The payment shall be made on the basis of actual no of trees planted and

survived.13.2. All the statutory, contractual and other deductions shall be made from the

interim payments.13.3. Interim Payment (On pockeU area basis)

13.3.1. On completion of plantation 20% of the accepted rate shall be

paid on the monthly basis.13.3.2. Balance 80% of the accepted rates will be released during the

maintenance period as defined hereunder(a) Interim payment during the Maintenance period will be on

half yearly basis.

(b) The payment will be at 20% of accepted rates of thesurvived trees.

13.4. Final payment:13.4.1. Final payment will be made on the completion of the

maintenance period of all the pockets of the tree plantation.13.4.2. Final paymentwill be made on the basis of total survival of the

trees out of total No. of trees planted.13.5. Contractor shall maintain the log book for the trees planted, survived, died/

non-survived/ no. of trees planted in lieu of the non-survived trees,

photographs of the trees etc. and shall submit the same to the NHSRCLalong with the payment application.

13.6. No price variation/ price adjustment is applicable under this work /Contract.

14. The Contractor shall, when he is not personally present on the site of the works

place, keep a responsible representative at the works during working hours whoshall on receiving reasonable notice, present himself to the NHSRCL and orders

1. Preamble:

a) The price schedules shall be read in conjunction with the NoticeInviting Tender, Terms and conditions, and the Addenda (if any).

b) The quantities given in the Bills of Quantities are estimated and

provisional, and are given to provide a common basis for bidding. Thebasis of payment will be the actual quantities Of work ordered andcarried out, as measured by the Engineer, (accepted by theContractor) and valued at the rates and prices bid in the priced Billsof Quantities, where applicable, and otherwise at such rates and

prices as the Engineer may fix within the terms of the Contract.c) The rates and prices in the priced Bill of Quantities are for complete

and finished items of the work in all respects. The rates and pricesshall, except insofar as it, is otherwise provided under the Contract,shall include all necessary survey work, plants, tools, labour,compliance of labour laws, supervision, materials, transportation,handling, loading & unloading, storage, fuel, oil, consumables,electric power, water, all leads and lifts, all temporary works, slacking,

2. Measurement and payment

As already stated under Clause 1, Preamble, the Firices and rates

quoted shall be comprehensive and must include for complying in allrespects with the Bill of Quantities, Notice Inviting Tender, Terms andConditions and other relevant provisions of the Contfact.
