1.0 OVERVIEW OF THE COMMUNITY RELATIONS PLAN Background

Exide Technologies (Exide or the Company) owns real property in the City of Frisco, Texas that includes

the Exide Technologies Battery Recycling Facility and surrounding buffer property The Exide

Technologies Battery Recycling Facility was operated by Exide and its predecessors as a lead acid

battery recycling complex. Following negotiations with the City, in June 2012, Exide Technologies

(Exide or the Company) agreed to cease its recycling operations in Frisco by December 31, 2012 and to

sell a 180-acre portion of the property to the Frisco Economic Development Corporation (EDC) and the

Frisco Community Development Corporation (CDC) (VCP Parcel). Exide will retain ownership of the

remainder of the property, which includes the portion of the property on which industrial operations

occurred (Exide Retained Property or Site).

Exide ceased recycling operations at the Site as of November 30, 2012. Following the cessation of

recycling operations, Exide initiated a project that involves Site decommissioning, decontamination,

demolition, corrective action and closure activities on the Exide Retained Property (the “Project”). The

Project will occur in a series of steps, which are outlined in the ‘Project Overview’ link located on the

Exide Frisco website. When this multi-step, multi-component Project is completed Exide will have

completed remediation of the Exide Retained Property in accordance with applicable regulatory

requirements.

1.1 Purposes of the Plan

The purpose of this Community Relations Plan (Plan) is to establish a framework for communications

relating to the Project on the Exide Retained Property between Exide and the community. Because the

VCP Parcel involves the EDC, CDC and the City of Frisco, a separate VCP Parcel Community Relations

Plan (VCP CR Plan) has been prepared to establish the framework for those activities.

Through implementation of the measures set forth in this Plan, Exide will disseminate of information

relating to the Project to the community in an effort to keep the community informed and to provide for

meaningful public participation in connection with the decommissioning, decontamination, demolition,

corrective action and closure activities that will occur at the Site. Under the Plan, Exide will host forums

for information exchange and public comment on Project activities at the Site in coordination with the

Texas Commission on Environmental Quality (TCEQ) and the City. The Plan is designed to facilitate

timely communications among Exide and the general public; local, state and federal officials; and other

parties interested in the Project. The specific objectives of this Plan are to: 1. Establish mechanisms for communications among Exide, area residents, and local, state and federal officials, through identification of contacts (See Appendix C), hosting and publicizing meetings, setting up and maintaining a repository of data and sponsoring a web site for information and public comment. 2. Assure that interactions with the public are sufficient and meaningful so that Exide can understand and respond to community concerns and suggestions as the Project progresses.

Exide welcomes suggestions regarding the processes and tools for communication laid out in this Plan.

This Plan will be reviewed periodically and may be modified to better achieve the Plan objectives.

1.2 Roles and Responsibilities

Exide will continue to manage all aspects of the Project. Exide has hired Pastor, Behling & Wheeler, LLC

(PBW) as the Environmental Engineering Consultant to provide project oversight and Remediation

Services Inc. (RSI) as the Demolition and Remediation contractor. The TCEQ is the lead regulatory

agency that will be reviewing, commenting on and ultimately approving work plans, activities and reports,

as required.

1.3 Sources of Information for Community Relations Plan

This Plan was developed based on publicly available information and discussions with state and local

officials. It is also based on the Company’s knowledge and historical records and demographic

information for neighborhoods around the Site. Demographic information was provided by the U.S.

Census Bureau.

1.4 Organization of this Community Relations Plan

This Plan is organized as follows:

The Site and its history;

Current and planned Site activities; and

Description of specific community relations activities planned during the Project.

2.0 SITE BACKGROUND

This section provides a brief description of the Site and a summary of current and planned Site

activities.

2.1 Site Location and Description

The Site is located at 7471 South Fifth Street, Frisco, Collin County, Texas. The Site is located within

the City of Frisco city limits and encompasses approximately 260 acres of land which consists of:

unimproved vegetated land;

Exide’s Battery Recycling facility, which ceased recycling operations as of November 30, 2012;

a Class 2 non-hazardous waste landfill comprised of active cells and capped inactive cells with vegetative cover;

closed landfills referred to as “pre-RCRA” landfills; and

a stormwater retention pond.

The Site is located within a mixed residential, commercial and industrial area and is bordered:

to the North by Martin Marietta Materials, a stone, sand and gravel distribution facility and Eubanks Street;

to the East by Parkwood Road/5th Street and undeveloped land;

to the Southeast by Frisco Police Department, undeveloped land and beyond by Stonebrook Parkway;

to the Southwest by undeveloped land and the Dallas North Tollway;

and the East by railroad tracks and beyond by a commercial park.

A Site Location Map and Site Map are presented in Figures 2 and Figure 3, respectively.

2.2 Site History

Industrial operations at the Site began in 1964 and were expanded in 1969 to include the recycling of

lead-acid batteries and other lead-bearing scrap materials with the installation and operation of the blast

furnace and subsequent installation and operation of the reverberatory furnace in 1979. Exide was

initially issued a Resource Conservation and Recovery Act (RCRA) Hazardous Waste Permit (#50206)

in 1988.

The RCRA permit authorized the operation of two hazardous waste storage units at the Site: 1) Battery

Receiving/Storage Building (a RCRA hazardous waste container storage area); and 2) Raw Material

Storage Building (a RCRA hazardous waste containment building). On December 4, 2012, in

accordance with the RCRA permit, Exide notified TCEQ of the expected final closure of the two RCRA-

permitted units.

In addition, Exide operates solid waste management units (SWMUs) at the Site which do not require a

RCRA permit but are listed on Exide’s Notice of Registration (NOR) with the TCEQ, including a tank

used to stabilize hazardous wastes and render them non-hazardous (referred to as the Slag Treatment

Building); the SWMUs will be closed in accordance with applicable regulations.

In 1978, the United States Environmental Protection Agency (EPA) set the National Ambient Air Quality

Standard (NAAQS) for lead at 1.5 μg/m3. In 1991, EPA designated a portion of Collin County as a

lead nonattainment area. In 1999, EPA redesignated the area as attainment and approved a TCEQ-

submitted 10-year maintenance plan. As the only significant lead source in the area, Exide undertook

all measures to comply with the maintenance plan including installation of new emission control

equipment at the Site. In 2008, EPA lowered the NAAQS lead standard 0.15 μg/m3. A portion of

Collin County was once again declared a lead nonattainment area in 2010, with an attainment

demonstration date of December 31, 2015. Exide and TCEQ entered into an Agreed Order, Docket No.

2011-0521-MIS, for the purpose of implementing measures to demonstrate attainment with the 2008

lead NAAQS by the attainment demonstration date. As an alternative to completing the measures listed

in the order Exide elected to cease plant operations. In accordance with the order, Exide provided

notice of the intent to cease operation by November 30, 2012 to the TCEQ on October 9, 2012.

2.2.1 Site Environmental Investigations

A number of Site environmental investigations have been conducted over more than two decades,

providing substantial information about Site conditions and include the following:

A RCRA Facility Investigation (RFI) was conducted on the following nine solid waste management units

at Exide’s operating facility, as required under Exide’s RCRA permit issued in 1988:

a) Battery storage area;

b) Raw material storage area ;

c) Slag landfill;

d) North disposal area;

e) South disposal area;

f) Stewart creek;

g) Old drum storage area;

h) Stewart creek sediment dredging waste pile; and

i) Product (rubber chip) waste pile.

The initial RFI was conducted in 1990-1991 and included installation and monitoring of on-site

groundwater monitoring wells and delineation of nine solid waste management units (four

landfills, four storage areas, and the creek). The RFI report was submitted to TCEQ in 1991

and an addendum to the report was submitted in 1993.

1. A Phase II RFI workplan was submitted to TCEQ on October 5, 1994. The workplan was

approved with modifications by TCEQ by letter dated February 27, 1998. A Phase II RFI

Report dated August 28, 1998 was submitted to the TCEQ in August, 1998.

2. In 1999, a Stewart Creek Corrective Measures Workplan was conditionally approved by TCEQ.

Subsequently, a stretch of more than 2,000 feet of Stewart Creek was remediated under TCEQ

oversight.

3. Of the nine solid waste management units on which the RFI was required, certification of

closure was approved by TCEQ in 2000 for the following four units: 1) battery storage area; 2)

old drum storage area; 3) Stewart Creek sediment dredging waste pile; and 4) product waste

pile.

4. Pursuant to the terms of an Administrative Order on Consent entered into between EPA and

Exide under EPA Docket No. RCRA 06-2011-0966, Exide is in the process of implementing an

EPA approved sampling and analysis work plan. Exide submitted a site investigation report to

EPA in July 2012, presenting the results of the sampling, and will be addressing EPA’s

comments on that report as part of Exide’s ongoing site assessment activities. Additionally,

pursuant to a provision in the current RCRA permit, Exide is required to conduct an RFI on the

remaining five solid waste management units (slag landfill; raw material storage area; north

disposal area; south disposal area and Stewart Creek). Pursuant to a proposed Agreed Order

with TCEQ, Docket No. 2011-1712-IHW-E, Exide will consolidate results (and responses to

comments) from these efforts into a single Affected Property Assessment Report (APAR) to

identify the nature and extent of any chemicals of concern (COCs).

2.2.2 Agency Inspections

Throughout the course of its operations, the Exide Battery Recycling facility has been subject to a

number of inspections by environmental agencies. The most recent EPA and TCEQ inspections are

discussed below.

EPA Multi-Media Inspection

The week of December 14 – 18, 2009, EPA conducted a multi-media [RCRA, Clean Water Act (CWA),

Clean Air Act (CAA), and the Emergency Planning and Community Right-to-know Act (EPCRA)]

compliance inspection of Exide’s operations. In addition to the compliance portion of the inspection, a

RCRA Corrective Action case development inspection was also conducted, with a subsequent sampling

inspection conducted on March 29, 2010.

TCEQ 2011 Inspection

On May 6, 2011, May 12, 2011, May 17-19 2011 and June 28-29, 2011, TCEQ conducted an

investigation of Exide’s operations to evaluate compliance with applicable requirements for Industrial

Solid Waste and Municipal Hazardous Waste.

2.2.3 Exide and City of Frisco Agreement

Pursuant to the terms of an agreement dated June 6, 2012, Exide agreed to sell approximately 180

acres of land adjacent to the Battery Recycling facility to the EDC and the CDC. The agreement

requires Exide to clean up the land to be sold to the EDC and CDC to risk-based residential cleanup

standards, with a cleanup level for lead in soils of 250 parts per million, which is one-half of the TCEQ’s

residential cleanup level of 500 parts per million for lead in soils. The agreement also required Exide,

the City, the EDC and the CDC to apply to clean up the land to be sold to the EDC and the CDC under

the TCEQ’s voluntary cleanup program (VCP program). Issuance of a certificate of completion under

the VCP program for the cleanup is a condition to the transfer of the land to the EDC and the CDC. The

portion of the Site to be sold to the EDC and the CDC under the agreement is referred to as the VCP

Parcel and the balance of the Site, which will be retained by Exide, is referred to as the Exide Retained

Property. Exide, the City, the EDC and the CDC submitted an application to TCEQ on October 25,

2012 to remediate the VCP Parcel under the TCEQ’s VCP program to meet risk-based residential

cleanup standards. That application was accepted under the VCP program on December 8, 2012.

Under the terms of the agreement with the City, the EDC and the CDC, Exide agreed to cease recycling

operations at the Site by December 31, 2012. Recycling operations at the Site ceased as of November

30, 2012.

2.3 Work in Progress

Since the announcement of the plant closing, Exide has ceased all Battery Recycling operations;

commenced decontamination (decon) activities; and has begun preparing for demolition (demo)

activities. Key essential activities underway at the Site as of February 1, 2013 are:

Exide environmental personnel are continuing to operate the wastewater treatment system to

treat wash waters generated and operate baghouses for dust suppression during

decontamination and demolition activities as well as conduct other environmental management

activities at the Exide Retained Property.

The Exide decon and equipment removal team is assisting RSI with decontamination activities

at the Exide Retained Property and removing select assets to be utilized at other facilities.

PBW and RSI are preparing to implement the demolition plan for the Exide Retained Property,

which we anticipate will commence by the end of January, as well as preparing to implement

the closure plan under the RCRA permit for the permitted units.

Exide is maintaining utilities, including water and electricity, for the Exide Retained Property.

Under the terms of an Administrative Order on Consent, Docket No. RCRA 06-2011-0966,

entered into by Exide and EPA effective May 2, 2012, Exide is conducting soil and groundwater

sampling at the Exide Retained Property pursuant to an EPA-approved sampling and analysis

work plan.

Note that over time other activities will be underway at the Site.

3.2 Community Concerns

In the past Exide has hosted public meetings, open houses, small neighborhood meetings, and had

contact with local community organizations, such as Frisco Unleaded, and discussions with local and

state officials. Exide recognizes that the level of community interest in the Site and the Project is high.

The measures to be implemented pursuant to this Plan are designed to facilitate communications

between Exide and the community concerning Exide’s plans and establish channels for Exide to keep

members of the community informed of activities and developments on the Site. Further, the

communication lines established by this Plan are intended to provide an opportunity for meaningful input

by the public and to enable Exide to understand and respond to community concerns.

4.0 COMMUNITY INVOLVEMENT ACTIVITIES

The primary objectives of the community involvement activities to be undertaken by Exide are to keep

the community informed of what's going on at the Site and to provide a forum for public input. This

section outlines the actions that Exide will take to facilitate a successful two-way communication

process.

"Community" means residents, businesses, schools, elected officials, local and state agencies,

environmental groups, service organizations, and anyone else who has an interest in the Site.

4.1 Communication Tools

Exide is committed to keeping the public informed and providing an opportunity for meaningful public

comment throughout the Project. As part of this commitment, Exide will utilize the tools presented

below.

4.1.1 Public Website

Exide has a public website (www.exide.com/Frisco) to provide Site-related information and information

on current Site activities. This website will provide Site information such as:

a description and projected timeline for completion of each of the components of the Project;

draft and final work plans;

deadlines for submitting comments on draft work plans;

progress reports for plans being implemented;

Site data;

questions submitted by the public though the website and Exide’s responses to those questions; and

notices of public meetings and copies of documents, slides and information presented at public meetings.

As noted, the website provides a convenient forum for individuals to provide comments on and to ask

questions relating to the Project. It also allows Exide a single forum to respond to the public’s comments

and questions.

Exide has established this website for community input and to receive and respond to questions and

comments that are directly about the Project and the activities that are being initiated in conjunction with

the cessation of recycling operations at the Frisco plant, including the VCP Parcel remediation. Not all

website questions or comments meet this criteria. For example, Exide has received questions that relate

primarily to litigation claims covered in the Notice of Intent to file suit under various environmental

statutes tendered to Exide by Frisco Unlimited and Downwinders At Risk. Exide also has received

questions wholly unrelated to the Project -- such as the request from an out of state resident looking to

sell spent batteries. Exide commits to post all questions and comments and for those that do not meet

the community input/Project activity criteria, to state the reason it is not providing a response.

A link to the Exide public website will be posted to the City of Frisco website.

4.1.2 Information Repositories

In addition to the public website, the public can access site-related documents at an information

repository for the Site located at the Frisco Public Library located at 6106 Frisco Square Boulevard

#3000, Frisco, Texas. The repository will be updated every two weeks.

4.1.3 Fact Sheets

Exide will prepare and periodically publish fact sheets regarding Project progress. The fact sheets will

address technical milestones; the current list of contacts and information repositories; public comment

periods for draft work plans and other documents; and other issues. Fact sheets will be available in both

English and Spanish and located in the ‘Fact Sheets’ link located on the left hand side of the main page

of the website. Fact sheets may also be distributed at public meetings, and will be available at the

designated information repository. Consolidated Fact Sheets may address both VCP Parcel remediation

progress and Exide Retained Property Project progress.

4.1.4 Public Information Meetings

Exide will host, at a minimum, quarterly public information meetings during the Project decommissioning,

decontamination, demolition, corrective action and closure implementation to provide information to the

public about the process and activities. Public meetings hosted under the VCP CR Plan may serve as a

quarterly public information meeting under this Plan. The typical meeting format is expected to consist of

a structured information session followed by an informal opportunity for members of the public to meet

with Exide representatives to ask questions and provide input. As previously noted, the public website

will serve as the forum for formal questions and comments. All public meetings will be held at an

accessible facility in the community. Notices for each public meeting will be posted on Exide’s website

and published in local media sources. Exide’s goal is to provide a 30 day notice for all public meetings,

however given the Project timeline and Exide’s commitment to keeping the public informed, some

meeting notifications may fall short of the 30-day notice period. Representatives from TCEQ and the City

will be invited to each public meeting.

The format of the meetings will allow Exide to present relevant information and updates and member of

the public to have an opportunity to dialogue with Exide representative. Each meeting will follow an

agenda that will be posted on the website and made available at the meeting.

4.1.5 Response to Comments

Exide will respond in writing on the Exide website to written questions and comments that meet the

community input/Project activity criteria (whether posted on the website or provided in writing at the

public meeting), www.exide.com/Frisco. As noted, questions and comments that do not meet the

community input/Project activity criteria will be posted and Exide will state the reason it is not providing a

response. Questions asked during a public meeting formal question and answer period that meet the

community input/Project activity criteria will be answered, to the extent possible, at the time of the

meeting.

Exide has established this website for community input and to receive and respond to questions and

comments that are directly about the Project and the activities that are being initiated in conjunction with

Public notices, which are display ads in newspapers, will also be used to announce public information

meetings. These notices will be in English and Spanish. Newspapers that serve this community are the

following: Frisco Enterprise and The Dallas Morning News. Additional media such as both English and

Spanish broadcasted radio and TV may occasionally be used.

4.1.7 Briefings for Elected Officials

Exide will hold briefings with elected officials to keep them informed of the Project status and timeline

and any significant developments or events related to the demolition and remediation, as requested.

4.2 Project Contacts

Questions and comments should be submitted through the website: www.exide.com/Frisco. This

centralized system will generally expedite responses to the public . Exide welcomes community

inquiries and input relating to the Project throughout the Project. Questions will be addressed in the

order they are received.

APPENDIX A

Glossary of Terms and Acronyms

Affected Property Assessment Report (APAR) – A report used to determine the nature and extent of

chemicals of concern (COCs) by identifying source areas and types of COCs; characterizing the

geological and hydrogeologic properties of the area that influence COC fate and transport; determine

COC migration pathways; and evaluate exposure pathways as applicable

BRSB – Battery Receiving/Storage Building – A RCRA hazardous waste container storage area

CDC – Frisco Community Development Corporation

COC – Chemicals of concern

Community Relations Plan (Plan) - A document that is designed to determine a community's

informational needs and to provide a plan for public involvement during site investigation and cleanup

activities.

EDC – Frisco Economic Development Corporation

Exide Retained Property – The area where the recycling operations of lead-acid batteries and other

lead-bearing scrap took place, as well as other auxiliary systems such as stormwater pond, active

landfill, closed landfill and solar evaporation pond.

Fact Sheet - A brief (typically two to six pages) document written for the public to inform them of various

site activities, project status, comment periods, etc.

Hazardous Waste - Waste substances that can pose a substantial or potential hazard to human health

or the environment when improperly managed. A waste is a hazardous waste if it is listed in either the F,

K, P or U lists, in 40 Code of Federal Regulations (CFR) 261.31, 261.32 and 261.33, respectively; or if it

possesses at least one of the following four characteristics: ignitability, corrosivity, reactivity, or toxicity.

Information Repository - A file containing information, technical reports, and reference documents. The

information repository is usually located in a public building, such as a public library, that is convenient

for local residents.

NAAQS – National Ambient Air Quality Standard

PBW – Pastor, Behling and Wheeler, LLC

RCRA – Resource, Conservation and Recovery Act

Remedial Action - Implementation of the approved remedy.

RFI – RCRA Facility Investigation

RMS – Raw Material Storage Building – A RCRA hazardous waste containment building

RSI – Remediation Services, Inc.

Texas Commission on Environmental Quality (TCEQ) - The leading environmental agency for the

state. TCEQ is charged with the responsibility of overseeing the investigation and cleanup of sites

contaminated with hazardous substances.

APPENDIX A

Voluntary Cleanup Program (VCP) – Provides administrative, technical and legal incentives to

encourage the cleanup of potentially impacted site in Texas that are not subject to response action, an

order, or permit from TCEQ.

VCP Parcel – Approximately 180 acres of land adjacent to the Exide Retained Property, to be sold to

the EDC and CDC, following issuance by the TCEQ of a Certificate of Completion under the VCP

program.

U.S. Environmental Protection Agency (EPA) - The leading environmental agency for the country.

EPA is also charged with the responsibility of overseeing the investigation and cleanup of sites

contaminated with hazardous substances.
