applicant proposed to be employed;(5}{d}(v) profile of sub-contractors, if any, along with expressions of interest of
such sub-contractors; and(5)(d)(vi) verifiable references in respect of the experience of the applicant and
its proposed sub-contractors;5. Eligibility criteria.-(1) The Authority may, in considering an
application for the grant of a licence, take into account such factorsas may be deemed relevant by the Authority, including the following:
5.(1)(a) business experience of the applicant, its management staff,sub--contractors, engineering and technical staff in the electricpower industry, if any;
(1)(c) the ability of the applicant to comply with the conditios of the licence; .

the Authority is of the view that in case KEL is forced to carry out the
conversion at its own cost which has been persistently denied it is likely to
delay the conversion for indefinite period. thereby denying the advantage of
coal conversion to its consumers and saving of about U.S. $ 350.00 Million
per annum to the National Exchequer. In view. thereof the option under the
proposed LPM seems pragmatic and in the interest of the consumers. In view
of the foregoing the real question before the Authority is whether to allow
conversion of Unit-3 and 4 of BQPS-I on coal through KEPL or let the current
status quo continue for an indefinite period. The Authority may leave the
things as they are and wait for KEL to improve its financial health to an extent
where its credit worthiness is acceptable to lending agencies. However that
would not provide any comfort to the consumers of KEL as they would
continue to be required to pay the high tariffs which would be expected to go
even higher after the relatively cheap energy from NTDC is not available.
Authority has also reviewed the operational performance of Unit-3 & 4 of

closed since then reportedly due to~tec~l1icalpro~lems: The Authority has an
option to direct KEL to undertake the repair and maintenance of units as that
would be less expensive. However, the same would retire in 10-11 years as
compared to the proposition that same are converted to coal having useful life
to at least twenty (20) years extendable for another ten (10) years thereby
resulting in cheaper electricity for a much longer period. Moreover, this option
would also not result in any relief for the consumers as in the absence of gas
availability the plants would continue operating on furnace oil. The Authority
notes that on the basis of the Information contained in the financial
statements and other statements made by KEL on record, the stance of KEL
may not be out rightly dismissed. The Authority has observed that the
conversion of oil-fired power generation plants to coal operation is in line with

All stakeholders, interested/affected persons/parties and the generalpublic are notified that the Authority has admitted the Application ofKEPL for consideration of grant of Generation Licence with acumulative installed capacity of 420.00 MW. KEPL l'as proposed CoalConversion of Units 3 & 4 of Bin Oasim Power Station-I (BOPS-I) of K-Electric Limited (KEL), currently operating on Furnace Oil. Further,KEPL has informed that it will be Operating and Maintaining the saidUnits for a period of twenty (20) Years through a long term LeaseAgreement with KEL.
(2}.A Notice of Admission of the above mentioned application waspublished in the Newspaper5 (i.e. The New5 & Daily Express) on April30, 2014, seeking comments of the general public and otherinterested/aHected parties in favor or against the grant of GenerationLicence to KEPL. Furttler, separate notices were also issued toIndividual Experts, Government Ministries/Departments andRepresentative Organizations on May 02, 2014, for submilling theircomments/views in the mailer for the assistance of the Authority. Inresponse to above, the Authority has received comments fromdifferent stakeholders, interested and affected parties.
(3}.The AuthoriiY has considered the comments of the stakeholdersand has decided to further deliberate the matter by oHering anopportunity of being heard to all stakeholders, interested, aHectedparties/persons and general public by arranging a Public Hearing interms of Rule 3(4) of the NEPRA licensing (Generation) Rules, 2000.Accordingly, the same is being scheduled as per the following:-

With kind reference to the advertisement in the National Newspapers on April 30, 2014 on the abovesubject.
We would like to record our viewpoint/objections on the proposed project as follows:
1. Emissions:Today, Pakistan is facing sanctions from World Health Organization for violating the UN/WHO guidelinesfor the Polio vaccine. If, the provisions of the UN2 C resolution are not addressed by Pakistani CoalProjects, we see numerous Country Sanctions looming against Pakistan such as:• UNIDO funds withdrawal.• UNESCO funding withdra'vval.• In fact, the danger is explicit that all UN Funding will be frozen.
As the NEPRA is approving Coal Projects in DIRECT CONFLICT with the UN 2 C Regulations, we seegrave danger for Pakistan as there are numerous other US/EU/Japanese Regulations which willseriously affect Pakistan's Exports to these countries. We invite you to see the "LEEDS" Rules nowsteadily being placed on Pakistani Exporters by foreign buyers.
Without considering the EIA prepared by a world class Consultant whose EIA Report MUST be checkedand certified by SGS/German-L/oyds etc, to be fully compliant to all UN/EU/US laws no steps must betaken by NEPRA for entertaining the K-Electric request for generation License.
2. Piant Efficiency
The Power Plant principally comprises of:• Steam Boiler
Steam Turbine
The Electrical efficiency of the K-Electric Power plant with HFO did not exceed 34% at any time.
To increase the efficiency to 39.5% (required by UN) the Boiler and Steam Turbine MUST be changed.
K-Electric is simply changing the Boiler which means that the efficiency will remain the same as for HFOBoiler at a dismal 34%.

The study, drawing on thework of more than 1,000experts, said a shift from fos-sil fuels to low-carbon energysuch as wind, solar or nuclearpower was affordable andwould shave only about 0.06percentage point a year offworld economic growth.
"We have a window ofopportunity for the nextdecade, and maximum thenext t\l'O decades" to act atmoderate costs, said OUmarEdenhofer, co-chair of aBerlin meeting of theIntergovernmental Panel onClimate Change (lPCC).
"I'm not saying it's cost-less. I'm not saying climatepoli~y is a free lunch. But it'sa lunch worthwhile to buy,"he said.
The report, endorsed bygovernments, is meant as themain scientific guide fornations working on a U.N.deal to be agreed in late 2015to rein in world greenhousegas emissions that have hitrepeated highs, led by China'sindustrial growth.
Governments have prom-ised to limit temperaturerises to a maximum 2 degreesCelsius above pre-industrialtimes to avert ever more heatwaves, floods, droughts andrising sea levels that theIPCC says are linked to man-made warming.
IPCC scenarios showedthat world emissions of green-
house gases would need topeak soon and tumble bybetween 40 and 70 percentfrom 2010 levels by 2050, andthen close to zero by 2100, tokeep I.~mperatures below 2C.
Such cuts are far deeperthan most governments areplanning.
"Ambitious mitigationmay even require removingcarbon dioxide from theatmosphere," the IPCC said.Delay in acting to cut 'emis-sions until 2030 would forcefar greater use of such tech-nologies, a 33-page summaryfor policymakers said.
If countries delay, theworld will have to deploy lit-tle-tested options, saidEdenhofer, a German scientistfrom the Potsdam Institute forClimate Im'pact Research.
One method mentioned by
the IPCC is to burn wood,crops or other biomass to gen-erate electricity and capturethe greenhouse gases from theexnaust fumes and bury themunderground.
The experimental technol-ogy would reduce the amountof carbon in a natural cycle ofplant growth and decay. Butthere are risks, for instancethat vast areas of land will beneeded to grow biomass, dis-placing crops and pushing upfood prices. '
Simpler methods toextract greenhouse gasesfrom the air are to planttrees,.lVhich soak up green-house gases as they grow.

UN Climate Chief Tells Coal Industry 'Leave It in the Ground'
W ARSA W, Poland, November 19, 2013 (ENS) - "The coal industry can and must radicallytransform and diversify to avoid the worst impacts of climate change," the United Nations' topclimate official told the CEOs of major coal companies Monday in Warsaw.

Christiana Figueres told executives of world's largest coal producing companies, senior policymakers, business leaders and academics, "Let me be clear from the outset that my joining youtoday is neither a tacit approval of coal use, nor is it a call for the immediate disappearance ofcoal. But I am here to say that coal must change rapidly and dramatically for everyone's sake."
Figueres serves as executive secretary of the UN Framework Convention on Climate Change,which is holding its annual climate change negotiations in Warsaw. There are now 195 StatesParties to the Convention and 192 Parties to its Kyoto Protocol, which limits the greenhouse gasemissions of several dozen industrialized countries and expires in 2020.
The question of what happens beyond 2020 was answered by Parties at climate talks in Durban,South Africa in 20 I I.
There governments agreed to deliver a new and universal "greenhouse gas reduction protocol,legal instrument or other outcome with legal force" by 2015 for the period beyond 2020.
The negotiations in Warsaw this ye'ar and in Lima, Peru in 2014 are supposed to lay thefoundation for universal adoption of a new legally-binding agreement in Paris in 20 IS.
Speaking at the International Coal and Climate Summit, organized by the Polish government andthe World Coal Association, Figueres urged the coal industry to honestly assess the financialrisks of business as usual, to anticipate increasing regulation, growing finance restrictions and
diminishing public acceptance and to leverage technology to reduce emissions immediatelyacross the entire chain of coal output.

"The coal industry has the opportunity to be part of the worldwide climate solution byresponding proactively to the current paradigm shift," said Figueres.
She called on the coal industry to begin this transition by closing all existing subcritical plants.
These are the least efficient coal-fired power plants, which emit more than 900 grams of thegreenhouse gas carbon dioxide per kilowatt hour. Some experts say that would mean closingabout three quarters of operational coal-fired power plants around the world, some 1.3 millionsubcritical plants.
The vast majority of installed plants still use subcritical steam conditions, and cannot reachperformance levels of state of the art technology. In fact, the total capacity of installed subcriticalcoal-fired power plants reached a record high over the last five years, according to a 2012 reportfrom the International Energy Agency.
Figueres urged the coal industry to implement safe carbon capture, use and storage systems onall new plants, even the most efficient, and to "leave most existing reserves in the ground."
. .'"These are not marginal or trivial changes, these are transformations that go to the core of thecoal industry, and many will say it simply cannot be done," said Figueres. "But the phrase'where there's a will, there's a way' is tantamount to human history because will precedesinnovation, and innovation precedes transformation," she said.

Demonstrators from Friends of the Earth Europe and Youth Friends of the Earth Europe gatheredoutside the building to make the point that there is no such thing as clean coal. They and manyother environmental groups have signed the "People's Declaration on Coal," demanding an endto all new coal projects and for the United Nations to get coal out of the climate talks.
Godfrey Gomwe, chair of the World Coal Association's Energy and Climate Committee andchief executive of Anglo American Thermal Coal, responded, saying that the WarsawConference of Parties, known as COP 19, "is an important step towards what we all hope will bea comprehensive climate agreement in Paris in 2015."
"The urgency of acting on climate change was highlighted by the release of theIntergovernmental Panel on Climate Change report on climate science this September," saiddGomwe. "That report highlighted the urgent need to limit emissions of carbon dioxide if we areto limit global temperature rises below 2 degrees. It highlights the need to ensure that we doreach a new agreement in Paris in 2015."
Referring to the 2009 Copenhagen Accord, which aims to balance the objectives of addressingclimate change and eradicating poverty in the developing world, Gomwe said, "These issues arcinextricably linked. The world's least developed countries need access to low cost energy, butthey are also the most vulnerable to the impacts of policies aimed at reducing anthropogenicgreenhouse gas emissions."
Gomwe call~d on the international community to recognize that much ot: the developing world isturning to coal to fuel development.
"We need to help them do that in the cleanest way possible," he said. "We must, and we can,reduce emissions from burning coal for e1cctricity."
"The technology exists to significantly reduce C02 emissions from coal. Modern, highefficiency, low emission coal fired power plants emit significantly less carbon dioxide than
older, less efficient plants," said Gomwe. "A one percent improvement in efficiency results in atwo to three percent reduction in C02 emissions."
"If we were to raise the global average efficiency of coal plants from its current average of 33percent up to 40 percent we could reduce global carbon emissions by more than two gigatonnes _that's the equivalent of running the Kyoto Protocol three times over," he exclaimed.
"Modern highly efficient plants are also a key step towards near zero emissions from coalbecause they can be built ready for the deployment of carbon capture and storage technology,"Gomwe said.
Figueres also called on the industry to diversity its portfolio beyond coal, noting that the bottomline for the atmosphere is that "most existing coal reserves will have to stay in the ground."
"Some major oil, gas and energy technology companies are already investing in renewablcs, andIurge those of you who have not yet started to do this to join them," she said. "By diversifyingyour portfolio beyond coal, you too can produce clean energy that reduces pollution, enhancespublic health, increases energy security, and creates new jobs."

When GenOn Energy (now part of NRG Energy) announced in March 2012 that it would retire the1950s-era coal-fired Shawville Generating Station in western Pennsylvania-blaming the impendingt."ercury and Air Taxies Standards (MATS)-the reaction was swift and bitter.
"Pragmatic energy policies should not guillotine coal from the nation's energy grid," then-stateRep. Bud George, who represented the area, said at the time. "Unfortunately, reasonable policiesthat would address valid health concerns while keeping coal and the Shawville plant in thelong-term r-nix for energy viability were not pursued."
Local officials were understandably concerned about the 73 jobs at the four-unit, 597-MW plant, theapproximately $225,000 the plant contributed in local taxes, as well as the impact on area electricreliability.
It was a story familiar to many small towns in coal country, where stacks like those at Shawville havebecome part of the landscape, and local residents have come to view decades-old plants as some·tiling permanent. Shawville was built by Pennsylvania Electric Co. in the early 19505, first comingonline in 1954. The plant was sold to Sithe Energies (now Sithe Global) in 1999, and by Sithe toReliant Energy the following year. (Reliant's later mergers and restructuring would leave the plantowned by GenOn.)
To meet MATSwhile still burning coal, Shawville would have required expensive emissions controlsthat were not justified by the plant's economics. Thus, GenOn made plans to retire ShaV'Nille in2015 before MATS compliance rules kicked in.
Fast·for.n,rard two years, and things have changed. GenOn was acquired by NRG Energy, and abun-dant natural gas in Western Pennsylvania has made gas-fired power too attractive to pass up.
In late June, NRG announced that Shawville was being given a new lease on life-with gas.
AS David Gaier, NRG's spokesperson for its east region, explained to POWER, the conversion will bevery' simple: new burners will be added to the boilers to allow the plant to run on natural gas.Shawville will retain the ability to burn coal, and the only other changes will be building a pipeline

First of all it is not proper on the part of the Authority to deprive the people of
Karachi from participating in proceedings which affect their very existence. The
objection has been raised a number of times and the Authority had promised to
hold hearings affecting Karachiites at Karachi.

This deliberate effort to favour K-Electric and K-Energy by shutting out the
consumers of K-Electric, who obviously cannot afford the expense and/ or time
of travelling to Islamabad to safeguard their interest, raises serious questions

I would have attended the Public Hearing in person on 12.08.2014 to assist the
Authority to arrive at a just and informed decision but the current volatile
political situation and the shutting down of the cities of Lahore and Islamabad
make it impossible for me to travel to Islamabad on 12.08.2014.
T request that information about the guaranteed availability of ALL power
producing Units of K-Electric, as originally licenced and subsequently modified
by the Authority, be provided to me. It is submitted that this is necessary since
the under consideration application is an Application for the grant of
Generation Licence by K-Energy in respect of Power Plants included in the
Generation Licence of K-Electric.
It is further submitted that this Generation Licence Application is an outcome
of the in principle approval of the Licencee Proposed Modification (LPM) of K-
Electric to exclude the BQPS Units 3 & 4 from its Generation Facility and to
lease out the same to K-Energy for conversion to coal and thereafter supply of
tectric power from these Plants to K-Electric.
Sir, K-Electric (formerly KESCL) \vas gIven a target to increase its installed
capacity by 1000 MW through rehabilitation of its existing Power Plants and by
installing new Power Plants. For this purpose, the Government of Pakistan gave
a substantial amount (under FIP) under the Privatisation Agreement to
K- Electric: but K- Electric has failed to add new Generation Plants. Instead,
it has replaced its existing Power Plants, which is not the intended use of

Government of Pakistan funds to K-Electric for addition of Generation capacity.
The exclusion of BQPS Units 3 & 4 from K-Electric Generation Licence will
further decrease the Generation capacity of K-Electric.
NEPRA has, in principle, approved the LPM of K-Electric to exclude BQPS
UnitS 3 & 4 for their leasing to K-Energy, subject to the grant of a Generation
Licence to K-Energy. One of the basic parameters to approve or disapprove the
LPM by the Authority is "impact on tariff'. In the case of the proposed
modification, this has not yet been determined by the Authority. Hence, prior to
proceeding further, this needs to be determined by the Authority.
In this regard, the Chairman's message in the Annual Report 2012-2013 of
NEPRA is most material and relevant. In the interest of the consumers, I
request that before proceeding further, NEPRA should ask K-Electric to provide
details of the consumption of the FIP funds for the rehabilitation of BQPS Units
3 &4.
NEPRA must have a cost-benefit analysis of the proposed changes carried out
before making a decision about the same. The Authority must ensure that
there is no physical progress prior to granting formal approval in respect of the
LPM and the grant of a Generation Licence to K-Energy, if the grant is found to
be warranted. Given the track-record of KESeL, the Authority must satisfy
itself and have a Site fnspection Report to see whether K-Electric and K-Energy
are already doing what they are seeking permission to do, and which they
cannot do without the prior approval of the Regulator.
The Authority will recall that under the Multi Year Tariff (MYT) granted to
KEseL prior to its privatisation, the arrangement was a "closed and locked"
transaction. By opening and unlocking the arrangement post-privatisation,
the Authority has stepped onto a treacherous and slippery slope to the utter

disadvantage of the consumers, who the Authority was mandated by law to
protect. The Authority is requested in the public interest to make just and
informed decisions and not to become a captive tool in the hands of clever
manipulators, be they inside or outside the Government.
I request that the Public Hearing scheduled at 11 :00 A.M. on 12.08.2014 be
adjourned in the public interest and this Public Hearing be held at Karachi to
enable and facilitate the consumers of Karachi to participate meaningfully in
the proceedings. In my humble opinion not to do this is to negate the very
purpose of holding Public Hearings, mandated by the NEPRA Act, 1997 itself.
The Authority's decisions have to be consistent with the outcomes of Public
Hearings!

generation which will be actually managed by some other parties and
not K-Energy on the proposed Generation Project. This is apparent
from the formation of board of the company. Five out of sevendirectors are forieners the two Pakistani gentlemen are not at allknown in business sector in Pakistan especially in power sector. Itseems the gentlemen having one percent share are just for the namesake only. Two units are being leased out for 20 yeas at a very lowrent without any security. High tariff have been suggested. K-Energy
will not have sufficient space for stocking of coal. The entire labour ofKESCpresently working on these units will go idle.
3. The undersigned as a shareholder of KESC feel that the project ofgeneration to be taken up· by K-Energy should be taken by KESC
themselves. Majority of the share holders voted against leasing out.
4. The authority is therefore, requested to please hold a public hearingin Karachi on the above subject, so that it can have input from all theother stakeholders. In my opinion K-Energy not suitable company forgeneration license.
5. I would like to present further argument again the suggested issues ofthe license to K-Energy when the public hearing is conducted by theauthority in Karachi.

SITE Association of Industry represents the largest industrial hub of Pakistan - the SITEIndustrial Estate where about 3000 industrial units me operating to cater the nationalneeds and exports to bring valuable foreign exchange in Pakistan. SITE is the largestemployer of inQustrial workers in the country and it is earning 38% of the whole revenue
of Pakistan.
Since, K-Electric IS playing the crucial role in the whole economic activity of SITEindustrial area, SITE Association of Industry is pleased to issue this Business SupportLetter with reference to the K-Energy's flagship coal conversion project in Port Qasimwhereby the utility has been working to convert its two units currently based on furnace
oil to coal.
K-Energy Limited has specifically been formed to undertake the coalconversion venture. The project demonstrates KESC's commitment to pioneer coalconversion of power plants in the country, and is in line with KESC's vision to bringdown power tariff by utilizing low cost fuel sources for electricity generation. Theproject would result in generation of reliable and cheap electricity for the advantage ofthe citizens of Karachi. The conversion project would also directly benefit the country'seconomy since this would replace power generation by expensive furnace oil therebysaving on account of oil import bill through utilizing coal at significantly cheaper price.
As we understand, the project company has filed application for issuance of generationlicence with NEPRA and has also submitted Tariff Petition with the Authority. Thecompetent authority had scheduled a hearing for Generation License on 1ill August,2014 in Islamabad which was delayed due to the constant protests in the Capital and was

rescheduled for September 5, 2014. Unfortunately, the hearing was further adjourneduntil further notice and henceforth any decision in the matter is pending.
As the country continues to face increasing energy crisis, the delay at NEPRA's end isbeyond comprehension and unfavorable to the public at large. We would, therefore, liketo register our serious concern that the whole process of regulatory approvals includingK-Electric's LPM, issuance of generation license to K-Energy Limited and tariff.approvals for the project company has already' been substantially delayed (more thanaround two years as per our understandin'g) beyond the given timeframe under NEPRARules and is being further delayed at the whims and wishes of anti-social elements.
We would like to request the Authority not to deprive the country of such a beneficialproject and kindly expedite its decision-making process for grant of Generation Licenceto K-Energy Limited and related other tariff approvals. We believe that thegroundbreaking of this first of its kind Project in Pakistan is only waiting approval fromNEPRA.
SITE Association of Industry would highly appreciate and welcome if the hearing in thematter is fixed at the earliest possible for grant of Generation Licence to K-EnergyLimited.

2. In this regard, it is stated that a developed, robust and broad-based capital market plays important / Y),role in the growth of economic development of a country. Primary purpose of a capital market is to bringtogether the corporates that need funds to meet their financial requirements for financing their projec~ts 0.. V,and the investors that have surplus funds and looking for the investment avenues. )-.YblfJl13. SECP being the apex regulator of the capital market and the corporate sector is continuouslyworking for the development of the domestic capital markets and the corporate sector. But in this ~I Yendeavor, other regulatory authorities like NEPRA can playa vital role. NEPRA regulates the power / v'1l<sector which is a significant segment of our corporate sector. The companies that fall under the ambit of /\"NEPRA on one hand may contribute in the development and broad-basing of our capital markets and on ~the other hand can be benefited from the capital market by using it as an additional avenue for fund~raising. Whenever a company decides to raise fund form the capital market through issue of shares, the~ompany needs to be listed on a stock exchange so that the shareholders is provided a market for trading \t\\~III shares. IlJf4. Listing of companies on the stock exchanges has many benefits. Listing not only enables thecompanies to tap this additional avenue for fund raising but also build up investor's confidence andimproves credentials of such companies as after listing, quality of the disclosures and reporting isimproved and the companies get exposure to the international investors. Listing also enables thecompanies to minimize their dependence on the banking sector and thus surplus resources of banks maybe diverted to the development of inactive sectors of1he economy like the SME and agriculture sectors.

In view of the foregoing l'E~ attention is drawn towards our letter of even number datedAugust 2, 20 II (Annexure-I) and suggest that if a Generation License is granted to the Company. acondition may please be imposed requiring the sponsors of the Company to get the Company listed onany domestic stock exchange within a period of say two years from the date of commencement ofbusiness by the Company.

Subject: ENCOURAGEMENT OF NEW LISTINGS ON THE DOMESTIC STOCK EXCHANGE
Dear Sir,
As you know that a developed stock market plays a pivotal role in the development of the economyof a country. The primary purpose of a stock market is to bring together the corporates that need funds tomeet their financial requirements fot financing their projects and the investors that have surplus funds andlooking for the investment avenues.
2. Listing on a stock exchange not only enable the companies to tap this additional avenue [or fundI .
raising but also build up investor's confidence and improve credentials of such companies. Through listing ofcompanies on the stock exchanges, quality of the disclosures and reporting is improved. Listing also enablesthe companies to minimize their dependence on the banking sector and thus surplus resources of the banksmay be diverted to the development of inactive sectors of the economy.

[t might be in your knowledge that currently there are around 59,430 companies that have beenincorporated with the Securities and Exchange Conunission of Pakistan under the Companies Ordinance,1984 but the number of listed companies is 638 i.e., around 1% which is not an encouraging omen. Throughthe Finance Act, 2011, the Govemment of Pakistan has announced a tax holiday for five years for newprojects and BMRlexpansion provided such projects' are financed entirely through equity. Capital marketprovides an opportunity to corporates to raise funds for meeting their equity needs.
4. One of the requirements for listing of a company on a domestic stock exchange is that such companyshould have paid up capital of atleast RS.200 million. Out of the total 59,430 companies there are more than660 unlisted companies each having paid-up capital of Rs.200 million and above. The said 660 companiesinclude major giants of power sector regulated by the National Electric Power Regulatory Authority(NEPRA). List of some of such companies is attache~ herewith at Annexure-I.
5. In order to discuss the ways to motivate the managements of these companies for listing on the localstock exchanges, the Commission intends to have a meeting with NEPRA. You are, therefore, requested tokindly give us elate/time for the said meeting as per ydur convenience.

Transparency International Pakistan has received a complaint about venue of public hearingsat Islamabad, in the Matter of Application of K-Energy (Pvt) Limited (KEPL) for the grantof Generation Licence, and hearing Monthly Fuel Adjustment Charges which was to beheld at Islamabad on 12.08.2014, but have been postponed.
According to the complaint, NEPRA has been reportedly taking discrin1inatory n1easures tobenefit KESC, new K-Electric, at the cost of Consumers, over 1.2 n1illion, who all arelocated in Karachi, but NEPRA is designating the venue of public hearing at Islamabad,.

In order to play a neutral role as regulator, NEPRA should hold all public hearings on allmatters of K-Energy (Pvt) Limited (KEPL), not in Islamabad, but at Karachi.S.R.O. 1399 (I)/98. National Electric Power Regulatory Authority (Tariff Standards andProcedure) Rules, 1998 Section 9, subsection 11 permits NEPRA to hold the hearing at adifferent location than Islamabad.

It is the statutory duty of the Authority to decide all cases judiciously and to protect theinterest of all parties, specially the consumers, who generally do not have any effectiverepresent;ltion (;It least in Pakistan, mainly due to time and resource constraints). Theresponsibility of the Authority to protect the consumers' interest is far greater because theInvestors invariably carry out the feasibility studics of their projects through leadingnational/international consultants at costs reimbursable by the consumers through tari rr. Theconsumers h;lvc no such facility. In the circumstances, the Authority should either by itself urby appointing a consultant, ensure that its Decisions do not adversely aflcct the nationalexchequer and consumers. The failure of the Authority to advert to this aspect is obviouslyharmful if some past decisions of thc Authority in the mattcr of LPMs of K-Elcctric areexamined. Allowing K-Electric to burn pipeline quality gas ill its l1l:wly inducted Power Plantin an in-efficient manner is one example: such approv;lls arc against the intcn;st of thecountry and the consumers of electricity.
The case for today's hearing is that K-Energy has submitted an application for the grant orGcneration Liccnse tor 2x2 IOMW = 420 M W Power Plant. The Pm,ver Plant for which K-Energy has applit.:d for the grant of the Generation License is presently a part of theGeneration Lkense of K-Elcctric. These two Units C:1n be operated on dual 1'1Il:li.e. by usingRFO, Gas ur RFO and Gas simultaneously.
These Units along with other Units have been rehabilitated in thl: recent p:1st by usingGovernment of Pakistan funds under its Financial Improvement PIJn (FIP). Needless to sayGOP funus are tax payers' money.
Further, K-Ekdric had earlier applied lor a Licensee Proposed t.."lodification ill its GcnerationLicense whereby it proposed thc leasing out of two Units (Unit NO.3 & 4) or Bin QasimPower Plant (BQPS-I) to K-Energy and conversion of these Units on RFO/G:1s based rueltoCoal based fud. On 22.0H.20 13 the Authority has approved tile proposed J11odi!ic<ltion of K-Ekctril.: 'in-principle' for excluding Unit-3 & ·1of 13QPS-l from the already grantcuGeneration Liccnse No. GL/O.:l/2002, dated November 18,2002 along with subsequentamcndment. I lowever, it was a purdy subjective and arbitrary approval.
It is submitted that there is no provision or 'in-principle approval' of Licensce ProposedMudillcation (LPM) in the applicable docull1cnts of NEPI{A. Tile Autllority can eitherapprove the LPM with or without the changes vide Regulation 10 (11 )(a) of the ApplicationModification Pro(;edure Regulations, 1999 or it may refuse the LPM vide RegulationIO(Il)(b) of AMPR, 1999. The concept of 'ill-principle approval' is new and not cunsistentwith the pruvisions 0 I' the Regulations.
It is submitted that all proceedings which K-Electric, K-Encrgy, the I\cgulalor, thePrivatization Commission and all Share holdt:rs, including the Govt. of Pakistan, have held solar in this proposcd 'leasing out' of two Units of 13QPS-I and their convt:rsion to Coal basL:dlile1 from existing RFO/Gas based fuel over riding the conct:rtls :1nd objections or theCommentators/consumers be made public to ensure transparency. Non provision ofdocuments under the garb or confidcntiality would le:1d to the inescapable conclusion th,ltthere is collusion bet ween all the re k:vant agencies.

• details of loss to be borne by consumers if K-Encrgy is allowed to bum coal In-efficiently in old Power Plants of low efficiency (30 to 32%);
o details of remaining life of BQPS Units 3 & 4, which were commissioncd ill 1089 and1990 l'l:spectively;
• provision of details or costs to be incurred 1I1 the proposed converSIOll Vlz-a-VlZinduction of new Power Plants;
• provision of a study to show whether the investment of K-em:rgy in the proposedconversion of an in-efficient Plant is mol'\.: feasible than commissioning of a newPower Plant keeping in vil:W the fact that such conversion is not addillg allY capacityin the system;
• carrying out of a study to determine that there is no issue of availability of Generationcapacity in the country and the only issuc affordability. If thc answer is 'yes', thenwhy high cost Wind, Solar and RrO Generation is being approved/considered by theRegulator;
• provision of a detailed study of the Coal Supp!y/Purl.:hase Agreement including coalhandling and coal transportation arrangcments and costs lor the proposed PowcrPlant;
• obtaining details regarding thc efforts made to ensure non-volatility of coal pricesrequired by the Plant during the cntire remaining tcrm of its uSl:fullik/opL'ration;
• obtaining details as to whethcr EPA Simlh has given permission fur till': operation ofthis Plant on coal as this Plant is kKated in a thickly populatt:d industria! area;
• obtaining details with regard to ash disposal ami any recurring costs during theoperation of the Plant; and
• studying the impact/cfTed of the proposed arrangcment on the Workcrs or K-Electric. espccially those cmployed at the two Po\\'er Plants proposed to be taken onLcasc, must be examined bcllm.: proceeding further.
A lllcaningful hearing is only possible after detailed Issues arc li'amed amI cUllllllunieated tothe stakeholders along with documents/information provitkd by the Applicant, and that toowell be/orc the next public hearing.
It is submitted that based on the track-record of KESCLlK-Elcctrie, consumers have alreadyrequested the Authority to ensure that there is no physil.:al progress prior to the grant ofGeneration Liccnse to K-Energy , if the grant is fuund to be warranted. Since n0 operationaldata is available as to whether BQPS- 3 & 4 arc supplying power or 1I0t, the J\utllOrity must

ensure that these Plants remain operational and should not be got modified until and unless itis allowed by the Authority after observing all Rules and Regulations.
In the facts and circumstances narrated above and the concern of the Regulator regardingconversion viz-a-viz new induction, it is requested that Issues be framed and conveyed and apublic hearing be held thereafter in Karachi. This may graciously be done after allowingsufficient time to file responses to enahk the Authority to come to a just and informeddecision. It appears that on the present record the Authority is not in a position to do so.

modification, this has not yet been determined by the Authority. Hence, prior to

manipulators, be they inside or outside the Government.
I request that tile Public lIcnring scheduled at 11:00 A.M. on 12.0R.2014 \)<.;
adjourned in the public interest and this Public Hearing be held at Karachi to
enClble and f8cilitate the consumers of Karachi to participate meaningfully III
the proceedings. In my humble opinion not to do this is to negate the very
purpose of holding Public Hearings, mandated by the NEPl~A Act, 1997 itself.
The Authority's decisions have to be consistent with the outcomes of Public
Hearings!
