Dear all Professional Colleagues and Seniors of Profession,I sincerely thank to all members for giving me opportunity to serve the profession as Chairman of Ahmedabad Chapter of ICAI. It is my pleasure to communicate with all of you for the first time in the capacity of Chairman of Ahmedabad Chapter of ICAI.
I ,heartily congratulate CMA Ashish Bhavsar, CMA Manish Analkat, CMA Utkarsh Yagnik and CMA Hetal Shah for being elected unanimously as Vice Chairman, Hon. Secretary, Treasurer and Joint Treasurer respectively of Ahmedabad Chapter. I also congratulate to other committee members and invitee for being part of management committee of Ahmedabad chapter. With this strong team and with support from all of you, we will put in our best efforts to serve the
profession during the year. I am blessed to have the guidance from all the seniors of our profession. They may rightfully correct me whenever they feel so. I am also delighted to inform you that CMA Pradip Desai is elected as Regional Council member as well as elected as Vice Chairman of the Western India Region Council. I heartily congratulate him.
The Ahmedabad Chapter has won the best chapter award in Category – “A” in WIRC for the year 2014-15 under the leadership of Chairman Shri. R.B. Kothari. I congratulate CMA R B Kothari for his contribution in the last two years in the progress of our chapter. For institute like ours, performance is counted by way number of activities carried out in the interest of Members and students over and above Balance Sheet and Profit and Loss figures, which are simply number. Being in a leadership role this year, I will devote time for our profession. I shall be always available on telephone and email as in the past.
Students: Every year chapter is organizing Advance Excel Training which is latest requirement of the industries, the same will remain continue for the current year also. I am also happy to inform that Chapter is also organizing industrial training, soft skill and group discussion program for the students of final and intermediates. The chapter is also organizing 15 days orientation program for the final pass out student in June, 2015 exam for the campus placement organized by the institute in October, 2015. 38 fresh CMAs has participated in the program. The program was grand success and I am delighted to inform that 6 candidates has selected in campus placement held at Mumbai and they have been offered salary package between Rs.4.50 lacs to Rs.7.50 lacs. I assure you that the same initiative will be taken in future also. Result of the Ahmedabad chapter for June, 2015 exam is encouraging. 53 students has completed final and 57 students has completed intermediate. I heartily congratulate all the student for their success. I also assure that oral coaching activity at the chapter level will be more strengthened to improve the results at chapter level.
Members:- Ahmedabad Chapter has successfully conducted various CEP programs, i.e. The Companies Act, 2013, The Companies (Cost Records and Audit) Rules,2014, Internal Audit & Health care cost management , XBRL. As part of professional development our
thinstitute has announced Corporate Cost Management week 2015 during 12 thOctober,2015 to 18 October,2015.The theme of the program is “ Business Excellence
Through Cost Management”. We will also organize same program as part of celebration within that period. Details of the program will be announced soon. I request all the members to take advantage of CEPs organized by Ahmedabad Chapter on topics of importance for profession as well as to improve the knowledge and skill of our self.

He was treasurer of the chapter from 2010-11 to 2012-13. He was also secretary of the chapter from 2013-14 to 2013-15.

A CEP program on Health Care Cost Management
ICAI Ahmedabad Chapter has organized one day CEP Program on “Health care Cost Management” on 5th July'2015 at Chapter office. CMA Ashish Bhavsar, Vice Chairman of Chapter, welcomed Ms. Nisha Diwan, Jt.Secretary, Mr. Natrajan-Faculty for the program and members present. CMA Nisha Diwan- Jt. Secretary given introduction of Mr. Natrajan, Faculty. She also appealed to members to join Benevolent Fund scheme and describe advantage of scheme. Mr. Natrajan, Faculty submitted his presentation by highlighting health care cost management concept and system. He says there is a need to have systematic and scientific costing system in the hospital.
CMA Manish Analkat, Secretary of ICAI-Ahmedabad Chapter proposed vote of thanks.
Around 45 members have participated in program.
Inauguration Functions of Oral Coaching Classes
ICAI, Ahmedabad Chapter has organized inauguration function of Oral Coaching new batch and felicitation of meritorious students of Dec-14 exam on 16th July'2015 at Haribhai Auditorium. Shri Nitinbhai Parekh, Group CFO, Cadila Healthcare Ltd. was the chief guest.
CMA Hetal Shah Jt Treasurer of Chapter welcomed the Chief Guest, Managing Committee Members, faculties, students and parents. Next was the prayer and lighting the lamp by dignitaries
Thereafter, CMA Vinod Savalia Introduce the Chief Gust Shri Nitin Parekh., B. Com., LL.B., CA, CFA, MBA from IIM, Ahmedabad MBA in Pharma Management and rank holder in CA, CFA etc. CMA Vinod Savalia also briefly described the activities of chapter. He emphasized that the chapter has entered into 50th year - Golden Jubilee year in 2015.
Chief Guest Shri Nitinbhai Parekh made an impressive presentation on the Cost Accountant- Your passport to Professional world. He aptly narrated qualities of Cost accountant, Skills of Cost accountant and also the interview techniques to get success in interview. He also described areas of Financial Management for Cost Accountants. He advised the students to work hard, diligently with full concentration. The meritorious students and rank holders students felicitate by Chief Guest, Chairman, Secretary, Past chairman/s and other dignitaries. CMA Utkarsh Yagnik anchored felicitation function.

A CEP Programme on Aspects of Cost audit report under XBRL reporting
First session was taken by CMA Ashwin Dalwadi. He had highlighted the various aspects of cost audit report and requirement of data under each para He had also highlighted some points which are not possible to fill up like Product wise / CETA heading wise installed capacity, CETA heading wise utilization of capacity, quantitative details in Part –C Service Industry cost sheet, No provision of disclosing WIP in service industries like Construction where only WIP is there Another area was covered under ratio analysis Under this Para there is no guidelines to provide details of Fixed Assets whether normal or average of 2 years etc.
Second session was taken by CMA Malav dalwadi He had highlighted new features included along with new requirement under each Para like Comments of Audit committee, 'data entry features of n' number of cost sheets data its view and printing and some features which are necessary to enter for generating errorless XBRL Report.
l At the end of session member have asked various question which were answered by CMA Ashwinbhai and CMA Malav .

Dear Fellow Member,
It is indeed my great pleasure to communicate to you after a long gap. I express my gratitude to Managing Committee Members for reposing their faith in me for taking up the responsibility of 'Profession Development, Program and 50th Year Celebration Committee'
Our chapter has attained a premier position amongst all chapters of the region. It was able show better results than the regional councils. It has received best Chapter awards for three consecutive terms in the recent past.
All this has happened on account of untiring efforts of the managing Committees and staff and support of Members & students at large.
This being 50th Year of our Chapter, I have become bit nostalgic and I recall my association with Late Shri R S Shah, Late Shri B R Shah, Late Shri Barbhaiya, Late Shri R V Thaker, Late Shri Shashikant Shah, Shri Vinod Shah, Shri Kiran J Mehta, Shri Kiran D Shah, Shri A L Bavishi, Shri Hemendra Shah, Shri P D Modh and Shri Shrenik Shah. All these members have helped the chapter in achieving newer heights with their prudence and able guidance from time to time. I also place on record my thanks for the active contribution made by current team of Management committee as each member is eager to contribute to the profession.
The Chapter has reached to the present height due to continued support of all our leaders and members.
We are planning to celebrate our 50th Year with big fun fare and wish to make memorable. We are planning to reach each member residing in and around Ahmedabad. Kindly provide your suggestions. We are phone call / email away!

Milacron wins National Award for Cost Management
Ahmedabad, 05th August, 2015: 12th National Award for Excellence in Cost Management under the category of Private-Manufacturing: Organization (Medium) has been conferred upon Milacron. The award was handed over by Colonel Rajyavardhan Singh Rathore, Minister of State for Ministry of Information and Broadcasting to Vinod Bhalavat (CFO) and Rajendra Sharma (AGM-Finance) of Ferromatik Milacron India.Ferromatik Milacron India has initiated various practices like, 5S Initiative, Productivity Improvement, Six Sigma, Material Movement Cost, Energy Conservation and Water Conservation, to achieve cost reduction. Vinod Bhalavat stated, “Various start-ups towards the achievement of Cost Management is not only helping us to save resources but also creating a long term sustainable environment. The overall reduction in cost also allows us to pass on the benefits to our customers.”
The Institution of the National Award for Excellence in Cost Management was formed in 2003. The endeavor of the Institute is to propagate and emphasis on wider application of Cost Management tools and technique and adoption of relevant Cost Management Strategies across various sectors for improving competitiveness of industry.

Dealing with Pvt. Ltd. Companies after exemptions under Companies Act 2013 dt.05/06/2015 (Specific to removal of Sec 185 & 180)
This note is intended at explaining the position of Banks / Financial Institutions in dealing with Pvt. Ltd. Companies with respect to providing of loans / financial assistance where guarantees / mortgage is provided by other group companies / directors.
Position prior to Companies Act 2013:Relevant Sections: Section 295 & 296
Companies were not allowed (except with prior approval of Central Govt.) to directly or indirectly, make any loan to, or give any guarantee or provide any security in connection with a loan made by any other person to, or to any other person by Director or any other person in whom the Director is interested.
There were exceptions to the above which included Pvt. Ltd. Companies (not being subsidiary of a Public Company).
Position pursuant to introduction of Companies Act, 2013:Relevant Section: Section 185 (corresponding to Sec 295 & 296 of Companies Act, 1956)
With the introduction of Sec 185 on 12/09/2013 and finally the Companies Act, 2013 being fully implemented w.e.f. 01/04/2014 the position was altered drastically.
The said section (more by an error in drafting than the intent of law) imposed a blanket ban on transactions on:• Loans / Security / Guarantee by Companies to its Directors except for a couple of instances which were of least applicability and consequence for Pvt. Ltd. Companies.• Loans / Security / Guarantee by Companies to any person in whom the Director is interested i.e. between Pvt. Ltd. Companies having even a single common Director, to a Firm in which Director is a partner and so on.
The only exception to the rule was for Companies which did it in their ordinary course of Business and that too on interest being a rate not less than the bank rate declared by the Reserve Bank of India. Again the problem was that ‘Ordinary Course of Business’ not clearly defined and left to the interpretation of each individual.
The Rule 10 of Companies (Meetings of Board and its Powers) Rules 2014, created further exceptions for transaction between holding company and its Wholly Owned Subsidiaries as well as Holding Company and its Subsidiaries in connection to loan made by any Bank / Financial institution to its Subsidiary provided the loans are utilized by Wholly Owned Subsidiaries / Subsidiary Companies.
Reprieve provided by exemptions dt.05/06/2015The Ministry of Corporate Affairs after various representations from Bankers & Professionals provided the much needed relief in the matter and Pvt. Ltd. Companies were brought out of the ambit of Sec 185 provided they fulfilled 3 conditions (cumulative):
(a) Share Capital in not held by any other body corporate; and(b) Borrowings from Banks / Financial Institutions / Other Body Corporate is less than twice of its paid up share capital or Rs.50 Crores, whichever is lower; and© The said Company has not defaulted in repayment of such borrowings subsisting at the time of making transactions under section 185.
Impact of exemption
The position as it stands now is that a Pvt. Ltd. Company can now provide Loan / Security / Guarantee to a Director / person in whom Director is interested thereby reversing the position (though not the extent of 100% as was under Companies Act, 1956) facilitating Pvt. Ltd. Companies to mortgage their properties or give guarantee / security for availing of loan by another company having common Director(s).

Nonetheless, the area of concern still remains where cross holdings are existing between two such companies (refer to condition (a)).
Position with regard to Sec 180 (corresponding to Sec 293 of Companies Act, 2013)In the entire clamor about escape from Sec 185 we must also set our eyes on a major relief from Sec 180 which was imposed on Pvt. Ltd. companies which needed special resolution of Members for specific purposes of borrowing beyond company’s net worth, disposing / selling / leasing of its property etc. The exemptions restored the position as was under the old law thereby once again giving the Board of Directors the authority to decide on such matters.
ConclusionFrom the perspective of Banks / Financial Institutions this is a great relief pending which they had closed their Loan books to almost all Pvt. Ltd. Companies due to the BLANKET BAN imposed by Sec 185 but issues remain to be sorted with respect to fulfillment of the 3 cumulative conditions. Also the inapplicability of Sec 180 will cut down on the time & unnecessary compliances, brining in the much desired speed in business transactions.

From across the globe, only one award was given as an Outstanding Management Teacher (India Based) – Global. The award criteria and selection is joint effort of MTC Global, United Nations Academic Impact, United Nations Global Impact, MIT ESCO, ITM Group of Institutions, PES University, Regent Business
School, The Globe Post, Finance Professors.com, Gyan Bharti Institute of Technology, Ennaissance Leadership Company, NHCE, and other national and international academical.
CMA Hetal Shah (M/22021) is recognized for his contribution in product cost optimization leading to potential annual cost benefit of Rs 1.5 Cr, under the programme “Innovation Fortnight” in his company. His achievement has been recognized in internal Bulletin for employees as well as by special mention in the Group CFO communique (ZYDUS GROUP).
He has been making contribution by way of identifying & initiating for product & non product cost optimization on regular basis.
CMA Pawan Bhootra, Head, Accounts and Budget division of GMDC, Government of Gujarat Undertaking , has been awarded Prestigious National Level CMA Young Achiever Award 2014.
Shri Pawan Bhootra is a Chartered Accountant, Cost Accountant and a Company Secretary with meritorious Performances in academics and professional qualifications. He has worked in Multinational Companieslike General Motors, Bombardier Transportation, Piaggio Vehicles and Shell Gas and Power.
Shri R. B. Kothari wins theBest CMA–CFO Award 20141 On 07-Jul-2015,CMA R. B. Kothari received the BestCMA – CFOAward 2014 from Dr. Jitendra Singh, Union Minister of State (I/C), Prime Minister Office, MoS for DoNER, Department of Personnel and Training, Department of Space and Atomic Energy atNew Delhi. Shri Kothari receivedthis Awardin the Category: Public Sector–Service- Male. The eminent jury, headed by Shri S. N. Dhingra, Rtd. Justice (Delhi High Court) and Former Member, CCI, unanimously conferred Shri Kothari the best CMA-CFO 2014 Award under
