7. Retail Profits (RP – paid weekly)

Any “Business Starter Pack” purchase qualifies both “Members” and “Affiliates” to be able to purchase

products at the lowest A/S & wholesale price! Retail sales allow Affiliates to purchase products at

wholesale price, and sell at retail for an up to 25% profit per web order, or up to 100% per offline order!

“Offline Orders” offer the largest retail profit potential when purchasing at wholesale, selling at retail,

and keeping the difference. “Web Orders” pay out a flat retail commission per sale (per FSB & FSCB

rules) when an order is placed from own website.

2. Fast Start Bonuses (FSB – paid weekly)

Fast Start Bonuses are paid out every time an Affiliate directly sells either a Business Starter Pack, or

Preferred Customer or Retail Customer Order, which generates FSBs of $10 to $160 per sale. On the first 2

direct sales made, Affiliates share 50% of the allocated FSB with their direct Sponsor. For example, if the

allocated FSB on a 1 Bottle (Business Starter Pack) is $10, the Affiliate will earn $5 on their first 2 sales, and

their direct Sponsor will also earn $5 on those same first 2 sales. Starting from Affiliate’s 3rd sale on, they

will earn 100% of the allocated FSB per direct sale, as well as Fast Start Coded Bonuses from Affiliates in

their organization.

3. Fast Start Coded Bonuses (FSCB – paid weekly)

Fast Start Coded Bonuses are paid out via a modified 2-up “coded” plan, which generates FSCBs of $5

to $80 per sale. Starting from an Affiliate’s 3rd direct sale on, 100% of the allocated FSB is paid out to

them, which also starts their first “Coded Line” of Fast Start Coded Bonuses, in which 50% of the FSCB on

the first 2 direct sales made by any personally sponsored coded line Affiliate will pass up to their direct

Sponsor, and the sponsored Affiliate will keep the other 50%. FSCBs are paid on a “residual” basis, on

both one-time (new) and recurring (monthly) orders. For example, if an Affiliate sponsors a Preferred

Customer or Retail Customer that orders every month, the sponsoring Affiliate will earn a FSCB every

month (residually) on that sale.

4. Rank Advance Bonuses (RAB – paid monthly)

There are four one-time Rank Advance Bonuses that pay out a cumulative total of $1,100. After

Qualified Affiliate achieves RAB requirements, there is a one month hold to allow for Affiliate’s minimum

PV monthly order to process. After Affiliate’s monthly order has been processed, RABs are paid out in

accordance with the pay period. Personally sponsored Members or Customers that are inactive during

the qualification period will not count towards this Bonus. There is no time limit to achieve RABs, but a

Business Starter Pack purchase is required to participate in it.

5. Team Bonus (TB – paid weekly)

The Team Bonus pays out up to $3,000 per day via a 50-50 binary plan each time there is a 30 CV

minimum sale on the left team and on the right team. Based on an Affiliate’s Rank, a Team Bonus of 20%

to 30% of the CV is paid out on the lesser volume leg. Equal CV from the greater volume leg is deducted

after payout and will carry over into the following day. The Team Bonus alone has the potential to

payout up to $90,000 per month!

“Team Bonus” Income Example:

In the above example, there is 2,500 CV on the left leg, and 2,000 CV on the right leg, which means the

CV has generated up to $600 in “Team Bonus” commissions to be paid out, based on Rank as follows:

Copper = $300 commission (this is the daily max at this Rank; remaining CV will carry over)

Silver or Platinum = $500 commission

Gold or Diamond = $600 commission

6. Team Matching Bonuses (TMB – paid weekly)

Team Matching Bonuses pay out a total of up to 45%, spread on up to 4 generations of depth, on the

daily “Team Bonus” incomes of all Qualified Affiliates within a Qualified Affiliate’s entire organization.

“Match Generation” will determine how much and how many generations a Qualified Affiliate is

qualified to earn on. There are no leg requirements. For example, if a Qualified Affiliate personally

sponsor’s 10 Active Members (on either team), then they will earn the maximum potential payout of a

total of 45%, spread over 4 generations of Team Matching Bonuses, with no daily income cap!

7. Monthly Lifestyle Bonus (MLB – paid monthly)

The “Monthly Lifestyle Bonus” pays out $400 to $600 per month, after a “Silver” or higher Ranked Active

Affiliate has met and maintained the minimum monthly requirements.

“Silver MLB Example”

To achieve the $400 “Silver” Monthly Lifestyle Bonus requires a Member to purchase any Business Starter

Pack, personally sponsor 5 “Active” Members (to reach “Silver Consultant” Rank), and commit to at

least a 30 CV monthly autoship (which upgrades status to “Active”). As soon as the 5 sponsored

“Active” Members each sponsor 5 “Active” Members that each commit to at least a 30 CV monthly

autoship, a team of “30 Active Affiliates” would have been created and will generate a “Silver” Monthly

Lifestyle Bonus of $400 per month.

When combined with a balanced (TB) binary (@ 30% LVL) and TMBs, the minimum projected income is

about $526 per month! There is no time limit to achieve this Bonus, and it will be paid out one month

following the month of qualification, on the 2nd pay period.

“Platinum MLB Example”

To achieve the $600 “Platinum” Monthly Lifestyle Bonus requires a Member to purchase any Business

Starter Pack, personally sponsor 10 “Active” Members (to reach "Platinum Consultant” Rank), and

commit to at least a 30 CV monthly autoship (which upgrades status to “Active”). As soon as the 8 of

the 10 sponsored “Active” Members each sponsor 5 “Active” Members that each commit to at least a

30 CV monthly autoship, a team of “50 Active Affiliates” would have been created and will generate a

"Platinum" Monthly Lifestyle Bonus of $600 per month.

When combined with a balanced (TB) binary (@ 30% LVL) and TMBs, the minimum projected income is

about $853 per month! There is no time limit to achieve this Bonus, and it will be paid out one month

8. UniMatrix Bonus (UMB – paid weekly)

The UniMatrix Bonus is an “optional” and “separate” part of the Marketing Plan, based on a 2x1 Forced

Matrix structure that pays out 75% - 86% with no breakage. Participation in the UniMatrix Bonus requires

a one-time UniMatrix Pack purchase, and allows an Affiliate to earn up to 30 “cycle” commissions per

day. There is no “autoship” or monthly order requirement to maintain Active status in the UniMatrix only.

Purchasing a UniMatrix Pack also creates a “Free Consultant” position in the Team Bonus structure. There

are a total of 4 different “UniMatrix” Packs (with various products), ranging from “Starter”, “Supervisor”,

“Manager”, and “Executive”. Each UniMatrix will pay out a cycle commission of $100 to $1,000. And

after every cycle, your UniMatirx position will re-enter into the next open spot of your Sponsor’s 2x1

Forced Matrix, and includes access to a license for 100 digital health & fitness ebooks with “Master Resell

Rights”. However, you can only get paid in the UniMatrix associated with the Pack that you purchased.

To advance in Rank requires the purchase of a “Business Starter Pack”, in addition to the purchase of a

“UniMatrix Pack”. Your "Rank" determines how many times you can cycle daily. For example, a "Copper"

Affiliate can cycle up to 5 times per day, which is up to $500 - $5,000 PER DAY! Direct sponsorship of a

Member that has only purchased a “UniMatrix Pack” will not count towards your Rank Advancement;

only “Business Starter Pack” purchases are applied towards Rank Advancement. Also, in order to cycle

in the UniMatrix, you must have ordered that “specific” UniMatrix Pack, e.g. if you order a “Starter”

UniMatrix Pack, and sponsor a Member that orders or upgrades to a “Supervisor” Pack before you do,

that Member will enter the UniMatrix of your upline and generate cycles for them until you also order a

“Supervisor” Pack, at which time, the Member you sponsored will eventually follow you after re-entry.

UniMatrix Cycle Example:

The UniMatrix is a hybrid 2x1 Forced Follow-Your-Sponsor Matrix, programmed within a 2X Infinity Matrix.

And with each new “Re-Entry” position, a Member could end up under their downline in the 2X Infinity

structure, causing “spillover” to occur. Additionally, when a Member purchases a UniMatrix Pack, they

are also simultaneously placed into the Team Bonus (binary) structure as a “Free Consultant”. UniMatrix

positions fill in from left to right, top to bottom. There are never more than 2 positions under a Member in

the UniMatrix. As soon as both positions are filled, the Member will “cycle” back under their Sponsor. In

this example, “the company” is the Sponsor of “Tony” and “John”. However, John also sponsors the

following 9 Members: “Jane”, “Linda”, “Jack”, “Keith”, “Cathy”, “Ray”, “Joe”, “Mike” and “Pete”.

When John sponsored Jane and Linda, it caused him to cycle and re-enter back under Tony, which also

caused Tony to cycle and re-enter under John’s re-entry #1 position. Then when John sponsored Jack,

he cycled a 2nd time and re-entered under Jane, creating “spillover” for Jane. When John sponsored

Keith and Cathy, it caused him to cycle a 3rd time under Jane, causing Jane to cycle and re-enter

under John’s 3rd re-entry position, even though she did not sponsor anyone. When John sponsored Ray,

Ray’s position fell under John’s 3rd re-entry position, causing John’s position to cycle a 4th time and re-

enter under Linda. When John sponsored Joe and Mike, it caused his position to cycle a 5th time and re-

enter under Linda, causing Linda’s position to cycle and re-enter under John’s 5th re-entry position, even

though she did not sponsor anyone. Lastly, when John sponsored Pete (which fell under his 5th re-entry

position), it caused his position to cycle a 6th time and re-enter under Tony’s R1 position.

UniMatrix Spillunder Example:

In this example, Sara directly sponsored 10 Members, earning her 5 cycle commissions and 5 UniMatrix

Bonus Pool shares. Her cycling 5 times also created spillunder for her Sponsor, causing them to cycle 2

times, because she re-entered under her Sponsor 4.5 times. However, if each of her 10 referrals made a

commitment to sponsor 4 new Members with a UniMatrix Pack order each month, because they would

always follow her and re-enter under her upon cycling, she would continue to earn at least 5 cycles

each month, worth $500 - $5,000 PER MONTH, depending on the UniMatrix Packs they all bought & sold!

9. UniMatrix Bonus Pool (UBP – paid monthly)

The UniMatrix Bonus Pool is an exciting edition the “UniMatrix Bonus” plan, which allows a UniMatrix

Qualified Affiliate (that sponsored at least 2 new Members in a calendar month) to earn a “Share” in the

pool every month, for every 2 new Members they personally sponsor! For example, if an Affiliate joined

on the 13th day of the month, and sponsored 4 new Members with a UniMatrix Pack before the 13th day

of the following month, then they would qualify for 2 shares in the pool! The company will reserve $2 of

every UniMatrix Pack purchased globally for the pool. The value of each share will vary from month to

month, starting the 1st day of every month, and depends on how many “Qualified Cycles” occur during

that time. This bonus only pays out on new sales (not re-entries), and pays out on the 2nd Friday of the

following month.

The share value is directly related to how many personal sales a UniMatrix Qualified Affiliate (UQA) has

made, and how many Qualified Cycles occurred during that specific month. So in the row showing 500

UniMatrix Packs sold globally, there were only 80 Qualified Cycles, which means that each share value

for that month was $12.50. If a UQA sponsored 10 Members with a UniMatrix Pack during that month, it

means they created 5 Qualified Cycles, earning them 5 shares for that period, totaling $62.50, which

would be in addition to their regular cycle commissions of $500 to $5,000 for 5 cycles! If based on $500 in

cycle commissions, this extra $62.50 represents an additional 12.5% bonus!

10. Shared Bonus Pool (SBP – paid monthly)

The Shared Bonus Pool is a global pool where 2% of the company’s gross CV is reserved and paid out

monthly to Active Affiliates with the Qualified Ranks of Platinum, Gold, and Diamond. The purchase of a

Business Starter Pack with a “Paid Rank” is not applicable to this bonus. The number of shares that can

be achieved in the pool is dependent upon an Affiliate’s Qualified Rank, and will pay out on the 2nd

Friday of the following month of qualification as follows:

Platinum Affiliate: 1 share

Gold Affiliates: 2 shares

Diamond Affiliate: 3 shares

The share value is not fixed and will vary from month to month, but here is an example of what a share

could potentially be worth in the future. Suppose the company does $900,000 in CV sales in one month;

it means that the 2% SBP value will be worth $18,000. Now supposed there are a total of 250 qualifying

shares worth $72 each. It means that a Diamond Affiliate would earn an extra $216 from the SBP for that

month, just for maintaining an Active and Qualified Rank status!

Before starting your Club BizsSmart business, it is very important that you familiarize yourself with terms

listed in the “glossary” that will be used throughout this document to better understand, as well as to be

able to eventually maximize the Marketing Plan.

Here are common terms you will need to know as you build your Club BizsSmart business:

Active: A Member or Affiliate that has purchased a Business Starter pack, and maintains a minimum product order

of at least 30 PV over a 30‐day period, via a monthly autoship or manual order, or by having directly sponsored at

least 1 Retail Customer or 1 Preferred Customer with a minimum 30 PV order each month.

Account: A maximum of 3 accounts per household is permitted, with each having its own unique SSN, TIN, or EIN.

This applies to both the “Team Bonus” and “UniMatrix” Marketing Plans.

Affiliate: A Member that has sponsored at least 1 Active Member. Affiliates can earn FSCBs on Business Starter

Packs and Retail Customer Orders. No purchase is required to be an Affiliate.

Affiliate, Qualified: An Active Affiliate that has sponsored at least 2 Active Members, and placed one on the left

team and one on the right team. This also promotes the Affiliate to the first Rank of Copper Consultant.

Affiliate, UniMatrix Qualified: A Qualified Affiliate that has sponsored at 2 Members with a UniMatrix Pack in a

calendar month, which satisfies the requirement to earn one Share in the UniMatrix Bonus Pool.

Autoship (A/S): This enables Members, Affiliates, and Customers to automatically and conveniently receive a

monthly shipment of product, without the need to place re‐orders (hassle‐free). It also helps Members and

Affiliates to easily qualify for commissions in the compensation plan.

Binary: The Team Bonus structure is based on a binary plan structure. Therefore, whenever the term “binary” is

used, it is describing both the Team Bonus and Team Matching Bonuses.

Cap/Max: Either term signifies the max daily earnings potential a Qualified Affiliate can achieve in the TB (binary),

based on their Rank, e.g. a Consultant with a qualified Rank of “Diamond” can earn up to $3,000 per day.

Carry Over: This is non-paid commissionable volume that will accumulate and be paid out during the next Pay

Period.

Coded Line: This is a term used to describe the direct sales that entitle you to earn unlimited “Fast Start Coded

Bonuses”, which starts with your 3rd direct sale.

Commission Qualified (CQ): An Affiliate of any Rank that has met the minimum requirements to earn commissions.

Commissionable Volume (CV): This is the accumulation of total sales volume generated from both an Affiliate’s

organization and spillover, and is what commission payouts are based on.

Consultant: This is another description of an Affiliate, and is also used when an Affiliate joins for free, e.g. the “Free

Consultant” position is valid for 60 days from registration date.

Consultant, Free: This option allows a Member to earn 2 of 8 ways (Fast Start Bonuses & Fast Start Coded Bonuses).

Customer, Preferred: A person that orders any product at a discounted price via a monthly autoship. They must

agree to autoship for at least 2 months to receive this preferred pricing.

Customer, Retail: A person that orders any product at the full retail price with no further order obligation.

Cut-Off Period: CV is accumulated in real-time and calculated by 12:00 AM EST every day.

Cycle: In the UniMatrix structure, a cycle occurs whenever 2 sales fall underneath a Member’s or Affiliate’s

position, resulting in a commission of $100, $300, $600 or $1,000.

Cycle, Qualified: This occurs in the UniMatrix when a UniMatrix Qualified Affiliate has directly sponsored 2 new

Members with a UniMatrix Pack, which means this cycle has prompted a UBP share to be created.

Grace Period: All Members and Affiliates will be given a 5-day grace period to maintain Active status after

exceeding 30 days from previous order, to either direct purchase, or refer a customer that directly purchases at

least 30 PV of product.

Greater Volume Leg (GVL): Also sometimes referred to as the “Strong Leg” or “Power Leg”, is the “Team” that has

the greatest amount of CV every 24 hours. Any CV amount in your GVL that is greater than the LVL amount for a

24-hour period carries over to the same leg for the following day.

Holding Period: There is a 2-week hold on all commissions, except the one-time Rank Advance Bonuses, which

require a 1-month hold. Therefore, all commissions on new sales are paid out the third Friday after date of

registration, then every week thereafter.

Inactive: This occurs whenever a Member, Customer or Affiliate has not placed an order within a 4 week period.

Lesser Volume Leg (LVL): Also sometimes referred to as the “Pay Leg”, is the “Team” that has the lowest amount of

CV every 24 hours. The total CV on the LVL is used for Team Bonuses calculations every day, which is then paid out

weekly, every Friday.

Matrix, 2x1: A structure consisting of 3 empty positions; 1 on top, and 2 underneath. When the 2 bottom positions

are filled, it creates a cycle.

Member: A person that purchases any Business Starter Pack or UniMatrix Pack.

Organization: Also sometimes referred to as a “Downline”, this is the sales team directly connected to an Affiliate

and does not include spillover. This is sometimes referred to as a “Personal Enrollment Team” or “Unilevel Team”.

Pay Period: Pay period is Sunday to Sunday at midnight EST. Commissions are paid out every week on Friday after

Holding Period, with a $20 minimum pay out. Ewallet balance resets every Monday.

Personal Volume (PV): This is the sales volume of your personal purchases, and those of your Retail Customers and

Preferred Customers, which is used for calculating commissions. Minimum monthly PV for all commissions is 30 PV.

Points Reset: The reset of CV means the sales volume is removed and non-calculated for commissions if an Affiliate

does not have an active 30 CV autoship, manual order, or one personally sponsored active Retail Customer or

Preferred Customer within the required period of 60 days from last date of order.

Position: Another way to describe a Member’s Account. Please see “Account” for more details.

Rank: A designation that, once achieved and maintained, will allow the qualified Affiliate to earn higher daily

income in the TB (binary). There are currently 5 Consultant Ranks that a qualified Affiliate can achieve: Copper

Consultant, Silver Consultant, Platinum Consultant, Gold Consultant, and Diamond Consultant.

Rank, Paid: A designation that is given when a Member purchases or upgrades to specific “Business Starter Packs”

that include a “Paid Rank” for 60 days. After 60 days, the Paid Rank will still displayed in the Active Member’s back

office, but the Active Member will only continue be paid at Rank if they maintain a “Qualified Rank” status.

Rank, Qualified: A designation that is given to an Active Affiliate that has purchased a Business Starter Pack, once

certain qualifications have been met and maintained each month. For example: A Copper Rank Affiliate needs to

sponsor and maintain 2 Active Members each month; a Silver Rank Affiliate needs to sponsor and maintain 5

Active Members each month; a Platinum Rank Affiliate needs to sponsor and maintain 10 Active Members each

month; a Gold Rank Affiliate needs to sponsor and maintain 15 Active Members each month; and a Diamond

Rank Affiliate needs to sponsor and maintain 20 Active Members each month.

Re-Entry: This occurs in the UniMatrix after a Member or Affiliate has completed a cycle, and is re-entered back

under their Sponsor or next upline Member.

Refund Period: All nutritional products include a 30-day refund policy (minus 15% restocking fee). Refunds do not

include shipping & handling fee, or one-time $25 Admin fee.

Retail Customer (RC): A person that orders any product from a Member’s or Affiliate’s personal inventory, or from

their personalized 24/7 ecommerce website at full retail price.

Share, Shared Bonus Pool: A unit of internal monetary value that will vary each month (based on 2% of company’s

global gross CV sales) that is added to the pool and divided by all Qualified Affiliates ranked “Platinum” or above,

and will pay out as follows: Platinum Rank = 1 share; Gold Rank = 2 shares; Diamond Rank = 3 shares. Payout is the

2nd Friday of the following month.

Share, UniMatrix Bonus Pool: A unit of internal monetary value that will vary each month (calculated on $2 of every

UniMatrix Packs sold globally) that is added to the pool and divided by all UniMatrix Qualified Affiliates, and will

pay out as follows: Every 2 UniMatrix Packs sales = 1 share. A minimum of 2 sales must be made within one

calendar month of Member’s registration date, and every calendar month thereafter. Payout is the 2nd Friday of

the following month.

Spillover: This occurs when a Member’s or Affiliate’s TB (binary) or 2x1 UniMatrix structure receives sales from above

the Member’s or Affiliates own organization.

Spillunder: This only occurs in the UniMatrix structure when a directly sponsored Member or Affiliate cycles back

under their Sponsor.

Sponsor: A Member that has referred at least 1 Member becomes the permanent Sponsor of that Member.

Team: Sometimes referred to as a “leg”, represents both the left and right side of a Member’s or Affiliate’s Team

Bonus (binary) organization.

Upgrade: Customers and Free Members can upgrade to Affiliate status by purchasing any Business Starter Pack.

Upline: This is the hierarchy of Members and Affiliates directly above each Member’s and Affiliate’s organization.
