PRESENT: Mayor Button, Norm Stanek, Kevin Brueggeman, Kevin Riley, Josh Lydon, Alli Karrels, Ed

Lukasek, Mary Von Ruden,ABSENT: Jim ChurchALSO PRESENT: Todd Fahning, Dave Kuderer, Emilee Nottestad, Jim Hellman, Eric Schmitz, Pat

Mayor Button called the meetinB to order at 6:30 p.m.

Roll Call was done by the Clerk.An Opening Ceremony was presented by the Sparta Police Department Honor Guard

The Mayor recognized Greg Fortun with a Service Award for 25 years of service. Greg was not present

so he will receive his Award from his supervisor.

A motion was made by Josh Lydon and seconded by Norm Stanek to approve the consent agenda

consisting of the minutes of the last meeting of the Council on April 19, 2017, the first meeting of theCouncil on April 19,2017, the minutes of the Committee of the Whole on May 3,2017 and monthlybills. Motion carried 7-0.

ORDINANCES

ORDINANCE PERTAINING TO REGULAR MEETINGS

Norm Stanek read the Ordinance the first and second time. Josh Lydon moved to read the Ordinance

third time by title only, rules be suspended and placed before the council for immediate action,

seconded by Kevin Riley. Motion failed 1-6. Mayor Button read the Ordinance the third time by titleonly and the Ordinance failed on a roll call vote l.-6 with Mary Von Ruden voting yes.

RESOLUTIONS

RESOLUTION APPROVING PTANNED UNIT DEVELOPMENT - SPECIFIC IMPLEMENTATION PLAN

(PUD - SIP)

(1601 W. Wisconsin St.)

Kevin Riley read the Resolution the first and second time. Josh Lydon moved to read the Resolution

third time by title only, rules be suspended and placed before the council for immediate action,

seconded by Kevin Brueggeman. Motion passed 6-1. Mayor Button read the Resolution the third time

by title only and the Resolution was approved on a roll call vote 6-1 with Mary von Ruden voting no.

A motion was made by Norm Stanek and seconded by Josh Lydon to approve the Carnival License forSparta Area Chamber of Commerce for Butterfest in June. Motion carried 7-0.

A motion was made by Norm Stanek and seconded byJosh Lydon to approve the Mobile HomeLicense Renewals for 2017-2018 upon proper payment of any fees or fines, Motion carried 7-0.

A motion was made byJosh Lydon and seconded by Kevin Srueggeman to approve the Class "A" Beerand Cider Retail License Renewals for 2017-2018 upon proper payment of any fees or fines. Motioncarried 7-0.

A motion was made by Josh Lydon and seconded by Kevin Eruetgeman to approve the "Class B"Liquor License Renewals for 2017-2018 upon proper payment of any fees or fines. Motion carried 7-0.

A motion was made by Josh Lydon and seconded by Kevin Erueggeman to approve the MiscellaneousLicense Renewals for 20U-2018 upon proper payment of any fees or fines. Motion carried 7-0.

A motion was made by Norm Stanek and seconded by Ed Lukasekto approve the mayoralappointment of Mark Richgruber for the Chairman of the Zoning Board of Appeals. Motion carried7-O.

Todd went over the City Administrator's report.The next Park Board meeting will be held at the new rec center at 408 Osborne DrMet with Cedarcorp to go over the Goodman Ct. situation.The DOT approved the innerchange by the new Business Park.

THE COMMON COUNCIL OF THE CITY OF SPARTA, MONROE COUNTY, WISCONSIN,DO ORDAIN AS FOLLOWS:

Section 1

section 2: section 12.02 (1 3) of the code of city ordinances is hereby amended to read asfollows

RENEWAL OF LICENSES. All applications for renewal of licenses hereunder shall

be made to the City Clerk by April 15. For any renewal applications received andaccepted after April 15, renewal fees will be double the fee set forth in the City

Clerk's fee schedule. For any fee received and accepted after June 30, renewal feeswill be triple the fee set forth in the City Clerk's fee schedule.

Section 3 This ordinance shall take effect and be in full force beginning in the 2018 calendaryear, following its passage and publication as provided by law

1. The quoted fees and scope ofservices constitutethe best estimate of lhe fees and tasks required to perform the servicesas defined. This agreement upon execution by both parties hereto, canbe amended only by written instrument signed by both parties. For thoseprojects involving conceptual or process development service, activitiesoften cannot be fully defined during initial planning. As the projectprogresses, facts uncovered may reveal a change in direction which mayalter the scope. MSA will promptly inform the OWNER in writing of suchsituations so that changes in this agreement can be made as required.

2, MSA will bill the OWNER monthly with net paymentdue upon receipt. Past due balances shall be subject to an interestcharge at a rate of 12o/o per yeat trcm said thirtieth day. ln addition, MSAmay, afler giving seven days written notice, suspend service under anyagreement until the OWNER has paid in full all amounts due for servicesrendered and expenses incurred, including the interest charge on pastdue invoices.

3. Costs and schedule commitments shall be subject to changefor delays caused by the OWNER's failure to provide specified facilitiesor information or for delays caused by unpredictable occurrencesincluding, without limitation, fires, floods, riots, strikes, unavailability oflabor or materials, delays or defaults, by suppliers of materials orservices, process shutdowns, acts of God or the public enemy, or acts ofregulations of any governmental agency. Temporary delays of servicescaused by any of the above which result in additional costs beyond thoseoutlined may require renegotiation of this agreement.

4. MSA intends to serve as the OWNER's professionalrepresentative for those services as defined in this agreement, and toprovide advice and consultation to the OWNER as a professional. Anyopinions of probable project costs, reviews and observations, and otherdecisions made by MSA for the OWNER are rendered on the basis ofexperience and qualifications and represents the professional judgmentof MSA. However, MSA cannot and does not guarantee that proposals,bid or actual project or construction costs will not vary from the opinion ofprobable cost prepared by it.

5. This agreement shall not be construed as giving MSA, theresponsibility or authority to direct or supervise construction means,methods, techniques, sequence, or procedures of construction selectedby the contractors or subcontractors or the safety precautions andprograms incident to the work ofthe contractors or subcontractors.

6. ln conducting the services, MSA will apply presentprofessional, engineering and/or scientific judgment, and use a level ofeffort consistent with current professional standards in the same orsimilar locality under similar circumstances in performing the Services.The OWNER acknowledges that "current professional standards" shallmean the standard for professional services, measured as of the timethose services are rendered, and not according to later standards, if suchlater slandards purport to impose a higher degree of care upon MSA.

MSA does not make any warranty or guarantee, expressed orimplied, nor have any agreement or contract for services subject to theprovisions of any uniform commercial code. Similarly, MSA will notaccept those terms and conditions offered by the OWNER in itspurchase order, requisition, or notice of authorization to proceed, exceptas set forth herein or expressly agreed to in writing. Writtenacknowledgement of receipt, or the actual performance of servicessubsequent to receipt of such purchase order, requisition, or notice ofauthorizalion to proceed is specifically deemed not to constituteacceptance of any terms or conditions contrary to those set forth herein.

7. MSA shall make visits to the site at intervals appropriate to thevarious stages of construction as MSA deems necessary in order toobserve as an experienced and qualified design professional theprogress and quality of the various aspects of Conhactor's work.

The purpose of MSA's visits to and representation at the site will beto enable MSA to better carry out the duties and responsibilities assignedto and undertaken by MSA during lhe Construction Phase, and, inaddition, by the exercise of MSA's efforts as an experienced andqualified design professional, to provide for OWNER a greater degree ofconfidence that the completed work of Contractor will conform in general

to the Contract Documents and that the integrity of the design concept ofthe completed Project as a functioning whole as indicated in the ContractDocuments has been implemented and preserved by Conlractor. On theother hand, MSA shall not, during such visits or as a result of suchobservations of Contractor's work in progress, supervise, direct or havecontrol over Contractods work nor shall MSA have authority over orresponsibility for the means, methods, techniques, sequences orprocedures of construction selected by Contractor, for safety precautionsand programs incident to the work of Contractor or for any failure ofContractor to comply with laws, rules, regulations, ordinances, codes ororders applicable to Contractor's furnishing and performing the work.Accordingly, MSA neither guarantees the performance of any Contractornor assumes responsibility for any Contractor's failure to furnish andperform its work in accordance with the Contract Documents.

L This Agreement shall commen@ upon execution and shallremain in effect until terminated by either party, at such party's discretion,on not less than thirty (30) days' advance written notice. The effectivedate of the termination is the thirtieth day after the non{erminatingparty's receipt of the notice of termination. lf MSA terminates theAgreement, the OWNER may, at its option, extend the terms of thisAgreement to the extent necessary for MSA to complete any servicesthat were ordered prior to the effective date of termination. lf OWNERterminates this Agreement, O!ryt{ER shall pay MSA for all servicesperformed prior to MSAs receipt of the notice of termination and for allwork performed and/or expenses incurred by MSA in terminatingServices begun after MSA's receipt of the termination notice.Termination hereunder shall operate to discharge only those obligationswhich are executory by either party on and afler the effective date oflermination. These General Terms and Conditions shall survive thecompletion of the services performed hereunder or the Termination ofthis Agreement for any cause.

This agreement cannot be changed or terminated orally. No waiverof compliance with any provision or condition hereof should be effectiveunless agreed in writing and duly executed by the parties hereto.

9. The OWNER agrees to clarifo and define project requirementsand to provide such legal, accounting and insurance counseling servicesas may be required for the project.

10. lf, due to MSA'S error, any required or necessary item orcomponent of the project is omitted from the construction documents,MSA's liability shall be limited to the reasonable costs of correction of theconstruction, less what OWNER'S cost of including the omitted item orcomponent in the original construction would have been had the item orcomponent not been omitted. lt is intended by this provision that MSAwill not be responsible for any cost or expense that provides betterment,upgrade, or enhancement of the project.

11. OWNER acknowledges and agrees that MSA has had no rolein generating, treating, storing, or disposing of hazardous substances ormaterials which may be present at the project site, and MSA has notbenefited from the processes that produced such hazardous substancesor materials. Any hazardous substances or materials encountered by orassociated with Services provided by MSA on the project shall at no timebe or become the property of MSA. MSA shall not be deemed topossess or control any hazardous substance or material at any time;arrangements for the treatment, storage, transport, or disposal of anyhazardous substances or materials, which shall be made by MSA, aremade solely and exclusively on OWNER'S behalf for OWNER's benefitand at OWNER's direction. Nothing contained within this Agreementshall be construed or interpreted as requiring MSA to assume the statusof a generator, storer, lreater, or disposal facility as defined in anyfederal, state, or local statute, regulation, or rule governing treatment,storage, transport, and/or disposal of hazardous substances or materials.

All samples of hazardous substances, materials or contaminantsare the property and responsibility of OWNER and shall be returned toOWNER at the end of a project for proper disposal. Alternateanangements to ship such samples directly to a licensed disposal facilitymay be made at OWNER's request and expense and subject to thissubparagraph.

15. OWNER and MSA desire to resolve any disputes or areas ofdisagreement involving the subject matter of this Agreement by amechanism that facilitates resolution of disputes by negotiation ratherthan by litigation. OWNER and MSA also acknowledge that issues andproblems may arise after execution of this Agreement which were notanticipated or are not resolved by specific provisions in this Agreement.Accordingly, both OWNER and MSA will endeavor to settle allcontroversies, claims, counterclaims, disputes, and other matters inaccordance with the Construction lndustry Mediation Rules of theAmerican Arbitration Association currently in effect, unless OWNER andMSA mutually agree otheMise. Demand for mediation shall be filed inwriting with the other party to this Agreement. A demand for mediationshall be made within a reasonable time after the claim, dispute or othermatter in question has arisen. ln no event shall the demand formediation be made after the date when institution of legal or equitableproceedings based on such claim, dispute or other matter in questionwould be barred by the applicable statute of limitations. Neither demandfor mediation nor any term of this Dispute Resolution clause shallprevent the filing of a legal action where failing to do so may bar theaction because of the applicable statute of limitations. lf despite thegood faith efforts of OWNER and MSA any controversy, claim,counterclaim, dispute, or other matter is not resolved through negotiationor mediation, OWNER and MSA agree and consent that such mattermay be resolved through legal action in any state or federal court havingjurisdiction.

16. This agreement shall be construed and interpreted inaccordance with the laws of the State of Wisconsin.

17. OWNER hereby irrevocably submits to the jurisdiction of thestate courts of the State of \Msconsin for the purpose of any suit, actionor other proceeding arising out of or based upon this Agreement.OWNER further consents that the venue for any legal proceedingsrelated to this Agreement shall be, at MSAs option, Sauk County,Wsconsin, or any county in which MSA has an office.

18. When required, MSA will complete a stormwater managementplan and erosion control plan as required by applicable state statutes

Attachment A:CDBG HOUSING PROGRAM REVOLVING LOAN FUND

1.1 Administrative Services. MSA agrees to provide administrative services to theOWNER in the performance of the Revolving Loan Funds for the CDBG HousingProgram administrative duties as required of the OWNER, including but notlimited to: Liaison with the Department of Administration, annual Revolving LoanFund reports (with City staff), labor standards compliance (if applicable), equalopportunity compliance, individual project compliance, and maintenance ofrecords.

MSA will coordinate maintenance of financial records with OWNER's staff. MSAwill provide administrative services to OWNER so that the necessary measuresare taken to comply with State regulations. MSA will make decisions on eligiblehouseholds and determine the extent of work to be accomplished. As theHousing Program Administrator, MSA will make determinations regardinghomeowner/contractor conflicts and report said conflict resolutions to theOWNER.

SECTION 2 - OWNER'S RESPONSIBILITIES

The OWNER will

2.1 Review Documents. Examine all studies, reports, sketches, estimates, proposalsand other documents presented by MSA.

2.2 Other Services. Provide such legal and auditing services as may be required forthe project. Provide for general office supply expenses incurred by the OWNERfor which the OWNER is not being reimbursed by administrative funds.

2.3 OWNER'S Authorized Representative. Designate in writing a person to act asthe OWNER'S RLF representative with respect to the work to be performedunder this Agreement; and such person shall have complete authority to transmitinstructions, receive information, interpret and define OWNER'S policies anddecisions with respect to materials, equipment elements and systems pertinent tothe work covered by this Agreement.

2.4 Advertisement. Advertise for and make arrangements for all public meetings andnotices.

SECTION 3 - PAYMENTS TO MSA

3.1 Revolvino Loan Fund. The OWNER will pay MSA 14o/o of the Revolving LoanFunds received in repayment of past CDBG Housing program loans andexpended for new housing rehabilitation projects.

MSA will submit a billfor 7o/o of the funds once a loan is closed and for theremaining 7% (housing only) as the "new" RLF project funds are spent.

3.2 lnspection Services. MSA will also perform inspection services. The paymentfor these services will be made from "project" funds. The fees for the lnitialProgram lnspection, lnterim Inspections and Final Project lnspection servicesare included with each new homeowner, homebuyer or rental loan. The feesfor the Risk Assessment and Clearance Testing are granted to the applicantand are not included in their loan.

The fee for the inspection services are listed as follows and apply only to thoseservices required. Not all projects require a risk assessment and/or clearancetesting.

3.3 OWNER requested services beyond the Scope of this Agreement shall bebilled at MSA's Standard Hourly and Reimbursable Rate Schedule.

3.4 Times of Pavments. MSA shall submit an invoice not more than once per month

SECTION 4 - GENERAL CONSIDERATIONS

4.1 Equal Opportunitv Compliance. MSA shall comply with the Civil Rights Act of1964 and Section 109 of the Housing and Community Development Act ol 1974,described as follows:

4.1 .1 Civil Riohts Act of 1964. Under Title Vl and Title Vlll of the Civil Rights Actof 1964, no person shall, on the grounds of race, color or national origin,be excluded from participation in, be denied the benefits, or be subjectedto discrimination under any program or activity receiving federal financialassistance.

4.1.2 Civil Riqhts Act of 1968. Under Title Vlll of the Civil Rights Act of 1968, asamended including the Fair Housing Amendments Act of 1988,discrimination in housing is prohibited on the basis of race, color, religion,sex, handicap, familial status, or national origin.

4.1 .3 Section 109 of the Housinq and Communifu Development Act of 1974. Noperson in the United States shall, on the grounds of race, color, nationalorigin, sex, age or handicap be excluded from participation in, be deniedthe benefits of, or be subjected to discrimination under any program oractivity funded in whole or in part with funds made available under thistitle.

4.1.4 Section 504 of the Rehabilitation Act of 1973. as amended. No personothenuise qualified shall, solely, by reason of his or her handicap, beexcluded from participation (including employment), denied programbenefits, or subjected to discrimination, on the basis of age, under anyprogram or activity receiving federalfunds.

4.1.5 Aqe Discrimination Act of 1975, as amended. No person shall beexcluded from participation, denied program benefits or subjected todiscrimination, on the basis of age, under any program or activity receivingfederalfunds.

4.1.6 Executive Order 11063. Provides that no person shall, on the basis ofrace, color, religion, sex or national origin, be discriminated against inhousing (and related facilities) provided with federal assistance or lendingpractices with respect to residential property when such practices areconnected with loans insured or guaranteed by the federal government.

4.1.7 Executive Order 11246. The bid and contract language required underE.O. 11246 depends on the dollar amount of the contract. Certainlanguage is required for contracts/subcontracts of $10,000 or less. Otherlanguage is required if the contracUsubcontract exceeds $10,000. Noteespecially the Notice of Requirements for Affirmative Action which must beincluded and which requires the insertion of minority and female goals.The female goal applies nationwide while the minority goal is specificallydetermined for each county. As amended this order provides that noperson shall be discriminated against, on the basis of race, color, religion,sex or national origin in any place of employment during the performanceof fede ral ly-ass isted co n structio n contracts.

4.1.8 Section 3 of the Housinq and Urban Development Act of 1968. asamended 1992, which provides that employment and other economicopportunities generated by Federal assistance for housing communitydevelopment programs shall, to the greatest extent feasible, be directed tolow and very low income persons.

4.1.9 Access to Records. MSA agrees to provide to the OWNER, theDepartment of Commerce, Department of Housing and UrbanDevelopment, the Comptroller General of the United States, or any of theirfully authorized representatives, access to any books, documents, papersand records of MSA which are directly pertinent to this specific contract,for the purpose of making audit, examination, excerpts and transcriptions.
