VERNON, KENTUCKY, A SYSTEM OF MAINS, PIPES, CONDUITS AND APPURTENANCES FOR THE DISTRIBUTION AND SALE OF NATURAL,, OR MANU- FACTURED AND, OR"MfXED GAS AND FURTHER PRO- VIDING FOR THE ADVERTISEMENT AND SALE OF SAID FRANCHISE AS PROPOSED AND THE ACCEPT- ANCE OR REJECtlOtLOF BIDS THEREFOR. SECTION 1: - There is hereby created a franchise for ac- quiring,- laying, maintaining and operating in, along and under and across the public streets, avenues, alleys, roads, and other public ways hereinafter called,"streets" and public places of the City of Mt. Vernon, Kentucky, a system of mains, pipes, conduits" and appurtenances for the distribution and sale of natural or manufactured and, or mixed gas and providing for the advertisement and offer- ing of said proposed franchise for sale and the acceptance or rejection of bids therefor. SECTION II: - The person, firm, corporation, company, his or its successors or assigns, hereinafter* called "grantee" acquiring this franchise shall have the right and privilege of acquiring, laying and maintaining a system of mains, pipes, conduits and appurtenances in, along, across and under the public streets and places of said city to transmit, distribute, and sell natural,, or manufac- tured and, or mixod gas therefrom.to the inhabitants of said City of Mt. Vernon, Ky. The grantee, subsequent to the purchase and acceptance of this franchise shall immediately begin negotiations to secure an adequate supply of gas, and within one year aftfer securing said supply of gas from the grantee's source of supply and after securing the necessary rights of way, shall begin to construct and lay such pipe line and con- duits from its said source of gas of a capacity sufficient to meet the demands of the inhabitant, industries and businesses of the City of Mt. Vernon, Ky., provided how- ever, the grantee shall not be liable for any delays, failures, or defaults in th>- construction, maintenance, and operation of said system .of gas mains, and 'pipe lines occasioned by any acts of God, strikes, the public enemy, lockouts or any other vis major which by the exercise of due dili- gence the grantee is unable to avoid or overcome; and it is further .provided that a if ihe grantee of th& franchise shall have contracted with a third party for a source of supply of gas, and a copy of such contract is furnished to the City of Mt. Vernon, Ky., then and in the event the contract made between the grantee here of and the said third party for said gas supply excuses the said third party from supplying said gas to the grantee for causes beyond the control of said third party, then the grantee of this franchise shall be excused for its failure to furnish gas as herein required to the same extent and for like causes as are specified and set out in the contract between this grantee and said third party. All work to be performed by the grantee shall be in a workmanlike manner and performed so as not to interfere unreasonably with the public use of the streets and public ways of said City; and said work and construction shall not interfere with the Municipal Sewer System or the water and electric distribution systems in Mt. Vernon, Kentucky, nor shall it interfere with other utilities or quasipublic utilities authorized to use the streets and public ways of the City of Mt. Vernon, Ky. When a street is opened by the grantee for the puipose aforesaid, it must be restored with- in a reasonable time by the grantee in or to as good a con- dition as it was in immediately prior to the opening thereof. SECTION III; -,The grantee shall indemnify the City of Mt. Vernon, Ky. for all damages to its streets and public ways and public places caused and brought about by the negligence of the grantee, its agents and servants, and the grantee shall defend any and all actions caused or brought about or arising out of the construction and laying of saidg?s mains, pipe lines and conduits in, under, along, , arK jcwfcvtbe slreeta (Kid public"ways'of said City and in -'the construction and operation of said system.of gas mains, pipes arid appliances. *j. - SECTION IV: - The period of this franchise shall extend for twenty (20) years from the effective date thereof. SECTION V: -"That for the purpose of effecting a.sale of said franchise it is ordered that the Clerk of the City of Mt. Vernon, Ky. be, and she is hereby ordered and directed to sell said franchise as proposed at public auction to the highest and best bidder at the front door'of the City Hall in the City of Mt. Vernon, Kentucky, at the hour ori0:00 a.m. E.D.T. on September 4, J 969. the purchase price to be due and payable as hereinafter stated. That before making said sale, the Clerk_ of the City of Mt. Vernon, Ky. will advertise the time, date, terms and place of sale, together with the purpose thereof and the provisions and conditions of the proposed franchise to be offered and the date for acceptance or rejection of bids by the Board oi Council of the City of Mt. Vernon, Ky. at ( its regular^ meeting .on the 4t h jjav oi September the Vefn3h*5rgn£}\ i." weekly newspaper of general circulation published in the City of Mt. Vernon, Kf. for the issues of August 21, 28 and Septem- ber 4,'1969 and also by written or printed notices'posted at five (5) conspicuous places in the City of Mt. Vernon, Kentucky. No bids shall be considered for acceptance if the amount thereof is less than SlOO.OO plus the total cost of advertising, which amount is fixed as the upset price of%ie bidding. The Clerk of the City of Mt. Vernon, Ky.. s h a l l report in writing to the Board of Council of the City (her) actions under this ordinance at the regular meeting of the Council of the City of Mt. Vernon, Ky., to be held at the hour of 7:30_p.m. E.D.T., September 4, 1969, stating in- said report (he name of the successful bidder and the amount of his said bid and upon the granting of said fran- chise and the acceptance of said* bid by the Board of Council of the City of Mt. Vernon, Ky., the purchaser shall immediately pay to the Clerk of the City of Mt. Vernon, Kentucky, the full amount of said purchase price for said franchise as bid. It is further ordered that upon the final passage of this ordinance and the acceptance of the suc- cessful bid by the Council of the City of Mt. Vernon, Ky. the successful bidder shall be notified of the acceptance of said bid by the Clerk of the City of Mt. Vernon, Ky. The Board of Council of the City of Mt. Vemon, Ky. reserves the right to reject any and all bids. SECTION VI: - The grantee of said franchise, its succes- sors and assigns, may sell, transfer, or assign said fran- chise to any utility or construction company, or any other person, individual, group of individuals, or corporat.'<\n with, and only with, the consent and approval of the Board of Council of the City of Mt. Vfemon, Ky. SECTION VII: - The grantee, its successors and assigns shall sell gas to the residents, inhabitants, plants and consumers of the City,of Mt. Vernon, Ky., upon terms and at the rates specified by the Public Service Commission of the Commonwealth of Kentucky and shall serve the residents, inhabitants, plants and consumers adequately in accordance with the rules, regulations, control, and supervision of the Public Service Commission of the Commonwealth of Kentucky or such other agency as may be auth6rized and empowered by law to regulate the same. SECTION VIII: - It is .hereby ordered that the grantee shall be exeropi from taxation insofar as concerns such taxation* which is based on an assessment of its physical, tangible and intangible assets, where such taxation is levied by the City of Mt. Vernon, Ky. for a period of five (5) years from the effective date of starting construction. SECTION IX: - The granting of this franchise shall not interfere in any n.anner with the sale of bottled gas in the City of Mt. Vernon, Ky., by any person, firm or corporation, other than the grantee of this franchise; and the grantee of this franchise shall not interfere wi(h any such sales by engaging in any bottled gas business for retail to con- sumers in the City of Mt. Vernon, Ky. SECTION X: - Any other provision of this ordinance to the contrary notwifhstanding, if gas is not available under said franchise to consumers with the City of Mt. Vernon, Ky., on or before 24 months after the date that the bid for such franchise is accepted, then such franchise may be revoked by the Board of Council of the City of Mt. Vemon, Ky. at its option, without refund to the successful bidder. SECTION 1: - There is hereby created a f ranch ise for ac-quiring,- laying, maintaining and operat ing in, a long and under and a c r o s s the publ ic s t r e e t s , a v e n u e s , a l l e y s , roads , and other public ways hereinaf ter c a l l e d , " s t r e e t s " and public p l aces of the City of Mt. Vernon, Kentucky , a sys tem of mains , p ipes , conduits" and appur tenances for the dis t r ibut ion and s a l e of natural or manufactured a n d , or mixed gas and providing for the advert isement and offer-ing of sa id proposed f ranch ise for s a l e and the accep tance or reject ion of b ids therefor.

SECTION II: - The person, firm, corporation, company, h i s or i t s s u c c e s s o r s or a s s i g n s , hereinafter* ca l l ed " g r a n t e e " acquir ing th is f ranch ise sha l l have the right and pr ivi lege of acquir ing, laying and maintaining a sys tem of mains , p ipes , condui ts and appur tenances in, a long, a c r o s s and under the public s t r e e t s and p l aces of sa id ci ty to t ransmit , d is t r ibute , and se l l natural, , or manufac-tured and , or mixod gas there f rom. to the inhabi tants of sa id City of Mt. Vernon, Ky.

The grantee , subsequent to the purchase and a c c e p t a n c e of t h i s f r anch i se sha l l immediately begin negot ia t ions to s ecu re an adequa te supply of g a s , and within one year aftfer secur ing s a i d supply of gas from the g ran tee ' s source

of supply and after secur ing the necessa ry rights of way , sha l l begin to construct and lay such pipe l ine and con-dui ts from i t s s a id source of gas of a capac i ty suf f ic ien t to meet the demands of the i n h a b i t a n t , industr ies and b u s i n e s s e s of t he Ci ty of Mt. Vernon, Ky., provided how-ever , the grantee sha l l not be l iable for any de lays , f a i lu res , or de fau l t s in th>- cons t ruct ion , maintenance, and operation of sa id sys tem .of gas mains, and 'pipe l ines occas ioned by any a c t s of God, s t r i k e s , the public enemy, lockouts or any other vis major which by the exe rc i s e of due d i l i -gence the grantee i s unable to avoid or overcome; and it i s further .provided that a if ihe grantee of th& f ranchise s h a l l have contracted with a third party for a source of supply of ga s , and a copy of such contract i s furnished to the City of Mt. Vernon, Ky., then and in t he event t he contract made between the grantee here of and the sa id third party for sa id gas supply excuses the sa id third party from supplying said gas to the grantee for c a u s e s beyond the control of sa id third party, then the grantee of t h i s f ranch ise sha l l be excused for i ts fai lure to furnish gas a s herein required to the same extent and for l ike c a u s e s as are spec i f i ed and se t out in the contract between th i s grantee and sa id third party.

Al l work to be performed by the grantee sha l l be in a workmanlike manner and performed s o a s not to interfere unreasonably with the public use of t he s t ree t s and public ways of sa id City; and said work and cons t ruc t ion sha l l not interfere with the Municipal Sewer System or the water and e lec t r ic distr ibution sys t ems in Mt. Vernon, Kentucky, nor sha l l it interfere with other u t i l i t i es or quas ipubl ic u t i l i t i es authorized to use the s t r e e t s and public ways of the Ci ty of Mt. Vernon, Ky. When a s t ree t is opened by the grantee for the puipose a fo resa id , it must be restored with-in a reasonable time by the grantee in or to a s good a con-di t ion a s it was in immediately prior to the opening thereof .

SECTION III; - , T h e grantee sha l l indemnify the City of Mt. Vernon, Ky. for a l l damages to i t s s t r e e t s and publ ic w a y s and public p l a c e s caused and brought about by the negl igence of the grantee, i ts agents and s e r v a n t s , and the grantee s h a l l defend any and a l l ac t ions caused or brought about or a r i s ing out of the cons t ruc t ion and laying of s a i d g ? s mains, pipe l ines and condui t s in, under, a long , , arK j c w f c v t b e s l r ee t a (Kid public"ways 'of sa id Ci ty and in

SECTION IV: - The period of th is f ranch ise sha l l extend for twenty (20) years from the e f fec t ive da te thereof .

SECTION V: -"That for the purpose of e f fec t ing a . s a l e of sa id f ranchise it is ordered that the Clerk of the City of Mt. Vernon, Ky. be, and s h e is hereby ordered and directed to s e l l sa id f ranch ise as proposed at public auct ion to the highest and best bidder at the front door 'of the City Hall in the Ci ty of Mt. Vernon, Kentucky, at the hour o r i 0 : 0 0 a . m . E . D . T . on September 4 , J 969. the purchase pr ice to be due and payable a s here inaf ter s t a t e d . SECTION VII: - The grantee , i t s s u c c e s s o r s and a s s i g n s s h a l l s e l l gas to the r e s iden t s , inhabi tan ts , p lants and consumers of the City,of Mt. Vernon, Ky., upon terms and at the rates spec i f i ed by the Publ ic Service Commission of the Commonwealth of Kentucky and sha l l s e rve the r e s iden t s , inhabi tants , p l an t s and consumers adequate ly in accordance with the ru les , regula t ions , control , and superv is ion of the Publ ic Service Commission of the Commonwealth of Kentucky or such o the r agency a s may be auth6rized and empowered by law to regulate the same.

SECTION VIII: - It is .hereby ordered that the grantee sha l l be exeropi from taxation insofar a s concerns s u c h taxa t ion* which is based on an a s se s smen t of i ts phys i ca l , tangible and intangible a s s e t s , where s u c h taxa t ion i s levied by the Ci ty of Mt. Vernon, Ky. for a period of f ive (5) years from the e f f ec t ive date of s t a r t ing cons t ruc t ion .

SECTION IX: - The granting of t h i s f r anch i se sha l l not interfere in any n.anner with the s a l e of bottled gas in the City of Mt. Vernon, Ky., by any person , firm or corporat ion, other than the grantee of th is f r anch i se ; and the grantee of t h i s f ranchise sha l l not interfere wi(h any such s a l e s by engaging in any bott led gas bus iness for retai l to con-sumers in the City of Mt. Vernon, Ky.

SECTION X: - Any other provision of th is ordinance t o the contrary notwifhs tanding, if gas i s not avai lable under sa id f r a n c h i s e to consumers with the Ci ty of Mt. Vernon, Ky. , on or before 24 months a f t e r the da te tha t the bid for such f r anch i se is accep ted , then such f ranch ise may be revoked by the Board of Council of the Ci ty of Mt. Vemon , Ky. at i ts option, without refund to the s u c c e s s f u l bidder.

SECTION XI: - It is hereby ordered that th is Ordinance s h a l l take e f f ec t from and af ter i t s p a s s a g e , approval and publ icat ion a s provided by law-
