TraDing UpDaTeAfter a slow start in January, trading momentum has built throughout the quarter and I am pleased to say that Gaming has improved month on month. I also note that our restaurants have traded solidly throughout the quarter with members taking advantage of the membership renewal promotion. Another positive outcome has been the substantial reduction in creditors throughout the quarter. All bank covenants have been met. We are looking forward to an even stronger quarter as Winter approaches.

annUal general MeeTingDon’t forget that the Club’s Annual General Meeting (AGM) will be held in the Celebrity Room on Tuesday 21 May 2013 at 6:00pm.

If you are able to attend, please do so. The Club’s Annual Report and Statement of Accounts for 2012 and the outlook for 2013 and beyond will be presented.

The Business of the 2013 Annual General Meeting is also advertised in this magazine.

life MeMbers lUnChAs usual, a resolution will be put to members at the AGM to elect new Life Members with 40 years continuous membership. If carried, a celebratory lunch will be held for those 231 new Life Members in the Celebrity Room on Friday 24 May 2013 at 12:00pm. At the lunch, Life Member badges will be presented.

This is always a wonderful occasion and our opportunity to recognise and thank those members for their loyalty and support over many years.

CoMMiTTee eleCTionsThe Committee elections will be held in May 2012. This election will again be determined by a postal ballot and the results will be announced on Friday 24 May 2013. I urge all Gold, Silver and Life members to cast your vote.

The nominations for the 2013 Committee Elections close at 5.00pm on Friday, 26 April 2013. The notice in respect of Committee elections was published in the previous edition of the magazine.

offiCe of liqUor gaMing & raCing invesTigaTionI am pleased to advise that the Office of Liquor, Gaming & Racing (OLGR) investigation has been completed. We were always confident that there would be no adverse findings against the Club, the Chief Executive Officer, Mr Tony Guilfoyle, or anyone associated with the Club, and this was confirmed when we were advised that OLGR intended to take no action and considered the matter finalised.

This puts to an end this expensive and time-wasting distraction.

Chairman’s Message

new banking arrangeMenTsAs you will be aware, since the global financial crisis banks have been tightening their security. National Australia Bank (NAB), with which we had banked for many years, made it clear to us earlier this year that it intended to extend its security from a mortgage over 194 Pitt Street to a charge over all the Club’s assets.

The Committee considered it prudent to explore what other banks might offer and we received an extremely attractive proposal from ANZ Bank. This offered us lower interest rates, less restrictive covenants, improved flexibility and certainty in return for a charge over the Club’s assets.

Consequently, the Committee resolved in February 2013 to transfer the Club’s banking arrangements to ANZ Bank from NAB. This change has allowed us to undertake the gaming upgrade which eventually should increase revenue.

We look forward to a long and rewarding relationship with ANZ Bank, and thank NAB for its past support.

gaMing UpgraDeMembers will have noticed some new poker machines on the gaming floor.

Over the next several months, more new machines will be introduced as part of an overall fleet upgrade.

In addition to the new machines, the Club has purchased the ticket in/ticket out, card in/card out gaming system bringing the very latest gaming technology to the Club. Members will have the full benefits of this in late May 2013.

airspaCe DevelopMenT UpDaTeThe application for the Sydney City Council’s pre DA Advice is likely to be lodged in June 2013, rather than May 2013. You will appreciate that the application is a complex document involving the collaboration of many different disciplines. It is however, progressing satisfactorily and I will continue to update you on a regular basis, including at the upcoming AGM.

We will shortly be contacting key Club stakeholders to obtain their input on behalf of the various subsidiary Clubs.

The requisition sought a total of eight (8) Rule changes. Legal opinion received by the Committee was to the effect that only three (3) of the eight (8) proposed Rule changes were appropriate to be put to the members for voting on. The Committee has resolved that these three (3) proposed Rule changes will be put to members.

Please see the Notice of General Meeting in this magazine giving full details. The voting will be by postal vote. The voting papers will be accompanied by short submissions for and against the proposals. The Committee will not be supporting any of the three (3) proposals.

ConClUsion I ask all members who can make it to take the trouble to come along to the AGM in May, as the Club may be entering a very exciting phase. I also encourage all members to participate in the postal elections for Committee in May 2013 and in respect of the proposed Rule changes sought by 13 members in June 2013.

ClUbs nsw Chef’s Table CoMpeTiTion 2013Once again two (2) Chefs from our Club have been recognised for their exceptional skills in the kitchen as part of a state-wide hunt to find the best club chefs.

Mr Julian Leather and Mr Ciarian Faherty were selected as one of fifteen (15) teams to reach the finals of the Clubs NSW 2013 Chef’s Table competition. Together they created an innovative and enticing three (3) course menu which will be showcased in the Esperanto Dining Room after the final event.

The ‘Chef's Table’ competition was created by Clubs NSW to recognise the many talented chefs, cooks and apprentices in clubs across New South Wales.

We wish them the best of luck in the competition this year.

Kamal Limbu has been working in the Food and Beverage department since August 2007. Kamal has been praised on his commitment to both his work and his team. Kamal is always prepared to help out when needed and is happy to do so. Kamal has been described by members of his team as going the extra mile in everything he does.

Abdullah Zubair has been contributing to our Gaming department since May 2011. Abdullah always goes out of his way to help fellow workers, and always goes the extra mile to assist Members & Guests. Abdullah's peers have the great respect for Abdullah and his work ethic.

A total of 12 staff members were nominated for these awards. This is a wonderful acknowledgement of the standard of service staff exhibit at City Tattersalls Club.

Rule 22.2 The Committee must, upon receipt of a written requisition signed by at least one hundred (100) Voting Members (each of whom are financial members of the Club as at midnight before the receipt of the requisition by the Chairman) must convene a general meeting of the Voting Members to deal with any proper purpose specified in the requisition other than for dealing with the rules.

City tattersalls Club has an enviable reputation for excellence at the Chef’s Table Awards. Once again our chefs have been recognised for their exceptional skills in the kitchen as part of a state-wide hunt to find the best club chefs.

The winning team - including Sous Chef, Julian Leather and Junior Sous Chef, Ciaran Faherty - was selected as one of fifteen teams to reach the finals of the ClubsNSW 2013 Chef’s Table competition.

Now in its ninth year, the competition recognises the exceptional cooking abilities of club chefs and sets a benchmark for best practice within the club industry.

In the finals the teams will be judged on the execution, taste and presentation of their 3-course menu, as well as their preparation skills and kitchen procedures.

The competition winners will be announced at the ClubsNSW Chef’s Table Awards Dinner on Monday 29 July 2013.

We wish them all the best!

Trading Results 2012

i am pleased to be able to advise that our club made a trading profit of $367,747 in 2012. that result needs to be qualified by the matters set out in the treasurer’s report and i refer you to the treasurer’s report in this magazine.

the sydney cbD continued to be a tough trading environment throughout 2012. the club faced many challenges from within and from outside, but despite that, our club continues to trade reasonably well, but of course there is room for improvement. Our key revenue driver, gaming, fell by 1%. this is not a huge fall, but we did not want it to become a trend. We have been aware for some time that our fleet of machines have needed renewal, but the uncertainty around the need for pre commitment technology as well as the club’s finances made it necessary to delay the expenditure needed to do so. We have this year however made the commitment to that renewal to ensure that the decline is arrested and that the gaming revenue is reenergised.

a pleasing part of the 2012 results is our membership growth. total new memberships grew by 47% over the 2011 figure and this growth filtered through to catering and fitness centre revenue also. Our street frontage promotions have been particularly successful and we are looking to build up that success in 2013.

We are looking forward to even stronger year of trading in 2013 and thank all members for your support.

possible Airspace Development

since 2004, the club’s development plan has included the possibility of developing the club’s airspace, and in 2012 the committee decided that conditions were right to progress this.

the first step is to obtain pre-Development application advice from the city of sydney council on whether a development would be likely to be approved and, if so, with what conditions. the application for this pre-Da advice will be lodged in June 2013 and i will report to members when it is received.

i emphasise that no decision to proceed with the development will be made without members’ approval.

office of Gaming Liquor and Racing Investigation

the investigation into the club by the Office of liquor, Gaming & racing (OlGr) continued throughout the second half of 2012 and was completed in april 2013. it was an expensive and time-wasting exercise. We were always confident that there would be no adverse findings against the club or anyone associated with it, and this was confirmed when we were advised that OlGr intended to take no action and considered the matter finalised.

Corporate Governance

in 2012 the committee sharpened the focus on corporate governance including:

a) engaging the services of a consultant to advise on governance issues.

b) Prepared a corporate Governance Policy document to guide the current committee and future committees.

c) setting measurable key performance indicators to better measure the performance of senior executives.

d) creating sub committees in such areas as finance, corporate governance, marketing and remuneration to get a more detailed understanding and to make recommendations to the committee.

this emphasis on good corporate governances will continue to be an important focus throughout 2013 and beyond.

Boonoona Ski Lodge

2012 was not a good year for boonoona with total revenue seriously down, even in what was a reasonably good ski season. that performance made it imperative to change the business model for the lodge. as you are aware, the committee made the decision to open bookings up to the public (which requires them to become a Gold member to secure a booking), but only after members have had a first chance to make their bookings.

this has worked well with bookings for the 2013 season already substantially ahead of where we were at this time last year and looking extremely promising for a good season.

Committee

i take this opportunity to thank the members of our committee for their contributions throughout 2012.

the amount of work that has to be done and the time that has to be put in by committee Members grows every year and there is no sign of that abating. new legislation is making the role a more onerous and difficult one. add to that the increasing issues facing all clubs and then add the particular challenges facing our club. it is a hard and time consuming task with no reward, other than the knowledge that it is done to preserve and benefit a great club.

i also thank members for their support of the committee and its decision.

Staff

i also thank our staff for their work throughout 2012 and for how they dealt with the various issues which impacted on them. i encourage them to continue in their efforts to make our club a welcoming venue that members and others want to return to.

Conclusion

i urge members to support our club in 2013. no matter what the committee and Management may decide and action, everything ultimately depends on the support and patronage of our club’s loyal members.

Treasurer’s Report 2012it is my pleasure to once again present the annual financial report for the 2012 trading year to members, which i do on behalf of the chairman and board of city tattersalls club. in summary the club produced a trading profit of $367,747.

the committee undertook a valuation of the club property (which did not take into account the club’s airspace) which resulted in an impairment of $623,156. the trading profit of $367,747 before the effects of property re-valuation of $623,156 which is an improvement of $578,479 against last year’s loss of $210,732.

the impairment of $623,156 had no impact on our trading results due to the write down being made against our substantial asset revaluation reserve of $1,989,027. the final result for 2012 after revaluation of property, plant and equipment was a loss of $255,409.

Financial performance

there is no doubt that the below average financial performance of retail stores in cbD during 2012 has had a marked effect on the result produced this year. Many retailers are struggling and have reported a decrease on their yearly results during 2012. throughout 2012 people were not coming into the city to spend like they did previously to the Global financial crisis.

further supporting the tough trading environment in the cbD are the results produced by clubsnsW showing clubs in the cbD are 2.7% down on gaming turnover for the 2012 period against 2011 when compared to all nsW clubs that have shown an increase of 3.6% for gaming turnover (including inner sydney decrease of 2.7%) against 2011. further emphasising this point is the turnover decrease of 11.9% for inner sydney clubs when the rest of nsW is up 2.6% (including inner sydney) when the 2012 result is compared to the pre-smoking results of 2007. Our gaming revenue for the 2012 period decreased by $188,000 or 1% which is a result that can be improved on but is in line with cbD trends as shown in clubsnsW statistics.

the club combined total revenue and other income increased by $319,021 or 1.2% on 2011 due to a number of factors which i have detailed in the following discussion.

as i have already stated, gaming revenue decreased by $188,000 or 1% on the previous year. With gaming being the club’s major revenue producer, it is imperative that attention is given to the reasons for this reduction and focus is put on reversing the trend. therefore in an effort to turn the gaming results around the board, after management recommendation, has decided to invest in new gaming machines under a staged installation throughout 2013. a new gaming system will also be installed that will improve player

loyalty and allow the very latest in gaming technology of ticket in ticket Out and card in card Out to be utilised by our players, as well as streamlining many of the administrative functions involved in the gaming operation. We are confident of the success of this investment and acknowledge it is critical for us to be at least up to the technological standard of our competitors.

Our membership new member drive and renewal incentive program had a positive effect on membership revenue which was only down by 0.5% compared to 2011. this is considered a great improvement where the previous five years produced an average decreased revenue of around 5%. Our total new members for 2012 were 2,105 compared to 1,436 for 2011 an increase of 47%.

a successful promotion throughout 2012 and the later part of 2011 resulted in a increase in gymnasium revenue of 6% on 2011 along with additional new members. this was very encouraging considering there had been a negative growth for the past 2 years for this business unit.

boonoona lodge produced a disappointing revenue result which was down $61,000 or 26% on 2011. Due to this result the board decided to drop the traditional booking system of a member ballot for the 2013 season and have introduced a first come first served policy. this new policy will not disadvantage city tattersalls club members who are given first preference for accommodation bookings along with lower

rates. after the member exclusive period is completed the available accommodation is offered to the public via the Perisher blue website with the condition that all adult bookings must become a member of the city tattersalls club. to date i can report that total bookings are very encouraging under this new system when compared to 2012.

a significant improvement to our income came from the sale of a number of gaming machine entitlements which netted the club $627,500. these sales were made after a period of due diligence was carried out and decided by the board that the immediate and future benefits to the club far outweighed any gains that would be made by holding onto the entitlements. not only was there an immediate injection of cash to the business but continual savings each year will be made on service, electricity and general operating costs of the machines with no detrimental impact on the revenue.

as i have stated in previous years, the club’s expenses are always under review either through improved efficiencies or cost decreases negotiated with suppliers. this strategy lead to an overall decrease in expenses of $218,582 or 0.9% on the total of $25,209,912 for 2011.

some of the more significant cost movements in 2012 when compared to 2011 were:

• Decreased Members expenses of 99,495 or 13.4% with a significant portion of this attributable to no board elections held in 2012.

• Poker Machine licenses and tax totalling $5,479,054 decreased by $386,508 or 6.6%. this was mainly due to decreased gaming taxes (due to a decrease in gaming revenue) and improved efficiencies for service to gaming machines which resulted in cost savings of over $67,000 for 2012.

• finance costs were reduced by $41,239 or 2.9% due to lower loan balances during 2012.

• increase in personnel expenses of $215,273 or 2.6%

• increase of $92,084 or 4.3% on the 2012 total of $2,209,458 for entertainment, marketing and promotional expenses. this was mainly attributed to increases in general advertising for the club membership and gymnasium member drives.

• increased Property expenses mainly due to increased workers compensation premiums for 2012.

although our gaming tax liability was reduced this year the club has now paid an additional $14,195,000 in gaming tax since the introduction of the new tax regime in 2004.

through a number of management initiatives we have been able to reduce our overall electricity usage by 9% on 2011 and 11% on 2010. some of these initiatives included the complete changing of light globes and tubes throughout the entire club. unfortunately this

has not reduced but only stemmed the actual electricity costs which again were up by 7% on last year which is attributable to continual increased network charges. this is definitely one area the club will continue to give attention to in order to improve efficiencies and minimise the impact of ever rising electricity costs.

Financial position

the club’s total assets decreased by $1,863,731 while the total liabilities also decreased by $1,608,322 or 6.7%. these decreases resulted in an overall decrease of the club’s net assets of $255,409 or 0.6% for 2012.

Most of the decrease to the assets was due to lower balance in 2012 for property, plant and equipment. as i indicated in my report last year capital purchases would be kept to a minimum this year and this combined with the revaluation write down of $623,156 resulted in the property, plant and equipment decrease.

a number of results contributed to the decrease to liabilities of $1,608,322.

• trade and other payables decreased by $523,486

• loans and borrowings decreased by $1,290,757

• Overdraft increased by $300,541

While it was a tremendous result for the club to reduce its trade and other liabilities by over $500,000 it is also very encouraging to see the loans and borrowings reduced by nearly $1,300,000.

the final two instalments totalling $384,712 for the loan to fund the new front entrance and alfresco Gaming room were made in March and June 2012. in august 2012 an additional commercial bill was drawn down for $350,000 and was repaid in agreement with the national australia bank. this commercial bill repayment plus another $300,000 were made on the 31st December 2012. the Major Works loan was reduced by $600,000 while the 194 Pitt st loan remains unchanged.

throughout 2012 the club met all bank covenants while continuing to deliver quality services and facilities that are rightfully expected by our members.

Cashflow

net cash generated from operations of $1,877,568 was a decrease of $1,023,029 on the result of $2,900,597 for 2011. a great deal of this decrease can be attributed to the focus that was placed on reduction of trade and other payables during the year which had increased at the end of 2011.

as previously mentioned the club kept capital expenditure to a minimum with a reduction of $1,782,002 in expenditure compared to

2011. i indicated earlier in my report that there will be a increased capital expenditure in 2013 with special attention to improving the back of house systems and gaming product offered to our members and guests.

i wish to thank our chairman Pat campion and all my fellow committee members for never losing sight of our goals even when the most difficult of challenges, both internal and external, are thrown at us. thanks should also go to tony Guilfoyle our chief executive Officer for the incredible energy and dedication he gives to the board and club.

Discussion and analysis of the statement of comprehensive income

the company’s total revenue (including financial and other income) for 2012 increased by $319,021 or (1.2%) to $26,749,478 over the prior year whilst total expenses have decreased by $218,582 or (0.9%) resulting in a net profit before tax of $367,747 (2011: loss $210,732).

individual items that have significantly impacted the result include:

• Decrease in revenue from rendering of services of $184,398 or (0.9%) which is mainly derived from decrease in gaming revenue;

• increase in other income of $645,960 or (100.0%);

• Decrease in interest income of $362 or (91.4%);

• increase in personnel expenses by $215,273 or (2.6%);

• Decrease in poker machine licences and taxes of $386,508 or (6.6%);

• Decrease in finance costs of $41,239 or (2.9%).

Discussion and analysis of the statement of financial position

the company’s net assets have decreased by $255,409 or (0.57%) over the year. this has resulted from an decrease in the company’s total assets of $1,863,731 or (2.7%) together with a decrease in liabilities of $1,608,322 or (6.7%).

Major movements during the year were as follows:

• Decrease in property, plant and equipment of $1,594,986 or (2.3%) to $66,288,820;

• Decrease in trade and other payables of $523,486 or (11.4%) to $4,074,539;

Discussion and analysis of the statement of changes in members’ funds

total general funds increased by $367,747 during 2012 (2011: decrease of $210,732) to $42,949,301 (2011: $42,581,554). this increase solely represents the profit for the year.

total reserves decreased by $623,156 during 2012 (2011: $0) to $1,989,027 (2011: $2,612,183). this decrease solely represents the revaluation decrease on land and buildings.

Discussion and analysis of the statement of cash flows

Operating activities provided net cash of $1,877,568, an decrease of $1,023,029 or (35.3%) when compared to the previous year. cash flows from operating activities in 2012 were largely impacted by a reduction in trade payables balances by year end when compared to 2011.

net cash used in investing activities for the year has decreased by $1,748,168 or (68.3%) to $812,526 when compared to the previous year.

net cash used in financing activities for the year is $1,290,757, which represents debt repayments made during the year.

1 Basis of preparation of the concise financial report

the concise financial report has been prepared in accordance with the accounting standard aasb1039 concise financial reports and applicable urgent issues Group consensus views. the financial statements and specific disclosures required by aasb1039 have been derived from the company’s full financial report for the financial year. Other information included in the concise financial report is consistent with the company’s full financial report. the concise financial report does not, and cannot be expected to, provide as full an understanding of the financial performance, financial position and financing and investing activities of the company as the full financial report.

the financial report is prepared on the historical cost basis except where stated.

a full description of the accounting policies adopted by the company may be found in the company’s full financial report.

these accounting policies have been consistently applied by the company and are consistent with those of the previous year. the presentation currency is australian dollars.

(a) Going concern

the financial statements have been prepared on a going concern basis, which assumes continuity of normal business activities and the realisation of assets and settlement of liabilities in the ordinary course of business.

the club made a total comprehensive loss of $255,409 for the year ended 31 December 2012 (2011: loss $210,732), included in this result was a revaluation decrement of land and buildings of $623,156 and a gain on sale of gaming machine entitlements of $627,500 (2011:$nil). the club also had a working capital deficiency of $5,762,704 (2011: $6,291,483) which was mainly made up of trade and other payables. notwithstanding this, the committee believe that the going concern basis is appropriate given:

• the club generated earnings before financing, depreciation and income tax of $3,542,504 (2011: $3,117,909) or $2,915,004 if excluding the gain on sale of gaming machine entitlements, during the year ended 31 December 2012, and generated cash flows from operating activities of $1,887,568 (2011: $2,900,597). cash flows from operating activities in 2012 were largely

impacted by a reduction in trade payables balances by year end when compared to 2011.

• included in current liabilities are employee benefits of $685,398. the committee believes that the majority of this amount will not be cash settled during the next twelve months, based on prior year history, which has shown that only a small amount of employee benefits liabilities are cash settled in any given year.

• included in trade payables is an amount of $1,204,115 (2011: $1,228,720) representing gaming tax payable to the Office of state revenue (Osr). the club has taken advantage of an approved deferred payment arrangement with the Osr. as at the current date, the amount due to the Osr has been reduced to $649,840 which is in accordance with Osr payment requirements.

• subsequent to year end, the club made further planned repayments of those bill facilities existing at year end and made reductions in trade payables and accruals balances from levels reported at year end.

• subsequent to year end, the club has also refinanced its finance facilities, which provide the club with beneficial

terms, greater flexibility and access to additional funding. the club is forecasting to meet all of the required debt covenants over the coming twelve months with its new financier.

• as a result of the new financing arrangements, the club has commenced an upgrade of gaming machines and the back of house gaming system which should enable the club to improve performance and achieve operational efficiencies.

• the club is continuing to explore other strategic opportunities which if realised, are expected to provide significant benefits to the club.

• the club is forecasting to generate profit before depreciation, interest and income tax, and positive cash flows from operations to meet working capital needs and debt servicing requirements.

after considering the above, the committee considers that the club will be able to continue to fulfil all obligations as and when they fall due for the foreseeable future, being at least twelve months from the date of approval of these financial statements, and accordingly, that the club’s financial statements should be prepared on a going concern basis.

to the extent that the club ever has issues with respect to its ability to pay its debts as and when they fall due, due to unforeseen circumstances, the club would then seek to lease or sell its 194 Pitt street property, as previously advised to members prior to the decision to purchase the property.

2 Accounting estimates and judgements

the preparation of financial statements requires management to make judgements, estimates & assumptions that affect the application of policies and reported amounts of assets and liabilities, income and expenses. results may differ from these estimates.

estimates and underlying assumptions are reviewed on an ongoing basis. revisions to accounting estimates are recognised in the period in which the estimate is revised and in any future periods affected.

information about critical judgements in applying accounting policies that have the most significant effect on the amounts recognised in the financial statements and assumptions and estimation uncertainties that have a significant risk of resulting in a material adjustment within the next financial year, are included in the notes to the financial statements.

cHeetAHs sWimming cLubthe Cheetahs is a men’s swimming club, steeped in tradition and in 2009 completed its 50th anniversary. the club holds events each thursday evening in the pool of the mens fitness Centre, commencing at 6.15pm. Usually three swimming events are conducted ranging from 25 to 400 yards with 50 yard events the most common. swimming is usually followed by a get together at one of City tatts bars. any members who turn up will be made to feel very welcome and can ‘try it out’ for a night - just turn up. enquiries: ian mclennan 0418 228 455

MAh-jOng mah-jong is a tile game that originated in China and requires skill, strategy and calculation. the game is played with a set of 152 tiles based on Chinese characters and symbols. each player begins by receiving thirteen tiles, then players draw and discard tiles until they complete a legal hand using the fourteenth drawn tile to form four groups and a pair. we welcome new players to join in this fun, entertaining game. enquiries: mrs noel miller 02 9948 3063

rACQUeTBALL CLUBCity tattersalls Club has two racquetball courts in the men’s fitness Centre. racquetball has been played at the club for more than 50 years and boasts a rich honour roll of past and present players.

new players come to racquetball from a background in tennis and squash or just have an interest in racquet sports.

the racquetball Club conducts annual handicap and open tournaments. on monday, wednesday, and friday afternoons from around 3:00pm social games are organised for players from beginners to advanced.
