SUBJECT: DDA REMOTE MEETING SPECIAL PROCEDURES

At the direction of the City of the Village of Douglas staff and in accordance with similar action taken by City Council, the City of Douglas Downtown Development Authority (DDA) Board adopted the following Remote Meeting Special Procedures for all remote meetings of the DDA, during the Special Meeting of the Board, held remotely on April 15, 2020.

CITY OF THE VILLAGE OF DOUGLAS

REMOTE MEETING SPECIAL PROCEDURES

The following guidelines shall be in-place to assist and manage public attendance and participation in

remote (online and telephone), electronic meetings of the City of the Village of Douglas, Michigan.

1) City Staff shall be available to assist the public to make reasonable accommodations for those with

disabilities and/or the hearing impairment to attend and participate without impediment.

2) For the purpose of carrying-out remote meetings, a staff member will act as "administrator" to manage

all content, access, video, audio, chat, "gesturing," recording, visual, and screensharing controls.

3) For the purposes of preserving the agenda and integrity of the meeting, the meeting "administrator"

shall assist the chairperson in moderating audio/microphone controls of participants, building a speaker

list of those wishing to comment while limiting public microphone access to "public comment"/"public

participation" periods of the meeting, as published.

4) Online attendees/participants shall indicate their desire to speak on an agenda item or topic by using

"gesturing" controls (i.e. Raise Hand, Thumbs Up, etc.), using the chat window, or by voice. All

microphones will be temporarily unmuted for a brief period of time at the beginning of all "public

comment"/"public participation" periods of the meeting so those joining by telephone or those

participants who are audio-restricted may indicate they would like to be added to the speaker list. The

chairperson and meeting "administrator" will share the responsibility of building and managing the

speaker list, recognizing each speaker individually and toggling microphone controls so all speakers on

the list may be heard.

5) Lewd, profane, hostile, aggressive, racist/discriminatory, disruptive, or otherwise obstructive behavior

by attendees/participants will not be tolerated. The City and meeting "administrator" reserve the right

to warn, limit, restrict, and remove any content or participants in violation of the of this directive.

6) All "public comment"/"public participation" periods of the meeting will be concluded after the

chairperson/meeting "administrator" has: a) exhausted the speaker list

b) responded to any outstanding "gesturing"

c) answered any outstanding requests to speak as indicated in the chat window, and

d) after a final call for any additional or remaining public comments as indicated by voice. All

microphones will again be temporarily unmuted at that time.

7) The City shall record and make available to the public in a reasonable timeframe all content of all

remote meetings of Council and public board/commissions for the public record, online and at

individual request in electronic format.

Sharing, Sesquicentennial Celebration

The Downtown Development Authority (DDA) had previously sought the approval of City Council to host their annual Summer Socials. The circumstances of the Novel Coronavirus (COVID-19) global pandemic, resulted in the Events Committee cancelling the June and July Summer Socials out of an abundance of caution for preserving public safety and health, and to limit liability. Concurrently, the City of the Village of Douglas had hoped to celebrate the 150th Anniversary (Sesquicentennial) of the Village’s founding with numerous community partners, while the local Masonic Lodge is seeking to commemorate the efforts of the Tri-Community’s essential and medical workers with a fly-over on August 15th. The DDA Executive/Finance Committee recommends the Board consider the August Summer Social, specifically considering rescheduling to coincide with the August 15th fly-over and reprogramming the event to commemorate Douglas’ 150th Anniversary, with consideration of current public health advisories concerning the Novel Coronavirus (COVID-19).

- Motion to Revise Scope

On May 18th, City Council considered the Downtown Development Authority’s (DDA) request of the City to allocate $35,000 to share the cost of the Downtown District Gateway (Downtown Sign), in support of the active $85,628.55 construction bid from Postema Signs and Graphics, as procured by M. C. Smith and Associates (MCSA). Council’s consideration of this request stalled under intense scrutiny of the scope and cost of the project (specifically related to the size and digital display) and public participation. Council failed to reach a consensus in support of funding the current proposal and recommended the DDA consider revising the scope of the proposal. Since, the City Council and the DDA Executive/Finance Committee have received multiple communications from both Downtown District merchants and members of the DDA’s Downtown District Gateway Sign Committee members indicating they would like the current scope of the project and associated contractual services reviewed, revised, and limited out of an abundance of caution over the cost and public perception. On June 18th, Council passed the FY 2020-2021 budget, allocating $35,000 specific to City Wayfinding elements in response to the Downtown District Gateway Executive Summary and Tier B - Project 18 (“Street signage improvements and wayfinding system”) of the Downtown District Development Plan and Tax Increment Financing (TIF) Plan. June 24th the City Manager, in response to the increased scrutiny and urgency of merchants given the pressure of the Novel Coronavirus (COVID-19), authorized the Department of Public Works to re-install the former directional arrow at the current downtown sign -garnering immediate support and praise. In the current limited capacity of the DDA Board and Committees, the Executive/Finance Committee has considered all actions taken by the City and the feedback from Council, merchants, and former sign committee members. Given these considerations, the DDA Executive/Finance Committee recommends the Board consider:

1. Formalized alignment of the Downtown District Gateway project scope, design language, and construction timeline with that of the City’s public input process, scope, and construction timeline for Wayfinding elements;

2. Removal of the LED digital display from the project scope and budget, and appropriate re-scaling of the size of the sign as a result; and

3. Service MCSA notice of the Board’s decision, further requesting a temporary hold in rendering any further billable design and construction services until the City finalizes a coordinated municipal Wayfinding strategy and scope, Fall 2020.
