City ofNewcastle and CH2M HILL, Inc.

This Agreement is entered into by and between the City of Newcastle, Washington, a non charter optional municipal code city hereinafter referred to as "the City", and CH2M HILL, Inc., herein referred to as "the Consultant", whose principal office is located at 1100 11 ih A venue NE, Suite 400, Bellevue, W A 98004-4504.

WHEREAS, the City has determined the need to have certain services performed for its citizens but does not have the resources to perform such services, and

WHEREAS, the City desires to have the Consultant perform such services pursuant to certain terms and conditions, now, therefore,

IN CONSIDERATION OF the mutual benefits and conditions set forth below, the parties hereto agree as follows:

1. Scope and Schedule of Services to be Performed by Consultant. The Consultant shall perform those services described on Exhibit A attached hereto and incorporated herein by this reference as if fully set forth. In performing such services, the Consultant shall at all times comply with all federal, state, and local statutes, rules and ordinances applicable to the performance of such services and the handling of any funds used in connection therewith. The Consultant shall request and obtain prior written approval from the City prior to the initiation of any specific task not included in the scope or services. If the scope or schedule is to be modified in any way, prior written approval is also required.

2. Compensation and Method of Payment. Payments shall be made by the City to the Consultant based on month-end billings. The City shall pay the Consultant for services rendered within thirty days after receipt of a billing voucher in the form set forth on Exhibit B attached hereto and incorporated herein by this reference. The total amount to be paid shall not exceed $596,657.85. The Consultant shall complete and return Exhibit C, Taxpayer Identification Number, to the City prior to or along with the first billing voucher submittal.

With the monthly invoice, per the attached Billing Voucher (Exhibit B), shall be a narrative review and schedule of the past month's activities, along with the work products developed, for which the invoice serves.

3. Duration of Agreement. This Agreement shall be in full force and effect for a period commencing April 17, 2007 and ending April 30, 2008 unless sooner terminated under the provisions hereinafter specified.

4. Ownership and Use of Documents. All documents, drawings, specifications, computer files, photographs, calculations, models, maps, and other materials produced by the Consultant in connection with the services rendered under this Agreement shall be the property of the City whether the project for which they are made is executed or not. The City agrees to indemnify Consultant and Consultant's officers, employees, subConsultants, and affiliated corporations from all claims, damages, losses, and costs, including but not limited to, litigation expenses and attorney's fees arising out of or related to the unauthorized reuse, change or alteration ofthese project documents.

5. Independent Consultant. Consultant and City agree that Consultant is an independent Consultant with respect to the services provided pursuant to this Agreement. Nothing in this Agreement shall be considered to create the relationship of employer and employee between the parties hereto. Neither Consultant nor any employee of Consultant shall be entitled to any benefits accorded City employees by virtue of the services provided under this Agreement. The City shall not be responsible for withholding or otherwise deducting federal income tax or social security or contributing to the State Industrial Insurance Program, or otherwise assuming the duties of an employer with respect to the Consultant, or any employee of the Consultant.

6. Indemnification.

A. The Consultant agrees to indemnify the City from any claims, damages, losses, and costs, including, but not limited to, attorney's fees and litigation costs, arising out of claims by third parties for property damage and bodily injury, including death, caused by the negligence or willful misconduct of the Consultant, the Consultant's employees, affiliated corporations, officers, and lower tier subConsultants in connection with this Contract.

B. The City agrees to indemnify Consultant from any claims, damages, losses, and costs, including, but not limited to, attorney's fees and litigation costs, arising out of claims by third parties for property damage and bodily injury, including death, caused by the negligence or willful misconduct of the City, the Cities employees, or agents in connection with this Contract.

C. Negligence or willful misconduct of both the Consultant and the City (or a person identified above for whom each is liable) is a cause of such damage or injury, the loss, cost or expense shall be shared between the Consultant and the City in proportion to their relative degrees of negligence or willful misconduct and the right of indemnity shall apply for such proportion.

D. The Consultant hereby waives its immunity under Title 51 of the Revised Code of Washington for claims of any type brought by any Consultant agent or employee against the City. This waiver is specifically negotiated by the parties and a portion of the City's payment hereunder is expressly made the consideration for this WaiVer.

7. Insurance.

A. The Consultant shall procure and maintain in full force throughout the duration of the Agreement comprehensive general liability insurance with a minimum coverage of $1,000,000.00 per occurrence/aggregate for personal injury and property damage. Said policy shall name the city of Newcastle as an additional named insured and shall include a provision prohibiting cancellation or reduction in the amount of said policy except upon thirty (30) days prior written notice to the City. Cancellation of the required insurance shall automatically result in termination of this Agreement.

B. The Consultant shall procure and maintain automobile liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. The automobile liability insurance shall cover all owned, non-owned, hired and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing equivalent liability coverage.

C. In addition to the insurance provided for in Paragraph A and B above, the Consultant shall procure and maintain in full force professional liability insurance for those services delivered pursuant to this Agreement. Such professional liability insurance shall be maintained in an amount not less than $1,000,000.00 combined single limit per claim/aggregate. For the purposes of this Paragraph "professional services" shall include but not be limited to the provision of any services provided by any licensed professional under this Agreement.

D. Certificates of coverage as required by Paragraphs A and B above shall be delivered to the City within fifteen (15) days of execution of this Agreement.

8. Record Keeping and Reporting.

A. The Consultant shall maintain accounts and records, including personnel, property, financial and programmatic records which sufficiently and properly reflect all direct and indirect costs of any nature expended and services performed in the performance of this Agreement and other such records related to this Agreement.

B. These records shall be maintained for a period of three (3) years after tennination hereof unless pennission to destroy them is granted by the office of the archivist inaccordance with RCW Chapter 40.14 and by the City.

9. Reports - Printed Copies & Electronic Version: When reports are required to be submitted to the City pursuant to this agreement, Consultant will provide three (3) printed copies to the City, and an electronic version. Said electronic version is provided for convenience and will not be considered Drawings of Record. By accepting these electronic files and the potential risk such as data erosion, erasure, and/or alteration, the City agrees to waive all claims against Consultant should data erosion, erasure, and/or alteration of these electronic files occur. Said electronic version shall be submitted to the City in a computer format compatible with PC software programs in current use by the City (Microsoft Word, Microsoft Excel, Microsoft Access, Microsoft PowerPoint, Microsoft Publisher, Visio, AutoCAD).

10. Audits and Inspections. The records and documents with respect to all matters covered by this Agreement shall be subject at all times to inspection, review or audit by law during the performance of this Agreement.

11. Termination. This Agreement may at any time be terminated for convenience giving either party thirty (30) days written notice. On termination, Consvltant will be paid for all authorized services perfonned up to the termination date. Failure to provide products on schedule may result in contract termination.

12. Discrimination Prohibited. The Consultant shall not discriminate against any employee, applicant for employment, or any person seeking the services of the Consultant to be provided under this Agreement on the basis of race, creed, color, national origin, families with children, sex, sexual orientation, gender identity, marital status, age, or the presence of any sensory, mental, or physical disability or the use of a trained dog guide or service animal by a disabled person.

13. Assignment and Subcontract. The Consultant may not assign or subcontract any portion of the services contemplated by this Agreement without the prior written consent ofthe City.

14. Entire Agreement. This Agreement contains the entire Agreement between the parties hereto and no other Agreements, oral or otherwise, regarding the subject matter of this Agreement, shall be deemed to exist or bind any of the parties hereto. Either party may request changes in the agreement. Proposed changes which are mutually agreed upon shall be incorporated by written amendments to this Agreement.

16. City of Newcastle Business License. Consultant agrees to obtain a City of Newcastle business license prior to performing any work pursuant to this Agreement.

17. State of Washington Requirements. Consultant agrees to register and obtain any State of Washington business licenses, Department of Revenue account and/or unified business identifier number as required by RCW 50.04.140 and 51.08.195 prior to performing any work pursuant to this Agreement.

18. Applicable Law; Venue; Attorney's Fees. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. In the event any suit, arbitration, or other proceeding is instituted to enforce any term of this Agreement, the parties specifically understand and agree that venue shall be exclusively in King County, Washington. The prevailing party in any such action shall be entitled to its attorney's fees and costs.

EXHIBIT A

City of Newcastle

Newcastle Transit Center Project

Scope of Services

During the term of this AGREEMENT, the CONSULTANT (CH2M HILL, Inc.) shall perform professional services in connection with the Newcastle Transit Center Project as described below. The duration of this agreement is 12 months commencing with the issuance of the Notice to Proceed on April17, 2007, by the City of Newcastle for Task 2: Base Mapping and Right-of-Way. All labor and expenses are provided in Exhibit B, Budget.

Project Description: The City of Newcastle (CITY) is improving the intersection of Coal Creek Parkway and Newcastle Way to provide transit related facilities, safety improvements, and traffic operational improvements. This project is funded in part by Sound Transit through an Inter local Agreement with the City of Newcastle. The proposed improvements include the following elements:

• Four new bus shelters, with the accommodation for three additional bus shelters in the future;

• Intersection improvements at Coal Creek Parkway and Newcastle Way, including reconstruction of sidewalks and driveways to be ADA compliant and pedestrian islands;

• Bike lanes along the Newcastle Way corridor between 129th Avenue SE and 132nd Avenue SE;

• Modification of the signal system at Newcastle Way and Coal Creek Parkway; and • Approximately 850 linear feet of 12-foot sidewalks along the north and south sides of

Newcastle Way between 129th Avenue SE and 132nd Avenue SE.

This Scope of Work involves Project Administration, Base Mapping and Right-of-Way, Alternatives Analysis and Selection, Right-of-Way Acquisition, Environmental Documentation, Preliminary Design and Engineering (60% ), Traffic Analysis and Engineering Design Support, Final Design Documents (90% and 100% ), and Public Involvement. Specific details of each task are provided below:

The limits of the project are shown in Figure 1.

General Scope Assumptions:

• In providing opinions of construction cost, financial analyses, economic feasibility projections, and schedules for the project, The CONSULTANT has no control over cost or price of labor and materials; unknown or latent conditions of existing equipment or structures that may affect operation or maintenance costs; competitive bidding procedures and market conditions; time or quality of performance by operating personnel or third parties; and other economic and operational factors that may

materially affect the ultimate project cost or schedule. Therefore, the CONSULT ANT makes no warranty that the CITY1s actual project costs, financial aspects, economic feasibility, or schedules will not vary from the CONSULTANT1s opinions, analyses, projections, or estimates.

• In soils, foundation, groundwater, and other subsurface investigations, the actual characteristics may vary significantly between successive test points and sample intervals and at locations other than where observations, exploration, and investigations have been made. Because of the inherent uncertainties in subsurface evaluations, changed or unanticipated underground conditions may occur that could affect total project cost and/ or execution. These conditions and cost/ execution effects are not the responsibility of the CONSULTANT.

• CONSULT ANT may reasonably rely on the accuracy and completeness of information, data, title reports received by or provided by the CITY, King County or any other third party.

• All reports, drawings, specifications, documents, and other deliverables of the CONSULTANT, whether in hard copy or in electronic form, are instruments of service for this project, whether the project is completed or not. The CITY agrees to indemnify the CONSULTANT and CONSULTANT1s officers, employees, subcontractors, and affiliated corporations from all claims, damages, losses, and costs arising out of or related to the unauthorized reuse, change or alteration of these project documents.

• The CONSULTANT's ability to meet the 12 month timeline is contingent upon timely receipt of information and or comments from the CITY, Sound Transit, and any other third party.

Task 1 Project Administration

The CONSULTANT will provide project administration and management for the duration of the project, which includes the following:

1.1 Preparation of a baseline project schedule that substantiates the milestone dates. The baseline project schedule will serve as a guide for scheduling the detailed work and will include a work breakdown structure (WBS) that clearly identifies the design/ project activities, their durations, and their reviews necessary to deliver the deliverables for the project.

1.2 Preparation and facilitation of monthly project management team meetings. These meetings will occur rotating between the CITY's office and the CONSULTANT's office. It is assumed that two CONSULT ANT staff member will attend each meeting, depending on the agenda. The CONSULTANT will prepare meeting agendas, meeting summaries, and action items. For budgeting purposes it is assumed that eight (8) meetings will be required and the meeting duration is anticipated at two (2) hours.

1.3 Preparation and submittal of monthly invoices and monthly progress reports. Each invoice will include an earned value report and will identify the current financial status of the project budget. The CONSULTANT will prepare monthly invoices and back-up in accordance with the format agreed upon by the CITY project manager. Progress reports will describe the work accomplished during the billing period, including the status of individual task, meetings attended, and action or information needed from the CITY. Progress reports will also indicate work to be accomplished during the next billing period. Progress reports will be submitted to the CITY with the monthly invoice.

1.4 Management of Subconsultant which includes reviews of Subconsultant's progress, their invoices, and work on various project elements.

1.5 Provide direction and oversight of the CONSULTANT's project team.

1.6 Project close out which includes archiving project records, closing project charge numbers, issuing final invoices, and recognizing performance.

Deliverables:

• Monthly invoices and monthly progress reports (up to 10),

• Meeting Agendas and Minutes (up to 10)

• Archived project records

Task2 Base Mapping and Right-of-Way

This task involves field surveying and development of a base map to support the design and right-of-way acquisition for the project.

Sub Tasks:

2.1 Existing Right-of-Way Research

2.2 Existing Right-of-Way Determination

2.3 Existing Utility Research The CONSULTANT will subcontract with a sub-surface utility locating service to mark underground utilities within the project limits.

2.4 Topographic Survey The survey limits to be approximately 1100 LF of Newcastle Way (approximately 600' +I- east of the centerline of Coal Creek Parkway and 500' +I- west of Coal Creek Parkway) and approximately 400 LF of Coal Creek Parkway (approximately 200' on both sides of the centerline of Newcastle Way).

2.5 Base Map Preparation The base map will be a 1" = 20 ft scale map with 2-foot contours and will delineate existing topography, overhead and underground utilities and right-of-way and parcel lines. Existing planimetric features to be compiled and shown include:

• Existing roadway and sidewalks • Right-of-way lines • Major utilities including storm drainage • Walls, structures, and culverts • Traffic signal equipment and signage

Deliverables: • 1" =20' Base Mapping with 2-foot contours showing planimetric features, underground

utilities, existing right-of-way.

Task3 Alternatives Analysis and Selection

The alternatives analysis and selection will include defining the problem to be solved, the purpose and need, and establishing design and evaluation criteria. Preliminary geometric layouts of two conceptual alternatives will be developed and evaluated using the evaluation criteria. Public involvement in this task will include a Focus Group Workshop, performed under Task 8.1, which will provide direction for screening the alternatives to select a preferred alternative. Once the alternatives have been evaluated they will be screened using input from the focus group. The final step will be selection of a preferred alternative to carry through preliminary design and engineering, environmental documentation, right-of-way acquisition, and final design documentation.

Task Assumptions:

• None of the alternatives developed will include roadway widening to support additional travel lanes or future turn lanes.

• Information developed from the preliminary layouts and the identification of constraints, impacts, and fatal flaws will be compiled and used in the Focus Group Workshop under Task 8.1. The results of the workshop will be used to refine the alternatives, as needed, to perform a comparative analysis and screening of the alternatives and facilitate selection of a preferred alternative.

• This task includes up to two (2) meetings with CITY staff and Sound Transit to review the alternatives. Two (2) CONSULTANT staff will attend.

• The CONSULTANT will assist the CITY in responding to Sound Transit's review comments within two weeks of receipt, as required in the Memorandum of Understanding. For budgeting purposes, it is assumed that one (1) round of comments will be reviewed and that the CITY will be responsible for compiling all comments from Sound Transit before submitting to CONSULTANT.

• There will be no vertical alignments or grading analysis performed in the alternatives.

• Cost will be not developed for the alternatives.

3.1 Design and Evaluation Criteria

The CONSULTANT will research and document applicable design standards/ guidelines for Roadway, drainage and signal & illumination. Design standards and guidelines reviewed will include AASHTO, King County, Sound Transit, and WSDOT. This research will result in design criteria being selected and documented in a technical memorandum.

The CONSULTANT will develop criteria for the evaluation, scoring, and ranking of the alternatives. Criteria may include adherence to design standards and guidelines, impacts to private property and above ground utilities, hydrology, levels of flow control, water quality treatment, non-motorized modes, transit elements, and urban design treatments.

3.2 Intersection Design and Street Configuration

Preliminary layouts of two (2) conceptual alternatives will be developed. Elements included in the alternatives will include horizontal alignments, turn pocket configuration, bicycle lanes, sidewalk widths, driveway configuration, crosswalk placement and length, and transit shelter locations. Specific constraints related to right-of-way, the environment and constructability will be identified and alignments adjusted to avoid or minimize the affects of those constraints. Adjustments made as a result of constraints will be documented as part of the alternative analysis. However, those adjustments are assumed to be a component of alternative development and will not result in additional alternatives. Only two (2) alternatives will be included in the alternative analysis.

3.3 Traffic Congestion, Safety, and Non-motorized Modes

Work will be performed under Task 7 to support the development of the alternatives and evaluation criteria. Supporting analyses will include existing and future conditions intersection levels-of-service, future turn pocket queue storage needs, collision history, current pedestrian and bicycle volumes, and future pedestrian generators.

3.4 Property Interference and Impacts Analysis

Encroachments and impacts to private property, access driveways, parking, above ground utilities, service vaults, and electrical cabinets caused by roadway widening will be defined for each alternative.

The CONSULTANT will identify existing overhead and subsurface (sewer, water, natural gas, storm drainage) utilities and determine the impacts to these utilities as a result of the conceptual alternatives developed. For each conceptual alternative the CONSULTANT will assess the relocation or undergrounding of the existing utilities. The assessment will be based on potential design and construction costs, and constructability. Relocation is assumed to mean vertical and/ or horizontal movement of the affected utility at a specific point of conflict.

Mapping will be prepared at 1" =20', indicating the existing underground utilities within the project limits. This mapping will be compiled using utility company

record drawings, surface designated paint markings of the utilities, and surface features. The CONSULTANT will not field paint storm drain and gravity sewer between manholes.

Utilities will be identified by type and size (where information is available, e.g. 11 as­builts") and shown in a single-line format. Utility depths will not be shown and utility locations will be noted on the plans as approximate and subject to II potholing".

A contact list of affected utilities will be prepared indicating the name of the utility, type of utility (sewer, water, etc.) primary contact name, phone number, mailing address, e-mail address, and fax number.

The CONSULTANT will compile the information developed into an attachment to the alternatives analysis technical memorandum. Plan sheets showing the existing utilities, potential pothole locations, and potential utility relocations and/ or replacements will be included. Potential relocations and/ or replacements will be identified in plan view only and no detailed design will be performed.

3.5 Landscape and Urban Design

The CONSULT ANT will prepare existing conditions and case study analyses of existing physical features (of the project area) and relevant successful transit center­related improvements in similar suburban communities. They will include identifying the existing, and in some cases, envisioned physical features and characteristics that help give the area its image and identity. This study will be presented at the Focus Group Workshop (see Task 8- Public Involvement) for use in preliminary design.

The CONSULTANT will develop design principles based on the base mapping, context of the surrounding environment, and case study analysis to integrate urban design and landscape architecture to enhance multi-modal mobility while providing attractive public spaces to support existing and desired future uses. The urban design principles will be compatible with the intersection design and evaluation criteria.

The CONSULTANT will prepare preliminary streetscape concepts supporting the design principles based on the two (2) conceptual alternatives, including:

• Sidewalk configurations (delineations for movement zones, amenity zones, opportunities for additional streetscape embellishments);

• Preliminary organization and concepts for form-giving streetscape elements, including: pedestrian and roadway lighting, street trees, landscaping and hardscape design;

• Enhanced pedestrian crossings;

• Identification of opportunities for public art, way finding, and other place­making features;

• Conceptual design and integration options for transit shelters; and

• Early design guidance for public and private realm relationships (i.e., supporting future land uses).

Deliverables:

• A technical memorandum will be prepared that provides a compilation of the information prepared as part of the alternative analysis. It will include documentation of the design and evaluation criteria selected and the results and input from the Focus Group Workshop. The final deliverable will be the Newcastle Transit Center Alternatives Memorandum. It will include the alternative selected for final design and a supporting illustrated document containing urban design principles that reflect the project's over-arching goals to guide subsequent design development.

• Conceptual Streetscape Design Plan based on the intersection and street configuration conceptual alternatives, including: design plan drawing, up to four (4) cross-sections, and up to three (3) perspective drawings.

Task Assumptions:

Task4 Right-of-Way Acquisition

• There are up to nine (9) parcels potentially affected by the project.

• The CONSULTANT shall identify and provide acquisition services to obtain property rights from the nine affected parcels.

• For the purposes of budgeting, it is assumed that there will not be any damages to the property owners from the property acquired.

• Ownership information for parcels requiring only temporary right of entry for preliminary engineering investigation purposes, e.g. survey and soil borings will be identified for use by the CITY in securing temporary rights of entry.

• The scope does not include the actual filing of condemnation and subsequent litigation; closing costs such as recording fees, title insurance fees, transfer taxes, etc., penalty costs for pre-payments costs of a pre-existing mortgage, the pro rate share of real property taxes paid subsequent to vesting title to the District; appraisal and review appraisals; relocation Services; or legal descriptions.

Sub Tasks:

4.1 Preliminary Right-of-Way Plans

The CONSULT ANT will order title reports for parcels affected by fee simple takes or easement acquisitions. The CITY will approve the Title Company used. The CONSULTANT will order and review the title reports. The CITY will be billed directly by the Title Company for the title reports.

The CONSULT ANT will perform research at the CITY, and King County to obtain copies of existing road right-of-way information, assessors maps, record of surveys, plats, and short plats within the project area. The CONSULTANT will establish right-of-way limits, parcel boundary lines using assessor maps, recorded plats, and title report information. Once all information is reviewed, CONSULT ANT will search for and field survey controlling monuments, plat monuments, street right-of­way monuments, and property corners that are found along the right-of-way. With this information the CONSULTANT will establish the centerline of the right-of-way in the project area and delineate the right-of-way limits on the project base map.

The CONSULTANT will prepare preliminary Right-of-Way Plans which will include a table with listing of affected parcel ownership's along with parcel areas needed for right-of-way or easements for the project per WSDOT Local Agency Guidelines.

The CONSULT ANT will prepare a legal description and sketch illustrating the take area of each affected parcel. Documentation will include descriptions and exhibits for partial takes and permanent easements and exhibits for temporary construction easements. For budgeting purposes, nine (9) fee simple takes is assumed.

Deliverables:

• Preliminary Right-of-way Plan, parcel table, titles reports.

• Legal Description and Exhibits

4.2 Right of Way Coordination

For each impacted parcel, the CONSULTANT will prepare an interface plan overlay on aerial photograph and one cross-section. These deliverables will be used in meetings with CITY staff, appraiser and property owners.

The CONSULTANT will coordinate the right-of-way negotiations with the negotiator and property owner(s) within the budget allocated to this task.

The CONSULTANT will prepare and update right-of-way /real estate acquisition true cost estimate at 60%, 90% and 100% submittal.

Deliverables:

• Property interface plan over on aerial photograph for each impacted parcel

• True Cost Estimate

4.3 Property Appraisals/Review

The CONSULT ANT will review the title reports and ownership information for each parcel. The CONSULTANT shall prepare appraisals assuming no damages to the property. Appraisal reports will be prepared for each parcel. The CONSULTANT (Appraisers) will develop cost-to-cure.

The CONSULT ANT will provide an independent appraisal review from a licensed and qualified appraiser.

The CITY will review and approve the appraisals.

For property appraisals coordination, it is assumed that one meeting (2-hour) will be held at the CITY or the CONSULTANT office attended by up to five (5) staff from the CONSULTANT team.

• Appraisals of up to nine (9) parcels.

• Appraisal review of up to nine (9) parcels.

4.4 Property Owner Negotiations

The CONSULT ANT will negotiate for portions of property and/ or property rights for the completion of the proposed projects. The CONSULTANT will assist the CITY with the acquisition process and preparation of forms.

The CONSULT ANT will inspect and prepare a Preliminary Survey Report for each parcel. The CONSULTANT will identify fee interest ownership for each parcel.

The CONSULT ANT will prepare acquisition forms needed to obtain property rights. This proposal does not include condemnation forms. The CONSULTANT will negotiate and assist in obtaining signatures from all parties with an interest in the fee title for the following types of takes (a minimum of three personal contacts). The CONSULT ANT will prepare justification reports for administrative settlements of no more than one (1) parcel. The CONSULTANT will maintain diaries for each parcel.

The CONSULT ANT will assist in obtaining clear title of property and/ or property rights, which the CITY has determined to be reasonable or will adversely affect the rights being acquired.

The CONSULTANT will provide certification review advisory and coordination services. The CONSULTANT will assist in delivering funds to the property owners. The CONSULTANT will deliver certification ready files to the CITY.

Deliverables:

• Preliminary Right-of-way Plan, parcel table, titles reports and true cost estimate of right­of-way costs for preferred alternative.

• Certification ready files for up to nine (9) parcels.

Task Assumptions:

TaskS Environmental Documentation

• The CITY and Sound Transit will serve as co-lead agencies for purposes of issuance and environmental documentation and compliance with the State Environmental Policy Act, RCW Chapter 43.21C. The CITY will serve as "nominal" lead CITY as per WAC 197-11-926 and 197-11-944 assuming that only compliance under SEP A will be required, and not under NEP A since no federal funding or federal permitting is anticipated. It is

anticipated that a SEP A Environmental Checklist will be prepared by the CITY and either a DNS or MDNS will be the environmental determination issued for this project under SEP A Sound Transit will be provided the opportunity by the CITY to review and comment on the draft SEP A environmental documentation and also the SEP A determination prior to issuance to the public.

• No formal noise or air quality analysis wiii be required.

• Only the NPDES and Clearing and Grading permits will be required.

Sub Tasks:

5.1 SEP A Environmental Checklist

The CONSULT ANT will complete a SEP A environmental checklist and any nominal analyses to complete the checklist.

5.2 State and Local Permits

This includes preparation of the environmental permit applications required for construction, submittal of permit packages to the appropriate agencies; and submittal tracking and CITY coordination during the application review process.

This work includes support for design drawing modifications to meet permit application requirements. The CONSULTANT will assist the CITY in preparing the Clearing and Grading permit. The CITY is responsible for securing the permits and for permit fees.

The CONSULTANT will prepare a Notice of Intent (NOI) for NPDES permit application. The NOI will be submitted to the Department of Ecology, along with the Stormwater Poiiution Prevention Plan prepared under Task 6.4.

5.3 CITY Coordination

A single pre-application meeting will be held for the Clearing and Grading permit to present project overview and obtain input on concerns, design constraints, and likely permit conditions. The CONSULTANT will follow up with permit agencies by telephone to assess review/ approval status and identify information needs.

Deliverables:

• Completed SEP A environmental checklist

• NOI for NPDES permit application

• CITY coordination, meeting notes, and records of phone conversations.

Task6 60%, 90% and Final Design and Engineering

• This task will take the preferred conceptual alternative selected in Task 3 and advance it to final design.

• The CONSULTANT will provide a hard copy and electronic copy (PDF) of the Plans, Bid List, Specifications, and Opinion of Construction Cost for the CITY to submit to Sound Transit.

• Within two weeks of receipt of 60 percent, 90 percent, and Final design plans from the CITY, Sound Transit shall review and provide to the CITY its comments on an electronic comment form, which would be forwarded to the CITY. Sound Transit will provide input in a timely manner to the CITY on each phase of Project development as requested by the CITY. The CITY will be responsible for compiling all comments from Sound Transit before submitting to CONSULTANT.

• The CONSULT ANT will assist the CITY in responding to Sound Transit's plan review comments within two weeks of receipt.

• Treatment and detention of stormwater will be needed. For budgeting purposes, it is assumed that detention and treatment facilities will consist of underground vaults. KCRTS software will be used for hydrology and facility sizing. Pre-cast vault elements are assumed with no structural design needed and treatment facilities will be manufactured stormwater treatment devices.

• Depending on the geotechnical investigation results, it assumed for budgeting purposes that standard pole foundation designs will be used and no special designs will be required.

• No water or sewer main relocations will be required.

• Structural earth wall is needed along the north side of Newcastle Way, west of Coal Creek Parkway.

Sub Tasks:

6.1 Geotechnical Engineering and Investigations

The CONSULT ANT will complete geotechnical engineering and investigations necessary to design retaining wall, signal and illumination pole foundations, and underground vaults.

Up to two (2) soil test borings will be collected to determine the foundation bearing capacity and settlement.

The CONSULT ANT will complete a review of observable existing site field conditions and available geotechnical information, including the results of available exploration and laboratory testing programs conducted in the vicinity of the Project.

The CONSULTANT will prepare a geotechnical report summarizing the available geotechnical information, field investigation, laboratory testing, soil analysis, and geotechnical recommendations for the project.

This work will include design support to write specifications and special provisions.

6.2 Landscaping, Irrigation, Urban Design, and Public Art

The CONSULTANT will refine the streetscape concepts for Coal Creek Parkway and Newcastle Way to the level of detail necessary for final design. This work will expand the work accomplished in Task 3. The CONSULTANT will refine the planting and irrigation concepts and prepare plan drawings for the streetscape planting and irrigation design.

The CONSULT ANT will manage and coordinate the landscape architecture, urban design, and public art and will compile deliverables for the CONSULT ANT to include in submittal of design drawings to the CITY. This work is intended to resolve numerous issues related to the streetscape and allow the project to advance to the preparation of construction documents.

The CONSULT ANT will set up a process to involve artists to assist in the integration of place making, interpretive, and thematic features and expressions into the streetscape design.

The CONSULTANT will provide quantities and unit costs for landscape architecture and urban design elements as shown in the design concept.

6.3 Roadway Design

See Figure 2 for sheet list by discipline.

The CONSULTANT will prepare a cover sheet that would include drawings index and vicinity map showing the project limits.

The CONSULTANT will prepare general notes, abbreviations, and symbols sheet.

The CONSULTANT will prepare Alignment Data Tables.

The CONSULT ANT will prepare Survey Control, Right of Way and Alignment Plans showing the roadway centerline, survey control points, curve data, tangent bearings and distances, proposed right of way and existing right of way. The CONSULTANT will identify and define the extent of property acquisition and easements necessary for project construction. The CONSULTANT will prepare this information both in tabular form and in the right-of-way plan sheets. Monumentation requirements will be addressed on the right-of-way plans. Right of Way plan will indicate all acquisitions, including partial fee simple, permanent easements and temporary construction easements. This R/W plan will have an ownership block showing tax parcel numbers, ownerships, ownership total areas (sf), R/W acquisitions (sf), permanent easements (sf), temporary construction easements, and remainders (sf) for all properties.

The CONSULTANT will develop Construction Staging Plans on three plan sheets with the sheets repeated for assumed two construction stages. The plans will include staging notes describing contractor requirements for maintenance traffic lanes, parcel access, and safe work zone maintenance. The plans will also delineate specific areas of concern, critical access requirements for individual properties, commitments made to adjacent property owners and businesses. The construction staging plans

prepared by the CONSULT ANT will serve as the basis for the contractor to prepare detailed construction staging and maintenance of traffic plans.

The CONSULTANT will prepare Roadway Sections denoting roadway widths, sidewalks, bicycle facilities and/ or lanes, and traffic lanes.

The CONSULT ANT will prepare Roadway Profiles drawings for the main roadways and cross streets within the project area; cross-slope diagrams will be included on the profiles. Edge of pavement elevations will be established by either curb profiles or standard super elevation diagrams, and be based on the roadway centerline profile.

The CONSULTANT will develop Site Preparation design which will define the demolition activities, including items to be abandoned, salvaged, recycled, or removed and identify facilities that need to be protected during construction. Demolition items will include surface feature items, such as pavements (by type), sidewalk, curbs, walls, building structures and foundation. Demolition required for utilities, drainage features, signing, striping, signalization, and illumination will not be included in these drawings and will be shown on the relevant discipline drawings. This information will be shown on the Site Preparation and Erosion Control Plan.

The CONSULTANT will prepare Paving and Grading Plan showing dimensions for roadway features (curbs/ gutters, sidewalks, paving limits), bicycle facilities, and trail and path facilities. The plans will also show curb returns, tapers, intersection layouts, proposed driveway access, and other pertinent surface features such as retaining walls. A layout of property conform limits will be developed and shown in the form of cut-and-fill lines and property reconstruction limit. The CONSULTANT will also prepare curb return data for each leg of the intersection including tables with gutter elevations at PC, PT, quarter; grades, radius and length of curve.

The CONSULTANT will prepare Intersection Grading Plan showing the proposed contour of the intersection design at 0.1' interval. It is assumed that intersection grading design will be developed for the Coal Creek Parkway /Newcastle Way intersection.

The CONSULTANT shall prepare detail sheets identifying miscellaneous roadway and driveway details not covered by standard plans.

Channelization and signing plans will be prepared. These plans will delineate the locations of all pavement markings including lane lines, crosswalks, turn arrows, stop bars and curb face painting. These plans will also show the locations and sizes of required signing and will include a sign schedule indicating the type and location of individual signs.

The CONSULT ANT shall review the geotechnical boring data and will determine the limits of the retaining wall. The CONSULTANT shall prepare detailed design drawings including sections and details of the retaining wall.

Standard plans will be prepared and assembled for inclusion in the contract documents.

The CONSULT ANT will prepare specifications using the current WSDOT Standard Specifications for Road, Bridge and Municipal Construction.

The CONSULT ANT will perform quantity takeoffs for the paving, grading, earthwork, traffic control, site preparation, channelization and signing.

The CONSULTANT will compile unit prices.

6.4 Stormwater Design

Prepare a type, size, and location analysis for stormwater treatment and detention facilities. Results of the analysis will be documented in a technical memorandum up to three (3) pages in length.

The CONSULT ANT will prepare drainage plans and profiles. These plans will include information and plan views of storm drainage system including pipes, manholes, catch basins, inlets, stormwater detention and treatment facilities. Prepare storm drain analyses (both uniform flow and backwater) for proposed storm drains. Existing catch basins and manholes that may continue to be used will be field checked to determine the type of structure (brick, concrete) and the condition of the structure to confirm suitability for continued use.

This task includes preparation of a Stormwater Pollution Prevention Plan in support of the NPDES permit application prepared in Task 5.2.

Drainage profiles depicting structure types and slopes, rim and invert elevations of storm drains will be prepared.

The CONSULT ANT will develop erosion control design which shows erosion and sedimentation controls measures to be used for this project. This information will be shown on the Site Preparation and Erosion Control Plans.

The CONSULTANT shall prepare detail sheets identifying miscellaneous drainage and erosion control details not covered by standard plans.

The CONSULTANT will prepare specifications using the current WSDOT Standard Specifications for Road, Bridge and Municipal Construction.

The CONSULT ANT will perform quantity takeoffs for drainage and erosion control items.

The CONSULT ANT will compile unit prices.

6.5 Traffic Signal and Illumination Design

The purpose of the traffic signal modifications is to replace current signal poles and mast arms with new equipment to support future protected left-turn phasing.

For the signal at Newcastle Way and Coal Creek Parkway, the CONSULTANT will prepare the signal permits, signal plans, pole schedule and details in accordance with CITY guidelines showing proposed locations for the modified signal, electrical hardware, and wiring diagram. The CONSULTANT will prepare quantity takeoffs, tabulations, and backup calculations in accordance with CITY guidelines.

Geotechnical investigations and signal pole foundation designs will be conducted as described in Task 6.1.

Lighting and signalization conduit and equipment will be coordinated with utility plans.

The CONSULT ANT will coordinate with King County on the signal equipment King County can support.

The CONSULTANT will prepare the illumination plans and details in accordance with King County guidelines and the MUTCD. The CONSULTANT will submit to the CITY a set of illumination plans showing proposed locations for the new illumination, wiring diagrams, and electrical hardware. The CONSULT ANT will prepare quantity takeoffs, tabulations, and backup calculations for this work based on King County guidelines.

The CONSULT ANT will prepare specifications using the current WSDOT Standard Specifications for Road, Bridge and Municipal Construction.

The CONSULT ANT will perform quantity takeoffs for traffic signals and illumination.

The CONSULTANT will compile unit prices.

6.6 Utility Undergrounding and Relocation Design

The CONSULT ANT will send out letters with the preferred selected alternative overlaid on the existing survey base map to utility companies for utility location verification.

The CONSULTANT will work with the CITY to develop agreements with each utility company on cost sharing, work schedule, services during construction, and potholing locations.

The CONSULTANT will identify locations for utility potholing based on where the 60 percent design indicates a potential conflict with proposed facilities. It is assumed that up to ten (10) pothole locations will be identified. Identified pothole locations will be shown on the existing utilities map. This work includes potholing of the identified locations.

The CONSULTANT will coordinate with affected utility companies at up to six (6) meetings. The meetings will determine final pothole locations, pothole data sharing agreements, and possible utility relocations based on the stormwater design.

The CONSULT ANT will review the 60 percent design once pothole data has been received to see if there are any conflicts with existing water, gas, sewer, power, or communications. The CONSULTANT will then modify the stormwater design to avoid impacts to existing utilities or coordinate with utility companies to relocate facilities where they can be avoided.

The CONSULTANT will coordinate the design of overhead utility undergrounding with utility companies. This includes limits of undergrounding, the location of

power and communication vaults, and number of conduit runs. The design will determine service connections from distribution lines. The CONSULTANT will not be responsible for coordinating service connection details with individual property owners.

The CONSULT ANT will provide base map sheets to each utility company for use in their individual design. The CONSULTANT will compile plans for overhead utility undergrounding and include those plans in the set of contract documents. The CONSULTANT will coordinate with each utility company to confirm that their design is consistent and compatible with the roadway design.

The CONSULTANT will prepare Utility Plans showing the joint trench line and Utility Details showing the backfill requirements agreed upon by those utility companies sharing the trench. Fire hydrants will be marked on the plans for relocation where required in coordination with the Coal Creek Utility District.

The CONSULTANT will prepare specifications using the current WSDOT Standard Specifications for Road, Bridge and Municipal Construction.

The CONSULTANT will perform quantity takeoffs for drainage and erosion control items.

The CONSULTANT will compile unit prices.

6.7 Specifications, Quantity Compilation, and Engineer's Estimate

The CONSULTANT will prepare contract specifications for 90 percent and 100 percent design documents. The CONSULTANT will prepare a bid list for 60 percent design.

The CONSULT ANT will compile quantities from different disciplines for the project into a single summary of quantities sheet. Quantity tabulation sheets will not be prepared.

The CONSULTANT will prepare an engineer's estimate for the project at the 60 percent, 90 percent, and final levels of completion. The estimate will be prepared using the summary of quantity sheets with documented unit costs, lump-sum prices, and back up. The CONSULTANT will submit unit price documentation for nonstandard work items. The estimates will be submitted in hard copy and PDF format.

6.8 QAJQC Review

Quality Assurance/Quality Control (QA/QC) reviews will be performed for all engineering design. Project design criteria, geotechnical recommendations, and roadway geometries will be reviewed to confirm conformity with the project requirements. A plans check, constructability check, and quantities check will be completed on the 60%, 90%, and final design.

The landscape and irrigation designs will include drawings and a schedule depicting plant list, street tree layout, typical planting locations, and irrigation systems.

Task 7 Traffic Analysis and Engineering Design Support

Task Assumptions:

• The purpose of this task is to support the development and analysis of project alternatives and to assess potential impacts of the proposed roadway improvements on traffic circulation, intersection operations, safety, and non-motorized modes at the defined intersection.

• Analysis will be performed for one intersection at Newcastle Way and Coal Creek Parkway in the City of Newcastle, W A.

• No other forms of intersection control other than a traffic signal will be analyzed.

• No intersection lane capacity improvements will be analyzed.

• Forecasting will use previous forecasts from City of Newcastle and Coal Creek Parkway projects.

Sub Tasks:

7.1 Data Collection

The AM and PM peak hour turning movement traffic count data collected in May 2005 will be used to perform the traffic analysis. The CONSULTANT will collect 24-hour machine tube counts on each leg of the intersection to verify current traffic volumes and measure approach speeds.

The CONSULT ANT will compile and review the following traffic data:

7.2 Existing Conditions Analysis

CONSULTANT will perform a safety analysis based on historical collision data provided by the CITY.

CONSULTANT will analyze existing AM and PM peak hour intersection operations using Synchro software. The methodology in the 2000 Highway Capacity Manual will be followed in the analysis.

7.3 Traffic Forecasting

Traffic forecasts will be developed for the project intersection based on the recent 2030 PSRC traffic model, previous forecasts developed for the City of Newcastle and the Coal Creek Parkway project. Separate AM and PM peak hour annual growth rates will be derived from the traffic forecasts. The growth rates will be applied to existing intersection volumes to create year of opening (2008) and design year (2030) traffic volumes. In all cases, the PSRC model has been developed assuming I-405 expansion. Analysis of Coal Creek Parkway without I-405 expansion will not be considered for the 2030 (design year) analysis.

Intersection volumes will be calculated for AM and PM peak hours in 2008 and 2030 for future conditions analysis.

7.4 Future Conditions Analysis

CONSULTANT will analyze future 2008 and 2030 AM and PM peak hour intersection operations using Synchro software. The methodology in the 2000 Highway Capacity Manual will be followed in the analysis. 95th percentile queue lengths will be reviewed in the design year (2030) to determine the necessary turn pocket storage lengths.

7.5 Transportation Technical Memorandum

A transportation technical memorandum will be prepared documenting work performed in Task 7.

TaskS Public Involvement

Public participation is a source of knowledge and information about local conditions, needs, and attitudes, and thus assists in the decision making process. This task will occur throughout the project up to 60% design submittal when input and feedback is needed to make critical decisions. Coordination will occur between other on-going projects within the area. Attendance at additional meetings (up to 16) may be needed.

Task Assumptions:

The CITY will be responsible for preparing the mailing address lists for the focus group workshop, stakeholders meeting, and public open house.

Sub Tasks:

8.1 Focus Group Workshop

The CONSULTANT will plan and facilitate a Focus Group Workshop to offer input on two (2) conceptual alternatives and provide direction in selecting a preferred alternative. All arrangements (including meeting space) will be coordinated and provided by the CITY.

8.2 Stakeholders Meeting

The CONSULT ANT will plan and facilitate a stakeholders meeting to present the preferred alternative based on the results of the alternatives analysis, the evaluation criteria selected, and the results from the Focus Group Workshop. Meeting attendees will have an opportunity to comment on the preferred conceptual alternative to identify unresolved issues and help refine the preferred alternative leading up to 60 percent design. All arrangements (including meeting space) will be coordinated and provided by the CITY.

8.3 Public Open House

The CONSULT ANT will plan and host a public open house at the appropriate time during Task 6. All arrangements (including meeting space and notification) will be provided by the CITY.
