As recommended in the accompanying report of the Directors of the Bureaus of Sanitation and ContractAdministration, which this Board has adopted, the Board of Public Works requests approval andforwarding to the City Council for approval and authorization to execute Personal Services Contractsbetween the City of Los Angel.es and approved Pre-Qualified On-Call Consultants to provide as-neededplanning and technical support services for the Bureau of Sanitation's wastewater, stormwater and solidresources programs. The Personal Services Contracts are for five years duration from the executiondate with an option of renewal for an additional five years based on Board approval.
FISCAL IMPACT
The selected consultant teams will provide services on as-needed basis on a cost plus basis for fiveyears with an optional 5-year extension. Because the proposed contracts are for as-needed services,which will be identified in the future, it is not possible to provide specific funding information at this time.Appropriate funding information will be identified prior to requesting proposals from the firms for specificprojects. These funds will be utilized from current and approved future budget items.

RECOMMENDATIONS
1. Request the Board of Public Works (Board) deem AECOM Technical Services, Inc.,AKM Consulting Engineers, and GeoSyntec Consultants to have met the BIPrequirements as discussed in this report.
2. 5. Upon the Mayor's and Council's approval and authorization, the President or twoCommissioners of the Board will execute the Personal Services Contracts.

DISCUSSION
Background
The Bureau, whose mission is to protect the public health and the environment, delivers threemajor core services by managing and administrating the following programs:
Wastewater Program: The Bureau is responsible for operating and maintaining one of theworld's largest wastewater collection and treatment systems. Over 6,700 miles of sewers servemore than four million residential and business customers in Los Angeles and 29 contractingcities and agencies. These sewers are connected to the City's four wastewater and waterreclamation plants that can process an average of 550 million gallons of wastewater each day ofthe year.

Watershed Protection Program: This program is designed to protect the beneficial uses ofreceiving waters while complying with all flood control and pollution abatement regulations. Thisbroad-based program encompasses public education and outreach, commercia!lindustrialfacilities inspection, private development plan approval, construction development activitiesinspection, illicit discharger and illegal dumping site investigations, monitoring of the City'sreceiving water bodies to keep the storm drain system free of trash and pollutants, and to createcleaner waterways, neighborhoods and beaches.
Solid Resources Program: The Bureau collects refuse, recyclables, yard trimmings, and bulkyitems from more than 750,000 homes as well as maintains compliance with State recyclingmandates. Household waste is collected curbside from all single family and small multiple familyresidences. Recycling mandates are met by collecting Solvents, Automotives, Flammables andElectronics (SAFE) at collection centers in order to recycle and dispose of electronics andhousehold chemicals; operating transfer, mulching and composting facilities; and seekingcreative and innovative ways to reduce environmental harm and increase waste diversion awayfrom limited landfill space.
In addition, the Climate Change Adaptation Program, a nascent fourth core program that is stillunder formation, may require the use of these technical services.
The Bureau is currently facing a number of regulatory challenges and new mandates] whichrequire quick and specialized analysis and response. These new mandates have direct impacton the Bureau's day-to-day operations. These quick demands on the Bureau create shortduration increases/peaks in workload that can't be fully absorbed by existing staff. To beresponsive to these requirements and mandates, the Bureau will need to utilize al! available andnecessary resources. These include utilizing the Bureau's in-house staff and experts as long asthe workload can be accommodated and doesn't impact the Bureau's customer service. Insome instances, the type of technical analysis and work needed is very limited in duration andrequires very quick turn-around time and specialized expertise that goes beyond the capabilityof the Bureau's in-house staff. Also, in some instances, the Bureau requires response and inputfrom industry experts who have experience with similar regulatory or program challenges. .
To meet these specialized needs, where long term staffing is not feasible and existing staffing isnot available or unable to perform the required tasks, the Bureau seeks to establish an on-calllist of consulting firms to provide these services on an as needed basis.
On January 13, 2012, the Board authorized the Bureau to distribute a RFQ and negotiate andestablish an on-call list of consultant services for planning and technical support services for theBureau's Wastewater, Stormwater and Solid Resources programs (Transmittal No.1). Thecontracts resulting from the RFQ (Transmittal No.2) would replace the existing on-callconsulting contracts to ensure uninterrupted services.

Scope of Services
The Bureau plans to utilize the on-call consulting services to provide specialized and expertservices for the following, but not limited to:
Wastewater Program - Planning, Scientific and Technical Issues, Operational Support Services,Plant Optimization, Sewer System Structural and Hydraulic Condition Assessment, SewerCapacity Plan, Rehabilitation Plan, Development of Industrial Waste Discharge Standards, Fats,Oil and Grease Program, Regulatory Compliance Requirements, Odor Control Implementationand Testing, amongst other services.
Blosolids Program - Planning, Scientific and Technical Issues, Maintenance and OperationalSupport Services, Development of Biomass Alternative Technologies and Management,Regulatory Compliance Requirements, amongst other services.
Stormwater Program - Planning, Scientific and Technical Issues, Operational Support Services,Evaluation of discharge limits for Santa Monica Bay, Ballona Creek, Los Angeles River andLong Beach Harbors, Total Maximum Daily Loads (TMDLs) Compliance, RegulatoryCompliance Requirements, amongst other services.
Solid Resources Program - Strategic Planning, Scientific and Technical Issues, OperationalSupport Services, Commercial Recycling Planning, Development of Resource Recovery as anAlternative to the Use of Landfills, Regulatory Compliance Requirements, EPA grant funded forBrownfield sites' assessment Phase I and Phase II, amongst other services.
Information Technology (IT) Services - Technical Assistance
Climate Change Adaptation Program, a nascent program that is still under formation.
Financial Revenue and Bond Program - Financial Analysis, Financial Screening, FundingSources, review of current rate structure, amongst other services.
Strategic Planning/Safety and Training Program - Specialized Training and Human ResourcesDevelopment, support the Bureau's ongoing labor-management strategic planning effort,amongst other services.
Quality AssuranceNalue Assessment - Review feasibility, constructability and cost-effectiveness of recommended projects and programs.
Provide services to build support to critically and urgently needed system enhancements,programs and service upgrades or certain pilot projects/programs.
Public Outreach/Education Program - Including, but not limited to, communicating andcoordinating with community groups; arranging community meetings and public hearings; mediaoutreach, developing or using social media; and preparing printed, digital, or electronic literaturefor public dissemination.

Proposed Term of Agreements
The selected consultant teams will provide services on as needed basis for five (5) years withone optional 5-year extension.
Evaluation Process
The technical qualifications were rated by a panel comprised of Bureau of Sanitation andBureau of Engineering staff and were based on the following criteria:

Based on the evaluation criteria, all 26 firms met the minimum technical qualificationrequirements and are recommended for contract award by the review panel.
Local Business Preference Program
The Local Business Preference Program (LBPP) which was established by Ordinance No181910 did not have any bearing on the evaluations due to the recommendation to awardto all responsive Proposers. However, staff confirmed that the following respondents qualifiedfor the LBPP in accordance with the RFQ requirements:

Assignment of Work
Initially, the selected consultants will be listed in random order. Assignment of Task Ordersunder these contracts will generally be performed in one of the following manners noted below:
For Large Task Orders with estimated cost of equal to or more than $1,000,000The City will issue a Task Order Solicitation and will request all consultants on the list tosubmit proposals on an upcoming project. For each desired Task Order, the project willbe awarded to the pre-qualified on-catl consultant whose proposal represents the bestoverall value to the City for the requested work. The selected respondent will be movedto the bottom of the list for the purpose of subsequent work assignments. The TOS shallbe awarded by the Board.
For Moderately sized Task Orders greater than $250,000 but less than $1,000,000The City will issue a Task Order Solicitation and will request the top three (3) consultantfirms on the list to submit a proposal. The project will be awarded to the pre-qualifiedon-call consultant whose proposal represents the best overall value to the City for therequested work. The selected respondent will be moved to the bottom of the list for thepurpose of subsequent work assignments. The TOS shall be awarded by the Board.
For Smaller sized Task Orders equal or less than $250,000The City will issue a Task Order Solicitation to the first ranked firm on the list.Negotiations will follow on the terms for the project, specifically on the scope of work,deliverables, schedule, and costs. If an agreement cannot be reached with the first firm,the City reserves the right to negotiate with the next firm on the list and so on until anagreement is reached. The successful consultant will then be rotated to the bottom ofthe list for the purpose of subsequent work assignments. The TOS shall be awarded bythe Bureau Director or his/her designee.

Once an agreement is reached, the City will issue a Notice to Proceed. No work is authorizeduntil the City issues the Notice to Proceed to the selected firm. No guarantee of work is given orimplied to any of the consultants on the list.
The City reserves the right to advertise any Task Order, regardless of the size, to the top 3Consultant Firms or the entire list. Under certain special conditions, the City may choose toaward the Task Order regardless of the size to the first ranked firm on the list subject theconcurrence of the Board.
Contractor Responsibility OrdinanceAI! participants in this program are subject to compliance with the requirements' specified in theCity of Los Angeles' Contractor Responsibility Ordinance No. 173677, [Division 10, Chapter 1,Article 14, Los Angeles Administration Code (L.A.A.C.)] Failure to comply with all requirementsspecified in the Ordinance will render the consultants' contracts subject to termination pursuantto the conditions therein.
Contractor Performance EvaluationIn accordance with Division 10, Chapter 1, Article 13, L.A.A.C., the appropriate City personnelresponsible for the quality control of these personal services contract shall submit ContractorPerformance Evaluation Reports to the Bureau of Contract Administration, Special Research &Investigation Section upon completion of the Contracts.
Notification of Intent to ContractThe required Notification of Intent to Contract was filed with the CAO Clearinghouse onSeptember 18, 2012.
Charter Section 1022On August 3, 2011, the CAO determined that there was insufficient existing City staff to performthe work and that contracting was in the best interest of the City.

City Attorney ReviewBureau Staff completed contract negotiations and proposed contracts were drafted (TransmittalNo.9). The City Attorney reviewed and approved the contracts as to form.
Contract AdministrationThe responsibility for the administration of this contract will be with the Wastewater EngineeringServices Division.
Business Inclusion Program (SIP)It is the policy of the City of Los Angeles to provide Minority Business Enterprises (MBEs),Women Business Enterprises (WBEs), Small Business Enterprises (SBEs), Emerging BusinessEnterprises (EBEs), Disabled Veteran Business Enterprises (DVBEs), and all Other BusinessEnterprises (OBEs) an equal opportunity to participate in the performance of City contracts. Forthe purpose of this RFQ, the City set anticipated participation levels of 18% MBE, 4% WSE,25% SBE, 8% ESE, and 3% DVBE based upon the potential areas of work which may besubcontracted.
On January 13, 20 12, the Board authorized the Bureau to distribute a RFQ and to negotiate andestablish an on-call list of consultant services for planning and technical support services for theBureau's Wastewater, Stormwater and Solid Resources programs (Transmittal No. 2).Twenty-six (26) proposals were received in response to the RFQ prior to the March 28, 2012 due date.The Bureau's Central Contracts Unit (CCU) reviewed the SIP documentation submitted witheach proposal. In order to be deemed responsive, proposers were required to submit SIPdocumentation as described in Attachment A-OS of the RFQ, and to successfully complete theseven (7) indicators of the SIP Outreach requirements.
After a detailed review and evaluation by CCU of the BIP documentation submitted by thetwenty-six (26) proposers (AECOM, AKM, Atkins, Black & Veatch Corporation, Brown &Caldwell, Carollo Engineers, COM Smith Inc., CH2M Hill Engineers Inc., DR Consultants &Designers Inc., GeoSyntec, Hazen & Sawyer, HOR Inc., Kennedy/Jenks Consultants, LarryWalker Associates Inc., Malcolm Pirnie/ARCADIS, MARRS Services Inc., MWH, Parsons,Parsons Brinckerhoff, Psomas, RMC Water and Environment, Tetra'Iech Iwr., ShawEnvironmental Inc., TRC Solutions Inc., URS Corporation, ·and Worley Parsons Group Inc.),CCU found Atkins, Black & Veatch Corporation, Brown & Caldwell, Carollo Engineers, COMSmith Inc., CH2M Hill Engineering Inc., DR Consultants & Designers lnc., Hazen & Sawyer,HDR Inc., Kennedy/Jenks Consultants, Larry Walker Associates Inc., MalcolmPirnie/ARCAOIS, MARRS Services lnc., MWH, Parsons, Parsons Brinckerhoff, Psomas, RMCWater and Environment, TetraTech Iwr., Shaw Environmental Inc., TRC Solutions lnc., andURS Corporation to be responsive. responsive. On February 28, 2013, CCU em ailed detailed notifications of being found Non-responsive to these three (3) proposers. (Transmittal Nos. 3-5)
AECOM, AKM, and GeoSyntec issued responses to CCU's evaluation with letters dated March20,2013, April 4, 2013, and April 12, 2013 (Transmittal Nos. 6-8), respectively.
The following summarizes the indicator in contention by describing:
(1) The required documentation for Indicator 4;(2) AECOM, AKM, and GeoSyntec submitted documentation;(3) AECOM, AKM, and GeoSyntec response to CCUs non-responsive notification; and(4) CCU's response.
Indicator (4}-Written Notices to Subconsultants
The requirement for this indicator states that: Proposers must send invitations for subconsultingbids to available MBEs, WBEs, SBEs, EBEs, DVBEs, and OBEs for each item of work to beperformed. Required Documentation includes E-mail notification in each of the selectedpotential work items to potentially available MBEs, WBEs, SBEs, EBEs, DVBEs and OBEs foreach anticipated work item to be performed. The notification must be performed using theBA VN's BIP Outreach system The notification must be to potential subconsultants currentlyregistered on the BA VN. Proposers are required to send notifications to a sufficient number offirms comprised of MBEs, WBEs, SBEs, EBEs, DVBEs and OBEs in each potential work itemchosen, as determined by the City.
All respondents to the RFQ were required to outreach to a specified minimum number of firmsconsisting of MBEs, WBEs, SBEs, EBEs, DVBEs, and OBEs for. each of the ten (10) uniqueNAICS Codes (work areas). While AECOM, AKM, and GeoSyntec made notifications to theminimum number of firms required in each of the NAICS Codes, they failed to outreach to anyEBE and DVBE firms in three (3) NAICS Codes (562111-Solid Waste Collection, 562112-Hazardous Waste Collection, 562119-0ther Waste Collection).
AECOM, AKM, and GeoSyntec provided a universal response to the non-responsive notificationletters sent to them by CCU in that they all stated that the RFQ and RFQ Attachment A-08detailed the work areas associated with the project and how responsiveness would bedetermined. All three firms also asserted that the RFQ and RFQ Attachment A-08 only requiresnotifications be sent to companies registered in the 6-digit NAICS Codes listed and there werenot any registered EBE or DVBE firms in the 6-digit NAICS Codes. Additionally, both AECOMand GeoSyntec stated that the RFQ and RFQ Attachment A-08 does not state a requirement tosend notifications to companies registered in the 4-digit or 5-digit NAICS Codes and alsoreferenced Addendum No.2, Question 12 as having stated that if any additional NAICS Codesneed to be added, they will be added through another addendum. Lastly, GeoSyntec alsoasserted that the one ESE and DVBE certified firm, Ittoukoku International, listed in the 4-digitNAtCS Code 5621 has primary expertise in Janitorial Services which is not relevant to this RFQ.GeoSyntec also stated that they should receive credit for sending a BAVN notification to Trans-Global Services, a certified ESE, and Odic Environmental, a certified DVBE.

The BIP requirements state that respondents must send an ..Email notification in each of theselected potential work items to potentially available MBEs, WBEs, SBEs, EBEs, DVBEs, andOBEs for each anticipated work item to be performed." Since there was one potentially availableEBE/DVBE certified firm, Ittoukoku Internationai, registered in the 4-digit NAICS Code (5621),staff could not make a determination that these three firms met all of the BIP outreachrequirements. However, the Board of Public Works has discretion and can take intoconsideration other unique facts. In reviewing and investigating the protests submitted byAECOM, AKM, and GeoSyntec, staff found that although the other twenty-two (22) respondentsall outreached to Ittoukoku International, none of them documented receiving a response fromthis firm which would have indicated an interest in working with them on this contract.Additionally, while lttoukoku International was registered in a broad spectrum of NAICS Codes,including 5621, at the time the BIP outreach was performed, it has since removed NAICS Code5621 from its BAVN profile. Lastly, staff confirmed that both AECOM and GeoSyntec sent BAVNnotifications to Trans-Global Services, a certified EBE, and Odic Environmental, a certifiedDVBE, and that AKM also sent a BAVN notification to Trans-Global Services. However,AECOM, AKM, and GeoSyntec could not receive credit for these notifications because at thetime the outreach was performed, Trans-Global Services had not requested to be listed as anESE certified firm on BAVN. Similarly, Odic Environmental did not add NAICS Code 56211 to itsBAVN profile until May 2013. Therefore, based on these unique facts, CCU is recommendingthat the Board find AECOM, AKM, and Geosyntec to have substantially met the Indicator 4 BIPrequirements and deem them to have met the BIP requirements of this RFQ.

Of the twenty-six (26) BIP proposals evaluationscompleted, twenty-two (22) are recommended as responsive, one RFQ response was removedfrom consideration at the request of the proposer(WorleyParsons), while the three (3) remainingproposers, (AECOM, AKM, and GeoSyntec), were found non-responsive by staff due toIndicator No. 4 but could be found responsive by the Board. After reviewing all of thedocumentation submitted, CCU is recommending that the Board deem all of the respondentsexcept WorleYParsons Group Inc., responsive to all of the requirements for the planning andtechnical support services for the Bureaus Wastewater, Stormwater and Solid Resourcesprograms RFQ and establish the on-call list of consultant services.
Statement of FinancingThe selected consultantteams will provide services on as needed basis on a cost plus basis forfive (5) years with an optional 5-year extension. Because the proposed contracts are for as-needed services, which will be identified in the future, it is not possible to provide specificFunding Information at this time. Appropriate funding information will be identified prior torequesting proposals from the firms for specific projects. These funds will be utilized fromcurrent and approved future budget items.
This contract includes a "Financial Liability Clause" which states that "the City's liability underthis contract shall only be to the extent of the present City appropriation to fund the contract.However, if the City shall appropriate funds for any succeeding years, the City's liability shall beextended to the extent of such appropriation, subject to the t nd conditions of thecontract." .
