Prospectus Supplement (No.2) dated 1 December 20141

Issue of up to USD30,000,000 Fixed Rate to CMS Spread Interest Rate Notes due December 2022
Under the U.S.$30,000,000,000 Global Medium Term Note Programme
Any person making or intending to make an offer of the Notes in any Member State of the European
Economic Area which has implemented the Prospectus Directive may only do so:
(a) in those Public Offer Jurisdictions mentioned in item 8 of Part B below, provided such person
is one of the persons mentioned in item 8 of Part B below and that such offer is made during
the Offer Period specified for such purpose therein; or
(b) otherwise in circumstances in which no obligation arises for the Issuer or any Dealer to
publish a prospectus pursuant to Article 3 of the Prospectus Directive or supplement a
prospectus pursuant to Article 16 of the Prospectus Directive, in each case, in relation to such
offer.
None of the Issuer and any Dealer has authorised, nor do any of them authorise, the making of any
offer of Notes in any other circumstances.
The expression "Prospectus Directive" means Directive 2003/71/EC, as amended (which includes the
amendments made by Directive 2010/73/EU (the "2010 PD Amending Directive") to the extent that
such amendments have been implemented in the Relevant Member State).
The Notes have not been and will not be registered under the United States Securities Act of 1933, as
amended (the "Securities Act") or any state securities law. The Notes are being offered and sold
outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act
("Regulation S") and may not be offered or sold within the United States or to, or for the account or
benefit of, any U.S. person (as defined in Regulation S). Each purchaser of the Notes or any beneficial
interest therein will be deemed to have represented and agreed that it is outside the United States and is
not a U.S. person and will not sell, pledge or otherwise transfer the Notes or any beneficial interest
therein at any time within the United States or to, or for the account or benefit of, a U.S. person, other
than the Issuer or any affiliate thereof.. The Notes do not constitute, and have not been marketed as,
contracts of sale of a commodity for future delivery (or options thereon) subject to the United States
Commodity Exchange Act, as amended, and trading in the Notes has not been approved by the United
States Commodity Futures Trading Commission under the United States Commodity Exchange Act, as
amended. For a description of certain restrictions on offers and sales of Notes, see "General
Information relating to the Programme and the Notes - Subscription and sale and transfer and selling
restrictions" in the Base Prospectus.
The Notes may not be offered or sold to, or acquired by, any person that is, or whose purchase and
holding of the Notes is made on behalf of or with "plan assets" of, an employee benefit plan subject to
Title I of the U.S. Employee Retirement Income Security Act of 1974, as amended ("ERISA"), a plan,
individual retirement account or other arrangement subject to Section 4975 of the U.S. Internal
Revenue Code of 1986, as amended (the "Code") or an employee benefit plan or plan subject to any
laws, rules or regulations substantially similar to Title I of ERISA or Section 4975 of the Code.
PART A – CONTRACTUAL TERMS
The Notes are English Law Notes.
Terms used herein shall be deemed to be defined as such for the purposes of the Conditions set forth
under the sections entitled "Terms and Conditions of the Notes", the Valuation and Settlement Schedule

and the Underlying Schedule applicable to the Underlying in the Base Prospectus and the Supplements1
which together constitute a base prospectus for the purposes of the Prospectus Directive.
This document constitutes the Final Terms of the Notes described herein for the purposes of Article 5.4
of the Prospectus Directive and must be read in conjunction with the Base Prospectus as so
supplemented. Full information on the Issuer and the offer of the Notes is only available on the basis of
the combination of this Final Terms and the Base Prospectus as so supplemented.
The Base Prospectus and the Supplements1 are available for viewing at the offices of the Paying
Agents and on the website of the Central Bank of Ireland (www.centralbank.ie). In addition, this Final
Terms is available on the website of the Central Bank of Ireland (www.centralbank.ie).
For the purposes hereof, "Base Prospectus" means the Citigroup Inc. Rates Base Prospectus relating to
the Programme dated 22 July 2014, as supplemented by a Supplement (No.1) dated 27 August 2014
("Supplement No.1") and Supplement (No.2) dated 1 December 2014 ("Supplement No.2", and
together with Supplement No.1, the "Supplements").1

The Issuer reserves the right, in its absolute
discretion, to cancel the Belgian Offer and the
issue of the Notes in Belgium at any time prior
to the Issue Date. In such an event all
application monies relating to applications for
Notes under the Belgian Offer will be returned
(without interest) to applicants at the applicant's
risk by no later than 30 days after the date on
which the Belgian Offer of the Notes is
cancelled. Application monies will be returned
by cheque mailed to the applicant's address as
indicated on the application form, or by wire
transfer to the bank account as detailed on the
application form or by any other method as the

Calculation Amount
The Issuer also reserves the right, in its absolute
discretion, to decline in whole or in part an
application for Notes under the Belgian Offer in
accordance with all applicable laws and
regulations and/or in order to comply with any
applicable laws and regulations. Accordingly, an
applicant for Notes may, in such circumstances,
not be issued the number of (or any) Notes for
which it has applied
Excess application monies will be returned
(without interest) by cheque mailed to the
relevant applicant's address as indicated on the
application form, or by wire transfer to the bank
account as detailed on the application form or by
any other method as the Issuer deems to be
appropriate
The Issuer also reserves the right to accept any
subscriptions for Notes which would exceed the
"up to"' aggregate principal amount of the Notes
of USD30,000,000 and the Issuer may increase
the 'up to' aggregate principal amount of the
Notes
The Issuer shall either publish a new final terms
in respect of any fungible increase in aggregate
principal amount or shall publish a supplement
in respect thereof on the web-site of the Central

SUMMARY OF THE NOTES

(b) pour certaines raisons fiscales ; et (c) si l’Emetteur détermine que
l’exécution de ses obligations en vertu d’une émission de Titres ou
que des conventions conclues pour couvrir les obligations de
l’Emetteur en vertu des Titres sont devenues ou deviendront illégales,
en totalité ou en partie, pour un motif quelconque.
Montant de remboursement anticipé
Le montant de remboursement anticipé relatif à chaque Montant de
Calcul des Titres est un montant égal à la juste valeur marchande de
chaque tel Montant de Calcul (nonobstant les raisons fiscales
pertinentes ou l’illégalité résultant dans un remboursement anticipé)
moins les coûts de l’Emetteur et/ou ses filiales de dénouer toute
position de couverture sous-jacente telle que déterminé par l’Agent de
Calcul, à condition que, dans le cas d’un remboursement anticipé suite
à un cas de défaut, pour les besoins de déterminer la juste valeur
marchande, l’Emetteur sera présumé capable de pleinement satisfaire

De Notes zijn niet-achtergestelde en niet-gegarandeerde verbintenissen van
de Emittent en ze staan nu en in de toekomst pari passu met alle andere
niet-gegarandeerde en niet-achtergestelde verbintenissen van de Emittent
behoudens voor de verbintenissen die uit hoofde van algemeen
toepasselijke wettelijke verplichtingen bevoorrecht zijn.
Negatieve verklaring en cross default
De algemene voorwaarden van de Notes bevatten noch een bepaling
inzake een negatieve verklaring noch een bepaling inzake cross default van
de Emittent.
Gebeurtenissen die resulteren in wanbetaling
De algemene voorwaarden bevatten onder andere de volgende
gebeurtenissen die in wanbetaling resulteren: (a) niet-betaling van enige
hoofdsom of interest in verband met de Notes, gedurende een periode van
30 dagen in geval van interest en gedurende een periode van 10 dagen in
geval van de hoofdsom, telkens te tellen vanaf de vervaldatum; (b) niet-
nakoming van de prestaties of schending van enige andere verplichting
door de Emittent en voortduren van de schending gedurende een periode
van 60 dagen, te tellen vanaf de datum waarop aandeelhouders die
minstens 25 percent van de hoofdsom van de uitstaande Notes
vertegenwoordigen, een schriftelijke kennisgeving hebben gegeven waarin
het gebrek of de schending wordt gespecificeerd en waarin geëist dat er
een einde wordt gemaakt aan het gebrek of de schending; (c)
gebeurtenissen in verband met het afwikkelen of vereffenen of een
gelijkaardige procedure door de Emittent; en (d) het aanduiden van een
ontvanger of enige andere gelijkaardige mandataris of enige andere
gelijkaardige regeling van de Emittent.

Belastingheffing
De betalingen voor alle Notes zullen uitgevoerd worden zonder inhouding
of aftrek van belastingen: (i) in Luxemburg, wanneer CGMFL de Emittent
is, of in het Verenigd Koninkrijk in het geval van de Borg, die in alle
gevallen onderhevig is aan specifieke uitzonderingen, of (ii) in de
Verenigde Staten, wanneer Citigroup Inc. de Emittent is, die onderhevig is
aan specifieke uitzonderingen.
Vergaderingen
De algemene voorwaarden van de Notes bevatten bepalingen voor het
bijeenroepen van vergaderingen van de houders van dergelijke Notes om
over de aangelegenheden te beraadslagen die hun belangen in het
algemeen betreffen. Die bepalingen bieden aan welbepaalde meerderheden
de mogelijkheid om besluiten te nemen die bindend zijn voor alle houders
van Notes, ook al hebben zij niet deelgenomen aan en gestemd op de
betrokken vergadering of ook al hebben zij op de betrokken vergadering
anders gestemd dan de meerderheid.

Renteperiodes en rentevoeten:
Met uitzondering van Zero Coupon Notes kunnen de lengte van alle
renteperiodes en de toepasselijke rentevoet of de berekeningmethode voor
alle Notes van tijd tot tijd variëren of constant zijn voor alle Series.
Notes kunnen (naar keuze van de Emittent, voor zover gespecificeerd in de
toepasselijke Definitieve Voorwaarden) of zullen (in het geval dat
“Automatic Change of Interest Basis” van toepassing is) meer dan een
berekeningsmethode hebben van toepassing op verschillende
interestperiodes en/of interestbetalingsdata.
Met uitzondering van Zero Coupon Notes kunnen de Notes een maximale
rentevoet, een maximaal rentebedrag (of beide), een minimale rentevoet of
een minimaal rentebedrag (of beide) hebben.
Interest:
De Notes kunnen al dan niet rente opleveren. Notes die geen rente
opleveren worden in de Definitieve Voorwaarden desgevallend als “Zero
Coupon Notes” aangeduid, en enig bedrag verschuldigd bij vervroegde
aflossing van Zero Coupon Notes kan gelijk zijn aan een afgeschreven
nominaal bedrag berekend in overeenstemming met de voorwaarden van
de Notes.
De rente van de Notes die rente opleveren, is betaalbaar tegen:
(i) een vaste rentevoet of één of meerdere vaste rentevoeten
(“Fixed Rate Notes”);
(ii) een variërende rentevoet (“Floating Rate Notes”);
(iii) een CMS-rentevoet, die een swaprente is voor swaptransacties

(als beschreven in paragraaf (iii) hierboven), vermenigvuldigd met
een groeipercentage dat bepaald wordt op basis van het aantal
dagen in de betrokken interestperiode waarop de groeivoorwaarde
of beide groeivoorwaarden voldaan zijn. Een groeivoorwaarde
kan voldaan zijn op enige relevante dag als de relevante referentie-
observatie, zoals gespecifieerd in de toepasselijke Definitieve
Voorwaarden:
• groter is dan of gelijk is aan; of
• groter is dan; of
• kleiner is dan of gelijk is aan; of
• kleiner is dan
het bepaalde rentebarrière-event, of als de relevante referntie-observatie,
zoals gespecifieerd in de toepasselijke Definitieve Voorwaarden:
• hetzij groter is dan of gelijk is aan, of groter is dan het
gespecificeerde onderste bereik: en
• hetzij kleiner is dan of gelijk is aan, of lager is dan, het
gespecifieerde bovenste bereik.
Een referentie-observatie kan worden bepaald in de Definitieve
Voorwaarden als een enkelvoegde referentierentevoet, een korf
van twee of meer referentierentevoeten of het verschil tussen de
sommen van twee sets van referentierentevoeten (“Range Accrual
Notes”);
(vii) een rentevoet die (a) een gespecificeerde back-up-rentevoet is of
(b) als de gespecificeerde digitale referentierentevoet op de
gespecificeerde bepalingsdatum voor de benchmark, zoals
gespecificeerd in de toepasselijke Definitieve voorwaarden:

variabele rentevoet of een CMS-rentevoet kan zijn) min een
andere gespecificeerde rentevoet (die een variabele rentevoet of
een CMS-rentevoet kan zijn)), en vermeerderd of verminderd met
een marge, voor zover gespecificeerd, die voor elke renteperiode
bepaald zal worden op basis van de bandbreedte waarbinnen
volgende gespecificeerde vaste rentevoeten vallen:
1.3 (a) de gespecificeerde referentierentevoet (dit kan een

hierboven in combinatie met Credit Linked Interest Notes, de
Notes zullen ophouden interest op te leveren vanaf de einddatum
van de interestperiode (of, indien vroeger, de uitgiftedatum van de
Notes) voorafgaand aan de dag waarop een kredietgebeurtenis is
bepaald overeenkomstig de algemene voorwaarden van de Credit
Linked Interest Notes (de “Credit Linked Interest Notes").
Met betrekking tot Notes (anders dan Fixed Rate Notes), kan het
rentebedrag betaalbaar op de Notes voor een interestperiode gelijk zijn aan
nul. De renteperiode kan in beide gevallen gelijk zijn aan nul.
Alle referentierentevoeten (met inbegrip van gespecifieerde rentevoeten)
of interestvoeten kunnen afhankelijk zijn van een rentevoet voor
renteparticipatie en/of een marge indien deze in de toepasselijke
Definitieve Voorwaarden is vastgelegd voor die referentierentevoet of
rentevoet.
Op alle referentierentevoeten (met inbegrip van enige gespecifieerde
rentevoet), rentevoeten of rentebedragen die hierboven zijn beschreven,
kan een minimum en/of een maximum of beide van toepassing zijn als dit
in de toepasselijke Definitieve Voorwaarden is vastgelegd.
AUTOMATIC CHANGE OF INTEREST BASIS: De Notes hebben
meer dan een interestbasis toepasselijk op de verschillende interestperiodes
en/of interestbetalingsdata.
De interestvoet met betrekking tot een interestperiode die begint op (en
met in begrip van) een Begin van Interest Datum (zoals hieronder
uiteengezet) en eindigend op (zonder inbegrip van) de eerste Einddatum
van Interestperiode volgend op een Begin van Interest Datum, en elke
daaropvolgende periode die begint op (en met inbegrip van) een
Einddatum voor Interestperiode, en eindigend op (maar zonder inbegrip
van) de volgende daaropvolgende Einddatum van Interestperiode zal
worden bepaald in overeenstemming met de interestbasis van toepassing
op dergelijke interestperiode zoals in de tabel hieronder weergegeven in de
kolom getiteld “Type van Notes” in de rij die overeenstemt met de
Einddatum van Interestperiode waarop die periode een einde neemt.

FIXED RATE NOTES: Deze Notes zijn Fixed Rate Notes wat inhoudt
dat de Notes vanaf (en met inbegrip van) 12 december 2014 rente
opleveren tegen een vaste rentevoet van 3,25 percent per jaar voor vijf
Interestperiodes, elk respectievelijk eindigend op (doch zonder inbegrip
van): 12 december 2015, 12 december 2016, 12 december 2017 en 12
december 2018.
De rente moet jaarlijks als achterstal betaald worden op 12 december van
elk jaar, vanaf en met inbegrip van 12 december 2015 tot en met inbegrip
van 12 december 2018.
Het bedrag dat is uitgerekend, is USD 2.000
CMS INTEREST LINKED NOTES: De Notes zijn CMS Interest
Linked Notes wat inhoudt dat ze vanaf (en met inbegrip van) 12 december
2018 rente opleveren tegen een rentevoet gelijk aan het verschil tussen (i)
de mid-market swaprentevoet voor swaptransacties in USD met een
looptijd van 30 jaar (“CMS Referentierentevoet 1”) vermenigvuldigd met
een rentevoet voor Renteparticipatie 1 van 2,0, min (ii) de mid-market
swaprentevoet voor swaptransacties in USD met een looptijd van twee jaar
(“CMS Referentierentevoet 2”) vermenigvuldigd met de
Referentierentevoet voor Renteparticipatie 2 van 2,0 met betrekking tot
elke interestperiode die eindigt op (maar zonder inbegrip van): 12
december 2019, 12 december 2020, 12 december 2021 en 12 december
2022.
De Notes zijn CMS Interest Linked Notes wat btekent dat zij interest
voortbrengen vanaf 12 december 2018 tegen een rentevoet berekend door
verwijzing naar het verschil tussen CMS Referentierentevoet 1
(vermenigvuldigd met de Rentevoet voor Renteparticipatie 1) en CMS
Referentierentevoet 2 (vermenigvuldigd met de Rentevoet voor
Renteparticipatie 2).
Interest is jaarlijks als achterstal betaalbaar op 12 december van elk jaar
vanaf en met inbegrip van 12 december 2019 tot en met inbegrip van 12
december 2022.
De rentevoet met betrekking tot de interestperiode(s) eindigend op de
einddata van interestperiode zoals hierboven weergegeven is onder

Het bedrag dat is uitgerekend is USD 2.000.
Terugbetaling:
De voorwaarden waaronder de Notes terugbetaald mogen worden (met
inbegrip van de vervaldag, de prijs waartegen ze op de vervaldag
terugbetaald zullen worden, en de bepalingen inzake vervroegde
terugbetaling) worden door de Emittent en de betrokken Dealer
overeengekomen op het tijdstip van de emissie van de betrokken Notes.
Behoudens een vervroegde terugbetaling, aankoop en schrapping zullen de
Notes op 12 december 2022 terugbetaald worden aan 100 percent van hun
nominale waarde.
De Emittent en zijn dochtermaatschappijen mogen te allen tijde op de open
markt of op andere wijze Notes kopen.
Indicatie van het rendement:
Indicatie van het rendement: 3,25 percent per jaar voor iedere renteperiode
die valt in de periode vanaf (en met inbegrip van) 12 december 2014 tot
(maar met uitsluiting van) 12 december 2018.
Vervroegde terugbetaling
De Emittent mag de Notes vóór de vermelde eindvervaldag terugbetalen en
zal, voor zover de toepasselijke wetgeving dit toestaat, zal hij onder die
omstandigheden voor Berekeningsbedrag van Notes een bedrag uitbetalen
dat gelijk is aan het bedrag bij vervroegde uitbetaling (a) na een
gebeurtenis die resulteert in wanbetaling, (b) om bepaalde fiscale redenen
en (c) indien de Emittent bepaalt dat het naleven van zijn verplichtingen uit
hoofde van de emissie van Notes of dat enige regeling die is getroffen voor
het hedgen van de verbintenissen van de Emittent uit hoofde van de Notes,
om welke reden dan ook geheel of gedeeltelijk illegaal is geworden of zal
worden.
Bedrag voor vervroegde terugbetaling
Het vervroegd aflossingsbedrag dat bij vervroegde aflossing van de Notes
verschuldigd is, is een bedrag dat de Berekeningsagent op een door de
Emittent bepaalde dag als reële marktwaarde van de Notes vaststelt (en dit
bedrag omvat opgelopen interest), doch aangepast, zodat het ook de
verliezen, uitgaven en onkosten van de Emittent (of de
dochtervennootschappen van de Emittent) omvat in verband met het
afwikkelen van hedging- en fundingregelingen in verband met de Notes,
op voorwaarde dat er -met het oog op het bepalen van de reële
marktwaarde van de Notes als gevolg van een geval van verzuim- geen
rekening wordt gehouden met de financiële situatie van de Emittent, die

De firma Citigroup Inc. is van mening dat de hieronder
opgesomde factoren een effect kunnen hebben op haar
mogelijkheid om haar verplichtingen na te komen die uit de
Notes resulteren. Al deze factoren hebben betrekking op
omstandigheden die zich al dan niet kunnen voordoen en de
firma Citigroup Inc. is niet in staat om zich uit te spreken over
de waarschijnlijkheid dat een dergelijke omstandigheid zich
zal voordoen.
Er bestaan bepaalde factoren die een negatieve invloed
kunnen hebben op de mogelijkheid van de firma Citigroup
Inc. om haar verplichtingen die resulteren uit de Notes die ze
heeft uitgegeven na te komen . Tot die factoren behoort ook
het feit dat die mogelijkheid afhankelijk is van de inkomsten
van de dochtermaatschappijen van de firma Citigroup Inc., het
feit dat de firma Citigroup Inc. ertoe verplicht kan zijn om
haar beschikbare middelen eerder te gebruiken om de
financiële positie van haar dochtermaatschappijen uit de
banksector te ondersteunen, dan om haar verplichtingen die
uit de Notes resultaten, na te komen, het feit dat de zakelijke
activiteit van de firma Citigroup Inc. te lijden kan hebben
onder de economische situatie, het kredietrisico, het
marktrisico en het liquiditeitsrisico, de concurrentie, het
landenrisico, operationele risico's, het fiscale en monetaire
beleid van betrokken regelgevende overheden, risico's op vlak
van reputatie en wettelijke risico's en bepaalde overwegingen
van regelgevende instanties.
D.3 Belangrijkste
risico's in verband
met de Notes
Beleggers moeten weten dat de Notes (inclusief Notes die
uitgedrukt worden om tegen pari te worden terugbetaald)
blootgesteld zijn aan het kredietrisico van Citigroup Inc..
Tevens kunnen de Notes verkocht, teruggekocht of vervroegd
terugbetaald worden en, als dit gebeurt, kan de prijs
waartegen een Note verkocht, teruggekocht of vervroegd
terugbetaald wordt, lager uitvallen dan de aanvankelijke
belegging. Er bestaan andere zekere factoren die van
wezenlijk belang zijn bij het beoordelen van de risico's die
gepaard gaan met het beleggen in enige soort Notes. Tot die
risico's behoren onder andere: (i) het risico op onderbreking
van de waardebepaling, (ii) aanpassing aan de
omstandigheden, substitutie van de relevante onderliggende
waarde(n) en/of vervroegde terugbetaling ingevolge een
aanpassing of een illegale situatie, (iii) het uitstellen van de
betaling van rente en/of minima en/of maxima die opgelegd
worden voor de rentevoeten, (iv) het schrappen of afbouwen
van openbare offertes of het uitstellen van de emissiedatum,

de macro-economische en politieke omstandigheden en (xvi)
kredietbeoordelingen die niet alle risico's reflecteren.

E.2b Gebruik van de
opbrengst
De netto opbrengst van de emissie van de Notes door
Citigroup Inc. zal gebruikt worden voor de algemene
doelstellingen van de onderneming. Hiertoe behoren
kapitaalinjecties in haar dochtermaatschappijen en/of het
afbouwen of herfinancieren van leningen van Citigroup Inc.
of haar dochtermaatschappijen. Citigroup Inc. verwacht dat
haar schuldenlast in de toekomst zal toenemen.
E.3 Algemene
voorwaarden van
het aanbod
De Notes maken het voorwerp uit van een Niet-vrijgesteld
Aanbod, waarvan de algemene voorwaarden hieronder en in
de toepasselijke Definitieve Voorwaarden zijn uiteengezet.
Een Niet-vrijgesteld Aanbod voor Notes kan worden gedaan
in België (het “Belgische Aanbod”) in de periode vanaf (en
met inbegrip van) 27 oktober 2014 tot (en met) 5 december
2014. Die periode kan ingekort worden indien de Emittent dit
wenst. De Emittent behoudt zich het recht voor om het
Belgische Aanbod in te trekken.
De prijs van het aanbod bedraagt USD 2.040 per berekend
bedrag. Het minimumbedrag van de intekening is USD 2.000
in hoofdsom van de Notes. De Emittent mag een aanvraag
voor de aankoop van Notes uit hoofde van het Belgische

E.4 Belangen van

De distributeurs zullen voor de emissie van de Notes tot 5,78
procent van de hoofdsom van de Notes betaald worden als
vergoedingen (hetgeen, tezamen met de structureringskost van
1,10 procent vervat in Element E.7 heronder, equivalent is aan
ongeveer 0,86 procent per jaar gedurende 8 jaren). Voor zover
de Emittent weet, heeft geen andere persoon die betrokken is
bij het aanbod van de Notes een materieel belang bij het
Aanbod.
E.7 Raming van de
kosten die de
Emittent of een
erkende aanbieder
aan de belegger
zullen
doorberekenen
De Emittent zal aan de belegger geen kosten doorberekenen,
tenzij als volgt: een structureringskost van 1,10 procent van
de hoofdsom van de Notes zal worden bepaald ten voordele

samen met de distributievergoeding van tot 5,78 procent,
