(Against All Defendants)

Plaintiff realleges and incorporates herein by reference each and every allegation set

forth in Paragraphs 1 through 9 as though set forth in full hereat.

13. As set forth above and disclosed to Defendants and each of them, Cirgadyne had an

interest in the sale of the MacPherson-Sidel Lic#47-261532. At the time of the post-November 15,

represented MacPherson-Sidel Lic#47c 261532. If the MacPherson-Sidel Lic#47-261532 had been

sold to Defendants prior to Defendant's withdrawal of their offer to purchase MacPherson-Sidel

Lic#47-261532, Cirgadyne would have earned a commission from MacPherson-Sidel Lic#47-

261532 on the seller-side sale of said MacPherson-Sidel Lic#47-261532.

14. Defendants post-November 15,2006 offer to purchase MacPherson-Sidel Lic#47-

Cirgadyne.

15. Cirgadyne did not earn and was denied a commission on the sale of the MacPherson-

Sidel Lic#47-261532 to Defendants. Defendants' conduct as alleged hereinabove was a substantial

factor in causing Cirgadyne's damages.

16. Cirgadyne has been damaged in the amount of $8,000.00 for the loss of Cirgadyne's

seller-side commission by Defendants and each of them, plus accrued pre-judgment interest.
