IMPORTANT-CAREFULLYREADALLTERMSANDCONDITIONSOFTHISLICENSEAGREEMENTBEFORECONTINUINGWITHTHEINSTALLATION.CONTINUINGWITHTHEINSTALLTIONINDICATESYOURACCEPTANCEOFTHESETERMSANDCONDITIONS.PROTELISWILLINGTOLICENSETHEENCLOSEDSOFTWARETOYOUONLYUPONTHEPREREQUISITETHATYOUACCEPTALLOFTHETERMSANDCONDITIONSCONTAINEDINTHISLICENSEAGREEMENT.IFYOUDONOTAGREETOALLOFTHESETERMSAND

CONDITIONS,THENYOUSHOULDTERMINATETHEINSTALLATIONPROCESSANDPROMPTLYRETURNTHEPRODUCTTOTHEPLACEOFPURCHASEFROMWHICHITWASOBTAINED,ANDYOURMONEYWILLBEREFUNDED.

TheCircuitMakerProduct,consistingofthemedia(containingthe"Software"),the"UserDocumentation"andthe"SecurityDevice"(ifoneisincludedwiththeproduct)isthesolepropertyofProtelInternationalLimited.("Protel"),andisprotectedbyUnitedStatesandinternationalcopyrightlaw,trademarkandinternationaltradeprovisions.THISLICENSEISNOTASALEandconveysnorightorinterestotherthanarighttousesolelyasprovidedherein.ThetitleandallownershiprightsincludingcopyrightfortheProduct

remainswithProtelanditssuppliers.UnderthisLicenseAgreement,theuserreceivesanon-exclusivelicensetousetheCircuitMakerProductforanon-fixedterm,WHICHCANBEREVOKEDBYPROTELIFANYTERMSORCONDITIONSOFTHISLICENSEAGREEMENTAREVIOLATED.TheSoftwareandUserDocumentationareprovidedwithRESTRICTEDRIGHTS.Theuse,duplication,ordisclosurebytheU.S.Governmentissubjecttorestrictionsassetforthinsubparagraph(c)(1)(ii)oftheRightsinTechnicalDataandComputerSoftwareclauseatDFARS252.227-7013orparagraphs(c)(1)and(2)oftheCommercialSoftwareRestrictedRightsat48CFR52.227-19,asapplicable.Contractor/manufacturerisProtelInternationalLimited,12aRodboroughRdFrenchsForest

2086Australia.YouagreetousebesteffortstoensurethatnogovernmentalentityshallacquireanyrightstotheProductofanykindunderanygovernmentallaws,rulesorregulationspertainingtogovernmentacquisitionorotherwise.ByreturningtheRegistrationCard,registeringwiththeappropriateProtelRegistrationAgency,ORBYUSINGTHEPRODUCT,youacceptallofthetermsandconditionsofthisLicense.Ifyoudonotagreetothesetermsandconditions,youmayreturntheProductwithin(30)daysforafullrefund.

PermittedUses-YouMay

1)UseSoftwareonasinglecomputeratanyonetime.Ifyouhavemultiplelicensesofthesoftware,thenatanytimeyoumayhaveasmanycopiesofthesoftwareinuseasyouhavelicenses."Inuse"shallbedefinedasloadedintotemporarymemory(i.e.,RAM).

2)TransfertheSoftwarefromcomputertocomputerprovidedthatitisnotusedonmorethanonecomputeratanyonetime.

3)InstalltheSoftwareonanetworkserver,onlyifthesolepurposeisforthedistributiontoothercomputersusingtheSoftwareinasinglesite,definedasa1Kilometerradiusfromtheserver,inaccordancewiththetermsandconditionsofthisLicenseAgreement.

4)ProduceasinglecopyoftheSoftwaremediaexclusivelyforback-uporarchivepurposes.Ifatanytimetheback-uporarchivecopyisdamaged,asecondcopycanbeproduced,ifthedamagedback-uporarchivemediaisdestroyedorerased.

5)UsetheSoftwareonlyinthemachineexecutableformiswhichitisprovided.

ProhibitedUses-YouMayNot

1)UsethisSoftwareinacomputersystemornetworkwhichallowstheprogramtobeoperatedbymorethanoneuseratatime,withouttheappropriatenumberofProductLicenses.

2)UseanyprogrammoduleoftheSoftwarewithaSecurityDeviceprovidedbyanentityotherthanProtel,orasourceauthorizedbyProtel,ormodifyanyprogrammodulesothat

itmaybeusedwithoutaSecurityDevice(ifincludedwithProduct).

3)ExceptasspecifiedinthisAgreement,use,modify,copy,sell,transfer,distribute,ordisseminate(includingtranslationinanotherlanguage)anySoftwareprogrammoduleorUserDocumentation,oranycopythereof.

4)Reverseengineer,translate,decompileordisassembleanySoftwareprogrammoduleorSecurityDevice,providedthatyoushallnotbeprohibitedfromachievinginteroperabilityoftheSoftwarewithitsoperatingenvironmenttotheextentyouhavesuchrightunderArticles

5and6oftheECCouncilSoftwareDirectiveofMay14,1991andreasonableinformationandassistancetoachievesuchinteroperabilityisnotavailablefromProtel.

5)Rent,leaseorsublicensetheproductsoftware,userdocumentation,securitydevice,oranyportionthereofwithoutProtel'spriorwrittenconsent.

IfyoudiscoverphysicaldefectsintheProtelproduct,SecurityDevice(ifany),ormediaonwhichtheSoftwarewasdistributed,Protelwill,atitsoption,eitherreplacethedefectivecomponentsorrefundyourlicensefeefortheProtelproduct.Theseareyourexclusiveremediesforbreachofthislimitedwarranty.However,inordertoexercisesuchremedies,youmustreturnthedefectiveitemtotheplaceofpurchase,WITHPROOFOFPAYMENT,duringthewarrantyperiodofninety(90)daysfromthedateyoutakedelivery.Iffailureofthemedia(containingtheSoftware)orSecurityDevicehasresultedfromaccident,abuse,ormisapplicationoftheproduct,thenProtelshallhavenoresponsibilitytoreplacetheseitemsunderwarranty.

PROTELDISCLAIMSALLOTHEREXPRESSWARRANTIESANDALLIMPLIEDWARRANTIES,INCLUDINGBUTNOTLIMITEDTOIMPLIEDWARRANTIESOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE.THESOFTWARE,USERDOCUMENTATION,ANDSECURITYDEVICEARELICENSEDONAN"ASIS"BASISANDYOUASSUMETHEENTIRERISKASTOTHEIRPERFORMANCE.

UNDERNOCIRCUMSTANCES,SHALLPROTELBELIABLEFORANYCONSEQUENTIAL,INCIDENTAL,ORSPECIALDAMAGESARISINGOUTOFTHESUPPLY,USEOFORINABILITYTOUSETHISPRODUCT,INCLUDING,

WITHOUTLIMITATION,DAMAGES,LOSSOFPROFITS,BUSINESSINTERRUPTION,ORLOSSOFINFORMATION,EVENIFPROTELHASBEENADVISEDTOTHEPOSSIBILITYOFSUCHLOSSES.INNOEVENTWILLPROTEL'SLIABILITYFORANYDAMAGESTOYOUORANYOTHERPERSONEVEREXCEEDTHELOWEROFTHESUGGESTEDLISTPRICEORACTUALPRICEPAIDFORTHELICENSETOUSETHESOFTWARE,REGARDLESSOFANYFORMOFTHECLAIM.YOUACKNOWLEDGETHATTHELICENSEFEEREFLECTSTHISALLOCATIONOFRISK.

Somejurisdictionsmaynotallowtheexclusionorlimitationofliabilityforconsequentialorincidentaldamages,sotheabovelimitationmaynotapplytoyou.Thislimitedwarrantygivesyouspecificlegalrights.Youmayalsohaveother

rightswhichvarybyjurisdiction.

GoverningLaw;Other

ThisLicenseAgreementisthecompleteandexclusivestatementofyouragreementwithProtelandsupersedesanyprioragreementandanyothercommunications,oralorwritten,betweenyou,theuser,andProtelregardingitssubjectmatter.ThisLicenseAgreementshallbeconstruedandexclusivelyenforcedinaccordancewithitsEnglishlanguageversionandalldisputesrelatinginanywaytothisLicenseAgreementshallbegovernedbytheinternallawsoftheStateofCalifornia,excepttotheextentrequired

otherwiseunderthelawsofyourjurisdiction.TheInternationalSaleofGoodsConventionshallnotapplytothisLicenseAgreement.Intheeventofanydispute,youconsenttonon-exclusivejurisdictionandvenueinacompetentcourtintheStateofCalifornia.ThisLicenseAgreementissubjecttoandconditionaluponcompliancewithUnitedStatesexportregulationsandyoushallcomplywithallapplicablelawsandregulationsoftheUnitedStates,includingexport,relatingtotheProductandtheyourusethereof,andyoushallprovidesuch

documentationandassurancesasarerequiredfromtimetotimetocomplyherewith.Youshallpayanyandalltaxes,export/importcustomsfees,duties,exciseorotherchargesofwhatevernatureasornowmayhereafterbeimposeduponorleviedinconnectionwiththelicense,use,possession,exportation,orimportation,orservicingoftheProduct(exceptfortaxesimposedonthenetincomeofProtel)andanysuchtaxes,fees,dutiesorsuchsimilarcostsimposedonProtelshallbepromptlyreimbursedtoProtelbyyouupondemandandmaybeaddedtothepriceforthislicenseatProtel'soption.ThisLicenseAgreementshallinuretothebenefitofandbebindinguponProtel,theuserandtheirrespectivesuccessors,heirs,administratorsandassigns.IfanyprovisionofthisLicenseAgreementisfoundvoidorunenforceable,thatprovisionwillbeenforcedtothemaximumextentpossibleintheapplicablejurisdictionwithoutinvalidatingorrenderingunenforceablesuchprovisioninanyotherjurisdiction,andtheremainingprovisionsofthisLicenseAgreementwillremaininfullforceandeffect.IfanyremedyprovidedinthisLicenseAgreementisdeterminedtohavefailedofitsessentialpurpose,alllimitationsofliabilityandexclusionsofdamagessetforthaboveshallremaininfullforceandeffect.

Termination

THISLICENSEISEFFECTIVEUNTILTERMINATED.Youmayterminateitbydestroyingorreturningthemagneticmedia(containingtheSoftware),UserDocumentation,SecurityDeviceandallcopiesthereof(includingdestructionofallelectronicallystoredcopies).THISLICENSEWILLTERMINATEIFYOUFAILTOCOMPLYWITHANYTERMORCONDITIONOFTHISAGREEMENT.
