First Data Corporation – Business Description

First Data Corporation provides electronic commerce and payment solutions for merchants,

financial institutions, and card issuers. The company operates in three segments: Retail and

Alliance Services, Financial Services, and International. The Retail and Alliance Services

segment offers merchant acquiring services that facilitate the merchants’ ability to accept

credit, debit, stored-value, and loyalty cards; and processing services, including

authorization, transaction capture, settlement, chargeback handling, and Internet-based

transaction processing. It also provides prepaid stored-value card issuance and processing

services; program management and processing services for association-branded, bank-

issued, open loop, stored-value, reloadable, and one time prepaid card products; and check

verification, settlement, and guarantee services. This segment serves merchants, including

retailers in the United States.

The Financial Services segment provides credit and retail card issuing and processing

services; debit network and processing services that include STAR Network access, PIN-

debit and signature debit card processing, and ATM processing; output services consisting

of statement and letter printing, card embossing, and mailing; and remittance processing,

on-line banking, and bill payment services. This segment serves financial institutions and

other issuers of cards in the United States.

The International segment offers credit, retail, debit, and prepaid card processing; merchant

acquiring and processing; and ATM and point-of-sale processing, driving, acquiring, and

switching services, as well as card processing software primarily to customers in the United

Kingdom, Australia, Germany, and Ireland.

The following provides a brief overview of the segment operations:

First Data Commercial Services Segment

In the Commercial Services segment, the Company provides merchant acquiring and

processing, debit network acquiring and processing, check verification and guarantee and

prepaid card services. Merchant acquiring and processing services facilitate the merchants’

ability to accept credit and debit cards by authorizing, capturing, and settling merchants’

credit, debit, and stored-value and loyalty card transactions. Many of the segment’s services

are offered through joint ventures and other alliance arrangements.

First Data Financial Institution Services Segment

In the Financial Institution Services segment, the Company provides credit and retail card

processing, debit card processing and network services, output services and remittance

processing services. The credit and retail card processing and debit processing businesses

provide services which enable financial institutions and other organizations offering

branded credit cards, branded debit cards and retail private label cards to consumers and

businesses to manage customer accounts. The output services business provides printing

and embossing services to clients processing accounts on the Company's platform as well as

those using alternative platforms. The remittance processing business processes

remittances for third-party organizations.

First Data International Segment

In the International segment, the Company provides the following services outside of the

United States: credit, debit and prepaid card processing; merchant acquiring and

processing; and ATM and point-of-sale ("POS”) processing, driving, acquiring and switching

services and card processing software. These services include facilitating the merchants’

ability to accept credit and debit cards by authorizing, capturing, and settling merchants’

credit, debit, stored-value and loyalty card transactions as well as transaction authorization

and posting, network switching and account management.

Integrated Payment Systems Segment

In the Integrated Payment Systems segment, the Company provides official checks and

money orders through agents which are typically banks or other financial institutions.

Official checks serve as an alternative to a bank's own disbursement items such as cashiers

or bank checks. This segment also provides other payment services such as remote deposit,

clearing services and processing which occur in various forms such as checks, ACH, wire

transfer and stored-value cards. Upon completion of a strategic review of its official check

and money order operations, the Company has decided to gradually exit this line of

business over a period of two to three years. While the Company intends to serve existing

clients through the end of their respective contract terms, expiring contracts will not be

renewed on a long-term basis. Client contracts representing approximately 60% of portfolio

balances will expire in the next two years. Over the next four to six months, the Company

plans to convert most of the associated long-term instruments into more liquid instruments

of shorter duration.

All Other and Corporate

The remainder of the Company's business units are grouped in the "All Other and

corporate” category, which includes transportation-related payment services, voice-center

services, Interactive Voice Response (”IVR") services, various forms of facilitating

government payments and other services.

Operating Locations

The Company has domestic and international operations and regional or country offices

where sales, customer service and/or administrative personnel are based. The international

operations generate revenues from customers located and operating outside of the United

States. In 2006, revenues generated from processing transactions at locations within the

United States (domestic) and outside of the United States (international), regardless of the

segments to which the associated revenues applied, were 83% and 17% of FDC's

consolidated revenues, respectively. Long-lived assets attributable to domestic and

international operations as percentages of FDC's total long-lived assets as of December 31,

2006 were 81% and 19%, respectively.

Spin-off of Western Union

On September 29, 2006, the Company separated its Western Union money transfer business

into an independent, publicly traded company through a spin-off of 100% of Western Union

to FDC shareholders in a transaction intended to qualify for tax-free treatment ("the spin-

off”). The Company received a favorable ruling from the Internal Revenue Service with

respect to the spin-off, which assumed, among other things, the accuracy of the

representations made by FDC with respect to certain matters on which the Internal

Revenue Service does not rule. The shareholders now have separate ownership interests in

FDC and Western Union. The new Western Union Company consists of the consumer-to-

consumer and consumer-to-business money transfer businesses (including the Western

Union, Vigo, and Orlandi Valuta brands) and related businesses. FDC and Western Union are

independent and have separate public ownership, boards of directors and management. To

facilitate Western Union's separation from FDC, FDC is providing certain services to

Western Union during a transition period. Additionally, the Company and Western Union

entered into various commercial service agreements which are long-term arrangements to

provide ongoing services.

First Data Corporation – Business Initiatives

The FDC has several significant initiatives related to Data Centre consolidation, platform

consolidation and global sourcing. Each of these initiatives is at different stages in their

execution and development. The FDC's International Operations have developed a design

for Data Centre consolidation and Server Optimization and are moving forward with the

implementation of this plan in 2007 & 2008. Internationally also is moving forward with its

platform consolidation and within a two or three year timeframe will have moved

substantially all of their clients requirement on the Equasion Card issuing platform to the

VisionPLUS platform. The domestic Data Centre and platform consolidations are currently

in the planning stages. The FDC anticipates the consolidations will take over two years to

complete once started this year (2007). The Domestic consolidations are not expected to

have a material impact on operating profit this year (2007), but may be more significant in

future periods. With global sourcing, the FDC will source the most effective service market

place. This may result in certain restructurings.

Specialized Offshore Vendors of First Data Corporation: Tarang Software Technologies is a

specialized Outsourced Software Development (ODC) company with most of its

development from its Off-shore Development Center at Bangalore, India. Over the last 2

years, they have specialized in helping First Data Corporation in the Banking and Financial

Mr. Judge served as the President and Chief Executive Officer of Paychex Inc., a provider of

payroll and human resource services, from October 1, 2004 to July 31, 2010. He served as

Officer of Crystal Decisions Corp.

Mr. Judge served as President and Chief Executive Officer of Crystal Decisions Inc. since

October 2002 until the merger of Crystal Decisions with Business Objects S.A., in December

2003.

Since 1976 until he joined Crystal Decisions, he was employed by International Business

Machines Corporation ("IBM") where he held several senior management positions.

From 2001 to 2002, he served as General Manager of IBMs Personal Computing Division.

From 1998 to 2001, he headed up the worldwide sales, service, and support functions of

IBMs Personal Computing Division and was a member of the worldwide management

committee of IBM from 1999 to 2002.

Prior thereto, he held various sales, marketing, and management positions at IBM. Mr. Judge

has been a Director of PMC-Sierra Inc. since April 2004, First Data Holdings Inc. and First

Data Corporation since October 1, 2010.

He has been a Member of Upstate New York Regional Advisory Board of The Federal

Reserve Bank of New York since December 2008. He served as Director of Paychex Inc. from

October 6, 2004 to October 31, 2010.

Mr. Judge served as a Director of Dun & Bradstreet Corp. from December 2008 to October

18, 2010.

He served as a Director of Crystal Decisions Inc., from November 2002 to December 2003.

He holds Bachelor of Arts degree in Economics from Harvard University.

John Elkins, President of EMEA

Mr. John Elkins serves as the Chief Marketing Officer and Executive Vice President of

He serves as Chairman and Director of Elateral Limited. He serves as a Director of FINCA

International, Inc.

He has been Director of OnRequest Images, Inc. since December 2008. Mr. Elkins serves on

the United Nations Advisory Board for Inclusive Financial Service.

Mr. Elkins was a Member of the McCann-Erickson WorldGroup board from 1997 to 2004
