Sub: Limited Tender – Supply of Jatropha curcas seed (Ratanjot) at CBDA Plant, Raipur. LT NO. - CBDA/2015/LT/001

Chhattisgarh Biofuel Development Authority (CBDA) has been formed by the Government of Chhattisgarh through a gazette notification on 26th January 2005 for promotion of bio-fuel through cultivation of biofuel species on revenue wastelands and degraded lands and production of biodiesel in the State.

Since inception, CBDA have augmented plantation of more than 1.50 crores of Jatropha

saplings in revenue wasteland throughout the State of Chhattisgarh. This initiative has increased the green cover of the State and generated rural livelihood opportunities in remote villages. Till date CBDA has produced more than 1,80,000 litres of semi-finished biofuel from its pilot scale production plant at VIP Road, Raipur by procuring Jatropha seed from and within the State.

Chhattisgarh Biofuel Development Authority (hereinafter referred to as “CBDA”), is planning to purchase Jatropha curcas seed (Ratanjot), CBDA solicits your ‘Quotation’ in competition with other interested parties for Provision of ‘Supply of Jatropha curcas seed (Ratanjot) at CBDA Plant, Raipur.

The technical specifications are more fully described in the attached

documents.

1. CBDA, invite sealed bids for provision of ‘Supply of Jatropha curcas seed Ratanjot at CBDA Plant, Raipur.

4. General: 4.1 Bidder to submit their Quotes by the due date, quotes / bids not received by the due date and time shall be responsibility of the tenderer. CBDA takes no responsibility for delay, loss or non-receipt of tender documents sent by post/courier. Fax/ e-mailed offer shall not be accepted and CBDA takes no responsibility for delay, loss or non receipt of bid.

4.2 CBDA shall not be responsible for any expense incurred by bidders in connection with the preparation & delivery of their bids, site visit and other expenses incurred during bidding process. 4.3 CBDA reserve the right to assess bidder’s capability and capacity to execute the work using in-house information and by taking into account other aspects such as concurrent commitments and past performance. 4.4 Bidder submitting his bid should not be under liquidation, court receivership or similar proceedings.

4.5 Bids submitted through Fax/ e-mail shall not be accepted.

5.0 The bidder has to submit their bid in Hard Copy (printed form) with all information requested or to be provided / appended thereto, and is to be submitted strictly in accordance with the documents accompanying this RFQ, within the Closing Date and Time stipulated. For your ready reference, few salient points of the RFQ are highlighted below:

6.0 The Techno commercial Bid is to be submitted as per Scope of Work and Specification of the tender (Section II). The Price Bid rates shall be quoted per unit as specified in the “Schedule of Rates”

7.0 Bid submitted by the Tenderer shall remain valid and open for acceptance for a period of 4 months from the date of opening of Techno-commercial part of the tender. The rates quoted in the schedule of rates shall remain firm during the validity period and Contract period subject to escalation clause.

SECTION I Special Conditions of Contract (SCC)

PART-A

1.0.0 SERVICES

1.1.0 The Contractor shall be responsible and carries the services as per Scope of work

1.2.0 The Contractor will perform the work with reasonable care to be expected of a Contractor carrying out such services.

1.3.0 Wherever it is mentioned in the specifications that the Contractor shall perform certain works or provide certain facilities, it is understood that the Contractor shall do so at his own cost, being deemed to be part of the relevant item in the Schedule of Rates (SOR) whether expressly stated or not.

2.0.0 CONTRACT PERIOD

2.1.0 The time off completion for this contract shall be 30 days (Thirty Days) from the date of acceptance of the work order. The first batch must be supplied within 7 (seven) days from the date of award of work.

2.2.0 Total of contract period mentioned above shall be inclusive of Mobilization Period. Contract may be extended for another 30 days (Thirty Days) with the same rate, terms and conditions at owner’s sole discretion.

2.3.0 The contract normally stands terminated after the expiry of the period of the contract. However, the CBDA reserves its right to terminate the contract at any time by giving 10 days notice in writing without assigning any reasons thereof. The Contractor shall not be entitled for any compensation thereof under such circumstances.

3.0.0 INVOICING AND PAYMENT

3.1.0 Contractor shall submit original invoice covering all Work/Services completed together with required supporting documentation after completion of the Work.

3.2.0 Invoice shall:

3.2.1 Be made out in full legal name of the CBDA

3.2.2 Contain Contract and /or Job Order /Work Order Number and date.

3.2.3 Be prepared on Contractor’s official letterhead and the original must be signed by Contractor’s authorized representative.

3.2.4 Contain bank details, SWIFT Code etc., for online transfer.

3.3.0 CBDA shall pay all sums due within - 7 (seven) working days from the receipt of undisputed original invoice with all required supporting documents. If the seventh day falls on a Saturday/Sunday or an official public holiday in India, the next working day shall be deemed to be the due date for payments. CBDA reserves the right to require Contractor to furnish CBDA with satisfactory evidence of the validity and prior payment by Contractor of all expenses reimbursable by CBDA.

3.4.0 If CBDA disputes all or part of an invoice, CBDA shall return the invoice to Contractor, specifying vide a written notice the reasons for rejection not later than 10 days from the receipt of the invoice, Contractor may then either send back the invoice covering the undisputed part. The invoice for the disputed part may be sent, as the case may be, after the settlement of issue.

3.5.0 Payment due to Contractor may be withheld by CBDA on account of the following

3.5.1 As required by any applicable National or Local Law.

3.5.2 Unsatisfactory performance of this Contract;

3.5.3 The filing of claims against CBDA caused by acts or omissions of contractor;

3.6.0 Any payment made by CBDA shall not be construed as waiver of right of CBDA to object to any invoice so paid.

3.7.0 The payment shall be made on the basis of actual quantity of Jatropha curcas seed (Ratanjot) supplied, as per items in schedule of rates and as specified in the scope of work.

3.8.0 The actual quantity of Jatropha curcas seed (Ratanjot) will be verified through physical weighing by CBDA representative at Raipur .

3.8.0 The quantity of Supply of Jatropha curcas seed (Ratanjot) by Contractor may be measured by the way of physical weighing.

3.9.0 The Contractor shall have to maintain the record of quantity of Jatropha curcas seed (Ratanjot) supplied to CBDA. The printed receipts are to be arranged by the Contractor on his own expenses and initiative and shall be verified and signed by the representative of owner against delivery of every batch of Supply of Jatropha curcas seed (Ratanjot).

4.0.0 PENALTY

4.1.0 The Contractor shall make all possible efforts/ attempts to confirm supply of required quantity/ quality of Jatropha curcas seed(Ratanjot) as specified in Section-II Scope of Work within the specified timeline of the contract to avoid any penalty.

5.0.0 SUBLETTING OF THE CONTRACT

5.1.0 No part of the contract or any share or interest therein shall be in any manner or degree is transferred/ assigned or sublet by the Contractor directly or indirectly to any person, firm or CBDA whatsoever.

6.0.0 SCHEDULE OF RATES

6.1.0 All the items of work mentioned in the schedule of rates and covered by the Contract shall be carried out as per the specifications and directions of Officer-in-Charge/ CBDA representative and shall include all labour, materials, tools, tackles, loading and unloading, delivery at CBDA Plant at VIP Road, Biodiesel Plant Complex, Near Energy Education Park, Post: Deopuri, Raipur - 492015, etc. required to complete the job.

7.0.0 CONFIDENTIALITY

7.1.0 The Contractor shall not, without CBDA's prior written consent, disclose the contract, or any provision thereof, or any specification, plan, drawing pattern, sample or information furnished by or on behalf of CBDA in connection therewith, to any person other than a person employed or contracted by Contractor in the performance of the contract. Disclosure to any such employed person shall be made in confidence and shall extend only as far as may be necessary for purposes of such performance.

7.2.0 Contractor shall not, without CBDA’s prior written consent, make use of any document or information except for purposes of performing the contract.

8.0.0 INSURANCE

8.1.0 The Contractor shall maintain at its own cost, all insurances necessary to cover its liabilities for the performance of the Services under this Contract.

9.0.0 NOTICES

9.1.0 All notices and communications under this Contract shall be in writing by hand, post, e-mail or fax so long as in each case proof of delivery can be demonstrated by the sending Party to the person at the address, e-mail account or fax number as stated below or such other person or address as may be notified to the other Party from time to time.

10.0 EVALUATION OF BIDDERS:

10.1.0 In case of more than one qualified L1 bidder CBDA, has the right to equally distribute the total quantity required amongst those qualified L1 bidders.

In case of non-acceptance of L-1 rate by the other parties, the entire quantity shall be given to the original L-1 party. 10.2.0 In case of L-1 party not able to fulfill the total requirement, CBDA has the right to re-negotiate the rate with L-2 & L-3 bidders and balance quantity shall be given to them.

PART-B

1.0.0 ENTIRE CONTRACT

1.1.0 This Contract represents the entire Contract between the CBDA and the Contractor in relation to the performance of the Services by the Contractor. Copies of or notice of requirements under other Contracts between the CBDA and others shall not imply additional duties or requirements, nor by implication add to or modify the Services.

2.0.0 SEVERABILITY

2.1.0 If any term of this Contract shall be held to be invalid, illegal or unenforceable, the remaining terms or provisions shall remain in full force and effect and such invalid, illegal or unenforceable terms and provisions shall be deemed, from the beginning, not to have been part of this Contract.

3.0.0 FORCE MAJEURE

3.1.0 The obligations (except the obligation to make payment hereunder) of each Party under this Contract shall be suspended during the period and to the extent that Party is prevented or hindered from complying with them by any cause beyond its reasonable control including but not limited to an act of God, strikes, floods, fire, storm, failures of electrical or telephone supplies, change in the laws, rules, regulations or orders of any national or municipal or other governmental body, acts of war or terrorism, riots, civil disturbance or natural disasters.

3.2.0 In the event of either Party being so hindered or prevented, the Party concerned shall give notice in writing of suspension as soon as reasonably possible to the other Party stating the date and extent of the suspension and its cause. A Party whose obligations have been suspended as aforesaid shall resume the performance of those obligations as soon as reasonably possible after the removal of the cause and shall so notify the other Party. In the event that the cause continues for more than Four (4) months, and Contract to a Change is not a reasonable way of removing the hindrance or prevention, the Parties agree that performance of the Services under this Contract shall terminate automatically.

4.0.0 TERMINATION 4.1.0 CBDA shall be entitled to terminate this Contract if the Contractor– 4.1.1 fails to comply with the material terms of the Contract 4.1.2 materially breach of the Contract

4.1.3 is adjudicated or found bankrupt or insolvent or any order is made or resolution passed for winding up, liquidation or dissolution of the Contractor, 4.1.4 makes a general assignment for the benefit of the creditors

4.1.5 owned property is assigned to any Receiver by a Court of Law

4.1.6 has abandoned the Contract before the Delivery Date/Primary Term, or

4.1.7 has failed to commence Work or has without any lawful excuse under the prevailing conditions suspended the progress of the work necessary for Supply for more than seven (7) days after receiving a written notice from the CBDA to proceed with the works. 4.1.8 CBDA in turn also assures to make payment of material supplied within the specified timeline else Contractor will be at liberty to stop further delivery of next batch of material till clearance of dues.

5.0.0 GOVERNING LAW & ARBITRATION

5.1.0 Governing Law: This Contract is to be construed and governed in accordance with laws of India. The Parties hereto irrevocably submit to the exclusive jurisdiction of the courts at Raipur, Chhattisgarh, India.

5.2.0 Arbitration: This Contract shall be governed by and construed in accordance with the laws of India. Any dispute between the CBDA and the Contractor in respect of matters arising out of and relating to this Contract shall be resolved amicably through good faith negotiation. If any dispute cannot be resolved amicably, the aggrieved Party shall be entitled to refer the unresolved dispute(s) to arbitration by serving notice on the other Party. The provisions of Indian Arbitration and Conciliation Act 1996 or any statutory modification or re-enactment thereof for the time being in force shall govern such Arbitration proceedings. The venue for such arbitration shall be Raipur, Chhattisgarh India.

6.0.0 COMPLIANCE TO HEALTH AND HYGINE

6.1.0 That Contractors working on behalf of CBDA shall conform to all the norms of safety, health and environmental upkeep.

Section II Scope of Work:

The scope of work under this contract shall include in general but not limited to the following:

1. Supply of Jatropha curcas seed (Ratanjot) as per specific quality criteria given below Tender Specification

1. Specifications of Jatropha curcas seed

Name: Jatropha curcas Seed (Ratanjot)

Quantity: Batch of each 15 tonnes (+-10%) as and when instructed by CBDA.

Appearance: Uniform Black

Moisture: ≤ 12% Oil Content : ≥ 32%

Physical purity: 98% (seed should be free from foreign materials like weed, seeds of other crops, dust and small stones)

Acceptance Criteria: To supply Jatropha curcas seed at CBDA Plant at VIP Road, Raipur as per the specifications, only after testing of samples of each lot for the specifications & clearance.

2. The cost of delivery of the specified Jatropha curcas seed (Ratanjot) at CBDA Plant at VIP Road, Biodiesel Plant Complex, Near Energy Education Park, Post: Deopuri, Raipur – 492015, shall include all manpower, transportation costs, tools and tackles, loading & unloading at the point of transfer of ownership.

3. Payment methodology: Assuming that average quantity of Jatropha seed packed in one gunny

bag would be approx. 35kg and gunny bag in itself weighs approx. 1 kg.

Total payment for Jatropha seed procured = [Quantity of Jatropha seed X Jatropha seed quoted rate]

4. Payment of the material will be made by the CBDA to the contractor on actual quantity on

physical weighing in presence of both the representatives of CBDA & contractor at ex- Raipur basis. However, the deduction can be done on the following basis: a. Rate of material (per Kg) X Moisture % (above 12%) X 10gm

1000gm

Example: Rate of material (Rs/kg) = 10 Moisture 13% - 12% = 1% (Assuming 1% moisture = 10gm) Deduction = 10 X 1 X 10 gm

1000 = Paise 10 per Kg

Similar calculation for deduction will be applicable in case of excess impurities as well as lesser oil content in seed, as specified in Clause no. 1 above.

GENERAL SPECIFICATIONS FOR: Supply of Jatropha curcas seed (Ratanjot)

1.0.0 GENERAL:

1.1.0 The Contractor shall get all materials approved by the Officer-in-Charge/ CBDA

representative prior to raising of Invoice. The tests shall be conducted as detailed in the scope of work. A separate register shall be maintained indicating the details of tests conducted/reports from laboratories and tests conducted/ result at work site.

1.2.0 The Contractor shall keep a proper register at work site indicating the details of materials

brought in at the plant site. The register shall be submitted to Officer -in- charge/ CBDA representative. The Contractor shall also keep, readily available at site, a copy of all Delivery Challans and Invoices of materials being brought to site for incorporation in the works and shall produce the same on demand by Officer-in-charge/ CBDA representative.

1.3.0 T h e Contractor shall maintain the supply of the material as per the requirement indented

by Officer -in-charge/ CBDA representative for every batch of material.

1.4.0 The weight of one bag containing seed should not be more than 35 Kg.

1.5.0 Seed moisture content, oil content & physical purity testing should be done at CBDA

(Chhattisgarh Biofuel Development Authority) facility and the same shall be attached for

clearance of payment.

1.6.0 The first batch must be supplied within 7 (seven) days from the date of award of work.

C. We as well as our nominated sub-contractor(s) undertake to fully comply with provisions of the Child

Labour (Prohibition and Regulation) Act, 1986 and other applicable labour laws, in case the work is

awarded to us.

D. It is understood that if I/ We, either before award or during execution of Contract, commit a

transgression through a violation of Article b/c above or in any other form, such as to put my/our

reliability or credibility in question, the Owner is entitled to disqualify us from the Tender process or

terminate the Contract, if already executed or exclude me/us from future contract award processes. The

imposition and duration of the exclusion will be determined by the severity of transgression and

determined by the Owner. Such exclusion may be for a period of 1 year to 3 years as per the procedure

prescribed in the guidelines for holiday listing of the Owner.

E. I/ We accept and undertake to respect and uphold the Owner’s absolute right to resort to and impose

such exclusion.
