Review Report to The Board of Directors CG Power and Industrial Solutions Limited

    1. We were engaged to review the accompanying statement of unaudited standalone financialresults of CG Power and Industrial Solutions Limited (the ‘Company’) for the quarter endedSeptember 30, 2020 and year to date from April 01, 2020 to September 30, 2020 (‘theUnaudited Standalone Financial Results’) attached herewith, being submitted by the Companypursuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and DisclosureRequirements) Regulations, 2015, as amended (the “Listing Regulations”).

A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analyticaland other review procedures. A review is substantially less in scope than an audit conducted inaccordance with Standards on Auditing and consequently does not enable us to obtainassurance that we would become aware of all significant matters that might be identified in anaudit. Accordingly, we do not express an audit opinion.

    4. Basis for Disclaimer of Conclusion

As explained in the note 2 and note 3 of the Unaudited Standalone Financial Results, theNational Company Law Tribunal (NCLT) has passed an order allowing the Ministry of CorporateAffairs (MCA) to reopen and recast the books of accounts and the financial statements of theCompany and its subsidiaries (‘Proposed Revision’) under Section 130 of the Companies Act2013.
