Domain Name Sub-domain on current website OR new domain name

SSL Certificate 128 bit encryption

Communication Ports 1. Incoming traffic via https/ssl (port 443) 2. SQL requests to database server (port 1433)

Web Server Notes

1. The Centrix Exact/TMS™ web application that runs on this server is used by both bank

customers and bank employees.

2. This DOES NOT have to be a dedicated server.

3. The server must be placed directly in the DMZ or accessible from a front-end web or load

balancing server in the DMZ. The positive pay URL is typically configured as a sub-domain (ex:

Centrix & Q2 Confidential & Proprietary Centrix Products_v20161115

positivepay.samplebank.com) or a specific folder name (ex:

www.samplebank.com/positivepay).

4. If a front-end web or load balancing server is used to route requests to this web application

server, the hardware requirements, configuration/setup, and routing of messages related to the

front-end server are the responsibility of the Client.

5. In addition to the web application, there is one Centrix Exact/TMS™ Windows service that runs on this server. This Windows service processes issued check files that are uploaded by customers using the Centrix Exact/TMS™ web application.

6. The web server can be a virtualized server.

INTERNAL APPLICATION SERVER **OPTIONAL**

Communication Ports 1. SQL requests to database server (port 1433) 2. SMTP requests to an SMTP server (port 25)

Internal Application Server Notes

1. This OPTIONAL internal application server may be used to run the Centrix Exact/TMS™ Windows services that may otherwise reside on the database server. This server is typically deployed by institutions that prefer not to install any applications on database servers. If an internal application server is used, no Centrix Exact/TMS™ Windows services will be installed on the database server.

2. The Centrix Exact/TMS™ Windows services that would run on this server perform system functions such as nightly batch update processing and sending system emails. These services are idle most of the day and night. The most intensive processing performed by these services are the nightly update processes which typically run during the overnight hours while there are no online users accessing the system. The number of Windows services installed on this server depends upon which Centrix Exact/TMS™ modules are licensed. At a minimum, one Windows service (primarily responsible for nightly batch update processing and sending emails via SMTP) will be installed on this server.

3. If the Centrix Exact/TMS™ Payee Match Module is implemented, this software will be installed on the internal application server (if used) or the database server.

4. The application server can be a virtualized server.

Database Server Notes

1. The database server is used to store all application-related data including system parameters,

user information, account information, and transaction information.

2. This DOES NOT have to be a dedicated server.

3. The database can reside in a database cluster.

4. The server must reside on the internal network.

5. The server is accessed by the web application server for database inquiries and updates.

6. In addition to the web application, one or more Centrix Exact/TMS™ Windows services can run

on this server. These Windows services perform system functions such as nightly batch update

processing and sending system emails. These services can be installed either on the database

server or on a separate internal application server that resides on the internal network. These

Centrix & Q2 Confidential & Proprietary Centrix Products_v20161115

services are idle most of the day and night. The most intensive processing performed by these

services are the nightly update processes which typically run for a short period of time during

the overnight hours while there are no users accessing the online system. The number of

Windows services that may be installed on this server depends upon which Centrix Exact/TMS™

modules are licensed. At a minimum, one Windows service (primarily responsible for nightly

batch update processing and sending emails via SMTP) may be installed on this server.

7. If the Centrix Exact/TMS™ Payee Match Module is implemented, this software will be installed

on the internal application server (if used) or the database server.

Add-Ons to Centrix Exact/TMS™

Centrix Exact/TMS™: SSO from non-Q2 Online Banking An SSO interface to Centrix Exact/TMS™ where the SSO will be accessed from a different online

provider than Q2 directly into Centrix Exact/TMS™.

Centrix Exact/TMS™: Payee Match On-premise software residing at the Client site regardless of whether Centrix Exact/TMS™ is

hosted. The module only reads typewritten payee names. Handwritten payee names are ignored. The Payee Match Module compares the typewritten payee on the check image to the payee that was submitted by the Client in the issued check file to ensure the payee has not been altered.

ACCESS TO CHECK IMAGES: It is the responsibility of the financial institution to make the check images available for processing within the Payee Match Module. Payee match processing WILL NOT retrieve images “one-by-one” from the image archive, rather, a batch process runs that will process images from a pre-defined network location. The financial institution should contact the check image vendor Q2 or Centrix to determine the best method of making the images available for payee match processing. Any fees assessed by other vendors to make the check images available for payee match processing are the responsibility of the Client. If the check image archive resides with the client, the Client should contact Client’s image vendor about extracting check images.

CHECK IMAGE INTERFACE: Payee Match requires that Client also purchase the Centrix Exact/TMS™ check image interface, which allows Client to click on a “view image” link when making pay/return decisions on exceptions.

HARDWARE CONSIDERATIONS: The Payee Match Module does not require a dedicated server unless Client anticipates a high volume of checks to be processed by the module. The Payee Match update will run every night, thus the server hosting the application should be a server with plenty of processing power in the middle of the night. The Payee Match Module does not process during the day, thus it would not utilize processing resources during normal business hours. Minimum server requirements are: Processor 2.4 GHz, RAM 2 GB. The parties will determine the best implementation model for the Payee Match Module. If the module is

Centrix & Q2 Confidential & Proprietary Centrix Products_v20161115

implemented at the financial institution, hardware resources are required, but the system does not require a dedicated server unless the institution anticipates a high volume of checks to be processed by the module.

Centrix Exact/TMS™: Text Messaging Module Used for sending short message service (“SMS”) text alerts from the Centrix Exact/TMS™ to

system End Users. The types of text alerts include, but are not limited to: (a) Issued file

processing alerts (b) Exception notification alerts (c) ACH filter/block alerts and (d) Batch

processing completion alerts to FI employees. The Text Messaging Module utilizes a shared

short code for sending text alerts. Client is responsible for the content of all text alerts. Within

the system, the Client can define a text message prefix and the text message content for each

type of text alert. The prefix is used by the Client to prepend each text message with the Client

full or abbreviated name. Client is responsible for obtaining authorization from End Users who

will be receiving text messages. The recipient of the text message is responsible for all charges

and fees associated with text messaging imposed by the recipient’s wireless service

provider. End Users can text STOP to the shared short code to stop receiving text alerts.

Centrix Exact/TMS™: Auto Processing for Issued Files Used for End Users who submit issued check files via alternative methods such as FTP or secure

email rather than using the Centrix Exact/TMS™ system. This module will scan a pre-defined

network location and automatically process issued check files into the Centrix Exact/TMS™

system when they become available.

Centrix Exact/TMS™: Transaction Extract - Batch Mode Automatically creates transaction extract files (i.e., BAI2, CSV) for specific accounts and places

the files in a pre-defined network location each night (or on a defined schedule if hosted). Client

is responsible for delivering these files to their End User.

Centrix Exact/TMS™: BAI2 Extract - Online Mode Allows Client to create a BAI2 transaction extract file from the Exact/TMS™ web application.

Centrix Exact/TMS™: Daily Extract for 3P Recon or Teller Periodically extracts issued/paid items to a file to be processed into another application such as

a 3rd party reconcilement system. The purpose of this module is for environments where the

on-line teller system already has real-time integration with an existing system and populating

this system with issued/paid items enables the teller system to validate checks against positive

pay items without developing a real-time API interface to Centrix Exact/TMS™.

Centrix Exact/TMS™: Teller Interface The Centrix Teller Interface is an Application Programming Interface (API) that automatically

communicates with teller systems to validate checks (written on positive pay accounts) as they

are presented at the teller line. May require additional software from the teller vendor to

support this integration. Assumes the teller system will communicate to the standard Centrix

Centrix & Q2 Confidential & Proprietary Centrix Products_v20161115

Exact/TMS™ web service. Available interfaces include Harland EZ, Jack Henry Vertex, FIS Horizon

and S1 FSB Teller.

Centrix Exact/TMS™: Check Image Interface The Centrix Exact/TMS Check Image Interface allows the Exact/TMS base system to retrieve and

display check images from third party check image archives via an online interface. The

interfaces are typically HTTP-based. Within the Exact/TMS web application, both the front and

back sides of the check image are displayed.

Centrix Exact/TMS Self-Guided Demo Site The Self-Guided Demo site provides Client with a chance to navigate the application, run

reports, view exceptions and get an understanding of the features and benefits of Centrix

Exact/TMS™. The demo site includes static “test” data and is branded for Client. The demo site

will be hosted and not installed on the Client’s servers.

Centrix Exact/TMS™ Conversion The Client is responsible for providing specifications from Client’s core vendor in an industry

standard format and securing cooperation with such vendor.

Centrix Exact/TMS™ Connect Module Connect Module is a web service interface that allows other software applications (ex: online

banking, tablet, mobile) to integrate with Exact/TMS for a limited amount of functionality. This

functionality includes processing exceptions and adding a new issued check.

Centrix Exact/TMS™ Nightly Data Extracts The Centrix Exact/TMS Nightly Data Extracts module provides financial institutions with an

automated creation of data extract files in a CSV format that would be created and sent to the

financial using their current file transfer method immediately following the completion of daily

batch processing.

This module includes the creation of the following data extract files in a csv format: Service

Charge Parameters, Incoming ACH DNE Report, ACH Returns/NOC Report, Incoming ACH IAT

Report, ACH Report Types, Relationship Manager Client Report, Untimely Returns Report, Stops

and Voids Report, Issued Check File Processing Log, System Errors Report, Batch Processing,

Account/Client ID Listing, Company ID Translation Report, Transaction Audit Log, Email/Text Log,

System Audit Log, Account Listing by User Report, User Listing Report, Client Report, Paid Checks

Report, Security Template Report, Stale Dated Checks Report, ACH Transactions Report, Daily

Checks Issued Summary Report, Exceptions Items Report, Outstanding Issued Check Report.

Centrix Exact/TMS™ Deconversion Package The Centrix Exact/TMS Deconversion Package provides financial institutions with data extract

files of deconversion data in a pipe delimited format.

Centrix & Q2 Confidential & Proprietary Centrix Products_v20161115

This module includes the creation of the following data extract files: Client Information File,

Client File Formats File, Account Information File, ACH Authorization Rules File, Transaction

Filter / Block Rules File, Outstanding Issued Checks File, User Information File and User Account

File. For hosted implementations, 3 test extracts and one live extract will be provided. For on

premise implementations, the deconversion package will be supplied to the financial institution

and the financial institution is responsible for creating the deconversion files using the

deconversion package.

Centrix Exact/TMS: ARS™ – ACH Reporting Module

The Centrix Exact ACH Reporting System (Centrix Exact/TMS: ARS™) allows financial institutions to meet

the ACH transaction reporting needs of their most demanding clients without having to manually

assemble and distribute reports. The system, which can be implemented as an extension of the Centrix

Exact/TMS™ positive pay application or stand alone, will enhance the treasury management product line

of the financial institution and provide another revenue stream. Most importantly, Centrix Exact/ARS™

enables the institution to offer an automated service that requires minimal resources for implementation

and daily processing.

When implemented as an extension of Centrix Exact/TMS™ positive pay, all Centrix Exact/TMS: ARS™

Add-Ons to Centrix PIQS™

Centrix PIQS™ Transaction Warehouse Module Allows Client to consolidate originated ACH files from one or more input sources and create an

output file to be sent to the ACH processor (ex: the Federal Reserve) and a separate output file

containing onus transactions. Optionally, the module can store future dated transactions

received from originators and include these future dated transactions as part of the output files

on the appropriate processing day.

Centrix PIQS™ Automated Reporting Module The Centrix PIQS Automated Reporting Module will allow users to save report criteria and

schedule reports for automatic creation.

Users at the financial Institution will be able to save report criteria and schedule any of the ACH

activity reports currently available in the Centrix PIQS system. Permissions to control which

users have this access will be available to system administrators.

Data other than what is stored in the Centrix PIQS database will not be available to be included

in these reports. If Centrix PIQS is being hosted, the output reports will be delivered to the

financial institution using the same file transfer mechanism as is being used to deliver other

Centrix PIQS files.

Centrix PIQS™ ACH File Manager Service The CentrixPIQS™ ACH File Manager Service consolidates multiple originated ACH files into one

single file, reducing the number of ACH files a Financial Institution must process each day.

This product will aggregate ACH files and transactions created in or uploaded through Online

Banking. An automated extract will occur at one or more scheduled times per processing day.

Extract times are specified on a per-institution basis and can also be specified by ACH

transaction type. Files will be combined into one single output file per extract time, which will

Centrix & Q2 Confidential & Proprietary Centrix Products_v20161115

be created in a specified output folder. Summary and detail reports of aggregated ACH

transactions will be generated.

This product will not validate ACH files for correct NACHA format.

Q2 will push Client’s ACH files to an FTP site that the Client has established. If the Client has

deployed Q2’s Risk and Fraud Analytics (RFA) service and any ACH transaction or batch is in an

“On Hold” status, the automated process for pulling the ACH file(s) will not include these files.

The Client will maintain the ability to pull these ACH files manually when needed. If the

automated process does not produce the ACH files, the Client must manually produce the files

through Client’s instance of online banking with Q2 through the Q2 Central features.

Client is responsible for purchasing the FTP appliance(s), configuring the appliance(s), updating

the appliance(s) software in the event of security vulnerability and supporting the appliance(s).

Client is responsible for working with Q2/Centrix to establish and maintain connectivity. The

Client is responsible for balancing all ACH files created by the Q2 system and ultimately

processed by the Client on its ACH system. Resolution of any differences or discrepancies

between the Q2 and Client’s own ACH system or network will be the responsibility of the Client.

Client retains sole responsibility for the delivery of all ACH files to their ACH system and

ultimately to the ACH Network.

Centrix PIQS™ Hosted The Centrix PIQS hosted system includes fraud detection/validation for originated ACH

transactions, daily ACH processing/reconciliation capabilities, ACH transaction reporting and

research functions, and commercial customer risk management tools.

This product includes an integration layer that automatically extract ACH files and transaction

from Q2 online banking into Centrix PIQS™ via an automated process. The financial insitution

can define the schedule of processing for ACH files being pulled from Q2 online banking into

Centrix PIQS™.

Does not include delivery of ACH files directly to an ACH network. Client retains sole

responsibility for the delivery of all ACH files to their ACH system and ultimately to the ACH

Network.

If the Client has deployed Q2’s Risk and Fraud Analytics (RFA) service and any ACH transaction or

batch is in an “On Hold” status, the automated process for pulling the ACH file(s) will not include

these files.

If ACH files are to be delivered to the Client via FTP, Client is responsible for purchasing the FTP

appliance(s), configuring the appliance(s), updating the appliance(s) software in the event of

security vulnerability and supporting the appliance(s). Client is responsible for working with

Q2/Centrix to establish and maintain connectivity. The Client is responsible for balancing all ACH

files created by the Q2 system and ultimately processed by the Client on its ACH system.

Resolution of any differences or discrepancies between the Q2 and Client’s own ACH system or

network will be the responsibility of the Client. Client retains sole responsibility for the delivery

of all ACH files to their ACH system and ultimately to the ACH Network.

The Client will maintain the ability to pull these ACH files manually when needed. If the

automated process does not produce the ACH files, the Client must manually produce the files

through Client’s instance of online banking with Q2 through the Q2 Central features.
