1) TERMS OF SALE. All items are sold non-returnable. Assortment colors and styles cannot be guaranteed. Prices subject to change without notice.

2) TERMS OF PAYMENT. Net 30 invoices are due 30 days from the date of invoice and are considered Past Due on the 31st day. A finance charge equaling 1.5% of the delinquent invoice will be assessed each 30-day period thereafter. This finance charge becomes part of the total balance due and must be paid in order for the invoice to be paid in full. Noted charges a $50.00 fee for each returned check.

3) SALES TAX. All customers must submit a resale or tax-exemption certificate in order not to be charged sales tax. Otherwise Connecticut sales tax of 6.35% will be charged on any order.

4) ESTABLISHING CREDIT.: All initial orders typically require prepayment to speed order processing; however, standard Net 30 terms may be requested for an initial order if credit sheet is submitted. Please allow time for ap-proval. We do not ship C.O.D. Payment methods accepted: check, American Express, Master card or Visa, Paypal and wire transfer.

5) MINIMUMS & DISCOUNTS. Products must be ordered in case pack quantities. Minimum opening order is $200 (OK to mix products). Reorders under $100 are subject to a handling fee of $10.

6) SHIPPING. All orders are shipped F.O.B. FLEMINGTON NJ 08822 via UPS Ground or Ground Collect. Orders are packed and shipped within 2 to 3 business days of receipt. Rush orders or same-day orders are subject to a $50 handling fee.

7) BACK ORDERS. If an order cannot ship complete within two weeks of requested ship date, any out-of-stock items will be back-ordered and the available items shipped. Noted will ship back-ordered automatically if prod-uct is available within six weeks after requested shipping date. After that date, Noted will contact customer to confirm backorder before shipment.

8) PAST DUE ACCOUNTS. Noted does send statements, however, payments are to be made from invoices. If payment is not received within 60 days, customer will be contacted by either mail, fax, email, or telephone. If payment is not received within 90 days from the date of original invoice, the delinquent account in question will be submitted to a collection agency. A $250.00 service charge, plus finance charges, costs,

and collection fees incurred during the collection process, will also be billed to the delinquent customer.

9) CLAIMS. When shipment is received, if anything is missing or damaged, please hold the carton with packaging material until claim is settled. Claims for concealed damage must be made to the freight carrier within 48 hours of delivery. If the order was shipped by FedEx, UPS or common carrier, please notify their local office. Claims for shortages must be made within 2 days of delivery. No claims for shortages and/or damages will be allowed unless reported to Noted within 5 days of delivery. Delivery shall mean delivered to the address written on the purchase order and signed for at that address. Noted will not be responsible for unauthorized signers, loss, or damage after the shipment has been signed for.

10) RESTOCKING FEE. All merchandise is sold non-returnable; however, if authorization is received from Noted to return merchandise for any reason other than defects or errors on the part of Noted, then customer will be assessed a 35% restocking fee based upon the wholesale value of the items returned.

11) Online Sales. Noted retailers are free to sell Noted products on their own website as long as they adhere to Noted's MAP policy. Sales of Noted's products on third party sites such as Amazon, eBay or Jet are strictly prohibited. Any retailer selling on these sites will not be supplied.

12) MAP Policy. Noted requires that all retailers of Noted's products in all sales channel follow Noted's recommended MSRP, discounting and MAP sales policy for its products. Retailers who do not follow the policies will not be supplied. For current information, please contact Noted.
