New Carrier Document Checklist

Please email/fax the following documents back to your Malik-Sherman Freight & Asset Management, INC. representative.

1) Signed Broker/Carrier Contract (MUST be completed by an officer able to enter a legal contract)

2) Carrier Profile Sheet 3) W-9 dated in the current tax year 4) MC Authority Document 5) Sample of Insurance (Listing as Malik-Sherman Freight & Asset Management,

Inc. as the Cert. Holder) 6) Hazmat certification if applicable 7) Three trade references, preferably, that you have conducted business with.

Approved Carrier Requirements:

Hold a valid MC # and associated authority to operate or DOT #. Intrastate carriers must provide an applicable state registration number.

Satisfactory safety rating. Valid Insurance $1 million Auto Liability, $100.000 Cargo and Workers Compensation in

amounts required by statue. Insurance certificate must be received directly from the insurance agent.

Broker— Carrier Agreement

This Broker-Carrier Agreement (the “Agreement”) is made this ___day of ____, 2019, by and between Malik-Sherman Freight & Asset Management, Inc., 75 W. Nuevo RD, Suite E, PMB #409, Perris, CA 92571 (“Broker”) and ____________________________, whose business address is ___________________________ (“Carrier”) and is effective as of ___________________, 2019 (“Effective Date”).

WHEREAS, Broker is duly licensed as a property broker to arrange for the transportation of property by motor carrier under permit MC #9479814-B issued by the Federal Motor Carrier Safety Administration (“FMCSA”).

WHEREAS, Carrier is duly licensed motor carrier which has been issued an operating authority by the FMCSA (or its predecessor, the ICC) that authorizes Carrier to provide transportation service for the shipments tendered to it by Broker.

1. Broker agrees to offer for shipment and CARRIER agrees to transport with its own equipment at least 10,000 pounds annually or a series of shipments and such additional quantities of freight as BROKER may tender subject to the availability of suitable equipment.

2. CARRIER shall be authorized to operate as a contract motor carrier by the ICC/DOT And shall provide and maintain at its sole cost and expenses, insurance against liability for injuries to or death of persons and damage to property, in combined single limits of not less than $750,000.00 per occurrence and for loss of or damage to freight in an amount not less than $100,000.00 and any additional insurance required by applicable laws, rules and regulations. Carrier shall furnish upon BROKER request a copy of each such insurance policy and written certificates of insurance.

3. CARRIER shall be paid the freight charges for the transportation service to be rendered. Pursuant to this at this at this rate set forth in schedule A, Rate and load confirmation Broker shall send schedule A to carriers via facsimile, email, etc. before shipment of freight. CARRIER must sign and send back said load confirmation.

4. The Parties understand and agree that CARRIER is a contract motor carrier in Interstate commerce, and is not obliged by law to file with any government agency its schedule of rates nor to adhere to any schedule filed with any government agency.

5. The Rate and load confirmation shall designate the procedure for billing freight charges

CARRIER upon reasonable demand, shall deliver the BROKER copies of its ICC/DOT operation authority and Certificate of Insurance insuring carrier's liability for personal injury, property damage and loss of damage of cargo. Upon request of BROKER CARRIER shall have its insurance amended to include Insurance of BROKER as it interest may appear.

7. CARRIER as its sole cost and expense, shall furnish all equipment required for its services hereunder and shall maintain all equipment is good repair and condition. CARRIER at its sole cost and expense, shall employ for its services hereunder only competent and legally licensed personnel. Without the prior written consent BROKER, CARRIER shall not cause or permit shipment tendered hereunder to be transported by any other motor carder or in substituted service by railroad or other modes of transportation.

8. CARRIER shall be liable for loss, Damage, OR delay of any shipment, and may face possible monetary charges for shipment not delivering as scheduled, while in the possession or control of CARRIER. CARRIER herby assumes liability of motor common carrier as provided in Section 11707 of Title 49 of the United States Code oats in effect on the effective date of this agreement All claims for loss and damage and salvage shall be handled and processed in accordance with regulations of the ICC/DOT as published in the CODE of Federal Regulations.

9. CARRIER agrees to hold BROKER harmless from and indemnify BROKER from any liability resulting from the loss or damage to any freight transported by CARRIES and also agree to hold BROKER harmless for personal injury or property damage which may occur during the operations or Carrier pursuant to this agreement including all cost to defend claims.

10. IT is the intention for the parties that CARRIER shall be an independent contractor for all parties involved in the transportation including BROKER

11. CARRIER agrees that under no circumstances will it communicate directly with clients referred to it by the BROKER. It is understood by the CARRIER that the provisions of the paragraph pertain to "BACK SOLICITING': The carrier hereby agrees that neither it nor anyone under its control will approach those clients introduced to it by the BROKER for purpose of selling directly or accepting traffic from the client without BROKERS participation. Said 1596 commission is to continue during the period in which this agreement remains in force, and for five years after the termination agreement by either party.

12. This agreement shall continue in full force and effect until either party gives the other thirty (30) days prior notice of termination by certified mail.

It is agreed and understood that the Carrier shall not at any time within five years of shipping freight tendered by MALIK-SHERMAN FREIGHT & ASSET MANAGEMENT, INC. back solicit the said account (that is freight for which the Carrier bills the Broker to allow him to add his fees. Back Solicitation shall be defined asking the shipper or the consignee to handle the business direct or to inform the shipper of negotiated rate between the carrier and Malik-Sherman Freight & Asset Management, Inc.
