Section 1 Project Summary

1.1

Project Summary

This document includes drawings and specifications for the preparation of bids to fabricate and install

a wayfinding system for the City of Carlsbad sponsored by Carlsbad MainStreet. This Bid Document

represents Design Intent and shall not be used as shop drawings. It is a communication device for

prospective bidders to understand the form and function of elements that constitute exterior sign elements.

From this Bid Document, the prospective bidder shall formulate and submit their bid to fabricate, deliver

and install all items required to fulfill the contracted scope of work as described in a RFP produced under

separate cover by the City of Carlsbad, New Mexico.

The successful bidder will receive an updated version of these documents to be known as Contract

Documents which will include refinements to the message schedule, location plans and sign quantities.

After the contract award, the Sign Contractor will submit a revised scope fee based on unit costs included

in their winning bid.

Access to the Mayfield Creative FTP will be given to the Sign Contractor to download production art and

relative project files for use in fabrication.

5.1

INVITATION TO BID You are invited to bid on a comprehensive exterior Wayfinding Program for the City of Carlsbad, New Mexico. Bids shall be all-inclusive to include the fabrication and installation of all new sign units as specified in these Bid Documents. The bid form Section 00300 requests individual pricing for the cost of the new signs. The Contractor will be asked to perform installation services on behalf of the City of Carlsbad, NM. The project shall be fully fabricated and installed 14 weeks after notice to proceed .

It is understood that the Contractor will proceed with all other project activity once the project is awarded such as shop drawings, field verifying measurements, permits, samples, submittal of schedules, etc. Lump Sum Bids including unit and extended prices for each item will be received from selected bidders for construction of a project described as City of Carlsbad Wayfinding Program until 0:00 PM, Month, Day, 2009 local time. Bids will be privately opened.

A Performance Bond and a Labor and Materials Payment Bond, each in the amount of 100% of the Contract Sum will be required from the successful Bidder. Each Bidder shall accompany his bid with a signed certificate from a surety company acceptable to the City stating that such surety will provide the Bidder, if awarded the Contract, with required bonds.

The Form of Agreement Between City and Contractor shall be issued by The City of Carlsbad where the basis of payment is a Stipulated Sum.

The City reserves the right to waive any informalities and to reject any or all bids. The project has liquidated damages assigned to it. Every day the project is late beyond the completion dates (as identified above), a fine of $500.00 per day will be assessed for delay of work.

5.2

PART 1 - INSTRUCTIONS TO BIDDERS Bidders are requested to submit bids for the contract work stated on the title page of the Bid Documents.

1.1 INTRODUCTION The purpose of this document is to serve as a reference that identifies materials, construction specifications, quality controls,

as well as signage fabricator/contractor’s responsibilities and obligations. The Sign Contractor shall furnish and install signs and/or graphics as detailed on Design Intent Drawings and/or described in these specifications. Signs shall carry messages and images as specified in the attached Message Schedule and/or addenda included prior to contract award. Quantities shall be as called for in the attached Fabrication Price Schedule.

1.2 DEFINITIONS A. Bid Documents include Invitation to Bid, Instructions to Bidders, the bid form, other sample bidding and contract forms, the proposed Design Intent drawings, Message Schedule, Specifications and Addenda issued prior to receipt of bids. B. The Contract Documents proposed for the work consist of the City/Contractor Agreement, the Conditions of the Contract (General and Supplementary Conditions), the Design Intent drawings, Message Schedule, Specifications and

all Addenda issued prior to and all modifications issued after execution of the contract. C. All definitions set forth in the General Conditions of the Contract for Construction, AIA Document A201 or in other Contract Documents are applicable to the Bid Documents. D. Addenda are written or graphic instruments issued by the City prior to the execution of the Contract, which modify or interpret the Bid Documents by addition, deletions, clarifications or corrections. E. A Bid is a complete and properly signed proposal to do the work or designated portion thereof for the sums stipulated

therein, submitted in accordance with the Bid Documents. F. The Base Bid is the sum stated in the Bid for which the Bidder offers to perform the work described in the Bid

Documents as the base, to which work may be added or from which work may be deducted for sums stated in Alternate Bids. G. An Alternate Bid (or Alternate) is an amount stated in the Bid to be added to or deducted from the amount of the Base Bid if the corresponding change in the work, as described in Bid Documents, is accepted. H. A Unit Price is an amount stated in the Bid as a price per unit of measurement for materials or services as described in the Bid Documents or in the proposed Contract Documents. I. A Bidder is a person or entity who submits a bid for a project contract with the Owner for the work as described in the

Bidding Documents. J. A Sub-bidder is a person or entity that submits a bid to a Bidder for materials or labor for a portion of the work as described in the Bidding Documents. K. The Designer describes Mayfield Creative, Inc. and all personnel employed under its umbrella. L. The Sign Contractor is the Bidder who is awarded the above-mentioned project and is accountable for all work

described herein. M. The Owner is the entity with which the Designer and the Sign Contractor are engaged under contract and the principal

owner, or representative of such, of the project and/or the property on which the project is located. For this contract, the owner shall be The City of Carlsbad, New Mexico.

N. Design Intent Drawings are a collective and organized group of elevations, sections, details and site plans created by the Designer to communicate the aesthetic form and functional performance of items to be fabricated and installed

within this proposal. O. Contract Documents (CDs) are a compilation of Design Intent Drawings, Written Specifications, Message Schedule, Graphic Standards, Addenda and Project Summary.

5.3

1.3 BIDDER’S REPRESENTATIONS A. The Bidder, by making his Bid, represents that: 1. He has read and understands the Bid Documents and his Bid is made in accordance therewith. 2. He has visited the site, has familiarized himself with the local conditions under which the work is to be

performed, and has correlated his observations with the requirements of the Bid Documents. 3. His bid is based upon the materials, systems and equipment required by the Bid Documents without exception.

1.4 CONSIDERATION OF BIDS The Owner reserves the right to waive irregularities and defects and to reject any or all proposals. The Owner also reserves

the right to accept that proposal which is deemed to be for the best interests of the Owner.

PART 2 - GENERAL CONDITIONS

2.1 DESCRIPTION A. Sign components presented in this document are for design intent purposes only. Shop Drawings, which shall be provided by the Sign Contractor, shall be used as the final construction documents and shall include construction, engineering and installation details required for implementing the designs described herein. B. All designs shown herein shall be fabricated from the Sign Contractor’s shop drawings that include signed approvals from the Owner and/or Designer. The Sign Contractor’s shop drawings will accurately represent the Designer’s design intent as provided herein, which shall control all visual proportions and details, colors, materials and finishes, unless specifically noted otherwise. All structural details, fastenings, engineering, installations and other construction or fabrication methodology of a technical nature shall become the sole responsibility of the Sign Contractor and details for fabrication shall be presented as such via the Sign Contractor’s shop drawings.

2.2 WORK INCLUDED A. Furnish labor, materials, equipment and services necessary and reasonably incidental to complete fabrication, delivery and installation of signs as specified. The Sign Contractor shall provide all materials, equipment, services, labor, tools, and supplies to fulfill completion of this contract. The Sign Contractor shall be responsible for a complete and thorough job. Materials not specifically described but required for a complete and proper installation shall be described and provided for by the Sign Contractor.

2.3 SAMPLES AND SUBMITTALS A. Submit the following samples and submittals. Samples and submittals shall be provided in a timely manner as to not delay the completion of the project. 1. SHOP DRAWINGS a. Provide the Designer with four (4) sets of dimensioned shop drawings of all signs clearly indicating construction materials, typographic layouts for all secondary typical sign layouts (i.e. each unique layout showing number of lines of text or other unique configurations -- repeats of identical number of lines of text need not be reviewed by the Designer), fabrication methods, finishes, anchoring devices, connections and other details. Furnish location detail drawings for signs supported or anchored to other construction (where other than shown in Design Intent Drawings). The Sign Contractor shall be required to obtain an approved set of shop drawings (signed-off by the Designer and the Designer) and all permits prior to fabricating any sign products.

2. SAMPLES a. Submit three (3) sets of paint and finish samples (onto 6” x 6” aluminum) representing all paint color applications. b. Submit three (3) sets of full size V1 vinyl arrow samples (onto 12” x 12” aluminum painted to match P4) c. Submit three (3) sets of V1 vinyl typography (4 1/2” capital letter N onto 12” x 12” aluminum painted to

match P4). d. All colors and finishes must be reviewed prior to producing any final sign products. Submit three (3) sets

to the Designer. After receipt, the Designer shall submit one set of samples to the Owner for permanent record, one will be held by the Designer as a control reference and one shall be returned to Sign Contractor with approved sign-off.

3. The Owner reserves the right to add to and otherwise modify sign text and lettering layout during the shop drawing review phase at no additional cost to the Owner. 4. Provide manufacturer’s technical data, installation instructions, recommended maintenance products, and recommended maintenance methods and procedures for each type of sign and sign material as requested by the Designer. Cut-sheets and product technical information shall be provided to the Designer within five days from written request date.

2.4 QUALITY ASSURANCE A. Use only personnel thoroughly experienced and skilled with the products and methods for fabrication and installation of signing specified. Manufacturer shall be able to demonstrate a minimum of five years or more fabrication experience in the architectural signage industry.

2.5 TYPOGRAPHY A. All lettering, with the exception of that used in City and MainStreet logos, shall utilize that which is indicated on page 2.8 of the Design Intent Drawings. Typographic substitutions will not be accepted. B. Letter-forms and symbols shall be photographically precise, crisp, clean and free of ticks, discontinuous curves, free of line waves, cut or ragged edges, edge build-up, bleeding, surface pinholes, and other imperfections. Letter-forms shall conform to the prescribed letter form proportions. C. Unless otherwise indicated, letter-forms shall be aligned to maintain a baseline parallel to the sign format. D. All typography shall match intended scaled drawing layouts. Actual sign copy shall be as shown in the Message Schedule. Typographic changes from examples shown herein must be brought to the attention of the Designer. E. Message copy shall be as specified in the Message Schedule as upper and / or lower case type. Alternate letter-forms will not be accepted.

2.6 PURCHASING A. The Sign Contractor shall place his orders for buy-out items and materials as soon as possible after the letting of the Contract and shall insure that his Sub-contractors are equally prompt in this respect. Substitutions of items or materials will not be allowed or approved for the sake it can reasonably be said that prompt ordering would have allowed adequate time for delivery, fabrication and installation. B. In instances where such tardiness in purchasing contributes to delay that might affect a scheduled completion date, it will be the responsibility of the Sign Contractor, not only to notify the City of the impending late delivery, but to assume all related costs involved in taking all feasible measures to speed the production, delivery and installation of such items.

2.7 CODES, ORDINANCES, REGULATIONS & DIRECTIONS A. All work and materials shall be in full accordance with the latest rules of all local and national authoritative agencies; and with any prevailing rules and regulations pertaining to adequate protection and/or guarding of any moving parts or otherwise hazardous locations. B. Regulations, including building codes, and all other codes applying to this jurisdiction shall be followed. C. All electrical equipment shall conform to the latest standards set by the appropriate governing bodies thereof. D. Whenever the drawings and specifications require something, which will violate the regulations, the regulations shall govern. E. No extra charge will be paid for furnishing items required by the regulations but not specified or shown on the drawings. F. Rulings and interpretations of the enforcing agencies shall be considered a part of the regulations. G. Whenever the drawings and specifications require larger sizes or higher standards than are required by the regulations, the drawings and specifications shall govern. H. Manufacturer’s directions shall be followed (in all cases) where the manufacturer of articles used in the contract, furnish directions of prints covering points not shown on the drawings or specifications. 2.8 FIELD DIMENSIONS A. The Sign Contractor shall be responsible for taking accurate field measurements as required to verify or supplement dimensions indicated herein and shall be responsible for accurate fit of all signs at site. Any discrepancies shall be brought to the attention of the Designer.

2.9 COORDINATION A. The Sign Contractor shall be responsible for coordinating all sign installations with the City so that sign installation

does not conflict with other trades. The Sign Contractor shall be solely responsible for coordination and management of their sub-contractors. If delays are caused by any the Sign Contractor’s subs, the Sign Contractor will assume sole accountability. The Designer or the Owner shall not be expected to have direct communication with a sub-contractor.

B. If the Designer has to intervene or execute coordination tasks that are the contracted responsibility of the Sign Contractor, the Designer will bill the Sign Contractor directly at an hourly rate of $150.00.

PART 3 - BID DOCUMENTS 3.1 COPIES A. Bidders shall use complete sets of Bid Documents in preparing Bids; neither the City nor the Designer assumes any

responsibility for errors or misinterpretations resulting from the use of partial sets of Bid Documents. No partial sets will be issued.

B. The City or the Designer, in making copies of the Bid Documents available, do so only for the purpose of obtaining Bids on the work and do not confer a license or grant for any other use.

3.2 INTERPRETATION OR CORRECTION OF BID DOCUMENTS A. Bidders shall promptly notify the Designer of all ambiguities, inconsistencies or errors which they may discover

upon examination of the Bid Documents or of the site and location conditions. B. Bidders requiring clarification or interpretation of the Bid Documents shall make a written request which shall reach the

C. Any interpretation, correction or change of the Bid Documents will be made by addendum. Interpretations, corrections or changes of the Bid Documents made in any other manner will not be binding, and Bidders shall not rely upon such interpretations, corrections and changes.

3.3 SUBSTITUTIONS A. Proposed substitutions shall be identified on the bid form as an add alternate. Products or processes varying from the

Contract Documents shall not be approved without written approval from the City. 3.4 ADDENDA A. Addenda will be mailed or delivered to all who are known by the City of Carlsbad to have a complete set of Bid

Documents. B. Copies of Addenda will be made available for inspection wherever Bid Documents are on file for that purpose. C. No Addenda will be issued later than seven days prior to the date for receipt of Bids, except an Addendum withdrawing

the request for Bids or one which includes postponement of the date for receipt of bids. D. Each Bidder shall ascertain prior to submitting his bid that he has received all Addenda issued, and he shall

acknowledge their receipt in the proper location on the Bid Form. PART 4 - BIDDING PROCEDURE 4.1 FORM AND STYLE OF BIDS A. All Bidders shall submit one signed original and four duplicates. B. Where so indicated by the makeup of the bid form, sums shall be expressed in both words and figures, and in case of

discrepancy between the two, the amount written in words shall govern. C. All interlineations, alterations or erasures shall be initialed and dated by the signer of the Bid. D. All requested Alternates shall be bid. If no change in the Base Bid is required, enter “No Change.” E. Each copy of the Bid shall include the legal name of the Bidder and a statement that the Bidder is a sole proprietor, a

partnership, a corporation or some other legal entity. Each copy shall be signed by the person or persons legally authorized to bind the Bidder to a contract. A Bid by a corporation shall further give the state of incorporation and

have the corporate seal affixed. A Bid submitted by an agent shall have a current power of attorney attached certifying the agent’s authority to bind the Bidder.

4.2 BID SECURITY A. Each Bid shall be accompanied by a bid security in the amount of 5% of the Base bid and in the form of surety bond,

cashier’s check or certified check pledging that the Bidder will enter into a contract with the City on the items stated in his Bid and will, if required, furnish bonds covering the faithful performance of the Contract and the payment

of all obligations arising there under. Should the Bidder refuse to enter into such Contract or fail to furnish such bonds if required, the amount of the bid security shall be forfeited to the City as liquidated damages, not as a penalty.

B. Surety bond shall be written on AIA Document A310, Bid Bond, and the attorney-in-fact who executes the bond on behalf of the surety shall affix to the bond a certified and current copy of his power of attorney.

C. The City will have the right to retain the bid security of Bidders to whom an award is being considered until either (a) the Contract has been executed and bonds, if required, have been furnished, or (b) the specific time has elapsed so that Bids may be withdrawn, or (c) all Bids have been rejected.

4.3 SUBMISSION OF BIDS A. All four copies and one original of the Bid, the bid security and any other documents required to be submitted with the Bid shall be enclosed in a sealed envelope. The envelope shall be addressed to City of Carlsbad, Attention: Anna

Beason, Special Projects Coordinator, City of Carlsbad, Post Office Box 1569, Carlsbad, New Mexico 88221-1569 and shall be identified with the project name, “Bid for Wayfinding Program”, the Bidder’s name and address. B. Bids shall be deposited at the designated location prior to the time and date for receipt of bids indicated in the

advertisement or invitation to bid, or any extension thereof made by Addendum. Bids received after the time and date for receipt of bids will be returned unopened.

C. The Bidder shall assume full responsibility for timely delivery at the location designated for receipt of Bids. D. Oral, telephonic or telegraphic Bids are invalid and will not receive consideration. 4.4 MODIFICATION OR WITHDRAWAL OF BID A. A Bid may not be modified, withdrawn or canceled by the Bidder after the stipulated time and date designated for the

receipt of Bids, and each Bidder so agrees in submitting his Bid. B. Withdrawn Bids may be resubmitted up to the time designated for the receipt of Bids provided that they are then fully

in conformance with these Instructions to Bidders. C. Bid security shall be in an amount sufficient for the Bid as modified or resubmitted.

PART 5 - CONSIDERATION OF BIDS 5.1 OPENING OF BIDS A. The properly identified Bids received on time will be opened 0:00 PM, Month, Day, 2009 local time at the office of The

City of Carlsbad, Post Office Box 1569, Carlsbad, New Mexico 88221-1569. And an abstract of the information will be made available after bid opening.

5.2 REJECTION OF BIDS A. The City will have the right to reject any or all Bids and to reject a Bid not accompanied by the required bid security

or by other data required by the Bid Documents, or to reject a Bid which is in any way incomplete or irregular.

B. The City reserves the right to accept any bids and not award strictly on the basis of low bid.

C. All bids will be valid for a period not less than 120 days upon bid opening.

5.3 ACCEPTANCE OF BID (AWARD) A. It is the intent of the City to award a Contract to the lowest responsible Bidder provided the Bid has been submitted

in accordance with the requirements of the Bid Documents and does not exceed the funds available. The City shall have the right to waive any informality or irregularity in any bid or Bids received and to accept the Bid or Bids which, in his judgment, is in his own best interest.

B. The City will have the right to accept Alternates in any order or combination and to determine the low Bidder on the basis of the sum of the Base Bid and the Alternates accepted.

C. The signed document must be a part of the bid packet materials and must accompany bid.

PART 6 - POST BID INFORMATION 6.1 CONTRACTOR’S QUALIFICATION STATEMENT A. Bidders to whom award of the Contract is under consideration shall submit to the City, upon request, a properly

executed AIA Document A305 “Contractor’s Qualification Statement”, unless such a statement has been previously required and submitted as a prerequisite to the issuance of Bid Documents.

6.2 SUBMITTALS A. The Bidder shall, within seven days of notification of selection for the award of a Contract for the Work, submit the

following information to the City: 1. A designation of the Work to be performed by the Bidder with his own forces. 2. The proprietary names and the suppliers or principal items or systems of materials and equipment proposed for

the Work. 3. A list of names of the Subcontractors or other persons or entities (including those who are to furnish materials or

equipment fabricated to a special design) proposed for the principal portions of the Work. B. The Bidder will be required to establish to the satisfaction of the City the reliability and responsibility of the persons

or entities proposed to furnish and perform the Work described in the Bid Documents. C. Prior to the award of the Contract, the City will notify the Bidder in writing if either the City or the Designer, after due investigation has reasonable objection to any such proposed person or entity. If the City has reasonable

objection to any such proposed person or entity, the Bidder may, at his option, (1) withdraw his Bid, or (2) submit an acceptable substitute person or entity with an adjustment in his bid price to cover the difference in cost occasioned by such substitution. The City may, at his discretion, accept the adjusted bid price or he may disqualify the Bidder.

In the event of either withdrawal or disqualification under this Subparagraph, bid security will not be forfeited, notwithstanding the provision of Part 4, paragraph 4.4 A. PART 7 - PERFORMANCE BOND AND LABOR AND MATERIAL PAYMENT BOND 7.1 BONDS AND INSURANCE CERTIFICATES A. Contractor shall furnish bonds and insurance certificates as specified below, or as otherwise agreed to in the Contract. In addition, provide bonds or insurance as required by law and the General Conditions of the Contract for Construction, AIA Document A201, latest edition. 7.2 COVERAGES NOT INCLUDED A. Loss of Use Insurance: 1. City may purchase this coverage at his option. 7.3 APPROVED SURETY A. Licensed to transact surety business in New Mexico. B. Listed as approved by the US Treasury Department as acceptable on Federal Bonds. C. Certified to issue the total amount of the bond on any one risk. D. Acceptable to City and Designer.

7.4 APPROVED INSURERS A. Qualified, approved and doing business in New Mexico. B. Acceptable to City. 7.5 REVIEW REQUIRED A. Contractor shall not commence work under this contract until he has obtained all the bonds and insurance and they

have been reviewed and accepted by City. B. Contractor shall not permit subcontractor to commence work under this Contract until he has obtained similar

insurance and it is reviewed and accepted by City. 7.6 DURATION OF COVERAGES A. For duration of the contract.

7.7 INSURANCE A. The Contractor, before any contracts have been signed and any action taken under a contract will have a Certificate of Insurance for Contractor’s In-Force Insurance issued to the City of Carlsbad for the policies and limits listed below: 1. Commercial General Liability $ 1,000,000 each occurrence (Including Completed Products) 2. Bodily Injury & Property Damage $ 2,000,000 Aggregate. This coverage shall include coverage for the hazard

of Explosion, Collapse and Underground failures. 3. Vehicle Liability $ 1,000,000 Combined Single Limit Bodily Injury, Property Damage. 4. Workers Compensation State of New Mexico Statutory Limits Required. a. $ 1,000,000 b. $ 1,000,000 Each Accident c. $ 1,000,000 Disease, Policy Limit d. $ 1,000,000 Disease, Each Employee B. Occurrence coverage is required. Claims-made coverage is not acceptable. The City of Carlsbad will not share in any deductibles. C. These policies shall cover the City, it’s elected officials, employees and agents as additional insured and shall contain a covenant requiring no less than sixty (60) days written notice to the City before cancellation, reduction or other modification of any involved coverage’s. D. These policies shall be primary, noncontributing with any applicable insurance carried by the City of Carlsbad and shall contain a severability of interests clause in respect to cross liability, protecting each additional insured as though a separate policy had been issued to each. Certification of each of the above policies shall be furnished, in duplicate, to the City, at least fifteen (15) days prior to commencement of services under a signed contract. E. All certificates of insurance must clearly state that the Contractor’s insurance(s) is PRIMARY. All Certificates should read: The City of Carlsbad, Post Office Box 1569, Carlsbad, New Mexico.

7.8 BONDS A. LABOR AND MATERIAL PAYMENT BOND 1. In an amount not less than 100% of the Contract sum, written on AIA Document A312, latest edition. 2. Or, in a penal sum not less than that prescribed by state or local law as security for the payment of all persons

performing labor on the project under this Contract and furnishing materials in connection with this Contract. 7.9 PERFORMANCE BOND A. In a penal sum of 100% of the total amount payable by terms of the Contract’s provisions, written on AIA Document

A312, latest edition. 7.10 SURETY FOR BID, PERFORMANCE BONDS AND LABOR AND PAYMENT BONDS SHALL COMPLY WITH THE

FOLLOWING PROVISIONS: A. The Surety company must be currently licensed to do business in New Mexico and holding a certificate of authority to

write surety bonds in New Mexico. B. Insurer shall hold a current certificate of authority authorizing the writing of surety bonds in New Mexico; and such

insurer shall have twice the minimum surplus and capital required by the New Mexico Insurance Code at the time the invitation to bid is first advertised; and such insurer shall be otherwise in compliance with provisions of the

New Mexico Insurance Code; and if the insurer holds a currently valid certificate of authority issued by the United States Department of the Treasury under Section 9304 to 9308 of Title 31 of the United States Code.

C. Surety Company shall not expose itself to any loss on any one risk in an amount exceeding ten percent (5%) of its surplus to policyholders, provided:

1. Any risk or portion of any risk which shall have been reinsured (in which case these minimum requirements carrier) in assuming insurer authorized or approved by the Insurance Commissioner to do business in this state shall be deducted in determining the limitation of risk prescribed in this section.

2. In case of a surety insurance company, there shall be deducted in addition to the deduction for the amount assumed by any co-surety, the value of any security deposited, pledged or held subject to the consent of the

Surety and for the protection of the Surety. D. The bonds shall be accompanied by a duly authenticated or certified document, evidencing that the person executing

the bonds in behalf of the Surety had the authority to do so on the date of the bonds. In the usual case, the conferring of that authority has occurred prior to the date of the bonds, and the document showing the date of appointment and enumeration of powers of the person executing the bonds is accompanied by a certification that the appointment and powers have not been revoked and remain in effect. The date of the certification cannot be earlier than the date of the bonds. The bonds shall be dated earlier than the agreement.

7.11 STATUTORY WORKERS COMPENSATION A. Employer’s Liability, not less than $100,000 of coverage. 7.12 SUBCONTRACTOR’S PUBLIC LIABILITY AND PROPERTY DAMAGE INSURANCE A. Contractor shall require each of his subcontractors to procure and maintain coverage during the life of the subcontract. B. Or, Contractor shall insure activities of his subcontractors in his policy. C. Coverages shall be as specified above, or if approved by City, of lesser amounts deemed appropriate to the type of

work involved. 7.13 OPTIONAL COVERAGE A. The Contractor shall be responsible for and maintain insurance coverage at his option and expense, to cover tools,

equipment, etc., owned or rented, the capital value of which is not included in the cost of the work. 7.14 PROPERTY INSURANCE A. Contractor shall purchase and maintain on the entire project for the full cost of replacement as of the time of any loss. B. Named insured shall include City and Contractor. C. Extended coverage shall include all risk insurance for physical loss or damage. D. Contractor shall increase limits of coverage, if necessary, to reflect estimated replacement costs. E. Contractor shall be responsible for any co-insurance penalties or deductibles.

F. Any property insured loss shall be adjusted with the City as trustee for the insured, deposited in a separate account, and distributed in accordance with the agreement of the parties in interest.

G. Contractor, his subcontractor and suppliers, the City shall waive all rights against each other for damages covered by insurance, except such rights as they may have to the proceeds of such insurance held by the City as trustee.

7.15 COMPREHENSIVE GENERAL LIABILITY (SEE ATTACHED INSURANCE REQUIREMENTS, EXHIBIT A) 7.16 BONDING REQUIREMENTS A. There is a requirement for a Bid Bond in the amount of 5% of the base bid amount which shall be in the form of an actual bid bond. Firms not chosen will have their Bid Bonds returned to them within 15 days after official approval and acceptance of the successful firm. The Bonds shall be in the form of A.I.A. Form A311, latest edition. B. Prior to execution of the contract for Construction Services, the successful Contractor shall furnish a contractor’s Performance Bond and Labor and Materials Payment Bond, both in amounts equal to one hundred ten percent(110%) of the contract price. C. All bonds shall be issued by a corporate surety appearing on the Treasury Department’s most current list (Circular 570 as amended) and be authorized to do business in the State of New Mexico D. The Bidder shall deliver the required bonds to the City not later than the date of execution of the Contract, or if the

Work is to be commenced prior thereto in response to a letter of intent, the Bidder shall, prior to commencement of the Work, submit evidence satisfactory to the City that such bonds will be furnished.

E. The bonds shall be written on AIA Document A311, Performance Bond and Labor and Material Payment Bond. F. The Bidder shall require the attorney-in-fact who executes the required bonds on behalf of the surety to affix thereto a

certified and current copy of his power of attorney.

PART 8 - FORM OF AGREEMENT BETWEEN CITY AND CONTRACTOR 8.1 FORM TO BE USED A. The Agreement for the Work will be written on AIA Document A107, Abbreviated Form of Agreement Between City

and Contractor or Subcontractor’s Work Authorization Certification, where the basis of payment is a Stipulated Sum.

PART 9 - SUMMARY OF WORK

9.1 SCOPE A. The Work of this Contract comprises the fabrication and installation of wayfinding signs for the City of Carlsbad.

Completion deadline14 weeks after notice to proceed. B. As part of the contract, the Contractor shall be responsible, but not limited to, the following items: 1. Provide timeline for project within 10 days of the receipt of written Notice to Proceed that includes key submittal

dates, fabrication dates and installation dates. This schedule must be approved by the City of Carlsbad. 2. Assign a competent Project Manager to serve as the primary contact throughout the length of the project. 3. Provide shop drawings with appropriate sections, elevations, details, mounting methods, etc. for all sign types

included in the project. Shop drawing elevations shall be submitted for each individual sign included in the project.

4. Submit color and material samples as requested by the City of Carlsbad. 5. Field verify each sign location and report any potential discrepancies to the Designer so remedial actions may

be visited. 6. Manufacture all signs included in the project to the highest workmanship standard and in accordance with the

approved shop drawings. 7. Install all signs included in the project to the highest workmanship standard. 8. Contractor’s Project Manager shall field supervise during the entire installation process. 9. Provide weekly updates from the field on installation progress and revisions to installation schedule. 10. Correct all punch list items upon review by City of Carlsbad. 11. Issue all essential Contract Close-Out documents at the conclusion of the Project. 12. Work in accordance with all items identified in the Project Specifications, Summary of Work and Contract

Documents. 13. Perform daily cleanup of work areas and disposal of any rubbish. 14. Provide signed and sealed Structural Engineering drawings for all sign types. 9.2 CONTRACTS A. Construct the Work under a fixed-price contract. 9.3 WORK BY OTHERS A. Subcontractors and all third party service providers engaged by the Contractor shall perform work under the

supervision of the Contractor and shall not have direct communication with the City. The Contractor is solely responsible and accountable for Subcontractor timeliness and performance quality. 9.4 FUTURE WORK A. Ensure that Work is clear of encroachment into areas required for future work. 9.5 WORK SEQUENCE A. Construct Work in stages to accommodate the City’s use of the premises during the construction period; coordinate

the construction schedule and operations with the designated contact. B. Construct the Work in stages to provide for public convenience. 1. Do not close off public use of facilities until completion of one stage of construction will provide alternative

usage.

9.6 EXISTING CONDITIONS & MEASUREMENTS A. Information pertaining to the existing signage has been obtained through photographs and investigations and is

indicated on the drawings in the project manual. This information has been gathered with reasonable care but is of a schematic nature and is not warranted. The Contractor shall verify all dimensions in the field for each proposed sign prior to ordering materials or construction. Any additional costs resulting from the Contractor’s negligence to complete this task shall be borne by the Contractor.

B. The Contractor shall be alert to any indication or evidence of existing building conditions not indicated on the Drawings. All measurements must be verified from actual observation at the building. The Contractor is responsible for all work fitting in place in approved, satisfactory and workmanlike manner in every particular. If the Contractor encounters unexpected existing building conditions, he shall cease operations immediately to minimize damage and notify the City of Carlsbad.

1. Cost of unavoidable initial damage and such supplemental and remedial work which is ordered by the City of Carlsbad shall be borne by the City in accord with Article 12.2.1 of the General Conditions (AIA A201-1976.)

2. The Contractor shall bear the cost of damage resulting from his failure to exercise reasonable care in his work

or from continuing operations without notifying the City of Carlsbad. C. Additional work required to meet established Contract time limits shall be performed after regular working hours

(8:00 am to 4:30 pm) or, after notification of the City of Carlsbad, on Sundays or on legal holidays as necessary and at no additional expense to the City. Any deviation from this restriction shall be approved in writing by the City.

1. Substantial Completion: The date when: a. The work, or specified portion thereof, is complete in accordance with the contract documents, with the

exception of the minor items identified on the “punchlist.” 2. Fault: This constitutes responsibility for an error, mistake or delay either directly or indirectly caused by the

Contractor. A production problem or shortage of material is considered the fault of the Contractor; a natural disaster or similar circumstance beyond the control of the Contractor is not considered the fault of the

Contractor. 3. Delay: This is a shift in the schedule of the work which results in the substantial completion of the work

occurring beyond the original mutually agreed upon completion date. D. For additional work required to keep disruptions of the City’s existing facility to a minimum as requested by the City.

The City will pay only for the additional cost above the normal rates for premium time required to complete the work. 9.7 LAWS, PERMITS AND REGULATION A. Contractor shall obtain and pay for all licenses and permits, all fees and/or charges for connection to outside services.

Comply with all laws, ordinances, regulations and code requirements applicable to his work. B. Contractor shall obtain a permit from Infection control for all work that could result in the elevated potential for

noscomial infections. 9.8 COOPERATION AND PROGRESS A. Contractor shall keep informed as to work of all trades engaged in project, and shall execute work in such a manner

B. Employ a competent foreman on job throughout entire period of construction to ensure cooperation. C. It is to be noted that, in a number of instances throughout the project, space for electrical and mechanical lines is

limited. Therefore, it is imperative that all trades coordinate work to ensure concealment in space provided. Priority of space will be decided by Project Contractor where conflict exists. If work is not properly coordinated, the City of

Carlsbad will require the Contractor to remove and relocate work without additional compensation. If separate contracts are awarded, the General Works Contractor shall be responsible for coordination.

metallic surfaces. Components: non-ferrous and/or rust proofed. All joints and seams. 7. Pop rivets will not be acceptable as a method of mechanical fastening. All attachments shall be mechanically

fastened, unless noted otherwise. If an attachment cannot be mechanically fastened, VHB tape shall be utilized, unless noted otherwise.

8. Letter inserts shall be mechanically fastened, not glued. B. Symbols, Typography, and Color: 1. Copy on drawings is for layout purposes only. 2. Stated dimensions shall take precedence over scaled dimensions. If the drawings are not scaled, notation “not

to scale” occurs on the drawing. 3. The graphic configuration of signs is ultimately governed by original art for each sign as approved by the City of

Carlsbad. 4. Original art shall conform to the dimensions and general configuration shown on sign type drawings/diagrams.

In the event of conflict between original art and drawings, notify the City of Carlsbad immediately for resolution of the discrepancy.

5. Colors to match those selected by the designer from the full range of colors in the Pantone Matching System; PANTONE, INC., 55 Knickerbocker Road, Moonachie NJ 07074 or Akzo Nobel Color-map Paint System; or equal.

6. Letter forms: using upper case or upper and lower case in sizes shown and /or scheduled. 7. Letter height: identified as “cap” letter height. 8. Letter spacing: optical, but in accordance with example shown.

2.2 MATERIALS / FABRICATION A. Provide materials: new stock, free from defects impairing strength, durability, and appearance. 1. Aluminum a. Aluminum plate, angles, channels, extrusions, and other structural items fabricated from alloy 6061-T6,

6063-T5, or other alloy as required for applicable function and use as recommended by the ALUMINUM COMPANY OF AMERICA, KAISER ALUMINUM, REYNOLDS ALUMINUM or equivalent manufacturer.

b. Aluminum used for all exposed surfaces: a minimum thickness of 0.080” with a painted finish as selected by the Designer.

c. Aluminum used for concealing framing of signage: a minimum thickness of 0.125” with a mill finish. d. Provide aluminum of the best commercial quality with the various form straight and true. Replace

materials, which have scratches, scars, creases or buckles. e. Welded joints: heli-arc welded in conformance with the American Welding Society and the Aluminum

Association’s specifications. 2. Reproduction Process: a. Ink and Paints: 1) Inks and paints for silkscreen and imprinted surfaces: provide a type compatible with the surface

on which it is applied and as recommended by manufacturer. 2) Do not use paint or ink that will fade, discolor, or delaminate as a result of proximity to ultraviolet

light source or heat. 3) Include the cost of priming other surfaces (pre-treatments) in the work as part of the finished

surface work.

4) Inks and Paints: evenly applied and without pinholes, scratches, orange peeling, application marks and dust particles. Workmanship in connection with finishes and formation of the letters shall conform to the highest standards of the trade.

3. Fasteners, anchors, and hardware: of prime commercial quality. a. Hardware: non-conductive and/or insulated when joining non-compatible material. Paint for shop coating

and field touch-up of dissimilar metal connecting members, including anchors and clips, shall be alkali- resistant, bituminous paint.

b. Vandal-resistant fasteners shall be used whenever possible. 4. All adhesives and adhesive tapes required for plastic, glass, and metal shall be a type recommended for the particular usage by the manufacturer and guaranteed to meet the general and structural support criteria

indicated. 5. Steel a. Structural steel sections, channels, tubing, and angles shall meet the requirements of ASTM A-36, with

PART 11 - EXECUTION

10.1 APPLIED GRAPHICS A. All painted, printed and fabricated finishes shall be smooth, free of scratches, gouges, air bubbles, foreign matter or other imperfections. B. All applied vinyl graphics to be smooth, free of scratches, gouges, air bubbles, foreign matter or other imperfections.

10.2 SIGN CONSTRUCTION A. SIgns shall be structurally designed as required to resist 30 psf horizontal wind-loads and thermal movements without distortions or excessive deflections. Signs shall be affixed to structural supports (where desired) as approved by the Designer. All exterior sign fabrication shall be a complete system including all stiffeners,

fasteners, welding, sealants, jointing, miscellaneous pieces and material thickness as required for high quality workmanship. Connections, angles, shapes and details shown are suggestive and Sign Contractor shall be responsible for correct engineering, final sizing, reinforcing and detailing as required for a superior professional product. All fabricated materials to have smoothed machined edges, free from cracks, chips, or other adverse conditions. 10.3 INSPECTION A. The Sign Contractor shall verify conditions and measurements affecting the work of this project at the site. B. Notify Designer in writing of unacceptable substrates or detrimental conditions. Beginning work indicates acceptance of substrate and subsequent modifications become the Sign Contractor’s complete responsibility.

10.4 SIGN LOCATIONS A. Locations shown on site plan drawings are for general information only. The Sign Contractor is to arrange a meeting with the Designer at the site for final locations. All signs are to be located with the use of numbered tags corresponding to numbered sign items. 10.5 INSTALLATION A. Prior to the installation of any signs, the Sign Contractor shall inspect all sign location sites for in-ground or above ground utilities such as electrical conduit, sprinklers or other obstructions and procure clearance with all utility companies and with Savannah Christian Church. B. The Sign Contractor shall notify the Designer of any discrepancies or obstacles impeding the specified placement of sign components and shall adjust any questionable installations with the prior acknowledgment and approval of the Designer and Owner. C. Wet environments (where sprinklers and/or irrigation are used) should be inspected by the Sign Contractor prior to installation of any signs. The Sign Contractor shall notify the City in writing of conflicts such as where moisture or irrigation water spray might discolor sign faces or erode / corrode sign foundations, mountings and fasteners. D. The Sign Contractor shall not install any signs that are defective or damaged. Install completed sign units square, plumb and accurately level in accordance with the drawings and specifications for appropriate sign type. Leave signs clean and dust-free. E. Use all means necessary to protect materials before, during and after installation until final acceptance of work by Owner. F. The Sign Contractor shall comply with all mandated property regulations and restrictions pertaining to operational hours, vehicle parking, security clearances and over-all on-site conduct.

10.6 PROJECT COMPLETION A. Following installation, clean all signs ensuring removal of all fingerprints, dirt, shavings, adhesive, dust particles, etc. Prior to leaving the installation location, clean the work area, walls, floor, etc., that may be soiled during the installation process. B. Supply the Cityr an accurate schedule of installation completion. Final inspection will be scheduled and a punch list will be conducted prior to project sign-off. C. If, after the final inspection, it is determined that there is need for the Sign Contractor to correct flaws or mistakes in the fabrication or installation of product, the Sign Contractor agrees to execute such corrections expeditiously and without undue delay.

10.7 GUARANTEE A. All work outlined under this contract and furnished by the Sign Contractor shall be guaranteed against any or all defects in workmanship, material, and installation. Repairs of such during the first year of installation will be made by the Sign Contractor at his own cost and expense without charge to the Owner.
