    SUB: REQUEST FOR PROPOSAL (RFP) FOR MOBILE PAYMENT SOLUTION.

    Canara Bank a premium Indian Public Sector Bank having more than 2700 Brancheswishes to procure the subject solut ion for providing mobile payment facili ty to it scustomers. We invite sealed offers (Technical and Commercial) for supply,installat ion, and commissioning of Mobile Payment Solut ion for it s Branches andcustomers.

    The Interested Vendors who are dealing in Supply, Installation, Commissioning, and

    Maint enance of Mobile Payment Solut ion and meet ing t he follow ing qualif yingrequirements may respond:

    1. The bidder shall be the owner / cert if ied or authorised agent / reseller/ partner of the solut ion offered.

    2. The bidder is registered as a company in India as per Company Act1956. The Certificate of Incorporation and Certificate of

    Commencement of Business issued by the Regist rar of Companies is

    to be provided in support of this.

    3. The Company should have suppl ied and implemented the similarproject as incorporated in Scope of the Project, in any one scheduledCommercial Banks during the last two years and the product should

    be compatible with the guidelines as given in Annexure I.

    4. The Company should be in existence for a min imum period of t woyears.

    5. The Company should be in t his line of activit y during the last twoyears.

    6. The vendor should confirm that t he soft ware solut ion off ered wouldbe capable of integrating with Core Banking Solut ion running in t he

    Bank viz. Flexcube f rom M/ s Oracle Financials Services Software Ltd

    (Formerly Iflex Solut ions Pvt. Ltd.) e it her direct ly or through theBanks Core Banking vendor viz. M/ s IBM India Ltd. The vendor i s

    required to provide the interface of t heir software wit h Banks ATM

    Swit ch Software viz. Base24.

    Vendors bidding for the RFP should enclose relevant documents as proof in support

    of above-mentioned crit eria. Proposals of vendors who do not fu lf ill the above

    criteria or who fail to submit proof would be rejected without any further

    communication.

    An EMD in t he form of DD for Rs.5,00,000/- (Rupees Five Lakhs only) favouring

    Canara Bank, payable at Bangalore t o be enclosed wi th Technical quotes. Offers

    made without E.M.D. wi ll be rejected.

    A. Instructions.1. Two Bid System Off er

    There should be two separate offers (Technical and Commercial). Both t he offersmust be submitted at the same time, the envelopes containing Technical Offer andPrice Offer should be separately sealed and placed in another sealed envelope.

    The off er/ s should be deposit ed in t he Tender Box kept at fi rst f loor, NaveenComplex, Delivery Channel Group, Department of IT, 14 M G Road, Bangalore 560001, on or before 16 Apri l 2009, 2:00 PM. The offer/s which is/ are deposited afterthe said date and t ime shall not be considered. If t he due date happens / declaredas a publi c holiday, the due date for submission will be next immediate workingday of the Bank.

    The Technical Offer should be complete in all respects and contain all informat ionasked for, as per Annexure except prices. The technical offer should not cont ainany price in format ion . The Technical offer should be complete to indicate that allproducts and services asked for are quot ed. EMD shou ld invariably accompanythe original Technical Of fer being submit ted to the Bank.     ENVELOPE II (Commercial Off er): 1 copy

    The Commercial Offer (C.O) should give all relevant price informat ion.

    It may be not ed that if any envelope is found to contain both Technical and

    Commercial Offer, such offer wil l be rejected.

    The Envelope I and Envelope II containing Technical Offer and Price Offer should beseparately sealed and placed in another sealed envelope.

    6. Proposal Ownership

    The proposal and all support ing documentation submit ted by the vendor shallbecome the property of the Bank.

    7. Modif icat ions and Withdrawal of Offers

    No offer can be modified or withdrawn by a vendor aft er submission of Offers.

    8. Pre-bid queries

    The bidder shall seek clarif ication, if required, to ensure that they have understoodall specifications, terms, condition, requirements, and intent of RFP. Such

    clarification should be sought in wri t ing before submission of bids.

    Authorized representatives of interested bidders shall be present during thescheduled time at 3.30 pm on 24.03.2009 at Second Floor, Conference Hall of DIT-Wing, Naveen Complex, 14 M G Road, Bangalore 560 001 along w it h a lett er ofauthority (Annexure B). The Bank shall clari f y the queries during the pre-bid

    meeting followed by confirmation. No individual consultation shall be entertained.

    9. Opening of Technical Offers

    Technical Off ers received wit hin the prescribed closing dat e and t im e will beopened in the presence of vendors representatives and t he vendors who wish tosubmit their quote should send their aut horized representati ves compulsorily forthe opening of t he Off er on the date and time specif ied in t his tender document .The vendors representatives present shall sign a register of att endance.

    10. Preliminary Scrutiny

    The Bank will scrutinize the offers received to determine whether they arecomplete and as per tender requirement , whether t echnical documentation as

    asked f or and required to evaluate the offer has been submi t ted, whether thedocuments have been properly signed and whether it ems are off ered as per the

    tender requirements.

    The Bank may, at it s discret ion, w aive any minor non-conformit y or any minorirregularity in the offer. This waiver shall be binding on all the vendors and t heBank reserves the right for such waivers.

    Offers not meeting the qualif icat ion criteria wi ll be rejected.

    11. Clari f ication of Offers

    To assist in the scrutiny, evaluation and comparison of offers, the Bank may, at it sdiscretion, ask some or all vendors for clarifications on the offer made by them. The

    request for such clarif ications and the vendor response wil l necessari ly be inwrit ing and it should be submit ted with in t ime st ipulated by the Bank.

    12. No Commit ment to Accept Lowest or Any Offer

    The Bank reserves it s right to reject any or all the offers including incomplete offerswi thout assigning any reason thereof whatsoever.

    The Bank wil l not be obliged to meet and have discussi ons with any vendor and / orto entertain any representations in t his regard.

    13. Submission of Technical Details

    It is mandatory to provide the technical details in t he exact format as has beenment ioned in Annexure E of this tender.

    The Of fer may not be evalu ated and may be rejected by t he Bank in case of

    non-adherence to the format or part ial submission of technical information as perthe format given in the offer.

    The Bank shall not allow/ permit changes in t he technical specif ications once it issubmit ted.

    Any ot her relevant t echnical details the vendor wish to furnish for technical

    evaluation of t he solut ion t o be quoted can be furnished as an attachment to ourtechnical annexure E.

    14. Format for Technical Offer

    The Technical Offer should be made in an organized, structured, and neat mannerand should be paginated and should be signed by authorized signatory along withthe seal of t he company on each page. Brochures / leaflet s etc. should not besubmit ted in loose form.

    The suggested format for submission of Technical Offer for this RFP is as follows:

    1. Index

    2. A brief descript ion about the company their Head Office and their off ice detailsin India.

    3. The Company's two years Audited Balance Sheet.4. Vendor's Covering letter. This should be as per Annexure A.5. Masked Bill of Materials as per Annexure D. This table should not contain any

    price informat ion in Technical Offer.6.Technical Offer as per Specif ications given in Annexure E should be complete

    wit h all the columns fil led in.7. Terms and Condit ions compl iance Table in t he fol low ing format as under. This

    8. Warranty and AMC details. This should not cont ain any pr ice information inTechnical Of fer.

    9. Delivery schedule.10.Technical Documentation , an index of t echnical documentation submit ted wit h

    the offer must be enclosed.11.Manufacturers Authorisation Form as per Annexure C.

    12. Earnest Money Deposit (EMD).13. A detailed list of the other Infrastructure required at site for commissioning and

    functioning of t he solu t ion covering space, vent ilat ion, temperature, powerrequirement and other safety precautions to be undertaken should be given indetail along with technical quote.

    15. Format for Commercial Off er.

    The Commercial of fer must not cont radict t he Technical Offer in any manner. Thesuggested format f or submission of commercial Offer is as follows:

    1. Index2. Covering Letter3. Commercial Version of Bill of Materials and Price Schedule (as per Annexure D).

    This must contain all price informat ion, including AMC details.4. A Statement that the vendor is agreeable to the Payment Schedule given in t he

    tender.

    16. Erasures or Alt erations

    The Offers containing erasures or alterations wil l not be considered. There shouldbe no hand-writ ten material, correct ions or alt erations in the of fer. Technical

    details must be completely fi lled in. Correct technical information of t he productbeing offered must be filled in. Fill ing up of the information using terms such as

    OK, accepted, not ed, as given in brochure/manual is not acceptable. TheBank may t reat such Offers as not adhering to the tender guidelines and asunacceptable.

    17. Costs & Currency

    The Offer must be made in Indian Rupees only, including the following:

    1. Cost of t he equipment including all duties and import ing cost.2. Cost of all t he hardware like PC, and other soft wares and any other

    miscellaneous items supplied by the vendor for functioning of the solut ion ifany.

    3. Minimum of One-year comprehensive on-sit e warranty covering the entiresystem / equipment / sub assemblies/ labour etc.

    4. Transportation and forwarding charges to t he site.5. Installat ion and commissioning charges, if any.6. Insurance to cover equipment up t o the installation at sit e and handing it

    over t o the Bank.7. All appl icable Taxes li ke CST/ LST/ VAT/ Oct roi / Ent ry Tax/ Service Tax

    should not be included in the price of t he solut ion and accessories andthese taxes wil l be paid by the bank in actuals.

    18. Price Comparison, Arri val of L1.

    The Bank w il l consider Six Year TCO (Total Cost of Ownership) for t he purpose ofprice comparisons to arrive at the lowest offer.

    Six year TCO = Cost of the solut ion as per annexure D including Cost of all thehardware it ems like PC, Servers, opt ional items etc., and software and any other

    miscellaneous it ems supplied by the vendor for f unctioning of t he solut ion with 12months warranty (as per cost and currency clause) + Post Warrantycomprehensive AMC charges at discount ed rate covering all part s of t he solut ionincluding labour, if any, for 5 years.

    19. Short -list ing of Vendors.

    The Bank will prepare a short-list of t echn ical ly quali f ying vendors an d t hecommercial offers of only these vendors will be opened. The Bank wil l int imate thedate and t im e of opening of Commercial Offers to the vendors whose Offer istechnically in line with the tender requirements.

    20. Earnest Money Deposit (EMD).

    An EMD in t he form of DD favor in g Canara Bank, DIT-Wing, and payable atBangalore for Rs. 5,00, 000/ - (Rupees Five Lakh on ly) is t o be enclosed wit h

    Technical of fer. Offers made wi thout E.M.D. will be rejected.

    B. Terms and Condi t ions.

    1. Technical Inspection and Performance Evaluation.

    The Bank reserves it s right to carry out technical inspect ion and performanceevaluation of Mobile Payment solut ion Offered by the short -listed vendors, as perthe discretion of the Bank at the cost of vendor/ Bank.

    Bank reserves the right to select separate and independent vendor for mCommerceand mBanking transaction or single vendor for both the facil it ies.

    2. Delivery & Penalt y.

    Delivery should be wit hin SIX Weeks from the date of receipt of t he PO. The dateof acceptance of t he order wi ll be deemed as date of actual acceptance of the order,or three days from t he date of t he order if acceptance is made aft er three days,whichever is earlier. If the item is to be imported, the supplier has to arrange fornecessary import license on his own.

    Time is the e ssence of the contract. The ent ire work up to the stage ofcommissioning of systems i.e commencement of processing, shall be completedwit hin Eigh t Weeks from t he 3rd day of acceptance of t he order f ailing w hichliquidated damage at t he rate of 1.00%(One percent ) of the cont ract amountper each complet ed week of delay or part t hereof of t he cont ract value beyond

    the st ipu lat ed period w il l be levied. The Bank may deduct such damages fromany payment due to t he supplier. No object ion or dispute in this regard wil l beentertained.

    Where more than one it em is ordered to the location, the delivery should be

    deemed to be completed only after all the items are delivered to t hat locat ion. Insuch case, delivery date wil l be the date of delivery of t he last it em delivered to thatparticular location.

    3. Pricing:

    3.1) The prices shall be quot ed in Indian Rupees Only on CIF basis for delivery at

    f inal dest inat ion, suitably and securely packed for transportat ion by air, sea,rail and/ or road including mul t iple handling in India and shall include allduties, and any ot her t erm inal charges in the country of manufactureand/or country of shipment, freight t ill the dest inat ion, insurance clearingetc. The above price shall also include charges towards installat ion, test ingand commissioning. Kindly not e t o quot e t he Mobi le Payment solut ionwit hout t he applicable Taxes in India like CST/ LST/ VAT/ Oct roi/ Ent ryTaxes/ Service Tax, which Bank wi ll pay in actuals.

    3.2) The prices quot ed for supply o f equipment shall be deemed to haveincluded all dut ies, charges for labour, t ransport, insurance for transit ,shipment, packing, freight from the factory to the destination site,handling, clearing, installation, testing and commissioning charges,

    workmen compensation and third party liabilit y etc till the work is finallyhanded over t o the Bank. Kindly note to quot e the Mobil e Payment

    solution without the applicable Taxes in India likeCST/ LST/ VAT/ Oct roi / Ent ry Taxes/ Service Tax, wh ich Bank wil l pay inactuals.

    3.3) The AMC prices shall be firm and binding wi thout any escalationwhatsoever for ent ire period of contract. However, Bank reserves it s right toreview t he AMC rates in future.

    4. Payment Terms

    Payment terms will be ;4.1First 60% on delivery of the Hardware/ software af t er signing the

    contract.4.2Second 30% on installation, test ing and commissioning of the

    equipment / system and completion of site acceptance test andsuccessful functioning for 30 days.

    4.3Last 10% on completion of 2 months of successful f unctioning and onsubmission of Bank Guarantee of equal amount valid for 12 months.Please not e that Delivery Proof and Instal lat ion Reports should besubmitted in originals only while claiming payment in respect of ordersplaced.

    While claiming the delivery payment the supplier has to submit t he follow ingdocuments in original.

    i) Supplier's signed commercial Invoice.ii ) Supplier's certif icate that all components, parts, sub systems, consumable

    for the successful installation, commissioning and test ing of the systemsincluding basic tool for t he day to day maintenance at site in good condit ion

    and if any shortfall is noticed during installation, commissioning and test ingthey wi ll be supplied free of f urther cost to the bank

    iii) Certificate of Insurance covering all the risks during transit, storage,installation,commissioning, test ing and handing over including t hird party liabilit ies

    5. Securit y Deposit .

    5.1The successful bidder should submit a Securi ty Deposit / Financial Guaranteefor 10 % value of t he contract wi thin fi ft een working days from the date ofreceipt of t he order or on acceptance of t he order whichever is earlier. If theSecurit y Deposit / Financial Guarantee is not submit ted wit hin t he st ipulatedperiod as above penalty at 1% per week or part thereof on the value of the orderwil l be collected for delayed period on submission of Security Deposit / FinancialGuarantee and w ill be recovered from the fi rst payment.

    5.2Securit y Deposit should be submi t ted by way of DD drawn on Canara Bank /Bank Guarantee from any of the scheduled Bank from a branch functioning inIndia.

    5.3Security deposit if submi t ted in t he form of Bank Guarantee, t he guaranteeperiod should not be less than the normal delivery t ime allowed by the bank

    plus the period required by the vendor to submit proof of delivery. If delivery isnot completed / proof of delive ry not submit ted before the validity period of theguaranty the vendor should ensure that t he validi ty period of t he guaranty isextended further for reasonable period. If the bidder fails to extend theguaranty period Bank will have the right to invoke the guaranty wit hout givingfurt her notice.

    5.4 The security deposit / bank guarantee w il l be returned to t he vendor oncompletion of delivery of all it ems.

    6. Presentat ion by the Bidders:

    The technically qualif ied vendor shall give a presentat ion on t heir solut ion to theBank, if requested.

    7. Delivery, Installati on and Commissioning.

    The supply, installat ion, test ing and commissioning shall be completed wi thin6 Weeks from t he date of acceptance of t he order.

    The Installati on wi ll be deemed as incomplete if any component of t he MobilePayment solut ion is not delivered or is delivered but not install ed and / or notoperational or not acceptable to the Bank aft er acceptance test ing / examination.In such an event , the supply and installat ion wil l be termed as incomplete and

    system(s) wil l not be accepted and the warranty period wil l not commence.

    If the Vendor fails to deliver and / or install t he system /equipment ordered withinthe st ipulated time schedule or by the date extended by the Bank, the same shallbe treated as a breach of contract. In such case, clause (6.3) related to securit y

    deposit wi ll be applicable and t he Bank may invoke the Bank Guarantee withoutany not ice to the vendor. In the event of t he Bank agreeing to extend the date ofdelivery at the request of t he Vendor, it is a condit ion precedent t hat the validit y ofBank Guarantee shall be extended by furt her period as required by the Bank beforethe expiry of the original Bank Guarantee. Failure to do so wil l be treated as breachof contract.

    The supplier has to arrange for all insurance at h is cost to cover all kinds of risksfrom the time the equipment leaves the manufacturing facili ty / supplier's sit e til lhanding over t he system which shall also cover storage, erection, test ing andcommissioning, workmen compensation policy for the employees of the supplier atsite and third party liability at the erection site.

    Import / Export licence, if any required shall be arranged by the supplier only at hisown cost. Failure to obtain required licence from the competent authorit y wil l notbe considered as Force majeure.

    The Bank wil l not arrange for any Road Permit / Sales Tax clearance for delivery and

    the Vendor is required to make the arrangements on his own. However, the Bankwill provide lett ers / cert if icate / authorit y to the Vendor, if required.

    Commissioning of t he system / equipment w il l be deemed as complete only whenthe same is accepted by the Bank in accordance wit h the Terms & Condit ions ofthis Tender.

    8. Liquidated Damages.

    If t he Vendor fails in delivery, installat ion, test ing and commissioning of t he MobilePayment solut ion as per the terms of t his Tender, the Bank shall be ent it led tocharge penalt y / l iquidated damages @ 1.00% of t he item value per week or part

    thereof.

    9. Order Cancellat ion

    The Bank reserves its right to cancel the Purchase Order at any t ime by assigningappropriate reasons in the event of one or more of the following condit ions:

    1. Delay in delivery beyond the specif ied period for delivery.2. Serious discrepancy noticed during t he pre-dispatch inspect ion.3. Serious discrepancies noted in the items delivered.4. Breaches in the terms and condit ions of t he Order.

    In addit ion t o the cancellat ion of purchase order, the Bank reserves the right toforeclose t he Security Deposit given by the supplier against the order toappropriate the damages.

    10. Software, drivers and Manuals.

    The supplier shall supply necessary drawings and documents to the Bank wi thoutany addit ional cost. The drawings and documents shall be in English.

    The drawing and documents to be furnished shall include the following:

    i) All general arrangement and installat ion drawings inclusive of installat ioninstruction.

    ii) Complete assembly drawings.iii) Operation and maintenance instruction manual and descriptive literature

    wherever applicable shall also be supplied along with the equipment .iv) User manual etc for the applicat ion soft ware along with media kit .v) Technical details on m-Commerce facility and connectivity

    3 The Vendor has to update the software as per the guidelines issuedby the regulat or (RBI) from t ime to time. The vendor should notcharge any such upgradation in the software/solut ion.

    The supplier shall guarantee a system upt ime of not less than 99.5% duringthe warranty and AMC, if contracted, calculated on monthly basis:

    The bidder shal l guarant ee an uptime of 99.5 % for M obile Paymentsolut ion, during the period of the Contract an d al so during AMC, ifcont racted, which shall be calculated on monthly basis. The "Uptime" is, forcalculat ion purposes, equals to the Total contracted hours in a mont h lessDownt ime. The "Downt ime" is the t ime between t he Time of Failure andTime of Restoration wit h in t he contracted hours. "Failure" is the condit ion that renders a customer unable to perform any of the defined functions onthe Mobile Payment solut ion. "Restoration" is the condit ion when theselected bidder demonstrates that the Mobile Payment solution is in

    working order and the Bank acknowledges the same.

    The Downt ime calculated shall not consider any failure due to bank, thi rdpart y and Force Majeure.

    The percentage upt ime is calculated on mont hly basis as follows:(Total cont racted hours in a month downt ime hours wi thin contractedhours)

    If t he bidder fails to guarantee the required upt ime, the Bank shall, for everyhalf percent or part thereof decrease in guaranteed mont hly upt ime forMobile Payment solut ion, extend the whole Warranty/AMC period by twodays. One day is equal t o 24 hours.

    If t he uptime is below 98%, the Bank shall also in addit ion t o the abovededuct a penalty from the warranty payment or AMC payment, ifcont racted, @ 1% of t he total cost of Mobile payment solut ion duringwarranty and cost of AMC during AMC for every half percent or part thereofredu ct ion in the uptime. However, if upt ime is less than 95%, the Bank shalllevy penalty and extension of period as above and shall have full right to

    terminate the cont ract under t his RFP or AMC, if cont racted. The right of

    terminat ion shall be in addition to the above extension period and penalty.

    The Bank shall have the option to terminate the service contract any time duringthe contract period by giving a writ ten notice of 3 months, without assigning anyreason therefore. However, t he contractor shal l commit himself t o t he servicecont ract for a minimum period of 6 years, unless the service contract is terminatedby the Bank and wil l have no right to terminate the contract within t his period.

    AMC Payment shall be made quart erly in arrears.

    13. Local Suppor t .

    The vendor should be capable of meeting the service & support standards as

    specif ied in this tender. Service support should be available on all days includingSunday in case of need by the Bank at no ext ra cost.

    14. ONSITE SUPPORT:

    The onsit e support charges (as stated in sl.no in commercial bid) wi ll be payable onquarterly basis, on t he compl et ion of t he quarterly period pertaining to therespect ive payment , subject to the support personnel at tending the off ice. Therates shall be valid for a period of three years. Thereafter the onsite support will bedecided on mutually agreeable terms.

    15. ESCROW :

    Bank shall be the sole owner of the source code developed for Mobile payment

    solution. Bidder shall have ESCROW arrangements and they shall pro vide details onESCROW arrangements for the Bank.

    16. Indemnity.

    The vendor shall indemni fy, prot ect and save the Bank against al l claims, losses,costs, damages, expenses, act ion suits and ot her proceedings, result ing frominf ringement of any law pertaining t o patent , trademarks, copyrights etc. or suchother statut ory infringements in respect of Mobile Payment solut ion supplied bythem.

    17. Publicit y.

    Any publicit y by the vendor in which the name of the Bank is to be used wil l bedone only wit h the explicit wri t ten permission of t he Bank.

    18. Guarantees.

    The vendor should guarantee that the Mobile Payment solut ion delivered to theBank are brand new, including all components. In the case of soft ware, the vendorshould guarantee that the soft ware suppl ied to the Bank is licensed and legallyobtained. All hardware and soft ware must be supplied wit h their original andcomplete print ed documentation.

    19. Training.

    The suppl ier shall associate the Bank's staff during the installat ion, commissioningand test ing of the system/ s. The Cont ractor shall also train Bank's staff in t heproper operation and trouble identi fying and t roubleshooting for a period of notless than 4 w orking days. The training shall include apart f rom operations of thesystem, trouble shooting and rout ine maintenance.

    20. Negligence.

    In connect ion w ith t he work or contravenes the provisions of General Terms If theContractor neglects to execute the work w it h due di li gence or expedit ion or

    refuses or neglects to comply with any reasonable order given to him in w rit ing bythe Bank and Condit ions, the Bank may give not ice in wr it ing t o the Contractorcalling upon him to make good the failure, neglect or cont ravention complainedof, w it hin such t imes as may be deemed reasonable and in default of the saidnot ice, the Bank shall have the right to cancel the Contract holding the Contractorliable for t he damages that the Bank may sustain in t his behalf . Thereaft er, the

    Bank may make good the failure at the risk and cost of the Contractor.

    21. Responsibi li t y for completeness.

    Any suppl ies and services which might not have been specifi cally ment ioned inthis t ender but are necessary for the design, engineering, manufacture, supply,installation, testing, commissioning, performance or completeness of the order,

    shall be provided / made available as per the t im e schedule for smooth andefficient operation and maintenance of t he system under Indian condit ion.

    The Bidder shall be responsible for any discrepancies, errors and omissions in t hedrawings or other information submit ted by him irrespect ive of whether thesehave been approved, reviewed or otherw ise accepted by the bank or not . TheBidder shall t ake all correct ive measures arising out of discrepancies, error andomission in drawings and other informat ion as mentioned above within t he timeschedule and without extra cost t o the bank.

    22. Force Majeure.

    The vendor shall not be liable for default or non -performance of the obligationsunder t he cont ract , if such default or non -performance of the obligat ions underthis contract is caused by any reason or circumstances or occurrences beyond thecontrol of the vendor, i.e. Force Majeure.

    For t he purpose of t his clause, Force Majeure shall mean an event beyond t he

    cont rol of t he vendor, due to or as a resul t of or caused by acts of God, wars,insurrect ions, riot s, earth quake and fi re, events not f oreseeable but does notinclude any fault or negligence or carelessness on the part of the vendor, resu lt ingin such a sit uation.In the event of any such int ervening Force Majeure, the Vendor shall not if y the

    Bank in writ ing of such circumstances and the cause thereof immediately withinfive calendar days. Unless otherwise directed by t he Bank, t he Vendor shallcont inue to perform / render / discharge other obligat ions as far as t hey canreasonably be at tended / fulf il led and shall seek all reasonable alt ernative meansfor performance affected by the Event of Force Majeure.In such a case, the t ime for performance shall be extended by a period (s) not lessthan the duration of such delay. If t he duration of delay continues beyond a periodof t hree months, the Bank and the Vendor shall hold consult ations with each other

    in an endeavor to find a solut ion to the problem. Not wi thstanding above, thedecision of the Bank shall be final and binding on the Vendor.

    23. Resolut ion of Disputes.

    All disputes and dif ferences of any kind whatsoever, arising out of or in connect ion

    wit h this Of fer or in t he discharge of any obli gation arising under this Offer(whether during the course of execut ion of t he order or aft er completi on andwhether beyond or after termination, abandonment or breach of the Agreement )shall be resolved amicably. In case of failure to resolve the disputes and dif ferencesamicably the matt er may be referred to a sole arbitrat or mut ually agreed uponafter issue of at least 30 days notice in wri t ing to the other party clearly sett ing outtheir in the specif ic disputes. In the event of absence of consensus about the singlearbitrator, the dispute may be referred to joint arbitrators; one to be nominated byeach part y and the said arbit rators shall appoint a presiding arbitrator. Theprovisions of t he Indian Arbit rat ion and Conciliation Act , 1996, shall govern t hearbitration.

    In case the Proposal is not received as required above on or before the said date andt ime, we shall presume that you are not int erested in supply of t he item/s now anddecision wil l be taken by us accordingly.

    At any point of t ime, Bank's decision wi ll be final and binding on the Bidders.

    1. Mobile Banking Solut ion Specif ication & Scope of Work

    Current ly Bank is extending limi ted Mobile banking services to it s customers and

    intends to ext end a ful l-fledged Mobile Banking (m-Banki ng and m-Commerce)Services to it s customers. To fulf il l t he requirement , Bank is looking for a suitable

    soft ware solut ion which is robust, scalable, and readily deployable with a minimum

    customization and contains all the securit y features that are needed to protect the

    confidentialit y, availabilit y, integrity of the information and non-repudiat ion of the

    transact ions carried out through Mobile Banking Solut ion.

    Bank has implemented iFlex Core Banking Solut ion (CBS) in 1,049 branches and has

    in-house developed IBBS TBA solut ion in 1,654 branches to meet it s customer

    requirement for anytime, anywhere banking.

    Similarly, Bank has already implemented Payment Solutions such as RTGS, NEFT,

    and has enabled o ther delivery channels such as Internet Banking, ATM and

    Anywhere Banking to it s customers.

    Mobile Banking Solution (Solution) Specification and Scope of work is as under:

    2.Compliance to RBI Technology Requirement s:

    The solut ion offered should comply with all the Operative Guidelines for Mobile

    Banking Transactions in India issued by RBI vide circular no.

    DPSS.CO.No.619/ 02.23.02/ 2008-09 dated October 08, 2008. The solut ion

    should also comply wit h any further guidelines and mandat es issued by RBI for

    6.3 Bidder shall ensure that all t he hardware equipments delivered are of the

    advanced/ latest technology available in t he market.

    7) CUSTOMISATION:

    7.1 It is the sole responsibil it y of t he Bidder to customise the solut ion as warranted

    during Implementation without any addit ional cost t o the Bank.

    7.2 All t he customization as requested by the Bank shall be completed before

    installat ion of t he solution.

    8. CHANGE MANAGEMENT PROCEDURE:

    8.1Any change management act ivit ies required to be carried out by the Bidder inthe Solut ion, either on the request of t he Bank or to comply with any regulatoryauthorit ies, can be released to only af ter obtaining prior approval f rom t he

    Banks authorit ies.

    8.2Such change management activit ies shall be init ially released in the testenvironment and only on completing of User Acceptance Test ing by the Banks

    team t he same shall be released to the product ion after obt ain ing prior

    approval f rom t he Bank.

    9) Risk Mi t igat ion Measures:

    The solut ion should support conf iguring various limi ts such as, per day transaction

    limit , monthly transact ion limit , and t ransact ion velocity limi t per customer, fraudchecks, AML Checks etc. Such sett ings should be modifiable as and when there are

    changes in t he policies.

    10) REGISTRATION:

    The solut ion shall support Registrat ion process as prescribed by RBI in t heir

    circular and also support Regist rat ion t hrough various modes such as Manual,

    WAP, SMS, Internet etc.

    11)RECONCILIATION/ SETTLEMENT AND MIS REPORTS:

    Solut ion shall have comprehensive sett lement / reconciliation and complaint

    redressal mechanism. The Bidder shall provide complete technical detai ls and

    proforma of t he MIS reports.
