ALTERNATIVE DISPUTE RESO-LUTION
Mediation costs. Berkeley Cement, Inc.
v. Regents of Univ. of Cal. (2019) 30 Cal.
App. 5th 1133 held that the question
whether mediation fees should be awarded
as costs in a particular matter has to be
determined based on the facts and circum-
stances of the particular action. See Ch. 31,
Mediation, § 31.11[1].
Mediation—Updated Form. The form
of Predispute Mediation Contract Clause
has been updated. See Ch. 31, Mediation,
§ 31.40.
Contractual Arbitration—Parent as
Agent for Subsidiary. Cohen v. TNP 2008
Participating Notes Program, LLC (2019)
31 Cal. App. 5th 840 ruled that an arbitra-
tion agreement signed by a subsidiary may
bind its parent company under limited cir-
cumstances. See Ch. 32, Contractual Arbi-
tration: Agreements and Compelling Arbi-
tration, § 32.20[4][c][i].
Contractual Arbitration—Delegation
Clause. Luxor Cabs, Inc. v. Applied Under-
writers Captive Risk Assurance Co. (2018)
30 Cal. App. 5th 970 voided a delegation
clause not filed in accordance with Ins.
Code § 11658. See Ch. 32, Contractual
Arbitration: Agreements and Compelling
Arbitration, § 32.20[7][d][i].
Contractual Arbitration—
Applicability of FAA. New Prime Inc. v.
Oliveira (2019) 139 S. Ct. 532, 202 L. Ed.
2d 536, determines that the exclusion of
certain contracts from the operation of 9
U.S.C.S. § 2 applies to the contracts of
independent contractors in the specified
industries. See Ch. 32, Contractual Arbi-
tration: Agreements and Compelling Arbi-
tration, § 32.21[3][d][iii].
Contractual Arbitration—No Excep-
tion. Henry Schein, Inc. v. Archer & White
Sales, Inc. (2019) 139 S. Ct. 524, 202 L.
Ed. 2d 480, determined that the FAA does
not contain a “wholly groundless” excep-
tion to enforcement of a delegation or
arbitration clause. See Ch. 32, Contractual
Arbitration: Agreements and Compelling
Arbitration, § 32.24[3][a][ii][A].
Contractual Arbitration—Agent of
Signatory. Vasquez v. San Miguel Pro-
duce, Inc. (2019) 31 Cal. App. 5th 810
decided that a coemployer relationship with
a signatory and identity of interest with
regard to mutual employees allowed defen-
dant who was a nonsignatory to compel
arbitration of employment dispute as agent.

Contractual Arbitration—Statutory
Claim. Ramos v. Superior Court (2018) 28
Cal. App. 5th 1042 holds that the minimum
requirements applied to claims under the

partner in a partnership under specified
circumstances. See Ch. 32, Contractual
Arbitration: Agreements and Compelling
Arbitration, § 32.27[2][a][ii].
Contractual Arbitration—New Form.
A new form addresses pleading an Affir-
mative Defense to Delegation or Arbitra-
tion Clause—Statutory Disclosure Require-
ment Not Followed—FAA Does Not
Apply. See Ch. 32, Contractual Arbitra-
tion: Agreements and Compelling Arbitra-
tion, § 32.94E.
Contractual Arbitration—Vacating
Award. Cox v. Bonni (2018) 30 Cal. App.
5th 287 confirmed an award despite the
neutral arbitrator’s failure to disclose ex
parte communications with defendant’s
counsel regarding: (1) waiving Code Civ.
Proc. § 998 costs, and (2) their mutual
availability for the previously scheduled
arbitration, that did not prejudice the other
party. See Ch. 34, Contractual Arbitration:
Judicial Review, § 34.19[3][c][iii].
International Arbitration—Qualified
Attorney. A new section covers legislation
requiring a foreign or out-of-state attorney
representing a party in an international
commercial arbitration to obtain permis-
sion under statutory standards before taking
specified actions on behalf of a party. See
Ch. 34, Contractual Arbitration: Judicial
Review, § 35.17.
APPEALS
Amount of Appeal Sanctions. In Work-
man v. Colichman (2019) 2019 Cal. App.
LEXIS 302, the court of appeal held that
the amount of sanctions for a frivolous
appeal may be based on the cost to taxpay-
ers of processing an appeal that results in
an opinion. See Ch. 49, Appeal: Sanctions,
§ 49.15[2][a].
Enforcement of Appeal Costs Award.
The court of appeal in Rostack Investments,
Inc. v. Sabella (2019) 32 Cal. App. 5th 70
held that a costs award is final and enforce-
able regardless of possible future proceed-
ings in the trial court. See Ch. 53, Appeal:
Remittitur and Costs, § 53.33[3].
CIVIL PROCEDURE
Accounting. The court in Sass v. Cohen
(2019) 32 Cal. App. 5th 1032 held that
actions alleging an accounting claim or
otherwise involving the valuation of assets
are not excused from limitations on default
judgments; and that the amounts of dam-
ages awarded and demanded are compared
on an aggregate basis. See Ch. 7, Account-
ing, § 7.17.
Affidavits and Declarations—Grand
Jury Transcripts and Plea Forms. Sweet-
water Union High School Dist. v. Gilbane
Building Co. (2019) 6 Cal. 5th 931 holds in
determining whether the evidence submit-
ted in response to an anti-SLAPP motion
established a probability of prevailing, a
grand jury transcript and plea forms could
be considered as the equivalent of affidavits
and declarations under Code Civ. Proc.
§ 425.16(b)(2), because the plea forms met
the requirements of Code Civ. Proc.
§ 2015.5, for declarations signed under
penalty of perjury and the grand jury tran-
script, although not a written declaration
under oath under Code Civ. Proc. § 2003,
was similar in that the testimony was given
under penalty of perjury. See Ch. 15, Affı-
davits, Certificates, and Declarations,
§ 15.41[14].
Anti-SLAPP Motion—
Communication Must Be Connected to
Issue under Consideration or Review in
Official Proceeding. In Rand Resources,
LLC v. City of Carson (2019) 6 Cal. 5th
610, the California Supreme Court held that
Code Civ. Proc. § 425.16(e)(2) makes clear
that it is insufficient to assert that the acts
alleged were simply in connection with an

official proceeding. Instead, the communi-
cation must be a connection with an issue
actually under review in that proceeding.

Anti-SLAPP Motion—Evidence to Es-
tablish Probability That Plaintiff Will
Prevail. In Sweetwater Union High School
Dist. v. Gilbane Building Co. (2019) 6 Cal.
5th 931, the California Supreme Court held
that evidence may be considered in support
of an anti-SLAPP motion if it is reasonably
possible it will be admissible at trial. See
Ch. 376, Motions to Strike: Anti-SLAPP,
§ 376.20[3][a].
Demurrer—Failure to Meet and Con-
fer Not Grounds for Denial. In Olson v.
Hornbrook Community Services District
(2019) 2019 Cal. App. LEXIS 260, the
court of appeal noted that Code Civ. Proc.
§ 430.41 does not contain any penalties for
the failure to follow the meet-and-confer
process when seeking a demurrer. See Ch.
206, Demurrers and Motions for Judgment
on the Pleadings, § 206.13A.
Limited Civil Cases. Answering a certi-
fied question from the Ninth Circuit, the
California Supreme Court in Meza v. Port-
folio Recovery Assoc., LLC (2019) 6 Cal.
5th 844, has stated that Code Civ. Proc.
§ 98 does not categorically require that all
affiants be personally present at a location
within 150 miles of the place of trial for a
reasonable period within the 20 days prior
to trial. See Ch. 345A, Limited Civil Cases,
§ 345A.18.
Motions—Code Civ. Proc. § 1008 Does
Not Limit Court’s Ability to Reevaluate Its
Own Rulings. In Boschetti v. Pacific Bay
Investments, Inc. (2019) 32 Cal. App. 5th
1059, the court of appeal held that Code
Civ. Proc. § 1008 does not limit a court’s
ability to reconsider its previous interim
orders on its own motion, as long as it gives
the parties notice that it may do so and a
reasonable opportunity to litigate the ques-
tion. See Ch. 374, Motions to Reconsider
and Renewed Motions, § 374.16[1]
Ordinances—Preemption of Ordi-
nance by State Law. In T-Mobile W. LLC
v. City & County of San Francisco, 2019
Cal. LEXIS 2230, the California Supreme
Court upheld a city ordinance that requires
wireless-telephone services to obtain per-
mits to install and maintain equipment in
public rights-of-way, over the challenge
that it is preempted by Pub. Util Code
§ 7901, holding that neither field preemp-
tion nor obstacle preemption applied to
affect the validity of the ordinance, which
was enacted for aesthetic reasons. See Ch.
513, Statutes and Ordinances, § 531.90[2].
Service of Summons—Exact Newspa-
per Required for Publication. Calvert v.
Al Binali (2018) 29 Cal. App. 5th 954 holds
service by publication pursuant to Code
Civ. Proc. § 415.50 must publish the sum-
mons in the newspaper designated by the
trial court, and publishing the summons in
the designated newspaper’s subsidiary does
not constitute compliance with the court
order; service by publication requires strict
compliance with statutory requirements.

CIVIL RIGHTS
Post-Civil War Civil Rights Statutes.
In Mackey v. Board of Trustees of Cal.
State Univ. (2019) 31 Cal. App. 5th 640,
the court held that members of a state-
university basketball team could not sue the
board of trustees under 42 U.S.C. § 1981 or
1983 for racial discrimination, based on the
head coach’s conduct, because the univer-
sity is not a “person” subject to suit under
those statutes. The court also held that their
claims under Title VI and the Unruh Civil
Rights Act survived a defense motion for

summary adjudication because the defen-
dant failed to meet its burden of showing
that the plaintiffs could not establish a
prima facie case. See Ch. 113, Civil Rights:
The Post-War Civil Rights Statutes,
§ 113.14[7][a], and Ch. 112, Civil Rights:
Government-Funded Programs and Activi-
ties, respectively.
Post-Civil War Civil Rights Statutes
The Ninth Circuit in National Ass’n of
African American-Owned Media v. Charter
Commun., Inc. (9th Cir. 2019) 915 F.3d
617 held that a plaintiff in a 42 U.S.C.
§ 1981 action need only prove that dis-
criminatory intent was a factor in, and not
necessarily the “but-for” cause of a defen-
dant’s refusal to contract. See Ch. 113,
Civil Rights: The Post-Civil War Civil
Rights Statutes, § 113.12[1][e].
CONTRACTS AND COMMER-
CIAL LAW
Contracts—Exculpatory Clauses. In SI
59 LLC v. Variel Warner Ventures, LLC
(2018) 29 Cal. App. 5th 146, the court of
appeal held that Civ. Code § 1668 negates a
contractual clause exempting a party from
responsibility for fraud or a statutory vio-
lation only when some or all elements of
the tort are concurrent or future events at
the time the contract is signed. See Ch. 140,
Contracts, §§ 140.24[4], 140.145[4].
Contracts—Unconscionable Arbitra-
tion Provision. The court of appeal in
Ramos v. Superior Court (2018) 28 Cal.
App. 5th 1042 held that provisions in a law
partnership arbitration agreement that re-
quired plaintiff to pay half the costs of
arbitration, to pay her own attorney fees,
restricted the ability of arbitrators to over-
ride the judgment of the partnership, and a
confidentiality clause, were unconscio-
nable. See Ch. 140, Contracts,
§§ 140.25[2][a], 140.146[5][a].
CORPORATIONS AND BUSINESSENTITIES
Foreign Corporations—Forum Selec-
tion Bylaw. In Drulias v. 1st Century
Bancshares, Inc. (2018) 30 Cal. App. 5th
696, the court of appeal held that a forum
selection bylaw adopted by a Delaware
corporation without stockholder consent
was enforceable in California and did not
conflict with Corp. Code § 2116. See Ch.
167, Corporations: Directors and Manage-
ment, § 167.60.
COSTS AND ATTORNEY’S FEES
Noticed Motion for Attorney’s Fees. In
Hardie v. Nationstar Mortgage LLC (2019)
32 Cal. App. 5th 714, the court of appeal
held that a noticed motion is generally
required for attorney’s fees and costs be-
cause Cal. Rules of Ct., Rule 3.1702 pre-
scribes a noticed motion procedure when-
ever a court is required to determine
whether the requested fee is reasonable or
whether the requestor is a prevailing party.
See Ch. 174, Attorney’s Fees,
§ 174.26[11].
Determining Whether Code Civ. Proc.
§ 998 Offer Made In Good Faith. In Licu-
dine v. Cedars-Sinai Medical Center
(2019) 30 Cal. App. 5th 918, the court of
appeal held that a factor in determining
whether a Code Civ. Proc. § 998 offer was
made in good faith is whether the offeror
knew that the offeree had sufficient infor-
mation, based on what the offeree knew or
reasonably should have known, to assess
whether the offer was a reasonable one. See
Ch. 174, Attorney’s Fees, § 174.17[5].
DISCOVERY
Balancing of Privacy Interest with
State Interest in Disclosure. In Grafilo v.
Wolfson (2019) 2019 Cal. App. LEXIS
301, the court of appeal held that the
Medical Board of California did not estab-
lish good cause for a subpoena ordering a

physician to produce patients’ medical re-
cords in connection with the Medical
Board’s investigation into whether the phy-
sician, a pain management specialist, had
overprescribed controlled substances. See
Ch. 191, Discovery: Privileges and Other
Discovery Limitations, § 191.120[3].
Recovering Expenses Incurred in
Proving Matter Not Properly Admitted.
In Design Built Systems v. Sorokine (2019)
32 Cal. App. 5th 676, the court of appeal
held that only the requesting party may
recover costs of proof under Code Civ.
Proc. § 2033.420. See Ch. 196, Discovery:
Requests for Admission, § 196.21[1].
INJUNCTIONS AND PROVI-SIONAL REMEDIES
Receiver’s Authority at Trial Court’s
Discretion. In City of Sierra Madre v.
Suntrust Mortgage, Inc. (2019) 32 Cal.
App. 5th 648, the court of appeal held that
most matters related to receiverships rest in
the sound discretion of the trial court,
including granting a receiver authority to
issue a super-priority lien. See Ch. 486,
Receivers, § 486.30[8].
INSURANCE
Subrogation. The court in Travelers
Prop. Cas. Co. of America v. Engel Insu-
lation, Inc. (2018) 29 Cal. App. 5th 830
held that in general, an insurer may not
bring its own action based on the subro-
gated rights of a suspended corporation.

JUDGMENTS AND DEBT COL-LECTIONS
When Relief From Judgment Under
Code Civ. Proc. § 473 Not Authorized. In
Jackson v. Kaiser Foundation Hospitals,
Inc. (2019) 32 Cal. App. 5th 166, the court
of appeal held that the mandatory provision
of Code Civ. Proc. § 473(b) does not apply
to undo a plaintiff’s voluntary dismissal of
an action based on an attorney’s erroneous
advice. See Ch. 489, Relief from Judgments
and Orders, § 489.40[1][b].
Award After Default May Not Exceed
Demand in Complaint. In Sass v. Cohen
(2019) 32 Cal. App. 5th 1032, the court of
appeal held that when a plaintiff has spe-
cifically enumerated separate items of com-
pensatory damages in the complaint, courts
should compare the total compensatory re-
lief granted by the default judgment to the
total compensatory relief demanded in the
operative pleadings to determine whether it
complies with Code Civ. Proc. § 580. See
Ch. 489, Relief from Judgments and Or-
ders, § 489.191[1].
JUVENILE LAW
Jurisdiction—Dual Jurisdiction. In one
case, a juvenile court was found to have
erred by not referring the matter for a 241.1
report prior to determining the minor’s
status and conducting the jurisdictional
hearing [In re R.G. (2017) 18 Cal. App. 5th
273, 226 Cal. Rptr. 3d 781]. There, the
court held a jurisdiction hearing and a
disposition hearing after receiving a report
from probation, but before receiving a
241.1 report that had been signed by both
Probation and Children and Family Ser-
vices [In re R.G. (2017) 18 Cal. App. 5th
273, 280–281, 2017 Cal. App. LEXIS 1094
(emphasis added)]. See Ch. 327, Juvenile
Court: Jurisdiction and General Proce-
dures, § 327.11[3][f].
Jurisdiction—Court Appointed Coun-
sel. Welf. & Inst. Code § 634.3(b) and Cal.
Rules of Ct., Rule 5.664(b) provide that
court appointed counsel in juvenile delin-
quency proceedings must meet certain
minimum training and education require-
ments to ensure they have the competence,
knowledge, and experience necessary to
provide appropriate legal representation.

Dependency—Medical Examination
and Treatment of Child During an In-
vestigation. This chapter is updated with a
revised section on medical examination and
treatment of a child during investigation,
including Mann v. Cty. of San Diego (9th
Cir. 2018) 2018 U.S. App. LEXIS 30804
and the California statutory framework. See
Ch. 328, Juvenile Court: Dependency Pro-
ceedings, § 328.30[4].
Dependency—Electornic Service.
Courts throughout the state are moving
away from paper and encouraging elec-
tronic filings and submissions (see e.g. Cal.
Rules of Court, rules 2.251 & 8.70). As a
result, over the last few years dependency
statutes have been created and amended to
allow for and encourage electronic notice
and report filings [AB 1930 (Stats 2018, ch.
910); AB 976 (Stats. 2017, ch. 319)]. At the
detention hearing, if a party who is age 10
or older makes an appearance, the court is
directed to ask the party to designate for the
court his or her electronic services address
(aka email address) as long the party ex-
pressly consents to electronic service pur-
suant to Section 212.5. See Ch. 328, Juve-
nile Court: Dependency Proceedings,
§ 328.41[3].
Delinquency—Retention of Jurisdic-
tion. Any person committed by the juvenile
court to DJF on or after July 1, 2018, by
reason of any offense listed in Penal Code
§ 290.008 or Welf. & Inst. Code § 707(b),
shall be discharged upon the expiration of a
two year period of control or when the
person turns 23 years of age, which ever
occurs later, unless an order for further
detention has been made pursuant to § 1800
[Welf. & Inst. Code § 607(g)(1)]. However,
a person who at the time of adjudication for
his or her crime would, in criminal court,
have faced an aggregate sentence of seven
years or more, shall be discharged from
DJF upon the expiration of a two year
period of control or when the person attains
the age of 25 years, whichever occurs later,
unless an order for further detention has
been made pursuant to § 1800 [Welf. &
Inst. Code § 607(g)(2)]. The provisions of
§ 607(g) do not apply to persons committed
to DJF or confined in a state hospital or
other public or private mental health facil-
ity by a court prior to July 1, 2018 [Welf. &
Inst. Code § 607(g)(3)]. Welf. & Inst. Code
§ 607.1 directs the juvenile court shall re-
tain jurisdiction over a person who has
been discharged from the custody of DJF
and who is subject to supervision by the
county of commitment pursuant to
§ 1766(b), until the person attains the age
of 25, or until the court terminates jurisdic-
tion under § 778 or § 779 or any other
applicable law [Welf. & Inst. Code
§ 607.1(b)]. See Ch. 329, Juvenile Court:
Delinquency Proceedings, § 329.21.
Delinquency—Truancy. In re R.M.
(2018) 22 Cal. App. 5th 582 hold the
failure of a minor to obey the order of a
police officer, to go into his or her school or
classroom, is not obstructing, delaying, or
resisting an officer in the discharge of any
legal duty and therefore, not a violation of

No Implied Dedication of Non-Coastal
Property. Mikkelsen v. Hansen (2019) 31
Cal. App. 5th 170 holds that Civ. Code
§ 1009(b) bars both implied-in-fact dedica-
tions of private noncoastal property as well
as implied-in-law dedications. See Ch. 183,
Dedication, § 183.11[3][a].
Eviction. In Dr. Leevil, LLC v. Westlake
Health Care Center (2018) 6 Cal. 5th 474,
the California Supreme Court that an owner
who acquires title to property under a
power of sale contained in a deed of trust
must perfect title, including recordation of
the trustee’s deed, before serving a tenant
of the property with the three-day written
notice to quit required by Code Civ. Proc.
§ 1161a(b). See Ch. 333, Landlord and
Tenant—Eviction Actions, § 333.10[10].
TORTS
Employee Claiming Unpaid Wages
Could Not Sue Payroll Company Hired
by Employer. In Goonewardene v. ADP,
LLC (2019) 6 Cal. 5th 817, the California
Supreme Court held that an employee
bringing an unpaid wage claim against his
or her employer could not also sue the
payroll company (hired by the employer to
manage the payroll) as a third-party benefi-
ciary under the contract or for negligence
or negligent misrepresentation. See Ch.
380, Negligence, § 380.31[3].
University Had No Duty to Prevent
Injury at Fraternity Party. In University
of Southern California v. Superior Court
(2018) 30 Cal. App. 5th 429, the court of
appeal held that a University did not have a
duty to a student from another university to
protect that student from injury at a frater-
nity party at which alcohol was being
served. See Ch. 380, Negligence,
§ 380.32[3][c][vi][B].
Prevailing Defendant May Recover
Fees and Expenses Under False Claims
Act Despite Losing Other Causes of Ac-
tion. In John Russo Industrial Sheetmetal,
Inc. v. City of Los Angeles Dept. of Airports
(2018) 29 Cal. App. 5th 378, the court of
appeal held that in a lawsuit brought under
the False Claims Act that also alleges other
causes of action, a defendant need only
prevail on the cause of action brought
under the False Claims Act in order to be
the prevailing party for purposes of recov-
ering fees and expenses under that statute.
