ABOUT C Group Energy Inc. (CGEI) is a private oil and gas company based in Calgary, Alberta with a

successful track record carried forward utilizing a cohesive, experienced team of professionals.

CGEI pursues Western Canadian acquisitions and development opportunities, placing priority on

areas where in-house geographic, geologic, operational and technical expertise exists.

GROWTH AND FINANCING

Focus is emphasized on prospects with multi-zone potential, existing infrastructure, low to

moderate-cost drilling, year-round access and, where possible, operational control of the properties.

To date, CGEI has been financed from a core shareholder group, combined with conventional bank

financing. Corporate growth is based on projects with 3 to 5 year value enhancement timelines.

Project exit will be dictated by market conditions and value added.

TEAM Bruce Francis, P. Eng President

Bruce Francis is a Professional Engineer with over 30 years diverse experience in the oil

and gas industry. Mr. Francis held the positions of President at C3 Resources Ltd. (June, 2005 - July, 2008) and C2 Energy Inc. (January, 2001 - May, 2005), each private oil and gas

companies which he co-founded. Under Bruce’s direction, both C2 and C3 focused on full- cycle exploration and development prior to sale of the companies into the public market.

Between 1995 and November, 2000, Bruce was President and Chief Operating Officer of Caravan Oil and Gas

Ltd., a publicly-traded oil and gas company which he also co-founded. Caravan grew from a private energy company in 1995 to a reporting issuer producing over 1900 BOED prior to being acquired by an intermediate publicly-traded oil and gas producer in November, 2000.

From 1992 and 1995, in a senior engineering capacity at Beau Canada Exploration Ltd., Mr. Francis directed a series of successful, aggressive, growth-oriented resource exploitation programs. Prior thereto, from 1989 to

1992, Bruce provided engineering and consulting services to a variety of energy companies.

Bruce’s early career experience was gained through positions of increasing responsibility in both field and head office locations with Dome Petroleum Ltd. and Amoco Canada Petroleum Ltd.

Bruce is a Professional Engineer and holds memberships in APEGA and the Society of Petroleum Engineers. He has served as a Director of a number of public issuers, including Seaview Energy Inc. and Kootenay Energy Inc., as well as several private resource companies.

Terry Kraychy, CET

Vice-President of Operations

Terry Kraychy is a Senior Operations Technologist with over 30 years of diversified petroleum industry experience with public and private companies. Prior to joining C Group Energy, Terry held the position of Vice President of Operations for Kootenay Energy Inc. managing all corporate operational activity for five (5) years.

Prior thereto, Mr. Kraychy managed production operations at Highpine Oil & Gas. Under Terry’s management, the company expanded rapidly via acquisition and new development of prolific sour oil production resulting in rapid growth from 3500 to 20,000 BOED. Mr. Kraychy coordinated pipeline and facilities construction, maintained Corporate Emergency Response Plans, and supervised field foremen and field staff in early stages of high- intensity company growth. He also represented Highpine at high profile regulatory hearings.

His earlier experience includes operational roles at Petrobank Energy, Caravan Oil and Gas, Petrorep Resources, Beau Canada Exploration and Canada Northwest Energy. Experience included supervision of field foremen, coordination and supervision of pipeline and facilities construction, production optimization, work-over and completion operations, abandonments and reclamations. Terry was directly involved in asset

transactions, both purchases and divestitures and maintaining the Corporate Emergency Response Plans and Safety Policies.

Mr. Kraychy’s early career experience also includes seven (7) years with the Energy Resources Conservation Board, with roles in field offices and Head office. Responsibilities included inspection of oil and gas facilities and drilling and service rigs for regulatory compliance. Terry also reviewed and processed regulatory applications and coordinated associated public hearings.

Sherry Phan, B. Comm

Land Manager

Sherry is a Petroleum Landman with 10 years of diverse experience in the oil and gas industry. She graduated from both the University of Alberta, with a B.A. in 1999, and Haskayne School of Business, the University of Calgary, with a Petroleum Land Management

degree in 2005.

Ms. Phan held the position of Landman at Imaginea Energy Corp. from April – October 2014, where she

completed land & title assessments, and evaluations of numerous properties, eventually culminating in a number of closing transactions. Sherry implemented and was responsible for corporate land and software systems (CS Explorer, ETS, SPIN2 and O&G Index.)

Prior thereto, Ms. Phan was a negotiating and contracts Landman in the Asset Rationalization Group at Canadian Natural Resources Ltd. Sherry’s career also includes two years at Trident Exploration as Landman.

Sherry holds memberships in both CAPL and CAPLA.

Cam Obrigewitsch, P. Eng

Operations Manager

Cameron Obrigewitsch is a Professional Engineer with over 11 years of diverse experience in the energy industry. He graduated from the University of Regina with a Bachelor of Applied Science in Petroleum Systems Engineering in 2005.

Cameron is responsible for managing all operations including production, drilling, completions, optimization, suspension and abandonment activities and managing AER compliance at C Group Energy Inc. In this role, he coordinates field personnel, creates project AFEs and manages project costs. Cameron assists in corporate and asset evaluations and is instrumental in managing and improving the LLR rating for C Group Energy.

Prior to joining C Group Energy, Cameron held the position of District Sales Representative for Nalco Canada where he provided technical chemical support to multiple Western Canadian process facilities. Prior thereto, Cameron was a Drilling Engineer for NBC Technologies Inc. where he was responsible for full well planning, design and drilling execution of oil and gas wells in Alberta and Saskatchewan. Cameron has drilled over 80 horizontal wells in the Montney and Duvernay plays in Western Canada and was responsible for up to 7 drilling rigs simultaneously. Cameron successfully managed budgets in excess of $100MM and was responsible

for carrying out drilling operations for Celtic Exploration Ltd., Kelt Exploration Ltd., XTO Energy Canada ULC, Taqa North Ltd., Tamarack Valley Energy Ltd., Jarrod Oils Ltd. and Territorial Services Ltd. in Trinidad.

Cameron’s early career experience includes an Operations Engineering role for Iteration Energy Inc., where he was responsible for managing daily production operations of 3000 BOEPD. His prior experience also includes a Facilities Engineering role for Husky Energy in Lloydminster, Saskatchewan where he was responsible for multiple pipeline and facility projects.

Cameron is a Professional Engineer and holds membership with APEGA and APEGS.

Michal Holub, CPA

Controller

Mr. Holub brings significant experience in financial reporting, accounting, financial

modelling and taxation. Currently, Mr. Holub is a Director and the Vice-President Finance & CFO of Croverro Energy Ltd. and a consulting CFO to a number junior oil and gas

companies with over 18 years of industry and public practise experience. Previously he was the Vice President Finance and CFO for Serrano Energy Ltd. until its sale to Baytex Energy Trust in May 2010, prior thereto he was the Controller at RedStar Oil & Gas Inc. He qualified as a Chartered Accountant with BDO Dunwoody

LLP in 2000 and worked as a Senior Manager in the assurance and accounting group working with a number of domestic and international junior oil and gas, service and technology companies and not for profit organizations. Mr. Holub obtained a Bachelor of Commerce, from the University of Calgary in 1997.

Mark Skoko, P. Geol

Exploration Manager

Mark Skoko, Exploration Manager, is a Professional Geologist and member of the Canadian

Society of Petroleum Geologists. Mr. Skoko graduated with a B.Sc. in Geology from the University of Calgary in 1981.

Mark has 30 years of experience in geological interpretation and prospect generation within stratigraphic,

structural and resource plays in both clastic and carbonate reservoirs in the Western Canadian Sedimentary Basin. His experience includes structural terranes Peace River Arch, Foothills and Plains.

Mr. Skoko’s current responsibilities include prospect generation, mapping, evaluation of producing properties

and identification of third-party opportunities within C Group’s asset base.

Prior to joining C Group, Mark’s previous assignment in C Group’s core W5 areas was as Senior Geologist,

where he drilled 6 horizontal, exploratory Cardium oil wells in the Niton-McLeod area, discovering 5 new Cardium oil pools.

Mr. Skoko has held senior geological positions at major, intermediate and junior companies, and operated a private consulting practice as well. Employers and clients included Hyperion Exploration, ConocoPhillips

Canada, Encana, Equatorial Energy, Volterra Resources, Laurasia Resources, Paragon Petroleum, Amerada Hess Canada and Placer CEGO Petroleum. Assignments have varied from regional new venture mapping and prospect generation to property and corporate evaluations.

Calynda Evans, B. Comm

Business Development Manager

Calynda Evans is a Senior Landman with over 16 years of diverse experience in Land, Business Development and A&D. Calynda joined C Group in February 2016, and has played a key role in evaluating and guiding corporate and asset acquisition opportunities.

Prior to joining C Group, Calynda was a Senior Land Negotiator with Encana Corporation from 2004-2014. Calynda was responsible for the mineral land strategy as the Area Landman for a variety of areas ranging from Southern Alberta to Northeast BC, including Encana’s key Montney resource play area surrounding Dawson Creek. As part of the Dawson Creek role, she was a key contact for the joint venture dealings of the Cutbank Ridge Partnership with Mitsubishi Corporation.

Earlier in her career, Calynda was an Analyst with Waterous & Co., and a Sessional Instructor at the University of Calgary’s Haskayne School of Business for the Petroleum Land Management Program. In 2015, she developed a BC Tenure Management course for the CAPL, with input from B.C.’s Ministry of Natural Gas Development.

Calynda has been an active member of the CAPL since 2000, and is a member of PADA (the Petroleum Acquisition & Divestitures Association.)

Larry Strong, P. Geol

Special Advisor

Larry Strong is a Professional Geologist with over 31 years of experience across the

Western Canada Sedimentary Basin. He started his career with Chevron Canada Resources and worked with other operating companies such as Petrofund, Markwest and Pengrowth

in executive and leadership roles. In addition Larry has over 10 years of experience in Investment Banking

leading A&D technical teams at Waterous and Company, Scotia Waterous, and Goldman Sachs.

DIRECTORS

Asheet Ruparell, B. Comm, LLB Special Advisor to the Board

Asheet Ruparell is President and Director of AVR Enterprises Ltd., a private diversified

investment and holding corporation with interests in automotive, hospitality, oil and gas and real estate development. Asheet started his career as a lawyer, practicing in corporate commercial, securities and real estate law. His transition into business included several hotel

and other real estate acquisitions as well as being a founder and Chairman of the board of Caravan Oil and Gas Ltd., which grew from a private energy company to a publicly traded oil and gas company, producing over 1900 BOED prior to being acquired by an intermediate publicly traded oil and gas

producer in 2000. Asheet’s direct involvement in oil and gas continued as a director of C2 Energy Inc. and C3 Resources Ltd., both start up private oil and gas companies sold after a period of growth.

Asheet has developed real estate projects including hotels, auto dealerships and condominiums valued in

excess of $300 million, is a strategic advisor for Silver Hotel Group (a private hotel investment company with

over 28 hotels) and recently completed a takeover of a publicly traded hotel company. He continues to be an owner and oversees operations of three automobile dealerships in Calgary. Asheet has served as a director of AIC Diversified Canada Split Corp. (1999 – 2009), a publicly traded investment corporation and served on its

audit committee. He was also Governor for Strathcona Tweedsmuir School (2007-2013), serving on its audit committee and continues on its Campus Rejuvenation Committee. Asheet has a Bachelor of Commerce degree from the University of Calgary and a law degree from the University of Toronto.

Phil Toews, P. Eng. ICD.D Director

Phil Toews is a Professional Engineer with over 30 years experience working in the banking and energy industries. He began his career working as an engineer for Amoco Canada and Crestar Energy in facilities and development. He then transitioned into banking, where he spent the majority of his career with Goldman Sachs and J.P. Morgan in a variety of sales and trading roles in the commodities groups. His most recent post was heading up J.P. Morgan’s very successful Canadian Commodities division.

Phil was also a founder and director of Caravan Oil and Gas Ltd., which grew from a private energy company to a publicly traded oil and gas company producing over 1900 BOED prior to being acquired by an intermediate publicly traded oil and gas producer in 2000. Phil is a member of APEGA and the Institute of Corporate Directors. He is currently on the boards of Kudo’s Inc., a tech firm, and Diakonos, a non-profit serving first responders. He also served on the boards of other non-profit organizations.

Karim Manji, P. Eng. Chairman

Karim managed the Canadian arm of Goldman Sachs Global Commodities in Calgary and was also responsible for the physical natural gas business across North America and Mexico. He joined Goldman Sachs in 1997 and was named managing director in 2006.

Prior to this role, Karim was a Senior Reservoir Engineer at Dome Petroleum and Senior Marketing rep at Amoco Petroleum and Crestar Energy.

Karim has served as city chair of the Aga Khan Foundation Canada, a nonprofit organization dedicated to

improving the quality of life for vulnerable groups. Karim earned a BApSc in Chemical Engineering from the University of British Columbia in 1981.
