THIS INDEFINITE DELIVERY INDEFINITE QUANTIY ASSIGNMENT NO. 1 (hereinafter referred to as the "Assignment No. I" or "Assignment") is emered into by and between the Texas Facilities Commission, located at 1711 Snn Jacinto Boulevard, Austin, Texas 7870 I (hereinafler rererred to as .. TFC") and Surveying and Mapping, LLC (SAM) located ut 480 I Southwest Parkway, Building Two, Suite 100, Austin, Texas 78753 (hereinafter referred to as "PSP'') (TFC and PSP are hereinafter referred to individually as a "Party" or collectively ns "Parties"}, to be effective on the Effective Dntc (ns defined below) and the terms and conditions of which are as follows.

DESCRIPTION OF PROJECT: The project for which PSP agrees to provide Professional Services is generally described as to provide vacuum excavation pot holes at twelve ( 12) locations along the proposed alignment as well as mapping services to TFC for mapping underground utilities within I 0 feel of the proposed electric field (hereinafter ref erred to as the 0 Project"), as rurther depicted in "Exhibit A-1," PS P's IDJQ Assignment No. l Proposal dated January 9. 2018, attached hereto and incorporated herein for all purposes and consisting of six (6) pages.

DURA TJON OF ASSIGNMENT: The scope of services of this Assignment No. I shall be completed no later than August 31, 2019 unless terminated earlier as provided in Section 3.2 of the Agreement. The schedule is subject to adjustments for possible time extension~ however, any extension of time must be approved by the TFC and shall require an amendment to Assignment No. I.

SPECIAL TERMS AND CONDITIONS OF ASSIGNMENT: Terms and conditions shall be in accordance with the Agreement, any Special Conditions, nnd with this Assignment No. I.

SUB-CONTRACTORS TO BE UTILIZED FOR PROJECT: PSP shall perfonn the services under this Assignment No. J whh its own forces unless otherwise specified. Ir the scope of services is less than $ !00,000.00, a HUB Subcontracting Plan (HSP) is not required. If the scope of services will exceed $100,000.00, PSP shall submit an HSP for approval pursuant to Section 11.2 of the Agreement.

FEE FOR BASIC SERVICES: Fee for the services set forth in this Assignment No. I shall not exceed Thirty Four Thousand and 00/100 Dollars ($34,000.00). No more frequently than once per month, shall suhmit a Pay Application to TFC for services performed and reasonable and necessary cosls and expenses incurred through the last day of 1he previous month. Any rcimbursabte expenses, if allowed, shall be in uccordunce with Section 4.6 of the Agreement.

IDENTIFICATION OF PSP PROJECT MANAGER AND ALL SUBCONTRACTOR: For this Assignment No. I, PSP shalt identify the Project Manager, PSP's employees and nil subcontraclors assigned to lhis project on the List of Project Manager oind Subcontntclors (hereinafter referred to as the "List"), attached hereto and incorporated herein for ull purposes as "Exhibit B-1."

TFC reserves 1he right to approve the appointmenl of the PSP Project Manager and 10 demand thut the Project Mun;iger. and uny of PS P's employees or subcontractors, be removed and replaced if. in the sole opinion of TFC. their performance on this project or any other projccls. is and/or wus inadequnte or lheir continued involvement wi1h the Project is, will, or has become dctrimenu1l lo the limely and successful completion of the project.

The Projecl Manager nnd Subcontractors identified in the List shall not be replaced by PSP, nor shall any other subcontractors be engaged by PSP, unless prior written consent is obtained from TFC, which consent shall not be unreasonably withheld, conditioned, or delayed.

ENTIRE AGREEMENT AND MODIFICATION: The Agreement nnd this Assignment nnd their integrated auachmenl(s) constitute the entire ngreement of the Purties nnd such are intended as a complete and exclusive stalcmcnt of the promises, represenlations, negotiations, discussions, and other ngreemenLo; that may have been made in connection with the subject mutter hereof. Unless an integrated auachment to this Assignment specifically displays a mutual intent 10 amend a panicular pan of this Assignment, genenil conflicts in language between any such Dttachment and this Assignment shall be construed consistently with the terms of this Assignment. Unless otherwise expressly authorized by the terms of this Assignment, no modification, renewal, extension, or amendment to this Assignment shall be binding upon the Parties unless the same is in writing and signed by the respective Panics hereto.

PROJECT OVERVIEW

Surveying And Mopping, LLC (SAM) proposes to provide vacuum excavation pol holes al twelve ( 12) locations along the proposed alignment as well ns mapping services to the Texas Facilities Commission for mapping underground utilities within 10 feel of the proposed eleclric feed alignmen1 illus1ra1ed by the red line shown on the nllnched Exhibit "A".

ASSUMPTIONS

The following assumptions were made for the preparation of d1is Scope or Services. If 1hcse assumptions do not prove correct, 11 modilicacion to the scope nnd budgel for this project moy be required.

• The nccurocy of subsurface data can be innuenced by factors beyond our control such us conductivity of materials and their surroundings, soil moisture content, proximity of other underground u1ili1ies or slructures, depth of utility, elc. Therefore, only the accuracy of dnlo oblained by actual physicnl verification (through vocuum excavation or otherwise) can be gunrnnleed to applicuble engineering and/or surveying standards.

• Paint markings placed on the ground by SAM are to be used for design purposes only, not for construction. The use of designating information provided does not relieve any contractor or the TFC from the duty lo comply with applicable utility damnge prevention laws and regulations, including, bu1 not limited to, giving nolification to utility owners or One·Cnll centers before excavation. SAM will not be responsible for any omission of utility information that is not obtainable via electromagnetic, sonic, or acoustical designating methods.

• Non-metallic piping such as PVC irrigation lines, clnytconcrctc piping, inactive electric and/or communication lines may or may not be found by electromagnetic:, sonic or acousiicnl designating practices. SAM does no1 warrant and/or guarantee that all exisling utilities will be found.

• The Client will provide a DGN or DWG electronic file of recent 20 plnnimetric mapping showing the existing right-of-wny and/or eosemenls, elc. und/or limits of the subsurfoce utility infonnation to be collected. This file will be used as background infonnation and as part of our deliverables lo the Client for this project.

• The scope or services for this project daes not include SAM establishing and/or re­establishing existing horizontal and vertical control. If this work is required it will be: provided as an additional service.

• The Client will provide all site control data prior 10 project mobilization. • The Client will provide SAM with record information and profile drawings of all the utilities

within lhe project site the Client has available. • Survey Feature Codes will be shown as per SAM current Feature Library and Line Styles. • SAM is to provide Services only within a 10 foot corridor, centered on the elec1rical

alignment shown on Exhibit A. • SAM will not be working in any hazardous or contaminaced areas. If SAM employees on site

discover hnznrdous or contaminated ureas in the course cf rheir work, they will cease work and SAM will coordinate with the Client immediately.

• All work will be perfonned during daytime hours. • The Client will be the liaison for the SAM field crews to nccess the Project Work Area. • SAM will be nolified, prior to mobilizing of any special requirernenls for access and the

perfonnanc:e of the work on the project.

• SAM Personnel will hnve unrestric1ed access to the work areas on n ten (I 0) hour per doy basis for each doy approved to perform work.

• SAM will provide nonnal traffic conlrol for designating services. This includes standard placement ortraffic cones, freestanding warning sigoage and vehicle-mounted traffic directional sign. Traffic control requiring l;ine closures, traffic dc1ouring, nagging opcralions, police, etc., nre considered specinl traffic control measures. If speciol tranic control is to be provided by SAM this service will be subcontracled to an approved subcon1rac1or ;ind billed to the Client at cost.

• II is assumed that penniuing will not be required lo conduct this work ond ;iny time and cost associnled wilh pennining through any oulhority are nol included in this fee.

• It is assumed that excavated material will be sufficient to be used as backfill of oil podtoles. • It is nssumed that coring and pavement culling will be perfonned nt 9 locations along the

proposed alignment. Any udditional locations mny include ndditional charges.

SCOPE OF SERVICES

DeslgnuClng Service (Horlzontul Locution of Utilities) • Designating is to indicate, by marking wilh point, the presence and approximate horizontal location or subsurface utilitit:s using geophysical prospecting techniques including, without limitations, electromagnetic, sonic and acoustical techniques. SAM will provide the following designating services to oid the Client in the design of site, ROW, construclion plans or project development plans, or for other purposes as agreed to by the panics. SAM will:

• Provide u1ility designating within the project limits, as depicted in Exhibit A. • Provide nil equipment, personnel and supplies required for perfonning designating services.

SAM shall determine which c:quipmcnt, personnel ond supplies ore required to pcrfonn these toning services.

• Designate the existing underground utilities crossing a 10' corridor centered on a proposed electric service feed. The proposed route will be marked in the field by the Clicnl or provided in 11 CAD lile for use by SAM prior lo field mobili7.alion. Utilities which may consist of waler, wnstewaler, gas, petroleum pipelines, telephone, fiber optics, cable TV, and electrical utilities within the project area previously described.

• Conduct appropriate investigation of site conditions. • Mark the utilities on the ground to be surveyed. SAM will provide survey crew to collect all field

data marked by SAM designating crews only. • Analyze ond correlalc oil of the field-collected infonnation with the collec1ed record information

for ensuring continuity of the information collec1ed.

Pothole Services - Pothole services is to locate the accurate horizontal nnd vertical position of subsurface utilities by excavating 11 pothole using v11cuum excavation techniques 11nd equipment lhol is non­destructive lo utilities. In performing vacuum excavations services, SAM will:

• Provide potholing services at 12 locations requested by the Client. These locations will be passed along to SAM vio 11 PDF exhibit or CAD file before mobilization for the vacuum excavation work. Locations will be chosen by the client based on results from utility mapping.

• SAM will provide limiled designation services 10 lay out proposed excavation locations. • Potholes will be surveyed by SAM.

• Provide all equipment, personnel and supplies required to perfonn potholing services. SAM slmll detennine which equipment, personnel nnd supplies ore required lo perfonn such services.

• ElCcovate potholes lo expose the utility to be measured in such a manner th:u ensures the safety of che excavation and the in1egrity of lhe utility to be measured. In performing such excavations, SAM shall comply with applicable utility damage prevention laws. Excavations will be performed using specially developed vacuum excavation equipment 1ha1 is non-deslructive to existing facililies. If contaminoced soils ore discovered during the cxcavnllon process, SAM will notify the Client.

o Actual depth 10 top of utility referenced to a survey marker installed directly above the centerline of the exposed utility scructurc.

• Backfill nround lhc exposed facilily using the excavated matcriols compacted in six inch lifls. • In grass nnd landscape orcas, rcsloration shall be as reasonably possible to lhc condition that

exisled prior to clCcavation. • In povcmcnl areas, resloralion shall be wilh asphaltic cold mix. • Ir required, access to a waler source within project area will be provided by Clicnl. • All areas where potholes an:: required shall be accessible by standard driving with vacuum

excavation vehicle. • Polhole locations will be cxcavalcd to depth of ucility or impenelrnble rock layer. Pol holes

deeper than 8 rect may be subject co additional fees based on production impacts.

PROJECT DELIVERABLES

A :m AutoCAD or DGN file depicting nil designn1cd utililies will be prepared for lhis project. No hardeopy deliverables will be prepared for the ulility mapping portion of lhe project. The utilities shown in the CAD deliverable will be referenced by the lype of utility, color coded 10 American Public Works Associolion slnndards. A PDF summary sheet of data relaling 10 the potholing work will be provided.

PROJECT SCHEDULE

SAM will start the designating service described previously within len (IO) working doys from the nolice lo proceed and approval of any badging or clearance requirements for site access. The designating field work is estimated to be complete in three (3) days, the survey field work in two (2) days, the potholing services in five (S) days and the office processing is expected lo be completed in five business (5) days following complecion of lhe field work and receipt of electronic file of 2D planimetric mapping. The project schedule docs not renect inclemenl weather or work stoppage beyond the control of SAM.

FEE SCHEDULE

The ulility mnpping fee will be billed lump sum and the vacuum excavation work will be billed as unit prices. The unit price nssumes no less than 3 potholes in o single mobilizalion. The fee for the previously described scope of services will be billed to the Client as follows:
