Ordonanţa de urgenţă a Guvernului nr.75/2010 privindmodificarea şi completarea Legii concurenţei

(nr.21/1996) a fost aprobată, cu unele amendamente,

prin Legea nr. 149/20111.

Noile reglementări creează premisele consolidării

inst i tuţ ionale a Consi l iu lu i Concurenţei ş i

eficientizării intervenţiei sale atunci când are semnaledin piaţă privind posibile practici anticoncurenţiale. Înacest sens, plenul Consiliului Concurenţei va fi

constituit după o nouă formulă menită să creascăgradul de profesionalizare şi independenţă a conduceriiinstituţiei.

Procedurile naţionale au fost adaptate la prevederilecomunitare în domeniul concurenţei:

se acceptă măsuri interimare şi angajamente dinpartea companiilor investigate;

suspendarea amenzii se poate face numai dupăplata unei cauţiuni;

creşte ponderea analizei economice în identificareapracticilor anticoncurenţiale;

au fost simplificaţi paşii de urmat în ceea ce priveşteconcentrările economice.

Noutăţi legislative




Government Emergency Ordinance no.75/2010 for theamendment and completion of Competition Law

(no.21/1996) has been approved with certain

amendments through Law no.149/20111.

The new provisions are creating the premises for theinstitutional consolidation of the Competition Council

and for improving the efficiency of its intervention whenit received market signals on possible anticompetitivepractices. In this respect, the Plenum of the Competition

Council will be set up based on a new formula which isintended to increase the professionalism and independenceof the management of the institution.

The national procedures have been adapted to thecompetition Community provisions:

the Competition Council can order interim measuresand can accept commitments to/from theinvestigated undertakings;

the sanctioned undertakings can introduce legalaction against Competition Council’s decisionsimposing fines only after they pay a certain warrant;

the role of the economic analysis is increasing withinthe process of identifying anticompetitive practices;

the steps to be followed in the economicconcentration field have been simplified.

Legislative novelties




Alte modificări de subliniat sunt:

Introducerea unor prevederi potrivit cărora dacă o

întreprindere recunoaşte, în mod expres, săvârşireaunei fapte anticoncurenţiale, iar acolo unde estecazul propune remedii care conduc la înlăturareafaptei, aceasta va fi reţinută ca şi circumstanţăatenuantă specială sub forma colaborării şi vadetermina o diminuare a amenzii cu un procentcuprins între 10% - 30% din nivelul de bază. Această

prevedere de reducere a amenzii este diferită deprezentarea voluntară de probe care face obiectul“politicii de clemenţă”.

Modificarea procedurii de calcul a taxei deautorizare, taxa urmând a fi stabilită între 10.000 şi25.000 Euro. Anterior, taxa de autorizare reprezenta0,1% din cifra de afaceri realizată pe piaţa pe care

avea loc concentrarea economică. Crearea cadrului legal necesar în vederea efectuării

de către Consiliul Concurenţei, pe teritoriulnaţional, a inspecţiilor solicitate de ComisiaEuropeană sau de alte autorităţi naţionale deconcurenţă partenere.

Autoritatea de concurenţă va asigura şi aplicareaLegii nr. 11/1991 privind combaterea concurenţeineloiale prin preluarea prerogativelor de resort de laMinisterul Finanţelor Publice.




We are also underlying the following important amendments:

If an undertaking is expressly recognising that it has

infringed the Competition Law and, if it is the case,it proposes remedies leading to the removal of theanticompetitive deed, the Competition Council willconsider this as mitigating circumstances -cooperation with the competition authority - and willreduce the fine base level by between 10% - 30%.This provision on the reduction of the fine differs

from the voluntary presentation of proofs, which isthe object of the “leniency policy”.

The amendment of the procedure for calculating theauthorising tax of the economic concentrations; thefee is to be established between EUR 10,000 and25,000. Previously, the authorising tax was calculatedas 0.1% of the turnover registered on the market

where the economic concentration was carried out. The establishment of the necessary legal framework

for the Competition Council to carry out dawn raidson the national territory, as it is requested by theEuropean Commission and by other partner nationalcompetition authorities.

The competition authority will also ensure theenforcement of Law no.11/1991 on unfair competitionthrough taking over the specific prerogatives fromthe Ministry of Public Finances.




Investigaţii deschise

În semestrul 1 2011, Consiliul a deschis 15 investigaţii,

din care 13 pentru posibile încălcări ale legii concurenţei.

Numărul plângerilor depuse la autoritatea de concurenţăeste în creştere de 8 ori faţă de 2009 şi de 4 ori

comparativ cu 2008, motiv pentru care procentul deţinut

de investigaţiile deschise din oficiu este în scădere comparativ cu semestrul 1 2010 (cu 29 puncte procentuale),de la 67% la 38%).

În funcţie de obiectul investigaţiei, cele 15 investigaţiisunt:

4 - pentru analiza unor posibile abuzuri de poziţiedominantă,

4 - posibile înţelegeri anticoncurenţiale pe orizontală(carteluri),

2 - posibile înţelegeri anticoncurenţiale pe verticală, 3 - posibile încălcări ale legii de către instituţii ale

administraţiei publice 2 - anchete sectoriale (cunoaştere a pieţei).

Investigations opened

During the First Semester of 2011, the Competition Council

has initiated 15 investigations, out of which 13 concerningcertain possible infringements of the Competition Law.

The number of the complaints submitted to the competition

authority has increased by 8 times compared to 2009 and by

4 times compared to 2008; this is why the percentage of the

ex-officio investigations has decreased compared to the FirstSemester of 2010 (by 29 percentage points, from 67% to 38%).

Based on the object of the investigations, the situation ofthe 15 procedures is the following one:

4 - for analysing possible abuses of dominantposition,

4 - possible anticompetitive horizontal agreements(cartels),

2 - possible anticompetitive vertical agreements, 3 - possible infringements of the Competition Law

by the institutions of the public administration, 2 - sector inquires.

Investigaţii extinse

Consiliul Concurenţei a extins 4 din investigaţiile aflate în derulare. Investigaţiile extinse sunt pe piaţa difuzăriicanalelor de televiziune cu plată, piaţa distribuţiei deproduse de parfumerie marca „D&P Perfumum”, piaţaoperaţiunilor de registru pentru emitenţii de valori mobiliareşi piaţa distribuţiei centralelor termice, cazanelor, boilerelor(şi accesoriilor pentru acestea) şi aparatelor de condiţionare

a aerului din România.

Investigaţii în curs

Sunt în desfăşurare 72 de investigaţii ( 50 din oficiu ). Dintotal, 66 sunt pentru posibile încălcări şi 6 reprezintăanchete sectoriale. Distribuţia în funcţie de obiectul

investigaţiei:

59 sunt pentru posibile practici anticoncurenţiale(47 înţelegeri şi 12 abuzuri)

3 pentru analiza unor concentrări economice (2omisiuni şi o punere în practică a operaţiunii

înainte de luarea unei decizii de către ConsiliulConcurenţei)

4 pentru acte ale admistraţiei publice şi 6 anchete sectoriale.




Investigations extended

The Competition Council has extended 4 of its on-goinginvestigations. The extended investigations are beingcarried out on the distribution market of pay TV channels,the distribution market of „D&P Perfumum” perfumeproducts, the market of registry operations for issuingsecurities and the Romanian distribution market of heatingunits, boilers (and the related accessories) and air

conditioning equipments.

On-going investigations

72 investigations are being currently carried out ( 50

ex-officio ). 66 of the total are envisaging possible lawinfringements are 6 are sector inquires. Their distribution

based on their object is the following one:

59 are envisaging possible anticompetitive practices(47 agreements and 12 abuses),

3 for analysing certain economic concentrations(2 notification failures and an implementations ofa concentration prior to a Competition Councildecision),

4 for anticompetitive actions of the publicadministration and

6 sector inquires.

În patru cazuri (Vodafone, Orange, Asesoft şi Interfruct/ProfiRom) s-au aplicat sancţiuni în cuantum de 288.209.102 lei2

(68.068.563 Euro)3.

Inspecţii inopinate

Au fost organizate inspecţii inopinate în cadrul a 11

investigaţii , fiind controlate 105 sedii/puncte de lucru,aparţinând unui număr de 103 întreprinderi. Prin comparaţie,

în aceeaşi perioadă a anului 2010 s-au efectuat inspecţii încadrul a 6 investigaţii şi au fost controlate 46 de sedii/ puncte de lucru.

Decizii

Au fost emise 20 de Decizii, din care două treimi pentrucazuri de concentrări economice (13 notificări şi osancţiune). Patru decizii sunt de sancţionare a:

abuzurilor de poziţie dominantă ale Orange şiVodafone,

2 Faţă de o singură sancţiune aplicată în 2010 (cartelul service-urilor auto din

Slobozia).3 Cursul publicat de BNR pentru ultima zi a lunii iunie (1 euro- 4,2341 lei)

2 sector inquires (pharmacy and heatingenergy)

1 horizontal agreement (Orange-Vodafone-Romtelecom), procedure closed without sanctions.

In four cases (Vodafone, Orange, Asesoft and Interfruct/ Profi Rom) sanctions of LEI 288,209,1022 (EUR 68,068,563)3

have been apllied.

Dawn raids

Dawn raids have been carried out within 11 investigations.105 headquarters/working points belonging to 103undertakings have been inspected. By comparing, in same

period of time of 2010, dawn raids have been carried outwithin 6 investigations and only 46 headquarters/working

points were inspected.

Decisions

20 decisions have been issued, out of which two thirds areenvisaging economic concentrations (13 notifications andone sanction). Four are sanctioning decisions for:

the abuses of dominant position of Orange andVodafone,

Română de Fotbal şi Liga Profesionistă de Fotbal încadrul investigaţiei pe piaţa vânzării drepturilor de

difuzare a evenimentelor fotbalistice.

Accesul societăţii Baxter AG la anumite informaţiiconfidenţiale aparţinând societăţii FarmaceuticaRemedia.

Promovarea regulilor de concurenţă

Activitatea Consiliului cu privire la promovarea legislaţieiconcurenţei în rândul instituţiilor/autorităţilor publiceimplicate în procesul de elaborare a actelor normative aconstat în emiterea a 24 de avize, puncte de vedere şi

opinii, după cum urmează:

6 avize, din care jumătate cu observaţii şi propuneride modificare,

12 puncte de vedere şi 6 intervenţii de modificare a unor acte normative

deja în vigoare.

The other decisions are envisaging:

The acceptance of the commitments assumed bythe Romanian Football Association and theProfessional Football League within the investigationcarried out on the commercialisation market of the

TV transmission rights of the football matches; The access of Baxter AG to certain confidential data

belonging to Farmaceutica Remedia.

Promoting the competition rules

The activity of the Competition Council for promoting thecompetition legislation among the public institutions/authoritiesin the process of drafting normative acts resulted in 24 binding

opinions, points of view and opinions, as follows:

6 binding opinions, out of which half withobservations and amendment proposals,

12 points of view and 6 interventions for the amendment of certain

normative acts in force.




Aşa cum este prevăzut şi în Strategia Uniunii Europene -

Europa 2020, politica comunitară privind ajutoarele de stat vacontinua să joace un rol cheie în sprijinirea tranziţiei la oeconomie mai inteligentă şi mai ecologică. Controlul ajutoarelorde stat reprezintă o componentă esențială a politicii în domeniulconcurenţei și o măsură de protecție necesară pentrumenținerea unei concurențe efective şi a liberului schimb pepiața unică. Ajutoarele de stat care contribuie la îndeplinirea

unor obiective bine definite de interes comun european și carenu denaturează în mod substanţial concurența dintre

întreprinderi și a schimburilor comerciale dintre statele membrepot fi considerate compatibile cu piața comună.

Consiliul Concurenţei, în calitatea sa de autoritate decontact în raporturile cu Comisia Europeană, asigurăaplicarea şi respectarea, de către autorităţile publice şi demediul privat, a regulilor în domeniul ajutorului de stat,precum şi o comunicare eficientă cu forul comunitar.

Acordarea de consultanţă în domeniul ajutorului de stat

Consiliul Concurenţei a avut o foarte bună colaborare şicooperare cu Ministerul Comunicaţiilor şi Societăţii

naţională de contact în domeniulajutorului de stat în raporturile dintre

România şi Comisia Europeană




As it is provided by the EU Strategy - Europe 2020 as well,

the State aid Community policy will continue to play a keyrole in supporting the transition to a more intelligent andgreen economy. State aid control is an essential componentof the competition policy and a necessary protectionmeasure for maintaining an effective competition and thefree trade in the common market. The State aids contributingto the achievement of certain clearly defined objectives of

common European interest and which do not distortsignificantly the competition between undertakings and thetrade between the EU Member States can be consideredcompatible with the common market.

The Competition Council, as national contact authorityon State aid with the European Commission, provides theapplication and the observance the State aid rules by thepublic authorities and the private environment of, as wellas an efficient communication with the Community fora.

Granting assistance in the field of State aid

The Competition Council has had a very good cooperationwith the Ministry of Communications and Informational

Informaţionale, Ministerul Mediului şi Pădurilor, MinisterulDezvoltării Regionale şi Turismului, Ministerul Transporturilorşi Infrastructurii, Ministerul Economiei, Comerţului şi

Mediului de Afaceri, cu privire la o serie de cazuri cu impactsemnificativ pentru economia românească, printre caremenţionăm:

Schema de investiţii în infrastructura de comunicaţii în bandă largă în România;

Mecanismul certificatelor verzi instituit prin Legea

nr. 220/2008, cu modificările şi completărileulterioare;

Schema de ajutor de stat pentru realizarea deinfrastructură în benef ic iul aeroportur i lorregionale;

Măsurile de sprijin cuprinse în Planul de închidere aminelor de cărbune necompetitive la Compania

Naţională a Huilei Petroşani SA.

Experţii Consiliului Concurenţei au participat la un numărde 89 de reuniuni de lucru şi consultări tehnice (inclusivvideo-conferinţe) şi au emis un număr de 152 de opinii

scrise (clarificări) privind respectarea regulilor în domeniulajutorului de stat. Acestea au avut ca obiectiv: pregătireanotificărilor unor măsuri de sprijin financiar la ComisiaEuropeană, clarificarea unor cazuri aflate în discuţie cuoficialii comunitari, elaborarea unor acte normative cuincidenţă în domeniul ajutorului de stat, implementareaschemelor de ajutor de stat etc.

Astfel, în cursul semestrului I al anului 2011, ConsiliulConcurenţei a acordat consultanţă de specialitate




Technology, the Ministry of Environment and Forests, theMinistry of Regional Development and Tourism, the Ministryof Transports and Infrastructure, the Ministry of Economy,

Commerce and Business Environment as regards certaincases with significant impact over the Romanian economy,out of which we are mentioning the following ones:

The scheme for investments in Romania’s broadband communications infrastructure;

The green certificates mechanism established

through Law no.220/2008, with the subsequentamendments and completions;

The State aid scheme for creating a newinfrastructure for the benefit of the regional airports;

The support measures provided by the Plan forclosing the non-competitive coal mines of theNational Coal Company Petroşani SA.

The experts of the Competition Council attended 89

working reunions and technical consultations

(including video-conferences) and issued 152 written

opinions (clarifications) on the observance of the Stateaid rules. They focused on: the preparation of thenotifications to the European Commission concerningcertain financial support measures, the clarification ofcertain cases which are being discussed with theCommunity officials, the elaboration of certain normativeacts involving State aid issues, the implementation of theState aid schemes etc.

In this respect, during the First Semester of 2011, theCompetition Council has granted specialised assistance for

Mecanismul certificatelor verzi instituit prin

Legea nr. 220/2008, cu modificările şi completările

ulterioare. Schema de sprijin se referă la energia

electrică produsă din surse regenerabile de energieprin sistemul cotelor obligatorii de energie electrică,combinat cu tranzacţionarea certificatelor verzi.După ce anul trecut Schema fusese notificatăinformal la Comisia Europeană, făcând obiectul maimultor etape de consultări tehnice şi schimburi deinformaţii cu forul comunitar, în luna iunie a.c., larecomandarea experţilor comunitari, aceasta a fostnotificată oficial.

Un presupus ajutor de stat acordat în favoarea

Responses and official positions in the field of State aidfollowing to be transmitted to the European Commission

In order to draft the documents necessary for clarifying thecases analyzed by the European Commission or for answeringto the informal requests of the European Commission, as wellas for sustaining certain support measures before of the

Community fora, the Competition Council has cooperatedefficiently with the State aid suppliers. We are mentioningsome of the most relevant cases:

The green certificates mechanism established

through Law no.220/2008, with the subsequent

amendments and completions. The support scheme

is envisaging the electric energy produced fromrenewable resources through binding quotas of electricenergy, combined with the transaction of greencertificates. After the scheme has been informallynotified to the European Commission last year andafter it was the subject of several technical consultationsand exchanges of information with the Communityfora, in June of this year it was notified officially, at therecommendation of the Community experts.

An alleged State aid for Ford. Following acomplaint on an alleged illegal State aid for Ford,the European Commission has requested Romania’sofficial position on this case; the experts of theCompetition Council have granted assistance for the

Râmnicu Vâlcea. În cadrul investigaţiei deschide decătre CE, au fost solicitate autorităţilor româneclarificări cu privire la anumite aspecte. În urmacolaborări i dintre reprezentaţi i Consil iuluiConcurenţei şi ai Ministerului Economiei, Comerţului

şi Mediului de Afaceri, ai A.V.A.S, precum şi aiMinisterului Finanţelor Publice, au fost elaboratematerialele care au fost ulterior transmise ComisieiEuropene. Totodată, au avut loc la Bruxelles şidiscuţii tehnice privind acest caz.

Avize (notificări şi exceptări)

Consiliul Concurenţei a emis 2 avize, referitoare lanotificarea Schemei de ajutor de stat destinată sprijiniriiIMM-urilor şi întreprinderilor mari si a Mecanismuluicertificatelor verzi instituit prin Legea nr. 220/2008, cu

modificarile şi completările ulterioare. Ambele scheme deajutor de stat au fost ulterior notificate Comisiei Europene.De asemenea, au fost emise 2 avize referitoare la

the benefit of regional airports. The EuropeanCommission has decided to open an investigation inthis case and has requested to the Romanianauthorities certain clarification. The procedure has beeninitiated as a result of the possible incompatibility ofthe State aids granted through the Scheme supportingthe creation of infrastructure for the regional airports.

The support measures for S.C. Oltchim S.A. Râmnicu Vâlcea. Within the investigation initiated by the EuropeanCommission, the Romanian authorities have beenrequested to transmit certain clarifications. Following thecooperation between the representatives of the CompetitionCouncil and those of the Ministry of Economy, Commerceand Business Environment, the Authority for State Assets

Recovery and of the Ministry of Public Finances, certaindocuments have been transmitted to the EuropeanCommission. At the same time, technical discussions havealso been carried out on this case, in Bruxelles.

Formal opinions (notifications and exemptions)

The Competition Council has issued 2 formal opinions concerningthe notification of the State aid scheme for the support of the smalland medium-sized enterprises and for the large enterprises and onthe Green certificates mechanisms established through Law

no.220/2008, with the subsequent amendments and completions.Both State aid schemes were notified afterward to the EuropeanCommission. At the request of the National Agency forCommunications, 2 formal opinions on the compatibility with the

modificare al Legii nr. 504/2002 a audiovizualului, solicitatde către ANCOM.

Pentru ajutoarele de stat analizate de Consiliul Concurenţei în cazul cărora s-a constatat îndeplinirea condiţiilor deexceptare de la obligaţia notificării, în primul semestru alanului 2011 s-au emis 3 avize, după cum urmează:

1. Aviz privind Proiectul de modificare a Ordinuluiministrului economiei, comertului şi mediului deafaceri nr. 479/2008 privind aprobarea schemei deajutor de stat „Sprijin pentru consolidarea şimodernizarea sectorului productiv prin investiţiirealizate de întreprinderile mari”, solicitare din

partea MECMA-Autoritatea de Management a POSCCE;

2. Aviz privind Proiectul de modificare a Ordinuluiministrului economiei, comertului şi mediului deafaceri nr. 477/2008 privind aprobarea schemei deajutor de stat „Sprijin pentru consolidarea şimodernizarea sectorului productiv prin investiţiirealizate de întreprinderile mici şi mijlocii”, solicitatde asemenea de MECMA-Autoritatea deManagement a POS CCE;

3. Aviz referitor la modificarea Schemei de ajutor destat regional privind valorificarea resurselorregenerabile de energie, instituită prin HotărâreaGuvernului nr. 750/2008, aviz sol icitat deMECMA.

In the First Semester of 2011, 3 formal opinions have been issuedfor the State aids analyzed by the Competition Council and whichhave met the conditions for exemption from the notification obligation:

În perioada ianuarie-iunie 2011, au avut loc 5 reuniuni aleCIAS la care au participat reprezentanţii celor maiimportanţi furnizori de ajutor de stat din România. În cadrulreuniunilor s-a urmărit analizarea de către ministerelefurnizoare de ajutor de stat a schemelor de ajutor de statini ţ iate în perioada 2007-2010 autorizate dar

neimplementate/ blocate sau aflate in diferite etape deimplementare. În acest sens s-a demarat şi o procedurăde analiză şi întocmire a unor situaţii clare şi bineargumentate cu privire la oportunitatea menţinerii acestorscheme de ajutor de stat şi a deblocării sumelor prevăzutepentru implementarea acestora.

Un alt subiect important al ultimelor reuniuni CIAS a fostanaliza centralizată a ajutoarelor de stat acordate defurnizori, care a avut ca obiectiv raportarea şi urmărireaindicatorilor de eficienţă a măsurilor de ajutor de statexistente, identificarea măsurilor neperformante şi abugetelor neutilizate.

În luna martie, Consiliul Concurenţei a efectuat demersurilenecesare în vederea semnării Contractului de Twinning cuComisia Europeană pentru componenta de ajutor de stat(aferentă Programului de Twinning, în care Austria şi Letonia




Inter-ministerial Council on the

State aid Policy (CIAS)

During January-June 2011, 5 CIAS reunions have beenorganised. They were attended by representatives of themost important Romanian State aid suppliers. Thereunions have focused on analysing the State aidschemes initiated during 2007-2010, authorised but notimplemented/blocked at certain stages of implementation

by the State aid supplying ministries. In this regard, ananalysis procedure has been started, focused ondrafting clear and well grounded documents concerningthe opportunity of maintaining these State aid schemesand on deblocking the sums budgeted for theirimplementation.

Another important subject of the latest CIAS reunions wasthe centralized analysis of the State aids granted bysuppliers, focused on reporting and surveying theefficiency indicators of the existing State aids, onidentifying the less efficient measures and the budgetswhich were not used.

The Twinning Programme “Support for the

enforcement of the Competition and State

aid Policy in the Republic of Moldova”

In March, the Competition Council has taken the necessarymeasures to sign the Twinning contract for the State aidComponent (of the Twinning Programme, where Austria andLatvia are partners on the Competition and Institutional

Programul ReNAS

În vederea asigurării unei aplicări cât mai corecte a regulilor

de ajutor de stat, Consiliul Concurenţei a continuatactivitatea în cadrul Programului „Reţeaua Naţională de

Ajutor de Stat” - ReNAS.

Activitatea in cadrul programului ReNAS a constat înelaborarea a 32 de clarificări şi 9 scheme de minimis deajutor de stat, cu asistenţaă tehnică de specialitate oferită

de Consiliul Concurenţei. De asemenea au fost elaborate17 puncte de vedere privind proiecte de acte normativesupuse atenţiei în primul trimestru al acestui an.

Proiectul ReCCOM

În calitate de autoritate ce asigură interfaţa între instituţiiledin România şi Comisia Europeană, Consiliul Concurenţeitrebuie să acţioneze permanent pentru respectarealegislaţiei specifice, obiectivul urmărit fiind menţinerea

unui mediu concurenţial adecvat prin asigurarea unui

echilibru între necesitatea sprijinirii agenţilor economici,

sectoarelor de activitate şi regiunilor de dezvoltare, prinmăsuri de natura ajutorului de stat şi constrângerile

Within this project, a series of actions have been carriedout aiming at speeding up the process of adopting theState aid Law in the Republic of Moldova.

The ReNAS Programme

The Competition Council has continued the specific activity

within the Programme “National State Aid Network” –ReNAS in order to provide the accurate application of theState aid rules.

The activity within the ReNAS Programme resulted in theelaboration of 32 clarifications and 9 de minimis Stateaid schemes, through the technical assistance provided

by the Competition Council. At the same time, 17 pointsof view concerning draft normative acts have beendrafted.

The ReCCOM Programme

As contact authority providing the interface between theRomanian institutions and the European Commission, theCompetition Council must take constant actions forensuring the observance of the specific legislation. The objective is to maintain an adequate competitive

environment by ensuring the equilibrium between the

necessity of supporting the undertakings, the economic

sectors and the regions of development throughmeasures of a State aid nature and the restrictions
