AMENDMENT TO THE

AGREEMENT BETWEEN LEVEL 3 COMMUNICATIONS, LLC

AND BELLSOUTH TELECOMMUNICATIONS, INC.

EFFECTIVE JUNE 23, 2004

Pursuant to this Amendment, (the “Amendment”) Level 3 Communications, LLC (“Level 3”) and BellSouth Telecommunications, Inc. (“BellSouth”), hereinafter referred to collectively as the “Parties”, hereby agree to certain rates to be agreed to under the Interconnection Agreement dated June 23, 2004 (“Agreement”) to be effective upon the date of the last signature executing the Amendment. WHEREAS, BellSouth and Level 3 entered into the Agreement with an effective date June 23, 2004, and; NOW THEREFORE, in consideration of the mutual provisions contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby covenant and agree as follows:

1. Attachment 3, Exhibit A, Rates to the Agreement are hereby deleted in its entirety and replaced with a new Attachment 3, Exhibit A, Rates, as set forth in Exhibit 1 attached hereto and incorporated herein by this reference.

2. The parties agree these rates are to be effective June 23, 2004. 3. All of the other provisions of the Agreement, effective June 23, 2004, shall remain in

full force and effect. 4. Either or both of the Parties are authorized to submit this Amendment to the respective

state regulatory authorities for approval subject to Section 252(e) of the Communications Act of 1934 as amended by the Federal Telecommunications Act of 1996.

Amendment To the

Interconnection Agreement Between

Level 3 Communications, L.L.C. and

BellSouth Telecommunications, Inc. Dated June 23, 2004

Pursuant to this Amendment, (the “Amendment”), Level 3 Communications, L.L.C. (Level 3), and BellSouth Telecommunications, Inc. (“BellSouth”), hereinafter referred to collectively as the “Parties,” hereby agree to amend that certain Interconnection Agreement between the Parties dated June 23, 2004 (“Agreement”) to be effective the date of the last signature executing this Amendment.

WHEREAS, BellSouth and Level 3 entered into the Agreement on June 23, 2004, and; WHEREAS, BellSouth and Level 3 are amending the Agreement to modify Local Number Portability (LNP) recovery charge pursuant to the Order in the matter of the Telephone Number Portability BellSouth Corporation Petition for Declaratory Ruling and/or Waiver, CC Docket No. 95-116, released April 13, 2004;

NOW, THEREFORE, in consideration of the mutual provisions contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby covenant and agree as follows:

1. The Parties agree to delete in their entirety all rate elements and USOCs identified as

“Local Number Portability charges” in Exhibit A of Attachment 2, as specified by the following USOCs: LNPCX, LNPCP, LNPCN, and LNPCC.

2. The Parties agree to add the following language to Section 4 as Section 4.1.1 of Attachment 2 and Section 5 as Section 5.4.5 of Attachment 2:

• In addition to other charges specified in this Agreement for Local Number Portability Level 3 shall pay to BellSouth the Local Number Portability charges as set forth in Section 13 of the BellSouth FCC No. 1 Tariff;

3. All of the other provisions of the Agreement dated June 23, 2004 shall remain

unchanged and in full force and effect. 4. Either or both of the Parties are authorized to submit this Amendment to the

respective state regulatory authorities for approval subject to Section 252(e) of the Federal Telecommunications Act of 1996.

In consideration of the mutual provisions contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby covenant and agree as follows:

1. The Parties agree that the following will be effective February 28, 2005:

A. The Parties agree to delete Section 7.5.1.3 and Section 7.5.1.4 of Attachment 3 of the Agreement.

B. The Parties agree to delete Section 7.5.1.2 in its entirety and replace with the

following:

7.5.1.2 The Parties have been unable to agree as to whether computer-to-phone and phone-to-computer -VOIP transmissions which cross different local calling area boundaries constitute Switched Access Traffic (“Disputed VoIP”). Notwithstanding the foregoing, and without waiving any rights with respect to either Party’s position as to the jurisdictional nature of Disputed VOIP, the Parties agree to abide by any effective and applicable FCC rules and orders regarding the nature of such traffic and the compensation payable by the Parties for such traffic, if any. Except as otherwise provided for in this agreement, neither Party will take any action to disconnect, impair, block, fail to provision, fail to support or otherwise degrade the quality of Disputed VoIP.

2. All of the other provisions of the Agreement shall remain in full force and effect. 3. Either or both of the Parties are authorized to submit this Amendment to the

respective state regulatory authorities for approval subject to Section 252(e) of the Federal Telecommunications Act of 1996.

(BellSouth), hereinafter referred to collectively as the “Parties”, hereby agree to amend that certain Interconnection Agreement between the Parties dated June 23, 2004 (Agreement). WHEREAS, on February 7, 2006, the Florida Public Service Commission rendered its decision in Docket No. 041269-TP, Petition to Establish Generic Docket to Consider Amendments to Interconnection Agreements Resulting from Change of Law (Decision); and WHEREAS, on February 28, 2006, the Florida Public Service Commission voted to approve Staff’s February 17, 2006 Recommendation to vacate its prior Decision only as to issues 5, 13, 16, 17, 18, and 22b; and WHEREAS, on April 17, 2006, the F lorida P ublic S ervice C ommission issued i ts Second Or der O n Generic P roceeding in D ocket No. 041269- TP OR DER NO. P SC-06-0299-FOF-TP, Pe tition t o E stablish G eneric D ocket to Consider Amendments t o Interconnection Agreements R esulting f rom C hange of La w ( Second Order), r endering decisions on the issues previously vacated; and

WHEREAS, the Parties desire to amend the Agreement to incorporate the Decision and the Second Order;

NOW, THEREFORE, in consideration of the mutual provisions contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby covenant and agree as follows:

1. The Parties hereby agree to incorporate into the Agreement the contract

provisions set forth in Exhibit A hereto, and such contract provisions shall apply to services provided in the State of Florida only.

2. The Parties hereby agree to incorporate into the Agreement the rates set forth in

Exhibit B hereto, and such rates shall apply to services provided in the State of Florida only.

3. To the extent that such contract provisions or rates as set forth in Exhibits A and

B hereto conflict with any other rates, terms and conditions in the Agreement, the contract provisions and rates in Exhibits A and B shall prevail in the State of Florida.

4. Further, to the extent that defined terms in this Amendment differ from defined terms in the Agreement, such defined terms in the Agreement shall be deemed to have the same meaning as the alternative defined terms in this Amendment to the extent necessary to give full effect to this Amendment consistent with the Florida Commission's Decision and Second Order.

5. This Amendment shall be approved on the date the Florida Public Service

Commission issues an order approving the Amendment (Approved Date) and shall be deemed effective on March 11, 2006 (Effective Date).

6. All of the other provisions of the Agreement shall remain in full force and effect. 7. Either or both of the Parties is authorized to submit this Amendment to the

Florida Public Service Commission for approval subject to Section 252(e) of the Federal Telecommunications Act of 1996.

1. Transition for DS1 and DS3 Loops

1.1 For purposes of this Section 1, the Transition Period for the Embedded Base of DS1 and DS3 L oops an d for t he E xcess DS1 a nd DS3 L oops i s t he t welve ( 12) month period beginning March 11, 2005 and ending March 10, 2006.

1.2 For purposes of this Section 1, Embedded Base means DS1 and DS3 Loops that were in service for Level 3 as of March 11, 2005, in those wire centers that, as of such date, met the criteria set forth in Section 1.4.1 and 1.4.2. Subsequent disconnects or loss of End Users shall be removed from the Embedded Base.

1.3 Excess DS1 an d DS3 L oops are those Level 3 D S1 and DS3 L oops in service as of March 11, 2005, in e xcess o f t he cap s set forth in Sect ions 1. 3.1 a nd 1. 3.2 below, respectively. Subs equent d isconnects o r loss o f End Us ers s hall be r emoved from Excess DS1 and DS3 Loops.

1.3.1 BellSouth shall not provide more than ten (10) unbundled DS1 Loops to Level 3 at any single building in which DS1 Loops are available as unbundled loops.

1.3.2 Level 3 may o btain a maximum o f a s ingle U nbundled DS3 loop to any s ingle building in which DS3 Loops are available as Unbundled Loops.

1.4 Notwithstanding anything to the contrary in this Agreement, and except as set forth in Section 1 3, BellSouth shall make a vailable D S1 and D S3 Loops o nly for Level 3 ’s Embedded Base during the Transition Period:

1.4.1 DS1 L oops to any B uilding served by a w ire center co ntaining 60, 000 o r more Business Lines and four (4) or more fiber-based collocators (DS1 Threshold).

1.4.2 DS3 L oops to any B uilding served by a w ire center co ntaining 38, 000 o r more Business Lines and four (4) or more fiber-based collocators (DS3 Threshold).

1.5 The initial list of wire centers (Initial Wire Center List) meeting the cr iteria set forth in Sect ions 1. 4.1 a nd 1. 4.2 ab ove, is set forth in Se ction 7. 1.4 h ereto. As o f t he effective date of this Amendment, no self-certification in any wire center set forth in the Initial Wire Center List is permitted.

1.6 Transition Per iod Pr icing. F rom March 11, 2005, through the co mpletion o f t he Transition P eriod, BellSouth shall ch arge a r ate for Level 3’ s E mbedded Base a nd Level 3’s Excess DS1 and DS3 Loops equal to the higher of:

1.6.1 115% of the rate paid for that element on June 15, 2004; or

1.6.2 115% of a new rate the Commission establishes, if any, between June 16, 2004 an d March 11, 2005.

1.6.3 These rates shall be as set forth in Exhibit A to Attachment 2 of the Agreement and this Section 1.6.

1.8.1 If Level 3 submits t he spreadsheet(s) for i ts E mbedded Base a nd E xcess DS1 a nd DS3 Loops on or before March 10, 2006, those identified circuits shall be subject to the Commission-approved switch-as-is conversion nonrecurring charges and no UNE disconnect charges.

1.8.2 If Level 3 fails to submit the spreadsheet(s) for its Embedded Base and Excess DS1 and DS3 L oops on or before March 10, 2006, BellSouth will identify and t ransition such c ircuits t o the equ ivalent wh olesale ser vices pr ovided by Be llSouth. T hose circuits identified a nd t ransitioned by Be llSouth pur suant t o this S ection shall be subject to all app licable UNE d isconnect charges as set forth in this Agreement and the full nonrecurring c harges for installation o f t he equ ivalent t ariffed BellSouth service as set forth in BellSouth's tariffs.

1.9 For E mbedded B ase c ircuits a nd E xcess DS1 an d DS3 L oops co nverted, the applicable r ecurring t ariff charge s hall apply t o each c ircuit as o f March 11, 2006. The t ransition o f t he E mbedded B ase a nd E xcess DS1 a nd DS3 Loops s hould be performed in a manner that a voids, or o therwise minimizes to the ex tent p ossible, disruption or degradation to Level 3’s customers’ service.

2. Dark Fiber Loop

2.1 Dark F iber Loop is an unused optical tr ansmission facility, without attached s ignal regeneration, multiplexing, aggr egation o r ot her e lectronics, from t he de marcation point at an End User ’s premises t o the End User’s serving w ire ce nter. Dark Fiber Loops m ay be s trands o f o ptical fiber e xisting in aer ial o r un derground s tructure. BellSouth wi ll not p rovide line te rminating el ements, r egeneration or other electronics necessary for Level 3 to utilize Dark Fiber Loops.

2.2 Transition for Dark Fiber Loop

2.2.1 For purposes o f t his Sect ion 2.2, t he Transition Period for Dark Fiber Loops is t he eighteen ( 18) month per iod beginning March 11, 2005 a nd e nding September 10, 2006.

2.2.2 For purposes of this Section 2.2, Embedded Base means Dark Fiber Loops that were in service for Level 3 as of March 11, 2005. Subs equent disconnects or loss of End Users shall be removed from the Embedded Base.

2.2.3 During the Transition Period only, BellSouth shall make available for the Embedded Base D ark Fi ber Loops f or L evel 3 a t t he t erms a nd c onditions s et forth in t his Attachment.

2.2.4 Transition Per iod Pr icing. F rom M arch 11, 2005, through t he co mpletion o f t he Transition Period, BellSouth shall charge a rate for Level 3’s Embedded Base of Dark Fiber Loops equal to the higher of:

2.2.4.1 115% of the rate paid for that element on June 15, 2004; or

2.2.4.2 115% of a new rate the Commission establishes, if any, between June 16, 2004 an d March 11, 2005.

2.2.4.3 These rates shall be as set forth in Exhibit A to Attachment 2 of the Agreement and this Section 2.2.4.

2.2.4.4 The Transition Period shall apply only to Level 3’s Embedded Base and Level 3 shall not add new Dark Fiber Loops pursuant to this Agreement.

2.2.5 Effective Sept ember 11, 2006, Dar k Fiber Loops w ill no longer be made available pursuant to this Agreement.

2.2.6 Level 3 s hall provide spreadsheets t o BellSouth no later t han Sept ember 10, 2006, identifying the specific Dark Fiber Loops, to be either d isconnected o r converted to other B ellSouth s ervices. L evel 3 may t ransition from D ark Fiber Loops t o other available w holesale f acilities provided by Be llSouth, including special access, wholesale facilities o btained from ot her car riers, or se lf-provisioned facilities. 2.2.6.2 If Level 3 fails to submit the spreadsheet(s) specified in Section 2.2.6 above for all of its E mbedded Base o n o r before September 10, 2006, BellSouth w ill id entify L evel 3's r emaining E mbedded Ba se, if an y, an d wi ll t ransition such circuits t o the equivalent tariffed BellSouth service(s). Those circuits identified and transitioned by BellSouth pursuant to this Section 2.2.6.2 shall be subject to all applicable disconnect charges as set f orth i n this Agr eement and the f ull n onrecurring charges f or installation o f t he e quivalent t ariffed B ellSouth s ervice a s set f orth in B ellSouth's tariffs.

2.2.6.3 For Embedded Base circuits converted or transitioned, the applicable recurring tariff charge shall app ly t o each c ircuit as o f S eptember 11, 2006. T he t ransition o f t he Embedded Base c ircuits should be per formed in a manner t hat avoids, o r otherwise minimizes t o the ex tent po ssible, d isruption o r degradation t o Level 3 ’s cust omers’ service.

3. L ocal Switching

3.1 Notwithstanding a nything to the c ontrary in th is A greement, the s ervices o ffered pursuant to this Section 3 are limited to DS0 level Local Switching and BellSouth is not r equired to p rovide Local S witching p ursuant to this Agreement e xcept a s s et forth in Section 3.3 below.

3.2 BellSouth shall not be required to unbundle local circuit switching for Level 3 for a particular End U ser w hen Level 3 : (1 ) s erves a n End U ser w ith four (4 ) or more voice-grade ( DS0) equ ivalents o r lines s erved by BellSouth in Z one 1 o f t he following MSAs: Miami, FL; Orlando, FL; and Ft. Lauderdale, FL; or (2) serves an End U ser w ith a DS 1 o r higher capac ity Loop in any service ar ea co vered by t his Agreement. To the extent that Level 3 is serving any End User as described above as of t he E ffective Da te of t his Agreement, s uch End Us er’s a rrangement may not remain in place and such Arrangement must be terminated by Level 3 o r transitioned by Level 3, o r BellSouth shall d isconnect such Arrangements upo n t hirty (30) da ys notice.

3.3 Transition for Local Switching

3.3.1 For purposes of this Section 3, the Transition Period for the Embedded Base of Local Switching is t he t welve ( 12) month per iod beginning March 11, 2005 a nd e nding March 10, 2006.

3.3.2 For the purposes of this Section 3.3, Embedded Base shall mean Local Switching and any additional elements that are required to be provided in conjunction therewith that were in service for Level 3 as of March 11, 2005. Subsequent disconnects or loss of End Users shall be removed from the Embedded Base.

3.3.4 During t he Transition Per iod o nly, BellSouth shall make Local Sw itching available for the Embedded Base, in addition to a ll e lements (signaling networks, ca ll-related databases, and shared transport) that are required to be provided in conjunction with

Local Sw itching, as such e lements are de fined at 47 C .F.R. §51.319(d)(4)(i), at the rates, terms a nd co nditions set forth in t his Section 3. The T ransition Period shall apply only to Level 3’s Embedded Base and Level 3 shall not place new orders for Local Switching pursuant to this Agreement.

3.3.5 Transition Per iod Pr icing. F rom March 11, 2005, through the co mpletion o f t he Transition P eriod, B ellSouth s hall charge a r ate for L evel 3’s E mbedded B ase o f Local Switching equal to the higher of:

3.3.5.1 The r ate at which dur ing Level 3 leased t hat combination o f e lements o n June 15, 2004, plus one dollar; or

3.3.5.2 The rate the Commission established, if any, between June 16, 2004, and the effective date of the TRRO, plus one dollar.


3.4. Level 3 must s ubmit o rders, to di sconnect or c onvert a ll o f its E mbedded B ase o f Local Switching to other BellSouth services as Conversions on or before March 10, 2006. Level 3 may transition from these Local Switching elements to other available wholesale a rrangements p rovided by B ellSouth, wholesale facilities ob tained from other car riers, o r se lf-provisioned facilities. T he P arties s hall negotiate a pr oject schedule for the Conversion of the Embedded Base of Local Switching.

3.4.1 If Level 3 su bmits t he spreadsheets spe cified in S ection 3. 4 ab ove for a ll o f its Embedded Base o n o r b efore March 10, 2006, C onversions s hall be subject to Commission-approved switch-as-is charges and no UNE disconnect charges.

3.4.2 If Level 3 fails to submit orders to disconnect or convert all of its Embedded Base of Local Sw itching o n o r b efore M arch 10, 2006, B ellSouth wi ll identify L evel 3 's remaining E mbedded Base o f L ocal Sw itching a nd w ill d isconnect s uch Local Switching. T hose circuits identified and d isconnected by BellSouth shall be subject to the applicable UNE disconnect charges as set forth in this Agreement.

3.5 Effective March 11, 2006, Local Switching will no longer be made available pursuant to this Agreement.

3.6 The transition of the Embedded Base should be performed in a manner that avoids, or otherwise minimizes t o the ex tent po ssible, d isruption o r degr adation t o L evel 3 ’s customers’ service.

3.7 Notwithstanding any o ther provision of this Agreement, BellSouth will only provide unbundled access to Common (Shared) Transport to the extent BellSouth is required to provide and is providing Local Switching to Level 3.

4. UNE -P

4.1 DS0 Local Switching, in combination with a L oop and Common (Shared) Transport (UNE-P) provides local exchange service for the origination or termination of calls. UNE-P supports the same local calling and feature requirements as described in the Local S witching sect ion o f t his Attachment and t he a bility t o pr esubscribe t o a primary carrier for intraLATA toll service and/or to presubscribe to a pr imary carrier for interLATA toll service.

4.2 Notwithstanding anything to the contrary in this Agreement, BellSouth is not required to provide UNE-P pursuant to this Agreement except as set forth in this Section.

4.3 Transition Period for UNE-P

4.3.1 For pur poses o f t his Sect ion 4, t he T ransition Pe riod for UNE -P i s t he t welve ( 12) month period beginning March 11, 2005 and ending March 10, 2006.

4.3.2 For pur poses o f t his Sect ion 4. 3, E mbedded Base s hall mean UNE -P an d a ny additional elements t hat ar e required t o b e pr ovided in co njunction w ith UNE -P (signaling networks, cal l-related dat abases, a nd s hared t ransport), as such e lements are defined at 47 C.F.R. §51.319(d)(4)(i), that were in service for Level 3 as of March 11, 2005. The Transition Period shall apply only to Level 3’s Embedded Base and Level 3 shall not place new orders for UNE-P pursuant to this Agreement.

4.3.4 Transition Per iod Pr icing. F rom March 11, 2005, through the co mpletion o f t he Transition P eriod, B ellSouth s hall charge a r ate for L evel 3’s E mbedded B ase o f Local Switching equal to the higher of:

4.3.4.1 The r ate at which dur ing Level 3 leased t hat combination o f e lements o n June 15, 2004, plus one dollar; or

4.3.4.2 The rate the Commission established, if any, between June 16, 2004, and the effective date of the TRRO, plus one dollar.


4.3.5 Level 3 must submit orders or spreadsheets, or if converting to UNE Loops must use the Bulk Migration process, to either disconnect or convert all of its Embedded Base of UNE-P to other BellSouth services as Conversions on or before March 10, 2006.

Level 3 may transition from these UNE-P arrangements to other available wholesale arrangements p rovided by B ellSouth, w holesale facilities ob tained from ot her carriers, o r se lf-provisioned facilities. T he Parties shall negotiate a pr oject schedule for the Conversion of the Embedded Base of UNE-P.

4.3.5.1 If Level 3 submits the orders or spreadsheets specified in Sect ion 4.3.5 above for all of its Embedded Base on or before March 10, 2006, Conversions shall be subject to Commission-approved switch-as-is charges.

4.3.5.2 If Level 3 fails to submit orders or spreadsheets converting all of the Embedded Base of UNE-P on or before March 10, 2006, BellSouth will identify Level 3 's remaining Embedded B ase o f UNE -P an d w ill t ransition such UNE -P to resold B ellSouth telecommunication services, a s set forth in Attachment 1 t o t he Agreement. T hose circuits identified an d t ransitioned by B ellSouth s hall be s ubject to the a pplicable disconnect charges as set forth in this Agreement and the full nonrecurring c harges for installation of such BellSouth services as set forth in BellSouth's tariffs.

4.3.5.3 For Embedded Base UNE-P converted or transitioned, the applicable recurring tariff charges s hall apply a s o f M arch 11, 2006. T he t ransition o f t he E mbedded B ase should be per formed in a manner t hat avoids, o r otherwise, minimizes to the extent possible, disruption or degradation to Level 3's customers’ service.

4.3.6 Effective March 11, 2006, UNE-P will no longer be made available pursuant to this Agreement.

4.3.7 BellSouth shall make 911 updat es in the BellSouth 911 dat abase for Level 3’s UNE-P. B ellSouth w ill not bi ll Level 3 for 911 s urcharges. L evel 3 is r esponsible for paying all 911 surcharges to the applicable governmental agency.

5. Dedicated Transport and Dark Fiber Transport

5.1 Dedicated T ransport. Ded icated T ransport i s de fined as Be llSouth’s t ransmission facilities between w ire ce nters or swi tches o wned by BellSouth, or b etween w ire centers o r switches o wned by BellSouth and switches o wned by Level 3, including but not limited to DS1, DS3 and OCn level services, as well as dark fiber, dedicated to Level 3. BellSouth shall not be required to provide access to OCn level Dedicated Transport under any circumstances pursuant to this Agreement. In addition, except as set f orth in S ection 5 .2, B ellSouth s hall not be r equired t o p rovide t o L evel 3 unbundled ac cess t o interoffice t ransmission facilities t hat do not connect a pa ir o f wire centers or switches owned by BellSouth (“Entrance Facilities”).

5.2 Transition for DS1 an d DS3 Ded icated Transport Including DS1 a nd DS3 E ntrance Facilities

5.2.1 For purposes of this Section 5.2, the Transition Period for the Embedded Base of DS1 and DS3 Ded icated T ransport, E mbedded Ba se Entrance Facilities a nd for E xcess

DS1 and DS3 Dedicated Transport, is the twelve (12) month period beginning March 11, 2005 and ending March 10, 2006.

5.2.2 For pur poses of t his Sect ion 5. 2, E mbedded B ase means DS1 a nd DS3 Ded icated Transport that were in service for Level 3 as of March 11, 2005 in those wire centers that, as o f such dat e, met t he criteria set forth in Sect ions 5.2.5.1 o r 5.2.5.2 below. Subsequent d isconnects o r loss o f E nd U sers s hall be r emoved from t he E mbedded Base.

5.2.3 For purposes of this Section 5.2, Embedded Base Entrance Facilities means Entrance Facilities t hat wer e i n s ervice for L evel 3 as of M arch 11, 2005. Sub sequent disconnects or loss of customers shall be removed from the Embedded Base.

5.2.4 For pur poses o f t his Sect ion 5. 2, E xcess DS1 a nd DS3 Ded icated T ransport means those Level 3 DS1 and DS3 Dedicated Transport facilities in service as o f March 11, 2005, in excess of the caps set forth in Sect ion 5.2.5.3. Subsequent disconnects and loss of End Users shall be removed from Excess DS1 and DS3 Loops.

5.2.5 Notwithstanding anything to the c ontrary in th is Agreement, BellSouth shall make available Ded icated T ransport as descr ibed in t his S ection 5. 2 o nly for L evel 3 ’s Embedded Base during the Transition Period:

5.2.5.1 DS1 Ded icated T ransport wh ere b oth w ire ce nters at the e nd po ints o f t he r oute contain 38, 000 or more Business L ines o r four (4) or more f iber-based co llocators. (Tier 1 Wire Center)

5.2.5.2 DS3 Ded icated T ransport wh ere b oth w ire ce nters at the e nd po ints o f t he r oute contain 24,000 o r more Business L ines o r t hree (3) or more f iber-based co llocators (Tier 2 Wire Center).

5.2.5.3 Level 3 may obtain a maximum of twelve (12) unbundled DS3 Dedicated Transport circuits o n eac h r oute wh ere DS 3 Ded icated T ransport i s a vailable a s a Net work Element, and a maximum of ten (10) unbundled DS1 Dedicated Transport circuits on each R oute wh ere t here is no 251( c)(3) un bundling o bligation for DS3 Ded icated Transport but for which impairment exists for DS1 Dedicated Transport.

5.2.6 The initial list of wire centers (Initial Wire Center List) meeting the cr iteria set forth in Sect ions 5.2.5.1 and 5.2.5.2 above, is set forth in Sect ion 7.1.4 hereto. A s of the effective date of this Amendment, no self-certification in any wire center set forth in the Initial Wire Center List is permitted.

5.2.8.4 From March 11, 2005, through t he co mpletion o f t he T ransition Per iod, B ellSouth shall c harge a r ate for Level 3 ’s E mbedded Base E ntrance Facilities a s set forth i n Exhibit A to Attachment 2 of the Agreement and this Section 5.2.8.

5.2.9 The Transition Period shall apply only to (1) Level 3’s Embedded Base circuits and Embedded Ba se E ntrance F acilities; an d ( 2) L evel 3’ s E xcess D S1 an d D S3 Dedicated Transport. L evel 3 shall not add new Entrance Facilities pursuant to this Agreement. F urther, Level 3 s hall not add new DS1 or DS3 Dedicated Transport as described in this Section 5.2 pursuant to this Agreement.

5.2.10 A wire center listed on the Initial Wire Center List exceeds either of the thresholds set forth in Sections 5.2.5.1 or 5.2.5.2. No further DS1 Dedicated Transport Unbundling will be required from that wire center to other Tier 1 wire centers.

5.2.11 A wire center listed on the Initial Wire Center List exceeds either of the thresholds set forth in Sections 5.2.5.1 or 5.2.5.2. No further DS3 Ded icated Transport unbundling will be required from that wire center to Tier 1 or Tier 2 wire centers.

5.2.12 No later than March 10, 2006 L evel 3 s hall submit spreadsheet(s) identifying a ll o f the E mbedded B ase c ircuits, E mbedded B ase E ntrance F acilities, a nd E xcess DS1 and DS 3 Ded icated T ransport to b e e ither d isconnected or co nverted to other BellSouth services pur suant to Section 17. Level 3 may t ransition from t hese DS1 and DS3 De dicated T ransport, E ntrance F acilities, a nd E xcess DS1 a nd DS3 Dedicated T ransport a rrangements t o other a vailable wholesale arrangements provided by BellSouth, wh olesale facilities o btained from o ther car riers, o r sel f-provisioned facilities. F or C onversions as de fined in S ection 17, suc h spr eadsheet shall take the place of an LSR or ASR. I f a Level 3 chooses to convert the DS1 and DS3 UNE Dedicated Transport circuits or UNE Entrance Facilities to special access circuits, BellSouth will include such DS1 and DS3 UNE Dedicated Transport circuits and UNE E ntrance Facilities o nce co nverted w ithin L evel 3 ’s t otal spe cial a ccess circuits a nd a pply a ny d iscounts t o w hich L evel 3 is e ntitled. 5.2.12.1 If Level 3 submits t he spreadsheets specified in Section 5. 2.12 a bove for a ll o f its Embedded Base o n o r b efore March 10, 2006, C onversions s hall be subject to Commission-approved switch-as-is charges.

5.2.12.2 If Level 3 fails to submit the spreadsheet(s) specified in Section 5.2.12 above for a ll of its E mbedded Base c ircuits, Embedded Base Entrance Facilities and E xcess DS1 and DS3 Ded icated Transport on or before March 10, 2006, BellSouth will identify Level 3's remaining Embedded Base circuits, Embedded Base Entrance Facilities and Excess DS1 and DS3 Dedicated Transport, if any, and will transition such circuits to the equivalent tariffed BellSouth service(s). Those circuits identified and transitioned by BellSouth shall be subject to all applicable disconnect charges as set forth in this Agreement and the full nonrecurring charges for installation of the equivalent tariffed BellSouth service as set forth in BellSouth's tariffs.

5.2.12.3 For Embedded Base circuits, Embedded Base Entrance Facilities and Excess DS1 and DS3 Ded icated T ransport co nverted or transitioned, t he app licable r ecurring t ariff charge s hall app ly t o each c ircuit as o f M arch 11, 2006 . The t ransition o f t he Embedded B ase, E mbedded B ase E ntrance Fac ilities a nd E xcess DS1 a nd DS3 Dedicated T ransport s hould be per formed in a manner t hat av oids, o r otherwise, minimizes t o t he ex tent po ssible, d isruption o r degr adation t o Level 3's customers’ service.

5.3 Dark F iber T ransport. Dar k F iber T ransport is d efined a s Ded icated Transport that consists o f u nactivated o ptical interoffice t ransmission facilities w ithout a ttached signal r egeneration, multiplexing, aggr egation o r ot her e lectronics. E xcept as s et forth in Sect ion 5. 3.1 be low, B ellSouth s hall not b e r equired t o pr ovide acc ess to Dark Fiber Transport Entrance Facilities pursuant to this Agreement.

5.3.1 Transition for Dark Fiber Transport and Dark Fiber Transport Entrance Facilities

5.3.2 For purposes of this Sect ion 5.3, the Transition Period for the Embedded Base Dark Fiber T ransport and E mbedded Ba se Dar k Fiber Entrance Facilities is t he e ighteen (18) month period beginning March 11, 2005 and ending September 10, 2006.

5.3.3 For pur poses o f t his Sect ion 5. 3, E mbedded Base means Dar k Fiber T ransport that was in service for Level 3 as of March 11, 2005 in those wire centers that, as of such date, met the criteria set forth in 5.3.6 below. Subsequent disconnects or loss of End Users shall be removed from the Embedded Base.

5.3.4 For pur poses o f t his Sect ion 5. 3, E mbedded B ase Dar k Fi ber E ntrance Fac ilities means Fiber Entrance Facilities that were in service for Level 3 as of March 11, 2005 in t hose w ire c enters t hat, as o f suc h dat e, met the cr iteria set forth in 5.3.6 below. 5.3.5 Notwithstanding anything to the c ontrary in th is Agreement, BellSouth shall make available Dar k Fiber T ransport as des cribed in t his Sect ion 5. 3 o nly for L evel 3 ’s Embedded Base during the Transition Period:

5.3.6 Dark Fiber Transport where both wire centers at the end po ints o f the route contain twenty-four t housand ( 24,000) or m ore B usiness L ines o r three ( 3) or m ore f iber-based collocators. (Tier 2 Wire Center)

5.3.7 The initial list of wire centers (Initial Wire Center List) meeting the cr iteria set forth in Section 5.3.6 above, is set forth in Section 7.1.4 hereto. As of the effective date of this Amendment, no self-certification in any wire center set forth in the Initial Wire Center List is permitted.

5.3.8 Transition Per iod Pr icing. F rom March 11, 2005, through the co mpletion o f t he Transition P eriod, BellSouth shall ch arge a r ate for Level 3’ s E mbedded Base a nd Embedded Base Dark Fiber Entrance Facilities shall be equal to the higher of:


5.3.8.2 115% of a new rate the Commission establishes, if any, between June 16, 2004 and March 11, 2005.


5.3.8.4 From March 11, 2005, through t he co mpletion o f t he T ransition Per iod, B ellSouth shall charge a rate for Level 3’s Embedded Base Entrance Facilities as set forth in this Section 5.3.8.

5.3.9 The T ransition Per iod s hall app ly o nly t o Level 3’s E mbedded Base o f Dar k Fiber Transport and Dark Fiber Entrance Facilities. L evel 3 s hall not add n ew Dark Fiber Transport as described in t his Sect ion 5.3.1. L evel 3 s hall not add n ew Dark Fiber Entrance Facilities pursuant to this Agreement.

5.3.10 Wire Centers listed on the Initial List exceed the threshold set forth in Section 5.3.6, BellSouth w ill not b e r equired t o p rovide Level 3 future access t o Dar k F iber Transport from those wire centers.

5.3.11 No later than September 10, 2006 L evel 3 s hall submit spreadsheet(s) identifying all of the Embedded Base of Dark Fiber Transport and Dark Fiber Entrance Facilities to be e ither d isconnected o r c onverted to other Be llSouth ser vices a s Co nversions pursuant to Section 17. Level 3 may transition from these Dark Fiber Transport and Dark Fiber Entrance Facilities to other available wholesale arrangements provided by BellSouth, wh olesale facilities o btained from other car riers, o r se lf-provisioned facilities. For Conversions as defined in Section 17, such spreadsheet shall take the place of an LSR or ASR. If a Level 3 chooses to convert the Dark Fiber UNE Transport ci rcuits and Dar k F iber E ntrance F acilities t o spec ial acc ess c ircuits,

BellSouth will include such Dark Fiber UNE Transport circuits and Dark Fiber UNE Entrance Facilities o nce co nverted within Level 3’s t otal spec ial ac cess c ircuits a nd apply any discounts to which Level 3 is entitled. The Parties shall negotiate a project schedule for the Conversion of the Embedded Base of Dark Fiber Transport and Dark Fiber Entrance Facilities.

5.3.11.1 If Level 3 submits the spreadsheets specified in Section 5.3.11 for all of its Embedded Base o f Dar k Fiber T ransport an d Dar k Fiber E ntrance Facilities o n o r b efore September 10, 2006, Conversions shall be subject to Commission-approved switch-as-is charges.
