ARTICLES OF INCORPORATION

KANSAS DELTA THETA CHAPTER OF THE ALPHA TAU OMEGA FRATERNITY___________________________________________________________________________

Incorporated under the laws of the State of Kansas as THE ALPHA THETA CHI FRATERNITY, INC. onFebruary 19, 1920, by Elmer D. McCollum, Walter W. Rodewald, Walter R. Horlacher, Carl F. Mershon andN. Dale Lund. On February 16, 1921, the name of the corporation was changed to KANSAS DELTATHETA CHAPTER OF THE ALPHA TAU OMEGA FRATERNITY, INC. These Articles ofIncorporation called for a not-for-profit corporation which shall engage in the business ofAa fraternity, forsocial purposes, formed from young men enrolled at the Kansas State Agricultural College [University].@

The Articles provided for the length of time for the corporation to exist to be fifty years. On September 3,1971, after the expiration of the original Articles of Incorporation, a successor corporation named DELTATHETA OF ALPHA TAU OMEGA, INC. was incorporated under the laws of the State of Kansas.

We, the undersigned, incorporators, hereby associate ourselves together to form and establish acorporation NOT for profit under the laws of the State of Kansas.

1st. NAME. The name of the Corporation is Delta Theta of Alpha Tau Omega.

2nd. PRINCIPAL PLACE OF BUSINESS. The location of its Principal Place of Business in thisstate is The Alpha Tau Omega Fraternity, 1632 McCain Lane, Manhattan, Riley County, Kansas66502.

3rd. REGISTERED OFFICE AND REGISTERED AGENT. The location of its registered officein Kansas is 1632 McCain Lane, Manhattan, Riley County, Kansas, and the resident agent isWilliam L. Muir.

This Corporation is organized NOT for profit and the objects and purposes to betransacted and carried on are to raise the general standards of its members; to aid them in anyworthy work in which they may be interested, not only in college but also in future life; tocensure and decide punishment for all unworthy actions of their brothers, and to commend allworthy deeds; to perpetuate the name and principles of the Alpha Tau Omega Fraternity and todo those things necessary and proper to carry out such perpetuation; it shall be the aim of eachmember of this organization to aid and help his brothers in all activities that will benefit himduring his student days and in his future life; and generally, an association for fraternal,educational and social purposes.

The corporation shall not have authority to issue capital stock.

5th. CAPITAL, GRANT OF AUTHORITY AND CONDITION OF MEMBERSHIP. The total

amount of capital of this corporation is NONE.

Statement of Grant of Authority, as may be desired to be given to the Board of Directors: TheExecutive Committee shall initially be composed of the Worthy Master (President), the WorthyChaplain (Vice-President), the Worthy Keeper of Exchequer (Treasurer), the Worthy Keeper ofAnnals (Historian), the Worthy Scribe (Secretary), the Worthy Usher, the Worthy Sentinel, thePledge Chairman, and the Public Relations Officer. They shall meet on call of the President andminutes of all meetings will be taken. Any decision of the Committee may be revoked by a two-thirds (2/3) vote of the active chapter. The Committee shall handle emergency business,delegate and act for the active chapter when that body cannot meet, and to construe, interpretand enforce the By-Laws of the Corporation, and to do those things necessary and proper tocarry out the provisions of these By-Laws.

The conditions of membership: Membership shall be determined by initiation into the AlphaTau Omega Fraternity.

6th. AMOUNT OF CAPITAL. The Amount of Capital with which this Corporation will commencebusiness is NO Dollars.

We, the undersigned, incorporators, do hereby voluntarily associate ourselves together to form and

establish a corporation NOT for profit, under the laws of the State of Kansas.

1st. NAME. The name of the Corporation is Delta Theta Chapter of Alpha Tau Omega BuildingCorporation.

2nd. REGISTERED OFFICE. The location of its registered office in Kansas is 1632 McCain Lane,Manhattan, Kansas 66502.

3rd. REGISTERED AGENT. The name and address of its resident agent in Kansas is Delta Theta ofAlpha Tau Omega, 1632 McCain Lane, Manhattan, Kansas 66502.

4th. PURPOSE. This Corporation is organized NOT for profit and the general purpose for which it iscreated shall be to acquire, erect, maintain, operate, and/or lease, a fraternity chapter house in thevicinity of Kansas State University at Manhattan, Kansas.

5th. POWERS. This Corporation shall have power in furtherance of its corporate purposes:

(a) To acquire by gift, bequest, devise, purchase or exchange property of any kind or character.

(b) To hold, manage, conserve, lease, rent, sell, mortgage, encumber, expend, convey, exchange,invest or reinvest any property or funds which it may acquire, and to exercise with respect toany such property or funds any power with respect to the business management thereofwhich any individual could exercise if such individual owned such property or funds in feesimple.

(c) To employ and compensate all necessary agents, attorneys and employees and to delegate tothem such duties, powers and responsibilities as may be deemed appropriate.

(d) To exercise each and every power which any private corporation chartered under the laws ofKansas might exercise, and which is not inconsistent with provisions of these Articles ofIncorporation, or the purpose for which this Corporation is formed.

(e) To adopt and amend, from time to time, By-Laws (not inconsistent with these Articles ofIncorporation) to govern the management and conduct of this Corporation and its affairs, theselection of its officers, their terms of office, and their duties and powers.

(f) To do and perform all other acts needful or appropriate in carrying out the purpose for whichthis Corporation was formed.

6th. TERM OF EXISTENCE. The term for which this Corporation is to exist is one hundred (100)years, but by action of its Board of Directors this term may be extended or renewed as often and forsuch additional periods as at the time of the action may be lawful.

The Board of Directors above named shall meet, organize, adopt By-Laws, and elect officers at suchtime and place as they may hereafter fix in writing. At such organization meeting, or anyadjournment thereof, a majority of said Directors shall constitute a quorum and may transact anybusiness which should be transacted if all the voting members were present.

8th. MEMBERSHIP. Membership in this Corporation is limited to that of a donating membership. Any

member of the Delta Theta Chapter of Alpha Tau Omega may become a life member of thisCorporation by donating an amount provided in the By-Laws or any multiple thereof, to thisCorporation, and shall thus become a qualified member and be entitled to cast one vote for each suchdonation, but no member shall be entitled to cast more than four (4) votes regardless of the donationmade by him, to elect the Board of Directors of this Corporation, at any regular meeting provided inthe By-Laws. These memberships are non-assignable and non-transferable. Each respectivemembership shall become void upon the death of the holder.

9th. LIMITATIONS. This Corporation shall never have any capital stock. No part of its earnings shallever inure to the benefit of any private individual. This Corporation shall not carry on propaganda orotherwise attempt to influence legislation; and no part of its funds or property shall ever be used forany such purposes. This Corporation's earnings and property shall be, and are hereby, dedicated to,and shall be used exclusively for the purposes for which this Corporation is created; but no onedealing with this Corporation shall ever be under any duty to see that any of its funds or property areso used, or shall ever be or become in anyways liable for this Corporation's failure so to use its fundsor property.

10th. AMENDMENT OF ARTICLES. These Articles of Incorporation may be amended, altered orrepealed by a vote of not less than three fourths (3/4) of the members present at any regular meetingprovided for in the By-Laws, or any special meeting called for that purpose.

Whenever the members of this Corporation, by a vote of not less than three-fourth(:) of the then members present at any meeting called for that purpose, notice of time, place andpurpose of said meeting, having been given in writing addressed to the last known address of eachmember, thirty (30) days before said meeting, shall determine that it is no longer feasible toaccomplish or carry on the purposes for which this Corporation was formed, its affairs shall be
