Dr. Brown asked for approval of the Medical Staff Credentialing. A motion was made by Jessica Carter Peer to approve the Medical Staff Credentialing for Lee Memorial Hospital.

The motion was seconded by Dr. Cohen and carried with no opposition. A motion was made by Chris Hansen to approve the Medical Staff Credentialing for Golisano Children’s Hospital of Southwest Florida.

GOVERNANCE TASK FORCE UPDATE

Steve Brown, MD asked for a motion to adopt a resolution with regard to contracts for purchase, sale, transfer or lease. Discussion ensued. Therese Everly asked that the resolution be added to the policy reference guide.

Steve Brown, MD, updated board members on the process for adding strategy topics for board meetings and closed sessions. Discussion ensued. Topics for regular board meeting agendas should be sent to Genny White and items that fulfil closed session criteria should be communicated to Board Counsel.

A motion was made by Donna Clarke to adopt the proposed resolution which authorizes Lee Health’s President/Chief Executive Officer to make certain contracts for lease of real property in which the aggregate payments from the tenant to the landlord in the first year of the lease are projected to be less than $1,000,000.

POPULATION HEALTH UPDATE

John Chomeau, Chief Population Health Officer and Joby Kolson, MD presented the Population Health Update including the Clinically Integrated Network. Discussion ensued.

A motion was made by Donna Clarke to approve Administration’s recommended amendments to the Best Care Collaborative LLC Operating Agreement to 1) increase the size of the BCC Board of Managers; 2) add a requirement that certain items be approved by a majority of Class A and Class B Managers; 3) adding the Compliance Committee as a required committee of the BCC, and 4) correct certain technical errors in the prior version of the Operating Agreement. The motion was seconded by Jessica Carter Peer and carried with no opposition. A motion was made by David Collins to approve Administration’s recommended amendments to the Best Care Assurance LLC Operating Agreement to 1) increase the size of the BCA Board of Managers; 2) add a requirement that certain items be approved by a majority of Class A and Class B Managers; and 3) correct certain technical errors in the prior version of the Operating Agreement. COMMITTEES’ SUMMARIES AND

RECOMMENDATIONS

David Collins, Committee Chair, gave a verbal update from the Finance and Investment Committee Meeting. He stated that the SEI team gave a report on the investment portfolio during the Committee’s meeting. Ben Spence gave the Committee an update on the system’s financial performance. Alison Thurau presented the system’s Total Rewards program to the Committee. She stated that Lee Health management has conducted comparative studies to determine how to increase retention and recruitment of employees. Management shared their initial assumptions they are using to build the 2020 budget. John Chomeau provided an update on Medicare Advantage to the Committee. David Collins asked for various motions for approval as recommended from the Finance Committee.

A motion was made by Therese Everly to approve the Certification & Selection Committee’s Rankings for the 3 year Construction Management Continuing Services Contract for Acute Care Facilities as determined on May 16, 2019. The motion was seconded by Chris Hansen and carried with no opposition. A motion was made by Therese Everly to authorize Lee Health administration to proceed with contract negotiations for a 3 year continuing services contract for construction management for Acute Care Facilities, per Board Policy 20.15D and the Consultants Competitive Negotiation Act, starting with the highest numerically ranked firm, RD Johnson Construction and, if such negotiations are

not successful to authorize the Lee Health Administration to then negotiate with the next ranked firm. The motion was seconded by Dr. Cohen and carried with no opposition. A motion was made by Therese Everly that upon successful negotiation in accordance with Board Policy 20.15D, authorize the President & Chief Executive Officer or Board Chairman to execute a 3 years continuing services contract for Acute Care Facilities, in substantially the same form as the attached draft contract, subject to final legal review. The motion was seconded by Stephen Brown, MD and carried with no opposition. A motion was made by Chris Hansen to accept the Certification & Selection Committee’s Rankings for the 3 Year Construction Management Services Contract for Outpatient Facilities as determined on May 16, 2019. The motion was seconded by Jessica Carter Peer and carried with no opposition. A motion was made by Therese Everly to approve the gain from operations target and budget assumptions to correspond with a 3.0% operating margin and establish the financial goals for the FY2020 budget. A motion was made by Jessica Carter Peer to approve the FY2020 Lee Health Compensation Program Recommendations pending the Board of Directors’ final approval of the FY2020 Lee Health Budget and approval of the FY 2020 Lee Health Benefits Program Recommendations pending the Board of Directors’ final approval of the FY 2020 Lee Health Budget The motion was seconded by Donna Clarke and carried with no opposition.

BOARD MEETING EVALUATION

Meeting was informative and board business was conducted in a smooth efficient way. Good discussion. Great executive summary from the Finance and Investment Committee. Nice even flow. David Collins thanked Ben Spence and administrative staff for their support but there are still items that need to be worked out to make the meetings more efficient.

Federal Government Outlook • Courts ruled that the federal government acted unlawfully when it sharply reduced certain Medicare outpatient

payments to hospitals in the 340B Drug Pricing Program. This was a big win for all safety net hospitals including Lee Health. We utilize savings from the 340B program (roughly $20 million last year) to support our essential services. The government has challenged the ruling and we are awaiting further action.

• We must work to better explain and defend 340B as an essential part of supporting our community benefit. We’re working to avoid 340B being caught up in larger drug pricing reform debates.

• The Affordable Care Act (ACA) Hospital Disproportionate Share (DSH) cuts are set to go into effect on October 1, 2019. Momentum is building in Congress to delay the DSH cuts again for an additional 2 years.

• Senator Rubio has sponsored a DSH parity bill that we support. The legislation would update an arbitrary federal formula and send more tax dollars back to Florida (roughly $600 million total). We support this legislation; however it will be an uphill battle to pass.

• Traction is gaining for some form of DSH parity reform.

• Elimination of the tax penalty for individuals not purchasing insurance went into effect in January of 2019. We are beginning to see more charity care patients as a result. We will continue to track this data.

• The ACA may again be reviewed in the US Supreme Court as the tax penalty has now been removed, the basis under which the law was originally upheld.

• There is a Medicaid Expansion ballot initiative in Florida that has picked up 80 k plus signatures which clears it for Supreme Court review. Next step will be securing 766 k total signatures to reach the ballot. If enough signatures are secured, the Medicaid expansion question may be on the ballot for voters to decide during the 2020 presidential election cycle.

2019 Florida Legislative Session Overview• 3,571 bills filed

• 2,997 amendments filed

• 3,765 votes taken

• 197 bills passed both chambers

• Therefore, only 0.55% of all bills and 10% of all policy bills filed passed the Legislature.

• Lee Health did well in the budget and on most public policy.

• The Legislature approved a $91.1 billion state budget. The largest budget in Florida history which still only represents 54% of New York's 163.3 billion state budget covering fewer residents.

• With repeal of CON, we will adapt in order to succeed on behalf of our patients, providers, and staff!

• We are optimistic that we will find every opportunity to succeed in the new space the legislature has created.

• We recognize that our most valuable asset is our people and Lee Health will remain as Southwest Florida’s trusted community partner because of our ExceptionaLee efforts!

2019 Session Appropriations Summary Florida State Healthcare Budget

• State general revenue spend on the healthcare budget was $10.1 billion. Federal and local share dollars increase that number to more than $30 billion.

• At the onset of the 2019 Session, the Legislature was proposing to eliminate the Critical Care Fund that benefits facilities such as Lee Memorial Hospital and Golisano Children’s Hospital of SWFL. The legislature also proposed a 3% cut in recurring general revenue that represented a $3.6 million loss in Medicaid base rates to Lee Health.

• Fortunately, we were able to defeat those efforts to cut our reimbursements and secure a non-recurring appropriation for our Graduate Medical Education (GME) program. Significant gains were achieved in Medicaid Hospital Disproportionate Share (DSH) and Low Income Pool (LIP) adjustor methodologies.

• The proposal to carry forward a $98 million reduction to Medicaid retroactive eligibility did pass, but language was added to require the cut be reviewed annually. Lee Health is participating on an AHCA task force to review the 90 to 30 day eligibility question.

• We assisted in securing budget language that will lead to receiving a more equitable patient distribution for our Provider Service Network, Vivida Health. The Agency for Healthcare Administration will be required to work with providers over the next several months and author a solution to stakeholders and the Legislature.

• Lee Health faired well in the state budget appropriations process. Total net budget gain in FY 19/20 is $10.3 million higher than FY 18/19.

2019 Session Legislation Summary (1) • Several healthcare bills of interest passed during the 2019 Legislative Session.

• House Bill 21: Certificate of Need (CON) law was repealed. The repeal on CON will roll out in two phases, becoming effective for general acute care hospitals in July of this year and specialty hospitals in 2021.

• House Bill 23: Establishes a regulatory framework for telehealth providers and incentives for insurers to offer reimbursements for telehealth services.

• House Bill 19: Authorizes the creation of a prescription drug importation program.

• SB 1460: Revises criteria for hospitals to qualify as stroke centers. Eliminates self attestation process sand require hospital stoke centers to be certified by a nationally recognized accrediting organization by July 1, 2021.

• Requires hospitals to provide quality report cards to patients or patient representatives within 24 hours of patient stabilization or upon discharge.

• Requires hospitals to immediately provide written notice to a patient when placed on observation status.

• Physician Compacts - Requires an Office of Program Policy Analysis and Government Accountability (OPAGA) study on the feasibility of Florida joining the interstate medical licensure compact.

2019 Session Legislation Summary (2)

• Though some of the bills that we opposed have passed, we were able to help to defeat a number of misguided policy efforts.

• HB 25: Would have allowed for scheduled C-sections at advanced birthing centers and created 72 hour stays at newly designated recovery care centers. Failed.

• HB 733: Would have repealed personal injury protection (PIP) insurance. Failed.

• SB 1194: Would have required that unnecessary patient safety culture surveys be published. Failed.

• HB 999: Would have required hospitals to establish an internal grievance process for patients to dispute itemized charges and limited a hospitals ability to take actions to collect on medical debts. Failed.

• These bills represent just a portion of the total that we advocated against passing during the 2019 Session.

2020 Legislative Session Outlook• The first committee week of the 2020 Legislative Session begins on September 16, 2019. That’s just 80

days from today!

• The 2020 Legislative Session will convene on Tuesday, January 14, 2020.

• The date has not yet been set for the 2020 Lee County Legislative Delegation Meeting.

• With the soon to change healthcare marketplace, Lee Health senior leadership continues to review opportunities to provide us with the best abilities to compete.

• Government Relations is working with partners both internally and externally in order to present requests that will rise to the Board for consideration.

• Expect a local bill to be presented for your review as Lee Health’s top legislative priority during the 2020 Florida Legislative Session.

• Important to note, following the 2020 Legislative Session, the Lee County Legislative Delegation will change significantly during the next election cycle. Lee County will elect one new state senator and three new state representatives to replace our term limited elected officials.
