MEETING GUIDELINES

The purpose of the Global Roundtable for Sustainable Beef is to discuss sustainability

issues related to the global beef system. Conversation and discussion about increasing

industry sustainability are neutral and pro-competitive. While compliance with antitrust

and other laws that govern participation in industry meetings is the responsibility of each

participant, we ask you to follow both common sense and these simple guidelines to

help us conduct our meeting according to good practices, and to ensure that your fellow

participants are comfortable attending and actively participating.

DO adhere to the written meeting agenda.

DO NOT, in our organized meeting sessions, in informal discussions in the hallway, or

in any other setting:

discuss prices, rates, or other terms of trade among competitors;

engage in discussions that could result in

o the allocation of customers or markets,

o the fixing or stabilization of prices,

o limitations on production,

o boycotts of customers, suppliers, or rivals, or

o agreements that would competitively disadvantage certain rivals;

discuss proprietary or other competitively sensitive information;

discuss or engage in coordinated behavior to maintain prices, profit margins, or

stability in an industry;

engage in any other anti-competitive behavior or any discussion you feel might

be inappropriate.

Thank you for following these few simple guidelines. They are provided to set the stage

for a successful discussion of sustainability, not as a complete list of antitrust “don’ts” or

legal advice. Should you have any concerns or questions about antitrust issues, your

legal responsibilities, or your participation in industry meetings, you should seek advice

from your own counsel.

MINUTES GLOBAL ROUNDTABLE FOR SUSTAINABLE BEEF BOARD OF DIRECTORS FEBRUARY 27, 2019 President Nicole Johnson-Hoffman called the Global Roundtable for Sustainable Beef Board of Directors conference call to order at 9:00 a.m. Central U.S. Time, Wednesday, February 27, 2019. Board of Directors:

Johnson-Hoffman welcomed everyone on the call. Consideration of Minutes There was a motion by McDonald and supported by Wasko that the minutes of the January 23, 2019 Board of Directors meetings be approved with wording modifications. Motion carried. Regional Roundtables and Country Initiatives Updates GTPS: No Report. CRSB: Wasko reported they are working and updating strategic plan for the national organization for 2020-2024. Included in the plan is the participation and the support of the activities of the GRSB. CRSB is currently working on a three-year (2019-2022) proposed strategic plan and business and action plan priorities that also includes the participation and the support of the GRSB

GRSB BOARD OF DIRECTORS February 27, 2019 Page 2 of 5 activities. Key focus on certified sustainable framework interest from the producer level to the cow-calf level continues to remain high. Hadartis new role is Executive Director. USRSB: McDonald reported they are in the final stages for completion of the US Beef framework that will be finished by May 1 for the USRSB General Assembly meeting taking place in Fresno, California. In-person board meeting taking place week of March 4th in Irvine, California where there will be some leadership development work and a review of the final products that the board needs to approve for a final vote by membership in late March. Pilot project through recognition program for feedback and finalization. There will be a soft launch of this program in April with their membership and then in May, launch it to the public. Programs may exist from a CAB program or an integrity beef program all the way through the supply chain so it could also be a retailer food program. They can apply to get recognized by the USRSB for incorporating their program into the framework. Once through the process, they have an independent third-party evaluator that will then make a recommendation to the board of directors for approval of that recognition. Ultimately, they hope to recognize the programs that are successful. Working on self-assessment tools that are based on their framework that will be finalized mid-June. Once completed, they will begin their education and outreach program. The USRSB continues to drive for additional membership. Johnson-Hoffman recommended that Wasko and McDonald consider reporting on their programs at the 2019 in-person GRSB board meeting. MGSC (Colombia): Botero reported they will have their first Colombian Roundtable meeting on Tuesday, March 5 where there will be reports on what has been accomplished in 2019. Meetings have taken place to promote the GRSB and the MGSC with various organizations. They are working to determine who will be the director of the Colombian Roundtable. ERBS (Europe): Donoghue reported that Sarah Haire will be joining the calls to report on the ERBS going forward. Changes have taken place with the leadership. Donoghue will be sitting in as the lead of the technical group. Working on targets and recognition discussion framework that will be distributed to the technical working group to review and forward to the ERBS meeting in May. Several pilots are in progress and all platforms to be recognized by the end of the year. MPCS (Paraguay): Sanchez reported that they are restarting their activities after their summer holiday. There are board meetings and activities scheduled for the next three months and in March two seminars. April will have general meeting of members of the Paraguay round tables and in May a field trip to a ranch to have a general view of their activities related to forestation and keeping with ranch activities. They are in touch with Eisele for support. New Zealand: McIvor reported that they too have been through some holidays. The materiality survey has been the main activity regarding information about their members. Formation of a roundtable is in progress by reaching out and understanding the views of the stakeholders around the roundtable. Waiting on results from the materiality study. Group meets on March 19th. Next steps are to formalize the process of forming the roundtable. There is a core group that is meeting and pushing the process forward. New Zealand is currently in the process of putting forth legislation on the carbon neutral economy and part of that is, “What does this mean for farmers in terms of carbon and methane dismissal?” New Zealand is working on how they can reduce emissions and what is the beef mechanism New Zealand wide to achieve it. Discussions are in progress to host GRSB BOD towards the end of the year.

GRSB BOARD OF DIRECTORS February 27, 2019 Page 3 of 5 Australia Beef Sustainability Framework: McConnel reported that last week the Australian Beef hosted a forum regarding deforestation, grasslands and non-technical areas refining the indicators and metrics they can report annually in May. Broad range of positive engagement in Australia and in its markets around sustainability and beginning to pilot metrics with companies. Executive Committee Report Johnson-Hoffman reported that the Executive Committee has been focused on delivering a revised budget for approval. Reductions have taken place in the deficit spending budget. We have also done significant work to make sure the Strategic Planning session in May helps us refine our activities for the future and ensure that we are addressing both our funding mechanism and spending plan to bring into full alignment consistently year over year. Working to make sure the Sustainability Communicators Summit is successful and delivers to the needs of those participants in May. Executive Director’s Report Petre reported that next week he will be in Kansas for the FAO Livestock Planning Meeting. During this meeting there will be discussions about what we want the global agenda to be focusing on in their main Kansas September meeting. If you have any thoughts on the agenda, please drop Petre a note. In March giving webinar in Canada for the Prairie Conservation Action Plan to speak to rangeland conservation and good management practices and how it relates to our GRSB members. The week of March 18th, there is a meeting organized by the Bill and Melinda Gates Foundation and the International Livestock Research Institute in Ethiopia. Week of March 25 meeting for the livestock in China and China Animal Agriculture Association (CAAA). They want to become a member of GRSB and will use this conference to publicly join GRSB. In May Petre will be attending the GRSB Strategy Session, Communicators Summit and Board Meetings in Chicago. Sai Platform is also organizing a meeting in Chicago. Their annual meeting is focusing on next generation farming: resilient farming systems, resilient supply chain and enabling the next generation. Facilitating and monitoring a session on animal welfare. He needs panelists and identifying potential venues for a beef field visit. July he will attend the Latin America regional meeting taking place in Sao Palo. Strategic Plan Review

1. Survey request sent and we have received 60+ responses; 2. Meeting will be facilitated by Mark McCully, CAB; 3. Calls with all roundtables to get more detailed input and any others that want to

contribute additional details. Sustainability Communications Communication Summit in Chicago adjacent to a major meeting McDonald’s is holding and is also adjacent to the board meeting. We have received good input from the planning committee. With limited time, members are keen to understand how we communicate science around sustainability and what some use against the beef industry. A balance of how we communicate as well as what we communicate. Experts and scientists on hand to try and help guide content discussions when they arise. GRSB BOARD OF DIRECTORS February 27, 2019 Page 4 of 5 A group was created to develop a scope of work for consultants and we’ve requested some consultants to participate in the first phase of this work. Phase I – Scope (what are the quick wins in terms of bringing tools into alignment as well as gaps to address). Product will have more detail on what Phase II will look like and how we will prioritize this work. Once this is available in May, we can reference to it and present in the board meeting as well as use it in the strategy session. Then resource Phase II and get sponsors. McIvor, White and Hall requested a copy of the scope of work. White requested details and needs for speakers at the Communicators Summit and well as offering an NCBA underwriting. Regional Director’s Report Eisele reports that the regional and national roundtables conference in South America (Mexico, Colombia, Brazil, Argentina, Paraguay) was a good opportunity to exchange and learn from each other. Offer from McDonald’s in Brazil to have the roundtable event at their McDonald’s University in Sao Palo. (Spanish, Portuguese and English translations). Concentrating on the organization of this event. Currently scheduled for July 2 and 3. Speaker, farm activities, workshops where they can make good use of their time to exchange experiences. Request that any board members that have suggestions for speakers to contact Eisele. Eisele is working on draft agenda communications. Working together with the Global Agenda for Sustainable Livestock. Argentina – working on formal recommendation for a national roundtable. Members are asked to submit a financial contribution since there are no sponsors. Working towards getting 70 percent of the initial budget from membership. Mexico – meeting and working towards national roundtable. Administrative Report Financial Reports McConnel raised a question regarding the aged payable - $25k (SSCD). Petre responded that this is parked for payment of consultants and contract labor. Cargill has paid the $25k for sponsorship of 2018 Global Meeting. 2019 budget is now at $82,200 in deficit. Leadership travel reduced; professional communications drop and contracting expenses in the Latin America work. $25k grant revenue –FAO has given verbal agreement they will provide. . Retained earnings investment in the Proposed Budget 2019 column needs to be removed from the revised budget document. There was a motion by Lowe and seconded by White to approve a revised final budget with the correction of retained earnings on the document. Motion approved. Membership Report Clark reported that there are no new memberships to review. The outstanding membership monies yet to be received is $119,417; Total received $238,750 Total invoiced $358,167 Petre and Clark will plan to review email and contact information before sending another reminder. Outstanding membership monies will not be reported as aged receivables until April. Final due date for membership monies to be received is March 31. Council Reports Global Issues GRSB-GTPS Joint Working Group (JWG) on Forests – Hall no major updates to report. Demonstrating Impact Benchmarking: Petre reported that GTPS, USRB and CRSB have all submitted reports. This needs to be addressed at the strategic planning meeting. Upcoming GRSB Member Engagement Opportunities Johnson-Hoffman – suggests that the ERSB plan to attend the CRSB meetings if possible.

Overview

-1.5 day event hosted at the new McDonalds global headquarters May 22-23 will focus on cultivating conversations on beef sustainability communication. -During the Summit scientists and storytellers, beef producers, and communication experts from around the world will come together to share experiences and create a foundation for the development of a global narrative of beef sustainability. -Summit facilitation: Courtenay DeHoff. -Visit grsbeef.org for registration information ($250 registration fee).

Ideal summit participants include:

GRSB membership delegates from each of the multi-stakeholder fields of membership, including NGOs, producers, retailers, etc.Elite communicators from all parts of the beef value chain.Stakeholders who are enabling communicators (with budgets, resources and leadership), and who wish to gain more support for sustainability communication collaboration.Pioneers and science-focused experts.Invited influencers who can help to bring a balanced view and increased potential for amplification.Trade media. Note: Consumer media will be targeted for future events.

Curating a Global Sustainable Beef Narrative:

Audience

1. Bring together key scientists, organizations, producers, and communication pioneers to begin paving the way on solution development to the big questions on beef sustainability’s role in a thriving, global food system. Begin first phase of developing a compelling, credible, multi-stakeholder GRSB-led global narrative for beef sustainability, and set the stage for what's to come. 2. Identify baseline of big questions, opportunities and risks to demonstrate beef’s important role in a thriving food system, specifically linked to beef's impact to the planet (natural resources).  -Determine what can be said now/What questions can be answered today.  -Identify gaps in science. -Harness the dedication, passion and credibility of beef producers. -Explore opportunities for further leadership from the beef sector to better demonstrate its role in a thriving food system. 3. Create urgency for on-going amplified sustainability communication. 4. Determine a collaborative process and workstream for developing a global beef narrative based on the five core principles of beef sustainability.
