SPECIAL CONDITIONS OF CONTRACT

1. Payment Terms:

Payment terms & conditions : Pro rata payment of the total value of the Contract shall

be made as under:

SOR ITEM PAYMENT TERMS:

For CIPL Survey (SOR ItemNo:1) & DCVG Survey (SOR ItemNo:2):

a) 70% against completion of CPL & DCVG.

b) 20% after coating repair of all defects and submission of preliminary repair report.

c) 10% against submission of the complete final report comprising of CPL & DCVG

survey report, defect verification and coating repair.

Excavation for Defect verification based on CIPL and DCVG Survey (SOR Item

No:3)

a) 60% against completion of Excavation for Dig verification based on CIPL and

DCVG Survey.

b) 30% after coating repair of all defects at the excavated regions, restoration and

backfilling of excavated regions and submission of preliminary repair report.



Coating Repair for damaged coating at fault locations by using visco elastic cold

tapes:

a) 60% against completion of Coating repair.

b) 30% after restoration and backfilling of excavated regions after coating repair of all

defects at the excavated regions and submission of preliminary repair report.



Note: No payment shall be made to the contractor for towards the excavation and

restoration in case the defect could not be verified after excavation, even if it is within

the acceptable limit of 80% Probability Of Detection.

2. Contract Performance Guarantee: The successful bidder shall have to submit Security Deposit/Contract Performance

Security @ 7.5% of the contract value excluding taxes and duties (Alternatively, 2.5% of

SD to be deposited initially and remaining 5% shall be recovered from RA Bills) in the

form of Bank Guarantee/Demand Draft/Bankers Cheque within 30 days from the date of

award of contract. Security deposit shall carry no interest and shall be released only after

the defect liability period. The Defect Liability Period (DLP) for this contract shall be 12

months. The Contract performance security shall be valid for a period of 90 days beyond

the Defect liability period.

3. Defect Liability Period :

The contractor shall guarantee for the work done for a period of one year from the date of

Physical completion of work. Any damage or defect which may arise or lieundiscovered at

the time of completion of work, related any way the equipment or of material supplied by

him, or in the workmanship, shall be rectified or replaced by the contractor free of cost.

Further if the contractor fails to do the above, it may get it rectified by any other agency at

the risk and cost of the contractor.

4 Price Reduction Schedule :

Applicable @ 0.5% per week or part thereof subject to maximum 5% order ( Excluding

taxes and duties) value as per relavant clause of GCC.

5 Service Tax:

The quoted prices shall be deemed to be inclusive of all taxes including works contract

tax, duties, octroi, levies etc., till the completion of the contract and bidder shall not be

eligible for any compensation on this account. Service Tax at the prevailing rate, if

applicable shall be paid on production of valid copy of service tax registration. However,

the bidder shall mention the amount and rate of Service Tax, if applicable, in the price bid

separately and clearly. If the same is not mentioned in the price bid, the quoted price

shall be treated as inclusive at the highest applicable rate of service tax at the time of

bid submitted by the party.

6. Volume of Work :

No guarantee can be given for any volume of work which shall be entrusted to the

contractor at the time of contract. The indication of quantities given in schedule of rates

(SOR) is tentative and without any obligation to the part of the owner and it cannot be

made the subject matter of any claim or litigation at any time even if the quantities

actually offered for handling during the period of contract is substantially lower or higher

than the estimated quantities indicated.

7. Taxes:

The Income Tax , Work Contract tax etc shall be deducted from the bill of the contractor

as per prevalent rules. Service tax at the prevailing rate as applicable shall be paid by M/s

BGL only on submitting the bill as per service tax rule. Party has to mention the

percentage of service tax applicable in the bid, failing which, the quoted rates shall be

treated as inclusive of service tax at the maximum percentage of service tax applicable at

the time of submission of bid.

8. Price Escalation: The unit rates quoted shall be kept firm till completion of work and no escalation shall be

paid, whatsoever may be the reasons.

9. Contractor’s Responsibilities:

A GENERAL :-

1. The contractor shall ensure that he will not transfer or subcontract the job to any other

party without prior permission of EIC. The contractor shall arrange himself all tools

/tackles/ testing equipments etc as approved by EIC required for the job.

2. The contractor shall ensure an effective supervision and control of the personnel by

deploying a competent and qualified supervisor and give suitable direction for

undertaking the contractual obligations.

3. Contractor shall at his own expense, extend insurance coverage to all his employees as

per Workers Compensation Act-1942 and shall submit the copy of insurance coverage

to the company before the commencement of the job.

4. Contractor has to ensure that minimum wages are paid to the persons deployed by them

as per the rates of central /state government as per applicable rules.

5. The boarding , lodging of the contractor personnel shall be arranged by the contractor

The contractor has to provide transportation arrangement for its personnel for carrying

out the job at various site.

B STATUTORY :

1. The contractor shall discharge obligations as provided under various applicable

statutory enactments including the Employees Provident Fund & Miscellaneous

Provisions act-1952, the Employees State Insurance Act (ESI) Act -1948, the Contract

labour ( Regulation & Abolition) Act-1970 and Central Rules-1971, the Inter –state

Migrant workmen ( Regulation of employment & Conditions of Service) Act-1979, the

Minimum Wages Act-1948, the Payment of Wages Act-1936, the Workmen’s

Compensation Act-1923, Payment of minimum bonus under the Payment of bonus Act-

1965 and other relevant Acts, Rules enforced from time to time.

2. The contractor shall be responsible for required contributions towards P.F, Pension, ESI

or any other statutory payments to be made in respect of the contract and the personnel

employed for rendering service to BGL and shall deposit these amounts on or before

the prescribed dates. The contractor shall submit the proof of depositing the employee’s

and employer’s contributions. The contractor shall also be responsible to pay any

administrative /inspection charges there of wherever applicable ,in respect of the

personnel employed by the contractor.

3. Contractor shall comply with the provisions of all labour legislations of the state /

Central Government or any competent authority as applicable in respect of all men

employed by him in executing the contract.

4. It shall be the sole liability of the contractor ( Including the contract firm/company) to

obtain and to abide by all necessary licenses/permissions from the concerned authorities

as provided under the various labour legislations including the labour license obtained

as per the provisions of the contract labour ( Regulation & Abolition ) Act ,1970.

5. Contractor shall be responsible to settle all the disputes with the employers /agencies

engaged by him and comply with the provision of all Labour Legislation of the State /

Central Government.

6. The contractor shall be solely responsible for the payment of wages and other dues of

the personnel deployed by him latest by 7 th of the subsequent month. The contractor

shall be directly responsible and indemnify the Company against all charges, dues,

claims etc. arising out of the disputes relating to the dues and employment of personnel

deployed by him.

7. No contract employee below age of eighteen years shall be deployed on the work.

C SAFETY, HEALTH & ENVIRONMENT:

1.Contractor shall ensure compliance of necessary instructions concerning discipline,

decorum, work performance, safety etc. to the persons engaged by his and the persons

engaged shall comply with all such instructions strictly.

2. Contractor shall ensure that all persons to be deployed are provided with the protective

clothing like helmets, gloves, industrial safety shoes, cotton dress etc. as may be

required from the safety point of view and all his persons shall follow the instructions

issued by the company from time to time in connection with safety and security.

3. Contractor shall ensure the safety of the person working. For any accident / incident

happening during the work because of lapse of safety, contractor shall be held

responsible. BGL shall not make any compensation.

4. The contractor should work in such a manner that waste generated is minimized and

should be disposed properly. He should follow the proper control procedures so that

waste generated does not cause any impact on the environment. The contractor shall

make his own arrangement for removal of old as well as unused material from work site

to the place indicated by the EIC, after completion of work for which the cost has to be

borne by the contractor.

5.The job is to be carried out as per the timings followed at BGL, however requirement of

working extra/odd hours or working on holidays may be done as agreed by EIC.

D SECURITY : -

1. The contractor shall make his own arrangement for the safe custody of the materials

brought by him to the site, while the job in progress.

2. All tools and material shall be brought by the contractor to the work site through a

covering notice to be submitted to the Engineer-in-charge.

10. General:

10.1. The contractor shall indemnify the Company against all losses or damages if any caused

to it on account of acts of the personnel deployed by him.

10.2. The Contractor should submit copies of Provident Fund registration (EPF) in

their name .

10.3. The Contractor should submit copies of ESIC registration in their name before

commencement of work or workmen who are not covered under ESI Act, the

contractor should take appropriate workmen compensation insurance policy and

submit a copy of the same to BGL.

(DCVG) Survey reports by locating the pipeline at

defect locations using a pipeline locator, excavation of

pipeline in all types of soil / rocks, exposing the

pipeline and after coating-repair backfilling, including

supply of good earth / sand-filling (if required) for the

top cover of the pipeline, as per the procedure laid out

in the tender document.

4 Coating repair for damaged coating at fault

locations by using VISCO ELASTIC Cold Tapes

Job includes carrying out Removing the damaged

coating at fault locations with hand brush /power brush

/buffing, emery paper / water-cleaning, etc. or

combination of all, repairing of the coating using PERP

/ Cold applied tapes as per manufacturer’s

recommendation and holiday test, as per directions of

Engineer In-Charge. Supply of all coating materials,

rollers etc shall be in the scope of contractor as per

specifications of tender document.

Coating-repair of the pipes shall be done as per the
